This document, together with the Design For Development (D4D), establishes an administrative review process to allow OCII staff review and approvalofproposedexteriorimprovementsormodificationsatFashionOutletsofSanFrancisco@Candlestickasdefinedherein.Thiswillresultinastreamlinedapprovalprocess.

This document establishes the design standards and requirements that will be used by OCII staff to review and approve proposed exterior improvementsandmodifications.TheLandlordandTenantwillalsousethisdocument as a guide for generating the design of proposed exterior tenant storefronts.

TheLandlordshallberequiredtoreviewandapproveallproposedmodificationsforconsistencywiththisdocumentpriortosuchmodificationsbeingsubmittedforstaffreview.

Submission to the Building Department for permit approval is still required viatheCity’sestablishedprocess.

The criteria herein are not intended to contradict any code requirements thatmaygovernthisproject.ItistheresponsibilityofTenantarchitects,engineersandcontractorstoverifyandcomplywithallapplicablecodes.

This document is an appendix to the Design For Development (D4D), and it is the responsibility of each tenant to familiarize themselves with the contentsoftheDesignForDevelopment(D4D).

Fashion Outlets of San Francisco @ Candlestick is a local and international shopping destination celebrating the history of Candlestick Park and reinforcingtheindustrialheritageoftheBayviewDistrict.Locatedattheheart of Candlestick Point, it seamlessly integrates with the mixed-use neighborhoodasaplacethatreflectsthecontextandcultureoftheSanFranciscoBayArea.Enlivenedbythediversityofretailshopssetamongpedestrian pathways and landscaped gardens, Fashion Outlets of San Francisco @ Candlestick offers a memorable experience for visitors of all agesandnationalities.

Fashion Outlets of San Francisco @ Candlestick is comprised of 635,000 square feet of regional retail in a variety of forms ranging from small local commercialretailunitstolargerregionalstores.TheCenterisorganizedon a grid of pedestrian-scaled streets and plazas extending from Ingerson AvenuetoHarneyWay.Ontheeasternedge,IngersonAvenuehas2travellanesand2lanesofparking.Onthesouthernedge,HarneyWayisaboulevard with 2 vehicle travel lanes and parking on the south side, 2 BRT travellanesanddedicatedbikelanes.AreliousWalkerDrive,anarterialstreet, borders the western edge of the site and provides access to the multi-levelparkingstructure.EarlStreet,linedwithretailstores,bisectsthesiteandprovidesserviceaccess.Allstreets,plazasandpedestrianwalkwayswillbefullyaccessibletothepublic.

Theretailenvironmentisprimarilyinfluencedbytwofactors:1)Overallsetting (Center common areas); and 2) Individual components (Tenant façadesandstorefronts).BothaffecttheperceptionofFashionOutletsofSanFrancisco@Candlestickasaprimeretailestablishment.

Generally,storefrontdesignstylesaretheprovenanceoftheTenant.TheLandlordprovidesinputtowardsthefulldevelopmentofthedesignconcept,promotes compatibility with adjacent Tenants and common areas and insurescompliancewithdesigncriteria.

CriteriaapplicabletospecificareasintheCenterspecifycertainrequirements such as the extent of vertical and horizontal projections, the useofthree-dimensionalformandpropermaterialuse.Thesecriteriaareintended to provide a basis for all storefronts to present merchandise in an exciting,promotionalfashion.

All areas exposed to public view are subject to a thorough design review andapprovalprocessbytheLandlord.Tenantsmustaddressstorefrontandinteriordesign,materials,colors,signageandlighting.Additionally,specificarchitectural criteria, applicable to various locations in the Center, must be met.

These criteria act as a guide for the design of all work by Tenants in conjunctionwiththeprovisionsoftheTenant’sLeasewiththeLandlord.Furthermore,thesecriteriaaresubjecttorevisionbytheLandlordandtheLandlord’sinterpretationofthesecriteriaisfinalandgoverning.AllTenantsshould refer to the Technical Criteria for electrical, mechanical, plumbing and lifesafetyinformation.

Tenants are encouraged to express their own unique design statement within theparametersofthedesigncriteriaasoutlinedinthismanual.Thedesigncriteria calls for a three-dimensional storefront that carries into the store salesareaandisexpressiveofthemerchandisesold.Nationalandregional“standard” storefront concepts are respected to the extent that they meet thedesigncriteria.However,TenantsshouldbeawarethatsomeconceptmodificationsmightbenecessarytocomplywiththeCentercriteria.

The same is true for proposed designs that are overly similar to a neighboringTenant’sstorefrontdesign.WewishtomaketheCenterasdiverse and interesting as possible and enable each Tenant to make a singularstatementwiththeirdesign.

Storefront elements shall de-emphasize linear or boxy forms by the use of recesses, angles, curves, gables and material changes in both vertical and horizontalviews.

Demising WallsCommonwallbetweenindividualTenantspaces.Thewallshallextendfromthefloorslabtotheundersideofthesecondfloororroofdeck(Thisdoesnotapplyineverycase).Thedemisingwallsaretomaintainaone(1)ortwo(2)hourfireratingdependentupontheTenantuseandthegoverningcodes.

Design Control Area “DCA”/Display AreaThe DCA (Design Control Area) is all areas within the neutral frame and LeaseLinesandareasdesignatedorTenant’sstorefrontandsignlocations.TheDCAismeasuredfromtheLeaseLinetoaspecificdistancebeyondtheinnermost Point of Closure “POC” of the Premises and extends the full width andheightoftheTenant’sPremises.TheTenantisresponsibleforthedesign,constructionandallcostsforworkwithintheDCA.ThisareahasbeendefinedmoreexplicitlyintheArchitecturalDesignportionoftheTenantCriteria.

Hazardous MaterialsAny substance that by virtue of its composition or capabilities, is likely to beharmful, injuriousor lethal. For example: asbestos, flammables,PCB’s,radioactivematerials,paints,cleaningsupplies,etc.

Lease LineLineestablishing the limitof the leasablespace.ThePremiseswithall theFloorArea(GLA)providedintheLease.DimensionsoftheTenantPremisesaredeterminedinthefollowingmanner:1. BetweenTenants:centerlineofdemisingwall.2. Atexteriorwall:tooutsidefaceofexteriorwall.3. Atcorridor(s),stairwells,etc.:tocorridororstairwellsideofwall.4. Atserviceorequipmentrooms:toserviceorequipmentroomsideofwall.5. Neutralpier(s)areNOTsubtractedfromfloorarea.6. NodeductiontotheGLAshallbemadeforanyducts,shafts,conduits,

columns or the like within the lease space unless such items exceed one percent(1%)oftheGLAinwhichcasethePremisesshallbesubjecttoaremeasureattheTenant’ssolecost.

Lease Outline Diagram “LOD”At the Landlord’s sole discretion, a LeaseOutlineDiagram (LOD)may beprovided.The LODshall show the legal extent of theTenantPremises asdefinedtheTenantLease.TheLandlordmakesnowarrantyastotheaccuracyofanythingshownorrepresentedontheLODandsuchinformationwhethershownornotistheresponsibilityoftheTenanttofieldverify.

Neutral Piers/Neutral StripA uniform frame separating the Tenant’s storefront, which may or may not be providedbytheLandlord.

Point of Closure “POC”A real or imaginary demarcation such as the center line of the Glass or any EntryDoor(s)intheirfullyclosedposition.

Recessed StorefrontAnyportionofthestorefrontlocatedbehindtheLeaseLine,theareabetweenthe Lease Line, the Point of Closure (POC) and the storefront shall beconsideredpartofthedesigncontrolarea.

Service CorridorsA part of the common area used primarily for deliveries, employee entrance andfireexitsfortheTenantspaceandgenerallynotusedbythepublic.

“Tenant’s Work” means all work of improvement to be undertaken upon the Premises(excludingLandlord’sWork,ifany),including,withoutlimitation,all related documents, permits, licenses, fees and costs, all of which shall be atthesolecostandexpenseofTenant.Tenant’sWorkshallinclude,withoutlimitation,thepurchase,installationandperformanceofthefollowing:

Engagingtheservicesofalicensedarchitect(“Tenant’sArchitect”)toprepare the Preliminary Documents, Construction Documents and the As-BuiltDocuments.

1. Preparation of originals and copies of the Preliminary Documents, ConstructionDocumentsandAs-BuiltDocuments.

2. FeesforplanreviewbyLandlordandlocalgovernmentalauthorities.3. SuchotherimprovementsasLandlordshallrequirepertheLeaseto

bringthePremisesintofirst-classconditionbaseduponLandlord’sreasonablestandardsofappearance,materials,specifications,designcriteriaandLandlordApprovedFinalPlansfortheCenter,aswellasthatpartoftheCenterinwhichthePremisesarelocated.

GeneralLandlord’sWorkDefined. “Landlord’sWork”means thework, if any,whichLandlord isexpresslyobligatedtoundertake inaccordancewiththeLease.Landlord shall have no obligation to improve, remodel, alter or otherwisemodifyorpreparethePremisesforTenant’soccupancy.

CenterLandlordor itspredecessor-in-interesthasconstructed theCenter,and theBuilding and other improvements upon the Center (exclusive of improvements constructedbyoronbehalfofeachpresentandpriorOccupantoftheCenter).For the purpose of all Tenant Criteria Manuals, all references to Preliminary/Construction “Plans” are considered the same as Preliminary/Construction “Documents”.

Working Environment:Tenant,atTenantssolecostandexpense,mustensurethefollowing:

1. All tradespersons entering the job site must be current members of a local building trades union and must, at all times, carry on their person suchevidenceofproofoftheirmembership.

2. Alltransportationofready-mix,asphalt,aggregate,sand,otherfillmaterialordebrismustbeperformedbycurrentlocalbuildingtradeunion.

3. All Tenant contractors must be willing to sign an “Agreement to be Bound” priortocommencementofconstruction.
