Room DropThis sponsorship is limited to one sponsor per night and provides you with the opportunity to share your message with attendees directly at their hotel room. Sponsor is responsible for cost and providing collateral or a giveaway to be distributed during Agility.

Q. Do sponsors get a copy of the attendee contact list?

A. No, sponsors will receive a listing of companies and attendees’ titles but we are not able to share complete contact information. Sponsors will have the opportunity to collect their own contact details through lead capture devices provided. Sponsors presenting breakout sessions will receive a copy of their session attendee list with contact details.

Q. Can sponsors attend the sessions?

A. Sponsors are invited to join educational and social activities at Agility. Lab sessions are an additional cost.

Q. Will F5 provide marketing staff to assist sponsors in developing or fine-tuning sponsorship content?

A. All sponsors will work directly with the F5 events team on their deliverables. Sponsors who have breakout sessions may work with the F5 content team to fine tune their presentation.

Q. Will sponsors be introduced to F5 executives and management?

A. There is no formal introduction as part of the sponsorship. However, F5 executives attend Agility and you will have access to them at the Expo and other social activities.

Q. Are sponsors assigned to a specific hotel?

A. This year Agility will have hotel blocks available during the registration process; sponsors can select the hotel that best suit their needs.

Q. How are sponsorships reserved?

A. Sponsorships are limited and available on a first-come, first-served basis. Sponsorships can be requested through business development executives or channel account managers. If you have additional questions, please email us at [email protected].

All applicable fees are deemed fully earned and non-refundable upon acceptance by Organizer. Sponsor may not assign or transfer all or any portion of its interest in this Agreement. Sponsorships can be paid via check, wire transfer, or credit card. There is a 3.5 percent fee for all credit card transactions. Upon acceptance of all or any part of this application, the Organizer’s third party vendor, SEI Meetings & Incentives, will send an invoice for all applicable fees on net 30 payment terms. By signing above, Sponsor acknowledges it has read and agrees to the terms of this Agreement, and further agrees to pay the applicable sponsorship fee(s). Sponsor also understands that Sponsor must provide a certificate of insurance meeting the minimum requirements set forth in the Terms and Conditions, as a condition to Organizer accepting Sponsor’s Application. Sponsor must provide such proof of insurance to Organizer at the time Sponsor submits this Application to Organizer.

By filling out, signing, and returning this Sponsorship Application Form and Contract (“Application”) the Company/Division identified below (“Sponsor”) applies to F5 Networks, Inc. (“Organizer”) for sponsorship (“Sponsorship”) and exhibit space (the “Space”) at the “Event(s)” identified in the Sponsorship Levels Form below on the terms and conditions of this “Application” plus the “Terms and Conditions” on the attached pages (collectively, the “Agreement”).

SECTION A: TERMS AND CONDITIONS

Options sponsorships will be granted on a first-come, first-served basis. By submitting a signed copy of this Sponsorship Application, the Sponsor acknowledges and agrees to be bound by the terms found in this Agreement, including but not limited to the Sponsorship Application Form and the attached Additional Terms and Conditions.

F5 Networks reserves the right to modify and/or substitute sponsor entitlements due to unforeseen circumstances without any notice to Sponsor.

PRIVACY STATEMENT

At F5 Networks, we are committed to protecting your privacy. F5 Networks uses the information you provide on this form for the purposes of administering this Event. F5 Networks will not share the information you provide with third parties without your permission except where necessary to complete the services or transactions you have requested, or as required by law. F5 Networks is committed to protecting the security of your personal information. We use a variety of security technologies and procedures to help protect your personal information from unauthorized access, use, or disclosure. Your personal information is never shared outside the company without your permission, except under conditions explained above.

SECTION B: ADDITIONAL TERMS AND CONDITIONS

1. License to use Sponsor Logo The Sponsor (a) grants to F5 Networks, for the purpose of the Event, a non-exclusive royalty free license to use the Sponsor Logo to promote and market the Event; (b) warrants that it owns and/or is solely entitled to use the Sponsor Logo; and (c) indemnifies F5 Networks in respect of any action that may be brought against F5 Networks arising out of or in connection with use of the Sponsor Logo.

2. Intellectual Property Rights Any Intellectual Property Rights created and/or developed specifically for the Event shall be solely owned by F5 Networks.

3. No Set Off The Sponsorship fee shall be paid to SEI Meetings & Incentives, as agent for F5 Networks, by the Sponsor without any right of set off or similar rights.

4. Indemnity The Sponsor indemnifies and shall keep indemnified F5 Networks and its officers, agents, and employees against all claims, damages, liabilities, costs, and expenses (including any reasonable legal costs and expenses) arising out of, in connection with, or incidental to (a) any breach by the Sponsor of the terms of this Agreement; (b) any claim made relating to any Sponsor product supplied by the Sponsor or promotional material published or otherwise made available by the Sponsor relating directly or indirectly to F5 Networks or the Event.

5. Exclusion of liability To the extent permitted by applicable law, under no circumstances shall F5 Networks be liable for any indirect, consequential, incidental, special, or punitive damages (including without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out the performance or non-performance of its obligations under this Agreement, even if F5 Networks has been notified of the possibility of such damage arising.

6. Limitation F5 Networks’ liability under this Agreement for any reason shall not exceed the total amount of the Sponsorship fee paid by the Sponsor.

7. Compliance with Laws and Regulations The Sponsor shall abide by and observe all applicable laws, rules, and regulations whether imposed by the Organizer, the proprietors or managers of the Exhibiting Building, or any governmental authorities.

8. Insurance Sponsor shall obtain and maintain in force a policy or policies of insurance that provides coverage of at least five hundred thousand dollars ($500,000) per person and one million dollars ($1,000,000) per occurrence for the injury or death of any person and one hundred thousand dollars ($100,000) for damage to property that results directly or indirectly from (i) any Sponsor product supplied by the Sponsor and/or (ii) any intentional or negligent act or omission of Sponsor’s officers, employees, agents, or contractors during the time or times that they are on property or in facilities of Event for the purpose of engaging in or in preparation for engaging in any activity or purpose authorized by this Agreement.

9. Termination by F5 Networks F5 Networks may terminate this Agreement immediately by providing written notice to the Sponsor if: (a) the Sponsor is affected by an Insolvency Event; (b) the Sponsor commits a material breach of this Agreement and that breach has not been remedied within 14 days of receipt of written notification from F5 Networks of that breach; or (c) the Sponsor engages in conduct which, in the reasonable opinion of F5 Networks, reflects unfavorably on the goodwill, good name, reputation, or image of the Event or F5 Networks.

10. No Assignment Sponsor may not assign, sub-license, transfer, mortgage, charge, sub-contract, or otherwise deal with its rights under this Agreement without the prior written consent of F5 Networks.

11. Force Majeure Except for the payment of money due, neither of the parties shall be liable for delays or failing to perform any of its obligations contemplated in this Agreement to the extent that such failure is caused by an event beyond that party’s reasonable control for as long as such event remains an impediment to performance.

12. Governing law This Agreement shall be governed by and construed in accordance with the laws of Washington State, U.S.A. In the event of any dispute arising out of or relating to this Agreement, the parties will seek to settle the dispute via direct discussions. If a dispute cannot be settled

through direct discussions, the parties agree to first endeavor to settle the dispute via voluntary non-binding mediation, before resorting to arbitration. A mediator will be selected by voluntary agreement of both parties, or in the event both parties cannot agree on a mediator, a mediator will be selected in accordance with the rules of JAMS. The mediation will be held in Seattle, Washington. Each party will bear its own costs and expenses and an equal share of the administrative and other fees associated with the mediation. Any dispute that remains unresolved following mediation will be settled by arbitration administered by the JAMS in accordance with its Comprehensive Arbitration Rules and Procedures utilizing a single arbitrator. The place of arbitration will be Seattle, Washington. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator will award to the prevailing party, if any, as determined by the arbitrator, all of its costs and fees. “Costs and fees” mean all reasonable pre-award expenses of the arbitration, including the arbitrators’ fees, administrative fees, travel expenses, out-of-pocket expenses such as copying and telephone, court costs, witness fees, and attorneys’ fees. In rendering the award, the arbitrator will determine the rights and obligations of the parties according to the substantive and procedural laws of the State of Washington. The alternative dispute resolution provisions of this Section 10 will not apply to claims related to the misappropriation, infringement, or violation of the intellectual property rights of either party contained herein.

13. Definitions “This Agreement” means the terms set out in the Sponsorship Application Form and these Additional Terms and Conditions.

“Event” means the event set out in the Sponsorship Application Form.

“Insolvency Event” means the happening of (a) an order being made for the winding up of the Sponsor except for the purposes of a voluntary reconstruction or amalgamation; (b) the Sponsor passing a resolution for its winding up except for the purposes of a voluntary reconstruction or amalgamation; (c) a receiver, provisional liquidator, trustee for creditors or in bankruptcy, an administrator or analogous person being appointed to, or the holder of a security interest taking possession of any property of, the Sponsor; (d) the Sponsor suspending payment of its debts; (e) the Sponsor ceasing or threatening to cease to carry on all or a material part of its business; or (f) the Sponsor being or stating that it is, or is deemed by applicable law to be, unable to pay its debts.

14. Cancellation Sponsor shall provide F5 Networks with advance notice of any cancellation of its sponsorship of the Event. Sponsor is not entitled to any refund in the event of any cancellation.

15. Entire Agreement The Agreement contains the entire agreement between the Organizer and the Sponsor regarding the subject matter hereof and may not be changed orally, but only in mutual writing signed by a duly authorized representative of each part
