1. Scope of ApplicationThese General Terms and Conditions of Advertising shall form an integral component of the contractsconcluded between Mesago Messe Frankfurt GmbH (hereinafter, "Mesago") and the exhibitorconcerning indoor and outdoor advertising or equivalent advertising measures. These Terms andConditions alone shall apply. Any general terms and conditions of business of the exhibitor at varianceherewith shall not be applicable.

2. Outdoor and Indoor Advertising(1) Outdoor and indoor advertising set up away from the leased stand space at the exhibition centershall be subject to charges. The exhibitors registered for an event may only set up advertising in theNuremberg exhibition center away from their leased stand space if the exhibitor has previouslyreceived a written order confirmation for the planned advertising measure from Mesago.(2) Mesago shall be entitled to remove or seize either by itself or through vicarious agents unapprovedor unauthorized outdoor or indoor advertising set up away from leased stand spaces at the cost of theexhibitor.(3) "Outdoor advertising" shall mean exhibitor advertising in the form of posters or equivalentadvertising measures in various sizes and advertising flags during the booked event on the outsidegrounds of the Nuremberg exhibition center.(4) "Indoor advertising" shall mean advertising posters and any type of print or multimedia advertisingon various advertising media and in different sizes inside the exhibition grounds during the bookedevent.(5) These provisions shall apply accordingly to any other types of advertising on the exhibitiongrounds.

3. Orders / Contracts(1) The details described in the shop for exhibitor services, or possible service descriptions orcomparable documents provided by Mesago shall not constitute as an offer from Mesago. They are notbinding.(2) The exhibitor shall issue a binding offer by way of the order for the advertising measures. The ordermust be made in writing. Mesago shall accept such offer by sending an order confirmation.(3) Mesago may implement third-party companies and/or subcontractors to perform the agreedservices.

4. Prices / Terms and Conditions of Payment / Retention Right(1) Unless stipulated otherwise, the prices specified by Mesago are in euros and do not include theapplicable value-added tax.(2) Invoices issued by Mesago shall be due for payment without any deductions immediately uponreceipt of the invoice.(3) The exhibitor shall only have a set-off right, right to refuse performance or a retention right if theexhibitor's counterclaims have been recognized by non-appealable judgment or by Mesago. (4) Theexhibitor shall not be entitled to any retention right due to counterclaims not based on the samecontractual relation as Mesago's claims.

5. Deadlines(1) The deadlines for sending in printed matter or posters may be found in the preprinted order forms ororder confirmations.(2) The customer shall be responsible for the timely delivery of the printed matter and/or posters.Orders for advertising not received in time may be rejected by Mesago.(3) Mesago shall be liable for executing the order in due time and with the due quality, provided theexhibitor duly meets its contractual obligations, particularly provides all materials satisfying the givenquality requirements in a timely fashion.

6. Responsibility for Content(1) The exhibitor shall be responsible for the content of the advertising and any resulting damage. Theexhibitor shall bear the responsibility for the content and legal admissibility of the images and textsprovided for the advertising. The exhibitor shall warrant that no third-party property rights will beinfringed upon through the outside and indoor advertising commissioned by it and executed inaccordance with the information and documents prescribed by it. Mesago shall not be obligated toverify whether the information or documents handed over by the exhibitor to facilitate the serviceinfringe or might infringe on third-party property rights. Mesago shall therefore not warrant the absenceof any third-party claims, unless information or documents are concerned that are provided by Mesago

itself and are not based on content, information, etc. from the exhibitor.(2) Mesago hereby reserves the right to refuse advertising orders due to the content, origin or technicalform in accordance with objectively justifiable reasons, provided the content thereof, in Mesago'sopinion after a due assessment of the circumstances, contravenes the law, administrative regulationsor bonos mores or the publication thereof is unreasonable for Mesago. In addition to the content andoptical overall appearance of the advertising, Mesago shall in this regard take into account qualitativeand aesthetic elements. The rejection of an advertising order shall be communicated to the exhibitorwithout delay.(3) In the event the duties incumbent on the exhibitor in accordance with Paragraphs 1 and 2 arebreached, the exhibitor must indemnify Mesago against all damage compensation and other claims ofthird parties and against all damage arising from the infringement of property rights and, if requestedby Mesago, must render advance payments.

7. Quality / Transmission of Printed Matter / Advertising Means to render performance(1) The customer shall be responsible for providing flawless printed matter that in particular meets therequirements of the General Technical Standards for File Attachments of Nuremberg Messe.Advertising necessary for Mesago to render its performances must be delivered by the exhibitor as ofthe agreed date free of charge to the place of delivery or to the place specified by Mesago. If theexhibitor requests the return of the advertising material provided by it, such return delivery shalltranspire from the place of use at the exhibitor's cost and risk.(2) Mesago shall keep the documents provided by the exhibitor in custody for two weeks after theconclusion of the event. If the exhibitor provides originals (digital media, etc.), the exhibitor shall beobligated to create duplicates. Mesago shall not assume any liability for submissions of the customerthat are not requested back within two weeks after the conclusion of the event.(3) A color plate is to be included in the case of color prints. Otherwise, no warranty shall be assumedfor the proper representation of the colors. Mesago shall immediately request a replacement forobviously unsuited or damaged advertising submissions. Mesago shall warrant (in the sense of theGerman legal term: “gewährleisten”) the print quality common for poster advertising and advertisingflags as feasible based on the possibilities provided by the submitted prints. Separate graphic workand the production of films after the submission of final drawings shall be charged separately. If theexhibitor subsequently requests significant changes to the originally agreed execution, the resultingadditional costs may be billed to the exhibitor in a separate invoice.(4) If any defects in the submitted advertising are not evident immediately but only after processing,the customer must bear the resulting additional costs or losses from the processing.

8. Storage and Return of Advertising Material(1) Mesago shall keep the advertising material provided by the exhibitor in custody for two weeks afterthe conclusion of the event. If the exhibitor does not request the return of the provided advertisingmaterial within this period, Mesago shall be entitled to dispose of the provided advertising material atthe exhibitor's cost. If the exhibitor requests the return of the provided advertising materials in duetime, the return delivery shall be made from the place of use at the exhibitor's cost and risk.(2) Mesago shall not assume any liability for advertising materials that are not requested back withintwo weeks after the conclusion of the event.(3) Paragraphs 1 and 2 shall apply accordingly to advertising material which Mesago itself produces orhas produced for the exhibitor.

9. Warranty(1) The exhibitor shall be obligated to immediately review the performances of Mesago and to protestany defects without delay. If, despite careful inspection, a defect first appears at a later point in time,such defect must be reported immediately after obtaining knowledge of it.(2) In all cases, defect complaints must be received by Mesago 7 days after the conclusion of theevent at the latest.(3) The exhibitor may in principle only demand a subsequent performance as warranty (in the sense ofthe German legal term: “Gewährleistung”). The type of proper subsequent performance shall bedetermined at the discretion of Mesago, which shall also be free to provide a replacement delivery atany time.(4) The exhibitor may only demand the rescission of the contract or a reduction of the compensation ifthe subsequent improvement fails or is ruled out due to the passage of time (e.g. conclusion of event)or is unreasonable for Mesago.(5) Mesago may refuse to remedy the defects so long as the customer has not properly fulfilled itscontractual obligations.

(6) If a defect complaint is made late, all warranty claims shall lapse. This shall also apply if theexhibitor undertakes the changes itself or hinders Mesago in assessing the defects.(7) The warranty period shall be one year. It shall commence with the acceptance of the performanceor, if acceptance is ruled out due to the nature of the performance, after the conclusion of the event.

10. Liability(1) Mesago shall only be liable in the event of damage due to intentional (in the sense of the Germanlegal term “vorsätzlich”) action or gross negligence. Notwithstanding the foregoing, Mesago shallremain liable for a violation of a guarantee (in the sense of the German legal term “Garantie”), theproduct liability according to the German Product Liability Act (“Produkthaftungsgesetz”), culpable (inthe sense of the German legal term: “schuldhaft”) injury to life, body or health or a negligent breach ofmaterial contractual duties. A material contractual duty is a contractual duty, whose performance isnecessary to execute the contract properly and whose performance the other Contract Party mayregularly rely upon. In the case of any slightly negligent breach of material contractual duties,Mesago's liability shall be limited in accordance with the type of performance owed to the foreseeable,direct, average damage typically found in contracts. The above provisions do not imply a change in theburden of proof to the detriment of the exhibitor and do not exclude any claims explicitly granted underthese General Conditions.(2) Paragraph 1 shall apply accordingly to Mesago's liability for its employees, workers, freelancecollaborators and other vicarious agents and representatives and for personal liability thereof.

11. Cancellation of Orders(1) Advertising orders must be cancelled in writing.(2) If cancelled before the printing date, Mesago shall be entitled to invoice the costs incurred up tosuch date. This shall also apply to damage compensation claims based on lost profit, to the extent thecancelled advertising space could not be placed elsewhere by Mesago for the booked period, despitecorresponding efforts.(3) Alternative to Paragraphs 2 and 3 or in the case that no print date has been agreed upon, Mesagoreserves the right to enforce compensation for expenses (lump sum) as follows:(4) - The cancellation of an order as from the date of order confirmation of up to six months prior to theevent: €150.00; a minimum however of the costs incurred to date.(5) - The cancellation of an order as from six months to three months prior to the event: 30% of theagreed payment; a minimum however of the costs incurred to date.(6) - The cancellation of an order as from three months to up to six weeks prior to the event: 50% of theagreed payment; a minimum however of the costs incurred to date.(7) Mesago expressly reserves the right to assert claim for possible additional damages. If cancelledafter the printing date, the exhibitor hereby agrees to pay the total agreed compensation.(8) Paragraphs 1 to 3 shall apply accordingly to Internet advertising. In this regard, the printing dateshall be considered the date the website is created. The cutoff date for the calculation of thecancellation costs shall be the date planned for the appearance of the advertising in the Internet.

12. Unforeseen EventsEvents of force majeure, as well as measures related to labor disputes, shall exonerate Mesago fromthe obligation to fulfill orders and pay damage compensation.

13. Place of Performance and Jurisdiction(1) Stuttgart shall be the place of performance and jurisdiction for all obligations arising from thecontractual relation concerning advertising.(2) Exclusively German law and the German text of these General Terms and Conditions ofAdvertising shall apply. The provisions of the United Nations Convention on Contracts for theInternational Sale of Goods shall not be applicable.
