EXCEPTIONS TO DIR RIGHTS
This Exhibit 18 describes Third Party Materials, Equipment Leases and Third Party Contracts exceptions pursuant to Section 6.4(c) of the Agreement
or as otherwise agreed to by the Parties. Set forth below are the Third Party Materials licenses, Equipment leases and Third Party Contracts for which
Service Provider is financially responsible but for which Service Provider is unable to obtain all of the rights set forth in Section 6.4(c) or otherwise
required by the Agreement. Unless otherwise defined herein, capitalized terms have the meanings set forth in the Agreement or Exhibit 1 to the
Agreement.
LEGEND:
Prohibition or restriction on transfer or assignment include:
A: No prohibition on transfer to TX DIR or TX DIR Customer, but other restrictions as designated in Exhibit 18 may apply (e.g. vendor
notification, etc.)
B: Cannot transfer to designee without TX DIR or TX DIR Customer negotiating terms with supplier
C: Transfer or assignment is not permitted
Approval of counter-party transfer:
D: Yes, with prior written notice
E: Yes, with prior written consent from vendor
F: Yes, but requires signed transfer form approved by vendor
Transfer Fees include:
H: None, if transfer is to TX DIR or TX DIR Customers
I: Transfer to a designee is prohibited
Notice period for cancellation:
Z: 30 days prior to the renewal period
Other restrictions and comments include:
J: Agreement requires Customer to execute a new software license or other similar agreement
K: License transfers only to TX DIR or TX DIR Customer, but not to designee
L: Service Provider volume discounts and maintenance pricing may not be similar to discounts and pricing terms offered to TX DIR or

M: License and Maintenance fees dependent on the hardware configuration
N: License and Maintenance fees dependent on customer discount rate with vendor
O: Continuance of license is dependent upon continuance of a maintenance agreement or renewal of a term agreement
