Welcome from Broadacres

Dear Applicant,

Thank you for your interest in becoming the next Chair of the Broadacres’ Group.

We are excited to be recruiting someone who will be able to build on the achievements of our outgoing Chair, Colin Wilkie, and who will continue to lead us on our Vision to be the Best Rural Housing Association in the country.

Broadacres operates throughout North Yorkshire, an area of high demand. Our location means we have a strong rural focus which makes us different to many housing associations. This rurality combined with high demand brings many interesting opportunities and challenges.

The group was established in 1993 as a stock transfer from Hambleton District Council when it had 4,200 homes. It now has over 6,400 homes, a growing number of shared owners and a private sale arm. We have 350 colleagues, and a turnover of £48m.

As well as our affordable homes we have four extra care schemes, a therapeutic day centre, a women’s refuge, mental health services, learning disabilities services and a young person supported housing project. This is part of the key role we play in the communities we serve. We value the wide range of partners we engage with and this will be an important part of your role as Chair.

Broadacres puts customers at the heart of its decision making which has resulted in our priority on affordable warmth and an improving high customer satisfaction score. We are proud of our welcoming culture and being an enjoyable place to work.

The board has positioned us to be a well performing organisation with a focus to deliver on our ambitious strategy and place-shaping agenda, recently regaining our G1 rating.

Colin Wilkie

Chair

Associate Director and General Manager with Yorkshire and York Primary Care Trust, Hambleton and Richmondshire Primary Care Trust and Northallerton Health Services. Services involving people with mental health issues, learning disabilities, substance misuse and prison health. Currently Chairman of Directors/Trustees of Northdale Horticulture and Public Governor of Tees Esk and Wear NHS Foundation Trust. Key skills are governance, corporate and business planning, performance monitoring, leadership and probity.

Keith Holloway

Fellow of the Chartered Institute of Housing and MA in Policy Studies.

After a lifelong career in social housing, which included working in York, Redcar and Cleveland, and Wakefield, before a decade as CEO of Thames Valley Housing. Keith, in 2008, successfully moved into management consultancy, partnering commercial organisations to deliver governance and leadership development. More recently Keith has completed seven years as a non-executive member of Yorkshire Housing and chaired their Development Committee.

Luke Gallagher An experienced sustainability professional with a background in the housing and education sectors. In recent years Luke has worked for a social housing provider in the North East of England and subsequently for a large regeneration contractor as Head of Sustainability.

Luke is currently employed by the University of Leeds having relocated to Yorkshire and is responsible for developing and delivering the Zero Carbon commitment of the institution.

Luke holds an MSc in Clean Technology and membership of the Energy Managers Association.

Jacqui Bateson

Vice-Chair – Yorkshire Housing and board member at Craven Housing with skills in risk framework and board risk appetite, governance and board member recruitment, board appraisals and developing the strategic direction of the board.

Gordon Perry Joined the board of Broadacres Housing Association following retirement as CEO of Accent Group, a national housing association based in Yorkshire. Previously CEO of the Royal Borough of Kensington and Chelsea TMO and Assistant Director of Housing at both London Borough of Camden and at Bolton Metropolitan Borough. Having worked and lived across the North of England, London and the South East, has experience and expertise in a wide range of strategic housing market issues. Founding Chair of the National Association of ALMOs and a long-standing member of the HCA Provider Panel. As an independent consultant has a keen interest in governance and remains as passionate about social housing since embarking on housing career 38 years ago.

Member of the CIH Governing Board and Trafford Housing Trust, a Housing Association based in in Greater Manchester with a similar history as Broadacres as it is also has homes transferred from the Local Authority. Also joined the board of ARK Housing Consultancy and will support their consultancy with a focus on business planning, mergers, governance, board and executive selection and mentoring.

Martin Warhurst

Chair of Audit Board

Chartered Accountant and Member of the Chartered Institute of Housing since 2010.

BA Honours degree in Accountancy and Finance. Winner of two final year prizes – the Inland Revenue Tax Prize and Best Overall Performance Book Prize.

Jane Mulroy Experienced in a wide variety of high profile executive roles including Executive Director Business Delivery for The Pensions Regulator, Director of Finance, Procurement and Contracting for Chelsea and Westminster Healthcare NHS Trust and Principal Management Consultant for KPMG.

With extensive experience in the banking, university and health sectors.

Ruth Snell Retired solicitor having been a partner of Addleshaw Goddard LLP solicitors. Specialising in property and commercial contracts, Ruth has over 25 years of experience including social housing, commercial and residential property and projects. Ruth worked on transactions involving both private and public sector clients as well as funders. Non-executive director of St Leger Homes of Doncaster (Doncaster Council’s ALMO) and a member of St Leger’s Audit Committee.

Ann O’Hanlon Long service as NHS Chair and Board Member, Business Owner, School Governor, Trustee – Teesside Hospice

Ian Foy Ian’s current non-executive roles include being a board member of Knowsley Housing Trust, board member of Cambridge Judge Business School Executive Education Limited and Chair of Governors at a local primary school.

Ian is an experienced financial services executive with over 25 years’ leadership experience. He has worked extensively across the UK and also internationally. His most recent role was as Managing Director of Age UK’s Community Interest Company. Past roles have included Managing Director for home, motor & specialist lines for Aviva UK; Chief Executive Officer of Equity Insurance Group, a leading UK motor insurer and broker; Chief Executive Officer of IAG NZ (New Zealand’s largest general insurer) and member nominated director of a major pension scheme.

Role Profile

CHAIR DUTIES & RESPONSIBILITIES:

The Chair has particular duties and responsibilities that extend beyond the Board Member role profile.

The Chair leads on the following:

• Provide visionary leadership and ensure clarity of strategic direction to the Board and wider organisation.

• Ensure that the Board delivers its strategic plans and ensures Broadacres sets high standards of corporate governance, securing its viability and sustainability.

• Ensure that the Board satisfies itself as to the integrity of financial information, approving each year's budget, business plan and annual accounts prior to publication.

• In consultation with the Chief Executive set the Board agenda, taking account of the issues and concerns of all Board Members, ensuring that agendas are forward looking to concentrate on strategic issues.

• Encourage and support constructive relationships and team working within the Board and promote a positive culture with strong customer focus.

• Ensure that the Board operates effectively, efficiently and economically; allowing sufficient time for the constructive discussion of complex or contentious issues.

• To ensure that all Board Members make a full contribution to the Board’s affairs, work as an effective team, that their contributions are timely and relevant, and that appropriate standards of behaviour are maintained.

• Build and maintain an effective and constructive working relationship with the Chief Executive, providing leadership, support, advice and challenge as appropriate.

• Hold the Chief Executive to account for the effective management and delivery of strategic aims and objectives.

• Ensure constructive relationships between the Non-Executive and Executive Directors.

• Supporting and appraising the Chief Executive and other members of the Board.

• Ensure that the performance of the Board and its Committees are assessed annually and that strengths are recognised and development areas addressed.

• Ensure the Board receive accurate and timely information to enable the Board to make sound informed decisions, monitor performance effectively and manage strategic risks.

• Ensure that the tenants voice is heard throughout the organisation and that their views are built, where appropriate, into strategic decision making.

• Ensure that new Board Members participate in a full and tailored induction programme facilitated by the Company Secretary, and that Board Members receive appropriate training thereafter.

• Take an active role in Board Member renewal, recruitment and succession planning.

• Lead on Chief Executive recruitment when required.

• Ensure that the Board delegates sufficient authority to its Committees and Chief Executive to enable the business of the Broadacres group to carry on effectively between meetings of the Board and ensure that the Board monitors the use of these delegated authorities.

• Acting between full meetings of the Board in authorising actions required intra vires e.g. banking transactions and legal documents in accordance with relevant mandates.

• To chair the AGM and any other special meetings that may be required from time to time.

• Ensure that the Board obtains professional advice from external sources where necessary.

• To act as an ambassador for Broadacres, attending key stakeholder meetings, and promoting the development of its profile to ensure it is seen to influence on issues regarding housing, rural communities and environmental sustainability.

BOARD MEMBER DUTIES & RESPONSIBILITIES:

Each Board Member has a:

• General duty to act in the interests of the Broadacres group, being committed to the corporate objectives and core values.

• Duty to ensure that the Broadacres group observes its rules.

• Duty to govern the Broadacres group with proper skill and care, contributing to, abiding by and assuming collective responsibility for, board decisions.

LEADERSHIP

• Share accountability for the direction and control of the Broadacres group within the agreed strategy, policy and planning framework, reviewing that framework as necessary.

• Ensure that obligations to stakeholders are understood and reflected in strategy and implementation.

STRATEGY

• Set objectives for the Broadacres group in the context of its aims, strategy and policy and determine the strategic aims and outcomes required.

• Review and evaluate current and future external opportunities, threats and risks together with current and future internal strengths and weaknesses to ensure effective decision making.

• In conjunction with the Board as a whole, be accountable for the quality and effectiveness of the Business Plan in contributing to delivering long term sustainability for Broadacres.

PERFORMANCE MONITORING

• Ensure there are agreed budgets for both revenue and capital expenditure that drive the outcomes set in the Business Plan.

• Review and monitor the performance of the Broadacres group against the Business Plan and ensure that the management information provided to the Board is of the nature and quality required.

RISK

• Ensure that there are systems in place to identify, manage and report risk to safeguard Broadacres’ assets.

• Agree policies and take decisions on all matters that might create significant financial or other risk to the Broadacres group.

• Ensure the operating climate is monitored and appropriate actions taken to deliver a positive climate for staff and board members.

GOVERNANCE

• Ensure that the Broadacres group complies with all legal and statutory obligations and that all regulatory requirements are met.

• In conjunction with the board as a whole, establish and review a Code of Conduct for all Board, Committee Members and staff.

• Assess how Broadacres follows the recommendations of the chosen code of governance and state compliance or non-compliance in Broadacres’ annual review and accounts.

PERSONAL DEVELOPMENT

• Be both well informed (undertake appropriate background reading, develop and maintain an appreciation of the key challenges faced by the Broadacres group) and contribute specialist knowledge, expertise and/or experience to the board.

• Contribute to creating and sustaining the “learning/generative board” by participating in board induction and development activities.

REPRESENTATION

• Promote the reputation and image of the Broadacres group by acting as an ambassador at key events and interfaces with tenants, stakeholders, staff etc., both internally and externally.

Person specification

EXPERIENCE:

• High profile track record of senior leadership and achievement within an organisation of a similar nature, scale and complexity.

• A track record of motivating and leading senior teams to deliver strategic objectives.

• Chairing boards/committees, dealing with governance issues, ensuring high performance and good decision-making.

• Working effectively with a wide range of stakeholders, preferably to include local politicians, investors and funders, commercial partners, regulators, local communities and customers.

• Successful work in political environments where the effective handling of high profile and sensitive issues was achieved, and key decisions influenced positively.

• A background of general & financial management, including management of large & complex budgets in an environment of risk, and a good awareness of funding & treasury matters.

Key terms and conditions

The Role:

Chair

Remuneration:

The annual remuneration for the role is £11,000 per annum, plus reasonable travel expenses.

Time commitment:

The role requires an overall commitment of approximately 30 days per year.

You will be expected to prepare and attend meetings of the Board, to devote adequate time to away days, committees, visiting projects and meeting with the Chief Executive and undertaking training and development events as appropriate, and to attend and participate in reviews linked to individual performance and that of the whole Board.

Term of office:

The tenure length for a Board member is three years. This can be renewed provided this is permitted by the Rules and Broadacres' Code of Governance. All members are restricted to a maximum of six years’ continuous service (i.e. two terms, each of three years).

Meeting schedule:

The Board meets six time per year and has two strategic away days each year.

The committees meet four times each year.

Meetings are on Mondays and begin at 4pm.

Board meetings are held at Broadacres House, Mount View, Standard Way, NORTHALLERTON, North Yorkshire, DL6 2YD.

Key dates and the selection process

CLOSING DATE:

Monday 4th May 2020 (12 noon)

The longlisted will be agreed on Thursday 7th May. Successful candidates will be informed the following day. All unsuccessful candidates will be offered feedback by Campbell Tickell.

FIRST INTERVIEWS:

Wednesday 20th May 2020

Longlisted candidates will be interviewed virtually by a Campbell Tickell panel to include Gera Patel (Partner) and Kelly Shaw (Senior Associate Consultant).

On the same day there will also be an opportunity for candidates to have a virtual conversation with Colin Wilkie (outgoing Chair) and Gail Teasdale (CEO).

TESTING:

w/c 25th May 2020

Shortlisted candidates will be asked to complete an on-line psychometric test to explore leadership style in advance of the final interview.

FINAL INTERVIEWS:

Tuesday 2nd and Wednesday 3rd June 2020

Shortlisted candidates will be invited to an interview with Broadacres panel to include;
