• In the opinion of the Directors, market conditions in the mining and exploration sectors have rendered it very difficult to raise funds to continue exploration at the Tennant Creek Project and elsewhere.
• In January 2016, Excalibur Mining Corporation Limited entered into a Memorandum of Understanding with Dropsuite to acquire 100% of all rights and title in all the issued capital of Dropsuite, followed by agreeing to acquire all of the issued capital of Dropsuite via Greenbase.
• The Proposed Acquisition will be effected by Excalibur Mining Corporation Limited acquiring 100% of the issued capital in Greenbase which, in effect, will allow the Company to acquire, indirectly, 100% of the rights and title in the securities of Dropsuite
