supatreats Australia SUPP'ies Pty Ltd (ACN 604 473 823), a related company ofSupatreats, will manage in Australia the relationship of SGS with Everest and Frosty.We attach an indicative list of products that Supatreats proposes to direct franchiseesto acquire from suppliers identified by Supatreats.

Accordingly, Supatreats wishes to seek immunity from legal action under the Act inrelation to the exclusive dealing as described'above and, for this "purpose" weenclose by way of lodgment on behalf of Supatreats a Form G - Notification "ofExclusive Dealing.

We enclose a cheque in the amount of $100. 00 payable to the ACCC in payment ofthe lodgement fees in this matter.

16. The following are the public benefits which result from exclusive dealing bySupatreats:

6. 1 Unique Products

The Wendy's franchise system allows Supatreats to provide franchisees witha unique range of products created according to unique recipes and methodsand with unique ingredients. By ensuring that only approved products areincluded in the menu items sold to customers, Supatreats reinforces theuniqueness of the Wendy's range of products and thereby strengthens theWendy's brand.

16.2 Identification of Ingredients

As franchisees sell food to the general public, it is important that Supatreats isaware of, and controls, the ingredients of that food. This is because:

6. 2. 1 if food labelling is required, then Supatreats can facilitate that onbehalf of franchisees; and

16. 2. 2 if a manufacturer issues a product recall, then Supatreats cancoordinate that recall (or identify that no recall is necessary) inrelation to franchisees.

16. 3 Consistency of Product Range

The range of products available for consumption is consistent throughoutevery Wendy's Store, thereby providing a number of benefits to the customer.The customers can expect the same high quality service and productsregardless of which Wendy's Store they visit. In addition, the customer hasthe comfort of a familiar menu allowing them to not only make their choiceeasily but also providing them with reassurance based on past visits that theywill receive high quality products and services.

16.4 Familiar Environment

Ensuring that the Wendy's Stores are all designed within the distinctive styleof the Wendy's franchise system means that the appearance, layout, decor,branding and packaging are familiar to customers. This familiarity helps toensure that the customer's experience at any given Wendy's Store is apositive one.

16. 5 Consistency in Price

The exclusive use of approved products from approved suppliers will allow aconsistent price structure to be established throughout the Wendy's franchisesystem. As each franchisee will expend an equivalent cost for goods used inthe production of menu items, consistent prices can be set for those menuitems at all Wendy's Stores. The customer has the benefit of assurance of aconsistency of products available and also a consistency in the cost of thoseproducts.

16. 6 Lower Prices

The proposed conduct will allow Supatreats to, in effect, negotiate for theacquisition of goods on behalf of all franchisees. This will likely allow

franchisees to enjoy volume-based discounts that they would have beenunable to obtain had they individually negotiated with the suppliers. This islikely to translate to lower prices for the franchisees' customers.

16.7 Consistency of Value

The operation of a system that sees consistency in price married withconsistency of product quality means that customers can be certain of acorrelation between cost and quality. This allows customers to not only viewtheir experience as a pleasant one but also to see it as one that is of value tothem.

Public Detriment

17. The public detriment which may result from the exclusive dealing by Supatreats is asfollows:

17. 1 Decreased Competition

Any exclusive dealing conduct will result in a decrease in competition in someway, shape or form. In this given instance the exclusive use of approvedsuppliers will affect competition in the markets within which those approvedsuppliers trade. Supatreats contends that any decrease in competition withinthese markets will be minimal, because under the Franchise Agreement afranchisee may, with authorisation from Supatreats, purchase products (otherthan Core Products) from a supplier who is not an approved supplier.

17.2 Freedom of Choice

The operation of the Wendy's franchise system means that the freedom ofchoice of a given franchisee to choose which goods and services theypurchase is decreased. Despite this, the consistency of product, services,environment, price and quality that this decrease of freedom of choiceprovides results in an overall benefit to the franchisee. Franchisees benefitfrom the commercial viability of purchasing their goods from approvedsuppliers and through participating in a consistent system which helps todevelop and maintain a unique brand that aids the franchisees in their goalsof operating successful businesses.
