Winner Selection: The winner of the Grand Prize (as defined below) will be selected in a randomdrawing from among all eligible entries received throughout the Promotion Period. The randomdrawing will be conducted on or about April 23, 2013 by the Sponsor or its agents, whose decision isfinal. Odds of winning will vary depending on the number of eligible entries received. Potentialwinners will be notified by telephone or other means of communication determined by Sponsor onor about April 26, 2013 (Prize Notification). Potential winner must respond to the PrizeNotification within five (5) business days of date of notification (the Response Deadline) and, if

requested, confirm his/her full name and Participating Organization affiliation or position. The

additional eight winners of the Prize Baskets (as defined below) shall be chosen at random with onewinner chosen each Wednesday during the Promotion Period. Potential winners of the Prize Basketswill be notified within 48 hours of being selected as a winner and shall be notified by telephone orother means of communication as determined by Sponsor. Potential winners must respond andaccept the Prize Baskets within 48 hours of the date of notification and, if requested, must confirmhis/her full name and Participating Organization affiliation or position. Entrants are not winners ofany Prize unless and until entrants eligibility has been verified and entrants have been notified thatverification is complete. Any Prize Notification not responded to or response deemed incomplete ordefective in Sponsors determination may result in disqualification of the Entrant, Prize forfeitureand Sponsor will have no further obligation to such Entrant. In the event of non-compliance with theResponse Deadline or these Official Rules or if the Prizes or Prize Notification are returned, refused,

or returned as undeliverable, or if Sponsor is unable to contact potential winners within a reasonabletime period, then the Prize at issue will be forfeited and an alternate winner will be selected atrandom from the remaining eligible Forms. No substitution or transfer of the Prize is permittedexcept by Sponsor.

Prize: The grand prize winner of the Sweepstakes will receive an advisement (Grand Prize) thatthe affiliated Participating Organization is eligible to receive a $5,000 donation and a Power Rangerspromotional event at the Participating Organization (the Award). Such Award is conditioned onacceptance of the Award by the Participating Organization and such organizations acceptance ofcertain terms and conditions related to the Award (including, without limitation, the right to use theorganizations name in advertising andpromotions related to or referencing the Sweepstakes, the

right to conduct the promotional event at the organization, the right to take individual and/or groupphotographs of the winner and officials at the organization, all such activities to be exercised, or notexercised, in Sponsors sole discretion).Eight (8) additional winners will be selected at random and shall each receive a Power Rangers giftbasket with an approximate retail value (ARV) of $100.00 consisting of Power Rangers toys,booksand educational materials (the Prize Baskets). The Grand Prize and the Prize Baskets shall becollectively referred to herein as the Prize or Prizes of this Sweepstakes.

Sponsor reserves the right in its sole and absolute discretion to award a substitute award of equal orlesser value if the Award or Prizes described in these Official Rules are unavailable or cannot be

awarded, in whole or in part, for any reason. There is no approximate retail value attached to theadvisement of the Award. Sponsor makes no representation or warranty concerning the appearance,safety or performance of the Award or Prizes. Restrictions, conditions, and limitations may apply.Sponsor will not replace any lost or stolen Award or Prize items. All prize details not covered bythese Official Rules shall be in the Sponsor's full discretion.

General Conditions: The Sweepstakes is governed by the laws of the United States and the State ofCalifornia. All federal, state and local laws and regulations apply. The Prizes will only be awarded

and/or delivered to addresses within the United States. All federal, state and/or local taxes, fees, andsurcharges, if any, are the sole responsibility of the Prize winners. Failure to comply with theOfficial Rules or Sponsor's privacy policy referenced above will result in forfeiture of the Prizes andthe Award. If a Prize is forfeited, an additional drawing at random from eligible entries may be madeto determine a winner. Except where prohibited by law, all winners grant permission for thePromotion Entities, their advertising and promotional agencies, and those acting under theirauthority to use each winners name, photograph, voice and/or likeness, for advertising and/or

publicity purposes in connection with or referencing the Sweepstakes and/or the Award in all media

now known or hereafter discovered, worldwide and on the world wide web, without notice, review,approval, or additional compensation.

Conduct: Sponsor reserves the right at its sole discretion to disqualify any individual it finds to betampering with the entry process to or the operations of any of the Sweepstakes; to be acting inviolation of the Official Rules or Sponsor's privacy policy; or to be acting in an unsportsmanlike ordisruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION:ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THELEGITIMATE OPERATION OF THE SWEEPSTAKES OR SPONSOR'S WEBSITE USED INCONNECTION WITH THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVILLAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT

TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTEDBY LAW.

Disclaimer and Limitation of Liability: The Promotion Entities are not responsible for anyincorrect, incomplete, illegible or inaccurate entries. Promotion Entities assume no responsibility forany misdirected or lost mail, faxes, emails or any error, omission, interruption, deletion, defect,delay of operation or transmission, communications line failure, theft, loss or destruction orunauthorized access to, or alteration of, entries. Promotion Entities are not responsible for anyproblems or technical malfunction of any telephone network or lines, mobile servers or providers,computer equipment, software, failure of email or communication/public address systems on accountof technical problems. If, for any reason, the Sweepstakes is not capable of running as planned,

including without limitation, unauthorized intervention, fraud, technical failures, or any other causesbeyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrityor proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion to cancel,terminate, modify or suspend the Sweepstakes without liability to the entrants or third parties. Insuch event, Sponsor may, in its sole discretion, perform the random drawing from among all eligibleentries received prior to or after such cancellation, suspension, or modification.

ALL ENTRANTS, AS A CONDITION OF ENTRY INTO THE PROMOTION, AGREE TO

INDEMNIFY, RELEASE, AND HOLD HARMLESS, THE SPONSOR, ITS PARENT

COMPANY, SUBSIDIARIES AND AFFILIATED COMPANIES AND EACH OF THEIR

RESPECTIVE OFFICERS, DIRECTORS, REPRESENTATIVES, AGENTS, EMPLOYEES,

AND THE PROMOTION ENTITIES FROM AND AGAINST ANY AND ALL LIABILITY,LOSS, CLAIMS, DEMANDS OR ACTIONS OF ANY KIND WHATSOEVER FOR

INJURIES, DAMAGES, OR LOSSES TO PERSONS OR PROPERTY WHICH MAY BE

SUSTAINED IN CONNECTION WITH: (A) ACCESSING ANY PROMOTION PAGE; (B)

SUBMITTING AN ENTRY OR OTHERWISE PARTICIPATING IN ANY ASPECT OF

THE PROMOTION; (C) THE RECEIPT, ACCEPTANCE, OWNERSHIP OR USE, MISUSE,

OR LOSS OF ANY PRIZE AWARDED; OR (D) ANY TYPOGRAPHICAL OR OTHER

OF THE PRIZES. SPONSOR MAKES NO WARRANTY, GUARANTEE, OR

REPRESENTATION OF ANY KIND CONCERNING ANY PRIZE AND SPONSOR

SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTIBILITY,

WARRANTY OF FITNESS, AND ANY OTHER IMPLIED WARRANTY.

Dispute Resolution and Choice of Law: Except where prohibited, Entrants (their parents/legal

guardians if residents of a jurisdiction that deems them to be minors) agree that: (1) any and all

disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any

Award or Prize awarded, or the determination of the winners, shall be resolved individually, without

resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the

American Arbitration Association, then effective; and (2) any and all claims, judgments and awards

shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this

Sweepstakes but in no event attorneys feesor expert witness fees; and (3) under no circumstances

will Entrant be permitted to obtain awards for and Entrant hereby waives all rights to claim punitive,

incidental and consequential damages and any other damages, other than for actual out-of-pocket

expenses, and any and all rights to have damages multiplied or otherwise increased. If Entrant

cannot be bound to arbitration according to local laws, all disputes, claims, and causes of action shall

be resolved individually, without resort to any form of class action, in an action in a State or Federalcourt located in Los Angeles, California. All issues and questions concerning the construction,

validity, interpretation and enforceability of these Official Rules, or the rights and obligations of

Entrant and/or Promotion Entities in connection with the Sweepstakes, shall be governed by, and

construed in accordance with, the laws of the State of California, without regard for conflicts of law

doctrine of any jurisdiction.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the

validity or enforceability of any other provision so long as the general intent of these Official Rules

remains in effect. In the event that any such provision is determined to be invalid or otherwise

unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid

or unenforceable provision was not contained therein.

Winners List: To obtain a copy the winners list send the applicable request and a self-addressed,stamped, #10 envelope to Winners List, Power Rangers emPOWER2013 Sweepstakes, c/o SCGPower Rangers LLC, 10100 Santa Monica Blvd., Suite 500, Los Angeles, CA 90067. Request mustbe received no later than December 31, 2013. Vermont residents may omit return postage forwinners list requests.
