REQUEST FOR EXPRESSION OF INTEREST

Consulting Services for theSPECIALIZED COMMUNICATION PROGRAM:

STRATEGIC REGIONAL COMMUNICATION AND INVESTORRELATIONS CAMPAIGN FOR CLARK

1. The Bases conversion and Development Authority (BCDA), through its2017 Corporate Budget approved by the BCDA Board of Directors,intends to apply the sum of Eight Million Five Hundred ThousandPesos (Php8,500,000.00) inclusive of all applicable taxes, fees, andincidental expenses, being the Approved Budget for the Contract (ABC)for the Consulting Services for the Specialized CommunicationProgram: Strategic Regional Communication and Investor RelationsCampaign for C1.ark. Bids received in excess of the ABC shall beautomatically rejected at the opening of the financial proposals.

2. The Eligibility Documents, including the Terms of Reference (TOR) forthe project may be downloaded from the BCDA website(www.bcda.gov.ph) or can be secured from 9 November 2017 to 23November 2017, from 8:00 am to 5:00 p.in. at the BCDA CorporateCenter, 2/F, Bonifacio Technology Center, 31st Street, corner 2ndAvenue, Bonifacio Global City, Taguig City-except Saturdays,Sundays and Holidays.

3. BCDA rlow calls for the submission of eligibility docriments forConsulting Services for the Specialized Communication Program:Strategic Regional Communication and lnvestor Relations Campaign forClark. The Consultant's work includes but shall not be limited to theimplementation of a holistic communication campaign in order to buildinvestor confidence in BCDA and its various projects in Clark toprospective investors and key business leaders in the Asia Pacificregion.

4. A pre-eligibility conference for the discussion of Eligibility Documentswill be conducted on 20 November 2017 at the BCDA CorporateCenter, with the same address given above.

5. Prospective bidders must submit their Eligibility Documents on orbefore 23 November 2017 (Wednesday) at 9:00 AM at the BCDACorporate Office (same address above). Applications for eligibility willbe evaluated based on a non-discretionary "pass/fall" criterion. TheOpening of Eligibility Documents is on the same day at 9:30 AM at theBCDA corporate office (same address above).

5. The BAG for consultaney sha.11 draw up a shortlist of at most seven (7)consultants from those who have submitted the eligibility documents,and have been determined as eligible in accordance with the provisionsof Republic Act (RA) 9184, otherwise known as the "GovernmentProcurement Reform Act", and its Implementing Rules and RegulationsqRR). Shortlisted bidders shall be entitled to submit bids.

6. The bidder must be registered with the Philippine GovernmentElectronic Procurement System (htto: / /www.DhilgeT]s.gov.Dh) as alegitimate service provider for government requirements and must havethe following qualifications:

a. The consulting Firm must strictly be a communication firm with.aregional affiliation in the Asia Pacific.

b. The Consulting Firm must ha.ve handled at least three (3)communication projects either for government or private firms.

c. - The Consulting Firm must have at least five (5) years busin;ssoperations. In the case of joint ventures, any of the partnersshould have at least five (5) years business operations.

d. The Consulting Firm must have a partner affiliate in the AsiaPacific region that : ,

i. has at least five (5) years business operations;ii. an established regional presence in handling clients in

government, multinational and/or financial institutions,and doing investment promotions, stakeholder andreputation management, strategic communicationssolutions, cross-market research and/or business advisoryservices in the Asia Pacific region;

iii. has a strong and established presence in the ASEAN and

the Asia Pacific region-with at least one (1) office within theregion aside from the Philippines.has strong and established media network in the AsiaPacific, that includes ASEAN-member countries, as well asChina, Japan, Hong Kong, Taiwan, and/ or Australia.must have handled at least three (3) projects in theabovementioned industries amounting to at least half theprice of the Approved Budget for Contract (ABC).

7. The Consultant must be assessed based on the most favorablecompliance of the criteria set by BCDA.

9. Bidding shall be conducted through open competitive bidding proceduresand is subject to the conditions for`eligibility as specified in the IRR ofRA 9184.

10. Bidding is restricted to Filipino citizens/sole proprietorships,cooperatives, and partnerships or organizations with at least sixtypercent (60%) interest or outstanding capital stock belonging to citizensof the Philippines.

11. BCDA shall evaluate the bids using the Quality-Based Evaluation (QBE)procedure.

12. The Contract for the Specialized Communication Program: StrategicRegional Communication and Investor Relations Campaign for Clarkshall be completed within six (6) months from receipt of Notice toProceed (NTP).

13. The BCDA reserves the right to rej-ect any and all bid-s, declare a failureof bidding, or not award the contract at any time prior to contract awardin accordance with Section 41 of RA 9184 and its IRR, without therebyincurring any liability to the affected bidder/ s.

Section 11ELIGIBILITY DOCUMENTS

1. Eligibility criteria

1.1. The following persons/entities shall be allowed to participa.tein the bidding for Consulting Services:

(a) Duly licensed Filipino citizens/sole proprietorships;

a) Partnerships duly organized under the laws of thePhilippines and of which at least sixty percent (60%) ofthe interest belongs to citizens of the Philippines;

(c) Corporations duly organized under the laws of thePhilippines and of which at least sixty percent (60%) ofthe outstanding capital stock belongs to citizens of thePhilippines;

(d) Cooperatives duly organized under the la.ws of thePhilippines; or

(e) Persons/entities forming themselves into a jointventure, I..e., a group of two (2) or more persons/entitiesthat intend to be jointly and severally responsible orliable for a particular contract: Provided, however, ThatFilipino ownership or interest thereof shall be at leastsixty percent (60%). For this purpose, Filipinoownership or interest shall be based on thecontributions of each of the members of the jointventure as specified in their JVA.

1.2. When the types and fields of Consulting Services involve thepractice of professions regulated by law, those who willactually perform the services shall be Filipino citizens andregistered professionals authorized by the appropriateregulatory body to practice those professions and alliedprofessions specified in the EBS.

1.3. If the Request for Expression of Interest allows participationof foreign consultants, prospective foreign bidders rna.y beeligible subject to the conditions stated in the EE±§.

1.4. Government owned or -controlled corporations (GOCCs) rna.ybe eligible to participate only if they can establish that they (a)are lega.lly and financially autonomous, (b) operate under

commercial law, cnd (c) are not attached agencies of theProcuring Entity.

1. Eligibility Requirements

2.1. The following eligibility requirements, together with theEligibility Documents Submission Form, shall be submittedon or before the date of the eligibility check specified in theRequest for Expression of Interest and Clause 5 for purposesof determining eligibility of prospective bidders :

(a) Class "A" Documents -

(i) PhilGEPS Certificate of Registration andMembership in accordance with Section 8.5.2 ofthe IRR, except for foreign bidders participating inthe procurement by a Philippine Foreign ServiceOffice or Post, which shall submit their eligibilitydocuments under Section 24.1 of the IRR,provided, that the winning Consultant shallregister with PhilGEPS in accordance with Section37.1.4 of the IRR;

(ii) Statement of the prospective bidder of all itsongoing and completed government and privatecontracts, including contracts awarded but notyet started, if any, whether similar or not similarin nature and complexity to the contract to be bid,within the relevant period provided in the EB§.The statement shall include, for each contract,the following:

(ii.1) the name and location of the contract;

(ii.2) date of award of the contract;

(ii.3) type and brief description of consultingservices;

(ii.4) consultant's role (whether main consultant,subconsultant, or partner in a JV)

(ii.5) amount of contract;

(ii.6) contract duratioi; and

(ii.7) certificate of satisfa.ctory completion orequivalent document specified in the EQ§issued by the client, in the case of acompleted contract;

(iii) Statement of the consultant specifying itsnationality and confirming that those who willactually perform the service are registeredprofessionals authorized by the appropriateregulatory body to practice those professions andallied professions in accordance with Clause 1.2,including their respective curriculum vitae.

0 Class "B" Document -

If applicable, the Joint Venture Agreement (JVA) in casethe joint venture is already in existence, or dulynotarized statements from all the potential j oint venturepartners in accordance with Section 24.1(b) of the IRRof RA 9184.

2.2. The eligibility requirements or statements, the bids, and allother documents to be submitted to the BAC must be inEnglish. If the eligibility requirements or statements, the bids,and all other documents submitted to the BAG are in foreignlanguage other than English, it must be accompanied by atranslation of the documents in English. The documents shallbe translated by the relevant foreign government agency, theforeign government agency authorized to translatedocuments, or a registered translator in the foreign bidder'scountry; and shall be authenticated by the appropriatePhilippine foreign service establishment/post or theequivalent office having jurisdiction over the foreign bidder'saffairs in the Philippines. The English translation shall govern,for purposes of interpretation of the bid.

2.3. Prospective bidders may obtain a full range of expertise byassociating with individual consultant(s) and/or otherconsultants or entities through a LJV or subcontractingarrangements, as appropriate. However, subconsultants mayonly participate in the bid of one short listed consultant.Foreign Consultants shall seek the participation of FilipinoConsultants by entering into a JV with, or subcontracting partof the project to, Filipino Consultants.

2. Format and signing of Eligibility Documents

3.1. Prospective bidders shall submit their eligibility documentsthrough their duly authorized representative on or before thedeadline specified in Clause 5.

3.2. Prospective bidders shall prepare an original and copies of theeligibility documents. In the event of any discrepancy betweenthe original and the copies, the original shall prevail.

3.3. The Eligibility Documents Submission Form shall be signedby the duly authorized representative/ s of the Bidder. Failureto do so shall be a ground for the rejection of the eligibilitydocuments.

3.4. Any interlineations, erasures, or overwriting shall be valid onlyif they are signed or initialed by the duly authorizedrepresentative/ s of the prospective bidder.

4. Sealing and Marking of Eligibility Documents

4.1. Prospective bidders shall enclose their original eligibilitydocuments described in Clause 2.1, in a sealed envelopemarked "ORIGINAL -ELIGIBILITY DOCUMENTS". Each copythereof shall be similarly sealed duly marking the envelopesas "COPY NO. - ELIGIBILITY DOCUMENTS". Theseenvelopes containing the original and the copies shall then beenclosed in one single envelope.

4.2. The original and the number of copies of the eligibilitydocuments as indicated in the EES_shall be typed or writtenin ink and shall be signed by the prospective bidder or its dulyauthorizedrepresentative/s.

4.3. All envelopes shall:

(c) contain the name of the contract to be bid in capitalletters;

(d) bear the name and address of the prospective bidder incapital letters;

(e) be addressed to the procuring Entity's BAG specified inthe EH2S;

(I) bear the specific identification of this project indicatedin the EPS; and

(g) bear a warning "DO NOT OPEN BEFORE...'' the dateand time for the opening of eligibility documents, inaccordance with Clause 5.

4.4 Eligibility documents that are not properly sealed and marked,as required in the bidding documents, shall not be rejected,but the bidder or its duly authorized representative shallacknowledge such condition of the documents as submitted.The BAG shall assume no responsibility for the misplacementof the contents of the improperly sealed or marked eligibilitydocuments, or for its premature opening.

Deadline for Submission of Eligibility Documents

Eligibility documents must be received by the Procuring Entity'sBAG at the address and on or before the date and time indicated inthe Request for Expression of Interest and the EBS.

Late Submission of Eligibility Documents

Any eligibility documents submitted after the deadline forsubmission and receipt prescribed in Clause 0 shall be declared"Late" and shall not be accepted by the Procuring Entity. The BAGshall record in the minutes of submission and opening of eligibilitydocuments, the Bidder's name, its representative and the time theeligibility documents were submitted late.

7. Modification and withdrawal of Eligibility Documents

7.1. The prospective bidder may modify its eligibility documentsafter it has been submitted; provided that the modification isreceived by the Procuring Entity prior to the deadline specifiedin Clause 5. The prospective bidder shall not be allowed toretrieve its original eligibility documents, but shall be allowedto submit another set equally sealed, properly identified,linked to its original bid marked as "ELIGIBILITYMODIFICATION" and stamped "received" by the BAG.Modifications received after the applicable deadline shall notbe considered and shall be returned to the prospective bidderunopened.

7.2. A prospective bidder may, through a letter of withdrawal,withdraw its eligibility documents after it has been submitted,for valid and justifiable reason; provided that the letter ofwithdrawal is received by the Procuring Entity prior to the

deadline prescribed for submission and receipt of eligibilitydocuments.

7.3. Eligibility documents requested to be withdrawn inaccordance with this Clause shall be returned unopened tothe prospective bidder concerned. A prospective bidder thatwithdraws its eligibility documents shall not be permitted tosubmit another set, directly or indirectly, for the same project.A prospective bidder that acquired the eligibility documentsmay also express its intention not to participate in the biddingthrough a letter which should reach and be stamped by theBAG before the deadline for submission and receipt ofeligibility documents.

8. Opening and preliminary Examination of EligibilityDocuments

8.1. The BAG will open the envelopes containing the eligibilitydocuments in the presence of the prospective bidders'representatives who choose to attend, at the time, on the date,and at the place specified in the EPS. The prospective bidders'representatives who are present shall sign a registerevidencing their attendance.

In case the submitted eligibility envelopes cannot be openedas scheduled due to justifiable reasons, the BAC shall takecustody of the said envelopes and reschedule the opening onthe next working day or at the soonest possible time throughthe issuance of a Notice of Postponement to be posted in thePhilGEPS website and the website of the Procuring Entityconcerned.

8.2. Letters of withdrawal shall be read out and recorded duringthe opening of eligibility documents and the envelopecontaining the corresponding withdrawn eligibility documentsshall be returned unopened to the withdra.wing prospectivebidder.

8.3. The eligibility documents envelopes and modifications, if any,shall be opened one at a time, and the following read out andrecorded:

ai) the name of the prospective bidder;

(i) whether there is a modification or substitution; and

0) the presence or absence of each document comprisingthe eligibility documents vis-aTvis a checklist of therequired documents.

8.4. The eligibility of each prospective bidder shall be determinedby examining each bidder's eligibilfty requirements orstatements against a checklist of requirements, using non-discretionary "pass/fall" criterion, as stated in the Request forExpression of Interest, and shall be determined as either"eligible" or "ineligible." If a prospective bidder submits thespecific eligibility document required, he shall be rated"passed" for that particular requirement. In this regard, failureto submit a requirement, or an incomplete or patentlyinsufficient submission, shall be considered "failed" for theparticular eligibility requirement concerned. ,If a prospectivebidder is rated "passed" for all the eligibility requirements, heshall be considered eligible to participate in the bidding, andthe BAG shall mark the set of eligibility documents of theprospective bidder concerned as "eligible." If a prospectivebidder is rated "failed" in any of the eligibility requirements,he shall be considered ineligible to participate in the bidding,and the BAC shall mark the set of eligibility documents of theprospective bidder concerned as "ineligible." In either case, theBAG chairperson or his duly designated authority shallcountersign the markings.

Short Listing of Consultants

9.1. Only prospective bidders whose submitted contracts aresimilar in nature and complexity to the contract to be bid asprovided in the EPS shall be considered for short listing.

9.2. The BAG shall draw up the short list of prospective biddersfrom those declared eligible using the detailed set of criteriaand rating system to be used specified in the EE2S.

9.3. Short listed consultants shall be invited to participate in thebidding for this project through a Notice of Eligibility andShort Listing issued by the BAC.

10. Protest Mechanism

Decision of the Procuring Entity at any stage of the procurementprocess may be questioned in accordance with Section 55 of the IRRof RA 9184.

BUDGET: Eight Million Five Hundred Thousand Pesos (Php8,500,000.00) Inclusive of all applicable taxes, fees, andincidental expenses

BACKGROUND:

The Bases Conversion and Development Authority (BCDA) ismandated by Republic Act 7227 (Bases Conversion andDevelopment Act of 1992) to convert former US military bases andMetro Manila camps to economic centers of growth. Among the areasunder the stewardship of BCDA is the Clark Special Economic Zone.

The Clark Special Economic Zone is one of the Philippines' top zonesfor employment and export. Located within the zone are pioneerlocators Yokohama and Nanox and an international gateway, theClark International Airport. BCDA will continue to enhance the areato bring in more locators through the expansion of the ClarkInterna.tional Airport Terminal, the creation of new mass transitprojects and the development of the 9,450-hectare New Clark City.

The New Clark City will be the Philippines' largest and first smart,green, disaster-resilient city where nature, 1ifestyle, business,education and industry converge. This is the government's boldsolution to the daily challenges of the people as it aims to decongesttraffic, create jobs, and alleviate the impact of high prices.

The total cost of the full development of New Clark City is estimatedat Php 607 billion. At full development, Clack Green City will havesome 1.02 million residents, 582,000 workers and contribute a grossoutput of approximately USD30.94 billion per year to the nationaleconomy or roughly four percent share in the county's GrossDomestic Product (GDP).

To date, BCDA is accelerating initiatives for the promotion of Clarkas Asia's next investment center.

11. RATIO NALE:

BCDA is now positioning Clark as a premier Asian hub. As part ofits rebranding activities, the launch of the new Clark brand isscheduled in the first quarter of 2018.

Vital to the la.unch of Clark is the implementation of a StrategicRegional Communication and Investor Relations Campaign for Clark(the Program) in Asia Pacific that will promote BCDA as a credibleinvestment partner, and Clark.-with its key components consistingof the Clark Freeport and Special Economic Zone, the ClarkInternational Airport and the New Clark City-as a premierinvestment destination to prospective investors, 1ocators andpartners in the Asia Pacific region.

The utilization of international media and other communicationplatforms will facilitate the introduction of the development conceptand investment opportunities in Clark to prospective businesspartners in the Asia Pacific region. The publicity that is expected tobe generated from the international media exposure will complementand boost the ongoing marketing promotions for Clark and itsvarious components. Public relations and publicity management viamedia assets will help push the marketing objectives for Clark.

Ill. OBJECTIVES :

The general objective of the Program is to implement a holisticcommunication campaign in order to build investor confidence inBCDA and its various projects in Clark to prospective investors andkey business leaders in the Asia. Pacific region.

• To position BCDA as a credible business partner and promoteClark as a globally competitive investment hub;

• To generate investor trust and confidence in BCDA and itsprojects that. would consequently translate to actual investmentsin Clark.

IV. STRATEGIC REGIONAL COMMUNICATION AND INVESTORRELATIONS CAMPAIGN FOR CLARK (THE PROGRAM)

Based on these specific objectives, the consultant shall develop andexecute a 6-month Strategic Communication and lnvestorRelations Campaign for Clark in the Asia Pacific region, whichwill define strategies that will address the aforementioned objectives.The Program should include, among others, the following:

V. MINIMUM QUALITIES OF THE PROGRAM

The proposed Program must incorporate the following qualities:

A. Strategic Thinking and Planning

Through the Program, the proponent must be show that it ishighly capable to pro-actively manage and project Clark's imageand reputation as a premier investment hub in Asia Pacific. Theproponent must formulate and describe in the Program a highlyfocused communication plan utilizing conventional and non-conventional communication strategies, methodologies, tools,and activities.

This requires an integrated marketing communication approachin the implementation of the overall Program.

The proponents must be able to craft in the Program the mainnarrative of Clark and its media profiling strategies.

8. Effective Mobilization of Wide Media Networks in the AsiaPacific Region

Through the Program, the proponent must be able to show itscapability to mount effective media blitzes in the Asia Pacificregion.

The proponent's Program should include, among others, a list oftheir media contacts, (i.e. editors, columnists, reporters, programhosts etc.), and their corresponding media and or programaffiliations such as newspapers, radio stations, TV networks,magazines, etc. for purposes of strategic message management.

C. Utilization of non-traditional communication tools, channelsand approaches.

The Program must include the use of non-traditionalcommunication tools, channels and approaches in thecommunication plan in order to actively engage the targetaudience for maximum Impact.

VI. APPROVED BUDGET FOR THE CONTRACT

The Approved Budget for the Contract (ABC) for the ConsultingServices for Strategic Regional Communication and InvestorRelations Campaign for Clark is Eight Million Five HundredThousand Pesos (Php 8,500,000.00) inclusive of all applicabletaxes, fees, and out-of-pocket expenses such as transportation,accommodation, press event materials, hospitality andmiscellaneous expenses of the proponent's project team.

VII. CONTRACT TERM

The Consultant shall provide the required services for the period ofsix (6) months. The implementation of the SpecializedCommunication Program: Strategic Regional Communication andInvestor Relations Campaign for Clark shall be completed within six(6) months, from the date indicated in the Notice to Proceed.

VIII. SCOPE OF WORK/TECHNICAL SPECIFICATIONS:

A. Formulation of an Overall Regional Communication andInvestor Relations Campaign for Clark. The Program shallIncorporate an integrated marketing approach for Clark and allits components including the Clark Freeport and SpecialEconomic Zone, Clark International Airport and New Clark City,using media and other communication tools and venues.

8. Environmental Scanning and Assessment. Keep track ofregional competition and recommend media activities that willpromote Clark to the target market. Monitor BCDA-related newsand issues in the Asia Pacific media and notify BCDA accordingly,providing recommended course of action.

C. Media Pro filing. Craft media profiling strategies for Clark.

D. Messaging. Create key messages and prepare the requiredbriefing materials.

E. Editorial Services. Write/edit articles, press and photo releases,editorials, column feeds, and letters to the editor, as necessary.

F. Publicity Management. Prepare and disseminate articles, photoreleases, press kits to appropriate media and arrange mediainterviews with principals and spokespersons.

G. Media Networking. Create for, or extend to, the BCDA topmanagement an extensive network with the various editoriallevels of media-publishers, editors, columnists, and reporters ofleading print, online and broadcast media outfits in the AsiaPacific Region-by facilitating meetings and interviews.

H. Media Events, and/or Investors Briefing. Plan, implement andmanage media, and/ or investor relations events, such as, but notlimited to press tours, press conferences, briefings, and businessforum that will help promote Clark to its target market in theregion.

I. Assign a team to the BCDA account. The communication teamshall be composed of a communication strategist, projectdirector, publicity management specialist, and writer. Themembers of the proposed communication team must have therequired years of experience and must have handled projectssimilar to the requirement in the Asia Pacific region, relevant tohis/her function in the team as specified in item No. IV. Selectionof the consultant of this TOR.

J. Report to BCDA on a monthly basis. The communication teamshall report the results of the implementation of thecommunication program, using qualitative and quantitativeparameters monthly.

K. Revise or modify the communication program, whennecessary. This is upon the request and/or approval by BCDA.

IX. DELIVERABLES :

A. Formulate and execute a Strategic Regional Communication andInvestor Relations Campaign for Clark, approved by BCDA withthe provision to revise as the need arises. The Program mustinclude the main narrative of Clark and its media profilingstrategies and a media engagement plan. The Program will bepart of an inception report which will be submitted within twoweeks upon receipt of Notice to Proceed.

D. Facilitate quad-media interviews and media guestings for topofficials.

E. Prepare at least four (4) press releases and/or media kits, asnecessary.

F. Arrange, conduct, facilitate and implement at least three (3)media or investor relations events such as, but not limited to,press conferences, briefings, press tours, business conferencesand forums.

G. Arrange, conduct and facilitate meetings between BCDA, CIACand CDC officials and editors, reporters, columnists, andtelevision commentators, anchors and other personalities ofleading regional publications and networks.

H. Brief and advice spokespersons on how to deliver key messagesand handle the media interviews.

I. Assign a team to the BCDA account. The communication teamshall be composed of a communication strategist, projectdirector, publicity management specialist, and writer. Themembers of the proposed communication team must have therequired years of experience in the Asia Pacific region, relevant tohis function in the team.

J. Submit a monthly report summarizing all works carried outunder the program.

K. Submit a terminal report to BCDA summarizing all works carriedout under the program, including the consultant's assessmentsand recommendations.

X. SELECTION OF THE CONSULTANT

The qualifications/requirements which shall be the basis for theselection of the CONSULTANT are the following:

A. The Consulting Firm must strictly be a communication firm witha regional affiliation in the Asia Pacific.

8. The Consulting Firm must have handled at least three (3)communication projects either for government or privatecontracts.

C. The Consulting Firm must have at least five (5) years businessoperations. In the case of joint ventures, any of the partnersshould have at least five (5) years business operations.

D.The Consulting Firm must have an affiliate (regionalcommunication firm) in the Asia Pacific region that :

a. has at least five (5) years business operations;b. an established regional presence in handling clients in

government, multinational and/or financial institutions,and doing investment promotions, stakeholder andreputation management, strategic communicationssolutions, cross-market research and/ or business advisoryservices in the Asia Pacific region;

c. has a strong and established presence in the ASEAN andthe Asia Pacific region-with at least one (1) office withinthe region aside from the Philippines.

d. has strong and established media network in the AsiaPacific, that includes ASEAN-member countries, as well asChina, Japan, Hong Kong, Taiwan, and/ or Australia.

e. must have handled at least three (3) projects in theabovementioned industries amounting to at least half theprice of the Approved Budget for Contract (ABC).

E. The Consulting Firm must assign a communication team with thefollowing qualifications:

An oral presentation of the corporate profile and the proposedStrategic Regional Communication and Investor Relations Campaignis required as part of the evaluation.

XII. METHODOLOGY

The prospective consultants' proposals shall be evaluated based onthe Qttaz€tg Based! Evaluation /QBE/. Each consultant shall submittechnical and financial proposals simultaneously in separate sealedenvelopes. The technical proposal shall be considered in theEvaluation of the consultants and shall be given a weight of onehundred percent ( 100°/o) .

The total minimum score for the consultant's technical proposal of70% must be met. Only the consultants who meet the minimumtotal technical score of 70°/o shall be ranked in descending orderbased on the combined numerical ratings of their technicalproposals, from which the highest rated bid will be identified.

Only the consultant who gets the Highest Rated Bid shall be invitedfor the opening of the Financial Proposal. Total calculated bid priceswhich exceed the approved budget for the contract shall not beconsidered. The name of the consultant, the quality scores and theproposed prices shall be read and recorded when the financialproposals are opened. Negotiations shall be undertaken with theconsultant who is first in rank.

The financial proposals shall not exceed the approved budget for thecontract and shall be deemed to include the cost of all taxes, duties,fees, levies and other charges imposed under applicable laws.

XIII. STANDARD OF SERVICES

The Consultant shall fulfill its obligations under the contract byusing its technical expertise and according to the best-acceptedprofessional and industry standards. The Consultant shall exerciseall reasonable skill, care, diligence, and prudence in the dischargeof the duties agreed to be performed and shall always work in thebest interest of BCDA. To attain these, the consultant shall providepersonnel with sufficient qualifications and experience to ensure thefull and satisfactory accomplishment of the required

. services/undertakings.

The services shall be conducted by the Consultant in accordancewith the instructions or directions made or to be made by BCDA atany time before its completion. The Consultant shall conduct regular

consultation with BCDA in relation to the undertaking of itsresponsibilities under the Contract.

XIV. CONFIDENTIALITY CLAUSE

The Consultant warrants the full confidentiality of all informationgathered for the consultancy contract given by BCDA, unless thelatter indicates the contrary. The Consultant shall not disclose anycommunication disclosed to him for the purpose of this Services.After the completion of the contract, all materials, data, and otherrelated documents provided must be returned to BCDA.

The Consultant shall not be engaged by any person or entity whosebusiness or interests are against the interests of BCDA. Thisprohibition shall subsist for a period of two (2) years after theexpiration of the contract.

For this purpose the Consultant shall enter into a Non-DisclosureAgreement with BCDA.

XV. LIQUIDATED DAMAGES

The Consultant obligates itself to perform and complete all theServices within the period specified in the Terms of Reference andthe Contract beginning from the starting date exclusive of suchextensions of time as may be mutually agreed upon in writing.Should the Consultant fail to complete the Services within thestipulated time, liquidated damages, not by way of penalty, shall bepaid to BCDA by the Consultant in an amount equal to one-tenth ofone percent (1 / 10 of 1%) of the cost of the unperformed portion forevery day of delay.

XVI. TAX LIABILITIES OF THE CONSULTANT

The Consultant shall submit audited financial statements, stamped"received" by the BIR for the immediately preceding calendar year,showing, among other things, the consultant's total and currentassets and liabilities.

XVII. PERFORMANCE SECURITY

Prior to the signing of the Contract, the Consultant shall post infavor of BCDA a Performance Security to guarantee the Consultant'sfaithful performance of all obligations and undertakings under the

Contract. The Performance Security may be in any of the followingforms or a combination thereof:

A. Cash or cashier's/manager's check issued by a Universal orCommercial Bank

- Five percent (5%) of total Contract Price;

8. Bank draft/guarantee or irrevocable letter of credit issued by aUniversal or Commercial Bank: Provided, however, that it shallbe confirmed or authenticated by a Universal or CommercialBank, if issued by a foreign bank - Five percent (5%) of totalContract Price;

C. Surety bond callable upon demand issued by a surety orinsurance company duly certified by the Insurance Commissionas authorized to issue such security- Thirty percent (30%) of totalContract Price.

The Performance Security shall comply with and reflect the followingconditions:

A. It shall guarantee the payment of the amount of the security aspenalty in the event it is established that the Consultant is indefault in the performance of its obligations under the Contract;

8. It shall be co-terminus at least with the final completion of theServices including time extension granted, if any; and

C. The following provision shall form part of the performancesecurity: "The right to institute action on the penal bond ofany individual firm, partnership, corporation and associationsupplying the Consultant with labor and materials for theprosecution of the services is hereby aclmowledged andconfirmed."

D. A sworn certification that the Consultant is free and clear of alltax liabilities to the government.

XVIII. CONFLICT OF INTEREST

Any Consulting Firm which is directly associated or which may bedirectly associated with any entity having a conflict of interest inor bias against the BCDA Group shall be disqualified from thebidding for the Consulting Services for the Specialized

Communication Program: Strategic Regional Communication andInvestor Relations Campaign for Clark.

In all cases, the Consultant which is indirectly associated or whichmay be indirectly associated with any entity that may have aconflict of interest in or bias against the BCDA Group shall berequired to disclose the extent of such relationship so that theBCDA may act upon the same accordingly.

XIX. TERMS OF PAYMENT

A. Fifteen percent (15%) of the contract price upon approval of theRegional Communication and Investment Relations Campaign;

8. Twenty-five percent (25%) of the contract price upon submissionby the Consultant of the inception report and approval of thesame by BCDA;

C. Forty percent (40°/o) of the contract price divided equally into sixparts to represent payment every month beginning on the firstmonth up to the sixth month upon submission of a monthlyaccomplishment report; and

D. Twenty (20°/o) of the contract price upon submission of theTerminal Report and the issuance by BCDA of a Certificate ofCompletion of Services rendered.

XX. DISPUTE SETTLEMENT

A. Joint Committee

Any dispute arising from this Contract shall be discussed andsettled by a Joint Committee composed of two (2) rankingrepresentatives of each Party. The Joint Committee shall convenewithin 15 days from receipt by either Party of a notice of dispute.The decision of the Joint Committee shall be final and executory.

8. Arbitration

Should no agreement be reached by such Joint Committee withinthe stipulated period, either Party may refer the dispute forarbitration in accordance with existing laws on Arbitration.

C. Venue of suit

The venue of any court action with respect to this Contract forpurposes of enforcing any judgment obtained in the arbitrationproceedings shall be the proper courts of Taguig City, to theexclusion of all otber courts. _ _ _Fli=

XXI. CONTINGENCY FOR CRISIS SITUATIONS

The BCDA may call on the services of the CONSULTANT or itsprincipals during crisis situations that require specializedcommunication remedies not covered by Section 2 above. Theprobable or actual public relations damage in said situations mustbe of a certain magnitude that rna.y severely affect the integrity ofBCDA or any of its programs and projects, as may be determined bythe President and Chief Executive Officer of BCDA.

XXII. CORRUPT, FRADULENT, COLLUSION AND COERSIVEPRACTICES

Any attempt by a bidder to influence the Bids and Awards Committee(BAG) for Consulting Services or its authorized representatives in theevaluation of the bids or contract award decision shall result in therejection of its bid or revocation of award as the case may be, andthe implementation of other sanction/ s and remedies as provided forby law.
