RESOLUTION NO. _________ A RESOLUTION AUTHORIZING ADOPTION OF THE 2019 UPDATE TO THE
INTEGRATED RESOURCE PLANNING (IRP) STUDY
RECITALS:
1) The Energy Policy Act of 1992 (P.L. 102-486) requires utilities such as
Douglas PUD to consider implementing integrated resource planning.
2) Integrated resource planning is a planning process for new energy
resources that evaluates the full range of alternatives, including conservation and
renewable generation.
3) In 1992, Commissioners instructed the District to investigate power
resource options in an effort to strategically plan for and meet the growing energy needs
of District customers (Resolution 92-235).
4) The District retained Bechtel Corporation to assist in the creation of an
Integrated Resource Planning Study, and the Commissioners subsequently adopted the
1995 Resource Plan, which outlined the District’s energy resources and anticipated loads,
along with action plans for the District (Resolution 96-23).
5) In 2002, The District reassessed its energy resources and anticipated loads,
and subsequently the Commissioners adopted the 2002 Update (Resolution 02-217). This
Update stated the District’s intention to update its resource plan approximately every five
years or when a material change in conditions warrants a review.
6) By approving the 2007 Update, the District reassessed its expected loads
and resources through 2018 (Resolution 07-342).
7) The District last updated its integrated resource planning study in 2012
(Resolution 12-209).
8) District staff presented Commissioners with a proposed 2019 Update to
the IRP Study on September 9, 2019. The proposed 2019 Update to the IRP Study
summarizes the District’s current resources and expected loads, in addition to detailing
objectives for the current and future planning horizons.

9) After hearing the presentation of the proposed 2019 Update to the IRP
Study at the September 9, 2019 meeting, the Commission scheduled a public hearing to
consider the adoption of the 2019 Update to the IRP Study (Resolution 19-111).
10) On September 10, 2019, the proposed 2019 Update to the IRP Study was
posted to the District’s website and was also made available in paper form by request at
the District’s headquarters building. Additionally, the Notice of Hearing was published
in the Douglas County Empire Press and the Wenatchee World during the weeks of
September 9, 2019 and September 16, 2019.
11) The District did not receive any public comments, either in written form or
at the public hearing, regarding the proposed 2019 Update to the IRP Study.
12) Based upon the information presented to the Commission, it is in the best
interests of the District for the Commission to adopt the 2019 Update to the IRP Study as
proposed.
NOW, THEREFORE, BE IT RESOLVED by the Commissioners of Public
Utility District No. 1 of Douglas County, Washington, that the proposed 2019 Update to
the IRP Study is hereby adopted.
BE IT FURTHER RESOLVED that District management is directed to
implement the objectives recommended in the 2019 Update to the IRP Study.

A RESOLUTION AUTHORIZING A WEATHERIZATION AGREEMENT WITH CHELAN-DOUGLAS COMMUNITY
ACTION COUNCIL
RECITALS:
1) The District has participated in the Washington State Department of
Community Development’s Energy Matchmaker Low Income Weatherization Program
through the Chelan-Douglas Community Action Council since 1988.
2) Resolution 18-155 authorized an agreement with the Chelan-Douglas
Community Action Council to provide $60,000 for the continuation of the program for
October 2019 through October 2020.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that the District’s General Manager is
authorized to sign an Agreement for $60,000.00 with the Chelan-Douglas Community
Action Council for the year 2020.

A RESOLUTION DECLARING MISCELLANEOUS ITEMS OF PERSONAL PROPERTY TO BE SURPLUS TO THE NEEDS OF
THE DISTRICT AND AUTHORIZING THE DISTRICT TO SELL THOSE ITEMS BY PUBLIC AUCTION
RECITALS:
1) The District owns a vehicle and other miscellaneous equipment which by
reason of replacement policy and obsolescence are surplus and no longer useful to
District operations.
2) District staff has reviewed the property listed in Schedule “A” and
recommends these items be sold at public auction to be conducted by Chuck Yarbro
Auctioneers on September 28, 2019.
3) District staff further states that other utility districts and local public
agencies are participating in this auction and from their past experience have received
more public exposure and competitive prices than by the Public Sealed Bid Procedure
used by the District in prior years.
4) It is in the best interest of the District that said property itemized in
Schedule “A” be disposed at public auction scheduled for Saturday, September 28, 2019.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that the property listed in Schedule “A”
be declared surplus and authorize the District to sell these items at public auction on
September 28, 2019, by Chuck Yarbro Auctioneers.

4) It is in the best interests of the District to award Contract 19-24-D to the
lowest responsive bidder, General Pacific, Inc. with an authorized expenditure of
$68,750.00 (sixty-eight thousand, seven hundred fifty dollars).
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that Contract 19-24-D is awarded to
General Pacific, Inc. The General Manager is authorized to issue a Contract with General
Pacific, Inc. subject to the filing of the Contract and a Performance and Payment Bond in
accordance with the District’s specifications and which contract and bond are to be in a
form that is satisfactory to the District.

1) The District has a need to acquire compact 1100 kcmil underground cable.
2) Staff recommends that the District solicit bids in compliance with
RCW 54.04.070 to provide compact 1100 kcmil EPR underground cable in accord with
the specifications, terms and conditions of Bid Document 19-27-D. Sealed bids will be
accepted until October 21, 2019 at 1:30 p.m. Pacific Time in the District’s East
Wenatchee headquarters office.
3) It is in the best interests of the District to issue a call for bids under Bid
Document 19-27-D, Supply and Deliver Compact 1100 kcmil EPR Primary Underground
Cable.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility

CONFIGURATION MONITORING AND MANAGEMENT SOLUTION
RECITALS:
1) Resolution 19-086 dated July 8, 2019 authorized the District to request
proposals for a configuration monitoring and management solution for cybersecurity
under RFP 19-21-W.
2) District staff have evaluated the proposals and recommend negotiating
with Tripwire to procure and install the proposed cyber system configuration monitoring
and management solution.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that District Staff are authorized and

A RESOLUTION APPROVING INTERAGENCY AGREEMENT WITH WASHINGTON DEPARTMENT OF FISH AND WILDLIFE
TO INCREASE CHINOOK ABUNDANCE
RECITALS:
1) On March 14, 2018, Governor Jay Inslee signed Executive Order 18-02
directing state agencies to take several immediate actions to benefit Southern Resident
Orca (SRO) populations. Studies and research indicates that SRO feed almost
exclusively on mature Chinook salmon and that the number of mature salmon has been
declining for more than 30 years leading to the current poor health of SRO. The SRO
Task Force, along with the governor’s office, both tasked the Washington State
Department of Fish and Wildlife (WDFW) to identify ways to increase the number of
mature Chinook salmon in state waters.
2) In an effort to increase Chinook salmon populations and the health of
SRO, WDFW approached Douglas PUD to determine if the recently modernized Wells
Hatchery could raise additional juvenile Chinook. In response to this request, District
staff prepared and then submitted a Chinook rearing proposal to WDFW. In May 2019,
Governor Inslee signed into law a funding package for SRO that included a state general
fund appropriation for the District’s Chinook rearing proposal.
3) Under the terms of the proposed 2-year Interagency Agreement with
WDFW, the state would reimburse Douglas PUD $175,000 per year, in exchange for the
District annually rearing and releasing 500,000 summer Chinook smolts at the Wells
Hatchery. This proposed Interagency Agreement will provide meaningful benefits to
SRO, local Chinook fisheries and WDFW while being implemented at no additional costs
to Douglas PUD. Furthermore, District staff have determined that this new program will
have no impact on the District’s existing hatchery infrastructure or programs. In the
attached memo, District staff recommends Commission approval of the proposed 2-year
Interagency Agreement with WDFW.

A RESOLUTION AUTHORIZING AN AGREEMENT FOR PROFESSIONAL SERVICES WITH BIOMARK INCORPORATED
WITH REGARD TO THE 2020 SURVIVAL STUDY FOR THE WELLS HYDROELECTRIC PROJECT
RECITALS:
1) By terms of the Wells Anadromous Salmonid and Wells Habitat
Conservation Plan (HCP), the District is required to conduct survival studies of yearling
juvenile salmon every ten years to verify continued achievement of the project survival
standard at the Wells Hydroelectric Project.
2) The District needs to conduct the third 10-year Survival Verification Study
(SVS) in the spring of 2020.
3) By memorandum, dated September 13, 2019, Mr. Andrew Gingerich,
Senior Aquatic Resource Biologist for the District, notes that the previous survival
studies have been executed with the support of Biomark Incorporated (Biomark).
Biomark is the leader and expert in the industry for passive integrated transponder (PIT)
tagging, which is critical to determine the survival of yearling Chinook through the Wells
Project.
4) Mr. Gingerich recommends that the District enter into a professional
service contract with Biomark for the tagging and biological support services required for
the 2020 survival verification study. The cost for Biomark to provide these services will
not exceed $657,238.66 with the contract expiring December 31, 2020.
5) It is in the best interest of the District to enter into an Agreement for
Professional Services with Biomark, Incorporated, for the 2020 Survival Study
PIT-tagging services.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that the District is hereby authorized and
directed to enter into an Agreement for Professional Services with Biomark,

RECITALS:
1) The Washington State Department of Transportation (WSDOT) is
proposing to construct a roundabout at the intersection of 35th Street and Sunset
Highway, adjacent to the Terry Substation.
2) WSDOT has offered the District $10,300.00 to acquire 686 square feet of

the District is able to sell District property to other governmental entities without

4) It is in the best interests of the District to sell WSDOT 686 square feet of
District property and provide WSDOT a 2 year construction easement for the proposed
roundabout in the amount of $10,300.00.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that the District sell WSDOT 686 square
feet of District property and provide WSDOT a 2 year construction easement for the
proposed roundabout in the amount of $10,300.00, and the District’s General Manager is
authorized to execute the necessary documents on behalf of the District.

A RESOLUTION AUTHORIZING THE DISTRCIT TO RENEW INFORMATION SECURITY AND PRIVACY LIABILITY
INSURANCE WITH BEAZLEY
RECITALS:
1) The District has purchased Information Security and Privacy Liability
Insurance from Beazley since 2013. The current policy expires on October 15, 2019.
2) Beazley has provided a quote to renew this coverage with the same
$3,000,000 limit of liability and $25,000 deductible. The quoted premium is $19,210.
3) District staff has reviewed the quote and recommends renewal of
Information Security and Privacy Liability Insurance with Beazley.
4) It is in the best interests of the District to renew coverage through Beazley
at the $3,000,000 limit of liability for a quoted premium of $19,210, plus applicable fees
and taxes, for the policy year October 15, 2019 to October 15, 2020.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that the District’s Accounting
Assistant/Insurance Administrator will secure Information Security and Privacy Liability
Insurance with Beazley.

A RESOLUTION AUTHORIZING A PRIVATE SIDETRACK AGREEMENT WITH CASCADE AND COLUMBIA RIVER
RAILROAD COMPANY RECITALS: 1) The District has determined the need to transport heavy equipment and
materials to and from the Wells Hydroelectric Project.
2) It is in the best interests of the District to authorize a Private Sidetrack
Agreement with Cascade and Columbia River Railroad Company to be effective
October 1, 2019.
NOW, THEREFORE, BE IT RESOLVED by the Commission of Public Utility
District No. 1 of Douglas County, Washington, that the Private Sidetrack Agreement
between the District and Cascade and Columbia River Railroad Company is hereby
approved and the District’s General Manager is hereby authorized and directed to execute
said Agreement on behalf of the District.
