For: TAU Power House New SCADA System Project
Te Aponga Uira O Te Tumu-Te-Varovaro (TAU) is the Government Business Enterprise (GBE) responsible for the generation, distribution and retailing of electricity on the island of Rarotonga, Cook Islands. TAU is inviting suitably qualified companies or joint venture companies to submit a bid for design, procurement, supply, factory acceptance testing, installation and commissioning of a new SCADA system at the Avatiu Valley Power Station and the TAU Central Office, Rarotonga, Cook Islands. To initiate progress towards the completion of this project, TAU has developed the attached Contract Documents and specifications for the associated works and now invites interested companies to submit their proposal for this project. Electronic copies of the Tender Documents can be requested from the TAU Project Manager.

b) Tenderers must not discuss this tender process or its subject matter with any third party,
except with the Principal s prior written consent in accordance with this tender process.
In addition, Tenderers must not directly or indirectly provide any form of personal inducement or reward, approach, lobby or attempt to influence any of the Principal‘s representative, evaluation team member or Minister who is directly or indirectly involved with this tender process. Communications relating to existing business arrangements or projects between the Principal and a Tenderer will be maintained with the usual contacts. Any breach of these requirements may lead to the offending party being disqualified from participating in this tender process (at the sole discretion of the Principal).
c) Questions relating to this RFP must be received in writing to the TAU Project

d) TAU may choose to issue a ‘Notice to Tenderers’ in response to questions received relating to this RFP. Any Notice to Tenderers will be will be issued by e-mail to registered contractors as soon as practicable.
3 Content of Proposals
a) One proposal must be completed under the following headings:
TAU Power House New SCADA System Project The proposal must comprise the following documentation:
i. A completed Proposal Statement (no longer than two A4 pages). An introduction of the proposal including the identification of the bidding team, associates and subcontractors. Note that the contact person may be questioned during examination of the Proposal, or asked to provide additional information.
ii. A Capability Statement (no longer than three A4 pages):
Addressing the eligibility and assessment criteria as set out in the Attachment 2: Proposal Assessment Criteria attached.
Providing evidence as to why the Contractor/s and suppliers would be suitable to deliver the Assignment set out in Attachment 1: Terms of Reference, giving details of any similar experience and summarising the outcomes achieved.
Identifying any of the General Conditions of Contract set out in Attachment 5 that are not suitable to the Contractor, and proposing alternative wording.
Financial Capability – Tenderer must submit audited financial statements for the past three years – balance sheet and income statements at least.
iii. A Methodology and Work Plan for the project (no longer than three A4 pages) which shows how the Contractor would undertake, manage and schedule the assignment. This should include a proposed personnel-schedule showing time allocated to the project for each team member and any backup or support resources available.
iv. A Curriculum Vitae for each nominated main Contractor, and Sub-contractor(s), (no longer than two A4 pages per applicant).
v. A Lump Sum Price for the duration of the project, including proposed fees, expenses. Note: A detailed breakdown of the Lump Sum Price is required for this proposal. The detailed Lump Sum Price must allow for all the Contractor’s obligations and costs in providing the services detailed in the Terms of Reference. Tenderers are asked to set out their detailed Lump Sum Price as outlined in Attachment 3.
b) Should any page limits stated above be exceeded, the additional pages may be
removed from the Proposal by TAU. Font size should be a minimum of 12 point.

c) All Proposals shall be firm lump sum offers and may not be withdrawn for a period of
90 calendar days following the deadline for submission of Proposals. d) The Proposal is to be signed by a duly authorised officer, for and on behalf of, the
Contractor(s). e) TAU requests that all Proposals conform to these Conditions of Proposal, and
reserves the right to reject any non-conforming Proposal.
4. Submission of Proposals
a) Proposals must be submitted by the following deadline, or may not be considered: 12 noon Wednesday 3rd December 2014 (CI Time)
b) Tenderers must submit one Proposal for the project. c) Proposals must be submitted in hardcopy and or electronic form, as detailed below.

schedules and documentation requirements) are to be provided. ii. Proposals should be placed in a sealed envelope addressed as detailed below and

d) Faxed copies of Proposals will not be accepted.
5. Confidentiality
a) Tenderers are advised that TAU is subject to the Official Information Act 2008. Tenderers should mark their proposals “Commercial - In Confidence” if they wish to protect specific information. TAU will treat all Proposals in the strictest confidence. TAU however, cannot guarantee that information marked as such can be protected if TAU receives a request for information under that Act.
6. The RFP Process
a) Each Contractor shall examine, or be deemed to have examined, the Conditions of RFP, Terms of Reference and Proposal Assessment Criteria and any other information supplied by TAU in writing.
b) In submitting a Proposal in response to this RFP, the proposer accepts and agrees to
be bound by TAU’s Conditions of RFP. c) The cost of preparing and submitting the Proposal shall be borne by the Contractor. d) TAU reserves the right to change, suspend or cancel this RFP, or the contents of the
RFP documentation at any time prior to the full acceptance of a Proposal. e) TAU shall have no liability for any information it provides, or for any cost or loss to
any Applicant, in the event that this RFP is cancelled, suspended or changed. f) TAU reserves the right to negotiate without restriction with Tenderers after the close
of RFP on any matter contained in the Proposal, including fee rates, without disclosing this to any other person.
g) TAU reserves the right to accept or reject any, or all Proposal(s), and to annul the
RFP process, at any time, thereby rejecting all Proposals, prior to any contract being awarded.
7. Evaluation of Proposals
a) Proposals will be evaluated by an Assessment Panel, convened by TAU against the criteria outlined in the attached Assessment Criteria.

b) An interview may be required prior to final selection. Tenderers will be given notification of the Panel’s decision to conduct interviews shortly before the interview date. In the event that interviews are to take place, they may be undertaken as a telephone interview.
c) The lowest price Proposal, or any Proposal, will not necessarily be accepted. d) Each Contractor shall be notified in writing of the acceptance or rejection of its
Proposal as soon as possible. No proposal shall be deemed to be accepted unless and until the Contractor has been notified by TAU in writing.
e) TAU reserves its absolute discretion in the evaluation and selection process.
8. Subject to Contract
a) Following the Proposal evaluations, the preferred Contractor(s) will be contacted and invited to enter into negotiations with a view to entering into a contract with TAU. Such an invitation is not a formal contract offer.
b) Proposals are submitted on the basis that no binding legal relations with TAU are
created unless and until a formal written contract is signed by both TAU and the successful Contractor.
c) The acceptance by TAU of any Proposal, whether with or without negotiation, or the
negotiation with an unsuccessful Contractor, shall not create binding legal relations between TAU and the party whose Proposal has been accepted or which is negotiating with TAU.
d) TAU reserves the right to accept only one or some of the nominated individuals, and
to put together a team from all Proposals submitted and/or commission additional expertise if required.
e) If, in the opinion of TAU and at TAU’s sole discretion, none of the Proposals
submitted are acceptable, TAU reserves the right to enter into negotiations with one or more of the Contractor for a satisfactory offer.
f) TAU shall exercise the right outlined in clause 8e only after notification to all
Contractors that their Proposals were unsuccessful. 9. Contract Negotiations
a) Both parties agree to negotiate in good faith, and on successful conclusion of negotiations, the preferred Contractor will sign a formal contract with TAU.
b) A contract may be extended if additional work is required, at TAU’s sole discretion.
10. Schedule of Quantity and Rates by the Tenderer

a) The Terms of Reference (TOR) (Attachment 1) including Attachment 3 is to be read for the purpose of pricing in conjunction with the Technical Specification for guidance of the Contractor, conditions of contract, the specifications, the drawings, the schedule of service provided.
b) The prices inserted in the schedule of quantities and rates shall be the all-inclusive value of the work described including all costs and expenses which may be required in for the planning, design and installation costs (including permit costs) describing together with all general risks, liabilities on which the tender is to be based.
c) The quantities and the unit prices entered in the project schedule of rates are for the completed work in accordance with the recommended option design and specifications.
d) All the tools, plant, machinery, labour and materials required for satisfactory executions of the work under this contract are to be supplied by the Contractor and his/her rates should include for the same in the cost schedule.
e) The Contractor shall fill in rates of work outlined in the Terms of Reference and shall work out the amounts for the quantities against the items in the schedule.
f) All rates shall include the cost of protective clothing, hand tools, supervision, transportation and any other costs, the cost of the operator, fuel, repairs, overhead, profit, insurance and any other costs associated with the equipment and personnel.

ATTACHMENT ONE: Terms of Reference
1.1 Definition of Terms In this specification, the following terms are used:- ACDB - AC Distribution Board

a) ‘Tenderer’ shall mean any person or company submitting a quotation for the work
detailed in this document.
b) ‘Plant’ shall mean the equipment to be supplied under this Contract. The Scope of Supply below describes the plant and services to be supplied.
c) ‘Contractor’ shall mean the company(s) contracted to the Principle for the supply and the installation of the SCADA servers, workstations, software and associated equipment.
d) ‘Engineer’ shall mean the Engineer to Contract for TAU
e) ‘Principle’ shall mean the end client, TAU.
f) Staging of the project shall be as defined in Attachment 6, Technical Specification.
1.2 Site

1.3 Scope of Supply The Contractor shall supply the following items and provide services as specified by this document and the attached Appendices.
The Contractor shall supply and engineer:
a) A new SCADA Server for installation at Avatiu Valley Power Station and a separate Back-up Server to be installed at the TAU Main Office
b) A new SCADA Workstation for installation at Avatiu Valley Power Station and a separate back-up Workstation for installation at the TAU Main Office
c) A new SCADA Engineering Workstation for installation at Avatiu Valley Power Station
d) New network equipment (serial servers, network switches, firewall, etc.) as defined in the Technical Specification
e) A new UPS for installation at Avatiu Valley Power Station and a new UPS for the TAU Main Office
f) Fibre / Copper Media converters
g) Factor Acceptance Testing
h) Delivery of configured equipment to site in Rarotonga
i) Installation and commissioning on site
j) Ongoing support
1.4 Exclusions The following are excluded from the Contractor’s Scope of Supply:
a) Supply of single-mode fibres between sites (By Others)
b) Third party equipment to be installed in the control cabinet on the new generator platform

1.7 Delivery
a) The SCADA equipment and wall-mount cabinets, including all accessories and ancillary equipment shall be delivered CIF to the Port of Avatiu at the address stated above.
b) Arrangements for off-loading shall be provided by the Principle.
c) The Supplier shall ship equipment, material and spare parts complete except where partial disassembly is required by transportation regulations or for protection of components. The SCADA equipment shall be packed and shipped as described in this specification.
d) Spare parts shall be delivered at the same time as pertaining equipment and be packed in containers bearing labels clearly designating contents and pieces of equipment for which intended.
e) The expected delivery shall be communicated to the Principal one month before delivery is due to take place, and the final date of delivery shall be confirmed one week before delivery is due to take place.
f) Acceptance of the goods is conditional on receipt of all certification and documentation as laid out in this specification

The Principal reserves the right to depart from the stated criteria and to consider any information considered relevant, from any source whatsoever. Tenderers should note that the Principal has the discretion to accept, reject or carry on negotiations with regard to any compliant, non-compliant and alternative tenders.
The Principal reserves the right at its sole discretion to accept none or any of the tenders, at any time to withdraw the contract from tender.

ATTACHMENT 3: Tender Requirements
3.1 Information Required with Tender The following information, together with technical information specified in the individual Schedules below shall be provided with the tender:
a) Complete Schedules A to I
b) A Works Programme commencing from the date of placing the order
c) Detailed information regarding the anticipated performance of the SCADA system
d) Methodology statement outlining the procedure for engineering and programming the SCADA system
e) Operator, maintenance staff and engineering training details, this shall include details of training to be provided, training manuals / documentation, timing and duration.
f) Drawings and documentation as specified in Schedule of Document Delivery.
g) The recommended spares list complete with the cost of each component, lead and delivery times to Rarotonga and the location of the nearest spares stockist or manufacturer.
h) The recommended maintenance requirements and intervals.
i) If the equipment does not comply with the technical specification, this shall be stated and information given on how the equipment varies from the specification. No variance statement in the tender offer shall be read as full compliance with the technical specifications. However, the Client/Principal reserves its rights to accept part or all on non-complying submissions.
j) Company support services (either on site or via remote access), for trouble shooting assistance, service and maintenance, spare parts, source and accessibility of spare parts, equipment and expected delivery times.
k) Company position statement to include financial situation, any pending litigations, current commitments, insurances and the like.
3.2 Assessment of Tenders
a) Assessment of quotations may take into account, cost, Works Programme and conformance with the specification and other factors.
b) In the event of all information requested herein not being supplied with the quotation, the Principal may, at its sole discretion, deem the quotation to be non-conforming and exclude the quotation from further consideration.
c) The lowest priced or any quotation will not necessarily be accepted
3.3 Unscheduled Items
a) Should the Tenderer consider that any item might not be adequately provided for, they shall insert details of such items in the Tender Schedules.

b) All items so inserted into the Tender Schedules shall be described in sufficient detail to indicate justification for them, and shall be separately and clearly priced.
3.4 Schedule of Prices Preamble and General
Schedule of Prices
a) The whole of the work under this Contract shall be priced under the Schedule of Prices.
b) The description of work in the Schedule of Prices is not necessarily complete in all respects and reference should be made to the Contract Documents, which are to be read in conjunction with the Schedule of Prices.
Identification of Payment Items
a) Where an item is listed in the Schedule of Prices for a particular work or service, the total cost of the work or service will be deemed to be covered by the rate or Lump Sum Price tendered for that item. Where no such item is listed for a particular work or service, the cost of the work or service will be deemed to be included in the rates and prices tendered for the item or items of work associated with that work or service. Where a work or service is of a general nature and is not associated with any particular item or items in the Schedule of Prices the cost thereof will be deemed to be included in the rates and prices tendered in the Schedule of Prices generally.
Dimensions
a) The following abbreviations are used in the unit columns of the Schedule of Prices and elsewhere in the Documents:

Quantities
a) The quantities given in the Schedule of Prices are estimated only. They are given to form a common basis for tendering and shall therefore not be considered as the final requirements, which will be made in accordance with the Contract Documents.
Rates and Prices
a) All items included in the Schedule of Prices shall be priced and, where applicable, shall be extended, and the extended prices shall, on addition, equal the Tender Price. A price or rate shall be entered against each item in the Schedule of Prices where quantities are stated or not. An item against which no price is entered in the Schedule will be deemed to be covered by the other prices or rates in the Schedule of Prices. The rates and prices inserted in the Schedule of Prices shall be the full inclusive value of the work described

and in all temporary works, and shall cover all general risks, liabilities and obligations set forth or implied in the documents on which the Tender is to be based. The rates shall include the costs of all labour, materials, plant and equipment, tools, transportation, and all other requisites in accordance with the Specification.
b) All costs of complying with the requirements of the Contract, including Contractor’s time-related overhead costs and other charges, will be deemed to be included in the unit rates and prices tendered in the Schedule of Prices for the various items of work.
Correction of Errors
a) Any error in extension or addition, or both, discovered by the Principal or the Contractor in the Schedule of Prices shall be corrected in a manner agreed to between the Contractor and the Principal so that the total of all items in the Schedule of Prices continues to equal the Tender Price.
Project Specific Items
Work Breakdown with Prices.
a) This consists of elements of work with the Prices shown for each element. Because payments shall be due for elements only when they are complete the elements must be clearly described and have clearly identifiable completions. The Principal has listed the elements it requires the Tenderer to include. The Tenderer shall complete the list and the Price for each element, the total of the Prices being the tendered sum. The Tenderer shall show as separate items any significant pieces of Equipment being used and their prices.

DEFINITIONS
‘Warranted Works’ All hardware and software in relation to the Avatiu Valley Power Station
New SCADA System Project
‘Warranty Period’ 1 years from the date of Practical Completion of the Contract Works
BACKGROUND
A The Principal has entered into a contract (the ‘Contract’) with the Contractor for carrying out the Contract Works.
The Warranted Works are part of the Contract Works.
B The Contractor has agreed to arrange for the provision of a warranty in respect of the Warranted Works for the
Warranty Period on the terms set out in this warranty.
C The Warrantor has agreed to provide a warranty in respect of the Warranted Works for the Warranty Period on the
terms set out in this warranty.
IT IS HEREBY AGREED
1 The Warrantor warrants to the Principal that the Warranted Works are as required in the Contract. If not otherwise
specified the works shall be in accordance with good trade practice.
2 This warranty shall be in addition to and shall not derogate from any manufacturer’s warranty or any warranty
implied by law or the Defects Notification Period in the Contract, attaching to any part of the Warranted Works.
3 Warrantor’s obligations
3.1
The Warrantor agrees that, if within the Warranty Period the Warrantor is advised by the Principal in writing of any defect
in the Warranted Works for which the Warrantor is liable under the terms of this warranty, the Warrantor will promptly
take steps to remedy the defect.
3.2
Any remedial work which the Warrantor is liable to undertake under this warranty shall be carried out:
(a) To the standard required by the Contract;
(b) In a prompt and timely manner;
(c) Without unnecessary inconvenience to any occupants;
(d) At the Warrantor’s Cost; and
(e) Subject to reasonable access being provided to the Warrantor for the purpose of carrying out the remedial work.

3.3
Where the Cost of replacement of work and/or Materials is out of all proportion to the consequences of the defect, or
where the defect may not be reasonably capable of rectification without substantial expense which is out of all proportion
to the Cost of the Warranted Works:
(a) If the defect is reasonably able to be rectified by repair rather than by replacement, the Warrantor’s obligation
under this warranty shall be only to repair or otherwise make good the defect;
(b) The Warrantor may propose reasonable monetary compensation in lieu of remedying the defect; or
(c) The Warrantor may propose a combination of both repair and compensation.
3.4
The Principal shall consider the Warrantor’s reasonable proposals and the parties shall endeavour in good faith to reach
agreement. Where agreement cannot be reached, the dispute shall be resolved in accordance with clause 7.
4 Failure by Warrantor to perform remedial work
4.1
If the Warrantor fails to promptly, adequately and satisfactorily carry out the remedial work or to propose acceptable
repair or compensation, the Principal may then arrange for the remedial work to be carried out by others.
4.2
The Principal shall first give the Warrantor 10 Working Days notice, or such other reasonable time as agreed by the
Principal, to carry out and complete the remedial work. If the Warrantor does not do so within that time, the Principal may
then advise the Warrantor in writing that the work will be carried out by other Persons.
4.3
In such an event, the Warrantor is not released from its obligations under this warranty, which continue in full force and
effect, except for the defect remedied by the Principal or by another Person contracted by the Principal.
4.4
The reasonable Cost of remedial work carried out by such other Persons including all reasonable Costs of the Principal
shall be paid to the Principal by the Warrantor on demand.
5 Exclusions
The Principal agrees that the Warrantor is not liable for any defect or damage caused by:
(a) Wilful act or negligence of the Principal or any Person other than the Warrantor;
(b) Fire, explosion, earthquake, war, subsidence, slips, faulty materials, or workmanship other than caused by the
defect in the Warranted Works;
(c) Any force of nature which the Warrantor could not have reasonably foreseen;
(d) Any neglect or unnecessary delay by the Principal in giving notice to the Warrantor of a defect in the Warranted
Works becoming apparent;
(e) Design faults, errors, or discrepancies, unless the Warrantor undertook the design of the part of the Warranted
Works that is the subject of the defect;
(f) Use of the Warranted Works by the Principal or any other Person in any manner or for any purpose not being the
intended manner of use or purpose of the Warranted Works;
(g) Failure by the Principal or other Person to maintain the Warranted Works in accordance with good practice and any
manufacturer’s stated or recommended instructions or requirements; or
(h) Fair wear and tear.

6 Assignment
The Principal may assign the benefit of this warranty to any Person.
7 Disputes
Any dispute between the Principal and the Warrantor arising out of this warranty is to be referred to arbitration before a
sole arbitrator. If, within 15 Working Days of notice of dispute, the Principal and the Warrantor cannot agree on a single
arbitrator, either party may request the President of the Arbitrators’ and Mediators’ Institute of New Zealand to appoint an
arbitrator.

NOTE – The warranty shall be executed by the Warrantor and the Principal in the manner required for execution of a deed. Any of these
parties which are a company shall execute the warranty by having it signed, under the name of the company, by two or more directors.
If there is only one director, it is sufficient if the Warranty is signed under the name of the company by that director, but the signature
shall be witnessed by another person. The witness shall not only sign but shall also add his or her occupation and address.
Alternatively, companies may execute under power of attorney. Any party which is a body corporate (other than a company) shall
execute by affixing its seal, which shall be attested in the manner provided for in the rules of, or applicable to, the body corporate. In the
case of a party who is an individual, the party shall sign and the signature shall be witnessed by another person. The witness shall not
only sign but shall also add his or her occupation and address.

INTRODUCTION:
A By a contract dated the Click to enter day day of Click to enter month 20 Click to enter year and known as Click to
enter text (‘the Contract’) made between the Principal and the Contractor, the Contractor agreed to carry out the
work and obligations imposed on the Contractor by the Contract (‘the Contract Works’).
B The Contractor and the Subcontractor have entered into a subcontract for the performance of part of the Contract
Works and/or the supply of Materials described in Schedule A to this agreement (‘the Materials’) and intended to be
used by the Contractor and/or the Subcontractor in the Contract Works.
C The Contractor or the Subcontractor (as nominated in Schedule C) (‘the Bailee’) proposes to store the Materials at
the premises of the Bailee (‘the Premises’) as identified in Schedule B as bailee for the Principal, for the purpose of
storage, fabrication, sub-assembly, or as otherwise required for the Contract Works prior to being delivered to the
Site for incorporation into the Contract Works.
D The Contractor has requested the Principal to authorise the Engineer to certify payment for the Materials
notwithstanding that the Materials have not been delivered to the Site.
E The Principal has agreed to authorise the Engineer to certify payment for the Materials, notwithstanding that the
Materials have not been delivered to the Site, subject to all the provisions of this agreement having been fulfilled.

IT IS AGREED AS FOLLOWS:
1. THE Materials to which this agreement relates are those described in Schedule A to this agreement, all of which
Materials are currently on the Premises identified in Schedule B.
2. THE Premises identified in Schedule B are in the sole control of the party identified in Schedule C and that party
shall act as bailee of the Materials until such time as the Materials are delivered to the Site or taken possession of
by the Principal.
3. THE undertakings, warranties, covenants, agreements and other obligations of the Contractor or the Subcontractor
shall bind and be deemed to have been given or assumed by each of them severally and by both of them jointly.
4. THE Contractor and the Subcontractor agree that they will cause the Materials to be set apart at the Premises and
be clearly and visibly marked individually or in sets as being the property of the Principal and their destination as
being the Site. The method used to mark the Materials and the procedures by which the mark is applied to the
Materials shall be as required by the Contract or as otherwise approved by the Principal.
5. NEITHER the Contractor nor the Subcontractor will permit, allow, or cause the Materials to be taken away from the
Premises, except:
(a) For the purpose of being transported to the Site and used in the Contract Works; or
(b) That the Principal may at its sole discretion take possession of the Materials for use other than for the
Contract Works;
provided that:
(c) Where the Principal takes possession of any Materials under clause 5(b) above, and the Contractor thereby
suffers delay or the Contractor or the Subcontractor incurs additional cost, the taking of possession shall be
treated as a Variation under the Contract, unless the taking of possession is pursuant to clauses 14.2.1 or
14.2.2 of the Contract; and
(d) Where the Principal takes possession of any Materials under clause 5(b) above, and additional work has
been carried out on those Materials since being paid for by the Principal, the Principal shall pay the
Contractor for that additional work in accordance with the Contract before taking possession of the Materials.
6. THE Engineer, upon being satisfied that the Materials have been set apart and marked as required by this
agreement, and upon the Contractor providing satisfactory evidence that the requirements of clauses 12 and 20
below have been fully satisfied, shall include in any Payment Schedule issued by the Engineer under the Contract
a sum representing the reasonable value of such Materials calculated in accordance with the Contract.
7. UPON the Principal having made payment for the Materials, less any retentions or deductions prescribed in the
Contract, title to such Materials shall immediately vest in the Principal free of all security interests, charges and
encumbrances of any nature whatsoever.
8. WHERE the Contractor receives payment for Materials and the Subcontractor is entitled to some or all of the
Principal’s payment, the Contractor shall promptly pay the Subcontractor for such Materials.
9. UPON the request of the Subcontractor, the Engineer shall advise the Subcontractor whether the Contractor has
received any payment from the Principal for such Materials.
10. THE Contractor and the Subcontractor agree that the Materials will be held by the Contractor or the Subcontractor
solely as bailee for the Principal and such bailment will constitute a security interest in favour of the Principal for the
purpose of the Personal Property Securities Act 1999 (‘the PPSA’).
11. THE Principal shall (at the Contractor’s reasonable cost) register a financing statement on the Personal Property
Securities Register (‘the PPSR’) listing the Principal as secured party and the Contractor and the Subcontractor as
debtors for any security interest arising from the bailment of the Materials referred to in this agreement.
12. THE Bailee shall promptly do all things including executing any documents and providing all information which the
Principal requires to ensure that the Principal receives and maintains at all times a first ranking security interest in
the Materials. This shall include procuring from any third party who has registered a financing statement against
the Bailee, a waiver, in a form acceptable to the Principal, of any security interest or claim which might otherwise
extend to the Materials or their proceeds.

13. THE Bailee shall not discharge or amend any financing statement registered under clause 11 above without the
prior written consent of the Principal.
14. NOTHING in sections 114(1)(a), 133, and 134 of the PPSA shall apply to this agreement.
15. ANY rights of the Contractor and the Subcontractor as debtors under sections 116, 120(2), 121, 125, 126, 127,
129, 131, and 148 of the PPSA shall not apply to this agreement.
16. THE Bailee hereby grants to the Principal reasonable, free, and unencumbered right of access to the Premises to:
(a) Inspect the Materials, and verify or undertake the marking and setting apart of the Materials;
(b) Take possession of the Materials for the purpose of delivery to the Site and inclusion in the Contract Works;
(c) Remove the Materials from the Premises for the purpose of delivery to the Site and inclusion in the Contract
Works; and
(d) Take possession of the Materials for use other than for the Contract Works,
and in each case in a manner that does not cause damage to any other property at the Premises. The Bailee shall
take all steps and do all things as shall be necessary to ensure that the Principal obtains access to the Premises
for the purposes of this agreement.
17. THE Bailee shall not, except as permitted in clause 5, remove or cause or permit the Materials to be moved from
the Premises. The Bailee shall nevertheless be responsible to the Principal for any loss or damage thereto and for
any costs of storage or handling.
18. THE Bailee shall, when required to do so by the Contractor or the Principal, arrange for the transportation of the
Materials to the Site. Such transportation shall be at the cost of the Bailee in all things including loading, unloading,
and freight.
19. WHERE the Materials are not insured under the construction policy provided in accordance with 8.3.1
or 8.8.1 of the Contract, the Bailee shall, at its expense:
(a) Effect a material damage insurance policy covering all of the Materials subject to this agreement in the name
of the Principal to the satisfaction of the Principal, as provided in 8.2.1 of the Contract for the full duration of
the off-site storage. Such insurance may include an exclusion for loss or damage sustained during
processing;
(b) Effect a transit insurance policy for transit of all the Materials from the Premises to the Site in the name of the
Principal to the satisfaction of the Principal, as provided in 8.2.1 of the Contract for the full duration of the off-
site storage.
20. WITHIN 15 Working Days of the date of this agreement, the Bailee shall furnish the Principal and the Contractor
with evidence of such insurance.
21. THE Bailee represents and warrants to the Principal and to the Contractor (where applicable) that:
(a) It has good and clear title to the Materials;
(b) It has the ability to assign and transfer the Materials to the Principal or the Contractor; and
(c) The Materials will be transferred to the Principal or the Contractor free of any security interest.
22. THE Bailee undertakes that, if it charges or mortgages all or any part of its property (either real or personal),
assets, or undertaking, it will obtain written confirmation from the chargee or mortgagee that the charge or the
mortgage over such property, assets, or undertaking does not extend to the Materials once they have been paid for
by the Principal or the Contractor (as applicable).
23. NOTHING in this agreement shall be deemed to limit, waive, or affect the Engineer’s powers under the Contract to
order the removal from the Site or the Premises of Materials which are not in accordance with the Contract and the
substitution by the Contractor at its own risk and expense of proper Materials. Nothing in this agreement shall be
deemed to limit, waive or affect any other powers conferred on the Engineer and/or the Principal under the
Contract.
24. EACH party shall pay its own costs of and incidental to the negotiation, preparation, execution, and any
amendment of this agreement.

25. WORDS and phrases in this agreement shall have the same meanings as are ascribed to them under the Contract
except where the context or any express provision of this agreement requires otherwise.

IT IS MADE IN THE FOLLOWING CIRCUMSTANCES
A The Principal and the Consultant are parties to Click to enter text entered into on Click to enter a date, a copy of
which is attached and marked ‘A’ (‘the Contract’).
B With effect on and from the Effective Date, the Principal wishes to:
(i) Transfer all of its rights and obligations under the Contract to the Contractor, and
(ii) Be released from its obligations under the Contract.
C With effect on and from the Effective Date, the Contractor wishes to accept the transfer of all the Principal’s rights
and obligations under the Contract.
THE PARTIES AGREE
1. THIS deed shall take effect from the date of its execution (‘the Effective Date’).
2. THE Principal:
(a) Transfers to the Contractor all of its rights and obligations under the Contract;
(b) Warrants it has performed all of its obligations under the Contract up to the Effective Date; and
(c) Shall remain liable to the Consultant for any breach of the Contract by the Principal which occurred prior to
the Effective Date.
3. THE Contractor:
(a) Accepts the transfer with effect from the Effective Date;
(b) Confirms that, as from the Effective Date:
(i) The Contractor is substituted for the Principal under the Contract as if it had originally executed the
Contract in place of the Principal
(ii) All references in the Contract to the Principal are to be read and construed as if they were references to
the Contractor
(iii) The Contractor may exercise all the Principal’s rights under the Contract;
(c) Shall perform all of the Principal’s obligations under the Contract from the Effective Date.
4. THE Consultant:
(a) Consents to the transfer;
(b) Releases the Principal from all of its obligations under the Contract for the period following the Effective Date
(but for of any breach of the Contract that occurred prior to the Effective Date);
(c) Confirms that, as from the Effective Date:

(i) The Contractor is substituted for the Principal under the Contract as if it had originally executed the
Contract in place of the Principal
(ii) All references in the Contract to the Principal are to be read and construed as if they were references to
the Contractor
(iii) The Contractor may exercise all of the Principal’s rights under the Contract;
(d) Shall remain liable to the Principal for any breach of the Contract by the Consultant which occurred prior to
the Effective Date.
5. THE terms of the Contract continue in full force and effect.
6. EACH party is to pay its own costs (including, without limitation, legal expenses) in entering into this deed.
7. EACH party is, at its own expense and at the request of any other party, to execute and deliver or cause its
successors and permitted assigns to do all things as may be reasonably requested by that other party to obtain the
full benefit of this document according to its true intent.
8. AN amendment to this deed will only be effective if it is in writing and signed by all parties.
9. THIS deed shall be construed and take effect in accordance with the laws of New Zealand.

1 Scope and General
1.1 Overview
The Government of the Cook Islands has embarked on the introduction of local renewable power
generation in its consumer base. The Cook Islands government wishes to achieve a target of 50%
renewable energy generation by 2015 and 100% by 2020. The main source of renewable energy will
be solar power in the form of photovoltaic cells.
The existing power station on the island of Rarotonga contains seven diesel gen-sets ranging from
0.6MW to 2.7MW. There is an additional 0.8MW hire set. A number of these are reaching the end
of their useful life. The power station is to be extended with the addition of three new, 1.6MW
diesel generators. The oldest of the existing generators will be decommissioned first, with the
remaining following as appropriate.
As part of the upgrade a new SCADA system is required to provide better monitoring and control
of the generators and feeders as well as providing for the new PV generation rapidly being installed
on the network.
A new 960kWp solar array has recently been commissioned near the airport, feeding directly into
the 11kV distribution network, with further generation planned in the near future either by TAU or
by the private sector. There are also incentives for customers to install their own solar generation,
which is limited to 2kW per household.
The diagram below is a high-level view of the proposed SCADA system and its interfaces:

1.3 Stage One – Airport PV Integration and Power Station Existing Equipment Migration
The immediate aim is to provide a new SCADA system that will enable remote control and
monitoring of the new airport 960kWp PV installation, as well as existing equipment at the Power
Station.
The recently completed solar plant at the airport has a number of interfaces, such as the 11kV
switchgear, cluster controller, LV switchboard and an RTU. These will be monitored and the
output from the solar plant controlled via the new SCADA system.
The existing ComAP generator controllers and GE Multilin electrical protection relays will also be
connected to SCADA.
Once this stage is complete, it will allow remote monitoring and control of all of the 11kV power
generation on the island.
A historian will also be included in the initial phase, which will store power-system data for later
analysis and trending. Refer to drawing 214.035-E1000_01.
1.4 Stage Two – New Gensets
The three new 1.6MW generators controllers will interface with the SCADA system. New
protection relays and ancillary equipment associated with the new generators will be integrated into
the new SCADA system. Refer to drawing 214.035-E1001_01.
1.5 Stage Three – Future Plant and Sites
As the amount of solar generation increases, equipment such as a D-UPS system and network
voltage-control resistors will be installed on the network to provide voltage and frequency stability.
These will need to interface with the Expert System that will adjust set points automatically as
appropriate.
In the future equipment will be installed that measures voltage at distribution transformers. This
information is important, as there is a large amount of embedded solar generation being installed by
consumers on the low voltage network. The devices will communicate with SCADA via small-scale
radios or the cellular 2G/3G network. The Expert System will use this information to control load
to ensure the voltage is maintained within tolerance.
Ultimately, the SCADA system will need to be scalable to allow monitoring of generation installed
on the outer islands. The communications link will be via satellite communications or via a cellular
network. Refer to drawing 214.035-E1002_01 and 02.

2 Technical Requirements
2.1 Hardware
The Contractor shall provide at least the following equipment. All hardware shall be designed for
continuous use in an industrial control centre environment.
2.1.1 SCADA Servers and Historian
Two SCADA servers shall be supplied, one for the Power Station and one for the TAU Main
Office. A separate long-term data server for installation in the TAU Main Office shall also be
supplied. Below is the minimum specification for the three servers:

2.1.2 Operator Workstations
Two triple-screen operator workstations shall be provided. One shall be installed in the Power
Station and one installed in the TAU Main Office. An Engineering Workstation (single screen)
shall be installed in the Power Station. Below is the minimum workstation specification:

2.1.3 Printers
One dedicated laser colour printer shall be supplied for each location (for graphics, event logging,
reports, etc.)
2.1.4 Network Equipment
The Power Station LAN shall be based on TCP/IP protocol transported over an Ethernet network.
Network components shall support 10/100/1000 Mbit/s Ethernet as appropriate. Network
interface hardware shall have sufficient processing capacity and bandwidth to cater for peak
throughput without affecting overall performance.
At plant level, the network equipment shall be of the industrial hardened type and be capable of
continuous operation under the site environmental conditions.
Managed Ethernet network components, such as the network switches in the power station shall
support SNMP. Suitable configuration software shall be supplied which will allow the user to easily
modify the configuration of the network devices.
All network equipment installed on site shall obtain power either from the DC battery system or
from the site UPS.
Devices shall be able to restart and initialise automatically according to the restart configuration.
Appropriate critical alarms from these devices provided via SNMP shall be accepted and reported
to the SCADA alarm system.
2.1.5 Device Servers
For serial devices to utilise the Ethernet network, device servers are required. These shall
incorporate the following:

1 x 100M Ethernet port
The device server shall contain a buffer to store serial data on loss of Ethernet connectivity. Once
Ethernet connectivity is restored, the buffered data will be sent. The buffer size shall be
expandable.

2.1.6 Corporate Interface
A separate, stand-alone firewall shall be provided to separate the corporate network from the
SCADA network. The firewall shall be fully configurable and support the following features:

The network access policy shall be developed in conjunction with TAU IT representatives and the
firewall shall implement this policy.
2.1.7 Uninterruptable Power Supplies
The workstations and servers shall be powered from a UPS supply. A 2000W UPS shall be
supplied for both the Power Station control room and the TAU main office.
The UPS shall provide a minimum of four hours back-up time, and be supplied with monitoring
software which will enable an orderly shutdown of the attached servers and workstations once the
battery voltage reaches a pre-set level.
2.1.8 Racks

The wall mounted racks shall contain a lockable door and be sealed to ingress protection level IP21.
A standard design approach shall be followed for all the panels. The Contractor shall consult with
TAU to confirm the exact location of the new control panels and to check if there is any existing
rack space that can be used.
The new outdoor enclosure for the new generators shall be sealed to ingress protection level IP65.
2.1.9 Fibre Optics
A new fibre ring shall be created within the Power Station, including the new generator pad (in
Stage 2) and the two switchrooms. Within the main building, including the switchrooms, this shall
be using 50/125 µm FX multimode, factory terminated patch cables suitable for industrial
applications. In Stage 2, new armoured fibre-optic cables, with a minimum of 12 cores, shall be
installed between the existing Power Station and the new generator building. The connector-type
for all connections within the Power Station shall be SC, unless this option is not available from
third-party equipment providers.
2.1.9.1 TAU Scope of Work for Communication Link installation
TAU will ensure that a communication link exists between the TAU Main Office, Power Station
and the new PV plant at the airport as shown below:

The connection will be provided at the power station site via a Contractor supplied, 12-way patch
panel. New single-mode to multi-mode media converters shall be provided and installed in the new
wall mounted cabinets as described in Table 1.

2.2 Software
2.2.1 General Requirements
The software systems shall be based on industry-accepted generic standards, issued or endorsed by
independent international technical standards organisations or on de facto standards that have been
adopted by multiple clients and a large body of users. This requirement shall preclude single
vendor proprietary systems.
The systems supplied shall be based on modular hardware and software system components
ensuring:
Portability of software across diverse equipment platforms, ensuring hardware vendor
independence
Scalability of all system software to allow operation without structural alteration or
reconfiguration
Interoperability of hardware from different vendors on the same network as well as
compatibility of third party software packages on various hardware platforms
Flexibility to easily locate hardware and software units at the point where they can be most
effectively used and managed
Reliability through network redundancy and client-server operations
The key emphasis shall be to ensure that parts of the system can be upgraded without disturbing
the integrity of the remaining items. The system shall have both vertical and horizontal upgrade
paths with access to a wide range of third party software applications.
All source code, software tools and related documentation shall be handed over to TAU on
completion.
2.2.2 Communication Protocols
The SCADA system shall contain the following certified, open protocol drivers:
DNP3/IP Master certified to Level 3
MODBUS TCP/IP Master
EtherNet/IP (for Generator 7 PLC)
References of successful integration using the above protocols shall be provided with the Tender.
2.2.3 Data Types
The SCADA system shall operate as a Modbus Master for Power Station Data and a DNP3 Master
for interfaces to the new PV systems.

For consistency, all scaling and inverting shall take place at the SCADA Master Station.
2.2.4 Tag Names
Alphanumeric tag names with a minimum length of 250 characters shall be supported.

2.2.5 SCADA Server Operating System
The SCADA servers and long-term historian servers shall run either Microsoft Windows Server
2012 or later operating system, or a commercially supported Linux based operating system.
2.2.6 Operator Workstations
The SCADA workstations and shall run the Microsoft Windows 7 or later operating system.
2.2.7 SCADA Server Failover
The SCADA servers shall be capable of manual and automatic failover. One server (in the Power
Station) will be designated as the ‘main’ server. The server installed in the TAU Main Office shall
be designated as ‘standby’.
Both critical data on both server databases shall be closely synchronised allowing for a smooth
transition during failover. Synchronised data shall include at least the following:
Real-time database
Alarm status (acknowledged, active, inhibited, etc.)
Expert System parameters and status
Time stamping
Trends
Long term historian data (can be buffered)
Dedicated monitoring software shall be used to monitor the performance of both servers and
initiate a fail-over if an error is detected on the main server.
A failover between the two servers shall be completed in no more than 20 seconds. Once the
system has failed to the standby server in the TAU Main Office, the main server must not regain
control without manual operator confirmation. Manual changeover between servers for testing
purposes shall be possible.
Synchronisation issues and any differences in configuration between the two servers shall be
alarmed.
2.2.8 Expert System Programming Software
The programming language of the Expert System software shall comply with the IEC 61131-3
standard.
All real-time data, pre-set values and virtual points shall be available for processing by the Expert
System programming software.
The Vendor shall supply examples and template modules commonly used in similar industries.

A method of closely simulating the programming logic shall be included as standard. This will
prevent untested software being released onto the live system. The simulator shall allow all
variables and parameters to be monitored and include the ability to step-through the logic for
debugging purposes.
The programming application shall use a check-in, checkout process for audit purposes and
tracking.
The Expert System (and any updates) software shall be downloadable onto the live operational
servers without the need for a system restart.
2.2.9 Response Time
The update time from a command sent to a remote device and the associated feedback being
received by SCADA shall be as follows:
Critical control (trip, CB operation) – 2 seconds or less
Analogue set-point update – 5 seconds or less
The response time shall be accurately simulated and measured during the FAT.
2.2.10 Diagnostic Software
Diagnostic software shall be provided to monitor the health of the server software and hardware.
Facilities shall be provided to gather on-line statistics at specified time intervals about server CPU
utilisation, CPU idle time, input/output waits, number of input/output transfers, number of CPU
pre-emptions and other useful information to enable system loading and performance to be
analysed.
Diagnostics should, as far as possible, present a logical and consistent interface to the user so that
they are as simple to operate as possible. Where possible they shall provide printouts of the test
performed and the results obtained.
2.2.11 Time Synchronisation
The new SCADA system shall act as an NTP client. There will be an existing NTP server
connected to the network at the Power Station. The existing NTP server at the Power Station shall
be the master time source for all the connected SCADA equipment.

2.3 HMI Functionality
2.3.1 Overview
The Vendor's standard approach for the human machine interface (HMI) shall be followed, where
possible, to minimise customisation. Typing activities required to execute functions shall be
minimised.
The operator interface shall be via two functionally identical workstations. All functions shall be
capable of simultaneous utilisation on both workstations. Any display may be presented on any of
the workstation screens at any one time.
The operator shall monitor and control the Power Station electrical network using on-screen
buttons via a cursor-pointing device, keys on an alphanumeric keyboard and screen displays with
function activation points. The arrangement should ensure that there is a logical content on each
page, that there is logical navigation between pages, plant and functions, and that the graphics make
use of the appropriate features of the new system.
The Vendor shall provide a consistent interface, which maintains identical procedures from one
application to another. The new SCADA system HMI shall enable the following:
A modern ‘windows’ approach shall be provided for HMI with moveable, sizable and scrollable
windows
Support for at least six multiple simultaneous windows on one screen and at least eight multiple
simultaneous windows across two or more screens for the multi-screen workstations
Pan and zoom capability on maps, worldviews and single line diagrams, with automatic de-
clutter to hide or reveal detail depending on level of zoom
Switchable layers on maps, worldviews and single line diagrams
Drop down and pop-up context sensitive menus
Context sensitive tool bars, with buttons or icons, to access more commonly used functions
Pop-up tips that provide abbreviated help for a feature when the screen cursor hovers over the
button, icon or symbol
Active bus-bar display which will automatically determine whether a part of the network should
be live, based on circuit breaker status and voltage inputs
Drag and drop capability
Availability of many different fonts and letter styles
Manual ‘hand-dressed’ status points and objects
Configurable alarms. The alarms shall be able to be filtered, prioritised and inhibited.
Static and dynamic, context-related function keys

Operator inputs and database changes logged and checked for validity before updating
database. The operator shall be warned about invalid inputs.
2.3.2 Specific Display Requirements
2.3.2.1 System Status
The HMI shall show the following system status information in a corner on all screens:
Workstation operational mode
Server connection status (main / standby)
Logged in person and access level
Date / Time
The HMI shall include dedicated screens showing the following system status information:
A communications block diagram and real-time status of the communication system, including
the status of each link.
A control system display
2.3.2.2 Alarms
The SCADA system shall include a comprehensive alarm management system. Functionality shall
include at least the following:
Prioritisation – Each alarm shall be capable of being allocated a priority that will affect how it
is handled. For example, high priority alarms configured to appear at the top of the list.
Filtering – Each alarm shall be capable of being allocated a priority, area, type of plant and
other metadata that can be used for filtering purposes.
Multiple States and Colours – Active, active-and-acknowledged, cleared, cleared-and-
acknowledged, etc. states shall exist. Each state shall be capable of being allocated a different
appearance.
An audible alarm device shall be supplied which will indicate an alarm has been activated. The
audible alarm shall be configurable to distinguish between critical and non-critical alarms.
2.3.2.3 Function Keys
The HMI screens shall contain large function keys symbols representing the function keys on the
workstation keyboard. Special commands shall be assigned to each key, such as invoking
commonly viewed screens, initiating special functions, launching an application or execute a control
command.

The functionality of the keys may be fixed, where the function is the same in all contexts or
dynamic, where the function of the key depends on which screen is being displayed at the time.
2.3.2.4 Overview HMI Screens
The overview HMI screens shall include at least the following:
Power Station 11kV Single Line Diagram
Airport PV Single Line Diagram
Real-time Network Power Flows
Generator Electrical Information – including capability diagram
Engine Mechanical Data
Other screen may require developing after consultation with TAU operational staff.
2.3.2.5 Dynamic Displays
Each dynamic data field shall be displayed with its respective database attributes. These attributes
shall be presented using colour changes, attached character tags, background/foreground colour
reversals, blinking or other techniques.
There shall be no restrictions to the presentation of any database information at any screen location
or any workstation display.
The HMI configuration shall allow for dynamic bus-bar displays. By linking voltage signals and
circuit breaker status inputs, the bus bars and other associated HV connections such as cables can
be shown as energised or de-energised. For example, if one bus bar has a live VT input, any
interconnecting bus bars will also be live, as long as the interconnecting circuit breaker is closed.
This feature is particularly useful for switching or during an outage.
Real-time power flows shall also be shown dynamically using directional arrows.
2.3.3 Miscellaneous HMI Functions
2.3.3.1 Virtual Post-it Notes
A window based text editor shall be provided to enter free format text messages that can be posted
on to any of the HMI screens. Text messages will be entered for operator instructions, entries to
display notepads, entries to event diaries or logbooks, work orders, etc.
2.3.3.2 Manual Database Points
A number of database points may not be telemetered and as such require manual activation. For
example a HV switch may be ‘normally-closed’ and only opened during maintenance. The HMI
shall allow for manual points, where the ‘normal’ status may be overridden, ensuring the HMI
reflects the network configuration accurately.

Manual overriding of dynamic points shall be made possible in cases where the communications are
lost to a device. This may be prior to a planned communications outage or during a fault. The
manually set status shall reset once communications have been re-established.
2.3.3.3 Database Management and Editing
The standard database management system (DBMS) database editing facilities shall be provided.
Points shall be able to be updated and downloaded into the live database without the need for any
part of the system to be re-started. In addition, operator information displays shall be provided to
show all database point attributes.
Real-time raw data screens shall be provided, which in simple table format show the raw input
data(without scaling or inverting), for commissioning and testing purposes.
2.3.3.4 Translating and Scaling Raw Data
Analogue values and error codes will be received in raw (unscaled) format. The HMI configuration
software shall allow raw points to be easily scaled (and error codes translated) without the need for
customised script.
A calculations display shall be provided that lists all calculations associated with a data-point.
2.3.3.5 HMI Configuration Software
The Vendor shall provide software allowing the configuration of the HMI displays. This shall be
MS Windows based, intuitive, easy to use and flexible.
A standard library of common power system objects shall be included as well as the facility to
create customised objects. It shall include a feature where global changes can be applied. For
example, a change to an object should automatically follow through to all objects of that type.
It shall be easy to toggle between development mode and test mode. In test mode, the ‘live’
version of the screen under development shall be displayed. Manual forcing of database points
shall be enabled whilst in test mode which will show the effect on the HMI displays.
2.3.3.6 Access Levels
Workstation users shall be assigned to different levels of access, according to the functional
requirements of the users. The workstation levels shall restrict the users to specific functions only
of the control system. The limitations may be functional, operational or geographic.
Workstation mode shall generally be assigned to a user when they log on. It will be pre-assigned
for each possible user.

Operator Mode shall provide those functions, alarms/events and presentation applicable to the
operation of the power station and the HV network. Set-points can be altered in this mode.
Supervisor Mode shall provide the operator mode functions as well as allowing this user to
configure operator settable parameters.
System Engineer/Programmer Mode allows access to all parts of the system including
Expert System control functions. Database and display maintenance, programming, application
module testing and system configuration changes shall be undertaken in this mode.
Remote Access Mode via the web browser client allows corporate TAU staff with the correct
authority, the capability of remotely accessing the graphic displays, events, alarms and other
system operational information. No supervisory control shall be allowed in this mode and
access shall be controlled by passwords.
Administrator Mode allows domain/system level administration privileges.
Engineering and maintenance access to the SCADA servers and historian shall be by administrators
only.
2.3.3.7 Login and Security
Users of the SCADA system shall be required to ‘login’ with a user name and password to perform
any functions on the system. The SCADA login shall be independent from any operating system
login. The present logged-in user (and level) shall be indicated on each HMI screen.
A hierarchical range of login roles shall be provided as defined above. The privileges for each level
shall be user configurable (by a user who has the access level to do this).
A separate unique password shall be provided for each user. When logging in to the system, each
user shall be given access privileges at a level set for the particular user.
A record of login and log-off activity shall be recorded. The access security logging in system shall
also apply to the back-up operator workstation and the engineering workstation.
2.3.3.8 Web Viewer
The SCADA system shall incorporate a web server that allows clients on the TAU corporate LAN
with suitable authority to view some or all operational SCADA pages. The Web Viewer interface
shall require a login authority. Corporate access to the SCADA system shall be via a new firewall.
2.3.3.9 Historian
The historian shall be capable of storing up to five years’ worth of data. The database shall be SQL
based allowing easy interrogation using standard database analysis software. The Vendor shall
provide appropriate analysis software, either proprietary or from a proven third party.
Accepting data from other TAU systems shall be possible via a standard OPC interface.

Reports generated on the historian shall be exportable to standard Microsoft applications such as
Word and Excel. A web viewer shall be included to allow corporate staff to view a number
standard reports from the most up-to-date historian data. Typically, this may be the total amount
of PV output over a period, or the number of times a particular event has occurred.
The historian shall allow TAU IT staff to easily archive and back-up data using tape drives. Ideally,
this shall be completed automatically on a daily basis.
2.4 Scalability
The SCADA system shall be scalable (either initially or via a planned upgrade path) to allow for
future addition of the following functionality:
Network voltage control equipment (Diesel UPS or voltage reduction resistors).
Monitoring of the embedded photovoltaic generation at distribution transformer.
New primary plant (additional switchgear, diesel generation, solar farms).
Pumped storage hydro.
When required remote island monitoring of diesel and photovoltaic generation.
The Vendor shall provide the most cost effective upgrade path, such as only offering the licences
for the present requirements, with the option of upgraded later.

3 Electrical General Requirements
3.1 Language and Units
3.1.1 Language
The English language shall be used on all drawings and in all documents and wherever anything is
required by the Contract, to be written, marked, printed or engraved.
3.1.2 Units of Measurement
Wherever practicable, Systeme International d’Unites (SI) units shall be used.
3.2 Manuals
3.2.1 General
The Contractor shall provide the following manuals:

Operation and Maintenance Manuals
3.2.2 Quality Assurance Manual
The Contractor shall operate and maintain a quality management system conforming to AS/NZS
ISO 9001 or approved equivalent. The Contractor shall take and keep records of quality inspections
and tests as evidence that the requirements of the Contract have been met.
The Quality Assurance Manual shall include but not be limited to the following:
a) Project management and organisation chart
b) Design plan
c) Quality plan
d) Qualifications and experience of key personnel
e) Sub-contractor quality assurance plans
f) Inspection and test plans
g) Statutory certificates
h) Reports on non-conforming work and corrective action
i) Results of all inspections and tests undertaken prior to delivery.
During the course of the Contract the Contractor shall register and maintain all quality
documentation in an up-to-date centralised file and make this available for inspection by the
Principal or its representative at all reasonable times.

The Contractor shall complete Field Installation Checklists as certification that installation activities
have been completed in accordance with the appropriate specification. Field Installation Checklists
shall be prepared by the Contractor and forwarded to the Principal on a progressive basis. All Field
Installation Checklists shall be completed by the Contractor as a pre-commissioning activity.
3.2.3 Operating and Maintenance Manuals
The Contractor shall provide Operating and Maintenance Manuals for all equipment supplied
under this Contract (i.e. servers, HMI configuration software, etc.). The information required from
the Contractor shall conform to the Principle’s standard requirements detailed below:
General
The format of the Operating and Maintenance Manuals shall be provided in electronic and paper
format and comprise instructions, diagrams and drawings which shall be sufficiently comprehensive
to facilitate the training of the staff and to enable the operation and maintenance of the equipment
to be performed in a safe and efficient manner.
The Contractor shall supply a comprehensive operation and maintenance instruction manuals for
the equipment supplied, written in the English language, as part of the contract. Four hard copies
and one compiled PDF copy on CD/DVD shall be supplied. They shall contain full
documentation of the Goods and shall be in a form agreed prior to binding. If not readily
identifiable from the drawings the necessary ordering details shall be listed in the manual.
Format
The format of manuals shall contain the following as a minimum requirement:-
Stationery: The Operations and Maintenance manuals shall be produced on good quality A4
size paper and placed in a suitable A4 – 4-hole ring-binder.
Index: An index which conveniently and logically sets out the format of the Operating and
Maintenance Manuals. Part of this index shall be a contents tick sheet. This format is a
minimum requirement. All items shall be listed regardless of actual document contents. Items
included are to have a tick in the appropriate box.
Installation: A general description of the installation in regard to location and function. The
description should include all process parameters associated with the installation and should be
supported by general arrangement drawings.
Operation: Operating instructions are required for all items of equipment and shall contain
the operating procedures of the systems, in addition to the emergency and abnormal conditions
procedures.
Procedures: The operating procedures shall be set out in step-by-step instructions with each
step numbered in correct logical sequence and include:-

o Login procedures
o Restarting servers, workstations and sub-systems
o Switching between main and standby servers
o Report generation
o In service checks and limits including routine test procedures.
o Adding a new I/O point to the system
Design: A design and technical section which shall include:-
o Detailed descriptions of equipment components and systems including detailed
drawings where available
o Technical data for all plant as installed.
o Test and performance data.
o Schematic and logic diagrams
o A list of alarms detailing alarm initiator location and setting for alarm operation
and re-set.
Trouble Shooting: A trouble shooting process based on symptoms and including suggested
frequency of inspection of components and frequency of routine maintenance. The programme
shall include details of the points at which measurements should be taken, details of the normal
readings at those points and the possible reasons for abnormal readings.
Site Test Appendix: Manuals shall include an Appendix for insertion of site commissioning
and acceptance test results.
Software: All software associated with the project shall be included in CD/DVD format as
part of the Operation and Maintenance Manual (included in a CD wallet with the hard copy).
3.3 Drawings and Documentation
The Contractor shall produce at least the following:
Standards Manual
Panel layout drawings
Connection diagrams
Schematics
Patching tables
Points list showing available points and recommended points
Detailed SCADA overview showing device addresses, channels, protocols, etc.
Drawings and documentation shall be submitted to the Principle for review and approval.

3.4 Design Approvals and Information
3.4.1 Approvals
“Drawings” mean drawings, manuals, reports, calculations, documents schedules, lists,
programmes, data, quantities and other listed below for the Works.
All approvals by the Principal shall be limited to procedural approval only. Approval of drawings,
samples, prototypes, workmanship methods, and other matters whatsoever pursuant to the
Contract or in respect of the Works shall not be deemed to be waived or prejudicially affect any
right of the Principal or diminish in any way the Contractor’s responsibilities, or widen the
incidence of responsibility in respect of the work or Contract in any way or to derogate from or
affect any other requirements.
If permits are issued subject to conditions affecting the Works, the Contractor shall refer such
conditions to the Principal to enable consultation with the Authorities regarding such conditions.
No such conditions shall become a Variation unless confirmed in writing by the Principal.
The Contractor shall submit to the Principal by e-mail for approval HMI screens, drawings,
calculations, schedules, programmes, details, lists and other documents as required.
After examination, the Principal will return one copy of the Drawing to the Contractor within two
weeks of receipt. The return copy will be marked as:
Approved
Approved as Noted
Returned for Amendment
The notations “Approved” and “Approved as Noted”, shall mean that the Principal has satisfied
himself as to the general compliance of the Drawing with the requirements of the Contract and
does not have any further comment, but such approval, with or without notes, shall not relieve the
Contractor of any of his obligations under the terms of the Contract. Any work undertaken before
the receipt of the relevant approval shall be at the Contractors risk and any changes necessary to
comply with the Contract shall be made at no additional cost to the Principal or delay to the
Contract Key Dates. If the Drawing is returned marked “Returned for Amendment”, the
Contractor shall amend the Drawing and submit the revision within two weeks of receipt.
If urgent approval of any Drawing is required, the Contractor shall so notify the Principal when
submitting the Drawing.
3.5 Workmanship and Materials
Workmanship shall be of first class commercial quality and in accordance with the best shop
practice.

Unless otherwise specified, materials and components used for the Works specified shall be new
and unused. Materials and components shall conform to the standards current at the time of
execution of the Agreement.
3.6 Preferred Equipment

Any deviation from the preferred equipment shall be agreed with TAU prior to ordering.
3.7 Packing and Shipping
3.7.1 Packing
All equipment supplied by the Contractor shall be adequately packed and protected for shipment.
The Contractor shall ensure that the equipment shall be protected against corrosion, weather
damage, condensation, distortion or damage by vermin and the ingress of foreign matter.
Packing of any equipment shall comply with the approved shipping preparation and packing
procedures and shall include but not be limited to the following:
Equipment shall be properly packed
Equipment shall be shipped in weather proof and watertight containers unless otherwise agreed
with the Principal
Containers, crates or packages shall be checked for defects internally and externally prior to
packing
Weights and lifting points shall be clearly visible on each package
Equipment shall be not wrapped in plastic unless it is coupled with adequate moisture
absorbent material, such as silica gel
For any imported components, packing material shall comply with import and export regulations.
All wood packing in each consignment shall be free from bark and all visible signs of insect and
fungal attack at the time of shipment. Furthermore, the importation of packing materials such as
second-hand sacking, hays, straw, chaff, rice husks and peat shall be prohibited. The Contractor
shall be responsible for obtaining approval of the packing timber and materials before Delivery.

Invoices and packing lists shall state the type of packing used and certify that none of the
prohibited material has been included.
The Principal may require to inspect and approve the packing before the items are dispatched but
the Contractor shall be entirely responsible for ensuring the packing is suitable for transit and such
inspection shall not exonerate the Contractor from any loss or damage to faulty packing.
3.7.2 Unloading and Storage at Site
The Contractor shall at Site place the Works in the Contractor’s storage area in the following
manner:
Place any containers or any packages in locations as directed by the Principal.
Certify that the contents of any container or any package agree with the said packing lists.
Remove from site any unwanted packing debris and any empty containers immediately after
completion of unloading at Site.
3.7.3 Hazardous Areas
No sections of the installation are within hazardous areas or require hazardous equipment ratings.
3.8 Electrical Works
3.8.1 General
This section covers the general requirements for all electrical works to be provided by the
Contractor and shall be read in conjunction with the Schedules and Drawings.
3.8.2 Site Induction Requirements
The Contractor shall be required to comply with all of the site requirements including compliance
to all isolation, induction, site safety, first aid and emergency procedures. The Contractor shall
ensure that all site personnel have all of the requisite certification for site.
3.8.3 General Technical Requirements
The design and installation of the electrical works shall comply with the following standards and
specifications:
The latest requirements of AS / New Zealand Standard AS/NZS 3000:2007, Electrical
Installations, known as the Australia / New Zealand Wiring Rules
3.8.4 Local Environment
The following service conditions apply:
Site elevation is less than 100m above sea level
Ambient temperature range +15°C to +45°C

The dust / air ratio will be less than 200mg/m³

and ambient conditions.
3.8.5 Available Utilities

3.9 Equipment

3.9.2 Equipment Labels
Control panels, junction boxes, and equipment within panels shall be labelled with a non-
ambiguous name, code, or tag numbered as appropriate, and as used in the drawings prepared by
the Contractor. Panels shall be clearly labelled front and rear. The English language shall be used
throughout.
Equipment labels shall be engraved with black lettering on a white background on UV stabilised
acrylic or similar material. Labels shall be fixed by small screws or studs. Self- adhesive labels shall
not be used.
Unless otherwise specified, letter height shall typically be;
Instrumentation, Miscellaneous items - 3 mm
Main titles, for tag number and service description - 6 mm
Control Panel, Junction Boxes, Main Equipment nameplate designation - 10 mm
Naming shall be confirmed with the Principal before manufacture.
3.9.3 Cables - General
All cables shall be copper.
4 Work Methodology
The scope includes hardware and software supply, engineering and software development, site
installation and commissioning.

After contract award the Vendor, or nominated system-integration subcontractor, shall produce a
number of demonstration screens to facilitate the development of a Standards Manual. The
demonstration screens shall show the proposed screen navigation, standard symbol libraries and
any special Vendor-specific features. An example of all the items in Section 2.3 HMI Functionality
shall be included in the demonstration to the Principal’s representatives. This demonstration and
subsequent discussions will take place in Rarotonga.
After input from the Principal, the Vendor shall commence development of the new SCADA
system, including the development of the Standards Manual.

4.1 SCADA Standards Manual
The Vendor shall development a standards manual in conjunction with the Principal. Shortly after
Contract Award, the Vendor shall create a number of HMI screens for demonstration to TAU staff
in Rarotonga. The demonstration screens shall be based as close as possible to the Vendor’s
standard product and include at least the following:
Proposed navigation of screens (overview screen, generator screens, alarms)
Standard power system / generation symbols library
Any special features that may be particularly useful to TAU operators
Examples of similar systems already in operation
Once the Principal has provided comment from the demonstration, the Vendor shall produce a
Standards Manual specific to TAU requirements. The Standards Manual shall define the following:
Screen navigation and hierarchy (single-line overviews, generator capability screens, alarms
screens, default trends, diagnostics, monitoring, raw data screens etc.)
HMI screen graphics (colours, multi-state indicators, faceplates, symbols)
Alarms (Number of priorities, colours, alarm states, tagging standard, etc.)
Tag naming convention to ensure consistency
Fonts and sizes to be used for various applications
Security access levels, including definitions of the specific privileges at each level
The Modbus, DNP3 and EtherNet/IP points lists
To avoid a large amount of customisation, the Vendor's standard libraries, objects and screens shall
be used where possible.
The Standards Manual shall be the reference document for all configuration and programming of
the SCADA system as well as future additions and upgrades.
4.2 Software Development
The Vendor, or its nominated system-integration subcontractor, shall be responsible for developing
the software of the TAU SCADA system. This shall be under the supervision of the Principal. All
source code, installation disks, documentation and configuration files shall be given over to TAU at
handover.
4.3 SCADA System Configuration
SCADA system configuration shall include producing the following based on the approved
Standards Manual:

features requested by TAU during the initial demonstration
Alarm screens
Default trend screens
User accounts
Linking symbols to database points
Translation /scaling of raw data received from remote devices

Configuration of network equipment
Packaging and shipping to Rarotonga
Screen dumps of all screens shall be issued to the Principal for comment and approval.
4.4 Points Database
Producing the points-database shall include the following work:
Creating the points database, including translation / scaling of points
Setting up and configuring the main and standby SCADA servers, including the operating
system
Setting up and configuring the Historian server including the operating system and analysis
software
Point-to-point testing of database points through to workstation HMI screens prior to formal
FAT
4.5 Expert System Software Development
The Expert System software shall be developed once the exact requirements are understood and
the Functional Descriptions made available. This will most likely be after the PV plant system has
been connected to SCADA. The Vendor shall allow a PC Sum in the pricing schedule for
programming, testing and commissioning the Expert System software.
5 Installation
The Contractor shall be responsible for the installation of the new equipment on site. The
Contractor shall use local sub-contractors as a priority unless it is more cost effective to use
overseas contactors. The following work shall be undertaken by the Contractor.

5.1 Installation of Wall Mounted Cubicles
All wall-mounted panels shall be securely fastened to walls in the location shown in the drawings by
the use of tapped holding down bolts, chemically held concrete inserts, Unistrut fasteners, rawl
plugs or the like. No fibre compression plugs shall be used.
Wall mounted cabinets are required in the following locations, however the Contractor shall consult
with TAU to determine whether suitable space is available in existing racks.

Where panels are to be mounted to unfinished concrete or block walls, Unistrut or similar rails shall
be provided and installed to provide an air gap between the panels and the walls.
5.2 UPS
One new UPS shall be installed in the Power Station Control room and a second new UPS installed
in the TAU Main Office. The UPS may be a floor-mounted unit, or rack mounted. The
Contractor shall confirm space availability and preference with TAU prior to ordering and
installing.
5.3 SCADA Servers and Historian
The new SCADA servers and historian shall be installed in 19” racks in the Power Station control
room and the TAU Main Office. The contractor shall confirm the exact location with TAU prior
to installation.
5.4 Workstations
The workstations shall be installed on the appropriate operation desks in the Power Station control
room and TAU Main Office. The contractor shall confirm the exact location with TAU prior to
installation.
The Engineering Workstation shall be install on a separate desk in the Power Station control room
to separate it from live operations.

5.5 Firewall
The firewall shall be installed in a 19” rack in the TAU Main Office. The contractor shall confirm
the exact location with TAU prior to installation.
6 Testing and Commissioning
The Vendor shall provide the following testing:

Functional tests shall be performed on each sub-system to prove that it operates is in accordance
with this specification.
Communications sub-systems shall be assembled as far as possible so their function can be tested.
Tests shall be performed on all fibres of a representative length of each type of fibre optic cable
used. In addition, the communications equipment shall be integrated and interconnected as far as
possible in the factory and tested as a full system or sub-system under simulated conditions that as
closely as possible represent final installation.
Tests may be witnessed by the TAU at their discretion. The equipment shall only dispatched once
written test results have been approved by TAU engineers.
The FAT will also provide a suitable opportunity for Operator Training. The Contractor shall liaise
with TAU representatives to facilitate such training.
6.2 Site Commissioning Tests
6.2.1 Setup and Pre-commissioning
The Contractor shall be present on site for pre-commissioning works including, powering up and
checking equipment, establishing communications and testing and some initial point-to-point
checks. Further commissioning may be undertaken by MECL.
6.2.2 Site Commissioning
Prior to handover, the Vendor shall carry out Tests on Completion. The tests shall be carried out
in the presence and to the satisfaction of the Principal. The Tests on Completion shall verify the
correct functioning of individual parts of the Works and of systems involving more than one item
of equipment.
The tests shall include tests for correct functionality and operating characteristics plus other tests as
may be directed by the Principal.
If any portion of the Works fails to pass the Tests on Completion then tests on that portion shall, if
required by Principal, be repeated within a reasonable time upon the same terms and conditions.

All costs and losses incurred by Principal in consequence of such failure and/or by such repetition
shall be borne by the Vendor.
6.3 Handover - Stage One
As there are separable portions to this project, formal handover of the new SCADA system to
Principal shall be completed at the end of Stage 1. This shall be when all PV SCADA and Existing
Power Station Equipment points have been ‘point-to-point’ tested and signed by the Principal.
Point-to-point testing shall include both workstations, the historian and the web-server.
A Practical Completion Certificate shall be issued by the Principal. This may include a list of minor
defects that shall be completed within the defined timeframe on the certificate.
The Contractor shall provide the following at handover:
As-built drawings (red marked up drawings are acceptable)
All source code and related documentation shall be handed over to the Principal on
completion.
Operation and Maintenance Handbook
Application software installation disks (operating system, HMI configuration, database setup
and maintenance, etc.)
6.4 Handover – Stage 2
The exact timing of Stage 2 is still to be confirmed. Handover of this stage will be handled with a
separate Certificate of Practical Completion.
6.5 Handover Subsequent Stages
Handover of subsequent stages will be via separate Certificates of Practical Completion.
7 Training
The Vendor shall be responsible for the training of engineers and technicians to understand,
manage, operate, test and repair the SCADA system. The course content will differ depending on
the category of the trainee. Operator Training may be undertaken during acceptance testing.
Topics covered shall include:
Configuration and connection of equipment
Operation of plant equipment using the SCADA system
Fault finding techniques and equipment maintenance

The Vendor shall provide course material, equipment and trainers to train the Principal’s personnel.
Such training shall consist in formal training in operation, hardware, equipment and software
maintenance.
Training shall be provided in the Vendor's country during equipment assembly and factory testing
and on site during commissioning activities. When training is conducted outside Rarotonga, the
Vendor shall be responsible for all costs (including communications, documentation, office
facilities, etc.), organisation and running of the training.
Annual refresher training shall be included as an option.
8 Support
8.1 On Site Support
The Vendor shall offer on-site support for the first six months after handover. The Vendor shall
allow for a fixed number of on-site support visits in the offer.
8.2 Remote Support
The Vendor shall also provide remote support (with appropriate cyber security) using remote
desktop software allowing minor fixes to be applied to the server operating system, SCADA
software or historian. Any updates must be applied under the supervision of the Principal’s
engineers.
8.3 Software
All source code, installation disks, operating systems, configuration files and related documentation
shall be handed over to the Principal on completion of the project. This shall include any special
cables required for configuring or diagnostics.
8.4 Drawings and Documents
All drawings, manuals and documentation related to the project shall be given to the Principal on
completion. AutoCAD files shall be included as part of the documentation.

9 Exclusions
The following exclusions apply:
Installation of single-mode fibres between sites. This will be by others.
