About Dr. James Moss Everything must chnge…
“As we get older, we develop a resistance to change - at times to our detriment.” In Brian Tracy’s Book, “Change Agents,” Dr. James Moss has been identified as a major contributor for change in the new media marketing arena. (Early Lessons in Persistence and Determination, Chapter 30, pg. 281)
Dr. James Moss was the first Black American to head the world’s largest marketing Alliance

WHY ADVERTISING CAN BE A WASTE OF MONEY! BY DR. JAMES MOSS
CHAPTER 17 pg. 169 Excerpt:
For the entrepreneur, it all boils down to this. You want just three things: • To get new customers • To make a profit • To keep your good customers loyal and referring new business (which brings us back to the first point, doesn’t it?).
So your key question is, how do I get new customers? And if you’re like most entrepreneurs, your standard answer is advertising. But advertising costs money. Lots of money. And it involves effort. Lots of effort. The worst thing is that the ROI (return on investment) for all your marketing money and effort is rarely worth it. My experience working in the RSB marketplace, that’s “real small business
owners,” is that most of them end up wasting their money on advertising. How can this be when they follow all the pundits?
• They pay for Internet search engine optimization. • They purchase radio, TV ads and social media video blogs. • They invest in a flashy website. • They buy brochures and signage. • They hire sales staff. • They attend conferences and expos. • They use direct mail. • They buy books that give them more ideas on how to spend more of their money on marketing.
Let me show you how to stop wasting your money, and funnel it more effectively… Celebrity Press, LLC. Copyright 2014, ISBN: 978-0-9912143-3-4, LCCN: 2014932195

Who We Are…
Our people are busy changing the world, tackling the toughest challenges in areas like
marketing, advertising and business promotions for the Really Small Business (RSB)
market. With an outward focus on our customers and integrity at our core, we’re creating
new media digital solutions which help the RSB market enhance their e-commerce
operations with video and mobile optimized web-sites. We connect with busy consumer’s
on-the-go! The result? Wide spread impacts on the way small businesses work across
the entire globe. This is why we need the best and brightest minds to join our team. People
like you – determined to push boundaries, and help create a smarter, better future for all.
7
Our Core Beliefs
Our concept is simple. We find out what our clients want, and give it to them. We help businesses to reach busy consumers on-the-go!

1. Executive Summary
AdNetworkTV TV is a provider of Digital/Mobile Advertisement, a new media division of U.S.
Global Marketing Group. AdNetworkTV utilizes monitors (Screens) and mobile phones to aid our
company in building geographical networks to advertise to a targeted audience. Our monitor
networks provides the business community and even the home based business market an affordable
advertising medium to reach busy consumers. Manufactures are now building devices and mobile
platforms that provide the delivery of marketing materials and help Really Small Business (RSB)
to measure and track results we have developed. These unique set of tools help the RSB market
by providing cost effective solutions.
1.1 Business Opportunity
AdNetworksTV helps Progressive Business Radio (PBR) assist small sized businesses
with Digital marketing through local networks integrated with the web and social media
platforms. Delivering content to mobile networks and busy locations where prospective
customers have down time. Marketing content is delivered in a high impact fashion and
can be heard on talk radio and seen digitally by local audiences and repeated hundreds of
times daily at a low affordable cost.
1.2 Product/Service Description
Micro and small business owners typically do not have the advertising budgets of larger
companies. They face many challenges including the high cost of media advertising and
are constantly searching for economical methods to reach their consumers, clients and
customers. We recognized the need for community based “focused” advertising and
marketing. Technological advances in the digital media industry have allowed for the
evolution of these focused community based mobile advertising networks. The networks
utilize a closed loop system which provides for easy uploads and downloads on an internet
connection. Monitors, mobile devices, billboards and signs provide constant live feeds of
9
information, news and commercials in the form of advertisement that is highly reliable and
designed to operate 24/7 - 365 days per year.
We transmit programming to our units which receive digital content wirelessly (digital
signage) on our HD LCD screen network located in high traffic high dwell-time community
businesses like car washes, restaurants, doctors and dentists offices. Flexibility plus an
attractive price point for ads makes AdNetworkTV an attractive solution for advertisers.
State of the art high definition LCD flat panel screens in high profile areas are installed
throughout the community. No hard wiring is required, just an outlet. Our digital signage
is a turn-key advertising medium focused on high tech advertising solutions. Marketing
presentations and other important data is displayed on high definition flat-panel screens.
The core technology to support this capability is provided by leading telecommunication
companies including AT&T, Verizon Wireless, VodaFone, Bell Canada, B-Mobile and
many other providers around the globe.
1.3 Current Business Position
U.S. Global Marketing Group (USGMG) is a full-service marketing and advertising
agency. Since 1995, we have been providing products and services to help businesses
penetrate and capture a greater share of the targeted markets for small businesses. USGMG
provides superior marketing and advertising services to the business community across all
media platforms, both offline (traditional media, direct mail, video and print) and online
(new media –mobile digital advertising). The AdNetwork division and Progressive
Business Radio (PBR) provides a marketing opportunity for local business owners to
communicate with busy on-the-go consumers and business professionals. AdNetwork
provides a combination of advertising and entertainment, so that potential clients’ eyes are
always on the screen. The content can vary from breaking news, to weather, and/or
important local events. Because our monitors have individual IP Addresses programming
is directed to any location in our network or within any given community. Each unit is
10
monitored in the event of a problem. We also offer mobile integration (targeted text
messaging) within a few miles radius of any business.
1.4 Financial Potential
Projected gross revenues for 2015 and 2016 are very optimistic. Revenue growth will
increase with the marketing of this advertising medium, and recognition of the company.
(See RadioX, Progressive Business Radio Projections, pg. 20)
1.5 The Investment Request
AdNetwork is requesting an amount of $30,000.00 for a ten percent profit share,
$60,000.00 for a twenty percent profit share, or $90,000.00 for a full thirty percent
profit share to be used to fund start-up operations. This investment will finance office and
studio space, purchase or lease of the required digital communications equipment, payroll,
plus the beginning of our initial aggressive local marketing campaign. Future profits will
establish a regional training center to teach our 4-step module program for Interns by
offering apprenticeships in local community businesses.
1.6 College and University Internship Program
Local colleges and universities, have indicated interest in the AdNetwork concept. The
Internship program is a valuable community service that not only benefits the business
community, but more importantly students and the schools they attend. Students have an
opportunity to learn on-the-job business skills, while earning commissions for themselves
and their sponsoring college.

2. The Cloud
U.S. Global Marketing Group, LLC is licensed and headquartered in Atlanta, Georgia. The
company provides business to business (B2B) new media marketing solutions.
12
3. The Industry, Competition and Market
In today’s aggressive market place, small business owners are constantly in search of ways to stay
one-step ahead of the competition. AdNetwork recognizes the need for community based
“focused” advertising and marketing. Community digital media helps provide the competitive
edge necessary to keep your business name and brand on the minds of your targeted consumers.
Technological advances in the digital media industry has allowed the evolution of these focused
community based advertising networks.
3.1 Advertising Costs and Technology
More than 60% of small and medium sized businesses advertise locally in the Online Yellow
Pages and on their company websites, while 40% percent use direct mail. Smaller businesses
are challenged by the high cost of print, radio and television advertising. Seth Cohen, Vice
President of Research at Spot Runner states, “The survey findings clearly illustrate two
important trends happening within the small and medium business market. The first is there is
strong pent-up demand for affordable local advertising. The second is they are using New
Technology to improve the way they operate, save money and streamline business tasks."
3.2 TV Ad Budgets
If small businesses were able to purchase TV advertising, almost 30% would allocate new
advertising dollars to it; however, the remaining 70% would pull from existing advertising
mediums in the following order:
1. Daily newspapers
2. Yellow Pages
3. Weekly newspapers
13
According to data from the Kelsey Group and TNS Media Intelligence, the two major think
tanks used by Neilson and Arbitron ratings groups (rating television and radio media), the
market for local advertising is close to $280 billion.
3.3 Online Yellow Pages Advertising
While the average small and medium business spends nearly one quarter of their advertising
budget on Yellow Pages, it is one of the first advertising vehicles they decrease to try new
mediums.
3.4 Internet Advertising
While many small businesses believe online advertising is "effective," 69% recognize there
are customers that they simply "cannot effectively reach through the Internet alone.”
3.5 Competitors
Competitors include companies, such as; Adcentricity and Xtream. Adcentricty supply
monitors to companies like our own that are specifically designed for large areas in malls, mass
transit, and stadiums. They offer research, mobile integration/activation and network
consulting. Xtream utilizes stand-alone computer ticket kiosks with hardware and software
solution “drivers” to run them.
14
4. Marketing Plan
In the start-up phase, it is the central task of the marketing concept to establish value in the
targeted marketplace for the host location. The strategy will be to continuously grow our
clients’ customer base through the implementation of a customer loyalty program that will
encourage new and repeat clientele. Several marketing and sales promotional strategies are
also available to accomplish these tasks.
4.1 Features and Benefits to Clients
Our focus will be to:
Offer low cost - high visibility digital media advertising on AdNetwork within
several miles of the specified client location;
Provide advertisement that will help client businesses to expose their customers to
more of their products and services;
Display a website and make changes within minutes;
Provide revenue sharing from referral ads. (business owners can participate in
revenue sharing by referring other businesses to the program);
Provide business owners ads for free and ensure visibility dozens of times per hour;
Ensure a six to ten mile saturation radius for client ads, on their network, to facilitate
more exposure within their target area.
4.2 Promotional Plan
To attract new customers and new prospective business owners, the strategy will include a
combination of advertisements and special offers with opening discounts. Furthermore, groups
of prospects will be selected for direct mailings in each target area we intend to market. This
strategy is expected to continue for 3-4 months, after which the effort will move towards
creating customer loyalty for regular subscribers within a network area. A marketing alliance
with ad agencies and traditional media outlets to sell advertisement on our networks for a
15
standard 15% commission. We will combine online press releases and direct advertising,
which will also be used to promote our efforts throughout the target areas in each city where
we are building networks.
4.3 Competitive Advantage
AdNetwork offers a significant advantage over other media type organizations:
Radio provides a level playing field and attracts small businesses who want to promote
more and get measured results;
Consult with business owners to design and develop the ad concept ad;
Deliver ad content:
Offer mobile integration (targeted text messaging);
New software program to enable the run and integration of ads in the system;
Turnkey installation, web integration (connect to internet) ad design and revenue collection
(using a credit card payment/draft system),
Participation in BEEPXtra loyalty program.
4.4 Distribution Channels
An expanding network throughout the local communities we operate in;
A College and University internship program – facilitating our concept expansion and
helping the participating students and their school to earn money;

Breakdown of Packages and Services -
Business Evaluation
Every company has digital marketing strategies, even if you’re not the one actively controlling
them. Even if you’ve never spent a minute on Facebook, Twitter, Pinterest or any other Web
property, customer opinion is forming about your brand, based on mentions of your company’s
name by individual users — or by your obvious lack of participation. We look at the number of
social shares your blog posts receive, the size of your fan base, and the number of positive reviews
left about your company on sites like Google Reviews and Yelp (Yellow pages- yes, they are still
around – just in digital form). Reexamine your target customer profiles and take a look at your
digital presence from a consumer perspective. Evaluate your messaging strategies, Check your
digital marketing return on your investment (ROI). For a rough idea of how this looks, imagine
that your company has spent $500 on digital marketing materials and $500 in labor hours to
promote them. Now, if you determine that inbound visitors from social networking websites have
accounted for 10 sales at $20 each (for a gross profit of $200 total), you can see that you will want
to scale back or realign your digital marketing efforts. If, on the other hand, you see that visitors
from one particular social media website have accounted for 80% of those sales, you may decide
to refocus your efforts in order to concentrate on the traffic streams that have proven most valuable
to your company’s bottom line.
Direct Response Marketing
- Since Mobile devices are the center of marketing in 2015 and for many years to come, we
