SPECIAL RESOLUTIONS
At the AGM in Vanderhoof, the following Special Resolutions
will be voted on. Please review carefully, and participate if you
can. Thank you in advance.
The Board of Directors/BC Livestock
Proposed Special Resolution 1
Part 11.2 of the Memorandum and Rules (Directors)
(current wording) states:
The number of directors shall be set at 12 and shall be elected pursuant
to the election procedure provided herein so to give representation of
four directors with respect to each of the Kamloops District and the Wil-
liams Lake District and two directors with respect to the Okanagan Falls
District and the Vanderhoof District.
Special Resolution for voting on October 29, 2018 at AGM
Whereas the Distr ict of Vanderhoof membership has requested that
their representation on the board of directors for BC Livestock Produc-
er’s Co-operative Association be increased from two directors to three
directors; and the Board of Directors supports this increase in director-
ship,
therefore, be it resolved that the Distr ict of Vanderhoof duly elect an
additional director at the annual district meeting in 2018, and the Memo-
randum and Rules of BC Livestock reflect this change in directorship; as
follows
The number of directors shall be set at thirteen and shall be elected pur-
suant to the election procedure provided herein so to give representation
of four directors with respect to each of the Kamloops District and the
Williams Lake District and two directors for Okanagan Falls District and
three directors for the Vanderhoof District.
Proposed Special Resolution 2
Section 11.8 Directorship (current wording)
A director may hold any office or place of profit under the association, other
than auditor or employee, in conjunction with his office of director for such
period and on such terms, as to remuneration or otherwise, as the directors
may determine. Subject to compliance with the Co-Operative Associations
Act, no director or intended director shall be disqualified by his office with
contracting with the Association either with regard to his tenure or any such
office, or place of profit or as vendor, purchaser or otherwise, except as an
employee. (Amended May 27, 1987)
Special Resolution for voting on October 29, 2018 at AGM
Whereas the Board of Directors of BC Livestock Producers is made up
of members in good standing who are elected at the annual general and
annual regional meetings; and whereas there has been concern raised by
members about conflict of interest amongst directors;
Therefore be it resolved that the members of BC Livestock prevent
such conflict of interest by disqualifying auditors, contractors that pro-
vide services for BC Livestock, and order buyers that trade livestock
with BC Livestock, from acting or continuing to act as a director of the
association while the person (whether individually or through a corpo-
ration, partnership or other entity) holds any of the listed roles with the
association.
New wording would be:
A person who is an auditor, employee, contractor providing services to
the association, or order buyer who trades livestock at association sales
is disqualified from acting or continuing to act as a director of the
association while the person (whether individually or through a corpo-
ration, partnership, or other entity) holds any of the listed roles with the
association. Except as set out above, a director may hold any office or
place of profit under the association, in conjunction with his or her of-
fice of director, for such period and on such terms, as to remuneration
or otherwise, as the directors may determine. Subject to compliance
with the Co-operative Associations Act and except as set out first
above, no director or intended director shall be disqualified by his or
her office with the Association from contracting with the Association as
vendor, purchaser, or otherwise.
