RE-TENDER FOR LICENSING SPACE
Sealed competitive tenders are invited for licensing of space at Rain Drops, Chennai,
located in the heart of the city of Chennai, for the following purposes in the locations
specified and with approximate area.
1) Operation of Travel & Requisite Shop – Cabin in Reception Lobby in front of the
restaurant entry
Approx. Area – 103.94 sq:ft.
2) Operation of Spa/Ayurveda - 1345 sq:ft. approximately in the 2nd
floor
3) Operation of Curio Shop - The vacant space adjacent to the capsule lift
Approx. Area – 79.09 sq:ft.
4) Display Area to display the products - The right side area, enroute to the basement
Of the bidder two wheeler Parking from the main entry near
ring main guard room
Approx. Area – 214.23 sq:ft.
The bids are invited initially for a period of 3 years. The premises are ready for
occupation. Tender forms are available at the office of the Commercial Manager, KTDC
Ltd, Corporate Office, Vikas Bhavan. P.O., Thiruvananthapuram. PH. 0471-2721243.
upto 1.00 P.M. on 27/04/2015 during office hours on payment of Rs.1,041/- inclusive
tax. The EMD will be Rs.50,000/- by D.D. for each shop. Tender forms should be
submitted on or before 3 P.M. on 27/04/2015. The same will be opened at 4.p.m on
27/04/2015. The under signed reserves the right to accept or reject any tender with out
assigning any reason whatsoever.

CONDITIONS FOR THE LICENSE OF SPACE.
1. The licensee will enter into an agreement of license for a period of three years
with the Licensor within ten days after the receipt of the communication of the
acceptance of the tender by the Licensor, and deposit a security deposit equivalent
to 6 months rent. The deposit is interest free and is to be repaid to the licensee, on
final vacation of the premises by the licensee after the recovery of all the arrears
of the rent, electricity charges, water charges, and amount payable for the
common services. The licensee shall pay monthly rent to the Licensor before 5th
of every month with the annual increase agreed to in the tender.
2. The licensee shall use the said building exclusively for the purpose stated in the
tender.
3. The licensee shall continue to pay the rent in respect of the said building regularly
and punctually without any delay or default, and is entitled to obtain receipt
thereof from the Licensor. In case of defaults exceeding 3 months, the Licensor
may immediately terminate the license.
4. The licensee shall pay electricity and water charges without any delay or default.
5. The licensee shall pay bills presented by Licensor in relation to maintenance of
the common areas, water supply and security as applicable to the said building
regularly and punctually without any delay or default.
6. At all times during the term of the license, the licensee shall keep and maintain
the said building with all its fittings and fixtures in proper condition.
7. The licensee will keep the area licensed to them neat and tidy at all times .

8. The licensee shall not make any alterations in the said building without the
previous written consent of the licensor.
9. The licensee shall not use the building so as to destroy or reduce its value or
utility in any manner.
10. The licensee shall neither transfer his right, (Sub license) nor allow the building
or any part thereof to be occupied by anybody else.
11. On the expiry of the aforesaid period of 3 years or earlier by three months
notice on either side, the licensee shall vacate and hand over the building to the
Licensor in good condition as it was at the time of taking the building on license
after removal of all fixtures if any owned by the licensee.
12. The licensee shall permit the Licensor, his servants and agents, at all reasonable
times to enter into the building to inspect the conditions thereof and to point out
any defects to be repaired.
13. The original of this license agreement, executed shall be retained by the licensor
and a true photocopy of the original retained by the licensee.
14. If the licensee commits any breach of the conditions or covenants herein, the
license shall be terminated at the option of the Licensor, who shall be entitled to
recover all the arrears of the rent, electricity charges, water charges, and amount
payable for the common services. All damages for breach of contract will be
levied from the licensee and evict the licensee with out further notice and to
resume possession of the said space.

15. The licensee may keep their sign boards exhibited in front of the space allotted
after getting the approval from the licensor.
16. All decisions taken by the licensor represented by the Managing Director or
Board of Directors of KTDC regarding this license shall be binding on the licensee.
17. No explosive or unlicensed items of any kind shall be stocked in the space
licensed.
18. Taxes if any liable to be paid by the licensee to the Central Government/State
Government/Local bodies shall be paid by the licensee then and their and the
licensee will be solely responsible for any legal action due to non remittance of
the taxes.
19. The licensee will be solely responsible for collection and deposit of vat/ taxes etc.
20. In the event of failure to pay the license fee on the stipulated date, an interest at
18% shall be charged.
21. The licensee, in connection with carrying on his business in the licensed
premises, will only appoint persons having good character, well-behaved skill-full
in the business.
22. The licensee shall furnish the licensor a list of his / their employees indicating
name, age, residential address, permanent address, and specimen signature.
23. Any encroachment of space over and above the space allotted to the license as per
the agreement shall lead to termination of the agreement/contract.

24. The licensee shall be required to adopt fair business practices and to exhibits
prizes in respect of each item of sale and the prize so exhibited should be
competitive.
25. The licensee shall not store, display, exhibit any books, magazines, newspapers or
periodical, status, idols, or other articles which are repugnant to moral or indecent
and immoral, in proper or otherwise objectionable in character, it being expressly
agreed that the decision of the licensor shall be conclusive in this behalf and
absolutely binding on the licensee and shall not be subject o any dispute or
review. The licensee shall immediately remove such items from the premises, if
decided by the licensor as objectionable in any manner.
26. The licensee shall be responsible to obtain approval for all necessary licenses
from the concerned authorities which are required from the State, Municipal or
any other authority for the purpose for carrying on the business.
27. The licensee shall not stock any inflammable or otherwise dangerous materials,
goods, narcotics, drugs, articles so as to injure or damage the premises or keep
goods of combustible nature etc. in any part of the area.
28. The licensee shall not cause or be the cause of loud or noisy conduct nor indulge
in anything what so ever which may constitute a source of nuisance or annoyance
to the licensor or other licensees or occupants or the visitors of the hotel.
29. The licensor may at any time at their discretion call upon the licensee to remove
his goods from the licensed space and give him alternative space for the purpose
of his business. The licensor shall endeavor to give such alternative space on
license which is reasonably equivalent to the licensed space. In case the
alternative space is not acceptable to the licensee, he will have the option to
terminate the contract by giving one month notice.

30. The licensee shall comply with all the directions, general or special, as may be
given by the licensor from time to time, which shall be deemed to be part of this
contract. The licensor may vary, delete and withdraw such directors from time to
time.
31. The Courts at Chennai shall have jurisdiction to try any suit or legal proceedings
arising out of or concerning the terms of this agreement. The Indian laws and any
modifications thereto shall be applicable and binding on both parties hereto.
32. The KTDC Ltd. will not be responsible for any loss of goods due to theft,
burglary or fire etc.
33. The Licensee shall not hold or permit to be held any public or private auction in
the space.

premises conducted due diligence and having read all terms and conditions thereof,
