CONCERT PERFORMANCE AGREEMENT

THIS CONCERT PERFORMANCE AGREEMENTis made this___________ day of _________, 20___ by and between _______(Buyer)___________

(hereinafter referred to as the "Buyer") and the entertainer or entertainers, if more than

one, listed on Addendum A attached hereto and included herein (hereinafter referred to asthe "Artist"), by and through their designated agent or representative ("anager")

identified below!

WHEREAS,Buyer conducts the annual event nown as __________________

(hereinafter referred to as the "#oncert")$ and

WHEREAS, Buyer desires to hire Artist, as independent contractor(s), to providethe entertainment generally described below (the "%erformance") at the 20________

#oncert$ and

WHEREAS,Artist(s) desire to provide such %erformance at the #oncert$

NOW, THEREFORE,the parties agree as follows&

1. Entertainers: 'he names and addresses of the ntertainers who will

appear during the %erformance, the amounts to be paid to each, and the ntertainers

social security numbers and union numbers, if any, are as set forth on Addendum A!

accordance with the terms of this Agreement and any addendums or riders hereto!

(a) Full Price Agreed Upon:

(b) Deposit: A nonrefundable deposit, in the sum of $

of Artist (or to Artists designated representative), not later than

(d) Additional Payments: Additional payments, if any (such as percentages,

overages, or bonus payments), shall be paid by Purchaser to Artist (or to

%e& Met!' !" Pa+#ent:All payments shall be paid by certified check,

money order, bank draft or cash.

-. Re!r'ing, Rer!'/ti!n !r Trans#issi!n !" Per"!r#ane: Buyer

will use its best efforts to prevent the recording, reproduction or transmission of the

%erformance without the written permission of Artist(s) or Artists representative!

0. E/se !" Oligati!ns: Buyer and Artist shall be e*cused from their

obligations hereunder in the event of proven sicness, accident, riot, strie, epidemic, act

of od or any other legitimate condition or occurrence beyond their respective control!

1. Taes: Buyer agrees to prepare and file all ta* information re-uired of a

person who hires an independent contractor and Artist(s) agree that they have soleresponsibility for the payment of any federal or state ta*es arising from the monies paid

by Buyer to Artist(s) for the %erformance!

11. In'een'ent C!ntrat!r: Artist(s) acnowledge that they shall perform

their obligations hereunder as an independent contractor and not as an employee of

Buyer! Artist(s) further acnowledge that they are not on Buyers payroll and social

security or ta* withholding rolls! Artist(s) shall have sole control and direction in theconduct of the %erformance!

12. Meran'ising: Artist(s) shall have the e*clusive right to sell goods,products and merchandise featuring the name, image, lieness, photograph and logo of

the Artist(s) on the grounds of the #oncert!

13. Pr!#!ti!n: Buyer shall be entitled to advertise and promote the

appearance of Artist(s) at the 20___ #oncert and the %erformance! Artist(s) acnowledge

that Buyer will rely on the terms hereof in all such promotions and advertising and in the

brochures to be printed setting forth the names, dates and times of all performances to beheld at the 20__ #oncert! Artist(s) hereby acnowledge and agree that Buyer may use

their names, photographs, lieness, facsimile signature and any other promotional

materials in all of such promotions, advertising or other activities used to increase

attendance at the 20__ #oncert!

14. Par5ing: Buyer shall provide paring space for vehicles in a location ofclose pro*imity to and with direct access to the bacstage area where %erformance will

tae place on the date(s) of %erformance! 'his paring space will be reserved for

Artist(s) for a period of four (+) hours prior to the %erformance and ending three (.)

hours following the %erformance!

1(. Se/rit+: Buyer shall provide security for the bacstage and stage areas

before, during and after the %erformance! Buyer shall provide security personnel toprotect Artist(s) and their property as deemed appropriate by Buyer in its discretion!

1). Passes: Buyer shall provide identification passes to Artist(s) and Artistsassistants for the bacstage and stage where %erformance is to be held!

1*. Stage: At its sole e*pense (and as more specifically detailed in the /Artist'ech ider1, the terms of which are incorporated herein by reference) Buyer shall furnish

the stage, and stage lighting, sound and power for the %erformance, and Buyer shall

provide all stagehands re-uired to assist the setup for and conduct of the %erformance and

taedown after the %erformance!

1-. $ressing R!!#s: Buyer shall provide Artist(s) with one private dressing

room (as more specifically detailed in the /Artist 'ech ider1, the terms of which areincorporated herein by reference), which will be clean, dry, well lit and air conditioned!

10. Att!rne+s6 Fees: n the event litigation is necessary to enforce thisagreement, the prevailing party shall be entitled to recovery of its attorney3s fees and

costs! 'his agreement shall be enforced pursuant to the laws of the 4tate of ________,

and venue for any such litigation shall be in the 4tate of _______, #ounty of ________!
