SectionI:ThisPhanClubshallbeknownastheLEHIGHVALLEYPHANTOMSPHANCLUBandshalloperateasanon-profitorganization.

SectionII:AllmentionofLehighValleyPhantomsPhanClubwillbeshortenedto“LVPPC”.

ARTICLEII:MISSIONSTATEMENTTheLehighValleyPhantomsPhanClub(LVPPC),anon-profitorganizationandmemberoftheAssociationofAmericanHockeyLeagueBoosterClubs(AAHLC),isaproudsupporteroftheLehighValleyPhantoms(AHLAffiliateofthePhiladelphiaFlyers).Ourmembersareagroupoflike-mindedindividualsbroughttogetherbytheloveofhockeyandadesiretogivebacktothecommunity.ThepurposeoftheLVPPCistopromotetheawarenessofthePhanClubanditscharitiesalongwiththeLehighValleyPhantomsHockeyClubandtheircharities.TheLVPPCfostersandencouragesthefutureofhockeyintheLehighValleyandpromotesgoodwillamongfans,theLehighValleyplayers,teamadministration,andthecommunityingeneral.TheLVPPCsponsorsandparticipatesinmanycommunitypublicserviceactivitiesandotherrecreationalandcharitableevents.

ARTICLEIII:OBJECTIVESTheobjectiveoftheLVPPCis:

1. TofosterandencouragethefutureofhockeyandotherlegalsportsinPennsylvania.

2. TopromotetheawarenessoftheLehighValleyPhantomsandLVPPCcharities.3. TomaintainaPhanClubforthememberswithoutthedistinctionofrace,creed,

color,sex,nationaloriginorpoliticalpersuasion.4. EnthusiasticPhansupport.5. GoodwillandcooperationamongPhansandtheLehighValleyPhantoms

players,administration,staffandthecommunityingeneral.6. Sponsorshipand/orparticipationincommunitypublicserviceactivities.7. Tofostercamaraderiethoughpicnics,outings,celebrationsandother

recreationalactivities.8. TopromotesportsmanshipandmoraleamongplayersandPhans.



ARTICLEIII:MEMBERSHIP

SectionI:MembersingoodstandingshallconsistofanypersonwhopaystheirannualduesandfollowsthePhanClub’sCodeofConduct.ThemembershipyearcommencesonOctober1standconcludesSeptember30th.Membersingoodstandingovertheageof18shallhavetherighttovoteonanyandallissues,unlesstheyarethethirdmemberofaFamilyMembership.

SectionII:Membershipfees/duesshallbevotedonannuallyattheAprilmeetingandpublishedonthewebsite.

SectionIII:MembershipCategories: AdultMembership FamilyMembership Corporate/BusinessMembership YouthMembership SeniorMembership HonoraryMembership



SectionIV:MembershipDefinition:

1. AdultMembership:Anypersonovertheageof18thatwishesfullmembership.

2. FamilyMembership:Immediatefamilymembersresidingatthesameaddress.Membersundertheageofeighteen(18)arenon-votingmembers.Whenaminorchildreachestheageof18duringthemembershipyear,heorsheshallretaintheprivilegesofaYouthMembershipuntiltheendofthemembershipyear.Shouldthatpersonreachingtheageofeighteen(18)desirevotingmembershipuponreachinghisorhereighteenth(18)birthday,anapplicationandpaymentofduesforanAdultMembershipwillbehonored.FamilyMembershipwillbelimitedtotwo(2)votes.

3. Corporate/BusinessMembership:Thisisanon-votingmembershipthatisgiventoCorporationsand/orBusinesswhosubmitamembershipfeeofaminimumof$50.00.AllCorporate/BusinessnameswillbeputonthePhanClub’smembershippagewithcontactinformation.Thismembershipwillcommenceuponreceiptoffundsandlastforonecalendaryear.Onlyexecutiveboardmembersand/orUpperManagementMembersareallowedtoattendLVPPCmeetings.

4. YouthMembership:Anypersonundertheageofeighteen(18)thatdoesnotfallunderafamilymembershiphastobesponsoredbyacurrentmemberoftheclubandmustbeaccompaniedbyamemberoftheclubatallclubactivates(Thisisanon-votingmembership).

5. SeniorMembership:Anypersonovertheageof65thatwishesfullmembership.

6. HonoraryMembership:PersonapprovedbytheExecutiveBoardandratifiedbyatwo-third(2/3)majorityvoteofthemembershippresentatageneralmeeting.Eligibilityforthismembershipmayincludeteammanagement,players(pastorcurrent).Thismembershiphasnovotingprivileges.



ARTICLEIV:RIGHTS&PRIVILGESOFMEMBERSHIP

1. MustbeaGoodStandingMember–AMemberin“GoodStanding”isdefinedasapersonwithinaspecificclassofmembershipwhohasmettherequirementsofmembershipandwhosedueshavebeenpaidinfullforthecurrentmembershipyear.

2. TherighttovoteintheelectionsofofficersandanyothermattersofthePhanClub,afterhavingattended1ofthelast3previousmeetings,perArticleVIIIifingoodstandinganovertheageofeighteen(18).

3. Therightstoconsider,approve,andamendtheminutesofthegeneralmeetings,Treasurer’sreports,andthereportsofthecommittees.

4. TherighttoamendtheseBy-LawsperArticleXV.

5. Therighttorecommendexpendituresforconsideration.

6. Therighttovolunteerforcommitteework.

7. TheprivilegetoupholdandsupporttheprinciplesandpurposesofthePhanClub.

8. TherighttoreceiveacopyofthecurrentBy-Laws,amembershipcard,andPhanClubCorrespondence.

9. ThedutytoexhibitgoodconductwhenattendingPhanClubfunctionsandmeetings.(SeeArticleXVI)



ARTICLEV:OFFICERS

SectionI:TheofficersofthisPhanClubshallconsistofone(1)President,one(1)1stVice-President,one(1)2ndVicePresident,one(1)Treasurer,one(1)AssistantTreasurer,one(1)Secretary,one(1)SergeantAtArms,(1)PublicRelationsDirector,andone(1)TechnicalDirector.SectionII:Officers’shallbeelectedforatermofTwo(2)years.Nopersonistoholdmorethanone(1)Boardpositioninthesameyear.AnyactivememberwhohasbeenamembersofthePhanClubformorethanone(1)yearandisabovetheageofeighteen(18)mayrunforoffice.TokeepcontinuityontheBoard,onehalfoftheBoardMemberswillbeupforelectioneachyear.EvenYearElections–President,VPCommunityOutreach,TreasurerOddYearElections-VPInternalOperations,Secretary,AssistantTreasurer,SergeantAtArmsAnactivememberisdefinedasonewhoattendsaminimumofsix(6)meetingsinamembershipyear.SectionIII:Writtennotificationisrequestedforofficerresignation.Oncearesignationisgiven,itcannotberescinded.SectionIV:AnyvacancyontheExecutiveBoardshallbefilledbyspecialelectionatthenextgeneralmeeting.NotificationofthevacancyshallbesentouttoallPhanClubmembersandpostedonthePhanClubwebsite.Vacanciesshallbefilledvianominationandsecretballot.Intheeventofavacancy,thePresidentmaytemporarilyappointamembertofillthatpositionuntilthepositionispermanentlyfilledbyballot.

SectionV:Noelectedofficerorcommitteemembershallreceivecompensationforserviceinsuchoffice.

SectionVI:



Officersoftheclubwhomissesthree(3)consecutivegeneralorexecutiveboardmeetingsoracombinationof5ormoregeneralorexecutiveboardmeetingswithoutgoodandreasonablecause,shallforfeittheirposition.Goodandreasonablecausewillbedeterminedbymajorityoftheremainingexecutiveboard.

ARTICLEVI:DUTIESOFOFFICERS

SectionI:PresidentThePresidentshallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.ThePresidentshallmoderateatallgeneralandspecialmeetingsofthePhanClubandshallenforcealloftherulesestablishedbytheBy-Laws.ThePresidentshallensurethatallOfficersperformtheirrespectiveduties.ThePresidentshallbeoneofthePhanClub’stwoprincipalpointsofcontactwiththeLehighValleyPhantomsorganizationandthemedia.ThePresidentordesignatedExecutiveBoardmembersshallbethesecondsignatureofthesignaturecardonfilewiththePhanClub’sbankandshallsignorcountersignallcontractsandotherinstrumentsofthePhanClub.ThePresidentshallpresideatallmeetingsoftheClub,appointallcommitteenototherwiseorderedandtransactsuchbusinessastheClubmaydirect.ThePresidentshallseethatBy-Lawsareenforced.ThePresidentshallbeanex-officiomemberofallcommitteesandshallberesponsiblefortheiractions.ThePresidentshallreceiveallcorrespondence,unlessotherwisedelegated.ThePresidentshallhavenovote,excepttobreakatie.

SectionII:Vice-PresidentofInternalOperationsTheVice-PresidentofInternalOperationsshallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.ThisVicePresident,intheabsenceofthePresident,maybeaskedtoperformallthedutiesofthePresident.TheVice-PresidentofInternalOperationsshallbeapermanentmemberoftheRoad-TripandBy-Lawscommittees.TheVice-PresidentofInternalAffairsshallperformallthedutiesrequestedofhimorherbythePresident.ThisVice-Presidentshalloverseeallinternalclubfunctions.



SectionIII:Vice–PresidentofCommunityOutreachTheVice-PresidentofCommunityOutreachshallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.ThisVicePresident,intheabsenceofthePresident,maybeaskedtoperformallthedutiesofthePresident.TheVice-PresidentofCommunityOutreachshallbeapermanentmemberoftheFundRaisingandCommunityOutreachcommittees.TheVice-PresidentofCommunityOutreachshallperformallthedutiesrequestedofhimorherbythePresident.ThisVice-Presidentshalloverseeallfunctionsdealingwithexternalclubfunctions.

SectionIV:SecretaryTheSecretaryshallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.TheSecretaryshallreceive,distribute,andmaintainapermanentrecordofallcorrespondence,notifymembersofgeneralandspecialmeetings,andwillkeepanaccuraterecordofallproceedingsofmeetings,membersatthemeetings,willbeinchargeofClubBy-Lawsandwillkeepallreportsfortheclubforseven(7)years.TheSecretarywillmaintainalistofallabsenteeballotscollected.DuringthemonthofAprilandMayinanelectionyear,theSecretaryisrequiredtobeattendedbytheSergeantAtArms.

SectionV:TreasurerTheTreasurershallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.TheTreasurerwillreceiveanymoniesduethePhanClub,providinganumbered,datedreceipt,keepanaccuraterecordthereof,anddeposititinthenameofthePhanClubatasecurefinancialinstitutioninsuredbytheFDICorNCAU.Heorsheshallpresentafullreportateachgeneralandboardmeetingofalltransactions,receiptsanddisbursements.Billswillbepaiduponreceiptandcharitablecontributionssentout,nolaterthanthirty(30)days,aftertheincurredexpenseorapprovedvoteforcontribution.HeorsheshallhavecustodyofallcontractsandotherfinancialpapersforthePhanClub.Thefinancialstatementsmustbemadeavailabletoamemberatanytime.



SectionVI:AssistantTreasurerTheAssistantTreasurershallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.TheAssistantTreasureristoassistthetreasurerasneededandtoperformthedutiesofthetreasurerintheabsenceofthetreasurer.

SectionVII:SergeantAtArmsTheSergeantAtArmsshallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.TheSergeantAtArmswillbeelectedbytheExecutiveBoardandratifiedbythemajorityvoteofthemembershippresentattheofficers’election.IntheabsenceoftheSergeantAtArmsatanyparticularmeeting,analternatemaybeappointedforthatmeetingonly,selectedbytheboardandratifiedbythemembershippresent.ThedutyoftheSergeantAtArmsistoassistthePresidentinmaintainingorder,tallyhandvotes,collectionofpaperballotsandassisttheSecretaryinthecountingofabsenteeballots.TheSergeantAtArmsshallalsopresideoverattendancesigninatmonthlyclubmeetingsandassistintrackingattendancepercentagesforvotingpurposes.

SectionVIII:PublicRelationsDirectorThe PR Director shall be a person of 21 years of age or older,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding. The Public Relations Director is an appointed position by the Executive Board: The position is to be a permanent member of the Community Outreach Committee. The Public Relations Director is to communicate the purposes and philosophy of the organization to the community-at-large and, specifically, to potential clients, employees, volunteers, and donors, by making effective use of a variety of approaches. ThePublicRelationsDirectorshallbeoneofthePhanClub’stwoprincipalpointsofcontactwiththeLehighValleyPhantomsorganizationandthemedia.



SectionIX:TechnicalDirectorTheTechnicalDirectorshallbeapersonof21yearsofageorolder,aLehighValleyPhantomsSeasonTicketHolder(fullor20games)andbeamemberingoodstanding.TheTechnicalDirectorpositionisanappointedpositionbytheExecutiveBoard;thepositionistobeapermanentmemberofthePublicInformationCommittee.TheTechnicalDirectoristoadviseandensurethatthebestpossibleproceduresarebeingfollowedtoensurethesecurityoftheClub’swebsite,emaillists,PayPalaccountandClub’sEmailaccount.TheTechnicalDirectorshouldberesponsibletohelpreviewnewitemsbeingthoughtofforusebytheclubfromatechnicalstandpointorassistingwithanytechnicalissueswhichcomeupwiththesitebeingused(i.e.contactingthesiteownertoresolveanyissues).TheTechnicalDirectorisalsoleadpersonformaintaininginformationvisibleonthePhanClub’swebsite.Thepersonmaydelegateadditionaleditorstopublishinformationonthewebsiteasneeded.



ARTICLEVII:MEETINGS

SectionI:Regularmeetingswillbeheldmonthly(JulyandAugustareoptionalbasedonthedecisionoftheExecutiveBoard)onaconvenientdayatanytime.Meetingsmayonlybeheldprovidingaquorumispresent,whichisdefinedasaminimumofeleven(11)membersingoodstandingorfiftypercent(50%)oftheaveragenumberofattendeesattheprevious10meetings,whicheverislesser,threeofwhichmustbemembersoftheExecutiveBoard.

SectionII:UnscheduledmeetingswillbeheldatatimeandplacedesignatedbythePresident.ThePresidentmustnotifytheMembershipCommitteefive(5)daysinadvanceofanyunscheduledmeeting.ThemembershipCommitteehasuptoforty-eight(48)hourstonotifyallmembersofanunscheduledmeetingbyanymeanspossible.

SectionIII:TheChairpersonofeachcommitteeshallcallcommitteemeetings.TheChairpersonshallnotifyallcommitteemembersofthetimeandmeetingplaceofcommitteemeetings.

SectionIV:Anythree(3)membersmayaskforanemergencymeetingwiththeapprovalofamajorityoftheboard.

SectionV:MeetingswillbeconductedusingRobertsRulesofOrderunlessotherwiseoverriddenintheBy-LawsoftheClub.

SectionVI:AnyguestoftheExecutiveboard(i.e.guestspeaker)willbeexemptfromArticleVII.



ARTICLEVIII:ELECTIONS

SectionI:NominationsofanyofficersshallbeheldattheMarchandAprilmeetingsandwillbeclosedthereafter.Nominationsmaybesubmittedinwritingorfromthefloor.Anymembermayacceptanominationforone(1)office.NominationsmustbeacceptedinpersonattheMarchorAprilmeeting.Ifunabletoattendthenominationmeeting,thehopefulcandidatemaysubmitasealednominationacceptancelettertothePresidentpriortothemeeting.

SectionII:ElectionoftheofficersshallbeheldattheMaymeetingbyasimplemajorityofthevotingmemberspresentbysecretballot.

SectionIII:AbsenteeballotswillbeacceptedbetweenMarchandAprilmeetingsfrommembersnotabletoattendtheMaymeeting.Theballotsshallbemadeavailablebywrittenrequesteithere-mailorpostalmail.AbsenteeballotsmustbesubmittedinasealedenvelopetotheattentionoftheelectioncommitteewithyournameontheOUTSIDEoftheenvelopeandmustbemailedtothePhanClubPOBoxandpostmarkedbyMay1st.Eachindividualballotmustbemailedinaseparateenvelope.AllballotswillbeopenedinthepresenceoftheSecretaryandSergeantAtArmstheeveningofthemeeting.Noballotsshallbeopenedbeforethattime.

SectionIV:NewlyelectedofficersshallassumetheirdutiesonOctober1stoftheelectionyear.



SectionVI:SpecialElectionsIntheeventofaSpecialElection,allrulesandprocedureswillbefollowedinthesamemannerpreviouslysetforthherein.Intheeventanofficerpositionhasonlyonenominationandthusrunningunopposed,thatofficerisdeemedautomaticallyelectedandcanbegintoassumehisorherdutiesimmediately.

ARTICLEIX:TRIPS

SectionI:Membersparticipatinginday/nighttripsmustbeeighteen(18)orolder(21forCasinos).Membersundereighteen(18),mustbeaccompaniedbyparents,legalguardianorsignedwaiverbyparentorlegalguardian.Childrenundereight(8)arenotallowedonthetrip.Signedwaivermustbesubmitted7dayspriortotrip.

SectionII:Membersmustabidebyrulesandregulationsofthebuscompany.

SectionIII:RefundPolicyIntheeventthatafteramembersignsupforaroadtripandisunabletoattend,a50%refundwillbegiveniftheynotifytheclubwithin30dayspriortoscheduledevent.Depositsfortripsaredeemednon-refundable.

SectionIV:Non-MembersonRoadTripIntheeventthatanon-membersignsupforaroadtrip,thatpersonwillbechargedanadditionalfee(SingleMembershipFee),andbecomeamemberoftheclub.



ARTICLEX:COMMITTEES

SectionI:

1. MembershipCommittee:CoordinatestaffingofthePhanClubtableathomegames;solicitsandenrollsnewmembers;maintainsdatabaseofmembersandcompilesmembershiproster.

2. FundRaisingCommittee:Researchesandsubmitsfundraisingideastothe

Boardandmembers.Organizesfundraisingefforts.

3. CharityCommittee:ResearchescharitieswhichtheClubmaysupportandsubmitsthemforapproval.WorkswithapprovedcharitiestodeterminehowtheClubcanbestsupporttheircause,andcollaborateswiththeEventsandFundraisingCommitteesasneededtomeettheClub’scharitablegoals.

4. HospitalityCommittee:Receivesotherboosterclubs,and/orplayer’sfamiliestothearea.

5. RoadTripCommittee:Planstripstoawaygames,putsoutbidsforbuscontracts.Ifovernight,obtainingbidsandsecuringlodging.

6. PublicInformationCommittee:MakesthepublicawareofthePhanClub&its

purpose;responsiblethePhanClub’swebsiteandmaintainingthePhanClub'sSocialMediapresence.

SectionII:SpecialCommittee:

1. By-LawsCommittee:ReviewsBy-Lawssemi-annually.MakessuggestionsforAmendmentsatmeetings;investigatesreportsandsuggestsactionstotheBoardinregardstoallegedviolationsofthePhanClub’sCodeofConductandBy-Laws.



SectionIII:

1. Committeesshallconsistofvolunteers.Eachcommitteeshallconsistofaminimumoftwo(2)membersandaChairperson.

2. TheChairpersonofeachcommitteeshallbeelectedorappointedbysaidcommitteeunlessotherwisespecifiedbytheby-laws.EachcommitteeshalldrafttheirgoalsandobjectivesforpresentationtotheBoardandthePhanClubmembers.

3. EachcommitteeChairpersonshallnotifytheExecutiveBoardastohisorher

appointmentasChairpersonandshallprovidetheexecutiveboardwithregularupdatesofcommitteeactivities.Allminutesmustbemailedtotheclubemailatphantomsphannation@gmail.com.

ARTICLEXI:MEMBERSPROPOSALS:

SectionI:

1. MembersproposalsshallbepresentedinwritingtothePresidenttwo(2)weekspriortoregularscheduledPhanClubmeeting.TheExecutiveBoardisresponsibleforreviewingandeitherapprovingornegatingtheproposals.Ifapproved,thePresidentwilladdtheproposalstothenextgeneralmeetingagenda.ThePresidentwillnotifythePhanClubmemberthatsubmittedtheproposalastotheoutcomeoftheExecutiveBoardreview.ThePhanClubmemberwillberesponsibleforpresentinghisorherproposaltothePhanClubatthenextregulargeneralmeeting.

2. ShouldtheExecutiveBoarddecidetodeclinetobringamember’sproposalsbeforethemembers,themembermakingtheproposalmayattheirdiscretionprovidealistofsignaturesoffifteen(15)membersingoodstandingofthePhanClub(excludingtheirown)atthenextmeetingofthePhanClub,andpresenttheirproposalstothemembershipoverridingthedecisionoftheExecutiveBoard.



ARTICLEXII:FUNDDISBURSEMENT

SectionI:ThePresidentandVice-Presidentmayapprovespendinguptobutnotexceedingonehundredandfifty($150)withoutapproval.Spendingoveronehundredandfifty($150)requiresamajorityvoteofthemembershipatageneralmeeting.ProperreceiptsshallbeturnedintotheTreasureralongwithapettycashsheetpriortoreimbursement.ARTICLEXIII:FISCALYEARThefiscalyearofthePhanClubshallbefromOctober1sttoSeptember30th.

ARTICLEXIV:DISBANDMENTIncaseofthedisbandmentofthePhanClubforanyreason,anyandallremainingmoniesinthetreasuryshallbedonatedtothethencurrentPhanClubcharityorcharitiesselectedatthetimeofdisbandment.Beforedistributionofanyremainingmonies,afinalauditofthebooksshallbeperformed.

ARTICLEXV:BY-LAWSACCEPTANCEAND/ORAMENDMENTS&AVAILABILITY

SectionI:Theseby-lawsmaybeacceptedand/oramendedbyatwo-third(2/3)voteofthemembershipinattendance.ProposedchangesmustbereadattheregularmeetingofthePhanClubandvoteduponatthenextgeneralmeetingofthePhanClub.Allproposedchangeswillbepublishedonthewebsiteandwillbeavailableinwritinguponwrittenrequest.

ARTICLEXVI:CODEOFCONDUCT

SectionI:AllmembersofthePhanClubshallactingoodfaithatallPhanClubevents(socialandathletic).MembersmaynotusethenameofthePhanCluborrepresentthemselvesasagentsofthePhanClubwithoutpriorapprovaloftheExecutiveBoard.



AllmembersmustbeoflegaldrinkingagetoconsumealcoholatanyPhanClubeventorgame.AnyconductthatisviolentorabusiveinactionshallgivejustcausefordismissalasamemberofthePhanClub.Sanctionsmayincludeaverbalwarning,letterofreprimandorlossofPhanClubmembership.Allfeesandrightswillbeforfeited.Onceamembershiphasbeenremovedasaresultofasanction,anyindividualmayappealtheboard’sdecision,bypresentingtheirtestimonytoageneralmeeting.Aftertestimonyisgiven,thegeneralmembershipwillvoteonupholdingoroverturningthesuspensionbymajorityvote.Ifsuspensionisupheld,saidmembermayreapplyformembershiponecalendaryearfromdateofsuspension.Avotewillbeheldbytheadministrativeboardonre-membership,amajorityvotewillbeneededtoreadmittheperspectivemember.

SectionII:Anymemberwhoseconductisconstruedtobedisruptiveorinjuriesatanyclubevent,tothegoodreputationofthePhanClubshallbesubjecttoimmediateremovalofsaideventbySergeantatArmsorattendingofficersatthedirectionofthePresidentorChairpersonofsaidevent.

SectionIV:Inthecaseofanydisciplinaryaction,theinvolvedmemberswillhavetheopportunitytopresenthisorhertestimonyregardingsaidmatter,totheExecutiveBoardandgeneralmembershippresentatthegeneralmeetingthecomplaintisfiled.



SectionV:CodeofConduct

A. CodeofConduct–Itiseachperson’sdutyasamemberoftheClubtorecognizethattheyarerepresentativesoftheClub.Itisalsoeachindividual’sresponsibilitytoprojectafavorableimageastonotdiscredittheClub,itsMembers,theLeighValleyPhantomshockeyteamandorganization.Shouldthiscodeofconductbedisregardedbyanyone,theExecutiveCommitteeassetshalltakeactionforthinthefollowingParagraphB.MemberswillbeheldresponsiblefortheconductofanyinvitedguestaccompanyingthemtoaLVPPCmeeting,functionorevent.ShouldsaidguestbeinviolationofthisCodeofConduct,theExecutiveCommitteeagainsttheaccompanyingmembershalltakeaction.

B. Expulsion–ThefollowingshallconstitutedueandjustcauseforexpulsionofanymemberfromtheClub.

a. MisappropriationofanyfundsoftheClubb. UseoftheClub’snamewhenmakingappealsforaidorcontributions

withoutconsentandapprovaloftheOfficersandGeneralMembership.c. TheuseoftheClub’snametoobtainpersonalfavorsorgain,material,

monetary,orotherwised. AnybehaviorunbecomingofthegoodnameoftheClub.e. Anybehaviorintendedtopublicly,demean,discredit,defameorridicule

theCluboranyofitsMembers.f. AnyprohibitedactivityortransactionwhileparticipationinaClub

activity,inconductingClubbusinessorinactingonbehalfoftheClubinanycapacityormanner.

Prohibitedactivitiesandtransactionsaresetforthasfollows:a. Loans–LoansoffundsfromtheClub’sfinancialaccountstoanyMember,

includingofficers,arestrictlyprohibited.b. Self-DealingTransaction–Aself-dealingtransactionisoneinwhichtheClub

isapartyandinwhichoneormoreofitsdirectorshasamaterialfinancialinterestorwhichwilldirectlybenefitanindividualMemberorOfficersinamannerthatisnotofacharitablenature.

c. UnlawfulActivitiesandTransactions.a. TheBoardofDirectorsshallnotapprove,orpermittheClubto

engagein,anyactivityortransactionwhichisinviolationofanyFederal,StateorLocallaw,codeorordinance.

b. Nomembershallengageinanyactivityortransaction,whichisinviolationofanyFederal,State,orLocallaw,codeorordinancewhileparticipatinginanyClubactivityorbusiness.

ARTICLEXVIII:CONTRACTS,CHECKS,DEPOSITS,ANDFUNDS

SectionI:ContractsThePresident(Vice-PresidentwhileactingforPresident)ortheTreasureralongwithanyotherExecutiveBoardmember,shallbetheonlyofficersthatwillco-signcontracts.

SectionII:Checks,Drafts,ETC.Allchecks,drafts,andordersforpaymentshallbesignedbytheTreasurerandthePresident(Vice-PresidentwhileactingforPresident)

SectionIII:DepositsAllfundsshallbedepositedwithin6businessdays.

SectionIV:GiftsAnyofficerthatreceivesagiftshallreportthegifttotheTreasurerandSecretary.



SectionV:ReturnedChecksCheckedreturnedtothePhanClubfromitsfinancialinstitutionFORANYREASON,shallbeleviedafineofthirty-fivedollars($35)plusfeesaccessedtotheclubfromthebank.AtthediscretionoftheExecutiveBoard,checkprivilegesmayberevokedafterthesecond(2nd)badcheckhasbeenreturnedfromthefinancialinstitution.

ARTICLEXIX:REMOVALOFOFFICERS

SectionI:Anyofficersmayberemovedfromofficeorcommitteechairpersonrelievedoftheirdutiesbyamajorityvoteofthemembershippresentatthenextgeneralmeetingfollowingacomplaint.Allchargesofderelictionofduties,theft,orunwillingnesstoperformtheirdutieswillnotbetolerated.SectionII:AnyandallchargesoftheftwillbereportedtotheBy-LawCommitteeandthememberaccusedoftheftwillbeplacedonsuspension(ifsaidmemberisanExecutiveBoardmemberhisorherpositionwillbefilledtemporarilybyavoteofthegeneralmembership).TheBy-LawCommitteewillreporttheirfindingsatthenextmeeting(generalorspecial)wheretheaccusedmemberwillpresenthimorherselffordispositionofthecharges.Ifsaidmemberisfoundguiltybythemembership,theBy-LawCommitteewillthennotifythelocalauthorities,ifsaidmemberisfoundinnocentheorshewillresumeallactivitiesoftheclub.

SectionIII:NotificationofRemovalIfanofficerisremovedfromoffice,theSecretarywillnotifytheofficerbycertifiedmailandreturnreceiptrequestwithinseven(7)calendardays.AnotherofficerorchairpersonasappointedbythePresidentwilltemporarilyfilltheoffice.



ARTICLEXX:MEMBERSHIPLIST

SectionI:ThemembershiplistwillbemaintainedbytheMembershipCommittee(Name,address,phone,email,duesstatusataminimum)containingPAST&PRESENTmembers,andifpast,thereasonforleavingifavailable.

SectionII:AccesstothemembershiplistwillberestrictedtotheMembershipCommitteeandtheExecutiveBoardandNOinformationcontainedthereinwillbegivenoutatanyfunctionwithouttheexpresspermissionofthepersonwhoseinformationbeingrequested.AcopyofthemembershiprollwillbemadeavailabletothePresident,SergeantatArms,andanyotherchairpersonthatisdeemednecessarybytheExecutiveBoard.

SectionIII:Intheeventthatamemberornon-memberisattemptingtogetintouchwithamemberofthePhanClub,theinformationofthepersonrequestingtheinformationshouldbecollectedandthenamemberofthemembershipcommitteeshouldcontactthememberinquestions,relayingthecontactinformationtherebygivingthemembertheabilitytocontactthatpersoniftheywish.

SectionIV:Undernocircumstancesisthemembershiplisttobesold,published,eitherinprintorelectronically,inanymannerwherebytheinformationcontainedthereinmybecompromised.



ARTICLEXXI:ANNUALDUES

SectionI:AssociationofAmericanHockeyLeagueBoosterClubs(AAHLBC).TheLVPPCshallrenewtheConventionduesbyJune30thofeachyear.

ARTICLEXXII:CHARITIESAcharitylistcontainingnomorethan6charitieswillbeproposedandvotedonbythemembershippresentatthefirstmeetingfollowingthestartofthenewfiscalyear(October1st).
