    (a) I t is the intention of the Developer to create sixty-eight(68) s t ra ta lo ts consisting of th i r ty-s ix (36) two (2) bedroom andthir ty-two (32) three (3) bedroom apartment-type uni ts , togetherwith common property (herein called the "Development") from theLands.

    (b) The sixty-eight (68) s t ra ta lo ts (herein col lect ivelycalled the "Lots" and individually called a "Lot") wil l be sold forresident ia l purposes.     ( i i i ) Restrict ive Covenant in favour of The Dist r ic t ofcoquitlam, registered under No. Z123809 whichestablishes design control requirements forconstruction of improvements on the Lands. ThisRestrict ive Covenant requires that prior tocommencement of construct ion of any buildings orstructures on the Lands, detai led plans be submittedto and approved by the Dist r ic t including s i te plans,elevat ion drawings, preliminary landscaping plans andperspective drawings;(iv) Statutory Right of Way in favour of Brit ish ColumbiaTelephone Company, registered under No. Z135604 overthe area outl ined on Plan 72148 for purposes oftelecommunication an underground cable and conduit andother equipment, works and apparatus in connectiontherewith;

Copies can be obtained a t the New Westminster Land Tit leOffice.(d) The Developer intends to cause the Strata Corporation toenter into a one year contract , commencing January 1 , 1988, forthe management of the common property and the administration of theaf fa i r s of the Strata Corporation, substantially in the formattached hereto as Schedule "A", The management company wil l , amongother dut ies , collect monthly operating assessments and rendermonthly statements of revenue and expenses. The Agreement does notdirect ly impose any rights or duties on any Lot owner. I t isexpected tha t the management company will recommend tha t the Stra taCorporation enter into individual service contracts for , but notlimited to , garbage disposal , snow removal and landscapemaintenance. There is no relat ionship between the managementcompany and the Developer.

    (e) There is no outstanding l i t iga t ion or, to the knowledge ofthe Developer, anticipated l i t iga t ion with respect to theDevelopment.

    (f) Each Lot owner will be responsible for real property taxesand water and sewer charges for i t s respective Lot.(g) Electr ici ty for the common property wil l be separatelymetered and paid by the Strata Corporation and recovered from theLot owners through pro rated monthly s t ra ta fees. Elect r ic i ty ,cablevision and telephone will be separately metered or assessed to

    each Lot and wil l be the responsibi l i ty of each Lot owner.(h) The Strata Corporation or the management company will enterinto a contract with the Distr ict or a private contractor for

    the share of each owner in the Development upon destruct ion or othertermination. Interest on Destruction is based upon the proposedmarket value of the Lots. Each Lot shal l have one (1) vote.

    (b) The bylaws of the Strata Corporation will be thosecontained in the Condominium Act and the Developer does not intendto amend the bylaws from those se t out in the Condominium Act.(c) The Developer intends that the common property of theStrata Corporation include outside s ta i rs and outdoor walking areas,

    driveways, landscaped areas, garbage container areas and elec t r ica lrooms. There wil l be eight (8) garbage containers, four (4) to becontained in enclosures in Phase I , and four (4) to be contained inenclosures planned for Phase II of the Development. Thesecontainers will be located as s i te conditions allow.(d) The Developer intends to designate pat ios , balconies andparking areas on the s t ra ta plan as l imited common property for thevarious s trata lo t s . The Developer intends to designate two (2)

    parking s ta l l s as l imited common property for each s t ra ta lo t . Suchdesignation may only be removed by unanimous resolut ion of theowners.(e) The Development wil l involve a phased s t ra ta plan. Phasewill consist of Buildings 1-9 inclusive, for a to ta l of th i r ty-s ix(36) units , and Phase I I , i f the Developer elects to proceed withPhase I I , will consist of Buildings 10 to 17 inclusive for a to ta lof thirty-two (32) units .     ( j ) The Developer intends to cause the Strata Corporation toplace a l l r isk insurance on Phase I of the Development in an amountof approximately $2.5 million and to increase such insurance on bothPhase I and Phase II when the s t ra ta plan for both has been f i led ,to an amount of approximately $4,728,000. The Developer proposes tocause the Strata Corporation to place l i abi l i ty insurance in theamount of approximately $5 million for the f i r s t fu l l year ofoperation. Each Lot owner wil l be responsible for placing i t s ownl i abi l i ty insurance and for insuring i t s own effects .

    (k ) Each Lot owner wil l have the benefi t of the New HomeWarranty Program, a copy of which is attached on Schedule "F". TheDeveloper will assign to the purchaser of each Lot the benef i t ofany appliance warranties.(1) All Lot owners wil l have a garage or carport for two (2)vehicles which wil l be designated as l imited common property on thes t ra ta plan.(m) The Developer does not propose to create a caretaker ' ssuite or Lot.(n) Schedule "G" sets out the proposed interim operating budgetfor the f i r s t fu l l year of operation of the Development. The budget

    was prepared by a qualif ied property manager based on the manager'sexperience in budgeting for numerous s t ra ta corporations. Allexpenses se t forth in the budget will be al located among the Lotowners in proportion to the i r relat ive uni t ent i t lements.

    b) To advise th e Corporation as to th e proper maintenance and repairof i ts property and the general conduct and undertaking of i t s affairs,responsibilities and duties;c) To collect a ll monthly operating assessments for operating costsand any other monies due to the Corporation and to render monthly operatingstatements of receipts, disbursements, revenue and expenses;d) To deposit a ll receipts of the Corporation in a Trust Account orAccounts in an insti tution qualified to engage in the banking or t rus t business,separate from the Agent's personal account and separate from any other t rustaccounts operated by the Agent, subject to th e Corporation's approval;e) To pay from the receipt.s, a ll authorized disbursements of theCorporation. In the event the disbursements shall be in excess of the operatingassessments collected, the Corporation hereby agrees to pay such excess promptlyupon demand therefor by th e Agent;f ) To not collect or charge any undisclosed fee, rebate or discount,and i f any such fee, rebate or discount should be received by the Agent thatfee, rebate or discount will be held In Trust for and credited to the account

    of the Corporation and in the name of and on behalf of the Corporation to do andexecute the following acts and deed:a) To demand and recover from a ll present and future owners of StrataLots shown on the Strata Plan of the Corporation al l assessments for operatingcosts levied by the Corporation and any and a ll other monies from time to timepayable by them in respect of the said Strata Lots in any manner howsoever andto make and assess to a ll just and reasonable statements, payments and allowancesin respect thereof;b) On non-payment of the monthly operating assessments, contributions,levies and any other monies due to the Corporation, i t shall be the duty of th eAgent, i f so directed by the Corporation or Council, to enforce the collectionof any of the said monies and i f so directed to take whatever action is necessaryand is available under the By-Laws or the Condominium Act to effect the collectionof the same;c) At the request of the Corporation, to act as Secretary to theCorporation and i ts Council, and to maintain records of the Corporation's affairs ,

    u - 5 with such notices or orders in regard to their own individual Strata Lots;f ) To sign and give notices to Owners and occupiers the saidStrata Lots of any default in any obligation of such Owners or occupiers torepair, to maintain or otherwise;g) To pay a ll charges, expenses and other outgoings whatsoeverpayable by or chargeable upon the Corporation for or on account of the CommonProperty as the Council of the Corporation may direct from time to time;h) To assist the Corporation to place and maintain adequate f i re ,l iabi l i ty , steam boiler, pressure vessel, and other Insurance required fromtime to time. I t is the duty of th e Agent to review the Insurance coverageof the Corporation from time to time and at least every year and to ensurethat such Insurance complies with the requirements of the Condominium Act andthat i t is in a ll the circumstances adequate to protect the premises. In theevent such Insurance does not comply with the Condominium Act or is not adequate,the Agent shall forthwith inform the Corporation and the Council of this in writingand shall recommend the necessary changes in the Insurance coverage;

    i t being maintained that a ll such employees shall be deemed to be employeesof and paid by the Corporation and not th e Agent and that the Agent may performany of i t s duties through i ts Attorneys, Agents or employees and the Agentshal l not 'be l iable for any error of judgment or for any mistake of fact orlaw when acting in good fai th hereunder;k) To make Contracts in respect to the Common Property for electr icity,gas, fuel, water, telephone, window cleaning, landscaping, garbage disposal,vermin extermination and other services or such of them as the Corporation shalldeem advisable;1) To assis t th e Corporation in budgeting i ts revenues and expendituresand in determining the appropriate amount of contribution to be paid by eachOwner for administrative expenses as required by the Act, and in this regard tofurnish an estimate of revenues and expenses when so requested by the Corporation;m) To assist in the day-to-day enforcement of the By-Laws and anyregulations of th e Corporation; to advise the Corporation of any violation of th eBy-Laws or Regulations; and i f so directed by th e Corporation, to take action to

    management of the common property up to the amount of the Corporation's coveragefor public l iabi l i ty , excepting claims in the case of the Agent's fraud and/or-negligence, and to continue to carry, at the expense of the Corporation, publicl iabil i ty insurance to the existing amount to protect the Agent against a l lsuch claims, damages and costs to the same extent as th e Corporation;b) To furnish to the Agent a ll documents and records available tothe Corporation which may be required by the Agent to properly manage th eCommon Property and affairs of the Corporation;c) To provide to the Agent a copy of the By-Laws of th e Corporationand to notify th e Agent from time to time of any amendments or additions thereto;d) If the bi l l s , accounts or expenses paid by the Agent pursuant toparagraph 4(g) hereof in any calendar month exceed the assessments for operatingcosts and other monies collected in such month by the Agent, th e Corporationagrees to pay the Agent the amount of such excess promptly upon demand.6.     8. The Agent shall keep full and detailed records for the Corporationin a form as set out in the Corporation's By-Laws, and the Corporation shall ata l l times during regular business hours, have access to such records, as well asto al l other books and records of the Agent in connection with th e managementand upkeep and operation of the common property of the Corporation. Uponrequest of any Owner, the Agent shall supply evidence of insurance in force andreceipts for payment of premiums therefor, as well as certifying to such Ownerthe matters mentioned in Section 54 of the Condominium Act.9. The Corporation and the Agent shall abide by the Condominium Actof the Province of British Columbia and the By-Laws of the Strata Corporationas may be amended from time to time.10. The Corporation hereby authorizes i t s Council to consent on i t sbehalf to any act done or proposed to be done by the Corporation in the perfor-mance of the duties of the Agent under this appointment.
