COMMODORE’S REPORT

Welcome to the 2018-19 Commodore’s Report. It has been another terrific year for the Club with so many notable achievements. The Club has grown from strength to strength and I am so very proud to be associated an organisation whose focus continues to be to improve our sailing, boating and member services. This is my last report as Commodore with it now time for me to pass the Chair on. I have thoroughly enjoyed my time on the Executive for the past eight years. My fellow Flag Officers, the Board and staff have worked diligently to transform the Club into a vibrant place where we can enjoy our on-water pursuits and social gatherings. We have reached many milestones in the past twelve months. Our floating marina has reached its capacity ahead of time, our skippers and crews have excelled themselves locally, nationally and internationally with many significant results and financially we remain in a strong fiscal position having met and exceeded budget for the 2018-19 year. Our future is bright with strong Board leadership and strategic management. A summary of key highlights of our past year is provided below set out under our four strategic pillars, membership; sailing and aquatic activities; facilities and services and governance and business services.

Our Membership

This financial year has been one of consolidation. We were able to reach full capacity of our floating and fixed pile marina well in advance of forecasts which is a terrific outcome. We now expect our membership growth to plateau and return to the organic growth witnessed in previous years before the marina development. In line with last year, the number of new family memberships is significant and reflects the family centric culture at our Club. Many of our signature events are family orientated and has been strongly supported these past few years. The most notable has been the transformation of the annual At Home celebration. This is welcoming news and one we hope to promote as a key highlight in the social calendar along with our other signature events. Our association with the Sandy Bay Sailing Club, Sailability and other partner organisations are important and provide significant synergies for members and families.

Sailing and Aquatic Activities

This year is an extraordinary year of sailing achievements by Club members across a range of sailing disciplines. Club members have achieved handicap overall victories in the Sydney to Hobart, Melbourne to Hobart and Launceston to Hobart yacht races. ‘Alive’, owned by Phil Turner and skippered by Duncan Hine was the Tattersall Cup overall winner of the 2018 Rolex Sydney to Hobart yacht race, “Whistler” owned by David Aplin was IRC, AMS and PHS handicap winner in the 2018 Melbourne to Hobart yacht race and Shaun Tiedemann’s yacht “Philosopher” was overall handicap winner for the 2018 Launceston to Hobart race. This is a remarkable outcome for all these noteworthy skippers and their outstanding crews.

Furthermore, Club members, Mike Pritchard sailing “Oskana” took out the Line Honours in the 2018 Melbourne to Hobart and Garry Smith sailed his yacht “Fork in the Road” to yet another Line Honours win in the 2018 Riversdale Estate Launceston to Hobart, his 7th Line Honours victory in the race’s 11-year history.

At a local level, DSS yachts and crews sailed extremely well in the 2018/19 Combined Clubs Program with multiple wins in several Divisions. “Philosopher”, “Wings Three”, “MEM” and “Young Lion” all had a great season gaining pennant wins in their respective Divisions. Wayne Banks-Smith again had a great season, capped off by winning the prestigious Lipton Cup at the Hobart Regatta.

At a youth level, our Junior members have excelled themselves. Alice Buchanan and Dervla Duggan sailed their 29’er to wins at the Australian 29ers Woman’s Championship, Australian Youth Championship and Tasmanian Youth Championship. Will Sargent and his crew had another successful year winning the 2018 Tasmanian Schools Team Championship and Australian Schools Match Racing Championship. Very well done again to Hugo Allison, who with his crew James Gough won the International Cadet Australian Championship. This was the 3rd time Hugo has won the event, twice as crew and this time as skipper. Congratulations to Alice and Dervla who have been selected to represent Australia in the Youth World Championships, Will who has been selected to represent Australia at the 2019 Pacific Games and Hugo who will captain the Australian International Cadet team in Poland in July 2019.

The Squadron is extremely proud of the achievements of all its sailors this past year. The 2018-2019 year proved to be an exceptional year across a whole diversity of yachting events. Each year the Club runs hundreds of races and this would not be possible without the substantive volunteer efforts by the loyal group of on water and off water volunteers and race management teams. I would sincerely like to thank each and every one of these volunteers for giving their time and energy to make our sailing program one of the best in Australia. Without your individual contributions we would not have a sailing division as vibrant and successful as it is.

Facilities and Services

We haven’t seen a significant spend on infrastructure in the past year but there are a number of significant projects planned for the next financial year. A great majority of these projects have started already or are ready to be executed. The most significant will be the redevelopment of the marina amenity block with toilets, shower and laundry facilities for servicing the marina complex. This will provide additional amenities for members outside of normal Club hours. Additionally, there are plans to provide disability toilets within Squadron Clubhouse.

A new diesel fueling facility will be installed and completed prior to the next sailing season. This has been a long-term initiative approved by the Board some time ago however it has taken considerable time and effort to get final planning permits in place. This will mark the return of fuel services to the Squadron after this service was removed a number of years ago. Obviously, with the increased number of vessels in the Marina this will be a welcome member service.

Work has been completed on the internal fencing between the car park and trailer boat storage areas, and provides increased security and separation between the working yard and the thoroughfare from the car park to the marina. The installation of the fencing also coincides with the erection of new car park and boat yard lights and the installation of extra security camera systems improving safety and security for all members. It is planned the whole boat yard will be enclosed at some time in the future.

This year an initiative will be implemented to supply metered powered points in the fixed pile marina to support boat owners who wish to have power available 24 hours, 7 days a week. This has been long overdue and a welcomed initiative.

Further improvements are planned over the coming months to complete a makeover of the entrance to the Clubhouse and Clubhouse façade. Several years ago, we completed the southern Clubhouse extension but our Marieville Esplanade street frontage and internal entrances to the Club have been neglected. We aim to improve these aspects over the course of the next financial year.

Governance and Business Services

Financially we have had another great year, meeting and exceeding budget across many of our Club divisions. I would like to acknowledge and thank our hard-working Finance Sub-Committee chaired by Treasurer Dianne Barkas and ably supported by Heather McCullum and Dermot Crean. They have again provided invaluable guidance and review of our financial affairs. The sub-committee’s support and direction to the Board and General Manager is very much appreciated. We are so very lucky to have such a committed and highly skilled Finance Sub-Committee. I’m pleased to say we have a great relationship with our creditors and have made over $650,000 in debt repayments this past financial year. With prudent management of the Club finances the DSS is in a good position to continue to pay down its debt.

The hard-working chair of our Governance/ Membership and Constitution Sub-Committee, Jamie Bayly-Stark has again worked diligently with management and other sub-committees to draft a number of operational policies. These include; a contractor policy, car park policy, live-a-board policy and the shed and dinghy storage policy. The creation of these policies will provide management with structural and operational fairness across various areas of the organisation.

Our decision to invest in a whole of club IT system is returning operational efficiencies and a streamlining of business processes. This year we further invested in IT to complement our core information system with a dedicated function management package.

I would like to acknowledge the hard-working Flag Officers, Board and members of our various sub-committees. The DSS is still a small business but is supported by an enormous army of volunteer members. Without the contributions of all of our volunteers the Club would not be what it is. I am so very respectful and thankful of the efforts each and every volunteer bring to the Club. So many volunteers continue to give without wanting acknowledgement or recognition for their time and energy. We are so very blessed by their assistances. Over my eight years as Vice Commodore and Commodore, I have witnessed significant change across each of our Club sections. The Club has grown considerably this past decade. The most noticeable has been the significant investment in Club infrastructure, initially the redevelopment of the DSS ramp, the DSS wharf, the refurbishment and broader extension to the Clubhouse and then the development of our multi-million dollar floating marina. In addition, we purchased new patrol boats, updated the kitchen facility and IT systems and installed a new flagpole, amongst many other projects.

These initiatives would not be possible without the expertise and directions of a strong Board and support of the Executive. Over the past few years the contributions of the Board have raised the level of the Club’s professionalism and financial maturity to a position that will put the Club in good stead for the future. The competence and experience of the Board continues to provide management with sound decision making and strong strategic direction. This has been a major change in the way the Club operates and I’m very supportive of this process.

I would like to sincerely thank each and every Board member and sub-committee members for their contributions. We certainly would not have a Club that is as successful as it is now without your input. Our success is not only measured by what assets we have but by the people and culture within the Club. I so often hear how welcoming and engaged the Club is. It hasn’t been easy to maintain the level of membership engagement we have and there is certainly room for improvement but it is heartening to reflect our membership has grown over 30% in the past five years.

Our General Manager has worked tirelessly to maintain operational budget and the smooth running of services within the Club. Our staff work diligently to make sure members services are delivered professionally and in a timely and efficient manner. Most members would not know that many of our staff give so much of their personal time to assist with key Club events and functions, like the annual Launceston to Hobart yacht race, Kravats on the Lawn and our annual At Home. This is above and beyond our expectations of them. It is a balancing act ensuring our services are sustainable with limited staff resourcing and funds. I sincerely thank each and every staff member for their dedication and support to the Club this year.

As I end my term as Commodore I look fondly back at the achievements and opportunities we have created. There are some very memorable moments along the way but I am very excited for the future of the Club. The future is bright, as we pay down debt associated with the floating marina cash reserves will grow providing an opportunity to take the Club any direction the membership decide. I have been extremely humbled to contribute and represent the Club along with my fellow Flag Officers. I have the upmost confidence the Board and incoming Commodore will guide the Club to a fruitful and positive future.

It is unfortunate but I must acknowledge the passing of members that have left us. I would like to extend a sincere sympathy to the family and friends of members that have passed away this year:

VICE COMMODORE RACING REPORT

The 2018-2019 sailing season has been unprecedented in its success for the Derwent Sailing Squadron and our members, cementing our place as the premier yacht racing club in Hobart. An impressive number of series and races have been organised and successfully conducted by the club. It has been an honour to have led an enthusiastic group of volunteers on and off the water - without whom there would not be any racing at all. I extend my sincere thanks the Squadron’s Sailing Committee - Gilbert Leitch, Ian Ross, David Connor, Ben Latham, Colleen Darcey, Scott Brain, John Dawson, Paul Boutchard and Ron Bugg. They are all volunteers and are very much the driving force behind new ideas for racing within the DSS and Combined Clubs - Thank you all!

Events conducted this year include - The 50th Pipe Opener Series, the 12th Launceston to Hobart Race, the 41st King of the Derwent, SB20 Summer Pennant Series, SB20 Australian Championship, Pre and Post - Christmas Twilight Series, the Autumn Short Handed Series and the Winter Series. As well, we chaired the Combined Clubs Committee this year organising the Summer Pennant Series and Inshore Series and three Mid-Week Series.

In December 2018 the Squadron was honoured to be selected by the Australian SB20 Association to conduct the 2018 Australian Championship. Michael Cooper along with Sam Tiedemann and Dave Chapman - EXPORT ROO - was crowned the SB20 Australian Champions after a hard-fought regatta, whilst the new Australian SB20 Women’s Champion is Felicity Allison, Jill Abel, Bridget Hutton and Melissa Ford - COOK YOUR OWN DINNER.

This coming year the DSS hands over the chair of the Combined Clubs committee to Bellerive Yacht Club and we very much look forward to another great season of sailing.

REAR COMMODORE’S REPORT

This year the House has shown a positive return for the Club. Events conducted by House and Social Committee have been extremely well attended by members and friends and our external bookings for functions and events, has given a positive financial outcome.

Our major House and Social functions, consisting of the Cancer Council Trivia Night, the revamped and highly successful "At Home Winter Feast", the well-attended Working Bee and AFL Grand Final, the L2H Launch supported by our sponsor, Riversdale Estate Wines, "Salty Dog" photographic exhibition, the great family friendly Xmas Party and the popular DSS Day on the Lawn have all been developed, planned and delivered by a very dedicated and creative House and Social Sub-Committee.

I sincerely thank House & Social Sub-Committee members, Brad Aitken, Frances Williams, Lisa Burnell, Cathryn Kerr, Louisa Vanderkruk, Mary Norris, Christine McMinn, Carol Barber, David Smith and Peter Williams for their continuing support, commitment, creative ideas and enthusiasm.

The Boat Shed has grown from very small beginnings to a group of members who have dedicated many hours giving back to their Club. A major development this year has seen the Boat Shed group move from our small premises to outstanding accommodation in the former canoe shed. This relocation has provided an opportunity to create a mezzaine floor and both areas are fully utilised. Their list of achievements are far too long to list here, but I thank them all sincerely for their time, commitment, creativity and friendship.

I have many people to thank who have been a tremendous support to me over the last 12 months. I have already acknowledged the House & Social Sub-Committee, and all our events and programs were not possible without the help of many great volunteers. I thank you sincerely for your contribution and ongoing commitment.

The Executive, Board and Office Staff have been very supportive of all programs, events and initiatives preferred by House and Social. I would like to thank our General Manager, Shaun Tiedemann for his ongoing assistance, guidance and support of my ideas. My partner Peter Stanley, has also been very supportive and I thank him for his continued commitment to the Club.

I have enjoyed my time as Rear Commodore of this great Club and will continue my involvement and commitment for many years to come.

We have a stunning waterfront venue, overlooking our private marina with the back drop of the beautiful Derwent River, providing the perfect location for all occasions. I encourage all members to make use of these amazing facilities on a regular basis or for that special occasion.

SAILTRAIN REPORT

The Squadron is privileged to be the only full-time training body in Tasmania to offer Royal Yachting Association (RYA) courses whose qualifications are recognized worldwide, we also run Australian Sailing (AS) qualifications.

SailTrain this year has been settling in to a slightly new direction. We have been fortunate to have Jo Breen join our team. She brings with her a wealth of training experience, along with racing experience having completed the Melbourne to Osaka Two Handed yacht race and many other offshore passages. It is pleasing to see how well her program in the SB20 class for women has been received. The RYA courses of Start Yachting, Competent Crew and International Certificate of Competence have been well supported.

Our Chief Instructor Jeremy Parker has run a number of Inshore and Coastal Navigation courses, the revised VHF radio course and, together with Jo, the AS Safety and Sea Survival course. These courses are well supported by the racing section, but I would strongly recommend them to anyone going cruising if only for the real-life experience of using a Life Raft. This coming year we are adding a number of new courses including the AS Safety and Sea Survival Revalidation, AS Start Power Boating and AS Powerboat Handling courses.

As well as advertised courses, our instructors are available for specilaised training and tuition and have recently helped a new member who is a first-time boat owner as well as prepared one of our members for his successful Yachtmaster Ocean examination.

The Marine and Safety Tasmania (MAST) Motor Boat Licence course has been the course with the highest participation in excess of 160 students this year. We are fortunate to have the services of Oliver Burnell, Sam Tiedeman and Michael Thorpe to help.

Another RYA course held at the Squadron this year was the RYA Diesel Engine Course which is a great course to help you prevent and solve diesel engine failure with our instructor Garry Kennedy.

TREASURER’S REPORT It is with great pleasure that I present the annual financial report of the Derwent Sailing Squadron for the year ended 31 March 2019.

This report and the financial performance of the Squadron is reflective of the outstanding financial guidance provided by our volunteer Finance Sub-Committee. The Squadron is extremely thankful for their contribution and on behalf the Board I thank Dermot Crean, Heather McCallum and Commodore Steve Chau. We all can take much confidence that the Squadron’s financial future is in good hands.

The Squadron continues to prioritise financial sustainability as a key tenant in the Finance Sub-Committees deliberations and planning. Our long-term financial plan provides a robust and tangible KPI and it is very pleasing that the financial trajectory remains ahead of this long-term plan. During the 2018 – 2019 financial year I am very pleased to advise members that we paid $656,000 off our marina loan and in doing so put our debt reduction situation ahead of our long-term plan. We will again in the coming year make further substantial debt reductions.

The Squadrons overall EBITDA, earnings before interest taxes depreciation and amortisation, in 2018 – 2019 is up substantially again this year, in total by 14.7% or $86,422. Net income improved by $207,834 with the current year profit at $187,661 being better than budgeted and in advance of our long-term forecast result for the financial year. Cash movement was better than budgeted and forecast, largely due to diligent monitoring and managing of our finances.

The corner stones of the Squadron’s financial performance continue to be our marina, food and beverage services and boating services with, sailing and training services showing revenue increases for the year. At the same time, consistent with our increasing operational scale, operating costs have increased. Following an increase in marina revenues of 24.7% this year, the marina remains the most significant revenue source for the Squadron and now substantially exceeds food and beverage revenues. Boating services revenue was again up this year, by 11.3%.

During the year the Squadron invested $153,979 in capital projects and consistent with our strategic and long-term financial plan we will this coming year invest significant capital towards improving and updating our infrastructure. It is intended that we will improve member facilities by replacing the pine wharf, construct the Marina amenities block including accessibility provisions, install a Fuelling facility, expanded our CCTV systems and a number of other smaller projects. Budget provisions have been made to that effect.

The Marina expansion is proving very successful from both a boating and financial perspective. Further underpinning marina revenues over the next 2 years will be maturing five-year leases which will return to the lease pool. These long-term arrangements provided seed funding for the marina expansion and we are thankful for those members’ contributions towards the long-term development of the Squadron.

The above is good news to be reporting and it is reassuring that things continue to move in the right direction. As mentioned last year, however, we cannot relax and we shall remain vigilant as we do have aging infrastructure to monitor and attend to and cannot know when storms or circumstances will not move in our favour. Our forward-looking Strategic Plan continues to provision for substantial additional capital expenditure and clearance of our debt, sensibly, as early as is practical. As always, the provision of exceptional member services and facilities will continue to be our major focus.

The Squadron is fortunate to have continuing hands-on oversight of the Squadron with clear accomplishments in all aspects of our activities and operations from our General Manager, Shaun Tiedemann.

The financial statements cover Derwent Sailing Squadron Inc. as an individual entity. Derwent Sailing Squadron Inc. is anot-for-profit Association incorporated in Tasmania under the Associations Incorporation Act (Tas) 1964 ('the Act').

The functional and presentation currency of Derwent Sailing Squadron Inc. is Australian dollars.

1. Basis of Preparation

This financial report is a special purpose financial report prepared in order to satisfy the financial reportingrequirements of the Associations Incorporation Act (Tas) 1964. The Board has determined that the Association is not areporting entity. The Association is a not for profit entity for financial reporting purposes.

The financial statements, except for the cash flow information, have been prepared on an accruals basis and arebased on historic costs and do not take into account changing money values or, except where specifically stated,current valuations of non-current assets. The amounts presented within the financial statements have been rounded tothe nearest dollar.

The following significant accounting policies, which are consistent with the previous period unless otherwise stated,have been adopted in the preparation of these financial statements.

Comparative Figures

Where appropriate, comparative figures have been adjusted to conform to changes in presentation for the currentfinancial year.

2. Summary of Significant Accounting Policies

(a) Cash and cash equivalents

Cash and cash equivalents comprises cash on hand, demand deposits and short-term investments which arereadily convertible to known amounts of cash and which are subject to an insignificant risk of change in value.

(b) Inventories

Inventories are measured at the lower of cost and net realisable value. Cost of inventory is determined usingthe first-in-first-out basis and is net of any rebates and discounts received.

(c) Property, plant and equipment

Each class of property, plant and equipment is carried at cost or fair value less, where applicable, anyaccumulated depreciation.

Where the cost model is used, the asset is carried at its cost less any accumulated depreciation. Costs includepurchase price, other directly attributable costs and the initial estimate of the costs of dismantling and restoringthe asset, where applicable.

Land and buildings

Land and buildings are measured using the cost model.

Plant and equipment

Plant and equipment are measured using the cost model.

(c) Property, plant and equipment

Depreciation

Property, plant and equipment, excluding freehold land, is depreciated on a straight-line basis over the assetsuseful life to the Association, commencing when the asset is ready for use.

At the end of each annual reporting period, the depreciation method, useful life and residual value of each assetis reviewed. Any revisions are accounted for prospectively as a change in estimate.

(d) Trade payables

Trade and other payables represent the liability outstanding at the end of the reporting period for goods andservices received by the Association during the reporting period which remain unpaid.

(e) Income Tax

The Association is self assessed as being exempt from income tax under Division 50 of the Income TaxAssessment Act 1997.

(f) Leases

The lease for the Marina and Jetty has been renegotiated with the State Government. They are now combinedinto a single lease agreement signed 23rd of March 2015 for a period of 50 years.

The building is owned by Derwent Sailing Squadron Inc. and the land is owned by the Hobart City Council. Thelease for the land between Derwent Sailing Squadron Inc. and the Hobart City Council was renewed in 1991 forthe next 65 years.

(g) Revenue and other income

Revenue is recognised when the amount of the revenue can be measured reliably, it is probable that economicbenefits associated with the transaction will flow to the Association and specific criteria relating to the type ofrevenue as noted below, has been satisfied.

Revenue is measured at the fair value of the consideration received or receivable and is presented net ofreturns, discounts and rebates.

All revenue is stated net of the amount of goods and services tax (GST).

(g) Revenue and other income

Sale of goods

Revenue is recognised on transfer of goods to the customer as this is deemed to be the point in time whenrisks and rewards are transferred and there is no longer any ownership or effective control over the goods.

Grant revenue

Grant revenue is recognised in the when the Association obtains control of the grant, it is probable that theeconomic benefits gained from the grant will flow to the entity and the amount of the grant can be measuredreliably.

When grant revenue is received whereby the Association incurs an obligation to deliver economic value directlyback to the contributor, this is considered a reciprocal transaction and the grant revenue is recognised in thestatement of financial position as a liability until the service has been delivered to the contributor, otherwise thegrant is recognised as income on receipt.

Rendering of services

Revenue in relation to rendering of services is recognised depending on whether the outcome of the servicescan be estimated reliably. If the outcome can be estimated reliably then the stage of completion of the servicesis used to determine the appropriate level of revenue to be recognised in the period.

If the outcome cannot be reliably estimated then revenue is recognised to the extent of expenses recognisedthat are recoverable.

Subscriptions

Revenue from the provision of membership subscriptions is recognised on a straight line basis over the periodthat the membership subscription relates.

Other income

Other income is recognised on an accruals basis when the Association is entitled to it.

(h) Goods and Services Tax (GST)

Revenues, expenses and assets are recognised net of the amount of GST, except where the amount of GSTincurred is not recoverable from the Australian Tax Office. In these circumstances, the GST is recognised aspart of the cost of acquisition of the asset or as part of an item of the expense. Receivables and payables in thestatement of financial position are shown inclusive of GST.

(i) Provisions

Provisions are recognised when the Association has a legal or constructive obligation, as a result of pastevents, for which it is probable that an outflow of economic benefits will result and that outflow can be reliablymeasured.

Provisions recognised represent the best estimate of the amounts required to settle the obligation at the end ofthe reporting period.

During the current year, standards which became mandatory had no significant impact on the financial report ofDerwent Sailing Squadron Inc.

(k) New accounting standards for application in future periods

The AASB has issued new and amended Accounting Standards and Interpretations that have mandatoryapplication dates for future reporting periods. The Association has decided against early adoption of theseStandards. The following table summarises those future requirements, and their impact on the Association. TheAssociation has decided not to early adpot any of the new and amended pronouncements. (l) Employee benefits

Provision is made for the Association's liability for employee benefits arising from services rendered byemployees to the end of the reporting period. Employee benefits that are expected to be wholly settled withinone year have been measured at the amounts expected to be paid when the liability is settled .

(m) Critical Accounting Estimates and Judgments

The Board members evaluate estimates and judgements incorporated into the financial statements based onhistorical knowledge and best available current information. Estimates assume a reasonable expectation offuture events and are based on current trends and economic data, obtained both externally and within theAssociation, however as additional information is known then the actual results may differ from the estimates.
