RegistrationThe registration costs are € 450 (ex. VAT), which cannot be reclaimed. Every exhibitor is required to purchase electric power (at least 16A/220V) via exhibitor services (expoloket). By registering, the exhibitor makes a binding offer to ATH to conclude an agreement for participation in AgroTechniek Holland. The agreement will only be realised if ATH accepts this offer. Stand spaceThe minimum indoor stand space is 18m2. The minimum outdoor stand space is 100m2. TentsExhibitors with an outdoor stand must use a pagoda tent with floor for receiving visitors and storing promotional material and seats. This tent must be ordered via ATH exhibitor services (expoloket). The use of your own tent is not allowed.

Stand constructionATH offers exhibitors the opportunity to purchase standard shell scheme stands which are built by ATH. Although participants are not obliged to opt for a shell scheme stand, the organisers recommend them for the sake of uniformity, convenience and safety, as well as the benefits of collective purchasing. If you nonetheless decide to build your own stand, you must submit the plan to the organisers in advance for ap-proval. Multi-storey stands are not allowed indoors.

FacilitiesThe participation costs include exhibitor badges, setup and breakdown badges, parking tickets, stand personnel, invitation service for relations and a reference to the exhibitor’s name in the exhibition catalogue and on the exhibition website. At a later date you will receive a list with the extra exhibition facilities offered by ATH (plus their costs), such as fur-nishings, carpeting, electricity, water, lighting, phone and internet connections, overnight accommodations, catering, etcetera.

Payment termsAll invoices must be paid within 21 days of the invoice date. VAT will be charged on all amounts due. Invoic-ing will take place as follows:

1. An invoice for the registration costs at € 450 (non-reclaimable) and an advance payment of € 10 per hired square metre of stand space will be sent out immedi ately after the registration has been received.

2. An invoice for the remaining participa tion costs (including stand rental, stand construction, etc.) will be sent after 1 May 2012.

3. When an exhibitor registers or places or ders after 1 May 2012, an invoice for the total registration and participation costs will be sent immediately.

4. An invoice for the outstanding amount due will be sent within 30 days fo the event.

General Conditions AgroTechniek 2012The General Conditions AgroTechniek 2012 as printed on the back of this registration form apply to all offers made by ATH and all the agreements ATH concludes with regard to AgroTechniek Holland. Participation Conditions AgroTechniek Holland 2012ARTICLE 1 DEFINITIONS1.1. ‘ATH’ is AgroTechniek Holland BV in Nieuwegein.1.2. ‘AgroTechniek Holland’ is the exhibition organised by ATH for manufactur-ers, agents, importers, exporters, retailers, publishers and other service providers active in the field of:- Arable and grassland farming and forestry; outdoor horticulture; cattle farm-ing; arboriculture/floriculture/fruit farming and bulb growing; landscaping and the cultivation and processing industry;- Machinery, installations and equipment for the abovementioned types of agricultural production must be directly related to tillage, fertilisation, sow-ing, planting, crop protection, harvesting, grassland renewing/maintenance, milking techniques, accommodation, pruning/trimming, storage and making products market-ready. Only new machines, installations and products may be exhibited;Also allowed are:- Tractors of at least 60 hp;- Telescopic handlers if equipped with an agricultural attachment;- Rough terrain fork lift trucks if equipped with an agricultural attachment;- Fork lift trucks equipped with an agricultural attachment;- Trikes, quads, professional vehicles, pick-ups, (light) vans and other modes of transport used for agricultural activities; - Earth-moving machinery used for agricultural activities;- Garden and park machinery if intended for agricultural purposes (on and around the yard and fields); - Goods and services in line with the above-mentioned types of agricultural products;- Agro-logistic products and services needed for storing agricultural products and/or delivering agricultural products directly to consumers or other parties;- Products and services for decentralised (clean) energy generation and regeneration such as measuring and regulating equipment, production and distribution materials;- Products and services related to the various theme pavilions as formulated by the event organisers;- It is not allowed to exhibit second-hand or used items.1.3 The ‘Applicant’ is the company which has registered for participation in AgroTechniek Holland 2012 via the applicable registration form.1.4. The ‘Participant’ is the participant with whom ATH has come to an agree-ment about exhibiting at AgroTechniek Holland.1.5. ‘Third parties’ are others than the Applicant. Third parties also included companies and natural persons associated with the Applicant.1.6. ‘Shell scheme stand construction’ is a paid service provided by ATH in which ATH supplies a ready-to-exhibit stand which Participants can use during the exhibition.1.7. The ‘event location’ is the event premises of Walibi in Biddinghuizen, the Netherlands.

ARTICLE 2 APPLICABILITY2.1. These conditions apply to all offers from ATH and all agreements that ATH concludes with regard to AgroTechniek Holland.2.2. In case of conflict about the contents of the agreement between ATH and the Participant and these General Conditions, the stipulations of the agree-ment take precedence.

ARTICLE 3 REGISTRATION AND PARTICIPATION3.1. Companies wishing to participate in AgroTechniek Holland can register via the registration form as provided by ATH.3.2. By registering, Applicants make a binding offer to ATH to conclude an agreement for participation in AgroTechniek Holland.3.3. The agreement for participation in AgroTechniek Holland is only concluded after ATH has accepted the offer as described in 3.2.3.4. It is not possible to register ‘subject to’ certain conditions unless with prior written approval from ATH. Applicants who do include additional conditions in their registration will have no rights to appeal to these conditions.3.5. ATH is under no obligation to explain its decision should it decide not to conclude an agreement with an Applicant.3.6. ATH can attach additional conditions to participation and/or exclude certain of the Applicant’s goods from the exhibition.

ARTICLE 4 CANCELLATION / CHANGES4.1. Cancellation of or changes to the registration are only possible with prior approval from ATH. Cancellation or changes will also incur charges above and beyond the registration costs, depending on when the request is submitted:− Up to four months before the first day of the opening of the exhibition, 40% of the participation costs;− Up to two months before the first day of the opening of the exhibition, 70% of the participation costs;− Within two months before the first day of the opening of the exhibition, 100% of the participation costs.VAT is due on all these amounts.4.2. In certain circumstances ATH can deviate from the fees as described in 4.1. 4.3. ATH reserves the right to change the provided dates and times and the stand space, size, type and location appointed to Participants if it is required by the organisers of AgroTechniek Holland or in case of special circumstances.4.4. In case of cancellation of AgroTechniek Holland, the participation agree-ment will be terminated, and Participants will be remunerated the already paid amount minus the registration costs within 60 days after the decision to terminate said agreement.4.5. AgroTechniek Holland can refuse and prevent participation when invoices are not paid in time or if it sees any other valid reasons to do so.4.6. In none of the cases described in this article do Applicants have a right to damages.

ARTICLE 5 PERSONAL PARTICIPATION5.1. Participants will ensure that their stand is always open and that there is at least one representative of the Participant present during the opening hours of AgroTechniek.5.2. Participants must participate in AgroTechniek Holland themselves. It is not allowed to make available, rent, surrender or trade (parts of) the stand with another participant.

ARTICLE 6 CONTINUOUS ACCESS6.1. ATH will provide Participants with one or more ‘exhibitor badges’ which provide continuous free access to AgroTechniek Holland during the opening hours of all the exhibitions days, and during the periods when the exhibition is only open to Participants. The exact number of exhibitor badges will be deter-mined by ATH. Participants can only give these exhibitor badges to people who work for their company.

6.2. ATH will also provide Participants with one or more free ‘setup and breakdown badges’ which provide continuous free access to the event location during the periods when the exhibition is only accessible to participants. Setup and breakdown badges do not give access to AgroTechniek Holland during the opening hours of the event. The exact number of setup and breakdown badges will be determined by ATH. Participants can only give these setup and breakdown badges to people who work for their company or people who work for a supplier employed by the Participant for AgroTechniek Holland.6.3. Participants can purchase badges for continuous free access to AgroTech-niek Holland during the opening hours of the exhibition. 6.4. ATH can attach further conditions to the use of the continuous access badges as described in this article, including the stipulation that the badges include a photograph of their holder.6.5. Continuous access badges as described in this article are strictly personal and non-transferrable.

ARTICLE 7 AUDIO AND VIDEO7.1. ATH has the right to make audio and video recordings of all the stands, products, people etc. present at AgroTechniek Holland.7.2. Participants give ATH permission to use the recorded material as de-scribed in 7.1 to promote ATH.

ARTICLE 8 INSTRUCTIONS FOR PARTICIPANTS8.1. ATH can provide Participants with instructions it deems necessary for a successful event.8.2. Participants must comply with the instructions as described in 8.1. ATH can decide to provide general instructions in the form of exhibition regulations and demonstration regulations. These will be communicated at a later stage via exhibitor services (expoloket) on the website www.agrotechniekholland.nl or be available upon request from the event organisers.8.3. If Participants do not (directly) comply with the aforementioned instruc-tions, ATH can take any measures it deems fit, including realising the given instructions itself or appointing another party to do so, and removing Partici-pants and/or their items from AgroTechniek Holland. Such measures will be at the expense of the Participant concerned.8.4. Exhibition materials (such as tents, stands, items and services) should be reliable, safe and appropriate. ATH reserves the right to (have another party) inspect the exhibition materials. If the inspection shows that the exhibition materials do not meet the aforementioned requirements, any resulting expert costs will be charged to the Participant involved. ATH retains the right to exclude the exhibition materials from AgroTechniek Holland or have them removed at the expense of the Participant.8.5 Participants with an outdoor stand must use a pagoda tent with floor for the reception of visitors and the storage of promotion material and seats. These tents can be ordered from ATH exhibitor services (exploket). It is not allowed to use any other tents. 8.6 Participants must purchase electric power (16A/220V) from exhibitor services (expoloket).

ARTICLE 9 LIABILITY9.1. ATH is only liable for damages incurred by Participants that stem directly and exclusively from shortcomings that can be attributed to ATH. Remunera-tion is only awarded for damages covered by the event insurance concluded for AgroTechniek Holland. The policy of this insurance is available for inspection at ATH and a copy will be sent upon request.9.2. Participants must ensure that they conclude sufficient insurance for the ownership and operational risk of all vehicles subject to the Motor Insurance Liability Act which are present at the premises of AgroTechniek Holland in the Participant’s name or on the Participant’s behalf.9.3. The following damages do not qualify for compensation:a. Trading losses, including losses caused by delays and loss of profits. Partici-pants should take out insurance to cover such damages if deemed desirable;b. Supervision damages, which are understood to include damages caused, during or as a result of the performance of the work, to objects on which work is being carried out to objects situated in the vicinity of the work site. Participants should take out insurance to cover such damages, if such is deemed desirable;c. Damages caused by intent or gross negligence on the part of assistants or non-managerial employees of ATH.9.4. Participants indemnify ATH against all claims from third parties made against ATH that are related to the actions or negligence of Participants and/or suppliers and/or other assistants.9.5. Damages to the ground and pipes near the Participant’s stand must be paid for by Participants unless they can prove the damage was not caused by themselves and/or their suppliers and/or other assistants.

ARTICLE 10 COMPLAINTSParticipants cannot appeal to a shortcoming in the performance of ATH unless a written complaint has been submitted to ATH within 14 days after the short-coming was detected or should within reason have been detected.

ARTICLE 11 PAYMENT11.1. Payment must be made at ATH’s place of business to an account speci-fied by ATH within 21 days of the invoice date.11.2. The agreed payment conditions notwithstanding, Applicants are obliged, at ATH’s request, to provide security for payment to ATH’s satisfaction. Failure to provide such security for payment within the period specified will immedi-ately constitute default. In that event ATH is entitled to dissolve the agreement and recover any damages from Applicants.11.3. The right of Applicants to offset any claims to ATH is excluded, except in the event of ATH’s bankruptcy.11.4. The full claim for payment is payable on demand in the following instances: a. If any payment deadline has been exceeded;b. If Applicants have been declared bankrupt or request suspension of pay-ments;d. If any of the Applicant’s assets or claims is seized;e. If the Applicant (company) is dissolved or wound up;f. If the Applicant (natural person) makes a request for judicial debt reschedul-ing, is placed under guardianship or dies.11.5. If payment has not been made by the payment deadline specified, Appli-cants are immediately liable to pay interest to ATH. The interest is payable at a rate of 12% a year, or at the statutory rate if that is higher. For the purposes of calculating the interest, partial months are counted as full months.11.6. If payment has not been made by the payment deadline specified, Applicants are immediately liable to pay ATH all extrajudicial costs, with a minimum of € 75. The costs are calculated in accordance with the following table:-over the first € 3.000 = 15%-over the excess up to € 6.000 = 10%-over the excess up to € 15.000 = 8%-over the excess up to € 60.000 = 5%-over the excess from € 60.000 = 3%If the actual extrajudicial costs exceed those based on this formula, Applicants are liable to pay these costs.11.7. If judicial proceedings decide in favour of ATH, all costs incurred by ATH in connection with those proceedings are for the Applicant’s account.

ARTICLE 12: APPLICABLE LAW AND COMPETENT COURT 12.1. These conditions are subject to Dutch law.12.2. The Vienna Sales Convention (C.I.S.G.) does not apply to these Terms & Conditions, nor do any other international regulations whose exclusion is permitted.12.3. Only the Dutch civil court within whose jurisdiction ATH’s place of busi-ness is situated is competent to pass judgment on disputes, unless such is at odds with any mandatory rules of law. ATH is entitled to deviate from this jurisdiction clause and apply the statutory rules for jurisdiction.

ARTICLE 13 GENERAL INFORMATION13.1. [Location] AgroTechniek Holland takes place from 5 to 8 September 2012 at the event premises of Walibi in Biddinghuizen, the Netherlands.13.2. [Opening hours to the public] AgroTechniek Holland is open to the public on:• Wednesday 5 September 2012 from 10:00 – 18:00 • Thursday 6 September 2012 from 10:00 – 18:00 • Friday 7 September 2012 from 10.00 – 18:00 • Saturday 8 September 2012 from 10:00 – 18:00 13.3. [Opening hours to Participants] The premises are open to Participants one hour before opening and one hour after closing on each day of the exhibition.13.4. [Ticket price] The basic ticket price for the exhibition as described in Article 7.1 of the General Conditions has for the time being been set at € 19 including VAT per person, per visit.13.5. [Setup] For the setup and furnishing of the stands and the delivery of goods, the premises will be open to Participants every day from 30 August 2012 (or sooner if ATH deems possible in which case the Participants will be informed accordingly) from 08:00 to 20:00. Participants that make use of a shell scheme stand construction can furnish their stands on 3 September 2012 from 12:00.13.6. [Breakdown] Participants must break down their stands, remove their goods and ensure that their stand space in its original condition from 8 September 2012 at 18:00 to 11 September 2012 at 20:00. Participants that make use of a shell scheme stand construction must empty their stands and ensure that the stand and the stand space is in its original condition before 10 September 2010 at 12:00. The premises will be accessible between 08:00 and 20:00 for the aforementioned activities.13.7. [Programme] AgroTechniek Holland only exhibits services and goods that meet the purpose of the event according to ATH, namely providing the public with as varied as possible overview of the current (inter)national offer of products and services in accordance with Article 1.2

ARTICLE 14 DEMONSTRATIONS14.1. Special activities at the stands or elsewhere on the exhibition grounds, such as product presentations, performances and shows, are only allowed with written approval from ATH. 14.2. A written request for approval as described in 14.1 must be received by ATH at the latest 30 days before the start of the exhibition.

ARTICLE 15 STAND CONSTRUCTION15.1. Participants who do not make use of a shell scheme stand construction as offered by ATH must ensure that their stand meets the following conditions: Self-supporting side and back walls, a clear mention of name and stand number, and carpeting. When Participants build an indoor stand that is higher or lower than 2.50m, the taller of the two stands must be neatly finished.15.2. Participants who do not make use of a shell scheme stand construction are required to send their stand design to ATH for approval six weeks before the start of the setup period. Approval will be given in writing.15.3. The prevailing construction height of indoor stands is 2.50m including possible duckboards. Multi-storey stands are not allowed indoors. 15.4. Participants can choose to have ATH arrange stand construction. The specifications and costs of a shell scheme stand construction will be available on a price list for ATH exhibition facilities that will be sent at a later date.

ARTICLE 16 HARMFUL SUBSTANCES AND REMOVAL16.1. Participants are not allowed to discharge harmful substances such as oils, fats, etc. onto the ground and/or via the sewage system on the event premises. Should this happen Participants are obliged to report this to ATH immediately. 16.2. Participants are not allowed to discharge water into the surface water of the event premises.

ARTICLE 17 LICENSESParticipants that require a license and/or are subject to (stand/tent) construc-tion regulations must submit their design to ATH for approval at least eight weeks before the start of the setup period.

ARTICLE 18 ADVERTISING LIMITATIONS18.1. Participants may not sample and/or distribute food and or drinks without prior written approval from ATH.18.2. Participants may not display posters and/or other advertising material outside their stand.18.3. Participants may only hand out price lists, circulars and the like or advertise their company in other ways at their own stand.18.4. It is not allowed to bring and/or advertise for other products or services than those agreed upon with ATH via the registration form or otherwise.18.5. Participants will not use any space around the Walibi event premises for (commercial) activities, including placing signs, messages or other designations.
