ThereservationofaspecifiednamemaybemadebyfilingwiththeSecretaryof Stateanapplication,executedbytheapplicant,certifyingthatthereservation ismadebyoronbehalfofadomesticcorporation,foreigncorporationorother persondescribedinparagraphs(e)(1)-(4)ofthissectionabove,andspecifying thenametobereservedandthenameandaddressoftheapplicant.IftheSecre taryofStatefindsthatthenameisavailableforusebyadomesticorforeign corporation,theSecretaryshallreservethenamefortheuseoftheapplicantf oraperiodof120days.Thesameapplicantmayrenewforsuccessive120-dayper iodsareservationofaspecifiednamebyfilingwiththeSecretaryofState,pr iortotheexpirationofsuchreservation(orrenewalthereof),anapplicationf orrenewalofsuchreservation,executedbytheapplicant,certifyingthatther eservationisrenewedbyoronbehalfofadomesticcorporation,foreigncorpora tionorotherpersondescribedinparagraphs(e)(1)-(4)ofthissectionabovean dspecifyingthenamereservationtoberenewedandthenameandaddressofthe applicant.Therighttotheexclusiveuseofareservednamemaybetransferred toanyotherpersonbyfilingintheofficeoftheSecretaryofStateanoticeo fthetransfer,executedbytheapplicantforwhomthenamewasreserved,specif yingthenamereservationtobetransferredandthenameandaddressofthetran sferee.Thereservationofaspecifiednamemaybecancelledbyfilingwiththe SecretaryofStateanoticeofcancellation,executedbytheapplicantortransf eree,specifyingthenamereservationtobecancelledandthenameandaddresso ftheapplicantortransferee.UnlesstheSecretaryofStatefindsthatanyappl ication,applicationforrenewal,noticeoftransfer,ornoticeofcancellation filedwiththeSecretaryofStateasrequiredbythissubsectiondoesnotconfor mtolaw,uponreceiptofallfilingfeesrequiredbylawtheSecretaryofState shallprepareandreturntothepersonwhofiledsuchinstrumentacopyofthe filedinstrumentwithanotationthereonoftheactiontakenbytheSecretaryof State.Afeeassetforthin§391ofthistitleshallbepaidatthetimeofthe reservationofanyname,atthetimeoftherenewalofanysuchreservationand atthetimeofthefilingofanoticeofthetransferorcancellationofanysu chreservation.

§102.Contentsofcertificateofincorporation.

(e)Theexclusiverighttotheuseofanamethatisavailableforusebyadomesticorforeigncorporationmaybereservedbyoronbehalfof:

(1)Anypersonintendingtoincorporateororganizeacorporationwiththatnameunderthischapterorcontemplatingsuchincorporationororganization;

(2)AnydomesticcorporationoranyforeigncorporationqualifiedtodobusinessintheStateofDelaware,ineithercase,intendingtochangeitsnameorcontemplatingsuchachange;

(3)AnyforeigncorporationintendingtoqualifytodobusinessintheStateofDelawareandadoptthatnameorcontemplatingsuchqualificationandadoption;and

(4)AnypersonintendingtoorganizeaforeigncorporationandhaveitqualifytodobusinessintheStateofDelawareandadoptthatnameorcontemplatingsuchorganization,qualificationandadoption.

ThereservationofaspecifiednamemaybemadebyfilingwiththeSecretaryofStateanapplication,executedbytheapplicant,certifyingthatthereservationismadebyoronbehalfofadomesticcorporation,foreigncorporationorotherpersondescribedinparagraphs(e)(1)-(4)ofthissectionabove,andspecifying

thenametobereservedandthenameandaddressoftheapplicant.IftheSecretaryofStatefindsthatthenameisavailableforusebyadomesticorforeigncorporation,theSecretaryshallreservethenamefortheuseoftheapplicantforaperiodof120days.Thesameapplicantmayrenewforsuccessive120-dayperiodsareservationofaspecifiednamebyfilingwiththeSecretaryofState,priortotheexpirationofsuchreservation(orrenewalthereof),anapplicationforrenewalofsuchreservation,executedbytheapplicant,certifyingthatthereservationisrenewedbyoronbehalfofadomesticcorporation,foreigncorporationorotherpersondescribedinparagraphs(e)(1)-(4)ofthissectionaboveandspecifyingthenamereservationtoberenewedandthenameandaddressoftheapplicant.TherighttotheexclusiveuseofareservednamemaybetransferredtoanyotherpersonbyfilingintheofficeoftheSecretaryofStateanoticeo

fthetransfer,executedbytheapplicantforwhomthenamewasreserved,specifyingthenamereservationtobetransferredandthenameandaddressofthetransferee.ThereservationofaspecifiednamemaybecancelledbyfilingwiththeSecretaryofStateanoticeofcancellation,executedbytheapplicantortransferee,specifyingthenamereservationtobecancelledandthenameandaddressoftheapplicantortransferee.UnlesstheSecretaryofStatefindsthatanyapplication,applicationforrenewal,noticeoftransfer,ornoticeofcancellationfiledwiththeSecretaryofStateasrequiredbythissubsectiondoesnotconformtolaw,uponreceiptofallfilingfeesrequiredbylawtheSecretaryofStateshallprepareandreturntothepersonwhofiledsuchinstrumentacopyofthefiledinstrumentwithanotationthereonoftheactiontakenbytheSecretaryofState.Afeeassetforthin§391ofthistitleshallbepaidatthetimeofthereservationofanyname,atthetimeoftherenewalofanysuchreservationand
