A meeting of the Madison Area Technical College District Board was held

December 7, 2016, at Madison Area Technical College, 1701 Wright Street, Madison,

Wisconsin.

Student Senate President, Alex Hipler, shared the Student Senate’s activities over the last

month. He also thanked the college’s administration for addressing student concerns throughout

the presidential election.

Ms. Huntley-Cooper reviewed the schedule for upcoming meetings and college events.

College/Campus Announcements III A 3

Mr. Falco and Ms. Ahedo reported on activities and initiatives occurring at the Madison

metro and regional campuses.

Ms. Huntley-Cooper congratulated Ms. Ahedo on the completion of her Master’s degree.

Dr. Cornille reported that the college continues to enhance it services for students who

are veterans through gift and grant opportunities. He also reported that enrollment is seeing

gains. Ninety-two Madison College students were recognized with a Presidential Volunteer

Service Award. Recipients have contributed 100 hours or more of community service.

Dr. Casper shared that two new State representatives were elected in the district in the

November election. One from Milton, the other from Fitchburg. He reported that the college is

hosting community forums to share information about the college’s plans for a new South

campus. The college will use a consultant to coordinate the process of gathering community

input related to the new campus.

Ms. Nuñez reported that the college participated in a Watertown event that brought

together members of the Latino community and other stakeholders to assist individuals and

families to connect with resources and services.

President’s Report III A 4

Dr. Daniels reported that a former Middle College student and current Madison College

student, Alondra Reyes-Ponce, will receive the Wisconsin Job Honors Award at the Future

Wisconsin Economic Summit, hosted by Wisconsin Manufacturer’s and Commerce on

December 15, 2016. The award recognizes individuals who have overcome significant barriers

to employment and the employers who hire them.

Dr. Daniels shared the timeline for 2017 Board appointments process:

• Advance advertisement will be placed January 13, 2017, announcing the vacancies • Notice of Intent to fill vacancies will be published January 20, 2017 • The deadline for applications will be February 3, 2017 • Applicant information will be mailed to county board chairs on February 10, 2017 • The list of applicant names will be published February 17, 2017 • The Appointment Meeting will be March 6, 2017 • New Board members will be sworn in at the July 2017 Board meeting

Madison College Grants Office III B 4 a

Emily Sanders, Madison College Grants Office Director, provided a report on the

activities of the Madison College Grants Office, including the types and amounts of grants that

have been awarded, the student activities and supports that are funded by those grants, and grant

funding opportunities and challenges.

Wisconsin Technical College District Boards Association Executive Director, Layla

Merrifield, provided a report on the activities of the District Boards Association, including their

upcoming budget advocacy activities with Wisconsin state legislators.

Action Items III C

New Program Approval: Web and Digital Media Design III C 1

Erin Kohl, School of Business and Applied Arts Associate Dean, reported that the

proposed program will offer students an opportunity to acquire design and production skills

related to website design and management.

There was a motion by Ms. Bidar-Sielaff, seconded by Mr. Guttenberg, to approve the new Web and Digital Media Design Program. Motion carried.

Revised Resolution on District Reserves and Designations III C 2

Wisconsin Administrative Code TCS 7.05(5) states that the District Board may establish

reserves and a segregated portion of fund balances for a specific use and a specific period.

Reserves and designations are recommended by generally accepted governmental accounting

principles for the purpose of allocating current resources for financial obligations that will come

due in future periods. Recommendations for reserves and designations by fund type were

presented.

There was a motion by Mr. Hasler, seconded by Mr. Pfaff, to approve the Revised Resolution on District Reserves and Designations. Motion approved.

Fiscal Year 2015-16 Budget Adjustments & Transfers III C 3

Mr. Thomas stated that as part of the fiscal year-end audit process, actual expenditures

are reconciled by fund and function to the institutional budget. The proposed adjustments

remain within the levied tax revenue adopted by the District Board in October 2015 and

associated expenditures approved in June 2016.

There was a motion by Mr. Winn, seconded by Mr. Crombie, to approve the budget adjustments for the FY2015-16 fiscal year as presented. Motion carried unanimously.

Fiscal Year 2015-16 Comprehensive Annual Financial Report III C 4

Mr. Thomas stated that the draft Comprehensive Annual Financial Report was reviewed

with the District Board last month and was being presented at this time for approval.

There was a motion by Ms. Bidar-Sielaff, seconded by Mr. Winn, to accept the June 30, 2016, Comprehensive Annual Financial Report. Motion carried.

Fiscal Year 2016-17 Budget Amendment III C 5

Mr. Thomas stated that the District Board was being asked to consider amendments to the

FY2016-17 budget.

There was a motion by Mr. Pfaff, seconded by Ms. Bidar-Sielaff, to approve the recommended budget modifications for FY2016-17. Motion approved unanimously.

Mr. Pfaff encouraged the college to work closely with the consultant who will coordinate

the community engagement efforts related to the South campus to ensure that the community

continues to have reasonable expectations related to the services provided by Madison College.

There was a motion by Mr. Pfaff, seconded by Mr. Hasler, to approve Consent Agenda item III.C.3.c. as submitted. Motion carried.

MADISON AREA TECHNICAL COLLEGE DATE: January 4, 2017 TOPIC: Capital Projects Borrowing ISSUE: The approved FY2016-17 budget includes the capital projects budget and

authorized the borrowing of $25,400,000. The initial process to borrow for capital projects includes securing bond counsel opinion and obtaining a bond rating.

The attached resolution is the fourth authorization of this process and totals

$4,235,000, including $1,500,000 for building remodeling and improvement and $2,735,000 for the cost of acquisition of movable equipment and technology. Once the borrowing is authorized, the resolution is published as public notice per Section 67.12(12)(e)5 of the Wisconsin Statutes. Bids are then received. A second resolution will be forthcoming to the Board meeting in February to award the sale of the bonds to the lowest bidder from the bidding process.

Additional borrowing(s) will be scheduled and brought to the District Board for authorization later in the fiscal year.

RESOLUTION NO. ____

RESOLUTION AUTHORIZING THE ISSUANCE OF NOT TO EXCEED $4,235,000 GENERAL OBLIGATION PROMISSORY NOTES,

SERIES 2016-17D; AND SETTING THE SALE OF THE NOTES

WHEREAS, the Madison Area Technical College District, Adams, Columbia, Dane, Dodge, Green, Iowa, Jefferson, Juneau, Marquette, Richland, Rock and Sauk Counties, Wisconsin (the "District") is presently in need of $1,500,000 for the public purpose of paying the cost of building remodeling and improvement projects and $2,735,000 for the public purpose of paying the cost of the acquisition of movable equipment, and there are insufficient funds on hand to pay said costs;

WHEREAS, the District hereby finds and determines that the projects are within the District's power to undertake and serve a "public purpose" as that term is defined in Section 67.04(1)(b), Wisconsin Statutes; and

WHEREAS, technical college districts are authorized by the provisions of Section 67.12(12), Wisconsin Statutes to borrow money and to issue general obligation promissory notes for such public purposes.

NOW, THEREFORE, BE IT:

RESOLVED, that the District shall issue general obligation promissory notes in an amount not to exceed $1,500,000 for the public purpose of paying the cost of building remodeling and improvement projects; and be it further

RESOLVED, that the District shall issue general obligation promissory notes in an amount not to exceed $2,735,000 for the public purpose of paying the cost of the acquisition of movable equipment; and be it further

RESOLVED, that

Section 1. Authorization and Sale of the Notes. For the purpose of paying the costs specified above in the amounts authorized for those purposes, there shall be borrowed pursuant to Section 67.12(12), Wisconsin Statutes, the principal sum of not to exceed FOUR MILLION TWO HUNDRED THIRTY-FIVE THOUSAND DOLLARS ($4,235,000) from a purchaser to be determined by subsequent resolution of the District Board (the "Purchaser"). To evidence such indebtedness, the Chairperson and Secretary are hereby authorized, empowered and directed to make, execute, issue and sell to the Purchaser for, on behalf of and in the name of the District, general obligation promissory notes aggregating the principal amount of not to exceed FOUR MILLION TWO HUNDRED THIRTY-FIVE THOUSAND DOLLARS ($4,235,000) (the "Notes"). There shall be levied on all the taxable property of the District a direct, annual, irrepealable tax sufficient to pay the interest on the Notes as it becomes due, and also to pay and discharge the principal thereof within ten years of the date of issuance of the Notes.

Section 2. Notice to Electors. Pursuant to Section 67.12(12)(e)5, Wisconsin Statutes, the Secretary shall, within ten (10) days of adoption of this Resolution, cause public notice of the adoption of this Resolution to be given to the electors of the District by publishing notices in the Wisconsin State Journal, the official newspaper of the District. The notices to electors shall be in substantially the form attached hereto as Exhibits A and B and incorporated herein by this reference (collectively, the "Notice").

Section 3. Sale of the Notes. The Notes shall be offered for public sale. At a subsequent meeting, the District Board shall consider such bids as may have been received, take action on the bids and specify the terms of and interest rates on the Notes.

Section 4. Official Statement. The Secretary shall cause an Official Statement to be prepared by PMA Securities, Inc. The appropriate District officials shall determine when the Official Statement is final for purposes of Securities and Exchange Commission Rule 15c2-12 and shall certify said Statement, such certification to constitute full authorization of such Official Statement under this Resolution.

Section 5. Conflicting Resolutions; Severability; Effective Date. All prior resolutions, rules or other actions of the District Board or any parts thereof in conflict with the provisions hereof shall be, and the same are, hereby rescinded insofar as the same may so conflict. In the event that any one or more provisions hereof shall for any reason be held to be illegal or invalid, such illegality or invalidity shall not affect any other provisions hereof. The foregoing shall take effect immediately upon adoption and approval in the manner provided by law. If any of the Notes may be subject to a petition for referendum, any action with respect to the sale of the Notes shall be subject to the condition that no petition for referendum has been filed within thirty (30) days of publication of the Notice provided for under Section 2 of this Resolution or, if a petition is filed, that any required referendum approval is obtained.

If no such petition is filed, then the resolution shall be effective without a referendum.

MADISON AREA TECHNICAL COLLEGE DATE: January 4, 2017 TOPIC: General Fund Financial Report as of November 30, 2016 ISSUE: Review current year to date revenues and expenditures in the general fund. The current fiscal

year general fund revenues are 51.44% of the current budget. This compares to 51.68% during the prior fiscal year.

• Local Sources (Tax Levy) recognizes 100% of our annual tax levy as revenue, even though a

portion will be collected in the next fiscal year. Also included are the revenues from dissolved TIDs, taxes from DNR lands, and net refunds for personal property. Tax Levy revenues to date are 100.30% of budget, compared to 99.95% last year.

• State Sources includes general state aid, performance based funding and property tax relief aid. Also included are inter-district tuition supplement, state incentive grants, exempt computer state aid, aid in lieu of property taxes, and the WI GI bill remission aid. The State Aid revenues received to date are 11.79% of budget, compared to 12.89% last year.

• Program and Material Fees revenues represent the fees for summer school, and the first and second semesters of the current school year. The program fee revenues to date are 78.86% of budget, compared to 80.66% last year. The material fee revenues to date are 83.02% of budget, compared to 98.74% last year. Material fees overall is down due to lower enrollments.

• Other Student Fees include graduation, nonresident tuition, Group Dynamics, and

community service classes. Revenues to date are 81.41% of the amount budgeted. Last year, revenues to date were 96.53%. Student Fees related to Collegiate Transfer Out-of-State is primarily causing the lower revenues.

• Institutional Sources include 118.15 contracts, interest income, rental and royalty income, along with miscellaneous revenues. The revenues to date are 51.79% of the budget. Last year’s revenues were 45.34% of the budget. The increase is from royalty income from Independent Spectrum. Annual royalty billing was $50K higher than last year. Interest Income is also contributing to the growth as we secure better returns for our investments. A correcting entry for $89K reducing Miscellaneous Revenue was made in prior year. This was reversed in December 2015 and therefore causing a timing difference for this month.

• Federal Sources consist of cost reimbursements on federal grants and administration for student financial assistance. Current year revenues are 20.27% of the budget, compared to 31.96% last year. • Instructional includes expenditures for all activities that are part of the College’s

instructional programs. Current year Instruction expenditures are 33.13% of budget, compared to 33.81% last year.

• Instructional Resources includes all expenditures incurred to provide support for instruction,

such as library and academic administration and support. This year’s Instructional Resources expenditures are 35.95% of the budget, versus 36.28% last year.

• Student Services includes expenditures incurred for admissions, registrar, and other activities

that contribute to students’ emotional and physical well-being, such as counseling, student aid administration, and intercollegiate athletics. Student Services expenditures are 34.01% of the current year’s budget, compared to 34.77% last year.

• General Institutional includes expenditures for centralized activities that manage planning for the entire institution, such as the President’s Office, human resources, and financial operations. General Institutional expenditures equal 49.53% of budget, compared to 47.58% last year.

• Physical Plant includes expenditures for the administration, supervision, maintenance, and

protection of the institution’s physical plant. This includes items such as janitorial services, care of grounds, maintenance and operation of buildings and security. Physical Plant expenditures equal 54.75% of budget, compared to 60.37% last year. Lower expenditures are primarily related to lease facilities with reduced leased space for the new West Campus location.

• Public Service includes expenditures for activities established for non-instructional services,

such as the athletic director’s office. The current year’s expenditures are 41.42% of budget, compared to 42.61% last year.
