CHAPTER 1DEALER SALES PROGRAM

1 Dealer Sales Program

1.1 Dealer Requirements:• Place a qualified order.• Take product per the shipping schedule established by ECHO Robotics.• Meet and maintain all the requirements of being an authorized ECHO Robotics dealer, as stated per the

Service and Warranty section of this document.• A minimum of two units per model in stock at every retail location that sells ECHO Robotics equipment.• A signed Dealer Agreement on file with ECHO Robotics.

1.2 Dealer PricingDealers with an approved open account with ECHO Robotics, who meet the requirements and purchase the minimum units per location will receive the following:• Initial dealer start up purchases (parts included) will be net 240 days or 15 days after installation, whichever

date comes first.• Re-orders will be net 60 days for whole goods or 15 days after installation, whichever date comes first.• Parts re-orders are net 30 days.• All dealers must have an approved open account, or approved cash account, to purchase product from ECHO

Robotics.

1.3 Accounts AvailableOpen AccountDealer meets all financial criteria set forth by ECHO Robotics. Account limit based on dealer credit application. The credit limit is subject to review and ECHO Robotics reserves the right to revise credit amount(s) or terminate open accounts. Past due accounts will be put on hold and assessed finance charges per the dealer agreement. Cash AccountPayment is required before shipment of parts and products.

CHAPTER 2FLEET DISCOUNT PROGRAM

2 Fleet Discount ProgramThe Fleet Discount Program is designed to sell products to volume purchasers. To qualify for the Fleet DiscountProgram, a single business must purchase a minimum of four ECHO Robotics units during a 12-month period froman initial installation. This program is for ECHO Robotics product only, it is not to be combined with any other ECHOproduct.

2.1 Selling Discount for Rebate CreditPurchase 4 - 6 units and receive 10% off MSRP.Purchase 7 or more units and receive 12% off MSRP.

2.2 Fleet Discount Purchase Process• Dealer receives purchase order.• Dealer invoices customer and receives payment.• Rebate credit will apply when ECHO Robotics receives completed Fleet Assist Request.• Go to www.echorobotics.com to access the Fleet Assist Request form.

2.3 Percent of MSRP Back To Dealer After Sale• Sale of 4 - 6 units receives 5% of MSRP back.• Sale of 7 or more units receives 6% of MSRP back.• Rebate credit will be issued to the dealer's account after all required documents have been received and

approved by ECHO Robotics. Submit a completed Fleet Assist Request to ECHO Robotics at admin@echoro-botics.com within 30 days of retail delivery to receive credit. Fleet credit for ECHO Robotics units andcharging stations will be applied to your account.

• Dealer may also be required to show invoice and proof of payment. ECHO Robotics invoice for product soldis due with stated terms before rebate can be applied.

• Any discount given customer less than 10% or 12%, respectively, will void the rebate.

3 Cooperative AdvertisingThe Cooperative Advertising Program is designed to encourage the advertisement and promotion of ECHORobotics products. Our goal is to support your advertising efforts and promotions, resulting in increased sales.

3.1 How Cooperative Credits Are EarnedCooperative credits are earned on the dollar amount purchased throughout the previous year (January 1 throughDecember 31). Only purchases of new whole good items are eligible. Parts and accessories are not eligible forcooperative credit. For initial dealer set up, $1,000.00 will be available in the dealer's cooperative fund for thatcalendar year. Only an authorized ECHO Robotics dealer can earn cooperative credits. No cash payments forcredit, rebates will apply to oldest outstanding invoice first than as credit to account.

CHAPTER 3COOPERATIVE ADVERTISING

3.2 Qualifications for Using Cooperative Advertising• Must have a current signed and approved Dealer Agreement on file.• Must have placed a qualified order.• Claims must be submitted within 45 days from the media invoice date.• There are no carry-over advertising credits. Cooperative credits not used by the end of the program year will

be forfeited.• Cooperative credit can be earned up to 2% of the invoiced amount of new ECHO Robotics units to be applied

for the 2020 business year.• If pricing is displayed in an ad, only ads displaying MSRP will be approved. Must receive prior approval for

special discounts and promotions.

3.3 Reimbursement Requirements• Prior approval from ECHO Robotics is required for any cooperative reimbursement.• Credit will be issued on prior approved ads in the amount of 50/50.

3.4 How to File the Trade Show Cooperative Form and Cooperative Advertising ClaimsComplete the form/claim and send with the following information (if applicable):• The Trade Show Cooperative Request Form must be submitted four weeks prior to any trade show or open

house events to ensure cooperative approval.• Original tear sheet.• Copy of invoice.• Photos of trade show booth, showing the entire booth.• Copy of direct mail piece.• Postal receipts for direct mail.

Upon receiving all forms and receipts a credit will be issued to the dealership. If the cooperative claim is denied, anotification with the reason for denial will be sent to the dealer. All claims are subject to approval by ECHORobotics.Credit will not be approved for:• Website management and maintenance fees.

• Having no prior approval for the advertisement.• Any ad displaying a price lower than MSRP.• Miscellaneous show expenses such as labor, electrical, carpet, tables, etc.• Food expenses for customer events, trade shows, open houses, demonstrations, etc.• Ads on auction websites and magazines, such as Ebay, Craigslist, etc.• Advertising agency fees or commissions• Advertising that misrepresents ECHO Robotics or ECHO Inc. values.• ECHO Robotics apparel (shirts, hats, etc.).• Any advertising which violates any federal, state or local laws (relating to such advertising).

3.5 Qualifying Methods of AdvertisementOutdoor Advertising:• Current ECHO Robotics photographs and logo are to be used.• Only space devoted to ECHO Robotics will qualify.For credit, please send:• Cooperative advertisement claim form.• Copy of invoice.• Clear photograph of billboard or vehicle wrap.Direct Mail:• Printing and postage.• ECHO Robotics logo must be included.• Only space devoted to ECHO Robotics will qualify.• Only current ECHO Robotics photographs and logo are to be used.For credit, please send:• Cooperative advertisement claim form.• Copy of printing invoice.• Postal receipts.• Original direct mail piece.Trade Magazines:• Printed inserts or published advertisements.• Insertion costs.• Only space devoted to ECHO Robotics will qualify.• Must use current photographs and logo.For credit, please send:• Cooperative advertisement claim form.• Copy of publication invoice.• Copy of advertisement.Trade Shows and Special Events:• Must obtain prior approval with written approval request form.• Only space devoted to ECHO Robotics will qualify.For credit, please send:• Trade show cooperative request form.

CHAPTER 4SERVICE AND WARRANTY

• Copy of invoice.• Photograph of complete display.No dealership may directly or indirectly use any ECHO Robotics or ECHO trademarks or trade names as part of thedealership's corporate or business name, or in any way in connection with the dealership's business, except in themanner and to the extent in which ECHO Robotics consents in writing.The dealer understands that participation in this program is completely voluntary, and further understands thatthe dealer, and the dealer's agency, are solely responsible for any and all legal review of advertising.

4 Service and WarrantyECHO Robotics is committed to building quality products backed by an educated, service-oriented dealer network.

4.1 Servicing Dealer Warranty Compensation• Servicing Dealers will be reimbursed for labor during warranty repairs equal to the “Comparable Retail

Posted Shop Labor Rate” charged by servicing dealers in the local geographical area not to exceed $60.00per hour.

• Warranty reimbursements are payable only to servicing dealers who attend ECHO Robotics service training.• Parts for warranty work performed by authorized ECHO Robotics dealer personnel. Dealer credit on

warranty parts will be at dealer cost.• Invoices for parts must be paid per terms regardless of warranty consideration.All warranty eligibility requirements must be met to receive consideration for any warranty credit or compensa-tion.

4.2 State Warranty LawsWarranty labor rates and warranty parts reimbursement may be subject to state regulations. The following tablesummarizes ECHO Robotics warranty policy in accordance with current state statutes. In any event, it is eachdealer's responsibility to provide ECHO with the required documentation for each posted shop labor rate.

CHAPTER 4SERVICE AND WARRANTY

4.3 Servicing Dealer StatusServicing Dealer status is achieved by meeting and maintaining the following criteria:• Certification as ECHO Robotics Dealer.• Good financial standing.• Stock an adequate supply of ECHO Robotics replacement parts. An ECHO Robotics Regional Sales Represen-

tative will assist in putting together a recommended parts stocking order based on the dealer's region andthe markets to be serviced.

• Employ at least one ECHO Robotics Certified Technician at each dealership location that may sell and service ECHO Robotics.

• Ensuring all filed service work is performed by an ECHO Robotics Certified Technician.A Certified Training program will take place at our facility in Lake Zurich, Illinois.ECHO Robotics will notify dealers of available service training opportunities. Questions regarding training, service,or the warranty program, may be directed to the Service Department or a Territory Sales Manager.

4.4 Product Registration / Warranty and Inspection ChecklistTo validate warranty, an authorized ECHO Robotics dealer must register the product with ECHO Robotics within(10) days of installation date.A completed copy of the Product Registration and the PDI Checklist must be submitted to ECHO Robotics uponinstallation.IMPORTANT: Submission of the PDI Checklist to ECHO Robotics is required to initiate data transmission with the robot.Product Registration and PDI Checklist forms are available at https://echorobotics.com/. Submit completed formsto admin@echorobotics.com.

4.5 Warranty Repair Consideration and Claims SubmissionTo receive full warranty consideration, claims are to be submitted within 30 days of completing a warranty repair.Claims submitted more than 90 days after a warranty repair are not eligible for compensation. Submit warrantyclaims to admin@echorobotics.com.Product repaired or altered by any service facility other than an authorized ECHO Robotics dealer, or failuresresulting from, but not limited to, alteration, misuse, neglect, or accident, will not be eligible for warranty credit.ECHO Robotics reserves the right to incorporate any changes in design or specifications without obligation to makelike changes on previously manufactured products.

4.6 Defective Parts Return PolicyAll defective parts being considered for warranty must be retained at the dealership until the warranty claim hasbeen paid. Return shipping cost will be paid for by ECHO Robotics for defective parts if ECHO Robotics requests thepart to be returned.

4.7 Warranty Labor AllowanceAn authorized ECHO Robotics dealer will receive their posted shop labor rate (not to exceed $60.00 per hour).ECHO Robotics reserves the right to adjust the labor time submitted. Labor credit will only be given for partsinstalled by an ECHO Robotics certified technician.Parts will be credited at dealer cost, unless state statute dictates otherwise.

4.8 New Defective Service PartsThe warranty period for replacement parts is 90 days. This period begins on the date of purchase. Proof ofpurchase will be required for warranty credit.

CHAPTER 5SHIPPING POLICY

5 Shipping Policy

5.1 General InformationUPS delivery orders received by 12:00 PM (Central Time) Monday - Friday will normally be shipped out the sameday provided items are in stock. Orders placed after 12:00 PM may be shipped the next business day.• Large stocking orders are not included.• Orders are considered shipped, and will be invoiced, when loaded on the carrier's truck.

5.2 Parts• Orders requesting drop shipment will incur a $10.00 drop ship fee in addition to our regular shipping and

handling charges.• Any parts order placed above $2,500.00 will receive free freight on the shipment.• All parts and accessory shipments will be subject to a minimum handling fee of $5.00 per order.• All canceled orders must be in writing (via Email) and received prior to order being picked.

5.3 Whole Goods• Orders must be taken within seven days of first available shipping date as established by ECHO Robotics. If

orders are waiting in warehouse longer than seven days due to not being accepted by dealer, product fromthat order may be used to fill other orders as needed.

• All units are FOB “Freight On Board” at ECHO, Inc. Lake Zurich, Illinois.
