During the consultant's efforts for obtaining NEPA clearance, a Cultural Finding of Effect was identified by the State Historic Preservation Office (SHPO). Through consideration of alternatives, it was determined that the adverse effects of the project are unavoidable and implementation of specific treatments are required to satisfactorily mitigate these effects. The SHPO determined that the execution and implementation of a Memorandum of Agreement (MOA) containing the specific treatments and stipulations will be required in order to take into account the adverse effects of the project. As a signatory of the MOA, Placer County has a responsibility to fulfill the terms of the MOA. Although Caltrans has assumed responsibility for NEPA environmental review, consultation and coordination, as with all local assistance projects, it falls to the project proponent (Placer County) to implement the project in accordance with the listed stipulations. The Board of Supervisors authorized the signing of the MOA at the April 10, 2018 Board of Supervisors Meeting. An original PSA with Dokken engineering in the amount of $108,077 was executed June 7, 2016. The original PSA was entered into with the consultant to provide Environmental Compliance, Environmental Permits and Project Management. This PSA amendment includes the performance or inclusion of several mitigation measures including data recovery, interpretation (interpretive display and creation of a website), design elements, and the execution of an Environmentally Sensitive Area (ESA) Action Plan. it was not included in the project budget. Therefore, a budget revision is necessary and requested for approval.

ENVIRONMENTAL IMPACT A Final EIR for construction and operation of the Martis Valley Trail was adopted by the Northstar Community Services District Board of Directors on October 17, 2012 (State Clearinghouse No. 2010122057). The requested contract amendment is exempt from CEQA, pursuant to CEQA Guidelines, Section 15306, Information Collection, Class 6 provisions pertaining to data collection, research, and resource evaluation.

FISCAL IMPACT The cost of Amendment No. 1 with Dokken Engineering, Inc. to provide Professional Services related to the Martis Valley Trail Project is $213,477, plus a contingency of $30,000. The original contract is budgeted in the FY 2017-18 Department of Public Works and Facilities Budget, Martis Valley Trail Project (PC3006) with funding requested to be provided by $24,347 (10%) in Federal CMAQ funding and $219, 130 (90%) in Park Dedication Fees within Capital Project Fund, Number 04839, Martis Valley Trail.

Approval of the Budget Revision will increase the appropriations in the amount of $243,477 and will be offset by Park Dedication Fees Area 1 for $219, 130 and Congestion Mitigation Air Quality for $24,347.

PROFESSIONAL SERVICES AGREEMENT AMENDMENT FOR ARCHAEOLOGICAL SERVICES FOR PHASE 111 DATA RECOVERY AT CA-PLA-06 FOR THE MARTIS VALLEY SEGMENT 38 PROJECT.

This PSA Amendment No.1 ("Amendment") , which increases the original contract amount of $108,076.14, by $213,476.88 for a total amount not to exceed $321,553.02, is entered into by and between the County of Placer "COUNTY" and Dokken Engineering, a California corporation hereinafter referred to as CONSULTANT" this 13th day of March, 2018 and affects ITEM 1 "BASIS OF AGREEMENT", ITEM 5, "TIME OF COMPLETION", ITEM 6 "AMOUNT OF PAYMENT" AND ITEM 7 "PAYMENT SCHEDULE" of the original Professional Services Agreement No. 000943, dated June 07, 2016. The Professional Services Agreement is amended as follows:

a) ITEM 1 - BASIS OF AGREEMENT - This section shall be deleted and replaced in its entirety to read as follows:

1. BASIS OF AGREEMENT. CONSULTANT hereby agrees to provide professional services as an independent contractor to obtain environmental clearances and permits for the Martis Valley Trail Project as described in Exhibit A 1 entitled "Scope of Services" attached hereto and by this reference incorporated herein. In exchange, COUNTY agrees to pay CONSULTANT as set forth in Item 6 below.

b) ITEM 5 - TIME OF COMPLETION - The first paragraph of this section shall be deleted and replaced in its entirety to read as follows:

5. TIME OF COMPLETION. This Agreement shall go into effect contingent upon approval by COUNTY, and CONSULTANT shall commence work after notification to proceed by COUNTY. CONSULTANT agrees to complete all tasks listed in the Scope of Services within two (2) years from the Notice to Proceed, no later than December 31 , 2020.

c) ITEM 6-AMOUNT OF PAYMENT- This section shall be deleted and replaced in its entirety to read as follows:

6. AMOUNT OF PAYMENT. As full payment for all services as set forth in Exhibits A 1, C1, and D1 herein, the COUNTY shall pay up to the amount listed based on the budget of each Task as shown in Exhibit "C1 " up to a total maximum sum of TWO HUNDRED THIRTEEN THOUSAND, FOUR HUNDRED SEVENTY-SIX DOLLARS AND 88/100 ($213,476.88) to CONSULTANT as full payment for all services as set forth in

Exhibits A1 and C1 herein. Payment for the CONSULTANT services shall be at the rates and charges as set forth in Exhibit 01 attached hereto and by this reference incorporated herein.

CONSUL TANT shall not be reimbursed for any additional expenses incurred unless prior written approval is given by the COUNTY through a fully executed written amendment. CONSUL TANT shall not undertake any such work without prior written approval of the COUNTY.

All subcontracts in excess of $25,000 shall contain the above provisions.

d) ITEM 7- PAYMENT SCHEDULE-The first paragraph in this section shall be deleted and replaced in its entirety to read as follows:

7. PAYMENT SCHEDULE. Payments shall be made to CONSULTANT as set forth in the Exhibit C1 entitled Payment Schedule, attached hereto and by this reference incorporated herein. CONSUL TANT shall bill COUNTY not more often than monthly for the work performed pursuant to this Agreement. Billing submitted by the CONSULT ANT shall be itemized by work activities (Tasks) as defined in the Scope of Services in conjunction with current cost. This contract shall be based upon actual costs plus a fixed fee. All payment requests will be subject to those items identified in Exhibit C1 . The COUNTY shall review and pay approved charges within 30 days of receipt of the invoice.

e) Exhibit A, SCOPE OF SERVICES, shall be amended to include Exhibit A1 "Scope of Services" attached to this amendment

f) Exhibit C, PAYMENT SCHEDULE, shall be removed and replaced in its entirety with amended Exhibit C1 "Payment Schedule" attached to this amendment.

g) Exhibit D, COST PROPOSAL, shall be removed and replaced in its entirety with amended Exhibit 01 "Cost Proposal" attached to this amendment.

h) All other sections of this PSA, exhibits, and amendments remain unchanged and in full force and effect.

MARTIS VALLEY TRAIL PROJECT PHASE Ill DATA RECOVERY

SCOPE OF SERVICES

CONSULTANT shall provide archaeological services for Phase Ill Data Recovery at CA-PLA-06 for the Martis Valley Segment 38 Project. Construction of the project cannot begin until the Phase Ill Excavation (Task 2) has been completed.

Task 1 - Proiect Management

Task 1.1 Project Meetings Project Delivery Team (PDT) meetings shall be held with COUNTY staff and other representatives, as necessary, to discuss work progress, decisions made, schedule and considerations for the COUNTY. Status meetings shall be held at the COUNTY. CONSULTANT shall prepare the meeting agenda, distribute the agenda prior to the meeting, arrange for appropriate participants to attend, and prepare and distribute the meeting minutes to the participants within five working days after the meeting.

Task 1.2 Project Schedule and Coordination Close contact shall be maintained between the CONSULTANT, all sub-consultants, the COUNTY, project personnel, and regulatory agencies.

Effective communication through in-person visits, focused meetings, telephone calls and e-mails to the COUNTY shall be performed to discuss specific project issues by CONSULTANT. Regular communication with team members, the COUNTY and other agency personnel shall be facilitated through the CONSUL TANT.

Progress Reports shall be submitted monthly to COUNTY. These reports shall include the work performed during that period, a discussion of issues/decisions, recommendations to address issues, budget status, and anticipated work for the following month. The progress report shall be submitted with the monthly invoice. CONSUL TANT is responsible for maintaining cost control for each task, including our sub-consultants.

CONSULTANT shall closely monitor the schedules and discuss updates with the COUNTY as necessary.

Task 1.3 Quality Assurance/Quality Control (Verification and Validation) CONSULTANT senior staff shall review all documentation to ensure quality.

Task 2 - PHASE Ill Excavation

The project shall impact one historic property (CA-PLA-06), previously determined eligible for listing on the National Register of Historic Places/California Register of Historical Resources. CA-PLA-06 is a prehistoric

site that contains data regarding the past lifeways of the Native Americans who inhabited the region. Because the Martis Valley Trail Segment 38 Project would adversely affect the data within CA-PLA-06, mitigation is required in the form of data recovery. CONSULTANT shall be utilizing a sub-consultant, Statistical Research Incorporated (SRI), to assist with the Phase Ill Excavation. Additionally, a paid Native American Tribal Monitor from the Washoe Tribe shall be on site to observe all work during the Phase Ill Excavation.

As stipulated by the Caltrans, CONSUL TANT has prepared a Data Recovery Plan (DRP) for the Martis Valley Trail Segment 38 Project for the affected historic property. The DRP outlines the necessary excavation methods, presents a research design, and details the types of archaeological material needed from CA-PLA-06 to answer the scientific and anthropological questions posed in the research design. Mitigation for the CA­PLA-06 site involves conducting Phase Ill Data Recovery consisting of archaeological excavation to gather scientific information from a prehistoric habitation site on the edge of the Martis Valley. CONSULTANT Archaeological Staff possesses the scientific qualifications, excavation resources, and laboratory resources required to conduct efficient data recovery efforts and artifact analysis efforts. CONSUL TANT shall document the archaeological excavation and analyses findings in a Phase Ill Archaeological Recovery Report (ARR). The DRP and the ARR shall be provided to Caltrans for approval. Once approved, Caltrans shall provide these documents to the State Historic Preservation Officer (SHPO) for review and concurrence. SHPO concurrence is needed to document compliance with Section 106 of the National Historic Preservation Act (NHPA).

The following summarizes the Data Recovery Plan:

Prior to any subsurface exploration, vegetation shall be cleared from the ground surface in the general vicinity where each intended unit or probe shall be placed. Artifacts/features visible after vegetation removal shall be mapped using a GPS unit and photographed. All temporally and technologically diagnostic artifacts shall be collected from the surface. These diagnostic artifacts shall be catalogued and later returned to the site and either scattered on the surface or reburied.

Excavation methodology shall consist of manual and mechanical techniques. All Excavation/Data Recovery Units shall be excavated manually. Units shall be placed within areas determined to likely contain subsurface deposits, as indicated by the results of surface collection or known/previously recorded artifacts.

Excavation/Data Recovery Unit size shall be at a minimum, one meter squared. Excavation units may be enlarged by half-meter and full meter increments in order to better delineate and/or recover features. Units shall be excavated in arbitrary 10-centimeter levels. Excavation of each unit shall stop after two consecutive 10-centimeter arbitrary levels have yielded less than two artifacts or when impenetrable bedrock is encountered. Based on previous archaeological work through the area and based on the geology of the area, archaeological deposits are anticipated to be shallow.

One 4-gallon (equivalent to 1 bucket) soil sample shall be collected from the cultural stratum of each Excavation/Data Recovery Unit. A soil sample shall also be taken from features, collecting a 4-liter sample at minimum, when possible. Feature soil shall be collected separately from the surrounding soil. A control soil sample from a sterile unit level or area outside the demonstrated site boundary shall be taken, to distinguish between natural accumulation and human dietary remains. No fewer than 16 square meters shall be excavated using no less than four Excavation/Data Recovery Units. These units shall be placed in areas of high artifact concentration or in areas of data potential based on features.

Shovel test probes shall be square and be at minimum, half-meter squared. These test probes shall be placed along the proposed trail segment to test for areas of artifact concentration and/or soil horizons indicative of habitation. These units shall also be used to determine the level of disturbance in certain areas

within the CA-PLA-06 (e.g. within the golf course). If the shovel test probes indicate data potential, an Excavation/Data Recovery Unit may be placed in the immediate vicinity. Shovel test probes shall be excavated at arbitrary 10 cm levels. Excavation of each shovel test probe shall stop after two consecutive 10-centimeter arbitrary levels have yielded less than two artifacts or when impenetrable bedrock is encountered. A minimum of five shovel test probes shall be placed within the portion of the site within the golf course. An additional minimum of ten shovel test probes shall be placed along the proposed trail segment along the hill side.

All soil from the units and shovel test probes shall be screened through %-inch mesh. All cultural material remaining in the screen shall be collected in acid free polyethylene bags and labeled according to the level and unit from which it was collected.

Large area scraping shall be achieved by using an excavator or backhoe to scrape large areas to expose potential features. The scraping areas shall be no more than 5 meters wide (width of the proposed trail). Dirt from the scraping area shall be removed using 2-centimeter/1-inch levels. After each bucket scraped, an archaeologist shall visually inspect the trench floor and backdirt for the presence of archaeological material or other indications of nearby buried resources, such as soil color and/or texture change. No dirt shall be screened unless there are positive indications of a cultural deposit. If positive indications of a cultural deposit are observed, material shall be screened through %-inch mesh as described above. Mechanical excavation or hand excavation shall be utilized to determine horizontal and vertical extent of the cultural deposit to assist in the assessment of whether the deposit represents a substantial or an isolated deposit.

Task 3 - Phase Ill Laboratory Analysis

CONSUL TANT shall utilize SRI to perform much of the laboratory analysis; however, CONSUL TANT shall review the results. Debitage may be subjected to obsidian hydration analysis and/or lithic material source analysis (X-ray fluorescence sourcing and analysis). Soil samples shall undergo flotation to determine seed content. Should carbon samples have been collected, these samples shall be sent to the appropriate facility for dating. At the request of the Washoe, no tools shall be subjected to destructive testing techniques.

Draft and final reports shall be prepared which document the data recovery and laboratory methodology and results. The report shall interpret the results of the data recovery program, which emphasis on how the program answered the proposed research questions.

and shall follow the requirements set forth in the Caltrans Environmental Handbook Volume II, Cultural Resources and the Programmatic Agreement among the Federal Highway Administration, the Advisory Council on Historic Preservation, the California State Historic Preservation Officer, and the California Department of Transportation Regarding Compliance with Section 106 of the National Historic Preservation Act, as it pertains to the administration of the Federal-aid Highway Program in California. CONSUL TANT shall prepare the report and compile the sections written by SRI which shall detail the results of their laboratory analysis.

Task 5 - Interpretive Sign Design

Due to the limited scope of the project, public outreach shall take place in the form of informative/education signage placed on the trail. This signage shall provide information on the Washoe Tribe of Nevada and California and their use of the Martis Valley. CONSULTANT shall work with the Washoe Tribe of Nevada and California to design signage to provide information to the public as they walk along the trail. CONSULTANT shall also provide content for a website that would be accessible through a code on the sign. CONSUL TANT shall also help facilitate hosting on either the COUNTY website or a website of the Washoe's choosing.

The COUNTY shall reimburse the CONSULTANT for actual costs (including labor costs, employee benefits, overhead and other direct costs and subconsultant costs) incurred by the CONSULTANT in an amount not to exceed a total maximum sum of $213,476.88. Actual costs shall not exceed the estimated wage rates, employee benefits and overhead costs and other costs set forth in the CONSULTANT'S proposal which is included in Exhibit 01 .

The CONSUL TANT shall be reimbursed for actual travel expenses incurred in the performance of this work in accordance with the policies described in Chapter 12 "Non-State Employee Travel" of Caltrans Division of Accounting "Travel Guide". Reimbursable expenses include the use of private vehicles at the current State Department of Personnel Administration (SDPA) rate while traveling for purposes required for the project. shall be reimbursed for per diem expenses at a rate not to exceed the currently authorized rate for state employees under SDPA rules. Travel and per diem costs are included in the contract amount not to exceed.

The CONSULTANT shall comply with the Cost Principles, Title 48 Code of Federal Regulations (CFR) Chapter 1, Part 31, and Uniform Administrative Requirements, Title 49 CFR, Part 18. Any costs for which payment has been made to CONSULTANT that are determined by subsequent audit to be unallowable under 48 CFR, Federal Acquisition Regulations System, Chapter 1 part 31 et, seq., or 49 CFR Part 18 Uniform Administrative Requirements for Grants and Cooperative Agreements to State and Local Governments, are subject to repayment by CONSUL TANT to COUNTY.

Upon CONSULTANT'S request, COUNTY will make payment of funds withheld from progress payments pursuant to the requirements of Public Contract Code Section 10261 , if CONSULTANT deposits in escrow with an approved escrow agent or with a bank acceptable to COUNTY, securities eligible for the investment of State or County funds under Government Code Section 16430 or bank or savings and loan certificate of deposit upon the following conditions:

a. CONSULTANT shall bear the expense of COUNTY and the escrow agent in connection with the escrow deposit made.

b. Securities or certificates of deposit to be placed in escrow shall be of a value at least equivalent to the amounts of retention to be paid to CONSUL TANT pursuant to this section.

c. CONSULTANT shall enter into an escrow agreement satisfactory to COUNTY, which agreement shall include provisions governing inter alia:

1. the amount of securities to be deposited, 2. the providing powers of attorney or other documents necessary for the transfer of

the securities to be deposited, 3. conversion to cash to provide funds to meet defaults by CONSUL TANT

including, but not limited to, termination of the CONSULTANT'S control over the work, or other amounts to be kept or retained under the provision of the agreement,

4. decrease in the value of the securities on deposit, 5. the termination of the escrow upon completion of the agreement.

NOTES:

1. List direct cost items with estimated costs. These costs should be competitive in their respective industries and supported with appropriate documentations.

2. Proposed items should be consistently billed directly to all clients (Commercial entities, Federal Govt., State Govt. , and Local Govt. Agency}, and not just when the client will pay for them as a direct cost.
