INTRODUCTION
Corporate law Committee organised and hosted two events, A Seminar and a Guest Lecture
as a part of the Decennial Celebration with the aim to impart knowledge in the field of
Corporate Law and bridge the gap between theoretical and practical field in relation to the
same. A detailed report of the same is given below.
REPORT ON THE SEMINAR
SEMINAR ON REGULATING PUBLIC LISTED COMPANIES-ISSUES AND CHALLENGES, 2017
The Corporate Law Committee, School of Law, Christ University, organised a seminar on the
topic „Regulating Public Listed Companies in India : Issues and Challenges‟ as a part of its
Decennial Celebration. This seminar was conducted on 11th
September 2017, between
12:30pm and 5:30pm at Room No. 911, Central Block, Christ University.
This Seminar was organized with the objective to discuss and deliberate the legal regime and
the complex legal issues in the regulation of Public Listed Companies in India, with the help
of experts in the field of Corporate Law. The seminar received an overwhelming response
and was attended by Students, Academicians, Advocates, Company Secretaries, Chartered
Accountants, and several other interested persons from across the country.
The seminar comprehensively covered the following Sub-Themes:
1) The role of Independent Directors in strengthening corporate governance;
2) Prohibition of Insider Trading: Issues and Challenges;
3) Challenges under SEBI Takeover Regulations, 2011;
4) Regulating Intermediaries: Role of SEBI.
Experts in various fields of corporate law comprehensively dealt with each of these sub-
themes. Mr. Yashasvi Mohan Ram, a Partner at Platinum Partners, deliberated upon the sub-
theme “The role of Independent Directors in strengthening corporate governance”. This
session involved discussions on the issues involved in achieving the real objective of
appointing independent directors for corporate governance in the Companies Act, 2013.
Mr. Pramod S.M., a Senior Partner at BMP & Co., presided over the second and third
sessions of the seminar, on the sub-themes “Prohibition of Insider Trading: Issues and
Challenges” and “Challenges under SEBI Takeover Regulations, 2011”. In the second
session, the need for a revamp in the law regulating insider trading, as well as the salient
features of the SEBI (Prohibition of Insider Trading) Regulations, 2015 were discussed. The
third session involved deliberation upon the Takeover Regulations, and their role in meeting
corporate governance requirements during a takeover in order to ensure equality, fairness in
opportunity and transparency.
The last session of the seminar was conducted by Mr. CS Harish, a Manager at Bangalore
Regional Office, Central Depositories India Ltd., who deliberated upon the sub-theme
“Regulating Intermediaries: Role of SEBI”. Highlighting the importance of several
intermediaries in the securities market, including merchant bankers, stock brokers, bankers
and registrars to issues, debenture trustees, portfolio managers, share transfer agents, etc., the
session focused upon the regulation of the same. Several issues such as the need for investor
protection under the existing intermediary regime, lacunae in the law, and the need for
unification and codification of intermediary regulations were addressed.
The seminar was an enriching experience for all students and other participants. Participants
were provided with folders, concept note and stationery. Lunch was provided to all external
participants after the first session of the seminar and snacks were provided after the third
session to all the participants. The seminar was formally concluded by a „Vote of Thanks‟
given by the Convenors of the Corporate Law Committee.

DESCRIPTION OF THE SPEAKERS
1. Mr. Yashasvi Mohan Ram is a partner at Platinum Partners, Bangalore. He
graduated from NLSIU Bangalore in 2001 and completed his MBA at Indian School
of Business Hyderabad. Until 2008 he had been at Platinum partner‟s pre-cursor firm
Daulet-Singh & Associates in Delhi. He then joined Platinum partners in 2010, after
having worked at White and Case‟s Singapore office for a little more than a year.
2. Mr. Pramod S.M. is a Senior Partner at BMP & Co. and is a specialist in corporate
law; mainly corporate compliance and risk management with 17 yrs of experience.
Apart from being a bachelor in law he is also a fellow Company Secretary.
3. Mr. C.S. Harisha is the manager at Bangalore Regional Office Central Depositories
India Ltd. He is also a law graduate and has worked in the field of capital markets for
18 years and has also served as the head of compliance and operations at Bangalore
stock exchange for 9 yrs.

REPORT ON THE GUEST LECTURE The Corporate Law Committee, School of Law, Christ University, organised a guest lecture
on the topic „Corporate Insolvency Process under Insolvency and Bankruptcy Code, 2016‟ as
a part of its Decennial Celebration. This guest lecture was conducted on 12th
September 2017,
between 9:30 am and 12:30pm at Room No. 911, Central Block, Christ University.
The Guest Lecture was organized with the objective to provide a platform for deliberations
and discussions on the reforms brought out as well as the issues and concerns arising out of
the Insolvency and Bankruptcy Code, 2016 with the help of experts in the field of corporate
law. The lecture was attended by all students of the 4th
Year from School of Law, Christ
University.
Experts in the field comprehensively dealt with all aspects of insolvency and bankruptcy law
in India. Mr. Vasanth Kumar, current Chairmen at the Bangalore Chapter of Institute of
Companies Secretaries of India (ICSI) and a qualified Insolvency Professional deliberated
upon the position of law regarding insolvency and bankruptcy prior to the introduction of the
Code. The need for the Code as well as its salient features were also highlighted in this
session.
Mr. Hari Babu Thota,an Insolvency Professional, and Ex-Chairmen at the Bangalore Chapter
of Institute of Companies Secretaries of India (ICSI) was the speaker for the second session
of the guest lecture. In this session, all aspects of the Insolvency and Bankruptcy Code, 2016
were covered in detail and several important details of the code were also discussed.
The final session of the guest lecture was covered by Mr. Dushyanta Kumar, an Insolvency
Professional and currently the Company Liquidator of the United Breweries Ltd. & the
Kingfisher Ltd. He deliberated upon important judicial decisions regarding insolvency and
bankruptcy, as well as the road ahead for the implementation of the Code.
The guest lecture was an stirring and enlightening experience for all student participants, and
was concluded by a formal „Vote of Thanks‟ given by the Convenors of the Corporate Law
Committee.
