SOW-1 Part 1: GENERAL INFORMATION SOW-2 1 PURPOSE SOW-3 1.0-1 This Statement of Work (SOW) and its associated appendices describes the

work the Contractor must provide to the Department of National Defence (DND)/Canadian Forces (CF) under the Contracted Airborne Training Services (CATS) project. The purpose of the CATS project is to deliver Combat Support (CS) services in a live-fly environment required to exercise and train a modern, operationally capable, multi-purpose combat force that will be responsive to Canada’s military needs.

SOW-4 2 BACKGROUND & OVERVIEW SOW-701 2.0-1 In 1999, the Deputy Minister of the Department of National Defence and the

Chief Defence Staff directed that the majority of activities performed by Combat Support CT 133 Silver Star and CC 144 Challenger aircraft be discontinued and that the aircraft be withdrawn from service. CS activities deemed affordable and essential to maintain the CF’s combat capability were to be contracted to industry.

SOW-6 2.0-2 In accordance with the Canada First Defence Strategy, the CF must be a fully integrated, flexible, multi-role, and combat capable military. CS services are required in order to meet CF operational training and readiness requirements.

SOW-7 2.0-3 In the past, CATS has been delivered via a short-term interim solution to deliver Fighter/Attack representative CS and utility platform service components.

SOW-700 2.0-4 CATS will implement a combined CS Contractor and DND solution. The Contractor must provide the airborne platforms, crews, material and associated maintenance support to provide efficient services in accordance with the requirements specified in this SOW. DND will provide Government Furnished Equipment (GFE), such as threat representative equipment, that is otherwise not commercially available to the Contractor and is considered mandatory for the execution of the SOW. Government Furnished Personnel (GFP) for crew and project governance will be provided depending on mission requirements.

SOW-705 2.0-5 It is the responsibility of the Contractor to ensure Contractor’s equipment and aircraft are maintained and updated to meet technological advancements, airworthiness, licensing, and transportation and safety standards of Canada (DND and Transport Canada(TC)), and in accordance with foreign authorities where training missions may be held.

SOW-9 2.0-6 Procurement, finance and administrative support activities are the responsibilities of the Project Team - Contracted Airborne Training Services

(CATS). Technical support activities are the responsibility of the 414 Electronic Warfare Support (EWS) Squadron, where CF Electronic Warfare Officers (EWOs) and pilots reside. Contracting Authority resides with the Department of Public Works and Government Services Canada (PWGSC).

SOW-604 4.1.0-2 The Contractor and its personnel must adhere to all local policies, regulations and Standard Operating Procedures (SOPs) of the Wings/Bases while on any military installations. This includes subcontractors, joint ventures and all others

involved in the performance of the Statement of Work. SOW-605 4.1.0-3 The Contractor must obtain and maintain approvals from all applicable

authorities for all aircraft configurations when operating in United States of America (U.S.) locations and airspace. This may include approvals from DND, U.S. Department of Defence (DoD), Transport Canada (TC), Federal Aviation Administration (FAA), Canada Revenue Agency (CRA), Immigration and Naturalization Service (INS), Citizenship and Immigration Canada (CIC), and State Departments. Contractor must adhere to both civilian and military rules and regulations where applicable.

SOW-31 4.2 Standards SOW-32 4.2.0-1 Technical specifications and standards of aircraft and its ancillary equipment

are addressed in Appendix “1” - Technical Requirements. SOW-33 4.2.0-2 The Contractor must deliver efficient, reliable and quality services in

accordance with the SOW and there must not be any violation of rules, regulations, policies or standards such that services under CATS are jeopardized. Any validated customer complaints reported will be addressed during Performance Review Meetings (PRMs). Recurring or unresolved validated customer complaints will be considered a Contractor performance issue and may be subject to terms and conditions as defined in the Contract.

SOW-34 4.3 Language Requirements SOW-35 4.3.0-1 DND will provide applicable documents and orders in the original language

format available. If bilingual documents are available, the Contractor may request the document be provided in either official languages or both.

SOW-606 4.3.0-2 The Contractor must deliver all documents and records in English. If a Contractor supplied document or record is originally written in French, then the Contractor must deliver the documentation in both English and French at the Contractor’s own expense.

SOW-37 4.3.0-3 DND may translate the documents and records delivered by the Contractor into the second of the two Official Languages of Canada. The Contractor must acknowledge that DND owns any translation and is not required to provide any translation to the Contractor. DND will agree to include any copyright and any proprietary right notice that was part of the original document or record in the translation. DND will acknowledge that the Contractor is not responsible for technical errors that arise as a result of translation carried out by DND.

SOW-38 4.4 Environmental Policies SOW-39 4.4.0-1 The Contractor must adhere to Canadian national and regional environmental

policies and standards, and international and foreign environmental policies and standards while operating aircraft outside of Canada. The Contractor must

adhere to Wing/Base specific Standard Operating Procedures (SOPs) and regulations relating to environmental procedures and practices while operating at DND locations.

SOW-40 4.5 Software SOW-41 4.5.0-1 The Contractor must supply all software (other than that supplied by DND) for

the management and execution of the contract. This includes software that may be required to operate aircraft and/or to configure any equipment in accordance with Appendix 1 - Technical Requirements. The Contractor is responsible for any software upgrades and maintenance that may be required (to Contractor supplied software) during the life of the Contract.

SOW-1020 5 ADDITIONAL WORK REQUIREMENTS SOW-1021 5.0-1 Additional Work Requirements encompass work that is over and above the

current Contract requirements, but within the scope of the Contract. Additional Work that affects the contract deliverables will be implemented in accordance with the procedures for Additional Work Requirement set out in Vol. 2, Resulting Contract Clauses, Section 15, and will be formalized via Contract Amendment and Task Authorization. Once the Contractor agrees to carry out all work required to effect the changes, all costs for this additional work will be negotiated with the Contractor and the Contractor will be entitled to be paid for the additional costs.

SOW-42 5-1 PART II: PROGRAM MANAGEMENT REQUIREMENTS SOW-43 6 PROJECT MANAGEMENT SUPPORT

INFRASTRUCTURE SOW-44 6.1 General SOW-607 6.1.0-1 The Contractor must put in place a Project Management Support Structure that

will provide the planning, direction, co-ordination and control necessary to support the work detailed in this SOW. As a minimum, the Contractor’s Project Management Support Structure must meet the requirements specified in this section.

SOW-609 6.1.0-2 Normal business hours are defined as Monday through Friday from 08:00 to 17:00 hrs Eastern Standard Time (EST), excluding Canadian designated holidays.

SOW-610 6.1.0-3 Contractor representatives at scheduled or unscheduled meetings with DND representatives must have sufficient authority to make or obtain an expeditious decision on behalf of the Contractor.

SOW-615 6.2.0-1 The Contractor must establish and operate a Contractor Project Management Office (CPMO) located in Canada.

SOW-928 6.2.0-2 The CPMO must be led by the Contractor Project Manager (CPM) who will oversee the management of CATS. The CPMO will be the single point-of-contact for the management of this Contract and will at minimum include a Contract Scheduling Cell.

SOW-929 6.2.0-3 The Bidder must provide an organizational structure with defined roles and responsibilities.

SOW-950 6.2.1 CPMO Organizational Structure SOW-617 6.2.1.0-1 The CPMO must be formed no later than 14 calendar days after contract award

date and must be maintained for the life of the Contract. The description of the organization structure must, at a minimum, contain the following information:

SOW-618 6.2.1.0-2 The title, roles and responsibilities associated with each position within the CPMO structure;

SOW-619 6.2.1.0-3 The security clearance required to fill each position; SOW-620 6.2.1.0-4 The name and contact information of individuals filling each position of the

CPMO at any particular time; and SOW-621 6.2.1.0-5 Identify the level of dedication, by percentage of time allocated to DND

activities, of each position in the CPMO organizational structure. SOW-623 6.2.1-1 There may be instances where certain positions within the CPMO would only be

required during a particular phase of the project (e.g. during contract implementation phase). The CPMO organization structure must clearly indicate which positions will only be part of the CPMO for a specific period of time or if the position would be for the duration of the Contract.

SOW-624 6.2.1-2 CPMO must operate during normal business hours. SOW-917 6.2.1-3 In order to respond to special situations, the CPMO must be responsive outside

of the normal working hours when required. SOW-58 6.3 Contractor Scheduling Cell SOW-625 6.3.0-1 The Contractor must provide real-time, person-to-person scheduling support to

be responsive 24/7 a minimum of 72 hours prior to the commencement of the exercise deployment and until its completion. The Contractor scheduling cell must have authority to schedule and assign Contractor aircraft and crews in response to DND requirements.

SOW-60 6.4 Project Management Plan (PMP) SOW-627 6.4.0-1 The Contractor must prepare a Project Management Plan (PMP) detailing how

the Contractor will manage and control the execution of CATS. The Contractor must deliver the PMP to the Technical Authority within 60 calendar days after contract award.

SOW-628 6.4.0-2 DND will review the PMP and provide comments within 45 calendar days of receipt, unless the Contractor is notified otherwise. The Contractor must make changes to the PMP as requested within 15 calendar days of receiving DND written comments in order to obtain DND’s written approval of the document.

SOW-629 6.4.0-3 The PMP must be maintained and updated annually to reflect any agreed upon changes to operational procedures. An updated plan must be submitted to DND once annually within 60 calendar days of the anniversary date of contract award. DND may also request updates to the PMP more frequently as required by DND. An example being that as per the Transition Plan, the PMP is expected to be updated at Initial Operational Capability (IOC) and Full Operational Capability (FOC). Changes to the PMP must be approved by DND.

SOW-630 6.4.0-4 Once the PMP is approved by DND, the Contractor must implement the PMP in accordance with the specific target date and must follow the procedures and/ or standards set out in the PMP. If deviation from the PMP is required before the annual PMP review date, the Contractor must submit the reasons for deviation, the impact on service delivery and recommendations for resolution to DND for review and approval before deviation from procedures may take place.

SOW-951 6.4.1 Project Management Plan Structure SOW-631 6.4.1.0-1 The PMP structure must, at minimum, detail project milestones, project

management and control procedures, project organizational structure, financial management framework, quality management plan, risks and mitigation strategies, training programs (for DND personnel or Contractor staff as applicable), qualifications maintenance program, DND owned equipment control and storage procedures, flight safety program (including incident reporting procedures), general safety program, and describe how issues/complaints will be dealt with during the life of the Contract. The PMP is expected to include but is not limited to the following sections:

SOW-901 6.4.1.0-2 General Administrative section: The PMP must detail the Finance and Administration support, Operational Support, Training support and Scheduling support structure that will be maintained throughout the life of the Contract;

SOW-632 6.4.1.0-3 Security Management Plan section detailing how the Contractor will maintain personnel security clearances, physical security of facilities, security of classified material (including data), and security of any government furnished equipment (GFE). This plan will also outline how the Contractor will communicate with applicable DND, Canadian government and other government organizations to ensure personnel are permitted to work at the security level required and have access to needed areas for work in any tasking

location; SOW-633 6.4.1.0-4 Safety Management Plan section, detailing how the Contractor will maintain

workplace safety, manage any hazardous materials (HAZMAT), conduct flight safety programs, provide a system for control, calibration, currency and quality of tools and equipment, and adhere to environmental protection regulations. It will also include plans and procedures for incidence response and reporting;

SOW-634 6.4.1.0-5 Maintenance Management section, describing all levels of maintenance, effort, time and parts supply over the life of the Contract. It must address scheduled and unscheduled maintenance, major and minor repairs at the deployed location, provide details on how the supply chain between locations and the parts availability will be addressed, movement of aircraft and personnel for maintenance reasons, mobile repair parties etc., and how it will be reported. The section must estimate the frequency of repairs/maintenance at main repair facilities and at deployed locations and must ensure sufficient aircraft will always be available for the performance of the Contract. The Maintenance Management Section must provide details on aircraft availability/serviceability, scheduled and unscheduled maintenance/inspections, Engineering Support for Non-Standard Repairs, Aircraft Maintenance Support Equipment (AMSE), Tools/Facilities, and Training/Qualification of Technicians. This section must provide details on how the obsolescence of parts/systems and engineering support for design changes and new technology integration will be addressed.

SOW-635 6.4.1.0-6 Human Resources Plan section, covering how the Contractor will manage its workforce, with an emphasis on aircrew and maintenance staff in the areas of recruiting, training, retaining staff levels and maintaining current qualifications to facilitate the execution of Task Authorizations; and

SOW-636 6.4.1.0-7 Quality Management section, the plan must be kept current with annual updates throughout the period of the Contract. As a minimum, this plan must demonstrate that the Contractor meets and maintains airworthiness requirements, commercial maintenance standards, staff qualification certification requirements, and all commercial and DND flight safety requirements;

SOW-1000 6.4.1.0-8 Risk Management section that provides a plan to identify potential risks to project operations, missions and assets and to document them in a register and/or tracking system. Potential risks must be identified by type, degree of risk and cost, influencing factors, impact and probability. The plan must include alternatives for mitigating risks, developing and implementing control procedures.

SOW-639 6.4.1.0-9 Implement a General Safety Program. The Contractor must detail the implementation of the general safety program in accordance with the (CF) A-GG-040-001/AG-001 & DAOD 2207-1 orders on safety, as well as, perform any

other activities the Contractor considers necessary to meet this requirement and the performance standard. The program shall be reviewed annually and any revisions must be submitted as part of the annual update with the PMP for review and acceptance by DND. The Contractor must implement and must ensure all Contractor personnel and DND personnel are made aware of the safety program. Non-compliance with the plan could potentially lead to a temporary cessation of flying activities.

SOW-640 6.4.1.0-10 Report Accidents and Incidents. The Contractor must establish a procedure for accident and incident identification, reporting, investigation analysis of hazardous occurrences, and recommendations made to prevent recurrences in accordance with the (CF) A-GG-040-001/AG-001. All accidents and incidents must be reported immediately and by the most expeditious means.

SOW-913 6.4.1.0-11 Aircraft Structural Integrity Monitoring Plan (ASIMP)/Expired Estimated Life Expectancy (ELE) Update. To be submitted as part of the annual update with the PMP, the Contractor must review the ASIMP/ELE of all aircraft used for the provision of this Contract for the upcoming year and must provide details on how aircraft structural integrity monitoring, inspections and repairs will be addressed. In the event that the ELE of the aircraft expires earlier than originally anticipated, the Contractor must submit a revised proposal on how the Contractor intends to address the issue for approval by DND with the annual PMP submission.

SOW-1015 6.4.1.0-12 Supportability and Sustainability Update. To be submitted as part of the annual update with the PMP, the Contractor must review the supportability and sustainability of all aircraft used for the provision of this Contract for the upcoming year. In the event that the aircraft is unsupportable and / or unsustainable for the provision of this Contract, the Contractor must submit a revised proposal on how the Contractor intends to address the issue for approval by DND with the annual PMP submission.

SOW-73 7 TRANSITION PERIOD SOW-74 7.1 General Information SOW-883 7.1.0-1 Transition is defined as the date of contract award until the Contractor reaches

Full Operating Capability (FOC). SOW-641 7.1.0-2 It is envisioned that the Contractor will not be capable of delivering all the Work

described in the SOW immediately following contract award. As CS services provided under Contract are vital to the ongoing operations of the CF and a gap in services is not acceptable, the Contractor must carry out a Transition Plan that conforms to the details outlined below.

SOW-642 7.1.0-3 An updated Transition Plan, including milestones and delivery dates, must be provided to DND a maximum of 30 calendar days following contract award. DND will review the plan, identify changes as required and provide comments to the Contractor within 15 calendar days of receipt. The Contractor must make modifications to the plan as requested by DND and return it to DND for final review and acceptance, a maximum of 10 calendar days following receipt of DND comments.

SOW-643 7.1.0-4 Amendments to the Transition Plan may be required after it has been accepted by DND, either at the request of the Contractor or Canada. In the event that DND requests an amendment, the Contractor must make the amendment to the plan as requested by DND. In the event the Contractor requests an amendment, the Contractor must clearly identify what changes are required, the reasons for the changes, impact on schedule and delivery of service and any other items that will directly or indirectly impact the project. DND is not obliged to accept any changes to the Transition Plan proposed by the Contractor once it has been approved and it is up to the Contractor to find mutually acceptable solutions.

SOW-952 7.1.1 Transition Plan SOW-644 7.1.1.0-1 At minimum, the Transition Plan must address each of the following areas

identified below: SOW-949 7.1.1.0-2 The Transition Plan must identify dates in which each item will be delivered or

achieved, how they will be achieved, the roles and responsibility of the Contractor, the department or organization involved (e.g. United States Department of Defence, DND, PMO CATS, etc.), and any possible issues that might arise during the Transition Period in order to meet Initial Operational Capability and Full Operational Capability in accordance with the SOW.

SOW-646 7.1.1.0-3 Initial and final delivery of aircraft (the Contractor may deliver additional aircraft after the transition period, provided that it satisfies the mandatory requirement in delivering the number of concurrent lines of tasking required for IOC and FOC);

SOW-647 7.1.1.0-4 Maintenance, delivery and tracking of Aircrew Life Support Equipment (ALSE); SOW-648 7.1.1.0-5 Configuration plan for aircraft and equipment, including GFE; SOW-650 7.1.1.0-6 Transport Canada licensing and CAR 702 as applicable; SOW-652 7.1.1.0-7 Accommodation and co-location with Wings and/or commercial venues at

Primary Service Delivery Locations (PSDLs); SOW-654 7.1.1.0-8 Availability of Contractor pilots and crew; SOW-656 7.1.1.0-9 Training plan and schedule for DND EWOs and personnel;

SOW-657 7.1.1.0-10 Approval associated with ITAR and Controlled Goods Regulations; SOW-649 7.1.1.0-11 Airworthiness certification and; SOW-930 7.1.1.0-12 DND/CF granting authority to operate certification. SOW-659 7.1.1-1 During the Transition Period, and until the Contractor reaches FOC, DND may,

at its sole discretion utilize another service, contracted or otherwise to provide CS services as described in the SOW. The Contractor should expect that Tasks authorized during the Transition Period will not reach full capacity.

SOW-910 7.1.1-2 During the Transition Period, DND may, at its sole discretion, issue a Task Authorization to the Contractor for the provision of CS training services before IOC is reached provided that the Contractor has one or more aircraft meeting all the of the requirements (including all certifications and licensing) set out in the Contract for performing CS training services. However, there will not be any requirement to fulfill minimum number of lines of tasking until IOC.

SOW-911 7.1.1-3 DND will only issue a Task Authorization if it determines the Contractor has the capacity to successfully meet the requirements for the mission type(s) identified in the Task Authorization. The Contractor and/or the aircraft to be tasked must have the following before the Task Authorization can be issued, including:

· a CAR 702 Air Operator Certificate (AOC) from TC; · approved Operating Documentation (e.g. Aircraft Flight Manuals (AFMs), Aircraft Operating Instructions (AOIs), etc.); · approved Training and Standards program; · approved Maintenance program and procedures; · approved Logistics plan; · a Provisional Technical Airworthiness Clearance (PTAC) issued by DND; · a Provisional Operational Airworthiness Clearance (POAC) for the GFE(s) required for the Task; · aircraft modifications in accordance with the instructions found in the PTAC/POAC covering the GFE installations and tested in accordance with approved Operational Testing & Evaluation (OT&E) program; and · the required Aircraft Familiarization Training provided to the EWOs.

SOW-660 7.1.1-4 It is the Contractor’s responsibility to negotiate Service Level Agreements with

Wings of PSDLs and maintain them for the duration of the Contract period. SOW-661 7.1.1-5 It is in the Contractor’s best interest to liaise with the existing CATS service

provider to facilitate a seamless transition in order to minimize interruption during the Transition Period such that a gap in service does not occur.

SOW-844 7.1.1-6 The Contractor must make each type of aircraft available to Defence Research and Development Canada (DRDC) to conduct anthropometric data gathering. Sufficient time must be allowed to conduct this process and for results to be promulgated prior to achievement of IOC.

SOW-95 7.2 GFE during Transition Period SOW-662 7.2.0-1 During the Transition Period, the Contractor must conduct testing and produce

the documentation demonstrating the safe integration of government furnished EW pods, towed targets, and air combat manoeuvring instrumentation compatible with CF systems. The Contractor must be able to load, integrate, carry and operate the pods in accordance with technical specifications, regulations, and loan agreement arrangements.

SOW-741 7.2.0-2 During the Transition Period, the Contractor must provide the required technical documentation and test data to obtain a certification from Transport Canada Civil Aviation (TCCA); followed by a Provisional Technical Airworthiness Clearance (PTAC) and a Provisional Operational Airworthiness Clearance (POAC) from DND. These clearances will be necessary to carry and operate GFE. In order to obtain a PTAC, the Contractor will be required to provide Temporary Installation Instructions(TII), Operating Instructions, Standard manoeuvre Manual/Guide (if applicable), aircraft checklist and special equipment operating instructions. Technical documentations will also include maintenance procedures, maintenance checklists and training program for maintenance personnel.

SOW-742 7.2.0-3 During that period, the Contractor must provide and maintain aircraft harnesses, racks, pylons and any other carriage requirements, specific to the Contractor's airframe required to carry and operate GFE; wiring bundles (control, power, and antenna), and connectors required to operate GFE; and the required power supply including invertors meeting technical specifications to operate GFE. The Contractor must also provide and maintain the supporting tools and fixtures as required for connecting the GFE to the aircraft.

SOW-743 7.2.0-4 Early in the Transition Period, DND will provide access and use of the GFE for the Contractor to carry out testing in order to obtain clearance authorization as required after award of the contract. DND will provide training to the Contractor in the proper operation of the GFE as required, to meet the mission objectives, including the provision of any manuals and written instructions. DND will also provide the Interface Control Documentation (ICD) for GFE systems. These documents are furnished to the Contractor for reference only. They are only to be used to help the Contractor determine the level of effort required to integrate GFE into their solution. DND will ensure that the GFE remains in proper working condition throughout the test.

SOW-744 7.2.0-5 DND will provide shipping, receiving, storage, carts, jacks or Aircraft

DND will provide GFE maintenance, spares, technical support, configuration and data loading/downloading pre and post mission. DND will cover actual repair or replacement of GFE unless damage or loss is due to Contractor. Terms and Conditions provided at the time of the loan will govern.

SOW-97 7.3 Training during Transition Period SOW-663 7.3.1 EWO Aircraft Familiarization Course SOW-919 7.3.1.0-1 During the Transition Period, the Contractor must develop, implement and

provide an initial Aircraft Familiarization (Famil) Course for CF EWOs. This course must enable EWOs to become knowledgeable with the Contractor’s aircraft and equipment. The course must include hands-on time with all equipment, and provide handouts of items such as checklists. It must cover the basic aircraft systems and must include description and training on the use of Night Vision Goggles (NVGs) if required, the use of Aircrew Life Support Equipment (ALSE) kit, parachute hang, ejection seat check, wet dinghy training and Egress procedures for the proposed course. DND has the right to reproduce all material presented, stated or handouts from the course. The course is to be held at a training facility to be determined by DND, unless the Contractor has a designated training facility at a location acceptable to and at no additional expense to Canada.

SOW-921 7.3.1.0-2 The Contractor must ensure the aircraft famil course provided during the Transition Period covers the Ground School topics identified in 16.2.2 of the SOW - DND Aircrew Training.

SOW-922 7.3.1.0-3 The Contractor must provide in-flight training to the CF EWOs on the EWO's first exercise on the EW aircraft. Canada may raise a Task Authorization for the sole purposes of in-flight training if no exercises are scheduled.

SOW-920 7.3.1.0-4 With the exception of in-flight training, the Contractor must provide the first aircraft famil course to train up to five (5) CF EWOs. The first aircraft famil course must be completed prior to the issuance of the first Task Authorization for EW mission or IOC, whichever is earlier. It is expected that Four (4) more aircraft famil courses, each course allowing training of five (5) CF EWOs, will be required in order to bring the number of EWOs qualified on the aircraft to 25.

SOW-745 7.3.2 CF Standards Pilots Course SOW-776 7.3.2.0-1 During the Transition Period, the Contractor must develop, implement and

provide a training course for the CF Standards Pilots. The Contractor must provide one initial course for the Standards pilots for each aircraft platform proposed. The Standards pilots will oversee the operations for the fleet of aircraft for which he is qualified. The training must be of the same duration and

of a comparable quality to the training received by the Contractor pilots. The training must include description and training on use of ALSE kit, parachute hang, ejection seat check if required for the aircraft proposed, emergency egress, wet dinghy training, and NVG (if applicable). NVG training must be compliant with Radio Technical Committee for Aeronautics/ Document- RTCA/DO-268. With the exception of in-flight training, training must be completed prior to IOC.

SOW-99 7.4 Initial and Full Operational Capability SOW-100 7.4.0-1 The Initial Operational Capability (IOC) is defined as the attainment of the

capability to successfully deliver all capabilities as defined in this SOW and the number of concurrent lines of tasking required for IOC as stated in Table 6.4.1.0-1.

SOW-780 7.4.0-2 All aircraft required at IOC must be capable of carriage and operation of the GFE listed in the table below, as detailed in this SOW.

SOW-101 7.4.0-3 The Full Operational Capability (FOC) is the ability to deliver all capabilities and obligations as defined in the Contract. This includes delivery of the required infrastructure, training, staff and support as detailed in this SOW. FOC must be maintained throughout the life of the Contract including option periods.

SOW-781 7.4.0-4 The Contractor must achieve IOC for each mission type within the number of months following contract award as identified in the Table 6.4.1.0-1 below. The Contractor must achieve FOC within 12 months following IOC certification.

SOW-158 7.4.1-1 In order to achieve FOC, the Contractor must demonstrate they are able to perform all the services and deliver all documentation and program requirements as stated in the Contract. The Contractor must receive certification from both TCCA and DND, that the status of all the items identified in this section (Transition Period) has reached full capability.

SOW-1002 7.4.1-2 DND has the sole discretion final authority to confirm/ certify whether the Contractor has reached IOC and FOC.

SOW-159 7.5 Transition-OUT Plan SOW-160 7.5.0-1 The Contractor must deliver a Transition-OUT plan either (i) prior to the end of

the contract period or (ii) in the event that the Contract is terminated in accordance with the terms and conditions of the Contract. DND will advise the Contractor as early as possible when a Transition-OUT plan is required. The plan must address at minimum, the details requested in the Transition-IN plan, but in the form of how the Contractor will phase-out the service. DND will provide further details and parameters as operational and technological requirements changes will likely affect the details required in the Transition-OUT plan.

SOW-161 7.5.0-2 The Transition-OUT plan must be delivered to DND for review within 90 calendar days of written notification from DND that such a plan is required. DND will review and the Contractor must revise the plan as required until approval is granted by DND. Once approved, the Contractor must implement the plan in accordance with the approved document.

SOW-162 8 TECHNOLOGICAL CHANGES SOW-163 8.1 General Information SOW-164 8.1.0-1 The Contractor must carry out all modifications, upgrades and provision of

equipment that may be required in order to meet obligations of the Contract, at no additional cost to Canada. This will include, but is not limited to modifications or upgrades to aircraft, aircraft configuration requirements and provision, maintenance and modifications of all upgrades or replacement of ALSE to ensure compliance with legislated standards (including safety), certification, licensing and airworthiness throughout the life of the Contract.

SOW-167 8.1.0-2 In the event the Contractor determines modification and/or upgrade to its equipment is required in order to take advantage of technological advancements at its own cost, the Contractor must carry out an impact assessment at no cost to Canada. At minimum, the impact assessment must detail the modifications and upgrades to be done, resource impact, cost impact, training impact, potential downtime and configuration issues affecting DND. Canada is not obliged to accept any of the Contractor’s proposed upgrades, particularly in cases where DND operations may be jeopardized or if impact on DND resources is significant. In addition, there cannot be a gap in service as a

result of Contractor induced modifications and upgrades. SOW-165 8.1.0-3 GFE: DND may introduce new GFE equipment or add additional GFE for use

in support of the SOW during the Contract period. The Contractor must carry out modifications or upgrades required in order to accommodate new equipment requirements. In such cases, DND will follow the Task Authorization process and the Contractor will be reimbursed in accordance with the terms and conditions of the Contract.

SOW-166 8.1.0-4 Revised DND/CF priorities and new technologies introduced to the CF environment may require modifications to the SOW. The Contractor will carry out modifications and upgrades at the request of DND through the Task Authorization process. Canada may request the Contractor provide impact assessments on these modifications and upgrades; however, Canada will not be obliged to implement any modifications.

SOW-168 8-1 PART III: ASSET REQUIREMENTS SOW-169 9 DND AIRWORTHINESS PROGRAM SOW-170 9.1 The Contractor must: SOW-171 9.1.0-1 Maintain Technical and Operational Airworthiness approvals for the life of the

Contract. Documentation must be maintained throughout the period of the Contract and must be made available upon request. All evidence of testing and airworthiness described below must be provided in writing and signed by a qualified aeronautical/mechanical or electrical engineer supplied by the Contractor;

SOW-172 9.1.0-2 Adhere to the Memorandum of Understanding (signed June 2006), or the most current approved MOU, between DND and Transport Canada Civil Aviation (TCCA) as part of the approval process;

SOW-173 9.1.0-3 Maintain approval to operate Contractor aircraft with GFE within Canadian and United States airspace in order to conduct missions as tasked. This includes all Transport Canada (TC) and DND approvals, certificates and licenses necessary to load, carry and operate the stated GFE found in the GFE list. Documentation must be made available upon request, which clearly shows TC and DND approval for the life of the Contract;

SOW-174 9.1.0-4 Provide evidence of Electro-Magnetic Interference (EMI)/Electro-Magnetic Compatibility (EMC) testing to demonstrate that the carriage of the appropriate GFE pod on the Contractor’s aircraft is safe;

SOW-175 9.1.0-5 Provide evidence of aerodynamic testing to demonstrate that the carriage of the appropriate GFE pod on the Contractor’s aircraft is safe;

SOW-176 9.1.0-6 Provide evidence of aerodynamic testing to demonstrate that the towing of targets by Contractor aircraft is safe; and

SOW-177 9.2 The Contractor must provide evidence that either: SOW-178 9.2.0-1 An active (i.e. weight-on-wheels) interlock is fitted to each aircraft to ensure that

EW equipment cannot emit while the aircraft is on the ground; or SOW-179 9.2.0-2 Aircraft is fitted with capability with clear instructions to operators to ensure that

EW equipment cannot emit while the aircraft is on the ground. The Contractor must provide copies of supporting TC and DND documentation when requested.

SOW-180 9.2-1 The Contractor aircraft must adhere to DND and TCCA airworthiness regulations and approval processes as appropriate.

SOW-181 9.2-2 The Contractor must provide standard civilian Certificates of Airworthiness (C of A) obtained through TCCA, for all Canadian-licensed aircraft to be used to fulfill the contract. In addition, the Contractor must provide all Supplementary Type Certificates (STC), Limited Supplementary Type Certificates (LSTC), Aircraft Flight Manual (AFM) and maintenance supplements pertaining to the different modifications to the aircraft. Finally, the Contractor must obtain DND approval for any military aspects of the modifications.

SOW-182 9.2-3 The Contractor must obtain Special C of A through TCCA for any ex-military aircraft employed to fulfill the requirements of the Contract. The Contractor must also obtain DND approval for the modifications to the aircraft and for any military specific aspects of the modifications.

SOW-183 9.2-4 These processes should result in a Temporary Authority to Operate (TAO) that authorizes the Contractor to conduct military missions for DND. The Contractor must complete the airworthiness processes for both civilian and ex-military aircraft prior to achieving IOC.

SOW-184 9.2-5 The Contractor should contact TCCA for further information regarding the airworthiness process and its requirements.

SOW-734 10 AIRCRAFT REQUIREMENT SOW-735 10.1 General SOW-736 10.1.0-1 Aircraft capability requirements are detailed in Appendix 1 - Technical

Requirements. SOW-737 10.2 Aircraft Serviceability SOW-912 10.2.0-1 The age of the airframe of any of the aircraft must not exceed 50 years by

March 31, 2031. SOW-1016 10.2.0-2 If the age of the airframe of any of the aircraft exceeds 50 years by March 31,

2031, the Contractor aircraft must be replaced at the Contractor’s expense. SOW-1017 10.2.0-3 The Contractor must ensure that the structural integrity/ELE of the aircraft

proposed will last for the life of the Contract (including option periods) with no

gap in service. SOW-739 10.2.0-4 If any aircraft ELE will expire during the life of the Contract, the Contractor must

provide a solution to explain how the aircraft ELE will be extended until the end of the Contract, at the Contractor’s expense. The solution may include aircraft repair or upgrade or the introduction of a new fleet, in order to extend the ELE.

SOW-1018 10.2.0-5 The Contractor must maintain the structural integrity of the fleet for the duration of the Contract. The Contractor must possess the capability, or have a written agreement with a sub-contractor, to develop an Aircraft Structural Integrity Management Plan (ASIMP), IAW the Technical Airworthiness Manual (TAM) C-05-005-001/AG-001, and execute associated activities throughout the contract duration and option years. Capability is defined by having the knowledge, experience, tools, and access to engineering data (Intellectual Properties).

SOW-738 10.2.0-6 The Contractor must ensure that the aircraft remains supportable and sustainable throughout the life of the Contract (including option periods) with no gap in service.

SOW-185 11 SAFETY AND SECURITY SOW-186 11.1 Safety Provisions SOW-187 11.1.0-1 Safety is of the highest concern for the CF and DND, especially while

conducting flying operations. The Contractor must place the highest emphasis on safety while carrying out the work defined in this SOW. Non-compliance with safety could potentially lead to a temporary cessation of flying activities. Any personnel who violate DND rules and regulations may be banned from DND property and airspace.

SOW-188 11.1.0-2 The Contractor, Contractor personnel and any sub-Contractors/sub-Contractor personnel must adhere to all applicable DND rules and regulations while conducting this SOW on behalf of DND. Any personnel who violate DND rules and regulations may be banned from DND property and airspace.

SOW-189 11.1.0-3 All Contractor personnel and any sub-Contractors/sub-Contractor personnel must comply with applicable federal, provincial, and international (where applicable) laws and regulations.

SOW-190 11.2 Safety Program SOW-191 11.2.0-1 The Contractor must develop and implement a general safety program in

accordance with the (CF) A-GG-040-001/AG-001 & DAOD 2207-1 orders on safety, as well as perform any other activities the Contractor considers necessary to meet this requirement and the performance standard. The Contractor must ensure that all Contractor and DND personnel are aware of the Contractor’s Safety Program. Non-compliance with the plan could potentially lead to a temporary cessation of flying activities.

SOW-675 11.2.0-2 The Contractor must adhere to standard operating and environmental

procedures while operating on DND military installations. The Contractor must declare and provide details of all company provided consumables that may need special disposal (petroleum oils lubricants (POL) products, explosives, and pyrotechnics) and any other Hazardous Material (HAZMAT). The Contractor must provide details of emergency egress procedures and precautions to crash rescue crew (e.g. HAZMAT, battery disconnection, and ejection seat pin location).

SOW-676 11.2.0-3 The Contractor must provide aircraft brakes operator and “wing walkers” when towing aircraft.

SOW-192 11.2.0-4 The Contractor must implement and maintain an Aircrew Information File (AIF) program. The Contractor must maintain an AIF to ensure that Contractor aircrew are provided with items of immediate aircrew interest from a central source. This program should be similar to 1 Canadian Air division orders, Vol. 2, 2-002 (or the most current orders). Information placed in the AIF must be limited to safety or operational information requiring prompt attention. All Contractor aircrew must review and "sign off" the entire AIF before commencing flying operations. Prior to each flight, Contractor aircrew must ensure that unread entries are reviewed and signed.

SOW-706 11.2.0-5 The Contractor must ensure that all AIF entries are reviewed at least once annually. Any item that has been promulgated in company publications or which is no longer relevant must be deleted from the file. Any AIF regarding flight safety must be followed up with flight safety investigation findings. AIFs related to operations involving CF members will be provided to DND for inclusion in 414 (EWS) Sqn AIFs. DND will provide the Contractor with any AIFs produced by 414 (EWS) Sqn and relating to these operations.

SOW-195 11.3 Flight Safety Program SOW-196 11.3.1 The Contractor must: SOW-197 11.3.1.0-1 Develop, integrate and promote an efficient flight safety program in order to

minimize loss of resources and maintain operational capability and mission effectiveness. The Contractor must not violate any safety codes or regulations;

SOW-198 11.3.1.0-2 Provide a Flight Safety Program. The flight safety program must meet the goals as specified in A-GA-135-001/AA-001 - Flight Safety for the Canadian Forces. The final plan must (i) designate who will act as the Contractor flight safety officer (and alternate) and describe activities, procedures, assignment of responsibility and authority; (ii) address maintenance and flight operations, as well as preventative and corrective procedures; and (iii) be made available to the Contract Employment Authority (CEA) upon request;

SOW-199 11.3.1.0-3 Implement the flight safety program. Flight and general safety information must be distributed, or otherwise made available to Contractor staff. Implementation must include attendance at the annual DND directorate of flight safety conference, held in Ottawa, Ontario and participation in the wing Flight Safety

Program for each PSDL; SOW-200 11.3.1.0-4 Report all accidents and incidents immediately, by most expeditious means, to

the Contract Employment Authority Designate (CEAD) as identified in the Task Authorization;

SOW-201 11.3.1.0-5 Respond to the Directorate of Flight Safety (DFS) in a timely manner in order to assist in the conduct of flight safety surveys. Flight safety surveys must be in accordance with Annex A to A-GA-135-001/AA-001 - Flight Safety for the Canadian Forces. Assistance required for flight safety surveys includes providing access to all facilities to be inspected, providing information requested by the project authority regarding the services being inspected, and providing access to Contractor personnel involved with flight;

SOW-202 11.3.1.0-6 Respond to DFS in a timely manner and assist in the conduct of flight safety investigations. The DFS and/or Transportation Safety Board (TSB) must be the convening and coordinating authority in the event of an accident. Flight safety investigations must be in accordance with A-GA-135-001/AA-001 - Flight Safety for the Canadian Forces. Assistance to flight safety investigations includes: providing the Contractor flight safety officer as a member of the investigative team; providing the Contractor personnel involved with investigation-related services as members of the investigative team; providing access to all facilities to be inspected; and providing information requested by the CEA regarding the services being inspected;

SOW-203 11.3.1.0-7 Where no credible explanation for an incident can be provided and where the severity of the incident has the potential to be considered as either an accident, an aircraft accident or an incident that involves aero-medical implications, the Contractor must provide the required bodily samples of all Contractor personnel, employees or subcontractors involved in the incident. A DND representative will witness the collection of samples and receive samples for testing.

SOW-884 11.3.1.0-8 Ensure that all aircrew personnel comply with the provisions of A-GA-135-001/AA-001 Flight Safety for the Canadian Forces.

SOW-204 11.4 Security Requirements SOW-207 11.4.0-1 The Contractor must have established security clearances for personnel having

access to and the storage of Operational Concept and Doctrine, Tactical Standard Operating Procedures (SOPs) that meet the security requirements of this Contract.

SOW-214 11.4.0-2 The Contractor must safeguard and store all data/information at the necessary classification levels. This includes information intercepted, recorded, or provided to the Contractor for debriefs, analysis and Operational Test and Evaluation (OT&E) support requirements.

SOW-215 11.5 Personnel Security Requirements SOW-216 11.5.0-1 The Contractor must obtain and maintain all security clearances and security

approvals necessary to be able to deliver all elements of this Statement of Work for both the Contractor and any subcontracted organizations and for all relevant personnel in accordance with the Contract.

SOW-218 11.5.0-2 If security passes are required to enter a DND Wing or facility, it is the Contractor's responsibility to obtain them from that Wing or facility. This applies in all cases, whether attending conferences, meetings briefings, debriefings, conducting missions, or conducting on-site maintenance.

SOW-220 12 QC/QA, AUDITS AND INSPECTIONS SOW-221 12.0-1 The Contractor must meet the following Quality Control (QC)/Quality Assurance

(QA), Audits and Inspections requirements. SOW-222 12.0-2 The Contractor must assist with the implementation of the Government (DND)

Quality Assurance (GQA) plan. DND will implement a Quality Assurance (QA) process for the delivery of CATS. The Contractor must provide the DND Quality Assurance Representative (QAR) with the accommodation and facilities required for the proper accomplishment of QA and must provide any assistance required by the QAR. The QAR must have right of access to the Contractor and sub-Contractor(s) facilities where any or part of the SOW is being performed.

SOW-223 12.0-3 The Contractor must provide assistance and co-operate in all inspections, internal reviews and audits (operational and administrative) conducted by DND or other authorized agents by providing personnel data and any information as required. It is expected that the Contractor will pass all audits the first time. If deficiencies are found during audits, the Contractor must respond within 48 hours of receiving notification and must correct the deficiencies immediately. DND will, at minimum, carry out a pre-initial-tasking audit and airworthiness inspection.

SOW-224 13 AIRCREW LIFE SUPPORT EQUIPMENT (ALSE) SOW-682 13.0-1 The Contractor must provide all ALSE for Contractor aircrew and CF aircrew to

fly in and operate Contractor aircraft and conduct all levels of maintenance required as per the manufacturer's guidelines for all ALSE and communication equipment. Details of ALSE requirements are specified in Appendix 1 - Technical Requirements.

SOW-227 13.0-2 The Contractor must also provide storage and maintenance facilities for ALSE in a location within 15 km radius (unless otherwise agreed to by DND) of the Macdonald-Cartier International Airport in Ottawa, Ontario and must be accessible to DND personnel at any time in order to allow EWOs to obtain ALSE equipment needed for missions. The ALSE location must be available prior to commencement of any flying operations and for the duration of the

Contract. SOW-228 13-1 PART IV: SERVICE REQUIREMENTS SOW-229 14 CONTRACTOR RESPONSIBILITIES SOW-230 14.1 The Contractor must: SOW-683 14.1.0-1 Provide the airborne platforms, crews, material and associated maintenance

support to provide efficient services in accordance with the requirement specified in the SOW. This will include all petroleum, oil, lubricants including aircraft fuel (unless otherwise specified in a Task Authorization), any aircraft spares, Aircraft Maintenance Support Equipment (AMSE), other spares, specialized tools and equipment. The Contractor must be responsible for providing all materials required for delivery of the SOW in all locations where it will be tasked;

SOW-232 14.1.0-2 Make arrangements for all flight services required to deliver the services in accordance with the SOW. These flight services will include, but are not limited to, flight planning, weather briefings, landing and parking. DND may provide flight services at no cost to the Contractor when the Contractor has been tasked to operate from a CF Wing/Base; however, the Contractor is responsible to contact appropriate facility management authorities to determine the availability and cost applicable to the Contractor of any required services;

For larger exercises or high priority operational unit training, aircraft may be deployed to other areas in Canada, or in the USA (excluding Hawaii).

SOW-422 15.9 Primary Service Delivery Locations (PSDLs) SOW-423 15.9.0-1 Each area of mission type has defined primary service delivery locations. Most

of the contracted combat support activity is expected to take place in the designated flying areas associated with the PSDL locations.

SOW-424 15.10 Secondary Service Delivery Locations (SSDLs) SOW-425 15.10.0-1 A Secondary Service Delivery Location is a location, identified other than

PSDLs where regularly scheduled CS training missions will occur. SOW-698 15.11 Geographically, the Contractor must be capable of providing

SOW-702 15.11.0-4 The Contractor must ensure adequate resources to fulfill Task Authorizations. This includes aircraft, Contractor aircrew, support personnel, and any required equipment necessary to operations. The Contractor must ferry aircraft to SSDL exercise locations, if necessary, in order to meet tasking requirements.

SOW-708 15.11.0-5 Any tasking requiring ferry must indicate the distance for ferry expected for each aircraft from the PSDL to the exercise location and return. A shorter distance may be applied at the discretion of DND if the Contractor is supplying aircraft from, or returning aircraft to, a third location (i.e. off-site home base, marshalling or another region, maintenance facility, etc.). It is the responsibility of the Contractor to ensure that the aircraft arrives at the exercise location with sufficient time to prepare for the exercise and attend exercise briefings.

SOW-699 15.11.0-6 Some exercises may require the Contractor aircraft to be in standby status (scheduled or unscheduled). Standby may be pre-ordered due to the schedule of a certain exercise. Standby may be requested on short notice to accommodate last minute schedule changes, weather days, or DND equipment failure. DND in consultation with the Contractor will attempt to ensure that requests for standby do not have a negative impact on other scheduled CATS exercises.

SOW-341 16 GOVERNMENT FURNISHED EQUIPMENT/PERSONNAL/MATERIAL

SOW-342 16.1 Government Furnished Equipment (GFE) SOW-343 16.1.1 General SOW-344 16.1.1.0-1 The Contractor must incorporate GFE as required to perform the SOW under

this Contract. Details of GFE are addressed in Appendix “1” Technical Requirements.

SOW-345 16.1.1.0-2 The use of GFE is governed by the Loan Agreement established between DND/CF and the Contractor. The Contractor must adhere to the terms and conditions of the Loan Agreement.

SOW-346 16.1.1.0-3 The Contractor acknowledges that ownership of the GFE will remain with Canada at all times and the Contractor may only use GFE for the purpose of performing this Contract. The Contractor must not use any of the GFE to provide services to other customers.

and will provide all materials, equipment, parts and labour necessary to perform any preventive maintenance.

one course for each aircraft in the CPSP's area of responsibility. The CF Standards pilots will oversee the operations for the fleet of aircraft for which he is qualified. The training must be of the same duration and of a comparable quality to the training received by the Contractor pilots.

SOW-401 16.2.3.0-2 The Contractor must provide sufficient aircrew, access to aircraft and pilots and all associated support in order for DND to carry out check rides and for the CPSP to fly as the Pilot in Command (PIC) as required.

SOW-368 16.2.3.0-3 The Contractor must provide ALSE Training to CF Standards Pilots. The training must include description and training on use of ALSE kit, parachute hang, ejection seat check, emergency egress, and wet dinghy training;

SOW-403 16.2.3.0-4 The Contractor must accommodate the requests of the CPSP and provide

SOW-402 16.2.3.0-5 The Contractor must not consider the CPSP as a substitute for their own aircrew or as the Contractor’s Approved Check Pilot (ACP), unless otherwise advised by DND indicated that the CPSP can be considered as a designated aircrew for a mission or sortie.

One military check ride per Contractor pilot per year and one civilian TC check ride on the Contractor’s Chief Pilot and/or Contractor ACP per year;

SOW-406 16.2.3.1.0-2

The Contractor must provide aircraft for flights flown by the CPSP as the PIC. The CPSP will fly in the front seat missions on a regular basis as an integral member of a mission task carried out by the Contractor in order for the CPSP to monitor planning and execution of all types of missions. This means that the CPSP will fly as the PIC on missions with CF EWOs in the back seat on a frequent and regular basis. Feedback will be provided to the Contractor and Contractor’s pilots. This methodology is meant to mirror how the 1 Cdn Air Div Fighter Standards and Evaluation (FSET) operates with the Fighter Force;

SOW-408 16.2.3.1.0-3

The Contractor must provide the CPSP with mission training and tactical training in all mission areas as described in the Contractor’s Operations Manual on an annual basis. Most of this training can be combined with taskings and will not require dedicated tasking/hours. If the CPSP changes during the life of the Contract, the Contractor must ensure the new CPSP obtains the required training as required via Task Authorization process.

In order to maintain currency, the CPSP will fly a minimum of 60 hours per year and at least one mission every 30 calendar days. As part of the 60 hours, 30 hours must be flown as the PIC every 6 months including 2 hours of Instrument Flying and 2 hours of Night Flying. The Instrument Flying and Night Flying can

Acceptance would normally only be granted if it is cost-effective to Canada.

SOW-437 18 OTHER RESSOURCES DISTRIBUTION SOW-438 18.0-1 The Contractor must transport and provide sufficient aircrew to meet the

deployed tasking requirement in the Contract. Large exercises may require additional crew for multiple launches, overlapping sorties, crew day considerations, mission planning and other exercise support items.

SOW-439 18.0-2 The Contractor must transport and provide sufficient servicing personnel to meet the deployed tasking requirement. Large exercises may require additional servicing personnel for multiple launches, overlapping sorties, crew day considerations, and other exercise support items.

SOW-440 18.0-3 The Contractor must ensure that the required resources arrive at the delivery location with sufficient time to prepare for the exercise. It is the Contractor’s responsibility to ensure aircraft and equipment are properly functioning to meet the exercise requirement. This includes aircraft, Contractor aircrew, support personnel, and any required equipment necessary to operations.

SOW-441 18.0-4 The Contractor must arrange for any air field services. This includes but is not limited to fuel, fixed base of operation (FBO) workspace, use of ramp space, transient aircraft services, hangar space, landing fees and any other services required to fulfill the Task Authorization. This can be accomplished through Contractor-arranged servicing agreements at all delivery locations.

SOW-448 19 CONTRACTOR PERSONNEL SOW-449 19.1 General SOW-450 19.1.0-1 The Contractor must provide copies of all personnel documentation required by

this SOW within 15 days upon request by Canada. This documentation must outline personnel experience, qualifications and certifications as required by each of the applicable subsections below.

SOW-709 19.1.0-2 The Contractor must provide, maintain and keep current, all personnel experience, training, certifications and qualifications file. For ground support/maintenance personnel qualifications, this requirement applies only to the person responsible for maintenance. This documentation must include but is not limited to, security certificates, curriculum vitae (CV’s) and applicable TC licenses and ratings. Should the Contractor hire new staff over the life of the contract, the Contractor must furnish copies of the applicable documents to DND prior to employment of the individual in any flying operation.

SOW-451 19.1.0-3 The Contractor must staff all positions with qualified personnel and must provide sufficient personnel, including administrative support, to carry out management and operational activities as described in the SOW.

SOW-452 19.1.0-4 The Contractor must obtain and maintain current work permits and proper employment authorization for Contractor staff for the duration of the Contract. This applies to all Contractor staff that may be required to work in a different country than they are currently permitted, such as US citizens working in Canada or Canadian citizens working in the US. This may apply, for example, to pilots operating in another country’s airspace, or for mobile repair parties who accompany a mission to a SSDL.

SOW-453 19.1.0-5 The Contractor must obtain and maintain all security clearances and security approvals necessary to be able to deliver all requirements of this SOW for both the Contractor and any subcontractor organizations and all relevant personnel. If security passes are required to enter a DND wing or facility, it is the Contractor's responsibility to obtain them from that wing or facility. This applies in all cases, whether attending conferences, meetings briefings, debriefings, conducting missions, or conducting on-site maintenance.

SOW-710 19.1.0-6 The Contractor must ensure that all members of the Contractor flight crew possess current permits, licenses and ratings acceptable to Transport Canada.

SOW-457 19.1.0-7 The Contractor must ensure that personnel comply with local policy and regulations while on any military installation.

SOW-502 19.1.0-8 The Contractor must ensure that the Contractor's pilots are segregated from the Operations Cell of any supported Squadron/Wing/Base to avoid perceived or real conflict of interest that may arise as a result of pilots' duties. (i.e. the Contractor's pilots must not have duties in the Squadron/Wing/Base, as a reservist or otherwise, that control scheduling and/or approval of Task Authorizations).

SOW-458 19.1.0-9 The Contractor must ensure employees are readily distinguishable from military personnel through appropriate attire and badges while performing services under this contract. The Contractor employees must not wear any CF wings or rank or Squadron designations. Contractor pilots must wear badges that distinguish them as Contractor pilots.

SOW-711 19.1.0-10 The Contractor is responsible for accommodations, travel, living arrangements and administrative support for Contractor personnel as required, unless otherwise specified in the Task Authorization. DND will arrange travel and living for DND personnel. The Contractor must ensure there is sufficient operational and administrative support for Contractor deployed personnel.

SOW-460 19.2 Contractor’s Project Personnel SOW-461 19.2.0-1 In support of CATS operations, the Contractor must provide a Contractor

Project Manager (CPM) who is not the Contractor Scheduling and Operations Officer (CSOO). This person must be identified by name in the organizational structure.

SOW-872 19.2.0-2 Contractor Project Manager (CPM). The Contractor must designate a CPM who will be accountable and responsible for all aspects of the operation of the PMO and while carrying out this SOW. The CPM must have program/project experience (minimum 3 years (36 months) in total within the last 10 years, of which 1 year (12 months in total) must be in managing aviation services delivery.) CPM's aviation services delivery experience must include: leadership and management of aviation maintenance and aviation operations involving jet engine or multi-engine aircraft from a number of "home" bases and at "deployed" locations.

SOW-1012 19.2.0-3 In support of CATS operations, the Contractor must provide a Contractor Scheduling and Operations Officer (CSOO) who is not the Contractor Project Manager (CPM). This person must be identified by name in the organizational structure.

SOW-871 19.2.0-4 Contractor Scheduling and Operations /Officer (CSOO). The CSOOs must have relevant experience (minimum 1 year within the last 10 years) in aviation operations. The CSOO must have a working knowledge of aircraft, equipment, crew capabilities and limitations as well as a full understanding of the contract and be able to make short-notice decisions concerning reallocation of assets to meet delivery of contracted services. The individual responsible for Contractor scheduling will require a Security Classification II (Secret). The Contractor must

designate a CSOO for rapid response. The CSOO must have authority to schedule and assign Contractor aircraft and crews in response to DND requirements.

SOW-466 19.3 Contractor Flight Safety Officer (CFSO) SOW-935 19.3.0-1 The Contractor must designate a CFSO. The CFSO must be a pilot with

relevant experience (minimum 1 year (12 months in total) within the last 10 years) in aviation operations.

SOW-467 19.3.0-2 The CFSO must have the relevant experience as described in Section 18.3.0-1 and must also have completed either the CF flight safety course or a commercial or military equivalent. The CFSO must be responsible for the coordination of the Contractor CF flight safety program.

SOW-468 19.3.0-3 The Contractor must ensure that the CFSO is segregated from the supervisory chain within the organization (i.e.: not the chief pilot, station manager, etc...) such that any conflict of interest between the commercial and safety aspects of the operation are minimized.

SOW-469 19.3.0-4 The Contractor must ensure that the CFSO does not have any other secondary duties.

SOW-944 19.4.0-3 For Bravo platform (TS-B, EW-B, TT-B) The Contractor must propose a Contractor Standards and Training Pilot (CSTP) who must be an aircraft captain with a minimum of one (1) year (12 months in total) of relevant pilot experience and a minimum of one (1) year (12 months in total) of experience as a pilot training instructor within the last ten (10) years.

SOW-946 19.4.0-4 For Alpha platform (TS-A, EW-A, TT-A) The proposed Contractor Standards and Training Pilot (CSTP) should have the requisite experience as an aircraft captain with relevant fighter force experience and must be an aircraft captain who oversees and is responsible for the readiness and safety of Contractor aircrew. The CSTP must employ and maintain a Contractor aircrew standards plan to coordinate all required pilot standards training and currency initiatives. The CSTP is responsible to liaise with the CF in modifying the CATS pilot standards when required. The CSTP must be a full-time employee of the Contractor to ensure continuous oversight of the Contractor aircrew.

SOW-473 19.5 Contractor Maintenance Personnel SOW-474 19.5.0-1 The Contractor must ensure that individual maintenance personnel possess

specialized technical expertise required to support the Contractor's fleet. All ground support/maintenance personnel must be trained to accomplish tasks such as, but not limited to: aircraft towing, refueling/defueling, aircraft de-icing and if applicable (chaff loading/unloading, recovery, drone carriage and launch, tow target and reel loading/unloading) using Contractor-developed checklists. Where applicable, these individuals must be Transport Canada certified before performing such operations on military airfields and must possess appropriate licenses if applicable. Individual maintenance personnel conducting this SOW must always maintain proper employment authorization and required permits. Maintenance personnel must ensure that all tools and equipment used are current, calibrated, in good working order, are in their control and can be accounted for at all times.

SOW-475 19.6 Contractor Pilot Qualifications SOW-477 19.6.0-1 The Contractor must provide an adequate quantity of pilots to support CATS

mission and scheduling requirements. SOW-948 19.6.0-2 The Contractor should have an established procedure to ensure qualified pilots,

with required experience, certification, licenses, training and capabilities will be engaged in support of CATS missions.

SOW-478 19.6.0-3 The Contractor must ensure that all pilots have the required civil qualifications, currencies, and licenses for Visual Meteorological Conditions (VMC), Instrument Meteorological Conditions (IMC), day and night operations.

SOW-731 19.6.0-4 The Contractor must be capable of flying Contractor furnished aircraft at low, medium and high altitude, under day, night, IMC (except low level), or VMC conditions, in a variety of formations with both DND/CF, foreign military and other civilian aircraft.

SOW-480 19.6.0-6 All Contractor pilots must have experience in tactical military flying operations that includes formation, low level flying and navigation techniques, training rules and regulations, and brevity code words. They must be capable of flying the applicable profiles outlined in Appendix 8 CF EXERCISES SUPPORTED BY CATS and be capable of flying to the full capability of the designated aircraft. These exercises are role representative and actual mission requirements may vary in scope and platform. The Contractor must provide, for each aircraft type, a minimum of one aircraft captain with a minimum of 10 complete years in total military flying experience within the last 15 years.

SOW-997 19.6.1 Mission Sub-categories TS-A/TT-A/EW-A SOW-712 19.6.1.0-1 For Mission Sub-categories TS-A/TT-A/EW-A: The Contractor must provide

qualified personnel to assume the following functions: SOW-713 19.6.1.0-2 Aircraft Captain - Must be qualified on aircraft proposed and have a valid

instrument rating. Aircraft captains are ultimately responsible for the safety of their aircraft.

SOW-714 19.6.1.0-3 All aircraft captains for TS-A, EW-A or TT-A missions must be former CF, United States Air Force (USAF), USAF Reserve, United States Navy (USN), USN Reserve, United States Marine Corps (USMC), USMC Reserve, United States Air National Guard (USANG), Royal Air Force (RAF), Royal Navy (RN), Royal Australian Air Force (RAAF), Royal Norwegian Air Force (RNoAF), Royal Netherlands Air Force (RNLAF), German Air Force, German Navy, French Air Force, French Navy, Danish Air Force, or Swedish Air Force pilots with experience on jet fighter, fighter lead-in trainer, or other fighter jet combat support aircraft. In order to qualify, pilots need to have experience in offensive air-to-air manoeuvring. Pilots with exclusively air-to-ground experience do not meet this requirement.

SOW-925 19.6.1.0-4 In addition, all aircraft captains, that are not former CF fighter pilots, flying TS-A, EW-A, or TT-A missions must prove that they have had sufficient training to meet the performance objectives (PO) Ref A-P8-032-188/PC-D08 Qualification Standard CF-188 Hornet Fighter Pilot, Chapter 4, with the exception of PO 405.

All 2-ship leads must: be aircraft captains, have a minimum of three (3) years operational experience in tactical military fighter flying operations, and have attained the military qualification of 2-ship lead.

SOW-717 19.6.1.0-10

4-Ship Lead. All missions involving three (3) or more Contractor aircraft being employed during an individual mission within the same airspace require a 4-ship lead. All 4-ship leads must: be aircraft captains, have a minimum of five (5) years operational experience in tactical military fighter flying operations, and have attained the military qualification of 4-ship lead. At least one aircraft captain must be capable of acting as flight lead for four (4) ship formations and orchestrating a multiple aircraft attack.

SOW-718 19.6.1.0-11

Mass Attack Lead. Mass Attack Leads (MAL), when designated, must be responsible for directing the planning and the conducting of tasked missions, including formation composition and manoeuvring. All MALs must be aircraft captains and must have a minimum of five (5) years operational experience flying military fighter aircraft. Mass Attack Packages are formations of five or more aircraft.

SOW-998 19.6.2 Mission Sub-categories TS-B/TT-B/EW-B SOW-721 19.6.2.0-1 For Mission Sub-categories TS-B/TT-B/EW-B: The Contractor must provide

qualified personnel to assume the following functions: SOW-723 19.6.2.0-2 Aircraft Captain - Must be qualified on aircraft proposed and have a valid

instrument rating. Aircraft captains are ultimately responsible for the safety of their aircraft. At least one aircraft captain must be capable of acting as flight lead for flight activity with multiple aircraft in the same airspace to meet the training objective.

SOW-516 20.2.0-6 DND will not accept Contractor’s produced documentation and records that are incomplete or inaccurate. The Contractor must correct documentation and records until they are acceptable to DND.

SOW-517 20.2.0-7 All Contractor-produced documents must have a common look and feel to ensure consistency among Contract documents.

SOW-518 20.3 Documentation and Record States SOW-519 20.3.0-1 All documents and records produced as part of this Contract must have the

following stages: SOW-520 20.3.0-2 Draft. A draft document or record is one that has not been approved by DND.

The Contractor must mark all draft documents and records as such (e.g. DRAFT). When there are multiple drafts of a document or record, each new version of the draft must be marked as such (e.g. DRAFT 1, DRAFT 2).

SOW-521 20.3.0-3 Production. A document or record in production is one that has been approved by DND.

SOW-522 20.3.0-4 Archive. The Contractor must archive documents or records that are obsolete or no longer valid. For example, an old version of a document or record must be archived when replaced with a newer version. Archived documents and records must be clearly identified (e.g. by appending (Archive) to the document or record electronic name) and must be stored by the Contractor (preferably electronically) for the duration of the Contract. The Contractor must provide copies of archived documents within 30 calendar days upon request of Canada.

SOW-523 20.3.0-5 Documents and records that are expected to be amended and re-issued during the Contract Period must have a version number. The version of each document and record must be clearly indicated in the document or record and in the electronic name of the document or record. Each new version of a document and record must use a whole number (e.g. version 1, version 2, …, version 14, etc.)

SOW-539 20.4 Records and Reports Requirements SOW-540 20.4.1 Sortie Logs and Mission Reports SOW-541 20.4.1.0-1 The Contractor must provide a Sortie Log Card for each sortie to the Contract

Employment Authority CEA. The CEA will determine if any further information is required for reporting. Information required for the Sortie Log Card is detailed in the Appendix "6" to the SOW. The Contractor must ensure the log cards are reviewed and signed by the CEA.

SOW-542 20.4.1.0-2 The Contractor must provide a Mission Report to the CEA summarizing the overall task/mission. The report must be signed by the Contractor designated Detachment Commanding Officer (DetCO) who is normally the chief pilot overseeing the tasking/mission.

SOW-543 20.4.2 Tracking and Recording of Flight Hours SOW-544 20.4.2.0-1 The Contractor must track and maintain an accurate and current record of flight

hours for all Contractor aircrew. In order to comply with air crew flight hour limitations, the Contractor is to keep a record of all hours. This information must be made available upon request.

SOW-545 20.4.3 Financial Management System SOW-546 20.4.3.0-1 The Contractor must maintain an accurate financial and cost accounting

system. The accounting system must be accessible, comprehensible, explicit and auditable by Canada.

SOW-547 21 RIGHT TO COPY DOCUMENTATION SOW-548 21.0-1 DND may, for its own internal purposes, reproduce all Contractor-produced

documents and records (which DND may destroy at any time). SOW-549 22 DATA COLLECTION SOW-550 22.1 Purpose of Data Collection SOW-551 22.1.0-1 In order for DND to carry out project management activities and to advise

Departmental decision makers on the progress of the project, including issues impacting project performance, quantifiable data collection is required.

SOW-566 23 MEETINGS SOW-567 23.1 Meetings in Support of Operations SOW-568 23.1.0-1 The Contractor must attend: SOW-569 23.1.0-2 Flight Safety Committee Meeting. A CATS Flight Safety Committee will convene

annually to ensure that flight safety is followed and to discuss possible safety issues identified by the Contractor or DND personnel, and their corresponding solutions as required. The committee must consist of both Contractor and DND Senior Personnel. All committee members must attend meetings, unless otherwise pre-authorized by DND. The Contractor must provide data and information as requested by the CEA or other DND committee members. Unless otherwise agreed to by the CEA, meetings must be held in Winnipeg or

Ottawa. Date, time and location must be set by DND. SOW-570 23.1.0-3 PSDL Flight Safety Meetings. The Contractor must provide Contractor

representation at the Wing/PSDL Flight Safety quarterly meetings, unless otherwise authorized by DND. Representation must include one Contractor aircrew and one Contractor maintenance personnel.

SOW-571 23.1.0-4 Attend training and exercise planning conferences, and hot wash-ups upon request of the CEA. The Contractor must provide a qualified Contractor representative to attend exercise planning and consultation on the development of mission profiles and scenario design. The planning conferences often occur well in advance of the actual exercise dates. Date, time and location must be set by DND.

SOW-572 23.1.0-5 Attend major exercise pre-briefs. Potential exercises which require a pre-brief include, but are not limited to, Maple Flag, Maritime Coordinated Operational Training (MARCOT), and Rim of the Pacific (RIMPAC). The pre-brief usually occurs at the exercise location, during business hours the day before exercise flying activity is scheduled to commence. All participating pilots must attend. Date, time and location must be set by DND.

SOW-573 23.2 Performance Review Meetings (PRM) SOW-574 23.2.0-1 PRM’s will be conducted at least annually or as required by Canada to discuss

Contractor performance with the government stakeholders. PRM's may be conducted as frequently as quarterly during the transition phase. The format for the PRM will be determined by Canada. The Contractor must provide sufficient representation and expertise and at the appropriate level for decision making, from Contractor management staff to address deficiencies and to discuss activities which may impact the rate or scope of the work. PRM discussions and Contractor-required follow-up actions will contribute to the decision of issuance of future Task Authorizations. Date, time and location will be determined by Canada but will normally be held in the National Capital Region (NCR).

SOW-575 23.3 Scheduling Meeting SOW-576 23.3.0-1 The Contractor must provide appropriate representation to attend scheduling

meetings. The scheduling meeting may follow on to the PRM meetings. The Contractor must assist the CEA cell in scheduling future activity. The scheduling meeting will include the review of the previous quarter’s activities. Date, time and location must be set by DND.

SOW-577 23.4 Review and Planning Meetings SOW-578 23.4.0-1 The Contractor must conduct Review and Planning Meetings. The Director

Major Procurement Services (ADM (Mat)), or designated representative, will co-chair the Review and Planning Meetings with a Contractor Senior Executive. The Review and Planning Meetings will provide a forum for DND and PWGSC

senior management to meet with Contractor’s executives to review the Contractor performance for the preceding year and discuss plans for the upcoming year. The Review and Planning Meetings will typically include:

SOW-579 23.4.0-2 a. A review of the Contractor performance for the preceding year; SOW-580 23.4.0-3 b. Macro level service trend analysis and growth projection; SOW-581 23.4.0-4 c. Major service delivery issues in the past year; and SOW-582 23.4.0-5 d. Major planned improvements to service delivery in the upcoming year. SOW-583 23.4.0-6 The meetings must be held at the request of DND and will normally be

scheduled on an annual basis at mutually agreed time and locations in the NCR. The Contractor should expect the first Review and Planning Meeting to be held twelve (12) months following Contract award and will occur annually.

SOW-584 23.4.0-7 The Contractor must prepare agendas for the Review and Planning Meetings. Draft agendas must be submitted to DND a minimum thirty (30) calendar days before the meeting is held. The Contractor must incorporate DND comments in final agendas and must submit final agendas to DND no less than ten (10) calendar days prior to the meeting.

SOW-524 23.5 Records of Discussion (RoD) of Meetings SOW-525 23.5.0-1 The Contractor must prepare all RoDs of meetings between DND and/or

PWGSC and the Contractor during the Contract Period. All RoDs will be considered accepted once they have been signed by the CPM and the DND authorized representative.

SOW-999 23.5.1 RoD Format SOW-526 23.5.1.0-1 DND will decide on the format of the RoD and will provide that format to the

Contractor. At a minimum, the RoD must include the following: SOW-527 23.5.1.0-2 The identification and date of the meeting; SOW-528 23.5.1.0-3 Attendees; SOW-529 23.5.1.0-4 The purpose of the meeting; SOW-530 23.5.1.0-5 A summary of the subject or issues discussed at the meeting; SOW-531 23.5.1.0-6 A description of each action item identified at the meeting along with the name

10 SOW-536 23.5.1-1 Draft RoD must be delivered to Contracting Authority, for review no more than

five (5) working days following the meeting and the final RoD must be delivered not more than ten (10) working days following the meeting, unless otherwise authorized by Canada. The deadline for the delivery of final RoD must not change, regardless of the number of drafts that the Contractor must prepare to gain Canada's acceptance as long as Canada's comments are received at least two (2) working days before the deadline for final delivery of the RoD.
