1. Citizens for Responsibility and Ethics in Washington ("CREW"), MelanieSloan and Anne Weismann bring this complaint before the Federal Election Commission("FEC") seeking an immediate investigation and enforcement action against Edward St.John, Lawrence Maykrantz, Robert Becker, Jeffrey Gish, Stanley Meros, H. RichardWilliamson, Gerard Wit, St. John Properties, Inc., Steele for Maryland, Inc. and theMaryland Republican State Central Committee for direct and serious violations of theFederal Election Campaign Act ("FECA").

Complainants2. Complainant CREW is a non-profit corporation, organized under section

501(c)(3) of the Intemal Revenue Code. CREW is committed to protecting the right ofcitizens to be informed about the activities of govemment officials and to ensuring theintegrity of govemment officials. CREW is dedicated to empowering citizens to havean influential voice in govemment decisions and in the governmental decision-makingprocess. CREW uses a combination of research, litigation, and advocacy to advance itsmlSSlOn.

3. In furtherance of its mission, CREW seeks to expose unethical and illegalconduct ofthose involved in government. One way CREW does this is by educating

citizens regarding the integrity of the electoral process and our system of government.Toward this end, CREW monitors the campaign finance activities of those who run forfederal office and publicizes those who violate federal campaign finance laws.Through its website, press releases and other methods of distribution, CREW also filescomplaints with the FEC when it discovers violations of the FECA. Publicizingcampaign finance violators and filing complaints with the FEC serves CREW's missionof keeping the public informed about individuals and entities who violate campaignfinance laws and deterring future violations of campaign finance law.

4. In order to assess whether an individual, candidate, political committee orother regulated entity is complying with federal campaign finance law, CREW needsthe information contained in receipts and disbursements reports that political committeesmust file pursuant to the FECA, 2 U.S.C. 434(a)(2); 11 C.P.R. 104.1. CREW ishindered in its programmatic activity when an individual, candidate, politicalcommittee or other regulated entity fails to disclose campaign finance information inrepmis of receipts and disbursements required by the FECA.

5. CREW relies on the FEC's proper administration of the FECA's reportingrequirements because the FECA-mandated reports of receipts and disbursements are theonly source of information CREW can use to determine if a candidate, politicalcommittee or other regulated entity is complying with the FECA. The properadministration of the FECA's reporting requirements includes mandating that all reportsof receipts and disbursements required by the FECA are properly and timely filed withthe FEC. CREW is hindered in its programmatic activity when the FEC fails to properlyadminister the FECA's reporting requirements.

6. Complainant Melanie Sloan is the executive director of Citizens forResponsibility and Ethics in Washington, a citizen of the United States and a registeredvoter and resident of the District of Columbia. Anne Weismann is a citizen ofthe

United States and a registered voter and resident of the State of Maryland. Asregistered voters, Ms. Sloan and Ms. Weismann are entitled to receive informationcontained in reports of receipts and disbursements required by the FECA, 2 U.S.C. 434(a)(2); 11 C.F.R. 104.1. Ms. Sloan and Ms. Weismann are harmed when acandidate, political committee or other regulated entity fails to report campaignfinance activity as required by the FECA. See FEC v. Akins, 524 U.S. 11, 19(1998), quoting Buckley v. Valeo, 424 U.S. 1, 66-67 (1976) (political committeesmust disclose contributors and disbursements to help voters understand who provideswhich candidates with financial support). Ms. Sloan and Ms. Weismann are furtherharmed when the FEC fails to properly administer the FECA's reporting requirements,limiting their ability to review campaign finance information.

Respondents7. Edward St. John is the ChiefExecutive Officer of St. John Properties, Inc.

Lawrence Maykrantz, Robert Becker, Jeffrey Gish, Stanley Meros, H. Richard Williamsonand Gerard Wit are all Vice Presidents of St. John Properties, Inc. Steele for Maryland,Inc. is the principal campaign committee ofMichael Steele, who was the Republicancandidate for U.S. Senator from the State ofMaryland in 2006, and, as such, is subject tothe jurisdiction of the FEC. 2 U.S.C. 431 (5). The Maryland Republican State CentralCommittee is a state committee as defined by FECA, 2 U.S.C. 431(15), and, as such, issubject to the jurisdiction of the FEC.

Factual Allegations8. On June 13, 2008, Maryland State Prosecutor Robert Rohrbaugh announced

Edward St. John had agreed to pay a civil penalty of $55,000 for eleven separateviolations of Section 13-602(a)(5) of the Maryland Election Law Article. Press Release ofOffice of the State Prosecutor, Edward St. John Charged Civilly with Campaign FinanceViolations, June 13, 2008 (attached as Exhibit A). Section 13-602(a)(5) makes it illegal

for a person to pay a Maryland campaign finance entity in a name other than the person'sname. Compare Section 13-602(a)(5) with 2 U.S.C. 441f. According to the affidavit ofSpecial Agent Sharma Hajdun of the Office of the State Prosecutor, attached hereto asExhibit B, on or about May 11, 2006, St. John Properties Vice Presidents LawrenceMaykrantz, Robe1i Becker, Jeffrey Gish, Stanley Meros, H. Richard Williamson andGerard Wit each wrote checks in amounts between $2,500 and $3,500 to Friends ofMartin O'Malley, a Maryland campaign finance entity, at the request ofEdward St. John.The checks were written with the expectation Edward St. John would reimburse thecontributors with the corporate funds of St. John Properties, Inc. In February 2007,Edward St. John, in his capacity as ChiefExecutive Officer of St. John Properties, Inc.,did indeed reimburse the contributors for their contributions to Friends ofMartinO'Malley when he authorized the payment of year-end bonuses by St. John Properties,Inc. to Vice Presidents Maykrantz, Becker, Gish, Meros, Williamson and Wit.

9. Between October 13, 2006 and November 28, 2006, St. John PropertiesVice Presidents Lawrence Maykrantz, Robert Becker, Jeffrey Gish, Stanley Meros and H.Richard Williamson each wrote checks in amounts between $1,000 and $2,000 to Friendsof Jim Smith, a Maryland campaign finance entity, at the request of Edward St. John. Thechecks were written with the expectation Edward St. John would reimburse thecontributors with the corporate funds of St. John Properties, Inc. In February 2007,Edward St. John, in his capacity as ChiefExecutive Officer of St. John Properties , Inc.,did indeed reimburse the contributors for their contributions to Friends of Jim Smith whenhe authorized the payment of year-end bonuses by St. John Properties, Inc. to VicePresidents Maykrantz, Becker, Gish, Meros and Williamson. 10. Between October 31, 2006 and November 2, 2006- at exactly the sametime they were making reimbursed contributions to Friends of Jim Smith- St. John Vice

Presidents Lawrence Maykrantz, Robert Becker, Jeffrey Gish, Stanley Meros, H. RichardWilliamson and Gerard Wit each also contributed $10,000 to the Maryland RepublicanState Central Committee. Maryland Republican State Central Committee, FEC ScheduleA, filed December 6, 2006 (attached as Exhibit C). None of the St. John Properties vicepresidents had ever previously made a contribution in any amount to the MarylandRepublican State Central Committee. On information and belief, each ofthe $10,000contributions to the Maryland Republican State Central Committee were made at therequest ofEdward St. John and with the expectation that Edward St. Jolm wouldreimburse the contributors with the corporate funds ofSt. John Prope1iies, Inc. Further, oninformation and belief, Edward St. John, in his capacity as Chief Executive Officer of St.John Properties, Inc., did indeed reimburse the contributors for their contributions to theMaryland Republican State Central Committee when he authorized the payment of yearend bonuses by St. John Properties, Inc. to Vice Presidents Maykrantz, Becker, Gish,Meros, Williamson and Wit in February 2007.

11. On February 28, 2006, St. John Vice Presidents Lawrence Maykrantz,Robert Becker and Gerard Wit each also made two contributions of $262.50 to Steele forMaryland, Inc. Maryland Republican State Central Committee, FEC Schedule A, filedApril 14, 2006 (attached as Exhibit D). On information and belief, each ofthe six $262.50contributions to Steele for Maryland, Inc. were made at the request of Edward St. Johnand with the expectation that Edward St. John would reimburse the contributors with thecorporate funds of St. John Properties, Inc. Further, on information and belief, Edward St.John, in his capacity as Chief Executive Officer of St. John Properties, Inc., did indeedreimburse the contributors for their contributions to Steele for Maryland, Inc. when heauthorized the payment of year-end bonuses by St. John Properties, Inc. to Vice PresidentsMaykrantz, Becker and Wit in February 2007.

COUNT I12. FECA and FEC regulations prohibit the making of a contribution in the

name of a person other than the true source of the contribution. In addition, FECA andFEC regulations prohibit a person from knowingly permitting his name to be used toeffect such a contribution and prohibit a person from knowingly accepting a contributionmade by one person in the name of another person. 2 U.S.C. 441f; 11 C.F.R. 110.4(b)(l)(i).

13. By reimbursing employees for contributions made to the MarylandRepublican State Central Committee and Steele for Maryland, Inc., Edward St. John,Lawrence Maykrantz, Robert Becker, Jeffrey Gish, Stanley Meros, H. RichardWilliamson, Gerard Wit, St. John Properties, Inc., Steele for Maryland, Inc. and theMaryland Republican State Central Committe all violated 2 U.S.C. 441f and 11 C.F.R. 110.4(b)(l)(i).

COUNT II14. FECA and FEC regulations both prohibit corporations from making

contributions in connection with federal elections, including contributions to candidatesfor the U.S. Senate and, with ce1iain exceptions not relevant here, contributions to stateparty committees. In addition, both FECA and FEC regulations prohibit any candidate orpolitical committee from knowingly accepting such prohibited corporate contributions.2 U.S.C. 441b(a) and 11 C.F.R. 114.2(a)&(d).

15. By reimbursing employees with corporate funds for contributions made tothe Maryland Republican State Central Committee and Steele for Maryland, Inc., EdwardSt. John, Lawrence Maykrantz, Robert Becker, Jeffrey Gish, Stanley Meros, H. RichardWilliamson, Gerard Wit, St. John Properties, Inc., Steele for Maryland, Inc. and the

Maryland Republican State Central Committe all violated 2 U.S.C. 441 b(a) and 11C.F.R. 114.2(a)&(d).

CONCLUSIONWHEREFORE, Citizens for Responsibility and Ethics in Washington, Melanie

Sloan and Anne Weismann request that the Federal Election Commission conduct aninvestigation into these allegations, declare the respondents to have violated theFederal Election Campaign Act and applicable FEC regulations, impose sanctionsappropriate to these violations and take such further action as may be appropriate,including referring this case to the Justice Department for i n v e s t i g a of !#IY violationsof2 U.S.C. 441 b(a) & 441f.

The State Prosecutor announced today that Edv,:ard Si. The charges arise from contributions made by several St. John vice presidentswho fuLly expected that they would be reimbursed by Mr. St Job.n for the conLributions ata later 1ime. In fncL those vice presidents, Lav.;renc.c Maykwntz, Robert Becker, JefCreyGish, Stanley Meros and fL Richard Williamson, were reimbursed for the contributionsas a part of their year end bonus. Since there \vas insufi1cicnt evidence to establish thatMr. St. John knew thal such actions violated Maryhmd la-vv., civil citations were filed,instead of criminal charges,

As a part of the agreement, .Mr. St. John agreed to disclose all of the contributionsrnade by any of the St. John afnliated limi!ed liability companies (LLCs). Eighteen ofthose LLCs were formed bctvveen May, 2005 and November, 2005 and there was nothingin t h ~ ; public record to associate them vvith St. John Propettics. The address of St. JohnProp,;Jiies was never used in any public record and certain internal documents at St Johnreferred Lo the bank accounts for these i 8 entities as the ' 'untraceable" accounts. In thiscase, Mr. St John used these and other LLCs, as vvell as third parties, to pay variouscampaigns more than $300,000 during just on e election cycle. Those contributions were1nade to both Democrats and 1\cpub!i.cans. However, the invr.;stigation by the StateProsecutor's Office determined thar all of the contributions \Vere within the amountspermitted by Maryland law.

Tbe investigation originated as a result of a report published by Common Cause.in that report, Con.1mon Cause commented about unusuai nature of the contributions andthe t 1 ~ e t tha1 the public documents shed no light about the real owners or e v ( ~ n the realaddresses of these LLCs.

Tbe State Prosecutor, Robert A Rohrbaugh,. commented,"Under the lavv in this State, Maryland citizens should have the opportunity to kno-vv whois contributing to what politician in order to judge the actions of their elected officials.While the total coniributions in this case did not exceed Lhc arnounts permitted byMaryland la\.v, the use oftbird parties or LLCs to disguise the true source of thecontributions certainly violates the spirit of Maryland's lavv, if not the letter of Lhe law.Those contributors who cross the iegalline, even uninten1ionaliy, will, at a minimum,face substantial fines.''
