Mascoma Mutual Financial Services Corporation and Mascoma Savings Bank

2015 Statement of Condition

Mandy SpencerAssistant Branch Manager

Lebanon, NH

Three years ago, the Bank formed a limited liability corporation known as Mascoma Community Development. Each year since then, the Bank has applied to the United States Treasury Department for New Market Tax Credit allocations, which it could then award to qualifying projects throughout northern New England. In June 2015, we received an allocation of $55 million. Under the direction of Senior Vice President Richard Jennings and the two other officers of Mascoma Community Development, Michelle LeClair and Deborah Blanc, we have already developed a sizeable “pipeline” of potential projects, the first of which should close sometime in early or mid-2016. The Bank’s activity in the New Market Tax Credit arena has brought it national recognition, and the award of this $55 million in tax credits has burnished this reputation. These projects will help rebuild communities and create jobs in low income areas within the region.

On December 4, we closed one of our Littleton, New Hampshire, offices—the Meadow Street location. This was the second branch that Mascoma Savings Bank has closed in as many years. It is never easy to make a move away from bricks and mortar, where team members greet customers face-to-face. However, with the increase in the use of technology, these offices, like other banking branch offices across the country, saw diminishing lobby and drive-up traffic and transactions, while demand for online banking continues to grow.

With the steady investments we have made in online and mobile banking, as well as increased cybersecurity and monitoring, our customers are getting the type of support and services they want from Mascoma Savings Bank in very different ways than even just a decade ago.

Speaking of decades, at year’s end, two of the Bank’s senior officers, Doree A. Clifford and Gregory F. Kennedy, retired. Doree’s career spanned 38 years at the Bank. When she began in 1977 as a teller, the Bank had two offices, but it was in the process of opening facilities in both Enfield and Canaan. As Doree’s career at the Bank progressed, she became responsible for the operational portion of the Bank’s branch network, and she oversaw 28 locations in the two states.

Greg worked for several banks in Vermont during the early years of his 40-year career. He was at Mascoma Savings Bank for the last 20 of those years, where he was responsible for commercial services. During Greg’s tenure, the Bank grew its commercial services area from a fledgling operation to one that developed sophisticated credit administration practices, advanced technology for cash management, and other commercial deposit services supported by 17 commercial lenders. He was also largely responsible for the Bank’s commercial lending operations in the greater Burlington, Vermont, area. We wish Doree and Greg many healthy and happy years of retirement.

At Mascoma Savings Bank, we are constantly on the lookout for new and improved ways to fulfill our mission as a mutual bank, chartered to serve the needs of our

community. The year 2015 was another year of growth and milestones.

A Commitment to Giving

Mutual savings banks have their roots in philanthropy. The first mutual savings bank was organized by The Reverend Henry Duncan in Ruthwell, Scotland, over 200 years ago. Mascoma Savings Bank was founded in 1899 by a group of individuals who “invested” small sums of money to capitalize the Bank with no expectation of any personal financial return.

Mascoma Savings Bank was the first mutual bank in either New Hampshire or Vermont to form and fund a charitable foundation. Each year Mascoma Savings Bank contributes a portion of its earnings to the Foundation for distribution in the community. Since its establishment in 1988, the Mascoma Savings Bank Foundation has contributed over $3.4 million to local non-profit organizations.

But Mascoma Savings Bank’s commitment to the community extends even further as the Bank continues to directly support local non-profits every year. When taken together with the Foundation’s contributions, Mascoma Savings Bank was the source of over $1,000,000 in direct support for New Hampshire and Vermont-based community organizations in 2015.

Mascoma Savings Bank and the Mascoma Savings Bank Foundation together gave $1,070,341 in community grants in 2015, supporting community organizations such as Vital Communities.

Doing More for Our Customers and Community

As the final step in our transition, Mascoma Insurance Agency has been folded into Centurion under the direction of Philip S. Latvis, who joined the Bank in 2012 when we first opened a stand-alone insurance agency. A seasoned veteran of the insurance industry, Phil is the President and CEO of Centurion and leads a team of 16 in the Centurion Building on Route 10 in West Lebanon, New Hampshire.

Mascoma Wealth Management is a wholly owned subsidiary of Mascoma Savings Bank and a SEC registered investment advisor (RIA). The wealth management subsidiary is directed by Robert T. Boon, Senior Vice President. As of the end of 2015, Mascoma Wealth Management had nearly $300 million of assets under management. Located in the Mascoma Building at 80 South Main Street in Hanover, New Hampshire, our wealth management subsidiary provides a broad range of services, from investment management to retirement planning, all tailored to the specific financial goals of each investor.

Further evidence of the Bank’s commitment to our local communities and northern New England can be found in Mascoma Community Development, LLC, a community development entity (CDE) that was established in 2012. This subsidiary of the Bank is led by Richard S. Jennings, Senior Vice President. Mascoma Community Development was established for the purpose of securing New Market Tax Credit allocations from the United States Department of the Treasury in order to assist in the redevelopment of low-income census tracts within our markets and the northern New England region. The Bank also provides financing gaps with New Market Tax Credit leveraged loans for a variety of development projects, including residential projects in urban and rural areas, business expansion, and the opening of new businesses, all of which help revitalize distressed communities.

In July 2014, Mascoma Savings Bank acquired Centurion Insurance Group. Bringing the Centurion group under our umbrella allows the Bank to better serve all of our clients.

“ It’s invigorating to come to work each day when you know that everyone is on the same

page, and working on the same goals. Our mission statement and value proposition are more than

just words on a poster. ”

We continue to grow with an expanded Burlington

office to serve Chittenden County and beyond.

In February we expanded our Burlington Loan Production Office on Battery Street by adding experienced mortgage lender Peter S. Crapo to work alongside Peter R. Jones, Vice President and Commercial Loan Officer. Both lenders are veterans of the market area and have used their own connections to the community along with Mascoma Savings Bank’s community-first approach to build our profile and assist more people and businesses in northern Vermont.

Greater Breadth and Scope

In our first full year of having branches in Bethlehem, Charlestown, Franconia,

Keene, Lancaster, Langdon, Littleton, Springfield, and

Walpole, we met thousands of new neighbors.

It has been a true pleasure for Mascoma Savings Bank personnel to get to know people in our new communities and to start to strengthen those relationships. We’ve become steadily more involved in the business communities of each these areas, while learning more every day about the housing markets in these towns and cities and getting to know the people who make these places unique.

Mascoma Savings Bank’s organizational structure further underlines its commitment to respond to the needs of our community. The Bank’s Board of Directors is elected by the Mascoma Savings Bank corporators who reflect the make-up and needs of the area where we live, and our 325 employees are integral parts of the communities we serve.

Mascoma Savings Bank is a mutually owned bank, which

means it is chartered to serve the community and is not owned by

stockholders. Today, only 8 percent of banks in the United States are

mutually owned, yet mutual banks are some of the best stewards of community prosperity and

among the most stable financial institutions.
