WHO

A team comprised of mature, clothing optional lifestyle savvy professionals

The first purpose built, all inclusive, upscale resort, thoughtfully and

professionally designed from inception with the adults only clothing

optional lifestyle in mind.

WHERE

An ideal site with ideal climate, a secluded beach and within a 30 mile drive

of PVR (Puerto Vallarta International Airport).

8 hectares of land has been acquired and development processes are

under way. Target opening is February 2020.

This is a rapidly growing segment of the travel industry where demand and

demand growth exceed supply by a wide margin and prices are escalating.

Very difficult to quantify the market but ...

– In real dollars the daily rate at Desire Resorts has more than doubled in

the past 4 years

– Hedonism in Jamaica has also drastically increased room rates over the

last 5 years. This resort is 30+ years old and is undergoing renovations

– Even with the legacy offering this resort has operated at near full capacity

consistently for 20+ years due to the clothing optional concept.

– The number of clothing optional resorts has remained static over the last

4 years

– Clothing optional lifestyle cruising has increased from less than a 1⁄2 ship

take-over in 2010 to in excess of 15 total ship take-overs in 2017

– Due to the lack of capacity at existing resorts the clothing optional

lifestyle community has turned to one week resort take-overs in numerous

locations

FAQ – The Investment Opportunity:

What makes you confident that this project will be a success?

• The growth of demand for Lifestyle travel is by far out pacing the supply of permanent locations

• Seduction will be purpose built and operated by the Lifestyle community

What incentive do I have to purchase shares in Seduction?

• The opportunity to have ownership in a new and exciting lifestyle destination.

• Depending on your level of investment you will receive free nights and a lifetime discount up to 20%.

• You will receive annual dividends and we have every reason to believe that your shares will appreciate in value.

What can I expect as a dividend every year?

• Our business model conservatively predicts annual dividends of >15% of your investment after the second full year of operation.

What is the minimum investment? What are the increments available?

• The minimum buy in is $5000.00 USD, next level is $10,000.00 USD and then $25,000.00 USD

Can I use my dividend for my stay at Seduction? Do I still have to pay foreign income tax on this?

• All Mexican dividends have 10% withholding tax. The remaining proceeds can be held by the corporation in your name to be used for travel at Seduction

Resorts. It is up to you how you account for this income.

I don’t buy time-shares. Why is this not like a timeshare?

• This is NOT a timeshare or a membership. These are full equity shares that will retain their value and provide ongoing dividend income.

How many shares are available?

• Initial offering is up to 20M shares at $1.00 USD

Do my shares own something tangible?

• Yes. Your shares will be of Seduction Resorts Puerto Vallarta and this company will own the land and all buildings, infrastructure and equipment.

When will I receive my first dividend?

• First dividends are projected to be declared after 24 full months of operations. Projected to be on or before February 2022.

Why is this different than a ‘Premiere Membership’ at somewhere like Desire?

• This is not a membership, it is a dividend producing, equity share of a private the corporation. Conversely, at Desire you do not own anything, do not receive a return on your

investment and at best get certain privileges that are not available without an expensive membership.

What if all of the required funds are not raised and the project does not go forward?

• In the very unlikely event that the project does not come to realization, investment capital will be returned.

What will happen if the project goes over budget or under budget?

• We have undertaken an in depth budgeting and due diligence process and have allowed for a reasonable contingency to avoid cost overruns. Any surplus capital will be

returned to shareholders at the completion of the second year of operations.

How long will it take to build?

• Our detailed preliminary construction schedule projects a 18 month construction duration.

How long do I have to use my free nights?

• There is no time limit to use your free nights.

Can I give my free nights away? Can I share my free nights?

• Yes, you can both give away or share your free nights.

How will you assure me that there is reputable accounting?

• The corporation is governed by Mexican security laws and has as a shareholder, Teran Rojas & Associates (accounting firm) whom will oversee all accounting transactions.

How long do I have to think about this?

• As long as there are shares remaining.

What if I decide that I want my investment back before the project is complete?

• You have the right to sell your shares privately at any time (subject only to a right of refusal to the parent company to match the terms of your offer).

Is there incentive for me to find other investors?

• Yes. The more investors we have the better for everyone

FAQ – Investing in a Mexican Corporation and Restrictions:

What are my risks with investing in a Mexican Corporation?

• The risks in investing in a Mexican start up corporation are no greater than investing in a start up corporation in US, Canada or elsewhere. Mexican corporations are governed by strict

security laws as they are elsewhere.

How much tax do I have to pay when I collect dividends from a Mexican Corporation?

• There is a 10% withholding tax paid to the Mexican government on all dividends. Tax implications will be different for everyone and we suggest contacting your local tax authority or

accountant with respect to foreign income.

How will I know that my dividends are fairly paid out?

• Even though Seduction Resorts is a private company, we are governed by Mexican security laws and all dividends must be paid equally to all shareholders.

Can my shares be bequeathed?

• Yes they can.

Can I sell my shares?

• Yes, you can sell your shares at any time for any amount. The only condition is the parent company first right of refusal to purchase the shares at a price equal to your confirmed selling

price

How do I pay for my shares?

• You can pay for your shares via wire transfer, PayPal, major credit card or international bank draft.

How will my dividend be paid?

• The dividend can be paid by wire transfer to an account that you provide or money order or PayPal.

What will I be provided with as proof of my shares?

• Each investor will receive a registered share certificate and a full copy of the corporation’s by-laws.

Are my shares ‘voting’ shares?

• Yes. Your shares will have specific voting rights. This is a private corporation that will by governed by a board of directors. The board of directors will have representation from the

founding group and from significant investors that will be providing more than 40% of the required capital.
