NHAl RO office on 5.06.~') 15. as desired for further necessary action.

Under the above circumstances, the Concessionaire hereby submits the request for the extension of Scheduled x-Laning Date from 21.05.2014 to 30.06.2016. The program for completion of the balance work as aforementioned lO complete the works b} 30.06.2016 is being submitted separately. The IE is requested lO review the Time Extension proposal and recommend the same for f ializing the Supplementary Agreement b) ]';HAI.

However. it is to be subm tted that. utility shifting at ROB locations at Ongole By pass has staned only on 17th June ::.Ol 5 which may require about 20-30 days and completion of ROB will take at least 10 month. Further. the Additional 8 structures (VL"Ps 1 PL"Ps) issued under change of scope (in principle approval) due to public demand may require about I 0 months for completion.

UPPLEMENTARY AGREEME~T

viii) The concessiona re accepts that there are no hindrances for construction or \"LP::> PCPs ' Major I ridges Minor Bridges I ROB::. (except ROB at km 1341.950) Fl) overs and the main carriageway and sen ice roads. Except for Toll Plaza. \'LP turning radius and Junction Layouts & Improvements "ill be excluded for the purpose of issuance of completion certificate and subsequently this work "ill be executed as and when land is handed over and within the time determined by I[ without any fin a .. cial imp! ications.

vii) The Concession ire further proposed that in ca ·e hi request for extension of time for Milestone - I is conceded by the :"\HAJ, same would be without any financial implication on 'IHAI as a result of extension of schedule date of Milestone - II (The concession ... ire commenced construction of all Bridges and expended not less than 70% of the .otal capital cost set forth in the financial package).

vi) The Concessionaire has offered not to claim an) amount from >:HAl for delay in handing over of land including Ongole Bypass and other obligations which are to be fulfilled by t ie l\HAI and in response i\HAl will not impose an) penalty for default in achiev ement of Milestone - II and completion of the package within the stipulated time t .ar is 30.06.2016.

v) Both the parrie are aware and conversant with the delays attributable to the Concessionaire .nd ~HAI during the progre s of the construction of the Project Highway.

iv) The Concession tire has assured that by 30.06.2016 it shall complete the project in all aspects asde-cribed in Annexure-l of chedule ·13· & chedule ·c· of CA and in conformity ' ith specifications & standards set-forth in Anncxure of chedulc 'D' including other works under Change of Scope & service roads and miscellaneous items like drains, kerbs, signages etc.

iii) The parties ha' further jointly agreed on 18.11.2011 on certain terms as contamed in NHAI letter no. NHAI/RO-HYD/ll017tl/Jl-1 LRA612 in respect to declaration of Appointed Date and achiev ement of Financial Closure of the project.

ii) A joint underst .... nding was arrived on 20.9.2011 between the parties at the time ol declaration of A ppointed Date and Financial Closure on 1.11.20 I I.

The work of Sixlaning of Chilakaluripet to Nellore section of rH-5 from Km.1182.802 to Km.1366.547 (length 133.620) in the State of Andhra Pradesh under 1HDP Phase V to be executed as BOT (Toll project on DBFOT pattern by the Concessionaire.

b). The Concessionaire will complete the Change of cope items issued vide NHAJ, HQ. i ew Delhi letter no. HAI 15011 . 'HDP-VTech/CK-1 790 dated 08.06.2015 v. ithin the extended period i.e., 30.06.2016. subject to the condition referred to in the said letter and a

iv) That it shall adhere to the revised milestone as et out in this Supplementary Agreement.

iii) That it shall not claim any loss of Toll rev enue due 10 delay in handing mer Right of \\'ay for Ongole bypass.

ii) The Concessionaire agrees to complete the project as set out abov e in this Suppleme itary Agreement.

i) That it shall not claim for any direct or indirect lo ses incurred b: the concession tire under any of the clauses of Concession Agreement for delay in handing over of Right of way, delay in shifting of utilities. delay in approval or GAD draw ngs by Railways.

iii) NHA1 shaJI provide all possible support and assistance to the concessionaire for completion of he Project Highway.

ii) In case of app 'ov al of Railway s for the ROB .u Km. 1341.950 are obtained in future with the .ype of girder and span lengths as per the railway approval. the lime for cornpletior of these ROBs shall be finalized by lE as per provisions of the Concession Agreement. However. foreseeing abnormal delay in approval of the ROBs by Railv ·ay Authorities, lHAl may decide for deletion of reconstruction of ROBs by considering negative change of scope duly considering a suitable rehabilitation scheme and the cost for this if an: as determined b) the IE and same shall be dealt v ith relevant provision or Concession ..\~rcement. (At present there exists 2-lane R-'.)B).

i) That it shall extend scheduled dates of the Project Milestone - II (i.e The concessionaire commenced construction of all Bridges and expended not less than 70% of the tota capital cost set forth in the financial package) to 01.09.2014

Y) That this supp ementary agreement shall be deemed to be part and parcel of Concession Agreement. which shall stand amended upto this limited extent only.

iv) That save and e cepl as prov ided in this upplerneruary Agreement. all other terms and conditions . .md rights and obligations of the parties shall be governed b) the Concession Agreement dated 15.07 .20 I 0.

iii) That there shat. not be an} extension in concession period of tills project as per Cl.35.3 of the CA..

ii) That there shall not be any financial implication on cith r pan) consequent upon delay in handing over of ROW, extension of schedule dates for the Milestones 11 and schedule 6- aning date and parties assure that no legal recourse shall be taken in this regard against each other.

i) The schedule -laning date is amended to 30.06.2016, as requested by the Concessionaire nstead of earlier proposed date of 21 05.2014 as per concession agreement dateu 15.07.2010.

C) BOTH THE P RTIE HEREBY F RTHER AGREE TH T:

x) That the concessionaire further agrees to forego an: claim on NHAT under Article 4.2. 16.6. 35.2, 35.3. 10.3.4 or any other Article of Concession Agreement dated 15.07.2010 for delay in handing over the unencumbered land for affected stretches upto the date of re vised completion date 30. 06.1016.

ix) That the concessi 'maire shall indemnify and absolve :\HAI from all the damages. penalties claims • costs. expenses or losses or an) adverse action or impact 10 >!HAI by direct. indirec consequential or an) due to delay in meeting his obligations in banding over of t.nencumbered land or clearances as the case may be. exceptus sci out in this Supplementary Agreement.

viii) That the Concess onaire shall not claim any amount on account of delay in shifting of utilities.

vii) That the Concess onaire shall nor claim any amount on account of de la) in approv al of GAD drawings by Railways.

vi) Thar the Concess onaire shall not claim any amount on account of delay in handing over of land including Ongole Bypass.

c). ln both the cove CoS will not claim more than the amount determined b) the IC and final zed by NHAI on account of CoS.
