SaaS Mergers and Acquisitions
January included 45 SaaS M&A transactions, totaling $455.6 million in disclosed transaction value, with transaction volume increasing from December which witnessed 27 M&A transactions, totaling $70.3 million. At the same time last year, 10 M&A transactions had been announced, totaling $2,009.5 million. Notable M&A transactions in January included the following:

For January, the broad SaaS group decreased 3.5%, the Nasdaq decreased 1.9%, and the S&P 500 decreased 3.1%. The large-cap SaaS group decreased by 3.1%, midcap decreased by 3.6%, and small-cap decreased by 7.2%.

January witnessed one SaaS IPO and one SaaS follow-on:
Box (BOX $14.00), an online file sharing and personal cloud content management service, completed an initial public offering of $201.3 million.
Paycomm (PAYC $22.50), a provider of cloud-based human capital management software solutions, completed a follow-on offering of $125.7 million.

SaaS Venture Capital
January venture investment activity consisted of 32 transactions, totaling $250.2 million in disclosed transaction value. Year-over-year, the number of venture capital financings increased while total disclosed transaction value decreased. January 2014 witnessed 28 transactions, totaling $461.4 million in disclosed transaction value. Notable SaaS venture investments in January included the following:
Volusion, a provider of shopping cart software and services for online merchants, received $55.0 million of growth funding from Main Street Capital.
Datadog, a cloud-based service that collects performance data from systems, applications, and cloud providers, received $31.0 million in its third round of funding from Index Ventures, OpenView Venture Partners, Contour Venture Partners, RTP Ventures, and Amplify Partners.
Tune, a developer of cloud-based attribution analytics and performance marketing technology solutions, received $27.0 million in its second round of funding from Accel Partners, Icon Ventures, and Performance Equity Management.
Beckon, a provider of SaaS marketing management solutions, received $13.8 million in its second round of funding from August Capital, Canaan Partners, El Dorado Ventures, and Venrock.
Work Market, a provider of SaaS based end-to-end workforce solutions, received $20.0 million in its third round of funding from Industry Ventures, SoftBank Capital, Union Square Ventures, and Spark Capital Partners.
RedSeal, a provider of network visibility and intelligence solutions, received $18.5 million from an undisclosed investor.
PaaS and IaaS Activity
Notable events in the PaaS and IaaS sectors in January included the following:
GoGrid, a provider of cloud computing and infrastructure-as-a-service (IaaS) for businesses, was acquired by Datapipe for an undisclosed amount.
Latisys, a provider of colocation datacenters and IaaS, was acquired by Zayo Group for $675.0 million.

Dan Connolly is a managing director and co-head of the software investment banking practice at William Blair based in Chicago. Dan joined William Blair in 1999.
