1.0CleanFleetProgramClean Fleet is a vehicle maintenance program designed toimprove air quality by reducing diesel vehicle emissions.TheprogramhasbeendevelopedbytheRoadsandTrafficAuthority(RTA)aspartofitsongoingcommitmenttotheenvironment.
Throughtheimplementationofbestpracticefleetmanagementand maintenance practices, fleet owners and operators canwork togetherwith theNSWGovernment todrive towardscleanerair.
1.1 AseriousissueVehiclesareanintegralpartofourcommunity.However,alongwiththesignificantbenefitstheybringtomodernlife,therearesomecosts.
Vehicleemissionsarethekeyby-productofmotorvehicleuseandhaveasignificantimpactatboththelocalandgloballevels.
Diesel vehicles can be a major source of air pollution inAustralia, contributing to fine particulate emissions, volatileorganic compound (VOC) emissions and oxide of nitrogen(NOx)emissions.
Ten years ago diesel vehicles comprised just 8.3% cent ofAustralia’svehiclefleet. In2015,thisfigurewillbe15%.Dieselvehicles contribute 60% of all particulate emissions fromroadtransport.
Weneedtoactnowtoensureourdieselvehiclesareascleanaspossibleforthefuture.
2.0WhocanbeaCleanFleetParticipant?AnyonewithadieselvehicleregisteredinNewSouthWalescanbecomeaCleanFleetParticipant.Thisincludes:
• Individuals.
•Partnerships.
• CompaniesordivisionsofacompanyregisteredwiththeAustralianSecuritiesInvestmentCommission.
• Governmentdepartmentsorasectionofagovernmentdepartment.
•Councils.
Companies that have many depots can decide which depotstheywouldliketobeintheCleanFleetProgram.EachapplicantisconsideredasaseparateCleanFleetParticipant.

3.0WhybecomeaCleanFleetParticipant?BeingaCleanFleetParticipantwillprovideyouwithsignificanteconomicbenefitsbyimprovingtheperformanceofyourdieselvehicles.Itisalsoanopportunityforyoutodemonstrateyourcommitmenttotheenvironment.
Good fleet management is good for business and theenvironment.
3.1 CostsavingsBeingcleancansaveyoumoney.Areliablemaintenanceprogramwillresultin:
• Lessmaintenance.
• Fewerbreakdownsandbetterfuelconsumption.
• Improvedvehicleperformance.
• Improvedvehiclereliability.
• Improvedvehicleresalevalue.
• Lesschanceofasmokyvehiclefine.
3.2 EnvironmentalcredentialsEnvironmentalcredentialsareanincreasinglyimportantaspectofresponsiblebusinessmanagement.BybecomingaCleanFleetParticipantyoucanplayakeyrole in improvingAustralia’sairquality. It also allows you to promote your business as beingenvironmentallyawareandresponsible.Thispublicrecognitionwillhelpenhanceyourcompany’sreputation.
When you become a Clean Fleet Participant, and for theduration of your accreditation, Clean Fleet promotionalmaterialsareavailableforyoutopromoteyourparticipationintheCleanFleetProgram.ThepromotionalmaterialsprovidedfromtheRTAinclude:
• Labelsforparticipatingfleetvehicles.
• ACertificateofAccreditationfordisplayinyourplaceofbusiness.
•ACD-RomwiththeCleanFleetlogo.
• Astyleguide.ThisincludeshowandwheretheCleanFleetnameandlogocanbeusedandsuggestionsonwaysyoucanpromoteyourselfasaCleanFleetParticipant.
The rules governing your use of the Clean Fleet logo andpromotional materials are outlined in the Clean Fleet termsandconditions.
4.0WhatisinvolvedinbeingaCleanFleetParticipant?4.1 EmissionManagementStandardsParticipantsmustensuretheirdieselvehiclesarewellmaintainedthroughaneffectiveEmissionsManagementSystemthatmeetstherequiredCleanFleetStandards.
Thesestandardsare:
Standard�:Cleanfuel
The fuel used by your diesel vehicles must be free ofcontaminationandmustmeetnationalfuelqualitystandards.
Standard2:Enginesettings
The engines and emission control systems on your dieselvehiclesmustbesettomanufacturers’specifications,particularlyfuelpumpsandinjectiontiming.
Standard3:Maintenanceschedulesandmethods
Yourvehiclesneedtobemaintainedandservicedattheintervalsrecommendedbythemanufacturer,ortoequivalentstandards.
Standard4:Faultidentificationandrepair
A method for identifying, recording, assessing and acting onreportedfaultsmustbeinplace.

5.0ObtainingaccreditationThegoodnewsisthatyoudecidehowyouaregoingtomeetthefourstandards.ManyprofessionaloperatorsalreadyhaveinplacesystemsthataremeetingtheCleanFleetrequirements.BycompletingtheSelf-AssessmentAuditReport,youwilloutlinehowyourmaintenancesystemworksandthestepsyouwilltaketoensureyoumeetthestandards.
Afterreviewingyourauditreport,theRTAmaysuggestsomeimprovements.WewillthendocumentwhatyoudoandthiswillbeyourEmissionsManagementSystemandwillformthebasisoffutureaudits.
5.1 YourEmissionsManagementSystem
YourEmissionsManagementSystemshould includemeasureswhichenableyouto:
• Identifyandshowwhenandwhereyourfuelispurchased.
• Demonstratetheeffortsyouhavemadetokeepanystoredfuelfreeofcontamination.
• Ensurethatadjustments,maintenanceandrepairstovehiclesareonlyundertakenbyqualifiedpersons.
• Ensure every vehicle is properly maintained.This includesservicinginjectorsorinjectorpumpsatintervalsrecommendedby the manufacturer, replacing engine filters in accordancewithmanufacturers’schedules,undertakingregularoilchangesandmonitoringengineperformanceandcondition.
• Showthatmaintenanceandrepairofeachvehicleiscontinueduntilthedateofitsdisposal.
•Ensurethatvehiclesarenotblowingsmoke.
5.2 OtherrequirementsInadditiontosettingupandfollowingyourEmissionsManagementSystem, and meeting the four Clean Fleet standards, you areresponsiblefor :
• Keeping all relevant records to demonstrate the effectiveoperationofyourEmissionsManagementSystemandallowyourperformancetobeaudited.
• AppointingasuitableemployeeasthedesignatedmanageroftheCleanFleetProgram.
• Trainingallrelevantemployees,includingmanagers,toensurethey understand your Emissions Management System andhavetheappropriateknowledgeandskills tocarryoutanytasksgiventothem.
6.0BecomingaCleanFleetParticipantTogetstarted:
1.ReadtheParticipationAgreement(Appendix1).
2.FillintheApplicationForm(Appendix2).
3.CompletetheSelf-AssessmentAuditReport(Appendix3).
4.Send thecompletedApplicationFormandSelf-AssessmentAuditReportto:

If your Emissions Management System meets the requiredstandards, you will become a Participant in the Clean FleetProgram.
Within six months of becoming a Clean Fleet Participant anexternalindependentauditbyanRTAapprovedAuditorwillbeundertakentoensurethatyourEmissionsManagementSystemscomplieswiththeCleanFleetStandards.
When completed, theRTAwill provide youwith yourCleanFleetpromotionalmaterials.YouwillalsobeincludedonthelistofCleanFleetParticipantsontheRTA’sCleanFleetwebsite.
Accreditationlastsfortwoyearsunlessanauditrecommendsitbeterminatedsooner.

7.0MaintainingyouraccreditationMaintaining your Clean Fleet accreditation involves followingyour Emissions Management System and complying with thetermsandconditionsoftheprogram.Performanceismonitoredthroughaprogramofcomplianceaudits.
Within six months of becoming a Clean Fleet Participant, anexternal independent audit by an RTA approved auditor willbe undertaken to confirm that your Emissions ManagementSystem complies with the Clean Fleet standards.To maintainyourCleanFleetaccreditationa renewal auditwill takeplaceaftertwoyearsandyourperformancewillbeassessed.Ifyourperformanceissatisfactory,youraccreditationwillberenewedforafurthertwoyears.
However, if information isreceivedviaanearlierauditreport,anemissiontestreport,acompliancestatementoracomplaintthatsuggestsyoumaybebreachingtheCleanFleettermsandconditions, an immediate audit may be required. Any auditwill also include a review of your vehicle maintenance andfuelrecords.
7.1 ComplaintinvestigationComplaintsallegingnon-complianceofaparticularvehicle,orthe questioning of the overall performance of a Clean FleetParticipant, may be received verbally or in writing from anymemberofthepublic(includinganofficerfromtheDepartmentofEnvironmentandConservation(DEC)).
Depending on the nature of the complaint, the followingmeasuresmaybetaken:
• An audit of the vehicle/s in question and the Participant’sEmissionsManagementSystem.
• Recordswillbekeptofallcomplaintsandanyactiontaken.These incidents may be taken into consideration whenrenewingaccreditation.
Clean Fleet Participants are not exempt from any action theDECchoosestotakeinrelationtosmokyvehicles.
7.2 EmissiontestsRandomemissiontestingofyourvehiclesmaybeconductedtoensurecompliancewiththeCleanFleetStandards.
You will be provided with a copy of a report indicating anyfindingsandstatingwhetherany repair,maintenanceorotheractionisrecommended.
Ifvehicleswithhighemissionsaredetected,wewillworkwithyoutoidentifyandrepairtheproblem.Thesevehiclesmayberetestedtoverifyanemissionreduction.
Refusal to participate in a random emission test will beconsiderednon-compliancewiththeprogram.
7.3 Non-complianceNon-compliance,dependingontheseverityandcircumstancesofthecaseandtheParticipant’shistory,mayresultin:
•Acautionand/orcounselling.
• Awrittennoticetotakecorrectiveactionwithinaspecifiedperiod.
•Anincreaseinthefrequencyofcomplianceaudits.
•Cancellationofaccreditation.
Youwillbegivenareasonableopportunitytorespondbeforeanyofthelasttwosanctionsareimposed.
These sanctions are separate from any penalties imposedfor a breach of road transport laws, environmental laws orotherlaws.

8.0ExitingtheCleanFleetProgramYou can withdraw from the program at any time unless youareabusoperatororwastemanagementcollectorandbeingaParticipantofCleanFleetisarequirementofyourcontract.
Youwillneedto:
• AdvisetheRTAinwritingthatyouwishtowithdrawfromtheprogram.
•RemoveallCleanFleetLabelsfromfleetvehicles.
• CeaseusingtheCleanFleetlogoandallpromotionalmaterials.
• RemoveallreferencestotheCleanFleetProgramfromanysignage,stationery,letterheadsandadvertisements.

ThisAgreementsetsoutthefulltermsandconditionsfortheCleanFleetProgram.
Participation in the Clean Fleet Program does notexempt Participants from their duty to complywith the requirements of all road transport andenvironmentallegislation.
Commonwealth and New SouthWales legislation relevant to vehicleemissionsincludes:
• ProtectionoftheEnvironmentOperations(CleanAir)Regulation2002(NSW);
• RoadTransport(VehicleRegistration)Regulation1998(NSW);and
•MotorVehiclesStandardsAct1989(Commonwealth).
Appendix1
ParticipationAgreementOverviewCleanFleetProgram

1. AcceptanceofApplication1.1 TheRTAmay in its sole discretion accept or reject anyapplicationtoparticipateintheCleanFleetProgram.
1.2 IftheRTAacceptstheParticipant’sapplicationtoparticipateintheCleanFleetProgram,theParticipant:
(a) willbeauthorisedbytheRTAtousetheCleanFleetLogoandLabels;and
(b) will have the rights and obligations set out in thisAgreement.
2. IntellectualPropertyRights2.1 The Participant acknowledges that thisAgreement does
not transfer to it any interest, including any IntellectualPropertyRights,intheCleanFleetnameandlogo,theCleanFleetProgramMaterialsoranyothermaterialprovidedbytheRTA.
2.2 IftheParticipantbecomesawareofanyactualorsuspectedinfringementoftheIntellectualPropertyRightsintheCleanFleetnameandlogo,theCleanFleetProgramMaterialsoranyothermaterialprovidedbytheRTA,itmustimmediatelynotifytheRTAandmustprovideallreasonableassistancerequestedby theRTA in relation toanyaction theRTAmaytake.
2.3 TheParticipantacknowledgesthattheCleanFleetnameandlogoarearegisteredtrademarkoftheRTA.
3. UseofCleanFleetMaterials3.1 The Participant must attach a Label to each of the
Participant’sIncludedVehicles.
3.2 TheParticipantmustaffixLabelsonlytoIncludedVehicles.
3.3 The RTA may record the serial numbers of each LabelissuedtotheParticipant.
3.4 IfaLabelislostordestroyed,theParticipantmayrequestadditional Labels, in writing to the RTA, setting out thecircumstancesofthelossordestruction.
3.5 IntheeventthatanIncludedVehicleissoldorotherwisedisposed of, the Participant must remove the Label andnotifytheRTAwithin14daysthatthevehicleisnolongeranIncludedVehicle.
3.6 Intheeventthatanewvehicleispurchased,theParticipantmustnotify theRTAwithin14daysof thedetailsof thevehiclesoitmaybeaddedtotheParticipant’slistofIncludedVehicles.ALabelwillbeissuedforthenewvehicle.
3.7 TheParticipantmayusetheCleanFleetnameandlogoonIncludedVehicles,companylivery,buildingsigns,stationary,invoicesorbusinesscards.
3.8 WhereanIncludedVehicleoperatesinatrailercombinationfor heavy vehicles, Labels must only be attached to theprimemover.
3.9 TheParticipantmustnotusetheCleanFleetnameorlogoinamannerthatmakesitappearthattheParticipantistheoriginatorof theCleanFleetProgramor that theCleanFleetnameandlogobelongtotheParticipant.
3.10TheCleanFleetnameandlogoissetoutinSchedule1.
3.11TheCleanFleetnameandlogo:
(a) mustonlybeusedtogether;
(b) mustnotbeincorporatedaspartoftheParticipant’snameorlogo;
(c) mustbeshownaccurately, inproperproportionandorientation;and
(d) mustnotbe incorporated intoanyother trademark,logoorsymbol.
TheParticipantmustnot:
(a) useanytrademarkorlogowhichisdeceptivelysimilartotheCleanFleetlogo;and
(b) mustnotamendorobliteratethemarkinanyway.
4. EmissionsManagementSystem4.1 The Participant must comply with the terms of the
EmissionsManagementSystem.
4.2 The Participant must appoint a suitable person as thedesignatedmanagerofitsEmissionsManagementSystem.
5. Emissions5.1 TheParticipantmustcomplywiththeInServiceEmission
Standards as defined in the National EnvironmentProtection(DieselVehicleEmissions)Measure2001.
5.2 TheRTAmayconductemissiontestsonIncludedVehicles.Emissiontestingofall,orasample,ofIncludedVehiclesmaybecarriedoutattheParticipant’spremisesoratothersitesnotifiedtotheParticipant.TheParticipantwillbeinvitedtoattend.
5.3 Ifatestedvehiclefailsthetest,theRTAmayrequirethattheParticipant:
(a) submittoacomplianceaudit;
(b) carryoutmaintenanceorrepairasdirected;
(c) submit to further testing following maintenanceorrepair.

6. Contractors,employeesetc6.1 TheParticipantmustensureitsconsultants,subcontractors
and employees, do not cause it to be in breach of thisAgreement.
6.2 The Participant must provide training to all relevantemployees,includingmanagers,toensurethatthey:
(a) understand the terms of this Agreement and theParticipant’sobligations;
(b) understand the Participant’s Emissions ManagementSystem;and
(c) havethenecessaryknowledgeandskillstocarryoutthetasksgiventothem.
6.3 If theRTA requests, the Participantmust ensure that itsconsultants, subcontractors andemployeesparticipate intheWorkingWithorAroundTruckstrainingasdirectedbyRTA.
7. ReviewandAudit7.1 TheParticipantmustparticipateinanauditofitsdocuments
and records relating to theClean Fleet Program and itsEmissionsManagementSystemanditsvehicles:
(a) withinsixmonthsofbecomingaCleanFleetParticipant;
(b) torenewparticipationintheCleanFleetProgram;and
(b) uponRTA’srequest.
7.2 Compliance audits are to be conducted by an RTAapprovedAuditor.
7.3 The Participant must provide the RTA or its nomineeaccess during the Participant’s usual business hours tothe resources, facilities, personnel and premises used bytheParticipant and anyother documentation relating totheCleanFleetProgramforthepurposeofassessingtheParticipant’s compliancewith any Laws,or itsobligationsunderthisAgreement.
7.4 TheParticipantmustcooperatefully,andmustensurethatall Personnel cooperate fully, in any inspection includingby answering all reasonable questions of the RTA or itsrepresentative.
7.5 IfaninspectionrevealsthattheParticipantisnotcomplyingwithanyrelevantLaw,anyauditrequirementorotherwisewiththisAgreement,theParticipantmust:
(a) promptlytakesuchactionas isnecessarytoremedythenon-compliancetoRTA’ssatisfaction;and
(b) provideevidenceoftheremedytoRTA.
8. TermandTermination8.1 ThisAgreementcommencesontheStartDate.
8.2 Subject to extension or termination in accordance withthetermsofthisAgreement,theAgreementwillremaininforceuntiltheEndDate.
8.3 If by notice at least 90 days before the End Date, theParticipant requests theRTA toextend the termof thisAgreement, the RTA may specify certain actions whichmustbeundertakenpriortoanyextension.Suchactionsmayinclude:
(a) arrange for an audit of the Participant’s EmissionsManagementSystem;
(b) undergoingemissionstestsasdirectedbytheRTA;
(c) the Participant’s compliance with the emission relatedprovisionsintheProtectionoftheEnvironmentOperations(CleanAir)Regulations2002(NSW);
(d) satisfactorycompletionandsubmissionofanapplicationasdirectedbytheRTA;
(e) revisions as directed to the Emissions ManagementSystem.
8.4 Uponcompletionof theactionsspecifiedbyRTAunderclause 8.3, RTA may by notice extend the term of thisAgreement by an additional periodof 2 years from theEndDate.
8.5 Either the RTA or the Participant may terminate thisAgreementwithoutcauseby7dayswrittennoticetotheotherparty.
8.6 TerminationofthisAgreementiswithoutprejudicetoanyaccruedrightsorremediesoftheparties.
8.7 Within 7 days of termination of this agreement theParticipantmust:
(a) remove the Clean Fleet logo and all references to theCleanFleetProgramfromsignage,vehicles,companylivery,buildingsigns;
(b) destroy all Labels, stationary, letterhead, advertisements,andbusinesscardsbearingreferencetoCleanFleet;and
(c) providealetterofconfirmationfromyourChiefExecutiveor General Manager to the RTA confirming that it hascompliedwithallrequirementsofthisclause.
9. Indemnity9.1 The Participant indemnifies the RTA its contractors,
employeesandagentsfromandagainstallLossarisingoutoforinconnectionwiththeCleanFleetProgramandtheParticipant’sparticipationintheCleanFleetProgram.

9.2 TheParticipant’sliabilitytoindemnifytheRTAisreducedproportionallytotheextentthatamaliciousornegligentactoromissionbytheRTAorabreachofthisAgreementbytheRTAhascontributedtotheLoss.
10.DisputeResolution10.1If a disputeor difference arises out of, or in connection
with,thisAgreementoritssubjectmatter :
(a) thepartiesagreetouseallreasonableendeavourstoresolvethedisputespeedilybygoodfaithnegotiationbetweentheRTARepresentativeandtheParticipantRepresentative(FirstStageDiscussions);
(b) ifthedisputehasnotbeenresolvedwithin20BusinessDaysaftercommencementofFirstStageDiscussions,the RTA Clean Fleet Administrator and the ChiefExecutiveoftheParticipantmustpromptlyholdgoodfaith discussions to attempt to resolve the dispute(SecondStageDiscussions);
(c) ifthedisputehasnotbeenresolvedwithin20BusinessDaysaftercommencementofSecondStageDiscussions,thematterisreferredtotheManager,VehicleEmissionsManagementProgramoftheRTA.TheManager,VehicleEmissionsManagementProgramortheirdelegatewillreviewthematterandadvisetheParticipantandRTACleanFleetAdministratorofthedecision.ThedecisionoftheManager,VehicleEmissionsManagementProgramortheirdelegatewillbefinal;and
(d) each party must continue to perform its obligationsunderthisAgreementdespitetheexistenceofadisputeortheoperationofthisdisputeresolutionprocess.
11.MediaReleasesandEnquiries11.1TheParticipantmustseekRTA’swrittenapprovalto:
(a) anypress releaseor advertisement arisingoutoforinconnectionwiththeAgreement,RTAortheCleanFleetProgram;or
(b) the release for publication of any information,publication, document or article concerning thisAgreement,theRTAorCleanFleetProgram.
11.2TheParticipantmustreferanymediaenquiriesconcerningtheAgreement,RTAorCleanFleetProgramtotheRTA’sRepresentative.
12.ConfidentialInformation12.1ObligationsaboutConfidentialInformation
(a) TheParticipantmust:
(1) keepconfidentialanyConfidentialInformationsuppliedor disclosed to it by theRTAorobtained underor
inconnectionwiththisAgreementandmustnotuseordisclosesuch informationoranypartof it toanypersonwithoutthepriorwrittenconsentoftheotherparty.
(2) useanyConfidentialInformationsuppliedordisclosedtoitbytheRTAsolelyforthefulfilmentofitsobligationsunderthisAgreementfornootherpurpose.
(b) The restrictions in clause 12.1 (a) do not apply toinformationtotheextentthattheParticipantisobligedby laworacourtorder todisclose theConfidentialInformation.
(c) TheParticipantmust take all steps anddo all thingsnecessary, prudent or desirable to keep confidentialtheConfidentialInformation.
(d) TheParticipantmustnotuse,reproduceordistributethe Confidential Information except in accordancewiththisAgreement.
(e) TheParticipantmustensurethatitsemployees,agents,contractors and sub-licensees keep the ConfidentialInformationconfidential.
13.General13.1The Participant must notify the RTA of any proposed
mergeroramalgamationoftheParticipantwithanyotherentity as soon as possible after theParticipant becomesawareoftheproposedmergeroramalgamation;and
13.2The Participant must notify the RTA immediately if itbecomes aware of any inaccuracy, incompleteness orchange in the information, which it has provided in theApplicationForm.
13.3TheParticipantmustcomplywithallreasonabledirectionsoftheRTA.
13.4AllnoticestobegivenunderthisAgreementmustbeinwritinganddeliveredinpersonorbyregisteredpostto:
(a) in the case of the Participant to the ParticipantRepresentative;and
(b) inthecaseoftheRTAtotheRTARepresentative;
(c) or to such other address as a party notifies to theotherpartyasitsaddressfornotices.
13.5Anynoticewillbedeemedtohavebeenserved:
(a) wherethenoticeisdeliveredinperson,onthedateitisdelivered;or
(b) wherethenoticeisposted,onthethirdBusinessDayafterthenoticehasbeenposted.
13.6TheParticipantmaynotassign,sub-contractorotherwisetransferanyorallofitsrightsorobligationsunderthisAgreement.

13.7Nothing in thisAgreementwill create,orbedeemedtocreate, a partnership or a relationship of principal andagentbetweentheparties.Neitherpartymayinanywayrepresentitselfasanagentoftheotherandneitherpartywillhaveauthoritytoenterintoanyobligationsonbehalfoftheotherortobindtheotherinanyway.
13.8Nodelay,neglectorforbearancebyeitherpartyinenforcinganyprovisionofthisAgreementwillbedeemedtobeawaiveroforinanywayprejudiceanyrightsofthatparty.
13.9ThisAgreement contains the entire agreement betweenthe parties with respect to the subject matter of thisAgreement, and supersedes all previous agreementsand understandings between the parties with respectto its subject matter, and may not be modified exceptby an instrument in writing signed by a duly authorisedrepresentativeofeachparty.
13.10 This Agreement must not be varied without theagreementinwritingofbothparties.
13.11 IfanyaspectofthisAgreementisfoundtobeinvalid,illegalorunenforceablethiswillnotaffectthevalidityof any other part of this Agreement. In such casethisAgreementwill be construedandenforcedas ifitdidnotcontain the invalid, illegalorunenforceableprovisionorpartthereof.
13.12 ThisAgreement will be governed by and construedin accordance with the laws of New SouthWales.EachpartysubmitstotheexclusivejurisdictionoftheCourtsofNewSouthWales.
14.DefinitionsInthisAgreement:
Agreement means this Clean Fleet Program ParticipationAgreement, including the schedules and annexures (and fortheavoidanceofdoubt,includingthecompletedandapprovedApplicationForm).
Application Form means the application form in respect ofCleanFleetProgramParticipationAgreementcompletedbytheParticipantandapprovedbytheRTA.
Auditor means a person who is not the Participant or anemployeeoftheParticipantandwhois:
•acompetentandexperiencedauditortowhomtheRTAdoesnotobject;and
•otherwiseapprovedbytheRTA.
BusinessDaymeansanydayotherthanaSaturday,SundayorpublicholidayinNewSouthWales.
CleanFleetStandardsmeanstheCleanFleetProgramstandardssetoutinClean Fleet – What you need to know to join the RTA’s Clean Fleet Program.
Confidential Informationmeansany informationdisclosedbytheRTAorobtainedorcreatedbytheParticipantunderorinconnectionwiththisAgreementthatis:
(a)byitsnatureconfidential;or
(b)designatedasbeingconfidentialbytheRTA;or
(c)PersonalInformation
whetherthe information isoralor inwriting,orderivedfrominformationobtainedfromtheRTAunderthisAgreement.
EmissionsManagementSystemmeanstheemissionsmanagementsystemagreedbetweentheParticipantandtheRTA.
End Date means the date stated by RTA in theApplicationFormastheenddate.
IncludedVehiclesmeanstheParticipant’sdieselvehiclesincludedbytheRTAintheCleanFleetProgram.
In-Service Emission Standards means In-Service EmissionStandards as defined in theNational Environment Protection(DieselVehicleEmissions)Measure2001.
IntellectualPropertyRightsmeansintellectualpropertyrightsor other proprietary rights including copyright, design rights,registereddesigns,rightsindatabases,trademarks(registeredorunregistered)andrightstoapplyforregistrationatanyoftheforegoinganywhereintheworld.
LabelmeansaCleanFleetProgramlabelissuedbytheRTA.
Lawmeansanylaw,regulation,governmentpolicyorministerialdirection.
Lossmeansanycosts,claims,expenses,proceedings,damages,loss(whetherdirect,indirectorconsequential)orlossofprofitssufferedorincurredbyaparty.
Participant means the party to this Agreement who isauthorisedbytheRTAtoparticipateintheCleanFleetPrograminaccordancewiththetermsofthisAgreement.
ParticipantRepresentativemeanstheParticipantRepresentativeidentifiedintheApplicationForm,orasnotifiedfromtimetotimebytheRTA.
Personnelmeansemployees,officers,contractorsandagentsoftheParticipant.
RTACleanFleetAdministratormeanstheRTAAdministratorwhomanagestheCleanFleetProgramincludingtheacceptanceof Applicants into the Program and the administration ofParticipantsandAuditors.
RTARepresentativemeanstheRTARepresentative identifiedintheApplicationForm,orasnotifiedfromtimetotimebytheRTA.
StartDatemeansthedatestatedbytheRTAintheApplicationFormastheStartDate.
