1. Work

A. The Contractor and the City agree to abide by the terms and conditions containedin the Contract Documents;

B. The Contractor must furnish all of the labor; supplies and materials; equipment;printing; vehicles; transportation; office space and facilities; all tests, testing andanalyses; and all matters whatsoever (except as otherwise expressly specified tobe furnished by the City) needed to install all products and provide all servicesrequired of the Contractor by the Contract Documents(the “Work”).

C. The Contractor agrees to do additional work arising from changes ordered by theCity in accordance with the Contract Documents.

D. “Contract Documents” means the Notice Inviting Sealed Bids; Instructions toBidders; the accepted Bidding Documents; this Contract; Specifications; Plans;Addenda; Notice of Award; Notice to Proceed; Requests for Information;Requests for Change Orders; Change Orders; Notice of Completion; and all otherdocuments identified in the Contract Documents which together form the Contractbetween the City and the Contractor for the Work. 2. Contract Sum

B. City may, but is not required to, allow time extensions or alterations to theConstruction Schedule if Contractor causes a delay in City issuing a Notice toProceed.

C. The Construction Schedule will supersede any conflicting provisions included onthe notice to proceed issued pursuant to this Contract.

D. The Contractor must not perform any Work until:

i. The Contractor furnishes proof of insurance as required by the ContractDocuments; and

ii. The City gives the Contractor a Notice to Proceed.

E. By signing this Contract, the Contractor represents to the City that the ContractTime is reasonable for completion of the Work and that the Contractor willcomplete the Work within the Contract Time.

F. Should the Contractor begin the Work before receiving written authorization toproceed, any such Work is at the Contractor’s own cost and risk.

4. Disputes

Disputes arising from this contract will be determined in accordance with the ContractDocuments and Public Contracts Code §§ 10240-10240.13.

5. Third Party Claims.

In accordance with Public Contracts Code § 9201, the City will promptly inform theContractor regarding third-party claims against the Contractor, but in no event later thanten (10) business days after the City receives such claims. Such notification will be inwriting and forwarded in accordance with the “Notice” section of the ContractDocuments. As more specifically detailed in the Contract Documents, the Contractoragrees to indemnify and defend the City against any third-party claim.

6. Taxpayer Identification Number

The Contractor will provide the City with a Taxpayer Identification Number.

7. Permits and Licenses

Unless otherwise provided, the Contractor, at its sole expense, will obtain and maintainduring the Contract Time, all necessary permits, licenses, and certificates that may berequired in connection with the Work.

8. Ownership of Documents

All documents, data, studies, drawings, maps, models, photographs and reports preparedby the Contractor under the Contract Documents are the City’s property. The Contractor may retain copies of said documents and materials as desired, but will deliver all originalmaterials to the City upon the City’s written notice.

9. Indemnification

The Contractor agrees to indemnify and hold the City harmless as set forth in the ContractDocuments. The requirements as to the types and limits of insurance coverage to bemaintained by the Contractor as required by the Contract Documents, and any approval ofsuch insurance by the City, are not intended to and will not in any manner limit or qualifythe liabilities and obligations otherwise assumed by the Contractor pursuant to theContract Documents, including, without limitation, to the provisions concerningindemnification.

10. Independent Contractor

The City and the Contractor agree that the Contractor will act as an independentcontractor and will have control of all work and the manner in which is it performed. TheContractor will be free to contract for similar service to be performed for other employerswhile under contract with the City. The Contractor is not an agent or employee of theCity and is not entitled to participate in any pension plan, insurance, bonus or similarbenefits the City provides for its employees. Any provision in this Contract that mayappear to give the City the right to direct the Contractor as to the details of doing thework or to exercise a measure of control over the work means that the Contractor willfollow the direction of the City as to end results of the work only.

11. Audit of Records

The Contractor will maintain full and accurate records with respect to all services andmatters covered under this Contract. The City will have free access at all reasonabletimes to such records, and the right to examine and audit the same and to make transcripttherefrom, and to inspect all program data, documents, proceedings and activities. TheContractor will retain such financial and program service records for at least three (3)years after termination or final payment under the Contract Documents.

12. Notices

All communications to either party by the other party will be deemed made whenreceived by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have beenreceived by the addressee three (3) days after deposit thereof in the United States Mail,postage prepaid and properly addressed as noted above. Changes may be made in the namesor addresses of persons to who notices are to be given by giving notice in the mannerprescribed in this paragraph.

13. No Third Party Beneficiary.

This Contract and every provision herein are for the exclusive benefit of the Contractorand the City and not for the benefit of any other party. There will be no incidental orother beneficiaries of any of the Contractor’s or the City’s obligations under this Contract.

14. Interpretation.

This Contract was drafted in, and will be construed in accordance with the laws of theState of California, and exclusive venue for any action involving this Contract will be inLos Angeles County.

15. Effect Of Conflict.

In the event of any conflict, inconsistency, or incongruity between any provision of theContract Documents, precedence will be as follows:

A. This Contract;

B. Precedence of documents as determined in the Conditions of the Contract.

16. Severability.

If any portion of the Contract Documents are declared by a court of competentjurisdiction to be invalid or unenforceable, then such portion will be deemed modified tothe extent necessary in the opinion of the court to render such portion enforceable and, asso modified, such portion and the balance of this Contract will continue in full force andeffect.

17. Authority/Modification.

The Parties represent and warrant that all necessary action has been taken by the Parties toauthorize the undersigned to execute this Contract and to engage in the actions describedherein. This Contract may be modified by written amendment. The City’s city manager, or designee, may execute any such amendment on the City’s behalf.

18. Acceptance Of Facsimile Signatures.

The Parties agree that this Contract, agreements ancillary to this Contract, and relateddocuments to be entered into in connection with this Contract will be considered signedwhen the signature of a party is delivered by facsimile transmission. Such facsimilesignature will be treated in all respects as having the same effect as an original signature.

19. Covenants and Conditions.

The parties agree that all of the provisions hereof will be construed as both covenants andconditions, the same as if the words importing such covenants and conditions had beenused in each separate paragraph.

20. Captions.

The captions of the paragraphs of this Contract are for convenience of reference only andwill not affect the interpretation of this Contract.

21. Waiver.

Such performance will be in accordance with the requirements of the Contract Documents which are made a part of this bond by reference.

2. PRINCIPAL’s work on the PROJECT will be done in accordance with the requirements of the Contract Documents for the PROJECT and with permits issued by the CITY. Should PRINCIPAL fail to complete all required work within the time allowed, CITY may, at its sole discretion, cause all required work to be done and the parties executing the bond will be firmly bound for the payment of all necessary costs therefor.

3. PRINCIPAL will guarantee its work against any defective work, labor, or materials on the PROJECT for a period of one (1) year following the PROJECT’s completion and acceptance by the CITY.

4. PRINCIPAL will pay for all materials and other supplies, for equipment used in, on, for or about the performance of the Project, and will pay for all work and labor thereon.

Instructions For Completing Payroll Form, WH-347

General: The use of the WH-347 payroll form is not mandatory. This form has been made available for the convenience of contractors and subcontractors required by their Federal or Federally-aided construction-type contracts and subcontracts to submit weekly payrolls. Properly filled out, this form will satisfy the requirements of Regulations, Parts 3 and 5 (29 CFR, Subtitle A), as to payrolls submitted in connection with contracts subject to the Davis-Bacon and related Acts.

This form meets needs resulting from the amendment of Davis-Bacon Act to include fringe benefits provisions. Under this amended law, the contractor is required to pay not less than fringe benefits as predetermined by the Department of Labor, in addition to payment of not less than the predetermined rates. The contractor's obligation to pay fringe benefits may be met either by payment of the fringes to the various plans, funds or programs or by making these payments to the employees as cash in lieu of fringes.

This payroll provides for the contractor's showing on the face of the payroll all monies to the employees, whether as basic rates or as cash in lieu of fringes and provides for the contractor's representation in the statement of compliance on the rear of the payroll that he is paying to other fringes required by the contract and not paid as cash in lieu of fringes. Detailed instructions concerning the preparation of the payroll follow:

Column 1 - Name, Address, and Social Security number of Employee: The employee's full name must be shown on each weekly payroll submitted. The employee's address must also be shown on the payroll covering the first week in which the employee works on the project. The address need not be shown on subsequent weekly payrolls unless his address changes. Although not required by Regulations, Parts 3 and 5, space is available in the name and address section so that Social Security numbers may be listed.

Column 2 - Withholding Exemptions: This column is merely inserted for the employer's convenience and is not a requirement of Regulations, Part 3 and 5.

Column 3 - Work Classifications: List classification descriptive of work actually performed by employees. Consult classification and minimum wage schedule set forth in contract specifications. If additional classifications are deemed necessary, see Contracting Officer or Agency representative. Employee may be shown as having worked in more than one classification provided accurate breakdown or hours so worked is maintained and shown on submitted payroll by use of separate entries.

Column 4 - Hours worked: On all contracts subject to the Contract Work Hours Standard Act enter as overtime hours worked in excess of 8 hours per day and 40 hours a week.

Column 6 - Rate of Pay, including Fringe Benefits: In straight time box, list actual hourly rate paid the employee for straight time worked plus in cash in lieu of fringes paid the employee. When recording the straight time hourly rate, any cash paid in lieu of fringes may be shown separately from the basic rate, thus $3.25/.40. This is of assistance in correctly computing overtime. See "Fringe Benefits" below. In overtime box shown overtime hourly rate paid, plus any cash in lieu of fringes paid the employee. See "Fringe Benefits" below. Payment of not less than time and one-half the basic or regular rate paid is required for overtime under the Contract Work Hours Standard Act of 1962. In addition to paying no less than the predetermined rate for the classification which the employee works, the contractor shall pay to approved plans, funds or programs or shall pay as cash in lieu of fringes amounts predetermined as fringe benefits in the wage decision made part of the contract. See "FRINGE BENEFITS" below.

FRINGE BENEFITS - Contractors who pay all required fringe benefits: A contractor who pays fringe benefits to approved plans, funds, or programs in amounts not less than were determined in the applicable wage decision of the Secretary of labor shall continue to show on the face of the payroll the basic cash hourly rate and overtime rate paid to his employees just as he has always done. Such a contractor shall check paragraph 4(a) of the statement on the reverse of the payroll to indicate that he is also paying to approved plans, funds or programs not less than the amount predetermined as fringe benefits for each craft. Any exceptions shall be noted in section 4(c).

Contractors who pay no fringe benefits: A contractor who pays no fringe benefits shall pay to the employee, and insert in the straight time hourly rate column of the payroll, an amount not less than the predetermined rate for each classification plus the amount of fringe benefits determined for each classification in the applicable wage decision. Inasmuch as it is not necessary to pay time and a half on cash paid in lieu of fringes, the overtime rate shall be not less than the sum of the basic predetermined rate, plus the half time premium on basic or regular rate, plus the required cash in lieu of fringes at the straight time rate. In addition, the contractor shall check paragraph 4(b) of the statement on the reverse of the payroll to indicate that he is paying fringe benefits in cash directly to his employees. Any exceptions shall be noted in Section 4(c).

Use of Section 4(c), Exceptions

Any contractor who is making payment to approved plans, funds, or programs in amounts less than the wage determination requires is obliged to pay the deficiency directly to the employees as cash in lieu of fringes. Any exceptions to Section 4(a) or 4(b), whichever the contractor may check, shall be entered in section 4(c). Enter in the Exception column the craft, and enter in the Explanation column the hourly amount paid the employee as cash in lieu of fringes and the hourly amount paid to plans, funds, or programs as fringes. The contractor shall pay, and shall show that he is paying to each such employee for all hours (unless otherwise provided by applicable determination) worked on Federal or Federally assisted project an amount not less than the predetermined rate plus cash in lieu of fringes as shown in Section 4(c). The rate paid and amount of cash paid in lieu of fringe benefits per hour should be entered in column 6 on the payroll. See paragraph on "Contractors who pay no fringe benefits" for computation of overtime rate.

Column 7 - Gross Amount Earned: Enter gross amount earned on this project. If part of the employees' weekly wage was earned on projects other than the project described on this payroll, enter in column 7 first the amount earned on the Federal or Federally assisted project and then the gross amount earned during the week on all projects, thus $63.00/$120.00.

Column 8 - Deductions: Five columns are provided for showing deductions made. If more than five deduction should be involved, use first 4 columns; show the balance deductions under "Other" column; show actual total under "Total Deductions" column: and in the attachment to the payroll describe the deduction contained in the "Other" column. All deductions must be in accordance with the provisions of the Copeland Act Regulations, 29 CFR, Part 3. If the employee worked on other jobs in addition to this project, show actual deductions from his weekly gross wage, but indicate that deductions are based on his gross wages.

Ducts and Fans §150(m): Duct and Fans 1. All air-distribution system ducts and plenums installed, sealed and insulated to meet the requirements of CMC

Sections 601, 602, 603, 604, 605 and Standard 6-5; supply-air and return-air ducts and plenums are insulated to a minimum installed level of R-4.2 or enclosed entirely in conditioned space. Openings shall be sealed with mastic, tape or other duct-closure system that meets the applicable requirements of UL 181, UL 181A, or UL 181B or aerosol sealant that meets the requirements of UL 723. If mastic or tape is used to seal openings greater than 1/4 inch, the combination of mastic and either mesh or tape shall be used; and

1. Building cavities, support platforms for air handlers, and plenums defined or constructed with materials other than sealed sheet metal, duct board or flexible duct shall not be used for conveying conditioned air. Building cavities and support platforms may contain ducts. Ducts installed in cavities and support platforms shall not be compressed to cause reductions in the cross-sectional area of the ducts.

2D. Joints and seams of duct systems and their components shall not be sealed with cloth back rubber adhesive duct tapes unless such tape is used in combination with mastic and draw bands.

7. Exhaust fan systems have back draft or automatic dampers. 8. Gravity ventilating systems serving conditioned space have either automatic or readily accessible, manually

operated dampers. 9. Protection of Insulation. Insulation shall be protected from damage, including that due to sunlight, moisture,

equipment maintenance, and wind. Cellular foam insulation shall be protected as above or painted with a coating that is water retardant and provides shielding from solar radiation that can cause degradation of the material.

10. Flexible ducts cannot have porous inner cores.
