Business Concept

The Cipio iPhone App is a quick and convenient gateway to access an extensive marketplace for students who need, or are seeking assistance, research, and/or consulting in conjunction with their school work. A student, or “user” merely needs to snap a picture of the assignment at issue, upload it, set their maximum price and the deadline for a response, and wait for bids from “producers” to come in. Once the user accepts a producer whose price and rating meets the user’s parameters, the user selects that producer. The project is then completed by the producer and returned to the user. All of this is done through the convenience of smart phones, tablets and similar devices.

Business Concept (continued)

Cipio is intended to provide a resource for students who desire to improve their potential for performance at school and who wish to improve their grades. It fits students who have busy schedules, active social lives, who are involved in after-school and school-related extra-curricular activities that limit their ability to perform, research, or meet certain obligations or timelines related to their classes and assignments. Thus, Cipio is a means to assist students in completing school assignments in a timely manner.

Cipio provides an advantage to both the producer and the user. The user receives the assistance they seek to meet the various class assignments that arise during a school semester by receiving tutorial, research, and content assistance on school assignments while the producer receives a fee for providing these services.

Cipio provides for timely tutorial assistance and a quick and efficient manner of obtaining this assistance.

Cipio is going to take a student’s ability to complete homework and/or research assignments to a whole new level. Student’s all over the world will be using Cipio.

Market Summary

Cipio is intended to target high school and college students, but can provide assistance to anyone who has a project that is time-limited and demands the creation of a product related to a particular issue or assignment. Anyone can upload to Cipio and seek the assistance of producers who are uniquely qualified and competent to provide assistance to the user.

Cipio is not a “traditional” tutorial service. Rather, it is a unique and targeted service for which there are currently no competitors.

Market Summary (continued)

Per the Institute of Education Sciences, there are roughly 15 million students in high school and as many as 20 million students in colleges across the U.S. This provides a huge potential marketplace for Cipio’s services. At present, Cipio is anticipating reaching 3% of this market in its first 2 years of operation, which would equate to approximately one million students. Again, this is only considering U.S. students; it does not contemplate students outside the continental US, nor the myriad of other applications for which Cipio’s unique services might be sought.

Revenue Potential

Cipio’s share of transactions negotiated through Cipio is estimated to be $1.00/transaction, although Cipio’s fees are calculated as a percentage of the total fee charged by the producer and paid by the user (Cipio collects 10% of the fee paid by the user for the producer’s service). Using the conservative $1.00/transaction model, Cipio’s first year’s revenue based on 3% of the student marketplace in the U.S. is calculated to exceed $5 million per year for the first two years. It is anticipated that once Cipio’s services become better known, the amount of users and thus the amount of revenue will increase exponentially. Cipio’s revenue potential just in the U.S. market is tremendous; adding in the other markets, including students outside the U.S., the revenue potential could easily run into the tens of millions of dollars in just the first few years.

Opportunities – Potential for Success

There is an untapped and unlimited pool of qualified producers worldwide. Again, while Cipio is intended to focus primarily on students, even in that market, the revenue potential is virtually unlimited. As the pool of available producers grows, so, too, will the pool of Cipio users.

Page 9: Cipio Business Plan

Competition

There are currently no known competitors that offer an outsourcing model like Cipio. The Cipio model heavily emphasizes the fact that anyone can be a user and producer. Initially targeting students, Cipio allows students to avoid the expensive and exclusive websites that currently exist, while the ease of use of Cipio through smart phones, iPhone, tablet, etc., makes Cipio’s services unique, quick and mobile. The user sets the amount they are willing to spend rather than other sites which dictate a “minimum” or set amount. Further, the user can choose from a variety of producers who are rated, allowing the user to chose by both an expense and expertise criteria. If a user cannot find a producer willing to provide the assistance being sought within the timeframe at hand, or if a user is unwilling to spend the amount a producer is demanding, the user simply does not employ Cipio’s services for that particular assignment. In this way, Cipio is a truly unique and new model for students seeking assistance. Its potential is endless with no competing similar services available in the marketplace today.

Goals and Objectives

Cipio anticipates closing its investment period by September 30, 2014. Program development is anticipated to be complete with the first versions up and running by January, 2015. Cipio will constantly be upgrading and improving the ease of use and production of services, and anticipates releasing periodic updates.

Cipio is initially targeted to high school and college students in the U.S., but intends to expand the market its services through various marketing strategies to students all over the world. In addition, there exists an almost endless market of working professionals who may seek the services provided by Cipio for projects, research, etc; although they are not intended to be specifically marketed initially, as Cipio grows, this market potential will also be targeted.

The Team

Currently, the Cipio Team consists of Samuel Krut and Ofra Alon. Samuel Krut is a senior high school student in the San Fernando Valley. He is a diligent worker with a passion for technical and intuitive projects. He has a strong computer background and is intimately involved in the creation and development of Cipio. He is also an avid athlete who engages in competitive cycling, runs triathlons and enjoys physical activities.

Ofra Alon is a licensed CPA who is very experienced in her field. She has a passion for technical and complex projects and has a vast technical background. She currently has a son in college in the U.S. from whom she receives and expects to receive feedback about Cipio and its use and effectiveness with students at his college.

Cipio has engaged a law firm in the San Fernando Valley experienced in business transactions, patents, and copyright litigation who has consulted and guided the team from inception, and which continues to provide consultation as needed.

Resource Requirements

Cipio is a very cost efficient App to maintain and run. The user and producer connect through a third-party host (at least for the first year); Cipio merely provides the application. The host handles the financial transaction and sends Cipio the earned revenues after host expenses and/or fees. The primary resources required for the effective operation of Cipio are:

Program developer with whom the team will work with regularly to produce the initial as well as subsequent versions of the app, make and incorporate improvements as necessary, and respond to technical issues that may arise.

Cipio will use a third party SQL server for “backend operations” until our one-year contract with sellanapp.com expires.

Cipio will require an administrator to monitor the day-to-day operations and organize and run the administrative duties (including maintain records of income and expenses, managing producer/user issues, and other ministerial duties that may arise.

Cipio may need to “prime the pump” of producers by seeking out initial producers by offering compensation to start the pool of producers available at start-up.

Page 14: Cipio Business Plan

Financial Plan

As discussed earlier in the Market Summary, the potential market is unlimited. The Team anticipates the high school and college pool of users to be substantial by the end of its first year of service, and to grow exponentially each year thereafter. Inasmuch as the app is available on the world-wide web, students from all over the world will have access to Cipio. [All financial calculations are based solely on U.S. student use.]

Cipio will receive 10% of each transaction between user and producer and is using a very conservative $1.00/transaction model to calculate is potential revenue. The Team believes this model is a significant understatement of the fee Cipio will actually receive per transaction and anticipates the fee per transaction amount will increase as Cipio becomes better known.

Page 15: Cipio Business Plan

Risks and Rewards

Currently, there are no known risks to the operation of Cipio. Legal counsel has reviewed the business plan and concept and can find no legal impediment. Legal counsel will provide user and producer releases and waivers intended to provide legal protection to Cipio, but the possibility of litigation cannot be completely eliminated should a user determine the product was unusable because the produced work was inferior, not within the scope of the topic, or otherwise unusable. Similarly, while payment for services is not handled by Cipio (but by and through the server hosting the app) there may also arise issues of payment or collection. While the releases and/or waivers are intended to eliminate potential legal exposure to Cipio, they cannot be completely eliminated with certainty.

Cipio anticipates there may be resistance to its services by schools (not unlike concerns over the use of commercially-available study aids presently on the market); however the use of the product by the user is outside the scope of Cipio’s services.

As Cipio is used by non-U.S. students, conversions of currency will have to be facilitated. Initially, this will be done by the third-party host.

Page 16: Cipio Business Plan

Key Issues

Cipio is using sellanapp.com to gather funds to retain the services of a developer, or a number of developers, to take Cipio from concept to a useable app. At least one developer will be always be required for updates, glitches that may arise, improvements, etc… All developers will be subject to a legally binding Confidentiality Agreement and Non-Disclosure Agreement drafted by our attorneys.

Long-term, Cipio sees expansion into other platforms, such as Android, Microsoft, etc., and ultimately may seek to develop a website of its own in order to attract and captivate all possible users. The website will eventually also contain an interface to use the service for those without smartphones.
