SKYLINE AND CHARITY BOOKING CONDITIONS

1. This agreement is between your choice ofcharity (we/us/our), Skyline Promotions Limited(Skyline) and you and relates to your proposedparticipation in your challenge event (the event).2. This agreement will come into force whenSkyline has accepted your registration to takepart in the event.3. Skyline and we reserve the right not to acceptyour application for registration, in which caseSkyline will return your registration andfundraising administration fee.4. The purpose of this agreement is:4.1 to enable you to take part in the event sothat you can use your participation in it to raisemoney for your choice of charity; and4.2 to set out your obligations in relation to theevent and Skyline's and our obligations to you inrelation to it.5. The event is not organised by us or Skyline. Itis organised by a tour operator and once yourtour costs have been paid the tour operator willbe fully responsible to you for provision of alltravel, accommodation and other tour servicesin accordance with the information set out in theevent brochure and website. Payment of theregistration and fundraising administration fee isnot a payment for travel services and does notcreate a contract between you and the touroperator.6. If you are selected to take part in the event (inaccordance with clauses 8, and 9 below) you willhave a direct contract with the tour operator forthe provision of its services and that contractshall be in the form of the tour operator'sbooking conditions set out below7. All enquiries and requests for informationbefore departure will be handled by Skylinewhose contact details are set out in the eventbrochure and website.8. To be eligible for the event you must:8.1 complete the registration form and return itto Skyline with a registration and fundraisingadministration fee payable to Skyline; and8.2 be over 18 at the date of departure, unlessotherwise agreed by Skyline; and8.3 raise for the charity the initial sum of 80% ofthe total sponsorship. Such sum can be raised onan online fundraising page, sent to the charity ascash or by cheque to Skyline made payable tothe charity; this 80% must be raised 12 weeksbefore the trip departs (the due date).9. You will only be entitled to take part in theevent if:9.1 Skyline receives from you the initial sumspecified on the registration form; and9.2 you have provided Skyline with a satisfactoryreply to a medical questionnaire or haveprovided the tour operator with a doctor'scertificate indicating that you are sufficiently fitand healthy to take part in the event withoutserious risk to your health and safety or thehealth and safety of others; and9.3 Skyline (acting reasonably) is satisfied thatyour participation in the event is not likely tohave a detrimental effect on the morale of theparticipants as a whole so as to make it likelythat other participants will fail to complete theevent; and9.4 you have taken out travel insurance providedby the tour operator or have provided to thetour operator a letter from your insurers in such

form as the tour operator may reasonably requireconfirming that your travel insurance is suitable forthe event; and9.5 we have confirmed that the event will takeplace by paying to the tour operator the costs ofyour participation in the event. We will onlyconfirm this 8 weeks before the departure date forthe event.10 As soon as you become eligible to take part inthe event, if your package includes flights, the costsof your participation which we have paid to thetour operator will be protected by the touroperator's ATOL bond arranged with the CivilAviation Authority. Regardless of whether flightsare included in your package, at this point yourcontract with the tour operator will come into forceand you agree to abide by the tour operator'sbooking conditions.11 The costs of your participation in the event donot include airline and airport taxes, fuel surcharges, visas (when applicable) or border taxes and youwill be required to pay these if you take part in theevent. The amount of such costs will be notified toyou by Skyline as soon as such costs are known.11.1 If you choose to make personal arrangementswith the tour operator for provision of services notarranged between us and the tour operator, youwill pay to the tour operator the costs of thoseservices, plus a nominal administration fee.12 The conditions for carriage by air of all airlinesused will apply in respect of all air travel as ifincorporated in this agreement.13 You agree that you will raise for the charity theminimum sum specified in the event brochure andwebsite and you will use all reasonable endeavoursto collect and send such minimum sum and alladditional sponsorship pledged either to the charityin cash, to Skyline by cheque made payable to thecharity or added to an online fundraising pagewithin 4 weeks after the end of the event.14 You agree that in carrying out all fundraising forthe benefit of the charity you will comply with thefollowing requirements:14.1 You will abide by any fundraising guidelinesissued by us from time to time;14.2 You will only use lawful means to fundraiseand must not do anything which harms or is likelyto harm the charity's reputation;14.3 You agree to comply with the followingfinancial procedures:14.3.1 to pay all money collected on behalf of thecharity either to Skyline by cheque payable to thecharity, onto an online fundraising page, or sentdirectly to the charity in cash;14.3.2 to send to Skyline, by cheque, any moneyyou collect within 21 days of you receiving it;14.4 When asking for money from potentialsponsors you will make it clear that the cost of yourparticipation in the event will be paid out of themoney raised. This cost is stated in the eventbrochure and website.14.5 When asking for money from potentialsponsors, you will make it clear that theirsponsorship will be paid for the benefit of thecharity and will not be refundable even if the eventdoes not take place or you do not take part in it oryou do not complete it; and14.6 You agree not to use fundraising materialsother than those supplied to you by Skyline and thecharity for the purposes of the event.15.We and Skyline will use all reasonable

endeavours to ensure that the event takes placeso far as reasonably possible in accordance withthe information provided in the event brochureand website. However, Skyline and the touroperator may make such alterations to thearrangements as they may reasonably require,including (for example) changes to the anticipateddeparture date and return date by up to two dayseither side of those dates, changes to the itineraryand changes to the proposed accommodation.15.1 Skyline reserves the right to cancel the eventat any time before the departure date and inparticular to cancel if fewer than 15 participantsbecome eligible to take part.15.2 In certain circumstances the cancellation ofthe event or changes in the itinerary or otherarrangements could give you rights tocompensation and/or refunds under the PackageTravel, Package Holidays and Package ToursRegulations 1992 (as amended). Bearing in mindthe purpose of the event and that the source offunds for your participation is charity donations,you hereby irrevocably assign to the charity allrights you may now or in the future have toreceive such compensation and/or refunds inrelation to the event.15.3 You may in certain circumstances have a rightto make a claim to the Civil Aviation Authority fora refund in relation to travel and accommodationcosts and other services to be provided by the touroperator. For the same reasons set out in clause15.2 you hereby irrevocably assign to the charityall such rights as you may now or in the futurehave to any such refunds in relation to the event.16 If you choose not to participate in the event orif the event is cancelled or if you do not becomeeligible to take part in the event or if Skylineprevents you from doing so, all sums collected orpledged will still be payable to the charity.However, Skyline will refund the registration andfundraising administration fee if it cancels theevent or if Skyline or the tour operator preventyou from taking part; the registration fee is notrefundable in any other circumstances.17 Photography and filming may take place duringthe event to be used as promotional material forthe charity, Skyline or the tour operator. Pleaseinform Skyline if you do not wish to feature.18 The tour operator will be liable to you for theprovision of the tour services. The charity is onlythe beneficiary of your fundraising and is notinvolved in the event in any way. Skyline onlyprovides administrative services and is also notresponsible for the running of the event.19 This agreement constitutes the entireagreement and understanding between us, Skylineand you relating to the event and supersedes allother prior representations, agreements, orarrangements whether written or oral, express orimplied relating to the event.20 This agreement is governed by English law andyou and we irrevocably submit to the exclusivejurisdiction of the English courts.21 By completing the application form to take partin the event, you agree to be bound by theseconditions and by the tour operator's terms andconditions.

TOUR OPERATOR BOOKING CONDITIONS

Your contract with Skyline Tour Operations Ltd (“STOL”), ATOL 100691. STOL accepts registrations subject to the followingconditions. When you register and we accept it, alegally binding contract is made. When completing theregistration form you agree to accept all the conditions.2. Consumer protection: All events involving flights areATOL protected, since we hold an Air Travel OrganisersLicence granted by the Civil Aviation Authority. OurATOL number is 10069. In the unlikely event ofinsolvency the CAA will ensure that you are notstranded abroad and will arrange to refund any moneyyou have paid to us for an advanced booking. Forfurther information visit their web site atwww.atol.co.uk. Events not involving flights areprotected as required by the UK Package TravelRegulations 1992. In the unlikely event of insolvencythis protection will be used to ensure your repatriationand will arrange to refund any money you have paid tous for an advanced booking.2.1 Your financial protection: When you buy an ATOLprotected flight or flight inclusive holiday from us youwill receive an ATOL Certificate. This lists what isfinancially protected, where you can get information onwhat this means for you and who to contact if things gowrong.2.2 We, or the suppliers identified on your ATOLCertificate, will provide you with the services listed onthe ATOL Certificate (or a suitable alternative). In somecases, where neither we nor the supplier are able to doso for reasons of insolvency, an alternative ATOL holdermay provide you with the services you have bought or asuitable alternative (at no extra cost to you). You agreeto accept that in those circumstances the alternativeATOL holder will perform those obligations and youagree to pay any money outstanding to be paid by youunder your contract to that alternative ATOL holder.However, you also agree that in some cases it will notbe possible to appoint an alternative ATOL holder, inwhich case you will be entitled to make a claim underthe ATOL scheme (or your credit card issuer whereapplicable)2.3. If we, or the suppliers identified on your ATOLcertificate, are unable to provide the services listed (ora suitable alternative, through an alternative ATOLholder or otherwise) for reasons of insolvency, theTrustees of the Air Travel Trust may make a payment to(or confer a benefit on) you under the ATOL scheme.You agree that in return for such a payment or benefityou assign absolutely to those Trustees any claimswhich you have or may have arising out of or relating tothe non-provision of the services, including any claimagainst us, the travel agent (or your credit card issuerwhere applicable). You also agree that any such claimsmay be re-assigned to another body, if that other bodyhas paid sums you have claimed under the ATOLscheme.3. To secure a place on an Open Challenge: Aregistration fee is required for each individual booking.These are non refundable and are payable to SkylinePromotions Ltd. If taking out STOL insurance, you willneed to pay the premium at this point to ensure youare covered should the need arise for you to cancel.4. Payment: Full payment of the tour costs must bemade eight weeks prior to departure and is paid byyour chosen charity5. Credit card payments: No fee will be charged forcredit card payments6. Cancellation: must be received in writing from youand from Skyline Promotions Ltd and will be taken fromthe date received. In all cases you will lose theregistration fee and insurance cost. Cancellation after aregistration has been made will incur the followingcancellation fees: More than 42 days prior to departure= 10% of tour costs; 42-29 days prior to departure =50% of tour costs; 28-15 days prior to departure= 70%of tour costs; 14-4 days prior to departure = 90% oftour costs; 3-0 days prior to departure = 100% of tourcosts.6.1 If the 80% minimum sponsorship has not beenreceived by 12 weeks before the event then your placewill not be secure and Skyline/STOL reserves the right

to cancel your place and you will be subject tocancellations fees as detailed in clause 6.6.2 It is a condition of booking that you complete the formsrequested by Skyline: Information Sheet, MedicalQuestionnaire; Insurance. These must all be completed andreturned in full as soon as possible and in any event nolater than 12 weeks before departure in order for yourplace to be secure. Without these forms completed, at 12weeks we may deem your place cancelled and you will besubject to cancellation fees as details in clause 6.7. Minimum numbers: Please note that each tour has aminimum number of clients required for its operation. As aresult STOL reserves the right to cancel a specific departurefor any reason up to 42 days prior to the departure. Inthese circumstances you will be offered an alternative trip(which may involve an additional payment) or a completerefund.8. Itinerary: While STOL endeavours to follow thepublished itinerary there may be exceptionalcircumstances when it is not possible to do so. Due to thenature of the trip arrangements have to be planned well inadvance, so changes may have to be made and STOLreserves the right to cancel or modify the itinerary asnecessary. Should a material change be necessary STOL willinform you as soon as reasonably possible. A materialchange includes, for example, a significant change ofdestination, route, a change of flight time by more than 12hours or a change of airport.9. Challenge Participation and responsibility: We acceptyour booking on the understanding that you realise thehazards involved in this type of tour, including injury ordeath, disease, loss or damage to property, and that youcome on the tour at your own risk. Other than liability fornegligence in respect of death or personal injury, weaccept no liability for any injury resulting from the hazardsof trekking, cycling or any other activity included in theitinerary, or for any other mishaps to yourself or yourproperty, and in particular as a consequence of flightcancellations, strikes, wars, riots, sickness or other suchhappenings. Any independent travel arrangements thatyou make are also at your own risk. Helmets when cycling,and safety equipment supplied for all other activities mustbe worn correctly at all times.10. Flight delays: The timings of air, road or rail departuresare estimates only. We cannot accept liability for any delayin your flight from or to the UK, whether the cancellationor delay is caused by adverse weather conditions,rescheduling by an airline, airport authority and/or actionby air traffic controllers, mechanical breakdown orindustrial action. Where long flight delays result in lostchallenge time, no refunds are given by hotels or suppliers.Similarly, airlines do not offer compensation for flightdelays. In recognition of the above STOL’s travel insurancepolicy offers some monetary compensation for flightdelays over 12 hours to cover lost time or delayed return.11. Travel and cancellation insurance: Travel insurance ismandatory for all clients whilst on a tour organised bySTOL. You travel, together with your personal propertyincluding baggage, solely at your own risk at all times. Youare wholly responsible for arranging your own insurance. Ifyou choose not to take out STOL’s specially arrangedTravel/Cancellation insurance you are responsible forensuring that you have adequate private travel insurance,with protection for the full duration of the tour in respectof at least medical expenses, injury, death, repatriation,cancellation and curtailment. If you make your ownarrangements you should ensure that there are noexclusion clauses limiting protection for the type ofactivities included in the tour. You should satisfy yourselfthat any travel insurance arranged through STOL meetsyour requirements and you should arrange supplementaryinsurance if need be. You will be deemed to have read theinsurance cover. We require proof of cover no less thanthree months before departure. We reserve the right torefuse participation without proof of insurance.12. Medical Form: We require a completed medicalquestionnaire from each participant. If you are aged over65 years of age or if you have any medical condition thatcould be adversely affected by exercise, particularly a heartor lung condition, you must provide us with a medicalcertificate from your doctor. By accepting these terms youare confirming that, to the best of your knowledge, your

general state of health is good and that you take fullresponsibility for your health and personal well-being.13. Complaints: Should you have a complaint about anyof the tour arrangements, you must tell both the relevantsupplier and the tour leader at the time. It is only if thetour leader and the relevant supplier know aboutproblems that there will be the opportunity to put thingsright. Any complaints must be communicated to the tourleader immediately while on tour and to the office nolater than seven days after the return of the tour.14. Costs: The registration fee is fixed and will notincrease. STOL reserves the right to increase the tour costto take account of the following items: governmentaction, currency, transportation costs, including cost offuel, over flying charges and increase in airfares. Thecompany will absorb the sum equal to 2% of the costexcluding insurance premiums. Your chosen charity willhave to pay any sum in excess of 2% up to 12% of thetour cost whereby the client has the right to cancel withinseven days of notification. No surcharge will be leviedwithin 42 days of departure. The event cost is based onthe exchange rate prevailing at the time of quoting.15. Equipment: Clients taking their own equipment andbike on tour are responsible for any charges fortransportation levied by the airline including excessbaggage.16. Participants: STOL reserves the right on reasonablegrounds to refuse participation to anyone at any timewithout having to disclose the reason. Your entitlementto participate depends on our being satisfied that thereare no circumstances under which we ought properly todecline your participation. Our decision on yourparticipation shall be final and binding. We however willnot exercise this right without having clear grounds to doso. In any circumstances where we decide that you maynot participate your registration fee and insurancepremium will be refunded to you in full.17. Refunds and compensation: If you cancel your travelarrangements or the event is otherwise cancelled for anyreason, no refund will be payable to you as yoursponsorship was raised for charitable purposes.Accordingly, we will pay your chosen charity any balanceof the tour costs paid to us after deduction ofcancellation charges which have been detailed inparagraph 6. If cancellation occurs in circumstanceswhere recovery of cancellation charges is indemnifiedunder your travel insurance, you hereby agree that youwill co-operate in the recovery of these charges from theinsurers and any sums recovered under the policy willagain be paid to your chosen charity. Except in respect ofdamages awarded to you by a court, you herebyirrevocably assign to your chosen charity all rights younow or in the future may have to receive funds orcompensation arising from cancellation of the event oralteration to the tour arrangements and irrevocablyauthorise us to pay such monies to your chosen charity.18. Minimum age: Participants must be over 18 years ofage, unless otherwise agreed by STOL.19. Passport, vaccinations and visas. You are responsiblefor arranging, and must be in possession of, a validpassport and any visas and vaccination certificatesrequired for the whole of your journey. Information givenby STOL about these matters or related items (climate,clothing, baggage, personal gear etc) is given in goodfaith, but without responsibility on STOL. It is yourresponsibility to obtain any necessary vaccinations foryour tour and to do so well before the departure date.20. Booking form: Completing your registration formsignifies your agreement to abide by the authority of theleader, who represents STOL. The decision of the leaderas to the conduct, itinerary and objectives of the tour isfinal. If in the opinion of the leader, your behaviour orphysical condition is detrimental to the safety, welfareand wellbeing of the group as a whole or that yourgeneral well-being will be put at risk by continuing withthe Open Challenge, you may be asked to leave the tourwithout the right to any refund for unused services.
