CellnexTelecomagreestobuy261mobiletelephonysitesfromProtelindointheNetherlands

• CellnexTelecom is to invest €109million in a transaction thatwill openupaccess to theNetherlands and to the markets of central and northern Europe. A move that furtherstrengthensCellnex’sfocusonEuropeandtheinternationalizationofitsmarkets.

• These sites cover the entire territory of the Netherlands, 80% of which are strategicallylocatedalongthecountry'smainroadcorridors.

• CellnexconfirmsitsstatusasaEuropean-wideoperatorbyaddingoneofthemostadvancedanddynamictelecommarketsbothintermsofmobilebroadbandpenetrationaswellasthepositionoftheindependenttelcoinfrastructureoperators.

• The transaction isexpected to closewithin the next twomonths, following satisfactionofcertainconditionscustomaryinthistypeofagreement.

• Theacquisitionwillbefinancedviaexistingcreditfacilities.

Barcelona, 30May2016.-CellnexTelecomhas reachedanagreement toacquirea100%stakeofProtelindoNetherlandsB.V.,asubsidiaryoftheIndonesiantelecommunicationstowersgroupPTSaranaMenaraNusantara.The transaction involves an investment of €109 million and the integration of Protelindo’s existing 261telecommunicationssitesintotheCellnexportfolio.

The261towerscurrentlymanagedbyProtelindoarespreadalloverthecountry.80%ofthesesitesarelocatedinareasclosetothemainroadcorridors,addingtotheirappealasalocationformobileoperators'equipment.Theremaining20%arelocatedinurbanandruralareas.Itisworthnotingthattheaveragetenancyratioofthesesitesis1.88.

75%ofrevenuesarelinkedtocontractsthatextendupto2028.TheseDutchsites,onceconsolidatedintoCellnex,areforecasttocontributeEBITDAofapproximately€8millionin2017.

TheDutchmarket

The Dutchmobile telephony infrastructuremarket comprises five operatorsmanaging a total of 1,500 sites,includingthe261ownedbyProtelindo,whichcomplementtheproprietarynetworkrolledoutbythecountry'sbigthreemobileoperators(KPN,TMobileandVodafone),plusTele2,whichoffersexclusively4Gservices.TheNetherlandshasatotalof15,200locationsthroughoutitsterritory.

TheNetherlands,anAAAratedcountry,isoneoftheEuropeanmarketswithhighestpenetrationof4Gmobilebroadband.Thiscoveragebythefourmobileoperatorsinthecountryrangesbetween92%and99%.Thisroll-outwas achievedmainlyon thebasis of theexisting2Gand3G sites.As inmost European countries, improvingcoveragetoallowmobileaccesstobroadbandcontentinareaswithlargenumbersofconcurrentusersisoneofthechallengesforthefuture.Inthisregard,rollingoutahigherdensityandmorecapillarynetworkbydeploying"smallcells"anddistributedantennasystems(DAS),willconstituteagrowthvectorintheDutchmarketoverthecomingyears.
