Pursuant to notices published in The Cedar Rapids Gazette, a hearing must be held at 5:30 p.m. on February 10, 2020, for the purpose of receiving any objections to the adoption of prepared drawings, specifications, form of contract, and total estimated cost for McKinley, Roosevelt, and Taft Middle Schools - ADA Restroom Improvement Projects.
If no objections are presented and sustained, the recommended Board action is to give
final approval to the drawings, specifications, form of contract, and total estimated cost for this project.

meetings as required by Iowa Code §§ 21.3 and Board Regulation 202.10. The minutes will be available for public inspection within two weeks of the Board meeting and forwarded to the appropriate newspaper for publication.
Recommendation: It is recommended that the Board of Education approve the Minutes from the Regular
Meeting/Work Session held on January 27, 2020.

CONSENT AGENDA BA-20-008/12 Open Enrollment – Denial 2019-2020 School Year (John Rice) Exhibit: BA-20-008/12.1 Action Item Pertinent Fact(s):
1. Section 256.7(5), Chapter 17, of the Iowa Code “Open Enrollment,” allows parents/guardian to enroll their children/child in a school district other than the resident district of the custodial parent/guardian. In order for parents/guardians to exercise this option, their request must be submitted by March 1 of the year preceding open enrollment. For kindergarten children the deadline for submitting an application for open enrollment is September 1 of the current school year.
2. Applications filed after the deadline will not be approved unless the reason for late filing
qualifies for “good cause”; “good cause” means a change in the status of a child’s resident district for any of the following reasons: A. Family moved to a new district of residence B. Change in the marital status of the student's parents resulting in new resident district C. Placement of the student into foster care resulting in new resident district D. Adoption resulting in new resident district E. Participation in a foreign exchange program F. Participation in a substance abuse or mental health treatment program resulting in new
resident district G. Failure of negotiations for reorganization or rejection of proposed reorganization plan* H. Failure of negotiations for whole grade sharing or rejection of whole grade sharing agreement* I. Loss of accreditation or revocation of a charter school contract*
*If “good cause” is related to change in status of child’s resident district, the open enrollment request must be filed within 45 days of last board action or within 30 days of certification of an election, whichever is applicable.
3. Request may be denied if:
A. The student has been suspended or expelled by a district and has not been reinstated as a student in that district
B. Insufficient classroom space exists C. Minority/non-minority pupil ratios would be adversely affected D. An appropriate instructional program is not available E. The applicant missed the prescribed deadline and the request does not qualify for “good
cause”
4. If the denial is based on a desegregation plan and/or any other reasons, it may be appealed to the Linn County District Court and cannot be appealed to the State Board of Education. An appeal must be postmarked within 30 days of the Board decision.
Recommendation: It is recommended that the Board of Education approve the Open Enrollment-Denial of these
student(s) commencing with the 2019-2020 School Year.

CONSENT AGENDA BA-20-012/06 Policy Manual – Approval - Policies 208 “Collaborative Decision-Making Process”, and 305 “Development of Administrative Regs & Procedures” (Noreen Bush/Laurel Day) Exhibit: BA-20-012/06.1 Action Item Pertinent Fact(s): 1. The Board of Education reviews all policies, regulations and procedures at least once
every five years.
2. Board approval is required for all policies. This agenda item includes policies that were presented to the Board at a prior meeting. Administrative regulations and procedures do not require Board approval.
Recommendation:
It is recommended that the Board of Education approve Policies 208 “Collaborative Decision Making Process”, and 305 “Development of Administrative Regs & Procedures” of the District Policy Manual as recommended by the Superintendent.
Policy 208 Recommending elimination from Policy Manual: Policy Review Committee believes that this was a philosophical statement having been generated in the 90’s at the height of cooperative learning and moving away from isolated practices. Collaborative decision-making processes are inherent in all of our practices; so, it doesn’t seem necessary to have policy to state the obvious. It does not mean we are swaying away from collaboration, rather collaboration is who we are and how we operate. Collaboration is also in our belief statements.
COLLABORATIVE DECISION-MAKING PROCESS The District believes that our students are best served when decisions that affect them are made collaboratively by the individuals who are responsible for all aspects of their education. The Board empowers the District and its school communities to utilize a collaborative decision-making process where decisions are made at the most appropriate level. The collaborative decision-making process:
• Includes individuals affected by the decision.
• Is efficient and sensitive to time demands.
• Acts on substantive issues in thoughtful ways and be supported by data and research findings.
• Includes strategies to mediate and resolve conflicts.
• Includes the establishment of a culture that results in high levels of risk-taking, creativity, trust, ownership and commitment in alignment with community expectations and District, state and federal restrictions.

DEVELOPMENT OF ADMINISTRATIVE REGULATIONS/PROCEDURES
Administrative regulations/procedures may be necessary to implement Board policy. It is the responsibility of the Superintendent to develop, monitor, and update administrative regulations/procedures. In developing the administrative regulations/procedures, the Superintendent should consult with administrators or others likely to be affected by the regulations. Once the regulations are developed, employees, students and other members of the school District community will be informed in a manner determined by the Superintendent. The Board will be kept informed of the administrative regulations/procedures utilized and their revisions. The Board may review and recommend change of administrative regulations/procedures. It is the responsibility of the Superintendent to enforce administrative regulations/procedures.

CONSENT AGENDA BA-20-251 Approval – Resolution to Schedule a Public Hearing for Permanent Easement
Agreement—Washington High School (Jon Galbraith) Exhibit: BA-20-251.1-5 Action Item Pertinent Fact(s):
1. Interstate Power and Light Company is requesting a permanent utility easement at Washington High School. The area in question is a 10-foot strip of land, containing approximately 10,280 square feet.
2. The District has no intention of building on this property nor should the permanent
easement cause any future hardship to the District.
3. Interstate Power and Light shall pay the District $1.00, plus attorney fees and publishing fees of $2,500.00.
4. The Board will consider taking action to accept the Permanent Easement Agreement and
hold a Public Hearing on this matter at the February 24, 2020 Board Meeting. Board acceptance of the Agreement is contingent on the outcome of the Public Hearing and final Board action.
Recommendation:
It is recommended that the Board of Education approve the Resolution to schedule a Public Hearing at the February 24, 2020 Board of Education meeting for the approval of Permanent Property Easement Agreement.

The Districts costs for eligible Category 2 equipment is currently reduced by 80% through participation in this program.

This Agreement is made February 10, 2020 (“Effective Date”), between Association for Supervision and Curriculum Development d/b/a ASCD (“ASCD”), located at 1703 North Beauregard Street, Alexandria, VA 22311, and Cedar Rapids Community Schools District (“Customer”), located at 2500 Edgewood Rd NW Cedar Rapids, IA 52405 for the purchase by Customer of various ASCD products, programs and services, each of which is further described and conditioned upon the terms set forth below and in the attachments and exhibits hereto, including the following:
ASCD Professional Learning Services ASCD Digital Products
1. Term. The “Term” shall be February 10, 2020 through and including June 30th, 2023, as further set
forth below: “Period 1” shall mean February 10, 2020 – June 30th, 2021 “Period 2” shall mean July 1, 2021 - June 30, 2022 “Period 3” shall mean July 1, 2022 – June 30, 2023
2. Fees. The pricing for all products and services included within the Agreement (the “Fees”), shall beas set forth in Exhibit A.
3. Purchase Orders. Customer shall review and confirm that the information on the attached Exhibit Bis correct prior to signing this Agreement. Once the Agreement is executed, Customer will promptlyprovide ASCD with a purchase order according to the schedule indicated in Exhibit A, but in noevent later than 20 days. Payment is due 30 days from the invoice date. 4. Payments.
a. The Fee for ASCD Digital Products in the amount $194,400 is non-cancellable except as setforth herein and are due and payable as follows:

b. The Fee for ASCD Professional Learning Services in the amount of $195,000 shall be due and payable no later than 30 days from the invoice date. For each period of the Term, invoices will be sent at the end of the month for any and all professional development services delivered during the previous month.

5. ASCD Professional Learning Services. ASCD agrees to provide the professional learning services
described in Exhibit C – Description of Services (“PLS”). Customer is responsible for reproduction of any handouts provided by ASCD for the PLS and will distribute related handouts, as well as any books ordered for the PLS, to attendees. Customer may reschedule the dates of the PLS, to take place no sooner than 46 days from the original dates. If the revised dates are within 45 days of the original dates, ASCD may assess an additional fee to be determined by ASCD, to cover the costs of rescheduling travel, lodging, etc. If the rescheduled date(s) are within 15 days from the original date(s), an additional fee of $500 will be due and payable to ASCD. Alternatively, Customer may substitute the above PLS for other ASCD products or services at the equivalent or greater price, with payment due for the difference. With respect to professional learning services as further set forth in Exhibit C attached hereto and incorporated herein by reference, the date, time and place of the professional development services shall be mutually agreed to by the parties, if not specifically designated in Exhibit C. The foregoing notwithstanding, all professional development trainings for each such period shall be scheduled and completed no later than 30 days of such period.

6. Resources. Customer agrees to purchase the quantity of ASCD resources indicated in Exhibit A and cover the cost of standard shipping and handling fees. ASCD will not ship orders without a purchase order or advance full payment. Customer agrees to the Return Policy at http://www.ascd.org/customer-service/foryourinformation.aspx#Ordering/Returns.
7. Digital Subscriptions. ASCD grants to Customer and its designated educators, staff, and
administrators (“Users”), limited, non-exclusive, terminable, non-transferable subscription to access the digital Product(s) listed in Exhibit A via the respective website hosting the Product(s) or by any other means upon which the parties may agree, and to use the respective Product(s) in compliance with the Terms of Use, and any applicable additional Product Terms of Use located on the respective Website, which Customer acknowledges may be revised from time to time, without Customer’s or User’s prior consent. In the event of a direct conflict between the terms of this Agreement and the terms of the then-current Terms of Use and applicable Product Terms of Use, if any, the terms of this Agreement shall control. All digital subscriptions are non-refundable, whether activated or not.
7.1 Designated Users. For purposes of this section, “Users” shall mean educators, staff, and
administrators employed at the school(s) during the Term and listed in Attachment D attached hereto.
7.2 Participants List. Customer agrees to complete and return a Participants List that ASCD will
provide to Customer in electronic format separately which will provide ASCD with information required to set up Users. The Participants List must be completed and returned promptly to ASCD at [email protected].
8. Special Provisions Activate Licenses will start on July 1, 2020 and run through June 30, 2023.

9. General Terms 9.1 Intellectual Property. With respect to PLS, Customer acknowledges that ASCD or its consultants
own and/or control the copyrights to all tangible or electronic presentation materials, handouts, and/or program books used in conjunction with

services performed under this Agreement, and that no materials will be developed specifically for Customer. ASCD and/or the respective Consultant(s) shall retain all copyrights owned prior to entering this Agreement, and Customer may not reproduce any materials not designated reproducible without the express written permission of ASCD. All audio, video, and digital recording of the services is prohibited. ASCD also owns and or controls all proprietary rights in the Digital Subscription products and Courses described above and all rights not licensed to Customer and its Users either in this Agreement or separate Terms of Use and additional Terms of Use are strictly reserved. 9.2 Warranty. ASCD does not provide any warranty as to the quality or fitness for a particular purpose
of any product and service purchased.
9.3 Termination. ASCD may terminate this Agreement if ASCD has not received a purchase order within 30 days of the effective date of the Agreement. Customer may terminate this Agreement if the products and services described herein are not funded by federal, state and/or local funds. If the Contract is terminated as provided herein, ASCD will be paid for the time and services provided and expenses incurred up to the termination date.
9.4 Force Majeure. If an occurrence beyond either party’s reasonable control (but excluding financial
inability) make it impossible to perform under this Agreement, the party unable to perform shall not have any liability to the other party for the prevented performance. The terms of this Agreement may be suspended until the occurrence ceases to exist, or either party may cancel this Agreement, in which case the respective cancellation policy for the Product (as posted on ASCD’s website) applies. All obligations unaffected by such an occurrence shall remain in place.
9.5 Anti-Corruption Compliance. In connection with this Agreement, Customer shall comply with all
anti-bribery and anti-money laundering laws, regulations, rules, decrees, and official government orders (including court orders) of the United States of America and any other jurisdiction where Customer operates under this Agreement, as well as the standards on fraud and corruption adopted by public international financial institutions (“IFIs”) to the extent they apply to the activities under this Agreement.
Customer represents and warrants that, to its knowledge and to the extent within its control, it, its principals, owners, partners, officers, directors, employees, agents, representatives, business partners, contractors, subcontractors, and affiliates, have not, and will not (i) pay, offer, make, give, promise to pay, or authorize, or take any act in furtherance of, the payment of monies or any other thing of value to any person (including any public official or any private person; (ii) request, agree to receive, or accept any monies, payment, or any other thing of value from, any person (including any public official or any private person); or (iii) engage in other acts, if such acts may have caused or may cause Customer, ASCD, or any of their personnel, or any other person acting on behalf of any of them to be in violation of or inconsistent with the anti-bribery or anti-money laundering legislation to which any of them are subject including, without limitation, (v) the U.S. Foreign Corrupt Practices Act (“FCPA”); (w) anti-corruption and anti-fraud standards adopted by IFIs such as The World Bank, the Asia Development Bank, and other public development banks, if applicable; (x) all other applicable laws, regulations, rules, decrees, and government orders (including court orders) relating to

combating bribery in business transactions; (y) the U.S. Money Laundering Control Act (“MLCA”); and (z) all other applicable laws, regulations, rules, decrees, and government orders (including court orders) relating to money laundering.
9.6 Entire Agreement. This Agreement, any exhibits or lists referenced in or attached hereto, and
purchase terms and conditions included on ASCD web pages posted on ASCD’s website for the respective events, products or memberships purchased, constitute the entire agreement of the parties and supersede any prior written or oral communications. This Agreement cannot be modified unless in writing signed by both parties. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. Signatures transmitted electronically by fax or PDF shall be binding and effective as original ink signatures.
