1.3 Downloading of Tender Document

1.4 Submission of the Bid

The bidder has to submit the Bid in sealed envelope (signed and sealed copy of tender document,

DD of tender fee and EMD. Mention the tender document number on the Envelop) in hard copy through courier /registered post /in person to Cattle Feed Purchase Department at Dudhsagar Dairy.

1.5 Bid Security

All Bids must be accompanied by Earnest Money Deposit (EMD) in the form specified in the

Bidding document. The Bids not accompanied with EMD shall be summarily rejected. The Bid security shall be denominated in Indian Rupees of value as specified and shall be in the form of

Demand Draft from Nationalized or Scheduled banks in favor of Mehsana District Co-operative

Milk Producers’ Union Limited, payable at Mehsana. The Bid security may be forfeited if:

A Bidder or Supplier withdraw its bid during the period of bid validity specified by the

Purchase on the tender document or

In case of successful Bidder / Supplier, if the Bidder / Supplier fails to sign the contract or execute the contract within specified period of contract.

1.6 Rights Reserved By Dudhsagar Dairy, Mehsana

Dudhsagar Dairy, Mehsana, at its sole discretion and without assigning any reason thereof, reserves

4. Annexure-I: General Terms and Conditions

1. Acceptance :

a. This order will be issued in duplicate, based on the confirmation received from you.

You are requested to return duplicate copy of the order duly signed and stamped

within 4 days, in token of acceptance of the same. Acceptance letter via mail same

day and hard copy within 4 days of PO issued is to done.

b. E-mail copy of the purchase order will be sent to the party and if there is no

communication is made for denial or approval within 3 working days of purchase

order issue, it will be considered as confirmation.

2. Quality :

i. The goods should meet the minimum quality parameters set by the union for

each type of materials. The goods should be free from dirt, impurities of any

kind, insects and fungus infestations and metallic pieces.

ii. The goods should be free from any undesirable and objectionable order of any

kind.

iii. The product samples will be tested in our laboratory and the test results of our

laboratory will be treated as final for purpose of payment

iv. The union reserves the right to go or not for external testing of sample and to

accept or reject the results from outside laboratories.

v. The union reserves the right to accept or reject any consignment without

assigning any reason and decision of the union in this regard will be fine.

vi. The goods supplied should be suitable for manufacturing cattle feed. The

supplier shall be responsible for consequential losses / liabilities arising due to

supply of sub standard or poisonous goods.

3. Quantity: Tender Quantity can be changed on the discretion of Mehsana DCMPUL.

Excess Delivery: You should supply the goods as per the quantities mentioned in the order.

However union will accept quantity up-to 10% variation of order quantity or 25 MT whichever is

lower at same rate as mentioned in the Purchase order.

Short Delivery:

i. It is expected that all the suppliers meet their commitment of full supply within the delivery

period as mentioned in the PO.

ii. If the total quantity supplied is less than 90% of the PO quantity, the differences in the cost

of short supply quantity will be recovered from the supplier as per following formula

Difference of cost to be recovered from supplier = (Q1 – Q2)* (R1 – R2)

Q1 = PO quantity in MTs

Q2 = Quantity Actually supplied in MTs

R1 = The rate prevailing on the last delivery date as per PO or next contracted rate after

the last delivery date in Rs./MT.

R2 = The PO rate in Rupees/MT

However, if the rate prevailing on the last delivery date or next available contracted rate is

lower than the PO rate, no recovery will be made from the supplier. The suppliers, who are

found to be frequently defaulting on full delivery, may be blacklisted for any future business

with them.

4. Weighment :

The suppliers should weigh consignment before dispatching to us and weighment slip should always accompany the consignment. However, the weight recorded at our cattle feed

plants will be treated as final for payment. In case of doubts, truck drivers or supplier’s

representatives may weigh the consignment on private weigh bridge outside the factory premises and provide a weighment slip for verification at our end.

The weight will be calculated on a net weight basis and a deduction of 200 grams per PLASTIC bag will be deducted from the weight of material. Similarly 1.5 kg will be

deducted from GUNNY BAG.

5. Documents :

The reference of this purchase order and date should always be mentioned in all the

delivery documents such as weighment slips, delivery challans, invoices etc. The goods received without this information will be treated as supplied without a purchase order or

may be rejected.

6. Delivery :

The entire quantity of goods covered in a PO should be supplied within the delivery period as mentioned in the PO. For goods delivered beyond the delivery period / date, a

delay penalty will be recovered after due date @ Rs 50/- per MT for 7days and @Rs

100/- per MT beyond upto 10 days. However, even after this extended period of delivery, if the quantity delivered in short

of 90% of PO quantity, it will be dealt as per clause No. 3.2(ii) above.

Under exceptional circumstances affecting timely delivery of goods, delivery period may be suitably extended by the appropriate authority. However, in such cases delay

penalty or the cost of short delivery will be calculated considering this extended delivery period.

7. Cancellations :

The union reserves the right to cancel whole or part of purchase order by giving 3 days

of written or telephonic intimation, within the validity period of the purchase order. However, beyond the validity of the Purchase Order (Including POs with extended

validity period) may be cancelled without giving any notice and without assigning any

reasons.

8. Rejected Goods :

i. The suppliers will be intimated, if any of the consignment is rejected or any of

the grounds, it will be responsibility of the supplier to lift the rejected the goods

within 30 days from the time the supplier is given Telephonic / Fax intimation.

ii. If the rejected goods are not lifted within 30 days from the time intimation is

given to the supplier, a storage charge of Rs. 20 MT/ day will be levied and

the same will be recovered from any of the subsequent bills of the supplier.

iii. If the rejected goods are not lifted within the stipulated time, the union shall

dispose the goods at the risk and responsibility of the supplier.

9. Packing :

The goods should be supplied in sound HDPE/Gunny bags appropriate for the raw

material supplied. The goods packed in torn or unsound condition of gunny bags may be rejected.

In-case the bags in which the raw-material is supplied are torn there will be a deduction of Rs. 10/- per bag from the consignment supplies

10. Penalty:

i. NO supply penalty will be charged @ Rs. 200/- per Mt. Starting from the first

day after the need by date is over or EMD will be forfeited under the discretion

of Mehsana DCMPUL.

ii. In case of rejection of consignment if the party does not lift the material within

30 days of the rejection. A charge of Rs 50/- per MT per day will be charged

this amount will be Rs.100/- per MT per day after 30 days from rejection.

iii. Penalty clause of HDPE Bag is given separately.

11. Payment :

The payment will be made from the 20 days from the date of the receipt, of goods or invoice whichever is later, by an A/C. Payee cheque drawn or any nationalized Bank at

Mehsana. The payment can also be made by DD or cheque payable at the place of

supplier’s choice after deducting the Demand Draft charges etc. The cheques or DDs will be sent to the supplier either by post or courier services.

12. Rebate /Premium /Specification : Annexure attached

13. Jurisdiction :The courts at Mehsana shall be the jurisdiction for settlement of any

dispute relating to this order irrespective of what is slated in your delivery documents,

invoices etc

5. Annexure-II: Technical Specifications of Cattle Feed Raw Materials Acceptance Criteria including Specifications, Sampling Plan & Test Methods to be followed to

analyze Cattle Feed Raw Materials/Packing Materials/Additives etc.

When the materials (consignment) will be reached at our site, the physical conditions and in case of

packaging materials, cleanliness will be thoroughly checked by the Store Personnel along Personnel

of the respective department; it is chiefly Quality Assurance.

Later, the physical quality parameters will be primarily checked by the quality assurance personnel

(Sampler & if, required; Head of the Department) before accepting the material & then, only; it will

be allowed for unloading at our inventory. If; the parameters will not meet the requirements

(Physically), the materials will be strictly rejected &/or may be accepted as a whole or partially in a

special circumstance considering the significance and variability of quality parameters & with only,

kind approval of shri Managing Director Sir.

Also, the material already have been unloaded at our inventory, if; found inferior in quality when

tested chemically, the material (consignment) will be rejected & the supplier will have to lift-up the

rejected material (consignment) at earliest i.e within 15 days period of time.

5.5 Test Methods

Raw material, additives & packing material will be analyzed for its conformity to the laid down

requirement. Following references is used to prepare the test method. For specific instrument like

Dickey John/Foss NIR procedure provided by the manufacturer is used as reference.

Test Methodology of HDPE Bag

The technical bids shall be scrutinized for confirming that the technical details including samples,

wherever applicable, are as per the specifications given in the tender. Wherever samples are required to be submitted, the tenderers should strictly follow the tender documents which deals with

submission of samples and testing thereof failing which the tender may not merit any further

consideration. CIPET testing charges as and when required will be borne by the supplier may be for each lot or

random testing as per the discretion of Mehsana DCMPUL.

It is necessary for suppliers to maintain quality of the materials supplied as per the prescribed

standards and specifications. Various Milk Unions/Cattle Feed Plants get the quality of materials

supplied by various firms tested through our Cattle Feed Plant Laboratory or Central Institute of

Plastic Engineering and Technology (CIPET).

No PP Bags are allowed to supplier and if found EMD will be forfeited and penalty will be charged

as per Union’s discretion.

Penalty Clause of HDPE Bag:

The supplier will supply the tendered items within one month’s period from the date of placement of the order by the Milk Unions or as settled with the tenderer or as provided in the acceptance of

tender. In case supplier fails to supply and deliver the tendered item within the prescribed time as mentioned in the order, the Mehasana DCMPUL reserves the right to effect risk purchases from

other source on the supplier’s risk and cost. Milk Unions also reserves the absolute right as to the

method adopted for effecting such risk purchases. The extra expenditure incurred in making risk purchases shall be recovered from the supplier’s due payments/security deposit lying with any

Plant/Milk Union notwithstanding whether such amount(s) pertain to current and/or previous

contract(s).

In case risk purchases are not effected for any reasons and approved supplier supplies the goods beyond the prescribed time i.e. after expiry of the scheduled time and if such delayed supplies are

accepted by the Milk Unions such late receipt of goods shall be subject to late penalty at following

rates :- a) If the delay is less than one week beyond the scheduled period of supply then a penalty of 1% will

be imposed.

b) If the delay is more than one week but less than two weeks, penalty @ 2% will be imposed.

c) If the delay is more than two weeks but less than three weeks, penalty @ 3% will be imposed.

d) If the delay is more than three weeks but less than four weeks, penalty @ 4% will be imposed.

e) However, in case of persistent delay in the supply of material by the tenderer, the rate contract

may be cancelled and security forfeited by the Federation.

Mehasana DCMPUL reserves the right to reject the supplied goods or to accept the related supplies if it so desire by imposing deduction to a maximum of 5% in case of delays beyond one month as

stipulated above. Mehasana DCMPUL further reserves the right to extend the period of supply in

case a request in time giving full justification for the causes or factors leading to delay are reported by the supplier before the expiry of the delivery period.

Rejection Criteria of HDPE Bag:

1 Further the buyer reserves the right to reject the stores either in full or in part, if at the time of delivery it is noticed that the items/ stores supplied do not confirm to the description and quality

stipulated in the tender. In such event buyer shall inform the supplier immediately after such defect/quality problem is noticed.

2 If on rejection of the stores by the buyer or consignee at destination the supplier fails to make satisfactory supplies within the stipulated period of delivery, the buyer shall be at liberty to:

a) Allow the supplier to submit the store, in replacement of those rejected within a specified time, the supplier bearing the cost, if any, on such replacement, without being entitled to any extra

payment on that account.

b) Purchase or authorise the purchase of quantity of the stores rejected or other of a similar

description (which stores do not exactly comply with particulars, in the opinion of the buyer, which shall be final) without notice to the supplier’s liability as regards the supply of any further

installment due under the contract.

c) Cancel the contract and purchase or authorise the purchase of items or others of a similar

description (stores do not exactly comply with the particulars in the opinion of the buyer, which shall be finally at the risk and cost of the supplier.

d) If, however, due to exigencies of the plant, such replacement either in whole or in part is not considered feasible, plant shall be at liberty to use such material and deduct suitable amount not

exceeding 5% of the value of the material used from the approved rates. However, the suitability of

such material being fit for use will be subject to clearance by the Quality Control Department of

Cattle Feed Plant of Mehsana DCMPUL. Further, in such situation the plant shall inform the supplier regarding such decision at the earliest and will give an opportunity to the supplier for being

heard and the reasons for such deductions will be communicated.

3 Any stores rejected shall under all circumstances lie at the risk of the supplier from the moment of

such rejection till their removal and if such stores are not removed by the supplier within such

reasonable period as may be decided by the buyer, the buyer may dispose off such stores at the supplier’s risk and account and retain such portion of proceeds as may be necessary to cover any

expenses incurred in connection with such disposal. The buyer shall also be entitled to recover handling and storage charges for the period during which the rejected stores are not removed. This

will include the cost of disposal when necessary.

4. The supplier shall, at all time, indemnify the buyer against all claims which may be made in

respect of the stores or infringements of any right protected by patent, registration of design or

trademark etc. provided always that in the event of any claim in respect of alleged breach of letters, patents, registered design of trade mark being made against mark the buyer shall notify the supplier

or the same and the supplier at his own expenses, either settle any dispute or face any litigation and bear expenditure related to the same that may arise there from.

5. It may be noted that tenderers can quote for full and part quantity. In case the rates given are for part quantity, the tenderer must indicate the quantity for which the rates have been given and earnest

money submitted failing which Mehsana DCMPUL’s decision with regard to quantity shall be final

and binding.

6. The buyer may at any time, by notice in writing, summarily terminate the contract without compensation to the contractor in any of the following events viz:

a) If the supplier, a firm or any partner thereof shall be at that time adjudged insolvent or shall have a receiving order or order for administration of made against his or shall take any proceedings for

composition under any Insolvency Act for the time, being in force, to make any convenience or assignment of his assets or enter into any arrangement or composition with his creditors or suspend

payment, if the firm is dissolved under the partnership act., or,

b) If the supplier being a company is wound up voluntarily by the order of a court or a receiver/

liquidator or Manager or on behalf of the Debenture holder is appointed or circumstances shall have

arisen which entitled the Court to Debenture holders to appoint receiver, liquidator or Manager, or;

c) If the supplier commits any breach of the contract/herein not specifically provided that such determination shall not prejudice any right of action or remedy which shall have accrued or shall

accrue thereafter and provided also the suppliers shall be liable to pay the buyer for any extra

expenditure, he is thereby put to and the supplier shall under no circumstances be entitled to any gain in repurchase.

7. The terms and conditions mutually agreed shall be subject to the force majeure clause. Neither the

supplier nor the buyer shall be considered in default in performance of its obligations hereunder, if such performance is prevented or delayed because of war, hostilities, revolutions, civil commotion,

strike epidemic, accident, fire, wind, flood, earthquake or because of any law, order, proclamation, regulation, or ordinance of any Government or nature, beyond the reasonable control of the party

effected. Should one or both the parties be prevented from fulfilling his/their contractual obligations

by a state of Force Majeure lasting continuously for a period of six months, the two parties should consult with each other regarding the future implementations of the agreement/ purchase order.

8. In the event of any dispute in the interpretation of the terms of this agreement/ purchase order or difference of opinion between the parties on any point in the purchase order arising out of, or in

connection with the agreement/accepted purchase order or with regard to performance of any

obligations hereunder by the either party, the parties hereto shall use their best efforts to settle such disputes or difference of opinion amicably by mutual negotiations. In case of any disputes, I/C MD

Mehsana DCMPUL or person nominated by him shall be the sole arbitrator to settle these disputes.

9. All the documents and drawing supplied by the buyer must be treated as ‘CONFIDENTIAL’ must

not be copied, reproduced, transmitted, or discussed otherwise in whole or part, not duplicated, modified, divulged, or discussed to any third party nor used in any other way without the consent of

buyer in writing.

10. The quantities mentioned in the tender are tentative and the actual quantities to be procured may

vary upward or downward suiting to the actual requirements.

11. The design and art work shall have to be got approved from Mehsana DCMPUL. No extra

charges for art-work will be payable by Mehsana DCMPUL. Any change in design/colour scheme decided by Mehsana DCMPUL any time during the contract period shall have to be implemented

immediately. Extra charges for carrying out such a change during the contract period shall be

decided by Mehsana DCMPUL.

As regards increase/decrease over the number of colours specified in the technical specifications

enclosed, the supplier should indicate rate per colour for such addition/deletion in printing on packaging material for taking care of the same in rates. However, no additional/extra payment will

be made for printing of Symbol for 100% vegetarian food or printing of Agmark Replica including serial number as per the requirement of Agmark authority / Milk Union wherever applicable.

12. Mehsana DCMPUL also reserves the right to blacklist, if the performance of approved supplier

with respect to quality and time of supply etc. is found unsatisfactory. Mehsana DCMPUL also reserves the right to forfeit the Earnest Money/Security Deposits side by side to recovering other due

amounts in any other way including legal recourse.

13. Mehsana DCMPUL may not consider the application of such applicant who has earlier been

debarred/censured/black listed or even those firms who have on their rolls employees/executives/proprietors/partners of another already debarred/censured/black listed firms in

one or the other capacity. However, decision of Mehsana DCMPUL shall be final in this regard.

14. No item and condition in addition to the above mentioned will be agreed to. The conditional

offer/price bid which reflect/ affect the price of quoted item shall be liable for rejection outrightly without any reference.

6. Raw Materials Price List All price quoted should be FOR Cattle Feed Plants of Dudhsagar Dairy and as mentioned in the

tender document.
