In the following pages, you will discover our newest varieties as well as the whole range of products sold under Clause brand by HM.CLAUSE India. Since the last edition of this catalogue, the range has grown largely, thanks to our efforts in breeding, both internationally and locally in Asia and India.Moreover, the acquisition of Century Seeds in 2012 has significantly reinforced our offer for Indian crops such as gourds, peppers or pumpkin to name a few.
Following the branding change initiated in April 2015 all our products are now sold under CLAUSE brand.
The new organization in India is combining the best of HM.CLAUSE India and Century Seeds to offer the best varieties and a renown seed quality which has been the backbone of HM.CLAUSE development in India since we started our activity here. We strive to improve our product offer by combining the power of an international organization and the adaptation to local market needs, growing requirements and disease pressure as well as other operators' expectation in the vegetable sector regarding aspects such as yield, fruit shelf life or fruit quality.

TERMS & CONDITIONS OF SALEPREAMBLE: The present Terms and Conditions of Sale, in accordance with national and international practices, apply expressly, failing any special agreements, to all sales of seeds, including seeds supplied in bulk, and in particular to the sales made to horticulturists, market gardeners, producers, vegetable producers, plant producers, nurserymen, processors, authorities, grower groups, retailers, producers and fillers of packets, and importers whoever they may be. The fact of placing an order therefore implies that the buyer adheres to the Terms and Conditions of Sale shown in the catalogues, invoices, delivery notes, price lists, etc. or any other of the seller's commercial documents if they so exist.
DEFINITIONS:For the purposes hereof, the following words and expressions shall, unless repugnant to the context or meaning thereof, have the meaning hereinafter defined:Buyer means a person, body corporate, partnership or Hindu Undivided Family (HUF) who buys or contracts to buy goods from HM.CLAUSE India Pvt. Ltd. The term ‘he’ or ‘it’ in reference thereto would mean to include he, she or it.Force Majeure means a material occurrence that causes the performance of all or part of a contract to be impracticable due to causes that are outside the control of the parties were not specifically contemplated by the parties at the time of contracting and could not have been avoided by precaution that a reasonable person under like circumstances would have taken.Seller means HM.CLAUSE India Pvt. Ltd.Buyer’s Customer means a person, body corporate, partnership or Hindu Undivided Family (HUF) who pays for goods received or receivable from the buyer. The term ‘he’ or ‘it’ in reference thereto would mean to include he, she or it.
ORDERS: The orders shall be fulfilled insofar as is possible. The deliveries shall be made according to the stocks and availabilities in sufficient quantity and quality and in the case of insufficient stock it will be supplied in pro rata to the orders received. Consequently, no compensation can be claimed, notably for partial delivery, non-delivery or late delivery. Seller will deliver seeds as soon as possible but will not deliver seeds before a germination test has been finished; if the buyer asks the seller to deliver seeds prior to the completion of the germination test, the buyer accepts to be the sole person liable for the germination consequences of the lot.
RISKS:Title to products passes from the seller to the buyer on shipment from the seller. Loss or damage that occurs during shipping is the buyers’ responsibility.The goods travel at the buyer’s own risk including if they travel in accordance with the buyer’s written instructions. This is so even if shipped as free or ex-works and whatever the method of transport used: road, rail, Haulage Company, postal services, air, boat, etc. Likewise, barring particular conditions, the risks caused by any late delivery of the goods as well as any loss or damage caused to the goods during transportation and their possible consequences shall be solely born by the buyer. The Consignee is advised to refuse damaged products from the carrier on original delivery attempt. Should he have accepted the damaged products such damage should be noted on the carrier delivery record along with the consignee’s signature, stamp and date. The product and the original box and packaging should be preserved and the seller notified within 24hours of receipt for it to arrange for a carrier inspection and a pick up of damaged products. Please notify the sellers Customer Relations personnel of the Seller of damaged products WITHIN THE FIRST 24 HOURS of receipt. Timely receipt of this information is necessary as the seller needs to file a damage claim within 48 hours.It is the consignees’ responsibility to sign for the correct number of packages as shown on the carrier's delivery consignment note/seller’s invoice. Any shortages must be noted on the consignment note and it will be the consignees’ responsibility to notify the seller within 24 hours of delivery.Any tampering with the seller’s tapes and belts that seal the packing must be recounted fully.The consignees’ failure to observe these formalities prevents any action against the carrier.
OWNERSHIP RESERVE CLAUSE: The seller expressly reserves the ownership of the delivered goods until the price has been fully paid by the buyer. In this respect and in the sense of the present clause, the remittance of bills or of any other instruments creating an obligation to pay does not constitute payments. In the event of seizure or of any other intervention by a third party, the buyer is obliged to notify the seller of this immediately and shall bear the responsibility of any risks whatever they may be, including in the case of loss or destruction.
PRIVILEGE RETURNS:All sales are final and no returns will be accepted unless prior authorization from the seller’s ‘Customer Relations ‘ department is received in writing. All returns must be in unopened packaging and will need to be returned to the original shipping location, unless otherwise authorized, at the customer’s expense. Unauthorised sales returns will be refused by the seller and sent back to the customer at his expense.Buyer is responsible for shipping charges to seller’s distribution center for all products being shipped for return, exchange or replacement. Products exchanged or replaced will be shipped by seller to buyer, at seller’s expense, using the same shipping method as is delineated in the terms and conditions attached to the price list. All other expenses will be charged to the customer.Customer is responsible for all risk of loss and damage to products being shipped for return, exchange or replacement. To protect your interests, please fully insure return shipment in case of loss or damage.
INTELLECTUAL PROPERTY: These terms and conditions of sale may not be interpreted as granting the buyer any intellectual right/title over the seller's goods as well as over the packaging and/or media and/or related documents and/or intellectual rights/titles and/or distinctive signs, which are the property of the seller or which the seller operates or uses in the context of his activity.The buyer shall refrain from hiding, deleting or modifying, in any way whatsoever, intellectual rights/titles as well as distinctive signs that appear on the packaging of the goods delivered by the seller.The buyer undertakes to inform the seller immediately, and by any means, of any infringement of his property rights and/or intellectual property rights and/or titles and/or distinctive signs (or the ones he operates or uses in the context of his activity) and to co-operate fully with the seller.At any time, the seller may check that the foregoing provisions are fully respected, without prejudice to any other action by the seller. The buyer undertakes to ensure that his own customers comply with this clause. The buyer expressly authorizes the visit of a person appointed or mandated by the seller to control the respect of the provisions of these terms and conditions of sales, especially the provisions relating to intellectual property and the preservation of the quality of the goods. To do so, the buyer agrees to facilitate free access to its premises including but not limited to its greenhouses. The seller can also consult all relevant documents in this regard. In case of resale of the goods to third parties, the buyer shall inform such third parties of the obligations described here above. IMPORTANT NOTICE: All intellectual property rights reserved. GUARANTEES: The seller guarantees the buyer the supply of fair, sound, commercial goods in so far as the technical knowledge stands during the production period as the results obtained do not solely depend on the variety and quality of the seed or seedling, but also on factors that are difficult or impossible to appreciate or forecast, and as they can vary in particular according to the regions, the environment, the agronomic and atmospheric conditions, the development in technical knowledge, the growing techniques and operations, any advice and suggestion from the seller are proposed for information only and consequently cannot include a guarantee of harvest. In view of the nature of the goods sold, the seller’s responsibility, in the event of recognized or established errors and faults, and in particular as regards authenticity or purity of variety, specific
purity, germination, conformity to resistances and to tolerances, to strains or breeds of diseases recognised to date, is restricted maximum to the cost of seeds delivered and the proved expenses incurred from the return of the said goods. Unless otherwise agreed by the seller, seller’s bred and selected varieties are delivered for sale and/or resale under the seller’s variety name and trademark exclusively. Therefore, the buyer is not authorised to remove the packaging and/or bagging from the seeds which are sold to him in their original packing with a view to repackaging and/or retailing in open packages. The buyer promises to have this clause respected by his customers. If this obligation is not respected by the buyer or by his customers, the seller shall in no way be responsible for the goods delivered by the latter. Any information given by the seller in his catalogues or other printed documents is given in good faith and for information purposes only and shall in no event entail the seller’s responsibility whatsoever should the information be incomplete, erroneous or otherwise. The approximate number of seeds given by the seller for each variety is provided for information purposes only. Indeed, such numbers may vary according to the seed lot, crop results or any other reason whatsoever. The goods are delivered by the seller for use by the buyer or his customers in keeping with its purpose. Consequently, the seller shall in no way be held responsible for use of the said goods, and the consequences that is non-compliant with its purpose. Likewise, any multiplication, reproduction or re-export of the goods by the buyer or his customers is strictly forbidden. The seller shall not be held responsible for any damage resulting from the packages and packaging, whatever these may be.
TREATMENT AND PACKAGINGStandard treatment and standard packing, as indicated in the price list, is included at no additional cost. Any special packing, treatment or shipping requirements can be quoted on request and will be charged extra.
DEADLINE FOR COMPLAINTS: Any complaint concerning the external aspect and the specific purity shall have to be made within the twelve days following the arrival of the goods. Any complaint concerning the germination shall have to be made within the forty-five days following the arrival of the goods. Any complaint concerning the authenticity or the purity of variety shall have to be made within the normal deadlines for sowing immediately following the delivery date. In any case, no complaint will be accepted by the seller if the seeds have been repacked by the buyer or his customers. Complaint what so ever, gives no ground for adjournment of any payment. Dispute if any, will be settled in Hyderabad, India Jurisdiction.
PRICES: Prices charged will be those ruling at the time of dispatch of the order to the buyer. Quotations are subject to alteration without notice.Export Price is available on request.Seller’s prices are quoted as ex-works unless otherwise indicated on the invoice. Barring particular conditions, all taxes, transport costs, insurances, attestations, authorisations, bank charges and packing or packaging costs are invoiced separately on the invoice issued by the seller. Each order will be subject to administrative charges as indicated in the seller’s Terms and conditions attached to the Price List. For example, minimum value for each delivery is indicated in such Price List. All pricing is subject to change. The seller reserves the right to make adjustments to pricing for any reasons it deems fit.The amount of sales, excise or other taxes, if any, applicable to the products shall be added to the purchase price and shall be paid by the buyer unless the buyer provides the seller with an exemption certificate acceptable to the taxing authorities. Any taxes which the seller may be required to pay or collect under any existing or future law, upon or with respect to the sale, purchase, delivery, storage, processing, use or consumption of any of the products, including taxes upon or measured by the receipts from the sale thereof, shall be to the account of the buyer, who shall promptly pay the amount thereof to the seller upon demand.
PAYMENT: Any payment will be declared made on the date when funds have been put by the buyer at seller’s disposal.All seller’s goods are payable at the seller’s registered address. Barring particular conditions or binding clauses of the applicable legislation, the payments are made within sixty days from the date of invoice in accordance with the payment conditions shown on the invoice. With respect to buyers who have been the subject of one or more legal recovery procedures or bounced/delayed clearance of negotiable instruments and who have since cleared their account, the seller reserves the right, for the period of one year, to deliver orders only on condition that cash payment is received in advance or on the date of delivery, due to the important risk of insolvability. In addition and in any event, if unfavourable information is received concerning the solvability of a buyer, the seller will sell him goods only on condition that cash payment is received either in advance or on the date of delivery. In the event of late payment, the seller shall have the right to suspend any subsequent order made by the buyer and to do so until full payment of the sums owed to the seller is made and without prejudicing any legal action that the latter might take. Any sum not settled on the due date shown on the invoice will result in immediate application of late payment penalties, calculated on the total invoice amount, including tax as the case may be, at 24% interest that shall be due the day after the settlement date shown on the invoice. Any invoice not fully paid on its due date at the latest and for which payment is recovered by the seller’s legal department, will be the subject of payment for compensation set at a standard rate of 15% of the sums outstanding. CONFLICT:In case of conflict or ambiguity in the terms and conditions hereof and those in the price list, the terms and conditions attached to the price list will prevail.
CASE OF FORCE MAJEURE: The orders shall not be fulfilled in case of force majeure. As a non-restrictive example, the following are considered cases of force majeure: acts of war, strikes, fires, atmospheric disturbances and accidents in any company playing a part in the production and distribution of the seeds and/or seedlings.
APPLICABLE LAW - PLACE OF JURISDICTION: For any dispute related to these Terms and Conditions of Sale, the courts of Hyderabad in Telangana will be solely competent, even in the case of urgent proceedings, introduction of third parties for guarantee or multiplicity of defendants. Should an invoice remain unpaid by the buyer at its due date, the seller shall have the possibility to take legal action against the buyer at its place of registered address.

DEFINITION OF THE TERMS DESCRIBING THE REACTION OF PLANTS TO PESTSAND PATHOGENS.
• Susceptibility is the inability of a plant variety to restrict the growth and development of a specified pest.• Resistance is the ability of a plant variety to restrict the growth and development of a specified pest and/or the damage they cause when compared to susceptible plant varieties under similar environmental conditions and pest pressure. Resistant varieties may exhibit some disease symptoms or damage under heavy pest pressure.
TWO LEVELS OF RESISTANCE ARE DEFINED.
• High resistance (HR): Plant varieties that highly restrict the growth and development of the specified pest under normal pest pressure when compared to susceptible varieties. These plant varieties may, however, exhibit some symptoms or damage under heavy pest pressure.• Intermediate resistance (IR): Plant varieties that restrict the growth and development of the specified pest but may exhibit a greater range of symptoms or damage compared to high resistant varieties. Intermediately resistant plant varieties will still show less severe symptoms or damage than susceptible plant varieties when grown under similar environmental conditions and/or pest pressure.
It is to be noted that if a resistance is claimed in a plant variety it is limited to the specified biotypes, pathotypes, races or strains of the pest.
If no biotypes, pathotypes, races or strains are specified in the resistance claim for the variety, it is because no generally accepted classification of the cited pest by biotype, pathotype, race of strain exists. New biotypes, pathotypes, races or strains that may emerge are not covered by the original resistance claim.
• Immunity is when a plant is not subject to attack or infection by a specified pest.

* Ma/Mi/Mj: The gene, which controls the resistance to Nematode attacks, is at the moment the only one used in our commercial varieties. This gene has an effect against the following Nematode species: Meloïdogyne incognita - Meloïdogyne arenaria - Meloïdogyne javanica. The level of resistance of this gene is reduced, and can be completely cancelled by temperatures equal to or above 28°C, particularly in soils with a heavy infestation of Nematodes.
