Acceptance By signing this part of this Form of Offer and Acceptance, the Purchaser identified below accepts the tenderer’s Offer. In consideration thereof, the Purchaser shall pay the Supplier the amount due in accordance with the conditions of contract identified in the Contract Data. Acceptance of the tenderer’s Offer shall form an agreement between the Purchaser and the tenderer upon the terms and conditions contained in this agreement and in the contract that is the subject of this agreement. Z3 Obligations in respect of the South African Government’s Supplier Development (SD) Programme and Local Content

Z3.1 It is a fundamental requirement of the tender that the Supplier contributes to the Supplier Development Programme promoted by the Department of Public Enterprises of the Government of South Africa, as applied by the Employer. In response to this requirement, the Supplier undertakes to implement the SD initiatives as described in the Supplier’s SD Proposal.

Z3.2 The Supplier shall develop and present for acceptance to the Employer’s Project Manager in writing within 30 (thirty) days from the Contract Date, a detailed plan (the SD Plan) setting out the exact nature, extent and estimated monetary value of the SD commitments which the Supplier is prepared to undertake. This shall include mechanisms and procedures to allow for access to information and verification of the Supplier’s compliance with the SD commitments it has undertaken to complete, as set out in the SD Plan. The format and details required with regards to the SD Plan will be provided to the Employer by the Supplier.

Z3.3 The parties undertake to negotiate in good faith with a view to agree to the content of the SD Plan within 30 (thirty) days from the date of submission of the initial SD Plan referred to in clause Z3.2 above (or such later date as the Employer may consent to). If the parties fail to reach agreement in respect of the SD Plan within 30 (thirty) days (or such later date that the Employer may consent to) of the date of submission of the SD Plan, it shall constitute a reason for termination as per clause 91.2 (R11) of the NEC3 Supply Contract. The Employer reserves the right to re-negotiate in terms of clause 10.1 of the NEC3 Supply Contract to the benefit of the Employer.

Z3.4 The local entity/entities selected as the beneficiary of the SD localization initiative will be mutually agreed upon by the Supplier and Employer.

The Contractor shall provide a surety, for the full monetary value of the SD Plan agreed in terms of

In terms of Annexure A (SBD 6.2) and Annexure C of the RFP, the Supplier has undertaken to

implement the local content and production requirements set by National Treasury for the Rail

Rolling Stock designated sector (“local content undertaking”). It is recorded that the local content

undertaking was a prequalification criterion of the RFP and it is therefore mandatory for the

Supplier to comply with Annexures A and C in order for it to fulfil its local content obligations.

The Supplier is required to note that Transnet, the Department of Trade and Industry [DTI] and/or

the body appointed by the DTI as the verification authority for local content may conduct

compliance audits with regard to the local content requirements as prescribed in Regulation 9 of

the Preferential Procurement Regulations, 2011 issued in terms of the Preferential Procurement

Policy Framework Act.

The Supplier is required to continuously update Declarations C, D and E of the Local Content

Declaration templates with the actual local content values for the duration of the contract.

Breach of Local Content obligations also provides Transnet cause to terminate the contract in

certain cases where material non compliance with Local Content requirements are not achieved.

C2.1 Pricing assumptions

1. The conditions of contract

1.1. How goods and services are priced and assessed for payment

Clause 11 in NEC3 Supply Contract, December 2009 (SC3) core clauses states: Identified and defined terms

(11) The Prices are the amounts stated in the price column of the Price Schedule. Where a quantity is stated for an item in the Price Schedule, the Price is calculated by multiplying the quantity by the rate.

(12) The Price Schedule is the price schedule unless later changed in accordance with this contract.

Assessing the amount due

50.2 The amount due is

the Price for each lump sum item in the Price Schedule which the Supplier has completed,

where a quantity is stated for an item in the Price Schedule, an amount calculated by multiplying the quantity which the Supplier has completed by the rate,

plus other amounts to be paid to the Supplier,

less amounts to be paid by or retained from the Supplier. Any tax which the law requires the Purchaser to pay to the Supplier is included in the amount due.

This confirms that the Supply Contract is a priced contract where the Prices are derived from a list of items of goods and services which can be priced as lump sums or as expected quantities of goods and services multiplied by a rate, or a mix of both.

1.2. Function of the Price Schedule

Clause 53.1 states: “Information in the Price Schedule is not Goods Information”. This confirms that instructions to do work or how it is to be done are not included in the Price Schedule but in the Goods Information. This is further confirmed by Clause 20.1 which states, “The Supplier Provides the Goods and Services in accordance with the Goods Information”. Hence the Supplier does not Provide the Goods and Services in accordance with the Price Schedule. The Price Schedule is only a pricing document.

1.3. Preparing the price schedule

It will be assumed that the tendering supplier has read Pages 11 and 12 and Appendix 5 of the SC3 Guidance Notes before preparing the price schedule. Items in the price schedule may have been inserted by the Purchaser and the tendering supplier should insert any additional items which he considers necessary. Whichever party provides the items in the price schedule the total of the Prices is assumed to be fully inclusive of everything necessary to Provide the Goods and Services as described at the time of

entering into this contract.

1. As the Supplier has an obligation to correct Defects (core clause 43.1) and there is no compensation event for this unless the Defect was due to a Supplier’s risk, the lump sum Prices and rates must also include for the correction of Defects.

2. If the Supplier has decided not to identify a particular item in the price schedule

at the time of tender the cost to the Supplier of doing the work is assumed to be included in, or spread across, the other Prices and rates in the price schedule in order to fulfil the obligation to Provide the Goods and Services for the tendered total of the Prices.

3. There is no adjustment to lump sum prices in the price schedule if the amount,

or quantity, of work within that lump sum item of goods or services later turns out to be different to that which the Supplier estimated at time of tender. The only basis for a change to the Prices is as a result of a compensation event. See Clause 60.1.

4. Hence the Prices and rates tendered by the Supplier in the price schedule are

inclusive of everything necessary and incidental to Providing the Goods and Services in accordance with the Goods Information, as it was at the time of tender, as well as correct any Defects not caused by a Purchaser’s risk.

5. The Supplier does not have to allow in his Prices and rates for matters that may

arise as a result of a compensation event. It should be noted that the list of compensation events includes those arising as a result of a Purchaser’s risk event listed in core clause 80.1.

1.4. Format of the price schedule

(From Appendix 5 on page 78 of the SC3 Guidance Notes) Entries in the first four columns in the price schedule in section C2.2 are made either by the Purchaser or the tendering supplier. If the Supplier is to be paid an amount for the item which is not adjusted if the quantity of work in the item changes, the tendering supplier enters the amount in the Price column only, the Unit, Quantity and Rate columns being left blank. If the Supplier is to be paid an amount for the item which is the rate for the item multiplied by the quantity completed, the tendering Supplier enters the rate which is then multiplied by the Quantity to produce the Price, which is also entered. If the Supplier is to be paid an amount for an item proportional to the length of time for which the goods and services are provided, a unit of time is stated in the Unit column and the length of time (as a quantity of the stated units of time) is stated in the Quantity column.

1 Overview of the goods and services

1.1 Executive overview

Transnet National Ports Authority (Employer) is in a process of replacing its two DN1200 main shut-off

flooding at the Princess Elizabeth dry dock at the port of East London. The existing valves have been in

operation since 1947 when the dry dock was officially opened for operations.

The main shut-off valves are one of the critical components of the dry dock. The only function of the flooding

culvert shut-off valves is controlling the flow of seawater when filling the dry dock. It is not used for pumping

seawater out of the dry dock. A separate pumping system is available for this which has recently been

refurbished. Two (2) electrically operated flooding culvert shut-off valves are installed on each sides

(starboard and port side) of the dry dock entrance.

Over the years, the dry dock infrastructure has been deteriorating. This is mainly due to the aggressive sea

environment and inadequate corrosion protection. Some equipment is located in the so-called splash zone

and flow zone of seawater. The equipment is aged and obsolete. Thus, obtaining spares is of major concern

should a breakdown occur. As a result, and based on condition assessments conducted by the Employer,

the Port is seeking to replace the two (2) shut-off valves complete with the drive system.

1.2 Purchaser’s objectives

The Purchaser’s objectives is to achieve completion of the Goods and Services as soon as possible whilst

still maintaining the highest quality and safety standards to ensure safe, efficient and functional valve

flooding system.

Note: The dry dock is an operational environment requiring the goods and services to be planned and

executed in a manner which results in minimal operational disruption and this requirement is considered to

be a primary concern of the Purchaser.

1.3 Scope of goods and service

The goods and services that the Supplier is to provide involves the supply, installation, testing,

commissioning and handover two (2) fully functional DN1200 electrically actuated main flooding shut-off gate

valves (PN10) at the Princess Elizabeth dry dock at the Port of East London.

The scope for the goods and services to be carried by the Supplier shall include but not limited to:

Blanking-off the suction line (inlet and outlet) to the existing main flooding shut-off valve.

Removal of the existing paving to expose concrete cover and dispose rubble to approval disposal

site

Lift and pack concrete cover blocks for reuse

Disconnect all connection to the existing valves

Lift the existing gate valve using a crane and store in the area identified by the Employer

Confirm flange to flange distance prior to the fabrication of the new valves to ensure correct sizing of

the flanges and holes

Clean the flange pipes and prepare the flanges faces

Fabricate new valve in fabricator’s workshop.

Off-site testing of the valves prior to delivering to site

Deliver valves and actuators to site and lift and secure in position

Connect electricity supply to actuators

Test for leaks and pressure loss in the system

2 Specifications of the goods and services

2.1 Standards and definitions

2.1.1 References

When reference is made to a code, specification or standard, the reference shall be taken to mean the latest

edition of the code, specification or standard; including addenda, supplements and revisions thereto.

2.1.2 Supporting specification

Where this specification is required for a project, the following specifications shall, inter alia, form part of the

contract.

2.1.3 Definitions

For the purpose of this specification the following definitions apply.

2.1.3.1 Face to face dimensions

The distance between the two planes perpendicular to the body axis located at the extremities of the body

and ports.

2.1.3.2 Nominal pressure (PN)

All pressure units throughout the valve specification will be recorded in kilopascals (kPa).

Nominal pressure (PN) is a numerical designation, which is a convenient round number for reference

purposes.

Note 1: The maximum allowable working pressure depends upon the materials, design and working

temperature and shall be selected from the pressure/temperature rating tables in the

appropriate standards.

Note 2: It is designated by PN followed by the allowable working pressure.

Note 3: This definition is in accordance with ISO 7268.

2.1.3.3 Nominal size (DN)

A numerical designation of size that is common to all components in a piping system other than components

designated by outside diameters. It is a convenient round number for reference purposes and is only loosely

related to manufacturing dimensions in millimetres.

Note 1: Nominal size is designated by DN followed by the size in millimetre.

Note 2: This definition is in accordance with ISO 6708.

All equipment of the same size (DN) designated by the same PN number shall have compatible mating

dimensions.

2.1.3.4 Tight shut off valve

A valve that has no leakage past the sealing faces in it’s closed position under test conditions.

2.1.3.5 Low leakage rated valve

A valve that has an agreed leakage rate past the sealing faces when the valve is in the closed position.

2.1.3.6 Regulating valve

A valve intended for regulating purposes, and which may have a clearance between the sealing faces when

the valve is in the closed position.

2.1.4 Precedence

Any conflict between the technical requirements stated in the Project Specification and the technical

requirements of this specification shall be referred to the Department for clarification.

2.1.5 Deviations

The Purchaser will not permit any substitution or deviation from the requirements of this specification without

prior approval. Any substitution or deviation from the original specification must be submitted to the

Purchaser for approval only during the tender stage of the project.

2.2 General conditions and requirements

2.2.1 Nominal Pressures

Each valve is assigned a nominal pressure (PN) in kPa and shall be tested in accordance with these

specified pressures.

2.2.2 Minimum pressure rating

1 000 kPa is considered to be the lowest acceptable pressure rating for the valves irrespective of lower

system pressures.

2.2.3 Design life

Both valves and appurtenant fittings shall be designed for a useful life of fifty (50) years under the operating

conditions specified in this specification.

2.2.4 Guarantee

The valves shall be guaranteed against faulty design, material and workmanship for period of five (5) years

from date of delivery. During this period the Supplier shall attend to and rectify at his own cost and defects

that can be attributed to faulty design, material and workmanship. Normal wear and tear shall be excluded.

2.2.5 Flanges

Unless specified under this specification, the valves shall be double flanged and drilled off centre to SABS

1123. Flange thickness shall be in accordance to BS 44504 for cast iron valve and SABS 1123 for fabricated

valves.

Should a required flange size fall beyond the range of SABS 1123, mating dimensions shall be in

accordance with ISO Standard 7005 with thickness adequate to withstand closed end pressures.

Flanges with a pressure rating between 1000 - 1600 kPa shall have flat joint faces machined in accordance

with the above SABS or BS specifications. Flange pressure ratings that exceed 1600 kPa shall incorporate

an “O” ring sealing arrangement. Details of the proposed “O” ring groove shall be furnished at the tendering

stage for consideration.

The periphery of all flanges shall be machined to the correct outside diameter dictated by the flange pressure

rating. Flanges for pipes and fabricated valves shall be machined on both faces.

All holes, shall be drilled perpendicular to the face and spot machined on the bolt head/nut bearing faces.

Sufficient clearance shall be allowed between the body and flange to enable flange bolts to be removed or

tightened. Tapped holes shall only be permissible where stiffening ribs or shaft bosses interfere with bolts.

One flange of the valve body shall be clearly marked, identifying the respective pressure rating. (Refer to

Paragraph 2.2.11.)

2.2.6 Jointing material and fasteners

The valves shall be supplied complete with bolt units, consisting of a standard length bolt, nut and two

washers. The stud unit, where applicable, shall be supplied with a standard length stud, nut and washer. A

washer shall be fitted under all bolt/screw heads and nuts

The shortest standard bolt or stud that protrudes beyond the nut by a minimum of two threads when the

assemblies are fully tightened shall be used. The same applies to stud units.

The manufacturer shall specify a fastening sequence for bolts (if applicable) and the torque settings (in Nm)

for all bolts. These torque settings and fastening sequences shall be included in the Operation and

Maintenance Manual.

In addition each valve shall be supplied with full-face gaskets or "O" rings for joining up to adjacent flanges.

Depending on the valve location in a piping system and the atmospheric conditions, the following

specifications will apply:

Black bolted units to SABS 135

Precision bolted units to SABS 136

Galvanised bolted units to SABS 763

Stainless steel bolted units to DIN 931

Stainless steel set screws to DIN 933

For all valve components, i.e. bonnet covers, glands etc., drilled holes for bolts shall be perpendicular to the

flange face.

All bolts and stud units shall be the same length and appropriate size and corrosion protected.

When required by the Project Specification, isolating bolt units shall be supplied with bolt, nut, two washers,

an isolating sleeve and two isolating washers.

2.2.7 Corrosion Protection

The valves shall be corrosion protected against the elements and the valve coating shall consists of two

pack epoxy undercoat, intermediate Epoxy coating and polyurethane top coat minimum 250 microns.

2.2.8 Valve supports and lifting

The valves shall have supporting feet cast integrally with the valve body.

Each valve shall have two eye bolts of the required strength securely attached to the valve body to facilitate

easy handling during transport and installation.

2.2.9 Materials

Unless otherwise specified in the Particular Valve Specification, valve bodies and components shall be of the

materials listed below:

Mild steel : BS 4360 Gr 43, SABS 1431: Gr 300WA

SG iron : BS 2789 Gr 420/12, SABS 936 SG 42

Cast iron : SABS 1034 Gr 250

Cast steel : BS 1504-161 Gr 480, SABS 1465 Part 1

Stainless steel components : BS 970 Part 4 Gr 304, 316 or 431

All material shall be new and of first grade quality. Material certificates for all materials are required.

Where copper alloys are used they shall have a zinc content of less than 0,5% and be suitably insulated

against galvanic currents.

Cast material shall only be cast in moulds coated with a mould wash.

Cast components shall not be warped or distorted in any way.

No repair of cast components will be permitted unless approved by the Supply Manager.

The structure of cast components shall be homogeneous and free from non-metallic impurities or visible

chaplets.

Items to be galvanised shall be fabricated from aluminium-killed steel or silicon-killed steel with <0,04%

Silicon and 0,009 < Phosphor < 0,025%.

2.2.10 Construction

2.2.10.1 Bodies

Bodies shall be of sturdy construction, capable of functioning satisfactorily under abnormal operating

conditions without distortion of the body or malfunction of component parts and shall be shaped to give

minimum change in waterway.

Designs of bodies and components shall be free from pockets that cause eddies or accumulate debris.

Where applicable, access openings and covers shall be well designed and the creation of stress risers shall

be prevented. Any gussets applicable to the design of the valve should form an integral part of the casting.

2.2.10.2 Doors and discs

Doors and discs shall were applicable be cast or fabricated as a unit with integrally cast hinge lugs.

Doors and discs shall operate freely. Their travel shall however be restricted by the provision of substantial

stops, fitted with specified facings to minimise wear and damage to the corrosion protection.

2.2.10.3 Sealing faces

Sealing faces shall be deposit welded with stainless steel unless otherwise specified in the Project

Specification. Where approved in writing by the Supply Manager the sealing faces may be securely fixed

with corrosion resistant elements.

Faces shall be accurately machined and finished to meet the requirements of the specification.

2.2.10.4 Bearings

Main bearings shall, were applicable, be external and accessible without emptying or removal of the valve

body from the line.

Bearings shall be designed to take any unbalanced thrusts on doors or discs.

Bearings shall retain a low co-efficient of friction. Any possibility of bearings becoming tight during service

due to ageing shall be eliminated.

Where possible, bearings shall be water lubricated with a proven record of dependable operation of not less

than five (5) years.

Where shafts protrude through the valve at the non-drive end (NDE) they shall be sealed with bolted

stainless steel, grade 316, bearing cover plates. Screwed taper plug covers are not acceptable.

Sleeve type bearings shall be fully corrosion resistant and shall be fitted in the hubs in the valve body. Steel

back bearings shall not accepted.

2.2.10.5 Bearing and shaft seals

Bearing and shaft seals shall be of the "O" ring or radial cup type with machined weep holes or grooves for

drainage at the gearbox mounting flange.

2.2.10.6 Handwheels

All valves shall be supplied complete with handwheels, which shall have the wording, “OPEN” and “CLOSE”

together with directional arrows legibly cast in recesses on the upper surface of the rim.

Closure of valves shall be through the clock-wise rotation of handwheels. All valves shall be capable of being

opened or closed under an unbalanced pressure equal to the Nominal Pressure. The effort required on

handwheels to open or close valves under these conditions shall not exceed 90 N.

Handwheels shall be manufactured to ensure a close fit between the handwheel and the mating spindle

head and shall be firmly fixed to the spindle head. Loose-fitting handwheels are not acceptable.

2.2.10.7 Lubricating points

All lubricating points for grease gun lubrication shall be fitted with 1/8" BSP stainless steel button head type

grease nipples. Nipples shall be painted red for easy identification. Electro-plated nipples will under no

circumstances be accepted.

2.2.11 Marking

2.2.11.1 General

Each valve shall be clearly marked in accordance with the requirements of BS 5418.

2.2.11.2 Body marking

All valve bodies shall be permanently and indelibly marked (cast in 15 mm minimum lettering size on

castings or welded on fabricated valves) as follows:

Nominal size (DN),

Nominal pressure (PN in kPa),

Arrow to indicate the direction of flow,

The contract number plus identification number to identify each individual valve.

The above markings shall be legible after painting.

In order to facilitate identification at the factory and at site, valve bonnets, gates, discs, doors, etc. shall be

permanently marked (cast in or welded on in 15mm minimum lettering) with the contract number and an

identification number for each individual valve.

In addition to the above, one flange for a flanged valve shall be clearly market with a single set of machined

notches (at least 3mm wide, 3mm deep and the length of the notch to suit the width of the flange). The

length of the notch however shall be 8mm long.

2.2.11.3 Identification plates markings

Identification plate markings shall be hard-stamped, printed or engraved on a stainless steel nameplate fitted

to the valve with stainless steel screws. If necessary a boss/raised face shall be cast as part of the body to fit

the nameplates.

2.2.12 Position indicators

Position indicating plates shall be embossed to clearly show the fully open and closed positions as well as

the ¼, ½, and ¾ intermediate positions.

All pulleys, brackets, pins, cables, counterweights, sleeves, indicator gears and fasteners shall be of

stainless steel 304 or better.

The indicator system shall be accurately installed and calibrated to give true linear indication of the valve

opening. Calibration of the indicator scale shall be done in-situ and directly recorded against the actual valve

operation.

Electronic position indicators will be considered. Full details must however be supplied with the offer. Special

valve position indicators, calibrated in the specified increments of the valve opening, shall be designed,

supplied and installed as required in this specification.

2.2.13 Pipes and specials

2.2.13.1 General

Pipes and specials shall be manufactured in accordance with SABS 719 and all referred specifications.

Either longitudinal butt welding or spiral welding is acceptable.

The surface finishes after fabrication shall be free of score marks, pits, weld spatter and other defects that

may affect the performance of the steel in service.

Fabrication of corrosive resistant steel i.e. stainless steel and 3CR12 pipes must take place in a shop

separated from carbon steel components. All equipment used in the forming and manipulation of corrosive

resistant steel pipes and specials during manufacture must be clean and free of materials that may introduce

defects or contaminate the metal with carbon steel.

2.2.13.2 Welding

Welding shall be in accordance with BSS 2633 and BSS 5135 for mild steel and BSS 4677 for corrosive

resistant steel.

Welding of flanges shall be in accordance with BSS 806 type 6.

Weld strength shall not be less than 90 % of that of the plate calculated on the original measured thickness

of the plate before welding.

The welding process used should limit heat input to a minimum. This can include the following:

Manual metal arc - (MMA)

Metal inert gas - (MIG)

2.2.14 Actuator

Refer to section 2.4

2.2.15 Inspections and quality control

Specific requirements for quality control and testing of valves will be covered by the following paragraphs

2.2.16 Pressure test requirements

Valves shall be pressure tested by the manufacturer to prove that all the fully assembled valves are capable

of functioning satisfactorily under the specified operating conditions.

2.2.16.1 Pressure testing

Test flanges shall be used, tapped holes in valve bodies are unacceptable. Tie-bolts or other forms of

restraint applied across the blank flanges for the testing of flanged valves shall not be permitted.

Note:

(a) No valve undergoing pressure testing shall be subject to shock loading.

(b) Valves and connections shall be purged of air prior to pressure testing.

2.2.16.2 Test fluid

The test fluid for all pressure tests shall be either water with the addition of a suitable inhibitor, or another

liquid whose viscosity at ambient temperature is equal to or less than that of water.

2.2.16.3 Test procedures

General

Test pressures shall be maintained for not less than a two (2) minute duration or as otherwise specified by

the Supply Manager and the valves shall be watertight in all respects.

Structural and seat test shall be executed on both sides of the gate valves.

Both valves, completely assembled, shall be pressure tested by the manufacturer in accordance the

following:

Structural test (body, Disc/gate strength)

Seat/seal test.

Structural test:

Body:

Uncoated valve bodies and bonnets shall be subjected to 1,5 x the maximum permissible working pressure

at ambient temperature. Testing shall be carried out before valves are painted or otherwise internally coated

with materials that are capable of sealing against leakage.

Both ends of the body shall be blanked off so that the valve is subjected to the full pressure stresses in all

directions induced by the test pressure. The valve disc shall be in the open or partially open position during

the test. There shall be no visually detectable leakage through the shell of the valve during the test period.

Assembled and fully coated valves shall be subjected to an open-end test for material strength and

soundness at a pressure of 1,5 x the maximum permissible working pressure at ambient temperature.

Seepage past gland seals at the abovementioned test pressure shall not be cause for rejection, provided

that the gland seals are watertight when the internal test pressure is reduced to the maximum permissible

working pressure.

I. Disc/gate strength:

1,5 x maximum permissible working pressure at ambient temperature.

The valve shall be closed in the normal manner, and the test pressure applied to one side of the disc with the

other side open to atmosphere. There shall be no visible evidence of structural damage to or deformation of

the disc or of leakage through the disc during the test duration.

Seat/Seal test:

Each assembled valve shall be subjected to open-end tests for drop tightness at the permissible working

pressures at ambient temperature. Valves shall be drop tight over the complete range of pressures. Valves

with symmetrical seatings shall be tested in either direction.

The maximum permissible leakage shall be as given in table below.

2.2.16.4 Test certificate

When a test certificate is issued it shall contain a statement by the manufacturer confirming that the valves

have been tested in accordance with this standard and stating the actual pressures and medium used in the

test.

2.2.16.5 Anti-static

Valves designated as anti-static shall have electrical continuity between shaft, disc and body when tested in

accordance with A.2 of BS 5146: Part 1.

2.2.17 Functional test requirements

The manufacturer shall do a functional test on each valve. This shall consist of taking the valve through one

complete cycle, from fully closed to fully open and back. The manufacturer shall take particular note that the

valve position indicator is correctly calibrated.

The Supply Manager or agent appointed by the Supply Manager shall be present during these tests to

witness all the tests mentioned above.

2.2.18 Equipment Drawings

The Supplier shall submit drawings for the following purposes:

Tendering

Manufacturing

Installation

Records

2.2.18.1 Tendering

Drawings giving detailed information of the valves, to make a proper assessment of the equipment offered,

shall be submitted with the tender. The drawings shall include the overall dimensions of the valves, actuators

details, material of construction, etc.

2.2.18.2 Manufacturing

After receipt of a purchase order, but before manufacturing commences, drawings in triplicate shall be

submitted for approval in principle by the Supply Manager. These drawings shall cover the general

arrangements and assemblies of the valves including flange details (drilling, PCD, number-off and diameter

of holes etc.), all functional dimensions of valves and actuators, clearance between concrete face and

flanges, ease of bolt and stud removal, materials, standard parts, etc.

Two weeks after submission by the Supplier, the Supply Manager will return one of the above mentioned

prints either with his certified approval or else with his comments regarding any amendments that may be

required. Drawings returned to the Supplier for amendment purposes shall be re-submitted in its amended

form within 2 weeks of the date of receipt of the drawing by the Supplier.

Approval of the above mentioned drawings by the Supply Manager shall only signify approval of the general

design and layout and shall not make the Supply Manager liable for any error by the Supplier.

The Supply Manager has the right to suspend manufacture until a set of drawings, a draft Operation and

Maintenance Manual and Quality Control Plans (for the manufacture and corrosion protection including data

sheets of paint and abrasives used) are in his possession and approved in principle.

2.2.18.3 Installations

Not later than three weeks after the proposed equipment has been given approval in principle, drawings shall

be submitted to allow for adequate site preparation before the arrival of the equipment. These drawings shall

offer the necessary details for the programming of civil works which the Supplier will also be responsible for.

2.2.18.4 Records

A complete set of "As Built" drawings in accordance with SABS 0111 must be completed and submitted to

the Supply Manager together with an electronically saved version preferably on Compact Disc. These "As

Built" drawings shall contain general arrangements, assemblies, parts lists (including part numbers) and

complete component details. Drawings shall be clear, black line on white paper, unfolded and suitable for

photographing for microfilming purposes. The size of the drawing shall not compromise the clarity of the

print. All legends shall be in English and all dimensions in the metric system in SI units. Acceptable paper

size shall be from A0 to A4.

Each drawing shall be supplied with a title block in accordance with the typical title block. The name of the

scheme, structure and contract number shall be highlighted in bold letters.

In addition to the above, the Supply Manager will issue key information to Supplier, i.e. Internal Drawing

Numbers, Codes, etc., which shall be included on all documentation and drawings.

2.2.19 Operating and maintenance manuals

Three copies of Operating and Maintenance Manuals shall be supplied. A Draft copy of the manual shall be

submitted for approval simultaneously with the drawings for manufacturing purposes.

2.2.19.1 General contents

The purpose of these documents is to simultaneously provide a permanent and accurate record of all the

equipment provided as well as a usable guide in simple language covering operating, maintenance and fault

finding procedures.

2.2.19.2 Binding

The manuals shall be securely bound in A4 size, hard backed plastic/waterproof 4-ring binders, with clear

pockets on the spine and front cover for the insertion of title slips, giving the Contract Number, Scheme, Dam

and a description of the equipment supplied.

Drawings larger than A3 size, index and other title pages shall be contained in separate plastic pockets,

bound in the appropriate section.

2.2.19.3 Layout

The sections shall be separated by plastic dividers, clearly and visibly marked to match the index, and shall

be set out as follows:

Operating Instructions: These shall be clear, concise and easy to follow and must include, where

applicable, pre-start, safety and shut down procedures.

Routine maintenance and lubricating schedule.

Fault diagnosis and repair procedure.

Detailed schedule of plant components giving materials, corrosion protection, part numbers, etc.

Spare parts list: Suppliers/Agents details must be provided.

Drawings. They shall include; general arrangements, assembly drawings, hydraulic and electrical

diagrams, parts and material list in A3 and flow discharge curves. Suppliers/Agents ORIGINAL

brochures and instrumental literature shall also be incorporated in the manual.

2.2.20 Handling and transport

The Supplier is responsible for the safe and undamaged delivery of equipment.

After final product inspection and approval, the valve and related fittings shall be securely packed to prevent

damage in transit.

In order to protect the corrosion protection (lining), the ends of valves and fittings shall be securely blanked

off with sturdy blank flanges which shall be clearly marked:

“DO NOT REMOVE UNTIL FINAL INSTALLATION”

Plastic sheeting will not be acceptable.

Bolts and other small parts shall be sewn up in strong bags and crated. The bags shall be tagged using

metallic tags and indicate the following information:

manufacturer's identification and contract number,

part numbers,

description,

sizes and

quantities.

Each bag shall have the delivery address listed on a separate metallic tag.

The use of ropes, wire or chains for lifting without suitable padding is strictly forbidden. For transport or

storage purposes, balks of timber shall be used to support the components on any surface and separate

them from each other.

Precaution shall be taken to support and chock the equipment to prevent movement when loading onto

vehicles. Components shall be firmly lashed or chained with padded lashing supported on sawdust bags.

The area of padded surfaces shall be adequate to prevent damage to coatings.

The Supply Manager shall be notified of the delivery date and of any requirements regarding off loading and

storage at site.

For site delivery, the transportation, offloading and supervision during off-loading and storage will be the

responsibility of the Supplier. The final inspection and acceptance of equipment supplied will be undertaken

on site after off-loading has been completed. Any damage that occurs during the handling, assembly and

storage of equipment at the Manufacturer/Supplier's works, including transportation to site, shall be repaired

or replace by the Supplier at his own cost, in accordance with the valve specification and to the satisfaction

of the Supply Manager.

2.2.21 Material symbols

Where appropriate the following symbols shall be used for body material designation:

2.3 Wedge Gate Valves

2.3.1 General

2.3.1.1 Type

Gate valves shall be doubled flanged and be of the wedge-gate type, the gates of which shall be completely

clear of the waterway in the fully open position. The valves shall be capable of withstanding the nominal

pressure of 1000 kPa and specified test pressures from both sides. The gate shall operate satisfactorily

under the specified conditions.

Where the specification calls for the supply of 1000 kPa rated gate valves and the manufacturer

manufactures these valves identical to the 1 600 kPa rated valves, these valves can be supplied with the

casted pressure rating stating 1600 kPa and drilled to the 1 600 kPa specification, thus supplying a 1600 kPa

valve. The Supplier shall, however, confirm this in writing at the tendering stage.

In specific circumstances the valves have to be drilled to suit existing equipment and details thereof will be

supplied in this specification.

2.3.1.2 Specifications

The valves shall generally be manufactured in accordance to SABS 664 and SABS 191.

2.3.1.3 Body

The body shall be of rugged design with substantial ribs to minimise distortion under pressure. Bodies shall

be designed and manufactured to withstand any additional gearing related stresses.

2.3.1.4 Gearbox

The valve gearbox, were applicable, shall not be mounted directly onto the stuffing box but shall be mounted

on suitable supporting brackets.

2.3.1.5 Operation

The valve shall be able to open and close satisfactorily under the specified flow rate and pressures.

2.3.1.6 Position Indicator

Preference shall be given to mechanical linear indicator system mounted on the valve stem.

2.3.1.7 Stem and Thrust Bearing

The stem thrust collar shall bear against a ball thrust bearing of approved design, details of which shall be

furnished by the Supplier with his/her offer.

All gate valves shall be fitted with a back seal to permit the replacement of the stem seals under pressure.

2.3.2 Construction and Operational Requirements

2.3.2.1 Body and Guides

Channel guides on the body and the shoes on the gate shall be as deep and as long as necessary to

support and minimise shudder of the gate in any position during its travel.

Shoes shall be accurately fitted in the guides so as to ensure that sealing rings do not make contact before

the gate is seated and that the gate is centralised when seated.

The sliding surfaces between the shoe and the channel shall be constructed from acceptable dissimilar

materials.

With the valve fully open, at least half of the shoe shall be supported by the guides.

Jacking screws shall be provided to prevent over travel of the gate when closed.

2.3.2.2 Stems

The stem thrust collar shall bear against a ball thrust bearing of approved design, details of which shall be

furnished at tendering stage.

2.3.2.3 Sealing Faces

Body and gate seals shall be of such design and construction that will prevent seals becoming loose and

prevent water passing behind seals under all conditions of operation and test. This feature must be proven at

tendering stage by suitable drawings and documentation.

The leading edges of the sealing rings shall be slightly chamfered.

2.3.2.4 Position indicators

The valves shall be fitted with mechanical indicators to show the position of the gate.

2.3.2.5 Gate and body marks

One face of the gate shall be marked, corresponding to a similar mark on the body, to ensure correct

replacement after dismantling. The marks shall be visible and clear after coating.

2.3.3 Material

specified otherwise in the specification.

2.4 Drive system

2.4.1 Actuators and motor operated valves

2.4.1.1 General

This section comprises the specifications for electric actuators to be fitted to wedge gate valves.

All actuators shall be complete with provision for manual operation.

2.4.1.2 Compliance

Actuators for the motorised operation of valves shall comply with this specification in all respects.

Should it be necessary for reasons of application to deviate from the specification, such noncompliance shall

be fully described and motivated in writing at tendering stage.

The Supply Manager’s written acceptance of such motivation shall be obtained before proceeding. All such

documentation shall form part of the Contract and be retained for record purposes.

2.4.1.3 Design life

The actuators shall be designed for a minimum maintenance free life of 10 000 open/close/open cycles,

assuming maximum seating torque at the end of each stroke and an average of 33% of maximum seating

torque during each stroke.

2.4.1.4 Actuator selection

The available torque transmitted to a valve shaft through an electric actuator shall be rated to include a 25%

safety factor in addition to the maximum torque required to fully open or close the valve under the maximum

working pressures and prevailing flow conditions.

The Supplier shall submit drawings and/or calculations used for specifying the valve torque at tendering

stage.

2.4.1.5 South African representation

Actuators shall have substantial South African representation with comprehensive technical "know-how",

service and spares available.

2.4.1.6 Duty cycle

The Supplier shall specify the duration of an open/close cycle at tendering stage.

2.4.1.7 Operation

Actuators shall have a function to hold the gate/disc in any fixed position for an extended period.

All valves shall be capable of being opened or closed under an unbalanced pressure equal to the nominal

pressure.

2.4.1.8 Power supply

The actuator shall be designed to operate from a 400V three-phase or 230V single phase, 50Hz a.c. power

supply. The actuator shall be capable of operating at the rated duty with a ± 15% variation of the applied

voltage measured at the actuator.

The actuator shall be provided complete equipped with the necessary auxiliary equipment to provide the low

voltage power required by its control circuits.

The actuators shall have the correct phase rotation of the power supply after the site wiring and connections

have been made.

2.4.1.9 Electric motors

2.4.1.9.1 Purpose Design

The motor shall have a minimum duty rating of four consecutive complete cycles or a continuous duty of 15

minutes, whichever is the more onerous.

2.4.1.9.2 Gear Driven Actuators

The actuator shall be fitted with a low inertia high torque purpose designed electric motor.

2.4.1.9.3 Hydraulic Pump Motor

The hydraulic gear pump shall be driven by a totally enclosed fan cooled electric motor suitable for direct on-

line starting. The motor and gear pump shall form one assembly.

2.4.1.9.4 Motor Winding and Over-Temperature Protection

Insulation Class F shall be used on the motor windings and the winding temperature rise shall be designed

for Class B.

Two temperature thermostat switches shall be embedded in the starter winding for rapid, accurate over-

temperature protection of the motor windings.

2.4.1.9.5 Motor Enclosure Anti-Condensation Heater

Where specified, an anti-condensation heater shall be provided in the motor enclosure. This heater shall be

automatically switched off while the motor is in operation.

2.4.1.9.6 Locked Rotor Current

The locked rotor current of motors shall be specified to permit adequate sizing of the power supply cable.

The voltage at the motor during starting shall not drop below 85% of the nominal supply voltage.

2.4.1.9.7 Single Phasing Protection

Single phasing protection shall be provided to ensure that the motor is not operated with only two of the

three phases of the power supply present.

2.4.1.10 Actuator Mountings

The actuator shall be mounted directly onto the valve body or gearbox. Should a particular application

require an adaptation device, any such device shall be a specific proprietary design for a particular type of

valve. A comprehensive design of any such adaptation shall be submitted to the Supply Manager for

approval.

Provision shall be made for a weep hole to release any seepage water from the valve in order to protect the

gearbox/actuator from contamination.

The attachment of the actuator to the valve body shall be such that the actuator may be detached without

disturbing the valve position.

The valve manufacturer shall ensure that there is no visible movement of the actuator on the mounting

adapter or valve body when the actuator is in operation.

2.4.1.11 Indicators

The actuator/gearbox shall be fitted with an engraved dial indicator on stainless steel material to give an

accurate reading of the travel. The engravings shall be filled with black paint.

2.4.2 Electric Actuator

2.4.2.1 Electric Motor

For details on the electric motor refer to paragraph 2.4.1.9.

2.4.2.2 Actuator Controls

2.4.2.2.1 Integral Motor Starters

Integral actuator control, whereby the entire actuator, motor and stop/start control, forward/reverse control

and starter are integrally mounted in the actuator enclosure, are preferred.

Where the actuator motor is of such a size that a separate mounted starter is necessary, this shall be

specifically stated.

In both cases, the reversing contactor starter shall be electrically and mechanically interlocked.

2.4.2.2.2 Integral Pushbutton Stations

The actuator shall be provided with an integral pushbutton station with the following features:

Local/Off/Remote selector switch. This switch shall be padlockable in each position.

Open/Stop/Close pushbutton station. The Open and Close pushbuttons shall only operate when a

local selection is made on the selector switch. The Stop pushbutton shall be of the emergency

latching type and shall operate in all positions of the

Local/Off/Remote selector switch.

Digital or mechanical local indication of the valve percentage open or fully open/closed status.

2.4.2.3 Monitoring and Protection

The following monitoring and protection systems shall be provided:

2.4.2.3.1 Position Indicators

Refer to paragraph 2.2.12

2.4.2.3.2 Torque Limit Switches

Torque limit switches shall be provided to sense an overload condition in either clockwise or counter-

clockwise operation to protect the valve and actuator. These torque switches shall be adjustable over the

entire torque range specified for the actuator. A back-up torque limit switch shall be provided with a “faulty

system” warning light.

2.4.2.3.3 Travel Limit Switches

Travel limit switches shall be provided to stop the actuator at the required extremes of travel and shall be set

to trip the actuator operation before the actuator torque limit switches are activated.

The positions of these travel limit switches shall be adjustable, permitting adjustment to the valve shaft

travel. These limit switches shall remain synchronised with the valve shaft travel for both motor and hand

powered actuator operation. Provision shall be made for protection against unauthorised tampering with

these limit switches.

2.4.2.3.4 Motor Winding Thermostats

Refer to paragraph 2.1.9.4 above.

2.4.2.3.5 Potential Free Switch Contacts

Potential free switch contacts for remote and local indication of:

• Travel limit - valve open/closed

• Torque limit exceeded

These switches shall have both normally open and normally closed contacts rated at 2 amperes, 400 volts.

Indicator lights shall be installed to indicate whether the actuator has tripped on either limited travel or

excessive torque.

2.4.2.4 Enclosures

The enclosure(s) housing the mechanical, electrical and electronic components of the actuator shall be rated

to IP68 of SABS 1222. The Contractor shall provide documentary proof that this requirement is met.

A corrosion resistant plate with red lettering, reading as follows, shall be affixed to the actuator terminal

cover.

Cable entry into the termination compartments of the actuators and control panels shall not impair the IP

rating of the enclosure.

All cable glands shall be fitted with watertight UV stabilised plastic boots and shall be supplied with the

actuator.

Anti-condensation heaters shall be provided in all compartments of the enclosure housing the components of

the actuator.

Lead seals shall be affixed via wire through the body and cover on all electric compartment housings after

final setting and wiring of the actuators by a qualified actuator service Engineer.

2.4.3 Manual Operation

2.4.3.1 General

All valves shall have a manual backup operation in order to open/close the valve during emergency

conditions.

The position indicator shall remain synchronised with the actual valve position during manual operation.

2.4.3.2 Manual Operation for Electrical Operated Valves

Closure of valves shall be through the clock-wise rotation of hand wheels. All valves shall be capable of

being opened or closed under an unbalanced pressure equal to the Nominal Pressure. The effort required on

hand wheels to open or close valves under these conditions shall not exceed 90 N.

A manual de-clutch lever shall be provided which, when operated, shall disengage the electric mechanism.

When the motor is energised, the unit shall automatically return to motor operation without imparting any

motion to the hand wheel, thereby ensuring the safety of personnel.

2.4.4 Gearbox Drive Units

2.4.4.1 General

Gears shall be machine cut and totally enclosed in weatherproof enclosures.

Shafts, gears and other rotating components shall be supported on heavy-duty roller bearings to provide the

highest possible efficiency.

The gearbox shall be coated internally to 125 μm and externally to 250μm + 50μm recoatable polyurethane.

A seal shall be provided on the input shaft of the gearbox to prevent water from entering the gearbox.

A weephole (diameter 10mm minimum or machined groove 10 wide and 4 deep) shall be provided between

the valve and gearbox to release any seepage water in the event of seal failure.

2.4.4.2 Lubrication

The gearbox lubricants shall be such that the gearbox can be mounted at any angle without any lubricant

leaking from the gearbox enclosure.

If a gearbox is 100% filled with lubricant, the gearbox shall be provided with a maintenance free membrane

breather with sufficient capacity to accommodate the expansion of the lubricant over the full temperature

range.

Gears shall be fully covered with the lubricant in order to prevent corrosion.

2.4.4.3 Shearpins

Easily replaceable shear pins shall be provided on gearboxes to prevent damage to the valve if excessive

force is applied on the hand wheel in the fully open or closed positions. A spare pin shall be attached to each

valve. The shear pins shall be detailed and specified in the manufacturer's operating manual.

3 Constraints on how the Supplier Provides the Goods and Services

3.1 Work to be done by the Delivery Date

The Supplier shall fabricate, supply, install, testing and commissioning of the two (2) new electrically

actuated DN1200 gate valves.

Safety File is to be approved before access is provided. Induction to be done before the goods can

be offloaded.

The Supplier shall provide 3 hardcopies and 2 electronic copies of all the operating and maintenance

manuals in English.

After completing all work as described in this document the Supplier shall supply as-built drawings,

manuals as required by this Goods Information.

On the delivery of the goods delivery note and the results have been accepted by the Supply

Manager.

The Supplier shall be required to train the Purchaser’s staff on the use of the goods.

3.2 Services & other things to be provided by the Purchaser or Supplier

The Purchaser shall make an area (Site) available for the Supplier to visit the site and to confirm the

dimensions of the existing valves and chamber. The area will be made available for the Supplier to deliver

the goods defined under this Goods Information.

In order to facilitate the supply, the Supplier is to provide a truck with a crane in order to offload goods at the

port of East London.

The Supplier shall in providing his service train Purchaser’s staff on how to operate the new equipment. The

Supplier to include this in his programme and notify the Supply Manager at least week prior to the training of

the staff.

3.3 Management meetings

Meetings of a specialist nature may be convened as specified elsewhere in this Goods Information or if not

so specified by persons and at times and locations to suit the Parties, the nature and the progress of the

manufacture of the goods. Records of these meetings shall be submitted to the Supply Manager by the

person convening the meeting within five days of the meeting.

All meetings shall be recorded using minutes and an attendance register prepared and circulated by the

person who convened the meeting. The minutes shall not be used for the purpose of confirming actions or

instructions under the contract as these shall be done separately by the person identified in the conditions of

contract to carry out such actions or instructions.

3.4 Documentation control

All communication will be in writing as per the contract and should reference the contract number, and the

title of the contract, and unique letter reference number. All communication shall be addressed to Supply

Manager. All communication shall be accompanied with a completed and signed transmittal cover.

A file indexing is to be adhere to, the Contract file structure procedure

Reports are to be in word, excel, power point format compatible with office 2010 or latest. These

may be emailed to the Supply Manager and a hard copy placed on file.

Contractual communications will be in the form of properly compiled letters or forms attached to

emails and not as a message in the email itself.

All instructions are to be from the Supply Manager only.

3.5 Health and safety risk management

The Supplier shall comply with the health and safety requirements contained in Annexure A to this Goods

Information.

3.6 Environmental constraints and management

The Supplier shall comply with the environmental criteria and constraints contained in Annexure B to this

Goods Information.

3.7 Quality assurance requirements

The services of an independent third party may be engaged by the Purchaser to assist in meeting the quality

assurance objectives and the Supplier must give the necessary co-operation and supply all the necessary

quality management documentation as required. The cost of the QA work by the third party will be borne by

the Purchaser. The Supplier shall ensure that the quality assurance requirements placed on him under this

Contract are transferred into any subcontracts.

Quality system requirements shall be applied on all subcontracts to the point where the acceptability of

supplies can be demonstrated solely by the conduct of inspection and/or examination of goods upon receipt

at the designated point of delivery. The Supplier’s quality plan shall include or reference the quality plans of

subcontractor.

The Supplier submits a QMS as a returnable schedule and uses it for all phases of the Project. The QMS

complies with the requirements of ISO 9001 standard. The Supplier provides evidence of a fully implemented

QMS. The Purchaser and/or Supply Manager may at his sole discretion carry out an audit on the Supplier

and his subcontractors.

3.8 Programming constraints

The Supplier is required to submit a program for approval within 14 days of the award of this contract. This

program shall be subject to discussion and review by the Purchaser prior to acceptance.

The Supplier’s proposed programme shall be in the form of a bar chart (Gantt chart) or any other time-activity

form acceptable to the Purchaser. The program shall clearly show:

(a) The proposed rate of progress in order to complete the Works within the required period as

tendered, showing the various activities, their durations and proposed resourcing levels (major plant

and labour) for each element of the Works. Sufficient detail shall be provided to enable the

Purchaser to be able to gauge supply progress. All activities, including any establishment on site,

trimming and finishing and the completion of all minor ancillary work are to be included in the

program.

(b) The sequence of activities and any dependencies (time or resource related) between them.

(c) The critical path activities.

(d) Key dates in respect of work to be carried out, or information, etc., to be provided, by others.

(e) The anticipated value of work to be done during each month.

(f) Other information specifically required by the Purchaser.

When drawing up his programme, the Supplier shall, inter alia, take into consideration and make allowance

for:

(a) Known physical conditions or artificial obstructions.

(b) Obtaining permits for all workers and staff, vehicle permits, vehicle operating permits for drivers and

operators and radio operators.

(c) The accommodation and safeguarding of public and traffic.

(d) Dealing with, altering and installing services.

(e) The reasonable requirements and programmes of the Supply Manager.

(f) All other actions required in terms of this contract.

(a) The number of working hours per day, working days per week, assumed holiday or shut down

periods on which the programme is based.

(b) The overall labour and major plant resource levels on which the programme is based.

(c) The detailed traffic and construction plant accommodation proposals on which the programme is

based.

The Supplier shall base its initial programme of work on the scope of the goods and service as described in

the project specification and the schedule of quantities. This programme shall be reviewed on a regular basis

by the Supplier in accordance with changing circumstances, delays and amendments to the work ordered by

the Purchaser as a result of further examinations made by the Purchaser.

Minor revisions to the approved program may be introduced from time to time by mutual agreement between

the Supply Manager, the Supplier, and the Purchaser. Should the Purchaser believe that a major revision of

the program is required, the Supplier will be notified in writing and a revised program shall be submitted

within two weeks of receipt of such notification.

It should be noted that it is in the Supplier’s interest to provide a comprehensive program giving as much

information as possible about the times allowed for the various activities as well as resources or other

limitations affecting the program, since the approved program may be used to evaluate any claims in terms

of the general conditions of contract for extensions of time.

The Supplier shall submit to the Supply Manager a detailed cash flow chart based on the contract

programme showing the anticipated cash flow as represented by expected payment claim submissions, not

only payments received.

3.9 Invoicing and payment

A copy of the invoice along with supporting documents (all copies) need to be emailed/delivered to the

Supply Manager before payment can be made upon submission of the original invoice.

Within one week of receiving a payment certificate from the Supply Manager in terms of core clause 51.1,

the Supplier provides the Purchaser with a tax invoice showing the amount due for payment equal to that

stated in the Supply Manager’s certificate.

The Supplier shall address the tax invoice to Purchaser and include on each invoice the following

information:

Name and address of the Supplier and the Supply Manager;

The contract number and title;

Supplier’s VAT registration number;

The Purchaser’s VAT registration number.

Description of goods and services provided for each item invoiced based on the Price Schedule;

Total amount invoiced excluding VAT, the VAT and the invoiced amount including VAT;

Invoices to be submitted on the 15th of every month.

Invoices can be sent electronically to [email protected]. Only PDF invoices from the system are

acceptable (This could be done in Excel, word or any other system and directly converted into PDF). No

scanned PDF will be accepted.

All payment will be done via the electronic payment system

3.10 Insurance provided by the Purchaser

Refer to section 8 of the Contract Data.

3.11 Contract change management

Any contract change management will be dealt with according to the compensation event clause in section 6

of the core clauses and additional contract clause.

3.12 Provision of bonds and guarantees

Not applicable.

3.13 Records of Defined Cost, payments & assessments of compensation events to

be kept by the Supplier

The Supplier retains all records of assessments, invoices, payments and all other relevant records applicable

to this contract. The Supply Manager may require this information from time to time.

4 Procurement

4.1 Subcontracting

4.1.1 Preferred Subcontractors

The Supplier shall disclose any subcontracting agreements for the purposes of this contract prior to contract

award. All subcontracting should be in line with NEC 3 Supply Contact (SC) terms and conditions of the

contract and subject to acceptance by the Purchaser.

4.1.2 Limitations on Subcontracting

The Supplier may be allowed by the Purchaser to subcontract certain work in subcontract support of the

Supplier Development (SD). However, the Supplier shall not subcontract more than 25% of the whole

contact value, unless exempted by the Purchaser and this should be specialised work.

4.2 Plant and materials

4.2.1 Plant & materials provided “free issue” by the Purchaser

The Purchaser will not issue any plant and materials for the Supplier to use in proving the goods and

services.

All plant and materials necessary to provide the goods and services shall be provided by the Supplier.

4.2.2 Spares and Consumables

Not applicable.

The Supplier shall only be required to provide a list of the spare parts and consumable with Suppliers/Agents

details must be provided.

4.3 Marking the goods if payment is made before supply

The Supplier shall:

clearly mark the outside of each consignment or package with the Supplier's name and full details of

the destination in accordance with the Purchaser’s order and include a packing note stating the

contents thereof;

on despatch of each consignment, send to the Purchaser at the address for delivery of the Goods,

an advice note specifying the means of transport, weight, number or volume as appropriate and the

point and date of despatch;

send to the Purchaser a detailed priced invoice as soon as is reasonably practical after despatch of

the Goods, and

state on all communications in the relevant order number and code number (if any).

5 Constraints at the Delivery Place

5.1 Purchaser’s entry and security control, permits, and site regulations

Purchaser’s entry points are either from the main entrance gate or the dry dock entrance point bonk on the

eastern bank of the harbour.

Access to site will be made available for the duration of the project for which the services will be rendered.

Prior to accessing the Site all contracting parties responsible for the delivery of the services will be required

to register as Supplier at the security services centre located at the CRD building.

Access to the site may be restricted due to normal operations within the Dry Dock and the time should be

allowed for some disruption during the delivery of the services.

The normal working hours are Monday to Friday between 07:30 to 16:30. Access to the site outside of these

hours should be arranged with the Supply Manager at least 24 hours prior to the required extended access.

Suppliers and his subcontractor entering the Purchaser property shall be required to have a site permit all at

times. The Supplier shall furnish the Purchaser with certified copies of I.D. books or smart ID cards for all his

employees who will be working on the project.

The Supply Manager has zero tolerance on incidents. The Supplier will not be allowed to access the delivery

place if he/she has tested positive for alcohol consumption.

5.2 Equipment provided by the Purchaser

The Purchaser will not provide any equipment for use by the Supplier. The Supplier shall be required to

provide all necessary equipment to provide the goods and service.

5.3 Services and other facilities

5.3.1 Water supply

The Purchaser will make available potable water connection for domestic purposes only. The Supplier shall

confirm the connection required and purchase all couplings before he gets to site. The Supplier shall supply

all connections and distribution pipes as necessary plus a meter and shall bear all costs in connection

therewith. The Supplier shall make his own arrangements for his construction water supply requirements as

necessary and bear all costs in connection therewith.

5.3.2 Electricity supply

The Purchaser will only be able to make a single phase, 220 volts, power supply available to the Supplier for

domestic purposes. The Supplier shall be liable for all costs associated with transferring power to the

required locations, the provision of a meter and the cost of power consumed. The Supplier shall make his

own arrangements for his construction power supply requirements as necessary and bear all costs in

connection therewith.

5.3.3 Camp site

A suitable area will be made available to the Supplier for his camp if required. The Supplier shall, prior to

taking over the site, provide a detailed proposal for his laydown are and site camp showing the area

required. The Supplier shall provide a suitable fence around his camp in order to define its boundaries

clearly.

The Supplier shall provide everything else necessary for Providing the Goods and Services.

5.4 Work to be done at the Delivery Place by the Delivery Date

The work to be done at the Delivery Place by the Delivery Date includes but not limited to;

Removal of the existing paving and concrete cover blocks

Safely isolate water supply, and check for leaks. Where there are leaks, the Supplier provides

necessary pumps / equipment to ensure area is safe and dry to work

Removing the existing gate valves and blanking off of pipes

Installation and testing of valves, actuator and connections

Reinstatement of the paving and making good of the delivery place.

Commissioning and handover of goods

Issue operating and maintenance manuals,

training of Purchaser’s staff on new equipment and maintenance and spares required

Acceptance by Supply Manager

5.5 Start-up procedures required to put the goods into operation

Not applicable.

5.6 Access given by the Purchaser for correction of Defects

The Supply Manager shall arrange for the Purchaser to allow the Supplier access to and use of a part of the

goods which has been Delivered if needed to correct a Defect.

After the goods have been put into operation, the Purchaser may require the Supplier to undertake certain

procedures before such access can be granted.

5.7 Performance tests after Delivery

The Supplier will be required to demonstrate that the goods can operate as a guarantee by the Supplier or

as specified by the Purchaser either here or elsewhere in this Goods Information.

The Supplier shall inform the Supply Manager at least a week prior to such performance tests are done.

Site location

The site which the Supplier will deliver the two (2) main shut-off flooding gate valves is the Princess

Elizabeth Dry Dock at the port of East London. The site is located about 1km southwest of East

London CBD and 7 km northeast of East London Airport in the Eastern Cape Province.

Access to the site is via two (2) security gates only. Namely;

There is a card access system to enter the Port Area. The Port Staff will arrange the required access

permits and issue them to the Supplier free of charge. Should any person loose his/her access

permit these will be replaced at a cost of R 360-00 per person, to be paid by the Supplier. This will

also apply if permits are not returned at the end of the project completion.

Transnet National Ports Authority has a strict health and Safety policy in Place. No persons may

enter the site and undertake work on the site until undergoing the mandatory induction. The

induction will be arranged by the Port staff at no cost to the Supplier.
