Dear Members,On July 4, 2014 Ukrainian Credit Union Limited will mark an important milestone – the 70th anniversary of its founding by the Toronto Branch of the Ukrainian National Federation of Canada.

In doing so, we also celebrate the heritage of another 19 Ukrainian credit unions from across Ontario who over the years joined with UCU to form a strong and forward looking financial co-operative committed to building community. Among those, Ukrainian (Hamilton) Credit Union Limited, the first Ukrainian credit union in our province founded in 1943.

Naturally, we embark on our anniversary celebrations with a sense of accomplishment for our collective financial and community achievements in both 2013 and preceding decades. Indeed, all members can reflect proudly on our co-operative’s legacy of sound management and financial strength which have enabled UCU to be a strong supporter of the community, both locally and beyond.

Ironically, at a time of celebration, we also share with our founders the intense apprehension, yet firm resolve, they felt for Ukraine during WWII as they established UCU. Like our very first members who stood by Ukraine at a time of mortal threat by the armies of Hitler and Stalin, we also stand by Ukraine today as she stares down military aggression anew, this time from Vladimir Putin’s rekindled Russian empire.

Again, like our founders, we too will draw inspiration during this new challenge for Ukraine from the prophetic call to justice and freedom of her national bard, Taras Shevchenko, the bicentennial of whose birth we also mark with Ukrainians around the world in 2014. Financial Highlights for 2013 In 2013, your credit union maintained a tight focus on profitability in the face of ever-tightening financial margins that have negatively impacted all financial institutions. To this end, we successfully integrated the operations of United (Hamilton) Ukrainian Credit Union which merged with UCU in November 2012 in a manner that both provided continuity of service and employment, while leveraging efficiencies to reduce operating expenses throughout the organization. Also, during the past year, we combined increased member deposits with an expanded mortgage securitization program to generate the cash needed to fund loan demand. This approach, combined with reduced borrowing from our central financial facility, Central 1, helped offset the pressure that the prolonged low interest rate environment has had on our financial margin.

Шановні члени,Дня 4-го липня 2014 Українська Кредитова Спілка Лимитед буде відмічувати важливу віху: 70-річчя з дня свого заснування завдяки зусиллям Українського Національного Об є̀днання Канади – Філія Торонто.

При цьому ми також святкуємо спадщину ще 19 українських кредитівок з різних частин Онтаріо, які напротязі років з'єдналися з УКС, щоб сформувати сильну і перспективну фінансову кооперативу, яка живе гаслом “будуємо громаду”. Серед тих була Українська (Гамільтон) Кредитова Спілка Лимитед, перша українська кредитівка в нашій провінції, заснована в 1943 році.

Звичайно ж, ми починаємо цей етап ювілейних торжеств з почуттям сповнених цілей, з уваги на наші спільні фінансові та громадські досягнення як в 2013 і в попередніх десятиліттях. Справді, всі члени можуть з гордістю оцінити спадщину солідного управління і фінансової стійкості нашої кооперативи, що уможливило нам бути сильним прихильником громади, як на місці, так і за його межами.

За іронією долі, в цей час святкування, ми також поділяємо з нашими засновниками інтенсивне побоювання, але рівночасно й тверду рішучість, які вони відчували супроти України під час Другої світової війни, коли вони встановлювали УКС. Як і наші перші члени, що стояли рядом з Україною в час смертельної загрози армій Гітлера і Сталіна, ми сьогодні також стоїмо за Україною, коли вона заново протистоїть військовій агресії, тим разом від відродженої Російської імперії Владіміра Путіна.

Знову ж, як і наші засновники, ми теж будемо черпати натхнення в цей новий період виклику для України від пророчого заклику до справедливості і свободи її національного кобзаря, Тараса Шевченка, двохсотріччя народження якого ми також відзначаємо з українцями по всьому світу в 2014 році.

Основні фінансові показники на 2013 рікУ 2013 році Ваша кредитівка підтримувала тісний акцент на прибутковості в умовах все більш тісних фінансових марж, від яких зазнали негативні наслідки всі фінансові установи. З цією метою ми успішно заінтегрували операції Об є̀днаної (Гамільтон) Української Кредитової Спілки, яка злучилася з УКС в листопаді 2012 року так, щоб забезпечити безперервність обслуги і працевлаштування, використовуючи при цьому ефективність щодо зниження операційних витрат у рамках всієї кредитівки. Крім того, протягом минулого року, ми поєднали збільшені депозити членів з розширеною програмою сек'юритизації мортґеджів, щоб створити кошти необхідні для фінансування попиту на позики. Цей підхід, у поєднанні зі зменшеним запозиченням від нашої центральної фінансової установи, Central 1, допомогли компенсувати тиск на нашу фінансову маржу тривалих умов низьких процентних ставок.


Assets increased $43.6 million (7.5%) to $627.3 million, deposits grew $35.3 million (6.95%) to $544 million, while loans to members increased $43.3 million (8.56%) to $548.9 million.

The Credit Union received a total of 1,477 credit applications (vs. 1,417 in 2012) of which 1,185 were advanced, 245 were declined or cancelled, and 47 were pre-approved but not yet advanced by year-end. Loans advanced totalled $165,784,346 (vs. $159,366,365 in 2012) and were broken down as follows:

A 2% dividend was paid on qualifying membership shares while the annualized dividend on Class A Shares was 3.26%. Loan loss provisions were adjusted downward to $680 thousand (vs. $867 thousand in 2012) reflecting the updated assessment of our credit portfolio’s risk profile.

Income before income taxes for the year was $2.121 million (vs. $1.463 million in 2012). After income taxes of $362 thousand (vs. $179 thousand in 2012), net profit for 2013 was $1.759 million (vs. $1.284 million in 2012). Regrettably, our income tax expense was higher than it would have otherwise been due to the 2012 Federal Budget’s ill-informed provision to significantly increase credit union tax rates over five years.

Comprehensive income, which includes unrealized gains and losses, was $2.986 million vs. $1.661 million in 2012, while the credit union’s retained earnings increased to $24.124 million (vs. $22.617 million in 2012).

As at December 31, 2013, the credit union’s regulatory capital stood at $43.248 million, an increase of $1.858 million over the previous year. After taking into account proportionately greater asset growth and a rise in commercial lending activity, this increase in capital translated into a year-end capital leveraging ration of 6.9% (vs. 7.1% in 2012), and risk-weighted capital ratio of 13.7% (vs.14.4% in 2012). Both capital ratios continued to significantly exceed regulatory requirements of 4% and 8%, respectively.

At the end of December, 2013 the credit union’s membership, was 25,205.

Kindly note that comparative numbers for the prior year used in this report are based on 2012 financial statements that have been restated in connection with new IFRS reporting rules that took effect January 1, 2013.

Service & Product Enhancements During 2013, your credit union completed the following initiatives to improve product and service offerings to members:

The January 2013 addition of a 24/7 accessible ATM at our UCU St. Catharines Branch at 118 Niagara Street, only one minute south of the QEW.The April 2013 launch of our new Service Centre hosted by Ottawa Women’s Credit Union (now Alterna Credit Union) at 271 Bank Street in downtown Ottawa. National Capital Region members can now enjoy access to in-person lending, investment and teller services, as well as a full-service 24/7 ATM.The introduction of Interac E-Mail Transfers starting the summer of 2013 which permits members who are enrolled in on-line banking and have access to an e-mail or mobile phone number, to securely send money between their UCU accounts and accounts in another financial institutions in Canada.In October, 2013, we converted the Hamilton members to UCU’s banking system giving them full access to our credit union’s network of 16 branches/ ATM locations and providing all other members with a banking location in Hamilton.

Governance As the financial services environment grows more complex, the Board of your credit union has worked in partnership with regulators and the credit union system to ensure that UCU continues to have in place industry best practices to manage risk and plan for the future.

Among other measures, we have upgraded the evaluation of Board performance and competencies, revisited director training requirements, and have made a proactive commitment to bolster capital, liquidity and enterprise risk management to keep our credit union financially sound and member deposits safe.

Monthly Board meetings are but one mechanism through which directors carry out their governance responsibilities, with most of the Board’s oversight work being carried out through additional in-depth meetings of the Board’s various committees, also usually held monthly.

Beyond their demanding statutory duties, on evenings and weekends directors regularly serve as UCU ambassadors at community events financially supported by the credit union. These representational commitments by our directors, facilitated with the gracious support of their families, are important opportunities to convey to community members that the greater their reciprocal support of UCU, the stronger our ability to support them in the volunteer work they do to make our community so vibrant.

Building Community In keeping with our vision of “building community”, UCU continued to provide financial support to varied and numerous cultural, educational and community projects and events which are set out on pages 12-13 of this report. We also continue to extend support to our student members of high academic standing and community consciousness through our annual scholarship program.

UCU is unique in the broad range of organizations and causes we support from Toronto, to Thunder Bay, to Windsor, to Hamilton-Niagara and across the province and country. This reflects our philosophy to bring together and treat with respect all parts of our rich community, no matter their location.

Серед й інших заходів, ми оновили оцінку ефективності і вміння Ради директорів, знову розглянули вимоги щодо навчання директорів, і активно намагаємося зміцнювати управління ризиків по відношенню до капіталу, ліквідності, як і загально, щоб зберегти фінансову стійкість нашої кредитівки і безпеку депозитів нашого членства. Місячні засідання Ради є лише одним механізмом, за допомогою якого директори виконують свої обов'язки управління, причому більша частина наглядової роботи Ради здійснюється за рахунок додаткових поглиблених засідань різних комітетів Ради, які здебільша також зазвичай проводяться що місяця.

By strengthening our volunteer not-for-profit institutions and encouraging our young people to excel with an eye to contributing to the common good, UCU remains committed to sharing the fruits of our co-operative enterprise in a way that is good both for our member owners and the communities of which we are a part.

In 2013, a highlight in respect of our community efforts, was the special presentation by Ukrainian Canadian Congress at its October, 2013 triennial national congress in Toronto, recognizing UCU’s important contributions to the UCC over many years.

Ukraine in Peril In 1944, Ukraine was in a critical struggle for its existence, as it is again today. As then, UCU has had a stake in the development of an independent, democratic and just Ukrainian state. Since the fall of the totalitarian Soviet regime in 1991, we did so through active participation with the Council of Ukrainian Credit Unions of Canada in the re-establishment of financial co-operatives that would encourage economic self-reliance and build civil society in Ukraine.

We have also actively worked to support democratic development through volunteerism and financial support of election observer missions to Ukraine, and recent humanitarian and political activities by Canadian and international organizations in support of Ukraine’s sovereignty.

While we cannot predict what course events will take in Ukraine by the time this report reaches our members, we can however assure you that our co-operative will stay true to the vision of its founders during the darkest hours of Soviet rule. We remain confident in the ultimate victory of Ukraine over her enemies and we will continue our unwavering support for her independence and territorial integrity.

To this end, at this year’s Annual General Meeting, the Board will be proposing that the membership approve a resolution endorsing the redirection of 2014 membership share dividends towards the efforts of reputable Canadian and international organizations in assisting Ukraine in this time of crisis.

Celebrating 70 YearsAfter seven decades, Ukrainian Credit Union Limited has worked to provide high quality competitive co-operative financial services to its members while never forgetting the needs of the community.

UCU’s first Board of Directors under the leadership of our first President, the late Mr. Wasyl Sytnyk, did not have a lot of money but they did have faith, and a sincere desire to improve the social and economic lot of their members applying the ideals of co-operation that they brought with them to Canada from Ukraine. Integral to their vision, was an unwavering commitment to leverage the wonderful opportunities Canada offered them to help free their homeland.

У 2013 році визначний момент щодо наших громадських зусиль була спеціальна презентація Конґресом Українців Канади в часі його трирічного крайового конґресу в Торонто в жовтні 2013 р., яка визнала важливий внесок УКС в КУК протягом багатьох років.

Україна в небезпеціУ 1944 році Україна була в критичній боротьбі за своє існування, так само, як і сьогодні. Як і тоді, УКС була і є заангажована в розвитку незалежної, демократичної і справедливої української держави. Після падіння тоталітарного радянського режиму в 1991 році, ми це робили за допомогою активної участі, разом з Українською Кооперативною Радою Канади, у відновленню фінансових кооперативів, які сприяли б економічній самостійності та створенню громадянського суспільства в Україні.

Ми також активно працювали, щоб підтримати демократичний розвиток через волонтерство та фінансову підтримку місій виборчих спостерігачів в Україну, і недавні гуманітарні та політичні заходи канадськими та міжнародними організаціями в підтримку суверенітету України.

Хоч ми не можемо передбачити хід подій в Україні до того часу, як цей звіт дійде до наших членів, проте ми можемо запевнити Вас, що наш кооператив залишиться вірним баченню його засновників в найтемніші години радянської влади: ми як і раніше впевнені в остаточній перемозі України над її ворогами і ми будемо продовжувати нашу непохитну підтримку її незалежності і територіальної цілісності.

З цією метою, на річних загальних зборах цього року, Рада буде пропонувати щоб членство схвалило резолюцію, яка підтримує перенаправлення дивідендів на членських уділах за 2014 р. на старання відомих канадських і міжнародних організацій в наданні допомоги Україні в цей кризовий час.

The Audit Committee of Ukrainian Credit Union Limited (“UCU”) conducts its activities in accordance with the Credit Unions and Caisses Populaires Act 1994 (“Act”), Regulations related to the Act, and the by-laws of UCU.

The Audit Committee is responsible for reporting to the Board and overseeing:

The integrity of UCU’s financial statements and related informationUCU’s compliance with applicable legal and regulatory requirementsThe independence, qualifications and appointment of the external auditorsThe performance of the internal and external auditorsEnterprise Risk Management activities in accordance with DICO guidelinesUCU management’s responsibility for reporting on internal controls and the integrity and effectiveness of UCU’s internal controls

OPERATIONS AND OTHER MATTERS

The Audit Committee met at least monthly throughout the year and:

Reviewed and recommended for approval the year-end audited financial statements, the external auditor’s management letter and management’s responseReviewed the scope and plan of the audit, including the audit feesReviewed the monthly financial statements and ratios quarterlyReviewed changes to policies and proceduresReviewed the governance process with respect to ever-changing regulations in this area by government and regulatory authoritiesMonitored material legal proceedings to which UCU is a partyMonitored Staffing, Insurance/Bonding, and material Risk Management activitiesMonitored anti-money laundering, suspicious and fraudulent activities and its reporting to FINTRACReviewed the FINTRAC Audit Report and Management’s responsesReviewed the report from the Privacy OfficerReviewed the report with the results of conducting a full disaster recovery test, including all branches and all third partiesReviewed the Enterprise Risk Management (ERM) criteria quarterlyReviewed the report of the conversion of United Ukrainian Credit Union’s banking system to Ukrainian Credit Union’s banking system

INTERNAL AUDIT MATTERS

For 2013, UCU contracted the services of an internal auditor to assist with fulfilling the mandate of the Internal Audit Plan. The internal auditor performed the following:

Reviewed commercial, residential and consumer credit files Reviewed internal controls to ensure compliance with all regulatory requirements. Included were reviews of UCU’s branches, treasury, teller function, systems function, and the credit function

As a result of its work in 2013, the Audit Committee is of the opinion that there are no extraordinary matters related to the finances and operations of UCU which requires special attention or disclosure.

The Audit Committee would like to thank the management, staff and the Board of UCU for their cooperation and contributions during the year.

Контрольна комісія Української Кредитової Спілки ("УКС") у своїх діях керується Законом про Кредитові Спілки 1994 р. (“Закон”), Положення, які пов’язані з цим Законом, і статутом УКС.

Контрольна комісія є підзвітною Раді Директорів та наглядає за:

Вірністю фінансової звітності та пов’язаних з нею документів УКС;Відповідністю дій УКС правовим та нормативним вимогам;Незалежністю, кваліфікацією та призначенням зовнішніх аудиторів;Діями внутрішніх і зовнішніх аудиторів;Управлінням ризиками діяльності УКС відповідно до принципів DICO; Внутрішньою звітністю керівництва УКС, а також вірністю та ефективністю внутрішнього контролю УКС

ФІНАНСОВІ ОПЕРАЦІЇ ТА ІНШІ ПИТАННЯ

Контрольна комісія засідала щонайменше раз на місяць протягом року та:

Перевіряла і затвердила річну аудовану фінансову звітність, лист зовнішнього аудитора та відповідь правління УКС;Перевіряла обсяг і план аудиту, включно за аудиторськими зборами;Перевіряла квартально щомісячну фінансову звітність та коефіцієнти;Розглядала зміни в політиці та процедурах;Розглядала відповідність процесу управління УКС державним та іншим регулюючим документам, які постійно змінюються;Наглядала за матеріальним судочинством, у якому брала участь УКС;Наглядала за уштабуванням, страхуванням/бондингом, та речовими процесами управління ризиками;Наглядала за звітністю до FINTRAC стосовно боротьби з відмиванням грошей та підозрілими і шахрайськими операціями;Перевіряла аудиторську звітність FINTRAC та відповіді правління;Перевіряла звіт Директора від конфіденційності;Перевіряла звіт з результатами проведення повної випроби аварійного відновлення, в тому числі всіх відділів і всіх третіх осібПеревіряла квартально критерії процесів управління ризиками;Перевіряла звітність про конверсію банківської системи Об є̀днаної Української Кредитової Спілки на банківську систему Української Кредитової Спілки Лимитед

ПИТАННЯ ВНУТРІШНЬОГО АУДИТУ

На 2013 рік, УКС законтрактувала послуги внутрішнього аудитора для надання допомоги у виконанні мандату Плану внутрішнього аудиту. Внутрішній аудитор відповідає за наступне:

Перевірку комерційних, житлових і споживчих кредитних справ;Перевірку внутрішнього контролю для забезпечення дотримання всіх нормативних вимог. Були включені огляди відділів УКС та скарбничих, касирських, технічних і кредитних функцій

У результаті своєї діяльності у 2013 р., Контрольна комісія прийшла до висновку, що немає надзвичайних питань, які відносяться до фінансів та операцій УКС, і які вимагали б спеціальної уваги чи публічного розкриття.

Контрольна комісія хотіла б подякувати правлінню, працівникам і Раді Директорів УКС за їх співпрацю і внесок напротязі року.

Notes to the Summary Financial Statements December 31, 2013 1) Basis of presentation Management is responsible for the preparation of the summary financial statements. The summary financial statements presented include the summary statement of financial position and the summary statements of comprehensive income, changes in members’ equity and cash flows. The summary financial statements do not include any other schedules, the summary of significant accounting policies or notes to the financial statements. The summary statement of financial position and summary statements of comprehensive income, changes in members’ equity and cash flows are presented in the same detail as the audited financial statements except the note referencing has been removed.

In addition, a copy of the full financial statement is available to any member, upon request, at any branch of the credit union.
