Selection and Rem oval of Officers:
A ll officers shall serve indefinite terms. As a
general rule, the Board of Directors shall review its officers once a year for the purpose of
considering
whether to keep or replace them (but this review, however, is
no t
mandatory). An

until his or her successor has been selected.

Article I
Purpose
The purpose of the Conflict of Interest Policy is to protect the interests of Building International
Bridges,
Inc. (the Co rporation ) when it is contemplating entering into a transaction or
arrangement that might benefit
the
private interest
of an
officer
or
director
of the Corporation or
might
result in a possible excess benefit transaction. This policy is intended to supplement but
no t
replace any applicable state and federal laws governing

of interest applicable to
nonprofit and charitable organizations.

Procedures for A ddressing the Conflict of Interest:
a.
A n
Interested Person may make a presentation at the governing board or
committee
meeting,
but after the presentation, he or she
shall leave
the
meeting during
the discussion
of, and the
vote
on, the
transaction
or
arrangement involving
th e
possible
conflict of interest.
b.
The chairperson of the gov erning board or com m ittee
shall,
if appropriate, appoint
a disinterested person
or
committee
to
investigate alternatives
to the
proposed transaction
or arrangement.
c.
After
exercising
due
diligence,
th e
governing board
or committee
shall determine
whether the Corporation can obtain with reasonable
efforts
a more advantageous
transaction o r arrangement from a person or entity that wo uld not give rise to a conflict of
interest.
d. If a more advantageous transaction or arrangement is not reasonably possible
under circumstances not producing a conflict of interest, the governing board or
committee shall determine by a majority vote of the disinterested directors whether the
transaction or arrangement is in the Corporation's best interest, for its own benefit, an d
whether it is
fair
and reasonable. In conformity wi th
the
above determination, it shall
make its decision as to w hether to enter into the transaction or arrangem ent.

Violations
of the
Conflict
of Interest
Policy
a. If the gov erning board or com m ittee has reasonable cause to believ e an Interested
Person has failed to
disclose actual
or
possible conflicts
of
interest,
it
shall
inform the
Interested Person
of the
basis
for
such belief
and afford the
Interested Person
an
opportunity to explain the alleged failure to
disclose.
b.
If, after
hearing
the
response
of the
Interested Person
and
after making
further
investigation as warranted by the circumstances, the governing board or committee
determines the Interested Person has failed to disclose an actual or possible conflict of
interest, it shall take appropriate disciplinary and corrective action,

Building International Bridges, Inc. (the Corporation ) w as formed to further cross-
cultural
comm unication, w ithin the United States and internationally. The obstacles to
intercultural communications are lack of equipment, lack of education about other cultures and
lack of information. The Corpo ration seeks to remo ve those obstacles by providing equipm ent,
training an d
information
to the
v arious organizations
to
w hich
it
provides funds.
A key ob jective of the C orporation is to bring people together via the Internet. The
founders of the C orporation are inspired in part by the international relations w ork of D r. Brooks
Emeny, author of
Great Powers in
World
Politics
(1935).
By building international bridges, as
D r. E meny did in the 1950s as a participant in people-to-people initiatives, people of this century
ca n
connect and overcome obstacles caused by cross-cultural miscom munication.
O ne of the
Corporation's goals
is to
bring
th e
Internet
to
homes that have
no
computers
or
internet connection.
By
doing
so, the
Corporation aims
to
connect
people in
different cultures
(either internationally or within a country), thereby overcoming barriers of language, cost,
distance
an d
technology.
In so
doing,
the
Corporation will provide
the
technology
an d
expertise
to fill the
gaps that other organizations
do not offer.
These activities support
the Corporation's
goal to
further international links
an d
building international bridges
fo r
learning, research,
an d
cultural respect
an d
exchange.
A s
stated elsewhere within this application, the Corporation
wil l
be making donations
only to
international
not for
profit companies
or
U.S. 501(c)(3) organizations
that support
furthering cross-cultural communications. These areas presently include (1) greater Fort
Lauderdale,
Florida
and (2)
West Sussex, England. Over time, additional international
an d
U.S.
areas w ill be added.
Funds
generally will not be earmarked except for general operating purposes, unless a
special fundraising
or
matching program
is
involved.
A t this time, no specific dates have been determined, although contributions will be made
on
a q uarterly basis (at the end of each quarter).
The
bulk
of
Corporation's time will
be
spent determining, making,
an d
following
up on
beq uests. Periodic site reviews
wi l l
also occur. O utside of bookkeeping, these items will
consume all of the
C orporation's time.
Th e Corporation will be funded mostly from mailing an d telephone appeals fo r
donations. Additionally,
a
small amount
of
funds could
be
derived
by
offering workshops
that
educate
organizations about removing
th e
obstacles
to
intercultural communications.
In
particular,
these workshops will provide training
to
overcome
difficulties
that arise
in
diverse
com munities and thereby promote intercultural com m unication.
