Amidst the many negative sentiments, it is important to ensure that our attitudes remain positive and our perspectives right. This reminds me of the famous Bata shoe story, which I will simplify here for easy reading.

Two shoe salesmen were sent to Africa to see if there was a market for their product.

One salesman came back and reported, “Nobody wears shoes in Africa. There is no market for our product.” The other salesman came back and reported, “Nobody wears shoes in Africa. There is a HUGE market for our product!”

I’m sure we all know how this story ended.

In this issue, we have also updated readers with some of our activities since the April 2014 issue, notably the Firm’s expansion into Sabah and Johor Bahru. We would also like to draw your attention to page 26 of this issue where we have highlighted impending major changes to the Form and Content of the Independent Auditors’ Report, which will soon affect all companies.

At Baker Tilly, we are committed to continually provide high quality service to our clients. But this doesn’t mean that we do not know how to let our hair down once awhile. Do read about staff events on page 12, 13, 32 and 34 of the issue.

DHC Becomes Member of Baker Tilly International,Creating a Major Presence in India

Baker Tilly International has strengthened its presence in India by adding Desai Haribhakti Consultants (DHC) to its network.

Based in Mumbai, DHC is a multi-disciplinary firm with a wide geographic presence in a further ten locations, covering all the key cities in India. Under the leadership of Shailesh Haribhakti and Dilip Desai, the firm has 80 partners and directors and a further 1,300 professionals that provide accounting and assurance, taxation, risk advisory and corporate finance advisory services.

Baker Tilly Virchow Krause and ParenteBeard to MergeWe are pleased to announce that our affiliates Baker Tilly Virchow Krause, LLP (Baker Tilly) and ParenteBeard LLC have announced their merger and the combined firm will trade as Baker Tilly with the formal name of Baker Tilly Virchow Krause, LLP.

The combined firm will employ more than 2,500 professionals across 29 cities in the US, with total annual revenue of US$475 million – making Baker Tilly one of the 12 largest professional services firms in the US.

Commenting on the merger, Geoff Barnes, chief executive officer and president of Baker Tilly International said: “This is just one of a number of bold decisions our member firms and the network are making to ensure we are continuing to build on the strong foundations we already have in place. Our network is in great shape and I’m excited about the results our member firms are producing and the way our network is moving forward.”

“As independent members of Baker Tilly International, our two firms have worked collaboratively and successfully for many years and on many fronts,” said Baker Tilly chairman and chief executive officer Timothy L. Baker Tilly International Reports 5% Increase in Global Revenues

Baker Tilly International has reported annual revenues of US$3.6bn for the financial year ending 30 June 2014, a year-on-year increase of 5%. The network’s ranking has been maintained as the world’s 8th largest accounting and business advisory network.

Commenting on the results, CEO and president Geoff Barnes said, “To be recording our fourth consecutive year of revenue growth when the market remains as competitive and challenging as it does, and with the wider global recovery remaining subdued, is a result we are extremely proud of. It demonstrates our members’ focus on delivering consistent and sustainable growth. We recorded some really strong performances this past year in developing markets, including in Argentina, Colombia and Panama - and I see developing markets as a percentage of our total global revenues rising significantly in the coming years.”

Step out of the box – Baker Tilly Amazing Race is on the go!

Participated by over 150 staff from the audit, tax and advisory department, this team building event sought to foster stronger relationships and to improve team communication effectiveness. Before the event officially started, staff were asked to gather in the morning for a final briefing and breakfast. They were then separated into few groups, with 5 to 6 persons in each group, to complete the mission by using public transports such as Light Rail Transit (LRT), Monorail and bus.

The entire event took about one full day and despite the heavy downpour in the afternoon, staff enjoyed the game very much. Many activities that required mental, physical and creative strength were also carried out successfully.

A big thanks to Baker Tilly Social Club for organising another fantastic event that brought all of us together and making it one of the best team building experience for us.

Baker Tilly Social Club Annual Dinner BACK TO SCHOOLOrganised by Baker Tilly Social Club, our annual dinner this year gathered over 400 staff and distinguished guests at Nexus, Bangsar South, celebrating the success we achieved in 2014. The theme, “Back to School”, was indeed fun and memorable as it brought us way back to the good old schooling days. During his opening speech YBhg Dato’ Heng Ji Keng, Executive Chairman of Baker Tilly (Malaysia) expressed his personal thanks to all staff for their hard work and contributions to the firm and wished everyone a greater year in 2015. He emphasized that in order to be succeed as a leader, it is important to have three important values in our lives - entrepreneurship, humility and family.

Apart from games and lucky draws, the highlight of the night was the special appearance by Esther Cheah (our Head of Quality Assurance

& Technical), who dressed up as a headmistress,

complete with a big pair of spectacles and wig. The staff and our guests enjoyed the night very much.

The recent 2014 Asia Pacific Collaboration Summit held in Westin Hotel Kuala Lumpur attracted more than 70 delegates from Australia, China, Hong Kong, India, Japan, Malaysia, Singapore, Thailand, UK, and Vietnam. With the objective to promote consistent and high quality standards of financial and auditing practices within the Baker Tilly network, this annual regional training had three separate sessions - audit and accounting, corporate finance and corporate governance and risk management (CGRM) conducted by various experts around the region.

This is the third consecutive year Baker Tilly Malaysia hosted the training and we are glad that it was a success. A special thank you to staff at the global and Malaysian offices who assisted with arrangements for hotel, transportation and restaurants.

GOODS AND SERVICES TAX(GST) SEMINAR

A one-day seminar was conducted at the Nexus @ Connexion at Bangsar South in conjunction with the implementation of Goods and Services Tax (GST).

Covering a wide range of topics including the issues, challenges and obligations relating to implementing a GST, the seminar attracted more than 200 participants from across industries and practices, making this an important platform for business owners, finance professionals and general public to explore further on the GST topic and to understand how it works.

The pool of distinguished speakers & facilitator at the seminar were Anand Chelliah, tax leader of Baker Tilly Malaysia, Karen Lim, tax executive director of

In conjunction with the tabling of the 2015 budget announced by YAB Dato' Sri Mohd Najib Tun Haji Abdul Razak, Malaysian Prime Minister and the Minister of Finance, Baker Tilly hosted a tax and business seminar to shed light on recent tax changes and its implications for individuals and businesses.

Anand Chelliah, Baker Tilly tax leader, started off the seminar with an overview of the 2015 Budget Pronouncements, summarising the overall tax updates and sharing on tips and advise for tax opportunities. The next speaker, Karen Lim, Baker Tilly tax executive director then proceed to present the detailed budget highlights and updates on GST (Goods and Services Tax).

“With the economy continuing on a fiscal deficit position, meaningful corporate and income tax cuts do not appear to be tenable unless the Government’s operating and development expenditure plans are to be curtailed. The introduction of GST will inevitably place additional strain on already stretched disposable incomes,” said Anand Chelliah.

The second half of the seminar brought valuable information and thought leadership on issues surrounding corporate developments by Liew Kim Yuen, Ferrier Hodgson MH director who has extensive experience in the audit, merchant banking, commercial and regulatory sectors in Malaysia. The last topic of the seminar titled ‘why private equity’ was presented by our guest speaker from KV Capital Asia, Jeremy Tan. He shared with the audiences on the role and relevance of private equity in the corporate landscape. The seminar was a great success and attracted a good turnout of 100 participants from various industries including oil & gas, property, manufacturing and trading companies.

Prior to joining us, Liew was with the Securities Commission Malaysia (SC) for 12 years. During his tenure with SC, he was tasked with the setting up of the Corporate Surveillance unit, after which he facilitated its operations and coordination with the relevant line units to provide timely and relevant information to the management for informed decision making.

Liew was also an advisor to the Malaysian Accounting Standards Board (MASB) and an observer

on the MASB Issues Committee. He was an observer on the MIA's Financial Reporting Standards Implementation Committee and had served as a Council Member of the MIA.

Tenaga has a 22.12% shareholding in Intergrax. Other large shareholders of Integrax are Golden Initiative Sdn Bhd (21.37%), a company controlled by the Non-Independent Non-Executive Deputy Chairman of Integrax, Amin bin Halim Rasip, and Tapan Merid Sdn Bhd (15.74%), a company controlled by Perak Corporation Berhad.

On 9 January 2015, Tenaga initiated a take-over offer to acquire all the shares of Integrax at an offer price of RM2.75 per share. A successful take-over offer will give Tenaga direct control over the handling of coal for its power plant.

The offer price of RM2.75 was opposed by Amin bin Halim Rasip as he believed that Integrax had a significantly higher enterprise and unlocked strategic

As Independent Adviser, FHMH worked closely with other professionals such as the principal advisers, the valuers, legal advisers, independent market researchers and other professionals to complete the task within a week. Using the Revalued Net Asset Valuation (RNAV) method, FHMH was able to ascribe a fair value of RM3.60 to RM3.62 per Integrax share.

Independent Auditor’s ReportIMPENDING DRAMATIC CHANGES TO THE FORM AND CONTENTOn 15 January 2015, the International Auditing and Assurance Standards Board (“IAASB”) issued new and revised Auditor Reporting Standards, as well as its related conforming amendments, relating to the Form and Content of the Independent Auditor’s Report. These new and revised standards are intended to enhance the communicative value of the auditor’s report, to provide greater transparency about the audit that was performed, and to increase users’ confidence in the audit performed on the financial statements.

The new and revised standards do not change the scope of the independent audits, but require auditors to provide greater insights into the audit performed by enhancing the form and disclosure content of the auditor’s report.

What are the key enhancements to the auditor’s report?Amongst the key changes to the auditor’s report is the requirement to report Key Audit Matters in accordance with new ISA 701 Communicating Key Audit Matters in the Independent Auditor’s Report, as well as enhancing the information about an entity’s ability to continue as a going concern in accordance with revised ISA 570 Going Concern.

The table below provides an overview of the key changes in the new auditor’s report:

Key Audit Matters Key Audit Matters (“KAMs”) are the subject of a new standard, ISA 701.

Currently, significant audit matters are reported to the audit committee and board members in the form of a memorandum presented at the end of the audit. However, this information is not available to other users of the financial statements. The inclusion of KAMs in the auditor’s report is therefore intended to highlight those matters that, in the auditor’s judgement, were the most significant during the performance of their audit.

It is important to note that the “Emphasis of Matter” and “Other Matter” paragraphs pursuant to ISA 706 Emphasis of Matter Paragraphs and Other Matter Paragraphs in the Independent Auditor’s Report are retained and such paragraphs cannot be used as a substitute for KAMs. The inclusion of KAMs in the enhanced auditor’s report also does not change the auditor’s underlying responsibilities in accordance with the ISA, nor does it change the responsibilities of the preparers of financial statements and those charged with governance.

As a general guide, the starting point in identifying KAMs is to look at the list of significant audit matters that were communicated to the audit committee and the board. From this list, the auditor has to determine which matters require their significant audit attention. This second list is then narrowed down further by identifying the matters which were the most significant in the audit of the financial statements of the current period. This final list will then form the KAMs.

In identifying the KAMs to be reported in the auditor’s report, the auditor must consider:

Changes applicable to all audits of all types of entities

Relocation of the auditor’s opinionThe auditor’s opinion is required to be presented first, followed by the Basis for Opinion section (including unmodified opinions), unless law or regulation prescribe otherwise.

Independence and other relevant ethical requirementsThe auditor’s report would include an explicit statement that the auditor is independent of the entity and has fulfilled the auditor’s relevant ethical requirements, with disclosure of the jurisdiction of origin of those requirements or reference to the International Ethics Standards Board for Accountants’ Code of Ethics for Professional Accountants.

Auditor’s responsibilitiesAn enhanced description of the responsibilities of the auditor and key features of an audit.

Are KAMs always communicated in the auditor’s report?

In extremely rare circumstances, the auditor is allowed not to communicate a matter determined to be a KAM when the adverse consequences of doing so would reasonably be expected to outweigh the public interest benefits of such communication. This does not apply if the entity has publicly disclosed information about the matter.

If the auditor determines that there are no KAMs to be communicated, the KAM section would specifically highlight that the auditor has determined that there are no KAMs.

Unless required by law or regulation, when the auditor disclaims an opinion on the financial statements, the auditor’s report shall not include a KAM section. However, a KAM section is required for a qualified or adverse opinion.

Ms Stephanie Chai, the founder and CEO of The Luxe Nomad, shares with us her journey in growing her business from an online start-up to becoming Asia Pacific’s leading luxury villa booking portal.

What does your work day involve?I start work around 9am. The great thing about running a start-up is that your role is always changing. We are about to launch our new site with a greater focus on villas so I just got back from a two-week stint in Europe to meet villa owners and view their properties. But if I’m not lucky enough to be on that jet plane then I’m in the office working with the team. That means catching up with the sales team as to how bookings are going, speaking to the online marketing team, and talking to the editorial team to work on ideas for our online travel mag, WanderLuxe. And then, of course, there’s monthly reporting for our investors. There is never nothing to do. I usually leave the office around 7pm or 8pm.

What do you do after work?I have a double life. When I’m visiting the KL office, I like nothing more than to stay in after work and catch an episode of Homeland, Scandal or House of Cards (sadly, those seasons are all over!). In Singapore, there’s always a lot of networking or people stopping over in the city, so drinks or dinner are more frequent. I love checking out new restaurants. My fave is Yazawa for BBQ Japanese beef that melts in your mouth. I literally take everyone who visits there for dinner, so much so that the manager, Judy, and I have become BFFs...

I generally get into bed around 11pm, but add on some WhatsApp, reading, jumping on Facebook/Instagram and (of late) a meditation session with my Headspace app… and voila, around midnight I (should) fall asleep!

CAREER INSPIRATION

What's the best lesson you've ever learned on the job? Not to follow advice blindly. Just because someone is in the role they are in, doesn’t mean that they are 100% right all of the time. Listen. Evaluate. Then decide for yourself.

What's your secret to being productive? I like to have a notebook (a little old-school) where I write down all the things I have to do in the day, and then I try my best to get everything ticked off.

What's the best career advice anyone has ever given you? Tough times don’t last but tough people do.

What advice would you give someone aspiring to launch their own start-up? Meet people who have done what you are trying to do, that is, launch a start-up, raise funds etc. It’s the fastest way to learn and to avoid mistakes that they may have made. I look at our social media strategy, which is a cumulation of what I’ve learned over this two-year period, and ironically I could summarise everything into two pages and hand someone some instant know-how!

How do you cope with setbacks? I read this great book by Eckhart Tolle years ago, A New Earth. In it there is a Buddhist story about the art of letting go. Two monks came to a river with a girl standing beside it, afraid to cross. One monk offered to carry her across. Hours later, the other monk said, "You know as monks we are not supposed to touch women?" To which the first monk replied, "I let her go hours ago, have you?"

As a friend of mine likes to say "sh*t happens" (pardon my French), and you just have to get up and move on. So whenever we have a problem, I already start thinking of the solutions. And you know what? Business is a lot like your personal life... things always turn out for the best, even when you don't think they will.

Secondment Story

What work did you undertake whilst on secondment?

I was attached to the Business Advisory and Assurance (BAA) division, and worked mainly on projects related to audit and management accounting.

Why did you choose to be seconded?

I have never travelled to Australia, and therefore did not want to miss the opportunity to , not only visit the country, but to also experience the different living and working culture there.

How did you spend your weekend or free time in Melbourne?

I spent a lot of my free time with the other secondees. During the first week of our secondment, we had already penciled in weekend trips in our calendars for the duration of our secondment. We arranged many trips to famous sights in and around Melbourne such as the Great Ocean Road and Yarra Valley. We also had the chance to watch the Australian football game, “Footie”, which is a must-do when you are in Melbourne. Other great memories include weekend trips to places like Tasmania and Sydney.

Why did you choose to do it in Melbourne?

Quite simply, it was the reputation of the city. Several of my family, friends and colleagues have visited Melbourne and told me how amazing it is - and they are right! Melbourne City itself has a lot of history, beauty and character. And don’t even get me started on the delicious food! There was so much variety that I could hardly sample all in the three months I was there. On top of that, Melbourne has also earned a reputation as the coffee snob capital of the world with lovely coffee places everywhere in the city, which was great for a coffee-lover like me.

How have you found the Baker Tilly Pitcher Partners team?

They are very friendly. Even though it's the busy period for the Firm, everyone made time to come and introduce themselves. In addition, when I faced difficulties in work, all my teammates would spend time guiding me. I met a lot of interesting people from the Baker Tilly International Network and made many good friends.

What did you like most about working at Baker Tilly Pitcher Partners?

What I liked most was the people. Everyone was very friendly and excited for me to experience Australia, including the clients. They wanted me to make the best of my time there and always had good suggestions on places to go and things to exprience. My managers were really encouraging and helpful and I was given a diverse group of clients to work on.

What did you learn during the international exchange program?

I definitely learned more about IFRS, the nature of the accounting profession and had the opportunity to improve my English skills. I also learnt a lot from the different working methods of Baker Tilly Pitcher Partners. I think gaining a different perspective is always beneficial. By discussing the technical differences between how we do things in Malaysia vs Australia, I became more analytical about the differences in laws and standards driving our different methodologies. The secondment also allowed me to gain additional work experience in a new job, without having to actually permanently switch jobs.
