READ THIS INFORMATION CAREFULLY TO UNDERSTAND HOW BIZAGI LICENSES WORK.

Bizagi Process Modeler is used to diagram and document processes; it is a Freeware and will

remain so. This means you can download the software and use it for free with no time

restrictions, for personal or business purposes. You don´t need any licenses to diagram and

document your processes. For more information, please read the Freeware bizagi Process

Modeler License Agreement.

Bizagi BPM Suite is used to execute/automate processes and licensing is based on named

users. To use bizagi BPM Suite (Xpress, Enterprise .NET and Enterprise JEE) in a production

environment, you need a separate CAL (Client Access License) for each individual person

("User") that accesses or uses the Server Software. A CAL is not a software product; rather it

is a license that gives a User the right to participate in a running process and to access or use

the services of the bizagi BPM Server. The server itself does not require any license; licenses

are required only for Users in a production environment.

Acquiring CALs brings several benefits: 1 year maintenance (included in the license price) and

the right to install and use free of charge the bizagi BPM Suite on a development and testing

environment for a maximum of ten (10) Users in the case of the Xpress Edition, and for a

maximum of twenty (20) Users in the case of the Enterprise .NET and Enterprise JEE Editions.

These environments can be used only for the purpose of developing and testing, and under

no circumstances can be used in production to handle real requirements and transactions.

You may also download an evaluation copy of bizagi BPM Suite which cannot be used for

any purpose other than demonstration or evaluation. The evaluation copy can be used free

of charge and supports a maximum of 10 Users in the case of the Xpress Edition, and a

maximum of twenty (20) Users in the case of the Enterprise .NET and Enterprise JEE Editions.

The evaluation period is not limited in time and you have the option to convert your

evaluation rights to perpetual or subscription rights by purchasing licenses and activating

them.

Licenses are available in two modalities and you may choose the license term that is more

convenient to you: Perpetual (One-off payment and you have the right to use bizagi forever)

or Subscription (you have the right to use bizagi for 1 year).

A perpetual license gives you the right to use bizagi for an unlimited period of time. Price

includes the first year of maintenance (software upgrades + technical support). License is

perpetual; at the end of the first year you have the option to renew maintenance for an

additional year.

A subscription is a license that gives you the right to use bizagi for one year only (includes

software upgrades + technical support). A subscription needs to be renewed every year, if

you decide not to renew you have to stop using the software.

After purchasing a perpetual license or subscription for the first time you will receive an

email with a License Key, which is used to license Users in the production environment. In

order to activate the key you need to enter it in bizagi Studio through the License

Administration option. When a license key is activated in a production server (or computer)

you have created what we call an installation.

When acquiring bizagi perpetual licenses or subscription you are entitled to receive 1 year of

maintenance. After the purchase is confirmed you will receive an email with details of an

online account to access bizagi portal. In the Support section of bizagi portal you can open

support tickets to report bugs or problems, submit suggestions for product enhancement or

make simple consultations regarding product functionality. In the Purchases section of bizagi

portal you are able to view and manage license information, such as, number of users per

installation, unused keys and expiry dates.

The annual maintenance also includes access to product updates, service packs and

unlimited standard product support with no Service Level Agreement (SLAs). Be aware that

Bizagi offers 2 support levels: the Standard Support Service included with your licenses (with

no SLAs) and the Premium Support Service (with SLAs) which you may purchase separately

according to your requirements.

Maintenance (for perpetual licenses) and subscriptions, for any given installation, will expire

after one year from the licenses´ date of purchase. You will receive email reminders a month

before your maintenance/subscription expire date for you to decide whether to renew your

maintenance/subscription or not. You will have 30 days before your

maintenance/subscription end date to renew your period.

Maintenance renewal provides an additional 12 months of bizagi updates and support. In

case you do not renew your maintenance, you will lose all the rights to access product

updates and technical support. Since you have a perpetual license you can keep using the

product, but only in the version of the product current at the time your maintenance expired.

Subscription renewal provides an additional 12 months of bizagi usage, including updates

and support. In case you decide not to renew you have to stop using the software and will

lose all the rights to access product updates and technical support.

When you renew your maintenance/subscription the new period starts from the current

expiration date, not from the purchase date.

Maintenance or subscription renewals do not generate keys. However, you do need to

update the information of the new expiry date in the production environment. Just click on

the "Update License” button in the License Administration option. This action directly

communicates with bizagi.com and updates the necessary information to reflect the renewal

purchase.

When buying additional User licenses you first need to decide whether they are needed for

an existing installation or for a new one. Remember that when a license key is activated in a

production server (or computer) you have created what we call an installation.

You may buy additional Users (CALs) for an existing installation at any time. However, if

additional Users are purchased during the year, a pro-rata calculation for the corresponding

maintenance/subscription period will be performed so that you only pay for the time left

until the expiration date. This means there will only be one renewal date per installation and

it will be possible to renew the maintenance/subscription for the total amount of Users in an

installation at once, making its administration easier. The pro-rata calculation only applies to

the Corporate Editions (Enterprise .NET and Enterprise JEE) with a minimum charge of three

months. When buying additional Users for the Xpress Edition you will be charged with the

full year´s price.

When buying additional Users for an existing installation you must buy the same type of

CALs you acquired in the first place, Perpetual or Subscription. This is because license keys

are specific for each type of license and won´t work in a different one. Usually this rule also

applies to the edition of the product (Xpress, Enterprise .NET or Enterprise JEE), however,

there are special cases where you may need to move from the Xpress edition to one of the

Enterprise editions. For more information please refer to the Upgrades section of this

document (section 2.6).

Buying additional Users for an existing installation does not generate keys. However,

you do need to update the information of the purchase in the production environment. Just

follow the simple procedure to activate your additional Users.

You could also buy Users for a new installation. This is, if you need to buy licenses for a

different production server from the one that you used to install your first license key. This

case would be handled as a first-time purchase and you will receive a new license key for

your second production server.

Be aware that the process to buy additional Users for existing installations is different to that

of buying Users for new installations. For instructions, read how to buy bizagi licenses.

Bizagi offers a special license to upgrade from Xpress to Enterprise Edition (either .NET or

JEE). Upgrades are needed when you have reached the 100 User limit or when you need to

use some of the functionalities only available in the Enterprise editions.

When upgrading you only need to pay the license price difference (we take into account the

full amount you paid for the Xpress Edition). In case you need more User licenses you have

to purchase an upgrade for your existing Xpress licenses, and full Enterprise licenses for the

additional number of Users. For example, if you need to license a total of 120 Users, but you

already have 90 Xpress licenses, you need to buy 90 upgrades and 30 full Enterprise User

licenses.

Be aware that you could also have started your project with a small number of Enterprise

Edition licenses and then grow in Users as your business requires it.

The use of software or hardware that reduces the number of Users directly accessing or

utilizing the Server Software (sometimes “multiplexing” or “pooling” software or hardware)

does not reduce the number of CALs required; the required number of CALs would equal the

number of distinct inputs to the multiplexing or pooling software or hardware “front end”.

Bizagi offers special licenses for external Users who are not company employees. For

employees who are identified as bizagi Users, the only option are the full licenses explained

above.

Initiators are those external Users who initiate a case and also participate in some of the case

subsequent activities (eg. enter additional info, adjust/update existing information or

documents); these Users need to be registered as bizagi Users.

There is a special license called Initiator that allows Users to participate in any activity but

only for the instance of the process they started. The price of the Initiator licenses is defined

by User volumes, not by individual Users. The price volumes are: up to 1,000 Users, up to

10,000 Users, up to 100,000 Users and unlimited. The Xpress edition is limited to a maximum

of 1,000 initiator Users.

Anonymous are those external Users who only initiate a case (fill in a form) and are not

registered as bizagi Users. There is no need to purchase any license for this type of Users.

In this scenario you must develop the entry form on the customer´s website, and upon

submission, start a bizagi process via a web service provided by bizagi.

To use bizagi Software identified as “Academic Software” you must be a not-for-profit

school, college, university, or institution of higher education. You can install and use the

bizagi Software free of charge for a maximum of 10 Users in each installation. Users must be

authorized students, faculty or staff members. You can use the Software for non-commercial,

educational purposes only, including conducting academic research or providing educational

services.

In order to obtain a bizagi Academic License, a person authorized by your institution must

legally bind your establishment to the corresponding terms and conditions and fill in the

application form.
