    The tender is invited through e-tendering process, hence physical copy of the tender document would not be available for sale.

    Tenderer is required to submit their offer in sealed covers giving reference to the Limited Tender Enquiry and date also super-scribing on the respective envelops the name of the tenderer, and name of the work for which he is submitting their tender.

    The validity of the offer will be for 180 days from the date of submission of the offer.

    Officers sponsored should produce the copy of the empanelment letter issued by DGR and retired officer's identity card to the Company to authenticate.

    In case all the agencies sponsored to an employer quote the same rates in their tender, then the employer should award the contract to the senior most agencies or all. However the principal employer may refer this case to the DGR for advice if required.

    The General Manager Telecom District, BSNL Himatnagar reserves the right to accept or reject one, more than one or all the tenders in part or wholly without assigning any reason.     Tender Information 1. Type of tender- :

    Single stage bidding, two stage opening using two- Electronic Envelope System.

    Note 1. The bids will be evaluated techno-commercially first and thereafter financial bids of techno-commercially compliant bidders only shall be opened.

    2. Bid Validity Period / Validity of bid Offer: 180 days from the tender opening date. 3. The tender invited under two Electronic Envelope System, the first envelope will be named as techno-commercial & will contain documents of bidder’s satisfying the eligibility / Technical & commercial Conditions and 2nd envelope will be named as financial envelope containing financial quote. These envelopes shall contain one set of the following documents: The following documents should be submitted online:

    a) Techno-commercial envelope shall contain:-

    i) Cost of the tender documents i.e. tender fee. ii) Document(s) showing fulfillment of the eligibility criteria(s) stated in NIT

    General

    The Special Instructions (for e-Tendering) supplement ‘Instruction to Bidders’, as enclosed in this Section of the tender document. Submission of Bids only through online process is mandatory for this Tender.

    E-Tendering is a new methodology for conducting Public Procurement in a transparent and secured manner.

    Suppliers/ Vendors will be the biggest beneficiaries of this new system of procurement. For conducting electronic tendering, BSNL, GUJARAT has decided to use the portal from https://eprocurement.synise.com/bsnl1/gujarat/Benefits to Suppliers are outlined on the Home-page of the portal.

    1. Tender Bidding Methodology:

    Sealed Bid System - ‘Single Stage - Two Envelopes’, followed by ‘e-Reverse Auction’ if applicable after opening of Financial-part (Financial &Technical bid shall be submitted by the bidder at the same time).

    For integrity of data and its authenticity/ non-repudiation of electronic records, and be compliant with IT Act 2000, it is necessary for each user to have a Digital Certificate (DC) also referred to as Digital Signature Certificate (DSC), of Class 2 or above, issued by a Certifying Authority (CA) licensed by Controller of Certifying Authorities (CCA) [refer

    4. Registration

Registration of each organization is to be done by one of its senior persons who will be the main person coordinating for the e-tendering activities. In E-procurement terminology, this person will be referred to as the Super User (SU) of that organization.     7. Special Note on Security of Bids

    Security related functionality has been rigorously implemented in e-procurement portal of Gujarat Circle in a multidimensional manner. Starting with 'Acceptance of Registration by the Service Provider', provision for security has been made at various stages in Electronic Tender's software. Specifically for Bid Submission, some security related aspects are outlined below:

    As part of the Electronic Encrypter™ functionality, the contents of both the ‘Electronic Forms’ and the ‘Main-Bid’ are securely encrypted using a Pass-Phrase created by the Bidder himself. Unlike a ‘password’, a Pass-Phrase can be a multi-word sentence with spaces between words (e.g. I love this World). A Pass-Phrase is easier to remember, and more difficult to break. It is recommended that a separate Pass-Phrase be created for each Bid-Part. This method of bid-encryption does not have the security and data-integrity related vulnerabilities which are inherent in e-tendering

    systems which use Public-Key of the specified officer of a Buyer organization for bid-encryption. Bid-encryption in e-procurement portal of Gujarat Circle is such that the Bids cannot be decrypted before the Public Online Tender Opening Event (TOE), even if there is connivance between the concerned tender-opening officers of the Buyer organization and the personnel of e-tendering service provider.

    Typically, ‘Pass-Phrase’ of the Bid-Part to be opened during a particular Public Online Tender Opening Event (TOE) is furnished online by each bidder during the TOE itself, when demanded by the concerned Tender Opening Officer.

    There is an additional protection with SSL Encryption during transit from the client end computer of a Supplier

    organization to the e-tendering server/ portal.

    8. Public Online Tender Opening Event (TOE)

    e-procurement portal of Gujarat Circle offers a unique facility for ‘Public Online Tender Opening Event (TOE)’. Tender Opening Officers as well as authorized representatives of bidders can attend the Public Online Tender Opening Event

    (TOE) from the comfort of their offices. For this purpose, representatives of bidders (i.e. Supplier organization) duly authorized are requested to carry a Laptop and Wireless Connectivity to Internet.

    Every legal requirement for a transparent and secure ‘Public Online Tender Opening Event (TOE)’ has been implemented on

    e-procurement portal of Gujarat Circle

    As soon as a Bid is decrypted with the corresponding ‘Pass-Phrase’ as submitted online by the bidder himself (during

    the TOE itself), salient points of the Bids are simultaneously made available for downloading by all participating

    bidders. The tedium of taking notes during a manual ‘Tender Opening Event’ is therefore replaced with this superior and

    convenient form of ‘Public Online Tender Opening Event (TOE)’.

    e-procurement portal of Gujarat Circle has a unique facility of ‘Online Comparison Chart’ which is dynamically updated as each online bid is opened. The format of the chart is based on inputs provided by the Buyer for each Tender. The information in the Comparison Chart is based on the data submitted by the Bidders. A detailed Technical and/ or Financial Comparison Chart enhances Transparency. Detailed instructions are given on relevant screens.

    e-procurement portal of Gujarat Circle has a unique facility of a detailed report titled ‘Minutes of Online Tender Opening Event (TOE)’ covering all important activities of ‘Online Tender Opening Event (TOE)’. This is available to all participating bidders for ‘Viewing/ Downloading’.

    There are many more facilities and features on e-procurement portal of Gujarat Circle. For a particular tender, the screens viewed by a Supplier will depend upon the options selected by the concerned Buyer.

    NOTE: In case of internet related problem at a bidder’s end, especially during ‘critical events’ such as – a short period

    before bid-submission deadline, during online public tender opening event, during e-auction, it is the bidder’s

    responsibility to have backup internet connections. In case there is a problem at the e-procurement/ e-auction service-

    provider’s end (in the server, leased line, etc) due to which all the bidders face a problem during critical events, and this is

    brought to the notice of BSNL by the bidders in time, then BSNL will promptly re-schedule the affected event(s).

    The help information provided through ‘e-procurement portal of Gujarat Circle User-Guidance Center’ is available in three categories - Users intending to Register / First-Time Users, Logged-in users of Buyer organizations, and Logged-in users of Supplier organizations. Various links are provided under each of the three categories.

    Important Note: It is strongly recommended that all authorized users of Supplier organizations should thoroughly peruse the information provided under the relevant links, and take appropriate action. This will prevent hiccups, and minimize teething problems the use of e-procurement portal of Gujarat Circle

    The following ‘FOUR KEY INSTRUCTIONS for BIDDERS’ must be assiduously adhered to:

    1. Obtain individual Digital Signing Certificate (DSC or DC) well in advance of your first tender submission deadline on e-

    procurement portal of Gujarat Circle 2. Register your organization on e-procurement portal of Gujarat Circle well in advance of your first tender submission deadline on e-procurement portal of Gujarat Circle

    3. Get your organization’s concerned executives trained on e-procurement portal of Gujarat Circle well in advance of your

    4. Submit your bids well in advance of tender submission deadline on e-procurement portal of Gujarat Circle (There could be last minute problems due to internet timeout, breakdown, et al) While the first three instructions mentioned above are especially relevant to first-time users of e-procurement portal of Gujarat Circle, the fourth instruction is relevant at all times.

    Scope of Work, Terms & Conditions for DGR Sponsored Security Agencies Definitions

    i) The word "Company" means BSNL, the Bharat Sanchar Nigam Limited presented at the

    Headquarters of the Company by the Chairman-cum-Managing Director or his authorized representative or any other officer specially deputed for the purpose.

    ii) The word "Agency" denotes the Security Agency sponsored by the Directorate General of Resettlement for the purpose of extending security cover.

    iii) The word "Agency" / "Agencies" wherever occurs means the successful agency / agencies who

    has / have deposited the necessary security deposit in the form of Bank Guarantee/ DD/FDR and has / have been given written intimation about the acceptance of offer and shall include legal representative of such individual or persons composing a firm or a company or the successors and permitted assignees of such individual, firm or company, as the case may be.

    i v) Officer-In-charge of the unit or authorized representative of GMTD, BSNL, Himatnagar SSA Office who is an appropriate authority responsible for supervising and administering contract, certifying payment due to the Agency, valuing variations to the contract, awarding extension of time and valuing compensation events. Officer-In-charge of the unit may further appoint his representatives i.e. another person / HOD of administration or any other competent person and notify to the Agency who will be directly responsible for supervising the work being executed at the site on his behalf under Delegation of Powers of the Company. However, overall responsibility, as far as the contract is concerned, will be that of Officer- In-charge of the unit / Area.

    v) 'Written Notice' shall mean a notice or communication in writing and shall be deemed to have been duly served if delivered in person to the individual or to a member of the firm or to an office of the Agency / Company for whom it is intended, or if delivered at or sent by registered mail to the last business address known to him who gives the notice.

    Scope of the work

    The security personnel of the Security Agency (hereinafter called ‘Agency’only) have to

    fululfill the following responsibilities :

    (a) Exercising strict vigilance for protecting the property and assets from demage, loss

    destruction & theft.

    (b) Ensuring proper flow of bonafide visitors and preventing unauthorized entry in the premises.

    (c) Patrolling of the scheduled specified area.

    (d) Protection of Company’s property, material and manpower,

    (e) Guarding of the Area for prevention of pilferage, theft, loot etc. and exercise of force

    to prevent such cases.

    (f) Maintaining the law and order situation with assistance of Police authorities as and when

    needed.

    (g) Maintaining liaison with State Administration, local police authorities and other agencies.

    (h) Lodging of FIRs.

    (i) Daily report to the Officer-In- charge of the Unit or his authorized representative.

    (j) Protecting Company’s employees, workers and officers from physical assaults.

    (k) Deal with situations arising from strikes, go-slow, dharnas, processions, accidents, etc.

    (l) Checking of entry of anti-social elements in Company’s premises.

    (m) Instilling a sense of security among the employees of the Company.

    Terms and Conditions 1.0 General Conditions:- A. Each of the security personnel of the security agency ( the contractor ) must be fully

    equipped with arms / accessories. All security personnel should be dressed in proper uniform including winter and rainy season kitting, lathi whistle etc.

    (a). Every Security personnel deployed shall be inspected / approved by Authorized representative of GMTD, Himatnagar SSA Office before posting, deployment thereof will also be decided by GMTD, BSNL Himatnagar or his authorized representative. Each security personnel must fulfill the following eligibility criteria :-

    (1) Security Guards (without Arms/with Arms) should be provided as per DGR guidelines.

    (2) Armed Security personnel should have valid armed licence. (3) The uniform and accessories to be provided by the agency at their own cost

    will, at least contain the following: - i) Barrel ii) Body Dress iii) Socks Shoes iv) Name Plate Rank v) Badge vi) Over coat - Seasonal vii) Jersey - Seasonal viii) Rain Coat - Seasonal i x) Torch with 3 Cells x) Lathi xi) Any other if found necessary.

    (b) Each security guard with arms should possess Valid Arms Licence issued in his name and should be able to handle the weapon effectively. Gun and ammunition shall be provided by Security Agency at its own cost.

    (c) The Security Personnel to be deployed must be fully trained and conversant with security job.

    B (i) The agency will have to abide by the provisions of all statutes including labour, taxation and other law applicable to its establishment during the period of its engagement and shall be responsible and accountable for breach or violation of any of the provisions of any Act. Rules, Regulation, Notification, Circulars issued from time to time by the Govt.of India or the State Govt. The agency shall provide an undertaking to this effect prior to the commencement of the job and indemnify Company against any breach of statutes / laws etc.

    (ii) Any such claim shall be expeditiously settled by the agency without implicating the Company in any way whatsoever without affecting security services.

    (iii) The agency shall take full responsibility for obtaining labour licence from Central /State authority as per CL(R& A)Act. 1970 as the case may be and absolve the Company from liabilities there under and any implication due to delay in obtaining licence.

    The rates will be in accordance with the provisions of minimum wages promulgated by DGR.

    The security agency will ensure that its staff will not at any time divulge/make known any trust information or other matter relating to the affairs of the Company.

    The Security Agency will produce credential from Police Station regarding the security personnel proposed to be deployed in the Company.

    The agency will not deploy any security personnel who has been asked to leave or removed on disciplinary ground from the Company (BSNL) or any other PSU / Govt. Sector /Private sector / Police Force / Army/ Navy / Air force.

    The Agency will not deploy any security personnel who is known to have been involved in any criminal activities or anti national act or espionage or who has any criminal case pending against him.

    The security agency will ensure that all its personnel are physically fit and mentally alert.

    The security agency will ensure that all its personnel are properly trained to carry out their duties. All the security personnel will be employees of the agency and in no case these employees of security agency can have any claim whatsoever with the Company.

    The agency will raise monthly bills at the beginning of each month for the duties performed during the month immediately proceeding.

    The agency will ensure timely payment of wages to its personnel. The agency will maintain proper records of such payments available for inspection by Officer- In-charge of the unit or his authorized representative.

    The agency will provide additional manpower in any number within a reasonable time but not exceeding one month, if so required, on the written requisition of the Company, at the same rates and terms & conditions of contract.

    The security agency will execute the jobs undertaken by it directly and with its own resources and will not give out any part of the assignment on sub contract.

    Company reserves the right to accept or reject any contract without assigning any reason whatsoever and the decision of BSNL management in awarding the work shall be final and cannot be subject to arbitration / dispute.

    Company has the right to increase or decrease the manpower requirement of any site or to add or delete any site of deployment. In such cases the rates & terms and conditions of the contract will be applicable.

    In case the Company points out that there is certain slackness in security management in any site of the Company, the Agency will review the situation to augment security set up within a reasonable time.

    Q. In case of emergency like breaks down of law & order or natural calamity etc. the Agency will deploy on a short notice , reasonable number of additional manpower as per instruction of the Company.

    R. The Security agency shall ensure that the Security personnel that will be engaged in connection with this contract will not be having any claim on the Company whatsoever as the Company is awarding the contract to Security agency for providing security services only.

    S. No TA/ any other claims will be accepted for the duties defined in this contract. All the

    personal claims of the security personnel will be the liability of the Security Agency. Company's liability will be limited to the rate / value as per the contract / agreement.

    T. The Company shall have power to make any alterations or additions to or substitution of

    the original specifications and instructions that may appear to be necessary or advisable during the execution of the work. The agency shall be bound to carry out the work in accordance with the instructions given to him in writing by the representative of the Company. Such altered or additional or substituted work which shall form part of the original contract shall be carried out by Agency on the same rate / rates and terms and conditions as are specified in the contract / work order.

    U. The security agency has to deploy additional number of ESM as leave relief such as weekly off/

    National holidays/ other holidays.

    2 .0 Discipline :

    (a) All security personnel of the agency must carry a proper photo identity card and nameplate while on duty. (b) In case of negligence, dereliction of duty, disorderly behavior, other misconduct by security personnel of the agency, the agency will take back the security personnel concerned immediately and will send suitable replacement within 24 hours. (c) The Security Personnel deployed by the Agency in designated Area of the Company premises will perform their duty in disciplined manner. Any lapse on the part of the Security Personnel will be viewed seriously.

    3 .0 Eligibility conditions to the Security Agency :

    (a) Self attested Copy of Firm Registration (b) Self attested Copy of EPF Registration (c) Self attested Copy of ESI Registration (d) Self attested copy of Goods and Service Tax Registration (e) Copy of DGR Empanelment (f) Self attested Copy of PAN CARD (g) Self attested Copy of PSARA Licence (If not available, declaration that same will be

    submitted at the time of agreement ) (h) In case of Limited Company, a copy of the Articles of Association and Memorandum of

    Association and in case of partnership firm, a copy of registered partnership deed need to be provided.

    4 .0 Compensation Package / Penalty : (a) In the event of any kind of lapse/ failure on the part of Agency in complying with the provisions of the contract, the same shall be communicated by the unit-in Charge of the Company in writing, and the Agency has to comply / ensure fulfillment of the short comings within a stipulated time as to abide by the provisions of the contract shall be solely with the agency.

    (b) If, even after engagement of the Security agency, any disruption of normal activities of Company resulting in loss of revenue occurs or any loss of life or any loss, damage, theft of property belonging to Company takes place within the specified area, it will be construed that such mishap has taken place due to failure / negligence on part of the Agency and it shall be liable to compensate for 100% of the damage/loss/theft or loss of life.

    5.0 Arms and Ammunition :

    a) Arms and ammunition to the security personnel employed by Security agency and deployed at the company premises will be provided by the Security agency.

    b) In case any firing is done by any security guard with arms of the Security Agency they have to take legal action arising thereafter and keep Company management free from any legal obligation and indemnified in all respect. All the legal expenses / compensation etc. will be borne by the Agency.

    6 .0 Payment Terms :

    a) Paying Authority : AO(Cash) O/o GMTD Himatnagar. b) The Security agency shall raise the bill on monthly basis as agreed rate for deployment in Himatnagar SSA .The bill duly certified by the Authorized representative of GMTD Himatnagar shall be submitted to the paying authority along with following documents for payment:-

    i) Pre- receipted signed invoice in triplicate. ii) PF deposit challan of previous month & ESI / Group Insurance payment certificate. iii) A certificate indicating that wage payment as per DGR guidelines has been complied with. iv) Payments will be made after making necessary deductions/ recovery as per terms and conditions of the contract.

    c) The bills should be addressed to the authority entering into the agreement or the person authorized by him.

    d) Payment to Ex- Servicemen Security guards are to be made by Cheque/Bank/Electronic means.

    7 .0 . Communication System :

    Details of wireless equipments owned and proposed to be used for providing security services need to be provided. Mobile for proper communication amongst the Security personnel is the bare minimum requirement to be provided by the Security Agencies. Security Agencies may provide any other technologically up-dated communication devices like Mobile telephone for their own use but any price benefit for use of such devices will not be given. The communication frequencies / bands used by Company should not be used by the Security Agency.

    8 .0 Enforcement of Labour Laws / Statutory Laws :

    The Security agency shall have direct dialogue with their workmen/ union for expeditious settlement of any demand / dispute concerning wages, benefits, liabilities to be provided to the employees any or all benefits, liabilities (financial or otherwise) arising out of bipartite or tripartite settlement among union / employees, labour department or any other authority and any liabilities arising out of such settlement shall be borne by the Security agency. Company shall be kept completely indemnified against any responsibility / liability arising out of the above settlement. The Security agency will make expeditious settlement of any dispute that may arise at site in respect of wages to employees or benefits etc. The Security agency shall pay wages and provide benefits / facilities to its employees at least at par with minimum wages provided in the DGR guidelines applicable and the same should not be less than those prevalent in Himatnagar. Company shall be completely indemnified against any liability and consequences there off.

    9.0 (a) Risk involved The Security Agency will cover all the risks to the men engaged by it and also the cost of compensation payable to the member of its force.

    (b) Health care

    The Security Agency will be responsible for the health care of the Security Personnel engaged in the Company.

    1 0 .0 Right to vary or cancel the Contract :

    Company reserves the right to vary or alter the extent of scope and or technical character of the scope of the contract and the Security Agency shall be bound thereby as if the same occurred in the scope. Such change shall not vitiate the contract.

    Company at their option, without prejudice to their rights, hereunder may cancel the contract without any financial implication on Company, at any time by giving 30 days simple return notice in case the Security agency does not comply with its obligations under this contract and more specially in case any of the following circumstances occurs :

    i) Unjustified interruption of services. ii) Errors, negligence, insufficiencies in deployment, shortfall in deployment or other similar

    circumstances attributable to the Security agency. iii) In case of bribe or commission.

    iv) Non-compliance of instruction received from Officer-in-charge of the unit or his authorized representative within the stipulation of contract.

    v) Non compliance of any of the terms and conditions of this contract, failure in making compensation to Company for any loss or damage caused to the men, properties etc. of the Company, or Company has come to a conclusion that the Security agency cannot fulfill its obligation under the contract. If any of the events noted above occurs, then the Officer-in-charge of the unit or his authorized representative may inform his decision to cancel the contract wholly or in part. The Security agency shall immediately take necessary measures.

    If any deviation from the terms of contract is committed by the Security agency, Company will give fifteen days' notice to the Security agency to take necessary corrective actions. If the Security agency fails to comply with the same, the Company shall have the liberty to get the whole or part of the services done by any other Security agency. In such case, the Security agency shall be liable to compensate Company for any cost required in excess of original contract cost for getting the services done by other security agency.

    In case of cancellation which is done without any default on the part of the Agency, in that case only the Security agency may be eligible to receive the part of the contract value which is equitable to the actual services made less the amount payable by the Security agency to Company towards compensation. In no event the Security agency shall have any right to payment for any services performed subsequent to cancellation or any claim for compensation in case of cancellation.

    In case of partial termination the agency shall continue to perform the contract, to the extent not terminated by Company.

    If for any valid reason Company decides to abandon the work, Company can cancel the contract by giving 30 (thirty) days notice in writing to the Security agency. 1 1 .0 Force Majure :

    The Security Agency will not be held responsible for non-performance in the event of the following: - i) Natural phenomena or acts of God, including flood, earthquake and epidemics. ii) Political upheaval, civil commotion strikes, riots, lockouts, acts of any Govt.

    (domestic/foreign) including but not limited to war, quarantine and embargoes.

    12.0 Termination, suspension, cancellation and foreclosure of contract:

    Company shall in addition to other remedial steps to be taken as per in the provision of the contract, be entitled to cancel the contract in full or in part if the Security agency. (a) Makes default in proceeding with the work and continues to do so even after a

    notice in writing from the Company, then on the expiry of the period as specified in the notice.

    OR (b) Commits default / breach in complying with any of the terms and conditions of the contract

    and does not remedy it or fails to take effective steps for the remedy to the satisfaction of the Company, then on the expiry of the period as may be specified in the notice in writing.

    OR (c ) Offers or gives or agrees to give any person in the service of Company or to any other

    person on his behalf any gift or consideration of any kind as an inducement or reward for act / acts of favour in relation to the obtaining or execution of this or any other contract for the company. OR

    (d ) Transfers, sub-lets, assigns the entire work or any portion thereof without the prior approval in writing from Company. Company may, by giving a written notice, cancel the whole contract or portion of it in default.

    12 .1 The contract shall also stand terminated under the following circumstances:

    (a) If the Security agency being an individual in the case proprietary concern or in the case of a partnership firm any of its partners is declared insolvent under the provision of Insolvency Act for the time being in force or makes any conveyance or assignment to this effect or composition or arrangement for the benefit of its creditors amounting to proceedings for liquidation or composition under any Insolvency Act.

    (b) In the case of the Security agency being a company, its affairs are under liquidation either by a resolution passed by the agency company or by an order of Court not being voluntary liquidation proceedings for the purpose of amalgamation or re-organization or a receiver or manager is appointed by the Court on the application by the debenture holders of the agency company.

    (c) On the death of the proprietor, agency being a proprietary concern or of any of the partners in the case of Partnership concern and the company is not satisfied that the legal representative of the deceased proprietor or the other surviving partners of the partnership concern are capable of carrying out and completing the contract. The decision of the Company in this respect, which will be intimated in writing to the legal representative or to the partnership concern, shall be final and binding.

    12.2 The contract may be foreclosed on giving one month advance notice without assigning any

    reason whatsoever & shall be binding on the part of Security Agency. For such foreclosure of the contract, no compensation financial or otherwise will be payable to the Security agency.

    12.3 On cancellation of the contract or on termination of the contract, Company shall have power

    (a) To carry out work by any means at the risk and cost of the Security agency. (b) To determine the amount to be recovered from the agency for non-completion of the work or the loss / damage suffered, if any, by Company. (C) To recover the amount determined as above, if any, from any money due to the agency on any account or under any other contract and in the event of any shortfalls, the agency shall be called upon to pay the same on demand. The need for determination of the amount of recovery of any extra-cost / expenditure or any loss / damage suffered by Company shall not however be arrived in the case of termination of the contract for death / demise of the Security agency as stated in 12.1 (c) clause above.

    13. Suspension of work: Company shall have the power to suspend the work or any part thereof and

    Company may direct the agency in writing to suspend the work, for such period and in such manner as may be specified therein, on account of any default on the part of the agency or for proper execution of work for reasons other than any default on part of the Security agency or on the ground safety / security.

    13.1 The work shall through out the stipulated period of contract, be carried out with all due diligence on the part of the Security agency. In the event of termination or suspension of the Security agency on account of default on the part of the Security agency, as narrated herein before, the security deposit and other dues of this work or any other work done under the Company shall be forfeited and brought under the absolute disposal of the BSNL provided that the amount so forfeited shall not exceed 10 (ten) % of the contract value.

    1 3 .2 Additional Responsibility of the Security Agency:

    The cost on account of the "Additional Responsibilities of the Agencies" under this clause is deemed to be included in the tendered rates;

    i. Company reserves the right to let other Security agency also work in connection with the security and the Security agency shall co-operate in the work for the introduction and execution of his/their works.

    ii. The Security agency shall employ only competent and orderly personnel to do the work. Company shall have right to ask the Security agency to remove from the work site any personnel of the Security agency who in their opinion is undesirable and the Security agency will have to remove him within twenty four hours of such orders.

    iii. Precautions shall be exercised at all times by the Security agency for the protection of Company's persons and property. In case of accidents involving Security agency's personnel, the Security agency shall be entirely responsible for compliance with all the requirements imposed by the Workmen's Compensation Act or any other similar laws in force and the Security agency shall indemnify the Company against any claim on this account.

    iv. The Security agency shall familiarize themselves with and be governed by all laws and rules of India and local statutes and orders and regulations applicable to his /their work.

    v. The Security agency shall maintain all records as per the provision made in the various statutes including Contract Labour (Regulation & Abolition)Act 1970 and the Contract Labour (Regulation & Abolition) Central Rules, 1971, Minimum Wages Act 1948 , Workmen Compensation Act 1973, Employees State Insurance Act 1948 etc. and latest amendment thereof. Such records maintained by the Security agency shall be open for inspection by the Executive In charge or by the nominated representative of Company.

    vi. The Security agency shall furnish to Authorized representative of BSNL Himatnagar with reports from time to time regarding the Security agency's organization and daily report regarding the execution of work as per the contract.

    vii) The Security agency shall not pay less than minimum wages to the personnel engaged by them as per minimum Wages Act or such other legislation or award of the Minimum wages fixed by the respective State Govt. or Central Govt. as may be in force. However, Company will not be in any way responsible for the financial liability of the Security agency on any such account.

    viii) All accounts shall be maintained properly and Company shall have the right to access and inspection of the books of accounts etc. If considered necessary related to payment of workmen, Company may depute a representative for witnessing the payment to the workmen by Security agency.

    ix ) The Security agency shall in addition to any indemnity provided by the relevant clauses of the agreement or by-law, indemnify and keep indemnified Company for the following: -

    (a) Against all claims, damages or compensation under the provision of the Payment of Wages Act 1936, Minimum Wages Act 1948, Employers' Liability Act 1938, The Industrial Dispute Act, 1947, Employees State Insurance Act, 1948 or any modification thereof or any other law relating thereto and rules made there under from time to time, as may be applicable to the contract which may arise out or in consonance of the maintenance or performance of the work under the contract and also against cost, charges and expenses of any suits, action or proceedings arising out any accident or injury.

    (b) Against all losses and claims for injuries or damages to any third party or to any property belonging to third party which may arise out or in consonance of the performance of the work under the contract and against all claims / demands proceedings / damages / cost charges and expenses whatsoever in respect or in relation thereto.

    (x) Insurance: a) The Security agency shall all times, during the currency of the contract indemnify Company against all claims damages or compensation for personnel employed by the Security agency under the provision of Workmen's compensation Act and shall take Insurance Policy covering all risks, claims damages or compensation payable under the workmen's Compensation Act or under any other law in relation thereto.

    b) The Security agency shall ensure that the Insurance Policy / Policies is / are kept alive till full expiry of the contract by timely payment of Premiums and it/they shall not be cancelled without the approval of Company and a provision is made to this effect in all policies. The cost of premiums shall be borne by the Security agency and it shall be deemed to have been included in the tender rate.

    c) In the event of Security agency's failure to keep in force the insurance referred to above or any other insurance which the Security agency is required to affect under the terms of the contract, Company may affect and keep in force any such insurance and pay such premium/premiums as may be necessary for that purpose and recover the amount thus paid from any money due to the Security agency.

    (xi) On receipt of letter of Acceptance of tender / letter of intent /work order the Security agency shall forthwith register and obtain licence from the competent authority under the Contract Labour (Regulations & Abolition) Act 1970, Contract Labour (Regulations & Abolition) Central Rules 1971 and submit certified copies of the same to Company before payment of bills of the first month.

    14. Proof of ESM personnel:

    Necessary proof regarding the identity and authenticity of the Ex-servicemen personnel like attested photocopy of Photo Identity card, retirement or discharge records from the services etc are to be provided to the respective Area authority before such engagements as security personnel.

    15. Security Deposit

    The Security Agency shall deposit an amount equivalent to 10% of one month's wage bill toward security deposit in the form of Bank Guarantee / DD /FDR for due performance of the obligation on the part of the Security Agency.

    16. Contract period

    Initially contract period will be for one year and the terms and conditions of this tender shall be operative for a period of one year from the date of signing of agreement between the department and the contractor. The contract can be further extended for another one year at the same terms and condition of the tender. However company reserves the right to extend the contract period further in extreme circumstances with mutual consent of BSNL and Security Agency if required.

    AGREEMENT

    AN AGREEMENT of hiring of security services between General Manager Telecom. District

    Himatnagar on behalf of BSNL (hereinafter called as hirer) first party which administrative and

    executor.

    M/s ____________________________________ which is under the control of DGR, New

    Delhi through its Proprietor herein after allied as second party, with expression shall include

    its successors, administrative and executors. This agreement made on this day

    WHEREAS THE FIRST PARTY has desired the SECOND PARTY to undertake the full security of

    vital telecom installation under BSNL Himatnagar and the safety and security of the various

    installation and the other property belonging to the first party located under BSNL GMTD

    Himatnagar and where as the second party has agreed to provide the same. The parties do

    hereby …………………….that the following terms and conditions would resolve govern the

    matter.

    TERMS AND CONDITIONS:

    Now therefore, it is hereby agreed by and between the parties as under:

    1. That the hiring shall be valid for a period of one year with effect from ……………….. subject to renewal each year.

    2. That after shall pay every month the minimum lump sum charges based on the wages

    fixed from time to time by the DGR. Ministry of Defence, New Delhi and other liabilities as per enclosed Annexure.

    3. That this agreement is liable to terminated with one month’s notice. 4. The first party shall be free to depute the M/s …………. Staff under the agreement for

    duty any where in the BSNL, GMTD Himatnagar as per security requirement of the BSNL,

    GMTD Himatnagar. 5. In case of any theft, loss of damage caused during the discharge of such duty the M/s

    ……………. Staff under the agreement due to negligence or carelessness attributable to the personnel provided by the M/s ………….. ….. the extent if loss or damage caused shall be assessed by the BSNL, GMTD Himatnagar or nominee and the proprietor or the

    nominee of the M/s ……….. Jointly. M/s ………… shall reimburse to BSNL, GMTD Himatnagar the amount of loss jointly agreed .

    6. The BSNL, GMTD Himatnagar or any other officer nominated by him for the purpose will be the person authorized to give instructions concerning the security arrangement. 7. The M/s ……………… will provide replacement of security guards in case of weekly holiday, illness, absenteeism and leave etc. so as to ensure staff deployment at all times and days. During the absence of security guard / armed guard, 10% of daily wages of security guard/armed guard will be imposed as penalty and recovered from the bills of the contractor. 8. M/s ,……….. will be responsible for providing the security guards with sticks, torch

    light for night patrolling.

    9. The security staff provided by the M/s ……….. and not of BSNL, GMTD Himatnagar in any way directly or indirectly and the security staff provided by M/s ……………… will not have any claim on BSNL, GMTD Himatnagar under and provision of labour laws. The service of security staff be on contract basis. The contract is with the M/s…….. . the M/s ……………..will be liable for the services of security men. M/s ……… will be the employer of them all purpose. The first party will have no liability whatsoever in respect of the security personnel employed by the second party.

    10. The M/s ………….. shall submit the bill monthly in duplicate duly pre-receipted and in the form as may be prescribed by the BSNL, GMTD Himatnagar for the security services

    provided no later than one week from end of the month of accounting. 11. The BSNL, GMTD Himatnagar will make payment to M/s ……………. For the services

    provided by them only after submission of the bills duly certified by the concerned field incharge and after allotment of funds.

    12. It will be the whole and sole responsibility of the M/s ……… to comply with and discharge obligations / liabilities under various labour laws. Accordingly M/s…….. will regularly make payments or dues to the guards / supervisors by them of efficient execution of work.

    13. Any of the security guard provided by the M/s ………. Whose work or conduct, is not found satisfactory the BSNL, GMTD Himatnagar authorities shall be replaced immediately by the M/s ………… at no cost to the BSNL, GMTD Himatnagar. The BSNL, GMTD Himatnagar shall not be liable to employ any employee of the M/s …… during the terms or after the period of agreement.

    14. Security personnel provided by the M/s …………. Shall wear proper uniform and badges of the M/s ………….. and shall display the name tab of the person wearing M/s ………..

    uniform and shall be in possession of the identity card issued by the M/s 15. That they shall keep confidential land in no way disclose or caused to disclose to any

    person whosoever, the secrets entrusted to them or arising or coming to their knowledge in the course of employment and shall behave himself honestly, orderly and obediently, in all things towards, the BSNL, GMTD Himatnagar and will his whole time to the duties of the services and will not engage directly or indirectly in any trade, business or occupation on his account, that the stall not commit or suffer to be done or committed waste, damage or other loss to the property or goods to person / Agency without the consent of the GMTD Himatnagar.

    16. That the security staff shall not participate in labor and political activities or become members of labor and political organization.

    17. OBLIGATION OF THE CONTRACTORS a. Security guards should be engaged as per DGR guidelines. However efforts should be made for engaging ex-servicemen only. b. The security of assets and properties located in the above location. c. Safety and security of employees and bonafide visitors shall be ensured. d. Any person found in alcoholic condition, abusing , engaging in as

    unauthorized demonstration or any activity unbecoming of a government servant shall be checked.

    e. Any person of doubtful character or declared non-bonafide by the authorities shall not be allowed to enter inside the campus.

    f. No undesirable and antisocial activities shall be allowed within the campus and adjoining the campus upto the public road around the campus.

    g. No unauthorized activity in the campus or in the areas adjoining campus up to the public road shall be allowed. h. All help shall be extended to any bonafide inmates of the campus who are

    need of help by the security person on duty. i. The necessary records for the purpose of security shall be maintained at

    various entrance as per the procedure laid down by the authority. j. No cattle / un-authorized animal shall be allowed to enter inside the

    campus.

    18. In order to ensure security of the campus as per the clause 2 above the contractor

    will be required to deploy minimum security personnel. a. The security Unarmed guard and Armed guard will not work for more than scheduled working hours without prior intimation by the contractor and without prior approval of authority. b. The contractor shall submit a copy of the weekly duty chart of the person deployed (Tuesday to Monday) in advance to the authority in case of any change of persons the same to be intimated in advance.

    c. Contractor shall ensure that wages are timely paid to the security Unarmed Guard and Armed Guard (i) as per minimum wages Act 1948 and payment of wages act 1936 (ii) suitable leave and all statutory provisions as per Govt. of India (Regulations and Abolition) Act 1970, the payment of bonus Act

    1965, the payment of gratuity Act 1973 and EPF and Misc. Provision Act,1952 and other applicable laws are followed. Any failure in compliance of the above Acts will amount to breach of contract and for which BSNL, GMTD Himatnagar will have power to penalize the contractor with / a fine which may extend up to Rs. 5000/- or will be blacklisted.

    19. Quality of the security personnel shall be as under : a. They should have good health and physique, impressive personality be fitting to their work free from defects of sight hearing speech or physical movement etc. b. The contractor shall submit a copy of the weekly duty chart of the persons deployed (Tuesday to Monday) in advance to be authority. In case of any change of a person the same to be intimated in advance.

    c. No security personnel should perform duty under intoxicated conditions or they should not consume alcoholic inside the campus.

    d. They should have good record and character. e. The age of security guards should be as per DGR guidelines..

    20. The contractor shall provide full uniform and ancillary equipments like: raincoats, shoes, whistle belts, books, torch cells etc. conforming to the standard of disciplined armed forces in PARADE STATE a security personnel on duty smartly and neatly on police pattern and ensure and behavior with the BSNL, GMTD Himatnagar establishment and visitors to the office. They shall obtain form taking part in staff Union and Associations activities.

    a. The contractor shall provide the dress appropriate woolen to the security personnel in winter season. b. The security personnel shall not be permitted to wear any old wrappers. The

    dress shall be of uniform color and design.

    c. Contractor shall issue an identity card to all security unarmed / armed guards.

    The contractor shall bear all the expenses incurred on the following:

    (i) Stationery for writing duty chart etc. (ii) Provision of arms and ammunition to the armed guard.

    21. The following items as per the requirement by the GMTD / authority if required: a) Tables b) Chair c) Telephones

    22. Functions and duties of the security personnel (unarmed / armed guard. In order to provide security as per clause 2 above, the duties functions of various security personnel shall be as under: i. Round the clock supervision of entire store depot / equipment room office and

    other in the premises to prevent entry of unauthorized persons, pilferage of any Govt. property and mischief any Govt. property and commission and immovable in the premises.

    ii. Security of all personnel and assets movable and immovable in the premises. iii. Submission of every day event / observations to the office-in-charge. iv. Immediately initiating the fire fighting equipments subcontract city fire brigade

    in case of fire in the premises. v. To perform any other take allotted for security of office of concern unit and

    employees by the controlling authority. vi. They shall patrol the entire campus round the clock day and night the patrolling

    should be done along the boundary wall wherever possible to check unauthorized. Lodge a complaint about any fault of lights on the electric poles with authority.

    vii. Controlling authority will have full authority to issue necessary institution concerning duty discipline, decorum work, performance / safety etc. to the

    contractor for execution by its security personnel and the security personnel shall comply with all the instructions prevalent or issued from time to time. viii The contractor shall deploy security personnel satisfying the qualification

    as per DGR guidelines. Before the security personnel is deployed the necessary documents including complete postal (i) Local address (ii) permanent address and other the antecedents to prove that the personnel meets the required qualification shall be produced by the contractor before authority.

    23. The fact shall be verified by the authority and shall accept only those personnel in whose case documentary proof has been found to be satisfactory. If any of the security personnel deployed is found to be satisfactory. If any of the security personnel deployed is found to be unsatisfactory by the authority even after meeting the desired qualifications be shall have to be withdrawn with 24 hrs from the campus.

    a. At gate, a register will be maintained security unarmed / armed guard will be

    responsible to make proper entries in the register. b. In order to permit taking away of departmental stores / equipment. Standard

    gate pass shall be issued by concerned field officer. c. Two copies of the gate pass shall be prepared for use as under:

    i. First copy of the kept by issuing authority. ii. Register the next day to be submitted to SDE I/c.

    d. All the officers and staff with proper identity card should be allowed to enter. e. No department store equipment should not be allowed to go out of the gate

    without proper gate pass.

    f. Visitors coming to meet the officers for official non-official purpose shall be allowed after proper verification and entry in the register.

    g. Outsider without identity card shall not be allowed to enter. 24. The contractor agrees that:

    a. The contractor shall not transfer or sublet the contractor without the previous consent in writing of the BSNL, GMTD Himatnagar. b. The contractor shall not employ or have concern business with any one connected with the department of otherwise object to be the BSNL, GMTD Himatnagar or authorized officer.

    25. Any change in the constitution of them M/s ,,,,,,,,,,,,, shall be notified herewith in writing to the BSNL, GMTD Himatnagar and such changes shall not relieve any

    former member of the M/s ………… from any liability under the agreement. 26. The BSNL, GMTD Himatnagar is at liberty to have the work done at any place

    departmentally or though some other agency if he so desired but the m/s ………….. shall have no claim for any compensation or gain whatsoever on this account.

    27. The M/s ……………… agrees that he shall not claim any special facilities such as free accommodation telephone connections etc.

    28. ARBITRATION i. In the event of any question, dispute or difference arising under this

    agreement or in connection therewith except as to matter the decision of which is specifically provided under this agreement, the same shall be referred to sole arbitration of the Chief General Manager, Gujarat Circle or in case his designation is changed or this office is abolished then in such case to the sole arbitration of the officer for the time being entrusted whether in addition to the functions of the Chief General Manager, Gujarat Circle by whatever designation such officers may be called (hereinafter referred to as the side officer) and if the Chief General Manager, Gujarat Circle or the said officer is unable or unwilling to act as such to the sole arbitration or some other person appointed by the Chief General Manager, or the said officer. The agreement to appoint an arbitrator will be in accordance with the Arbitration and conciliation Act, 1996. There will be no objection to any such appointment that the arbitrator is Government Servant or that the has to deal with the matter to which the agreement relates or that in the course of his duties as Government Servant he has expressed views on all or any of the matter under dispute. The award of the arbitrator shall be final and binding on the parties. In the event of such arbitrator to whom the matter is originally referred, being transferred or vacating his office or being unable to act for any reasons whatsoever such Chief General Manager or the said

    officer appoint another person to act as arbitrator in accordance with terms of the agreement and the person so appointed shall be entitled to proceed from the stage at which it was left out by his predecessors.

    ii. The arbitrator may from time to time with the consent of parties enlarge the time for making and publishing the award, Subject to aforesaid Indian Arbitration and Conciliation Act 1996 and the Rules made there under, any modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause.

    iii. The venue of the arbitration proceeding shall be the office of the Chief

    General Manager, Gujarat Circle or such other places as the arbitrator may decide. The Following procedure shall be followed.

    1. In case parties are unable to reach a settlement by themselves, the dispute should be submitted or arbitration in accordance with contract agreement.

    2. There should not be a joint submission with the contractor to the sole arbitrator.

    3. Each party should submit its own claim severally and may oppose the claim put forward by the other party.

    4. The onus of establishing his claims will be left to the contractor. 5. Once a claim has been included in the submission by the contractor, a

    reiteration or modification thereof will be opposed. 6. The "Points of defence" will be based on actual conditions of the

    contract. 7. Claims in the nature of ex-gratia payment shall not be entertained by

    the Arbitrator as these are not contractual.

    8. The question whether conditions are equitable shall not receive any contractual will be prominently placed before the Arbitrator.

    9. If the contractor includes such claims in his submission, the fact that

    they are not contractual will be prominently placed before the Arbitrator.

    The award of the sole Arbitrator shall be final and binding on all the

    parties to the dispute.
