Notice is hereby given by BC Hydro and Power Authority of its intent to contract directly with Accenture Inc. to provide Strategic Management Consulting Services.

Background:On April 28th, 2010, the Province tabled its Clean Energy Act (CEA) in the B.C. Legislature. The Act sets out very specific provisions for British Columbia to become a leading supplier of clean, renewable energy. The Act also establishes a number of measures to help us meet future electricity needs while generating new jobs and reducing our greenhouse gas emissions.

Services:Working as part of a larger, BC Hydro led, project team, Accenture Inc. will assist with:-Defining strategic priorities for the newly integrated Transmission & Distribution line of business-Analyzing required business capabilities for the Transmission & Distribution line of business, and-Identifying and prioritizing initiatives required to develop the required business capabilities for the newly integrated Transmission & Distribution line of business.

Experience and Qualifications:-Recognized experience and expertise in delivering Strategic Management Consulting Services for other Transmission and Distribution utilities -Knowledge and understanding of BC Hydro's Transmission and Distribution Line of Business (LOB) and significant involvement in previous strategic exercises within this LOB-Ability to bring highly efficient frameworks and methodologies to deliver the required Strategic Management Consulting services

Contract Term:The contract term is 6 months with an end date of March 31, 2011.

The contract value is not expected to exceed $270,000.00

After careful consideration, BC Hydro has chosen not to call for proposals at this time for the following reasons:

1.Accenture Inc. will provide specific project resources who have been involved in previous strategic exercises within the BC Hydro Transmission and Distribution line of business and this knowledge and continuity, which is critical, will bring efficiency to the process.2.The identified project resources have recognized and proven experience providing the services for other Transmission and Distribution utilities. As a result this will bring highly efficient frameworks and methodologies for this type of work.3.Time is of the essence of this assignment, and4.BC Hydro is confident that the negotiated fees for this assignment will provide value to the company.

Suppliers who wish to object to this decision should submit a Statement of Qualifications and Experience to Jennifer Sonnenberg, Manager of Corporate Procurement Services by email at [email protected] on or before 11:00 A.M. PST, October 13TH, 2010

If other potential suppliers come forward before October 13TH, 2010 11:00 A.M. PST with a statement of qualifications and experience that meets or exceeds the requirements presented in this NOI, BC Hydro reserves the right, in its sole discretion, to:

1.Convene a meeting with potential suppliers to ensure an understanding of the requirements of the opportunity prior to proceeding2.Directly negotiate with one or more potential suppliers3.Publicly compete the opportunity or

4.Not proceed with the opportunity

In the event that no other potential suppliers come forward with an objection on or before the closing date and time, the contract may be awarded to Accenture Inc.
