Message from the Babson Investment Banking Association

Dear Conference Participants:

Thank you for joining us at the 3rd Annual Babson Investment Banking Conference hosted by the Babson Investment Banking Association (BIBA). We are proud to bring industry leaders, students, faculty, and alumni together for an engaging discussion on investment banking. BIBA is an undergraduate student organization whose role is to increase awareness of the different facets of investment banking in the Babson community and beyond. BIBA is delighted to welcome you to Babson College for this exciting event.

Babson College has a great tradition and storied history in the area of finance. Roger W. Babson, who made his name as an investment professional, now is remembered for the college that he founded and that bears his name. Today, more than a quarter of Babson students enter a finance-related field post-graduation. BIBA strives to help prepare these Babson students for a profession in the financial services industry and to strengthen the bond between current students and alumni. We hope you find this conference succeeds with these goals.

Today’s conference has brought together more than a dozen leading professionals from a wide-range of firms. Today’s discussions revolve around different entities and vantage points involving investment banking, including: Private Equity, Sales & Trading, Entrepreneurship through Acquisitions, and the Summer Analyst Role. Overall, we hope the conference gives attendees an overview of investment banking and the landscape that surrounds it.

Opening Remarks

Kerry Healey President, Babson College

Dr. Kerry Murphy Healey took office as Babson president on July 1, 2013.

From 2003 to 2007, Healey served as the 70th lieutenant governor of

Massachusetts and focused on enhancing economic development and

business competitiveness across the state.

In 2008, Dr. Healey was appointed by Secretary of State Rice as a founding

member of the Executive Committee of the U.S. State Department’s Public-

Private Partnership for Justice Reform in Afghanistan.

Prior to her public service, Healey was a public policy consultant to the US

Department of Justice for Abt Associates.

Healey holds an AB in government from Harvard College and a PhD in

political science and law from Trinity College, Dublin.

Morning Keynote

William A. Ackman Founder and Chief Executive Officer, Pershing Square Capital Management, L.P.

William Ackman is the CEO and Portfolio Manager of Pershing Square

Capital Management, L.P., a SEC registered investment adviser founded in

2003. Pershing Square is a concentrated research-intensive fundamental

value investor in long and occasionally short investments in the public

markets.

Prior to forming Pershing Square, Mr. Ackman co-founded Gotham

Partners Management Co., LLC, an investment adviser that managed

public and private equity hedge fund portfolios. Prior to Gotham Partners,

Mr. Ackman began his career in real estate investment banking at Ackman

Brothers & Singer, Inc. Mr. Ackman received a MBA from the Harvard

Business School and a Bachelor of Arts magna cum laude from Harvard

College.

Mr. Ackman’s board memberships include Chairman of The Howard

Hughes Corporation (NYSE: HHC), Canadian Pacific Railway Limited

(NYSE: CP), the Board of Dean’s Advisors of the Harvard Business School,

and The Pershing Square Foundation, a charitable foundation that he

founded in December 2006.

Christopher McMahon ‘83 Managing Director, Head of Global Mergers and Acquisitions, Robert W. Baird & Co.

Mr. McMahon joined Baird in May 2002. He is Head of Baird's Global

Mergers & Acquisitions activities and is a member of the firm's Investment

Banking Management Committee and M&A Fairness Opinion Committee.

With 27 years of investment banking experience, Mr. McMahon previously

served as a Managing Director in the Mergers & Acquisitions Group at

Credit Suisse First Boston (CSFB), which he joined as part of CSFB's

November 2000 acquisition of Donaldson, Lufkin & Jenrette (DLJ). At DLJ,

Mr. McMahon was a Managing Director in DLJ’s Mergers & Acquisitions

Group. Mr. McMahon received his MBA degree from the University of

Chicago and his BS degree from Babson College. Mr. McMahon is a

member of The Economic Club of Chicago and a member of the Board of

Overseers at Babson College.

Keynote Moderator

Moderator – Michael Goldstein Professor & Former Chair of Finance Department, Babson College

Michael A. Goldstein was formerly the Chair of the Finance Department at Babson College, where he is a Professor of Finance and holds the Donald P. Babson Chair of Applied Investments. He held the Joseph Winn Term Chair from 2000 - 2005, and a Senior Research Teaching Fellow from 2005 - 2009, and the Natalie Taylor Senior Term Chair for 2009 - 2010. He served as the first Faculty Director of the Stephen D. Cutler Center for Investments and Finance at Babson from 2009 - 2012. He has been designated a Babson Faculty Scholar and was Chair of the Faculty Senate from 2009 - 2010.

After receiving his Ph.D. from the Wharton School of the University of Pennsylvania, Dr. Goldstein taught at both the University of Colorado at Boulder and at Boston College prior to joining the faculty at Babson. Dr. Goldstein has taught undergraduate, MBA, Ph.D., and Executive Education courses in corporate finance, valuation, markets and instruments, and financial institution management. His research covers market microstructure, privatization of formerly communist countries, and real estate. He actively consults Fortune 100 companies and financial firms on financial strategy and international strategy. He is currently an Associate Editor of The Financial Review and on the Editorial Board of The International Review of Applied Financial Issues and Economics.

He currently serves as Chair of Financial Industry Regulatory Authority (FINRA)'s Economic Advisory Committee. Previously, he served as a member of the Nasdaq Economic Advisory Board from 2003 - 2005, and served as Chair in 2005. Prior to that, Dr. Goldstein was chosen to be the Visiting Economist at the New York Stock Exchange (NYSE) for 1997 - 1998 and was the eighth academic to hold that post.

In 1990, Michael Goldstein traveled to Poland to work with the Deputy Prime Minister on Poland's privatization program. He has also traveled extensively throughout the world, including the former U.S.S.R., the former East Germany, Yugoslavia, Greece, Israel, Japan, Venezuela, Mexico and almost all of Western Europe.

Dr. Goldstein is a member of many academic and professional societies. His biography is listed in Marquis' Who's Who in America.

Private Equity

The Private Equity panel will give an overview of a career in Private Equity. A panel comprised of professionals at different levels of the PE ladder will show different responsibilities. We will then go on to demonstrate how current economic conditions are affecting the industry.

Joshua Liebow ‘04 Managing Director, Hancock Capital Management

Joshua Liebow is a Managing Director at Hancock Capital Management

(“HCM”). HCM provides junior capital, including subordinated debt and

equity, to support the business objectives of experienced management

teams and shareholders. HCM’s sources of capital are John Hancock Life

Insurance Company and its affiliates and certain client accounts, including

its mezzanine funds.

Mr. Liebow is responsible for the sourcing, underwriting, analysis, and

review of mezzanine and equity investments, as well as private equity fund

investments. Mr. Liebow joined John Hancock in 2004 and HCM in 2007.

Prior to joining HCM, Mr. Liebow spent three years as a member of John

Hancock's Bond & Corporate Finance Group's Transportation Team. He is

currently a Director / Board Observer of several private companies.

Mr. Liebow graduated Cum Laude with a B.S. in Business Administration

from Babson College. Mr. Liebow is also a CFA charterholder.

James Snyder Partner, Hammond Kennedy Whitney

Jim Snyder is Partner at Hammond Kennedy Whitney, HKW, located in

Indianapolis, Indiana. Jim joined HKW in August 1999, after serving two

years as Vice President of Browning Investments, Inc., an Indianapolis-

based real estate development firm. In the previous seven years, Jim served

as special counsel to Indianapolis Mayor Stephen Goldsmith and directed

the financial affairs of the city from that position.

Mr. Snyder received his B.S. from Wabash College and J.D. from the

Indiana University Maurer School of Law.

Private Equity

Jessica Reed ‘03 General Partner, Alta Equity Partners

Jessica Reed is a General Partner at Alta Equity Partners, where she has

been part of the team since 2006. During this time, she has been involved

with a diverse group of companies across a range of industries including

software, data services, cellular communications, publishing, advertising

and broadcasting. Jessica was recently named one of the Top 40 Under 40

Growth Investors by GrowthCap for her work with Alta. Prior to Alta,

Jessica worked for three years in investment banking at Harris Williams &

Co. completing sell-side advisory engagements for a number of small,

privately-held middle market companies in the industrial, consumer

products, telecommunications and business services sectors.

Jessica graduated summa cum laude from Babson College where she

played softball. She spent one of her Babson summers at the London

School of Economics exploring Europe and interning with State Street

Global Advisors. She enjoys remaining involved in the Babson alumni

community. Jessica is also an active member of the Boston steering

committee for the Women's Association of Venture & Equity (WAVE), a

national networking organization for women in venture capital and private

equity.

Private Equity

Moderator – Richard Bliss Professor, Babson College

Dr. Bliss is a Professor of Finance at Babson College. He has been involved in

corporate and entrepreneurial finance since 1987, with industry experience that

includes time at Touche Ross & Company in New York as a consultant, and

senior financial positions at Van Camp Seafood Company and Safety One, Inc.,

a specialty chemicals start-up. He teaches at the undergraduate, MBA, and

executive levels.

Prior to coming to Babson, Dr. Bliss was on the faculty at Indiana University

and he has taught extensively in Central and Eastern Europe, including at the

Warsaw School of Economics, Warsaw University, and the University of

Ljubljana in Slovenia. He is a visiting faculty for the Technical University of

Denmark’s Certificate in Entrepreneurial Leadership Program in Copenhagen.

He has developed and delivered customized corporate training programs for

Bausch & Lomb, Lucent Technologies, Irving Oil, the Slovak American

Enterprise Fund in Bratislava, Slovakia, the Foundation for the Establishment of

the Futures Exchange in Warsaw and Bright China Management Institute in

Beijing.

Most recently, Dr. Bliss is a member of the Babson team helping to develop and

deliver the curriculum for the Goldman Sachs 10,000 Small Businesses

Program, a US$500 million initiative designed to create jobs and spur economic

activity through greater access to business education, mentors, networks and

financial capital.

With publications in the areas of corporate finance, entrepreneurship, and

banking, Dr. Bliss has an active research agenda. His work has been published in

the Journal of Financial Economics, Derivatives Quarterly, and The Journal of

Small Business Management, among others. He has also written numerous

book chapters and case studies in the areas of corporate financial strategy, risk

management, entrepreneurial finance, and emerging markets. His book,

Entrepreneurial Finance: Strategy, Valuation & Deal Structure, co-authored

with Janet Kiholm-Smith and Richard L. Smith, was published in April 2011 by

the Stanford University Press.

Dr. Bliss holds a Ph.D. in Finance and M.A. in Economics from Indiana

University. He has also received his M.B.A. in Finance/Real Estate from Indiana

University and graduated with honors from Rutgers University, earning a B.S.

degree in Engineering and a B.A. degree in Economics.

Entrepreneurship through Acquisitions

The Entrepreneurship through Acquisitions panel will give an overview of a career in search funds. A panel comprised of professionals in the industry will give an overview of their everyday work life. We will then go on to demonstrate how current economic conditions are affecting the industry.

Adam Barker Founder, New Forest Capital

Adam is a class of 2014 HBS graduate doing a search fund based in

Cambridge but looking at businesses all over the US. Adam met his search

fund partner, Ben Murray, at Oxford where he studied philosophy and

economics and played rugby. After college he worked in investment banking.

He found the work to be too repetitive and didn't like staring at a screen all

day. Adam tried M&A, consulting, and even prop trading and moved around

a lot (from London to Shanghai to Beijing to Hong Kong). He learned about

search funds during his first year at business school and started formally

searching a month before graduation. Adam liked the idea of controlling his

own destiny and having a wild ride trying to successfully take over and grow

a small business. He decided to fund his own search because he wanted to

control the business he bought and have flexibility about the type of deal he

looked at.

Scott Noll Vice President of Sales and Customer Success, ThriveHive

Scott is currently the VP of Sales and Customer Success at ThriveHive, a

Boston based marketing automation company. Most recently, Scott was the

COO of Sage Data Security where he led the company to double digit revenue

growth and a successful recapitalization in 2015. Prior to Sage, he co-

founded Knob Hill Partners, an investment firm focused on acquiring and

growing privately held businesses. His experience includes time as a Sales

Director at Thomson Reuters and District Sales Manager at NetScout

Systems. Scott holds a B.S. in Entrepreneurial Studies and Marketing and an

MBA from F.W. Olin Graduate School of Business at Babson College.

Entrepreneurship through Acquisitions

Dileep Sakensa Owner, 40|73 Capital

Dileep is an entrepreneur and investment professional who has been

involved in the provision of over $200 million in private companies across

various industries. He also had oversight of twelve private equity portfolio

companies. Dileep is marked by his ability to make prudent debt and equity

investment decisions, navigating around the financial crisis and Great

Recession of 2007-2009. He is currently an owner of 40|73 Capital, an

operationally focused independent sponsor seeking investment

opportunities in lower middle-market companies.

Previously, Dileep worked with WAIN Street, an innovative venture focused

on SMB credit markets; Babson Capital’s middle-market mezzanine and

private equity group; Progress Partners, a pioneering investment bank

dedicated to emerging growth companies and Banco Popular and Northern

Trust Company, leading regional banks. Dileep received Bachelor’s degrees

in Economics and Finance from University of Illinois at Urbana-Champaign

and MBA from Babson College.

Entrepreneurship through Acquisitions

Moderator – Kevin Mulvaney Professor, Babson College

At Babson, Mr. Mulvaney teaches two merger/acquisition courses: ‘M&A for

Entrepreneurs’, a middle-market M&A course; and ‘Buying a Small Business’, a

course which delves into the process of acquiring a business with revenue under

$3MM. He also mentors students in live consulting projects and serves as

Executive-in-Residence in the Entrepreneurial Studies Program.

Mr. Mulvaney is President of Strategic Advisors Group, a specialty consulting firm

which advises CEOs and business owners facing important strategic challenges and

M&A decisions. In addition, Mr. Mulvaney has served as an expert witness in

Federal Court cases, conducted governance review projects, and mentored

management teams and business owners to achieve improved teamwork and

results.

Before forming his consulting practice in July, 1997, he served as President of

DRI/McGraw-Hill, the world’s largest econometric publishing, data, and

consulting firm with offices in ten countries. In April, 1994 he was hired by

McGraw-Hill to lead a successful major financial and strategic makeover of DRI.

Prior to DRI/McGraw-Hill, Mr. Mulvaney spent 23 years at Bank of Boston where

he held a number of executive management positions.

Prior to his role as head of National Banking, Mr. Mulvaney was the Global

Banking Group Executive (Executive Vice President) from 1988-1992. In addition

to these positions, he was Chairman of the Bank of Boston Venture

Capital/Mezzanine Finance investment committee and a member of the bank’s

management committee, senior loan committees, and asset/liability committees.

Before joining the bank’s Global Banking Group in 1984 as Senior Credit Officer

and Chair of the International Credit Committee, Mr. Mulvaney enjoyed a

distinguished twelve year stint in the Middle Market Division of the bank where he

financed and advised middle market companies nationwide.

Over his career, Mr. Mulvaney has contributed to the success of many enterprises

as a member of their Boards of Directors. His experience includes manufacturing,

numerous financial services firms and many non-profit organizations. He has

served as Chair of the Board, led Board Committees, and managed strategic

planning reviews.

Summer Analyst The Summer Analyst panel will give an overview of the experiences of a summer analyst at an investment bank. A panel comprised of current seniors at Babson will give different perspectives and share their stories.

Aaditya Chowdhry Class of 2016, Incoming Analyst at Bank of America Merrill Lynch

Aaditya is a senior at Babson College studying finance. He is one of the four

managers for Phonathon on campus and is also a member of Beta Gamma Sigma.

He interned at Standard Chartered Bank in Singapore in the Power, Transport,

and Infrastructure group after his freshman, and sophomore year. This past

summer, he interned at Bank of America Merrill Lynch in the Leveraged Finance

group in New York and will be returning as a full-time analyst in the 2016 Analyst

class.

Vladimir Olchanski Class of 2016, Incoming Analyst at Jefferies

Vladimir Olchanski is a senior at Babson College. He was a 2015 Summer Analyst

at Jefferies in New York City. During his time at Jefferies this summer he worked

with the M&A, LevFin, Healthcare and REGAL (Real Estate and Gaming) groups

at Jefferies. Following his graduation he will be returning to Jefferies as a

generalist before being placed in a specific group full time.

Summer Analyst

Amit Perilall Class of 2016, Incoming Analyst at Rothschild

Amit is a senior at Babson College. Over the past two summers, he has worked in

the Investment Banking Division of two investment banks in New York City. This

past summer, he was a Summer Analyst at Rothschild Inc. and will return to

begin his career following commencement in May 2016. Previously, he interned

for Midtown Partners, a boutique investment bank. On campus, he is a member

of the Babson College Fund, a student run fund that invests approximately $2

million of Babson's endowment.

Billy Stetson Class of 2016, Incoming Analyst at Rothschild

Billy is a senior at Babson College. He was a 2015 Summer Analyst at Rothschild

GFA in New York City. Following the Summer Analyst program, he received an

offer from Rothschild to return as a full-time investment banking Analyst

following graduation from Babson. He will join the Mergers and Acquisitions

group and join either the Consumer or TMT group.

Summer Analyst

Moderator – Caroline Hayes Senior Associate Director, Undergraduate Center for Career Development, Babson College

Caroline is currently the Sr. Associate Director in Babson’s Undergraduate

Center for Career Development, focused on financial services employer

engagement and student advising for those seeking a career in finance. She is

responsible for providing individual and group student advising on career

development and job search strategies for undergraduate students. Caroline

works in collaboration with the entire Center for Career Development team to

build strategies that support the office’s integrated and holistic approach to

career development. This includes taking a leadership role in supporting and

assessing employer partnerships and providing key thought leadership in the

area of employer engagement best practices and experiential education.

Prior to Caroline’s career in higher education, she worked at Fidelity

Investments for nearly six years. For the majority of that time, she worked on

the Asset Management campus recruiting team, supporting both

Undergraduate and MBA campus recruiting efforts. In 2010, Caroline made

the transition to higher education when she joined Babson’s Center for Career

Development team as the Corporate Relations Manager.

Caroline earned her B.A. in English from Loyola Marymount University in

Los Angeles, California and is currently pursuing her M.B.A. from Babson

College.

The Sales & Trading panel will be focused on defining what S&T is and how these professionals interact with each other and the rest of the investment bank. In addition to the overview, current industry dynamics will be discussed.

Salvador Diaz President, Diaz-Bazan Asset Management

Diaz-Bazan Asset Management is a registered investment advisor in

John Gally Managing Director, Morgan Stanley

John Gally is a Managing Director of Morgan Stanley in the Leveraged Loan

& Distressed Trading Group based in New York. He is Head of Leveraged

Loan Trading and is responsible for the trading of broadly syndicated and

middle market loans with institutional, structured product and hedge fund

clients in the United States. John joined Morgan Stanley in September 2010

and has 14 years of industry experience, all in leveraged finance. Prior to

joining Morgan Stanley, John worked at Deutsche Bank and Jefferies Group.

He resides in Westchester County with his wife, Kara, and their three sons

Andrew, Mark, and John.

Anthony LoGrippo Managing Director, Jefferies

Anthony LoGrippo is a Managing Director and Head of Leveraged Loan

Sales and Trading at Jefferies. In addition to these responsibilities,

Mr. LoGrippo leads the syndication effort of new issue loan transactions for

the firm. Prior to joining Jefferies in 2009, Anthony worked for eleven

years at Deutsche Bank and was most recently head of par loan trading.

Previously, he was a Director in the Leveraged Portfolio Group at Bankers

Trust. Mr. LoGrippo started his career at The Chase Manhattan Bank (now

J.P. Morgan) and received a B.B.A. in Banking and Finance with Highest

Honors from Hofstra University.

Moderator – Kathleen Hevert Associate Professor, Babson College

Dr. Kathleen Hevert is an Associate Professor of Finance at Babson College.

Prior to joining Babson, Dr. Hevert was an assistant professor of finance at

the Wallace E. Carroll School of Management at Boston College. She designs

and delivers general and specialized finance courses at the graduate,

undergraduate, and executive levels, and was twice selected by the Babson

College F.W. Olin Graduate School of Business graduating classes to receive

the Thomas Kennedy Award for Teaching Excellence.

Professor Hevert specializes in long-term strategic capital investment

decisions, and has a particular interest in the application of option pricing

models to real-asset acquisition decisions. She also studies the long-term

performance effects of serial acquisition strategies. Her research has been

published in academic journals including Financial Management, The

Journal of Portfolio Management, The Journal of Applied Corporate Finance,

and The Journal of Business Venturing. Dr. Hevert designs and conducts

executive education programs in basic corporate finance, capital investment

decisions, real options, and other related topics for clients including General

Electric, Johnson & Johnson, U.S. Steel, Infineon Technologies, EMC and

many others. In addition, she works with a variety of firms on related special

projects.
