BANKING ACT No. 30 OF 1988

AN A CT TO PROVIDE FOR THE INTRODUCTION AND OPERATION OF A

PROCEDURE FOR THE LICENSING OF PERSONS CARRYING ON

BANKING BUSINESS AND OF CARRYING ON THE BUSINESS OF

ACCEPTING DEPOSITS AND INVESTING SUCH MONEY; FOR THE

REGULATION AND CONTROL OF MATTERS RELATING TO SUCH

BUSINESS ; AND TO PROVIDE FOR MATTERS CONNECTED

THEREWITH OR INCIDENTAL THERETO.

1. This Act may be cited as the Banking Act, No. 30 of 1988.

(2) The provisions of this Act, other than Part V, shall comeinto operation on such date* as may be appointed by the Ministerby Order published in the Gazette (hereinafter referred to as the“ appointed date ”).

(3) The provisions of Part V of this Act shall come intooperation on such later date* as may be appointed by the Ministerby Order published in the Gazette.

PART I

LICENSING OF PERSONS CARRYING ON BANKING BUSINESS

2. (1) On or after the appointed date, no banking businessshall be carried on except by a company under the authority of alicence issued by the Monetary Board with the approval of theMinister.

(2) Where such company is a company incorporated outsideSri Lanka no licence shall be issued unless such company hascomplied with the provisions of Part XIII of the Companies Act,No. 17 of 1982.

(3) Any company which has been issued a licence under theprovisions of this Part, shall, hereinafter, be referred to as a“ licensed commercial bank ”.

(4) Notwithstanding the provisions of subsections (1) and (2)of this section and of section 3 of this Act, all commercial banksspecified in Schedule I to this Act, which on the appointed date arecarrying on banking business, shall be issued a licence inaccordance with the provisions of this Act.

(5) Any company which carries on banking business incontravention of subsection (1) shall be guilty of an offence underthis Act.

(6) For the purpose of this section “ company ” shall have thesame meaning as in section 449 of the Companies Act, No. 17 of

1982, and including a company duly incorporated outside Sri Lanka,or a body corporate formed in pursuance of any statute of anyforeign country, Royal Charter or letters patent and a body corporateestablished by or under any written law and shall not include theCentral Bank or a private company incorporated outside Sri Lankaexcept the banks specified in Schedule I to this Act.

3. (1) An application for a licence shall be made in writingto the Monetary Board in such manner as may be determined by theMonetary Board.

(2) Every application for a licence shall be accompanied by—

(a) in the case of a company to be formed for the pur-pose of carrying on banking business—

(i) a copy of the draft Memorandum of Associationand the Articles of Association of the companyto be formed or the draft Constitution or anyother document associated with the formation ofsuch company; and

(ii) a statement containing the names, addresses,occupations and qualifications of the personsproposed as Directors, and if a Chief ExecutiveOfficer has been identified, of such officer.

(b) in the case of a company formed before the date ofthe application and which intends to commencebanking business—

(i) a copy of the Memorandum of Association andthe Articles of Association of such company orthe Constitution or any other documentassociated with the formation of such company,together with the proposed amendments, if any,to such documents; and

(ii) a statement containing the names, addresses,occupations and qualifications of the Directorsof the company and any Directors proposed tobe nominated or appointed and of the ChiefExecutive Officer of such company;

(iii) a copy of the audited balance sheet and profitand loss account of the company for thepreceding three years;

(c) in the case of an application by a company or bodycorporate incorporated outside Sri Lanka, suchcompany shall in addition to the documents specifiedin paragraph (b) submit—

(i) a written undertaking supported by a resolutionof the Board of Directors of such company orbody corporate, stating that such company orbody corporate, as the case may be, shall on

demand by the Central Bank, provide suchfunds as may be necessary to meet all obliga-tions incurred in or in connection with, itsbusiness in Sri Lanka; and

(ii) a report containing such information as may bedetermined by the Monetary Board, from theregulatory authority of the country in whichsuch company or body corporate is incorpo-rated.

(3) On receipt of an application under subsection (1) by theMonetary Board, the Director of Bank Supervision may, where suchDirector considers it necessary, require the applicant to furnish tothe Monetary Board such other documents, information or otherparticulars, in order to determine whether a licence should be issuedor not.

(4) Where on consideration of the documents, information andparticulars submitted to the Monetary Board under subsections (1),(2) and (3) and on such further investigations as it may considernecessary, the Monetary Board is satisfied that the application maybe approved in principle, i t may issue a Letter of ProvisionalApproval to the applicant. On receipt of the Letter of ProvisionalApproval, the applicant shall take all preliminary measures as maybe required in terms of such Letter, prior to the issue of a licenceunder section 5, and specified in such Letter.

(5) The Letter of Provisional Approval issued undersubsection (4) shall be valid for the period stated in such Letter.Such period shall however not exceed twelve months from the dateof issue of such Letter and the period of validity may only beextended by the Monetary Board in writing, in exceptionalcircumstances.

(6) The Monetary Board shall cause a copy of each Letter ofProvisional Approval issued under subsection (4) and of anycommunication extending the period of validity of such Letter undersubsection (5), or any withdrawal in terms of subsection (7), to besent to the Registrar of Companies.

(7) The issue of Letter of Provisional Approval undersubsection (4) shall not bind the Monetary Board to issue a licenceunder section 5 to the company or the company to be formed forthe purpose of carrying on banking business (hereinafter referred toas a “proposed company”), in respect of which the Letter ofProvisional Approval has been issued, and the Monetary Board may,on the basis of investigations carried out by it under subsection (10)withdraw such Letter or refrain from issuing a licence under section5 on any one or more of the following grounds:—

(a) that the Monetary Board is not satisfied with thesuitability of the company or the proposed companyto be issued with a licence;

(b) that the company or proposed company has notcomplied with the conditions stipulated in the Letterof Provisional Approval; *

(c) that the company or proposed company has notcomplied with the requirements under this Act forthe issue of a licence ;

(d) that any information contained in the application fora licence or any information submitted inconnection therewith by the company or proposedcompany is found to be false or incorrect; or

(e) that there has been, in the opinion of the MonetaryBoard, a sufficiently significant change in theeconomic and the banking environment of thecountry that warrants the suspension of the issue oflicence under section 5:

Provided however, the Monetary Board shall beforewithdrawing a Letter of Provisional Approval* interms of the provisions of this subsection issued toan applicant in terms of subsection (4), or if adecision is taken by the Monetary Board under thissubsection to refrain from issuing a licence, givesufficient notice in writing to the applicant statingthe grounds for such withdrawal or decision torefrain from issuing a licence and shall afford himan opportunity of being heard.

(8) A company or a proposed company in respect of which aLetter of Provisional Approval has been issued under subsection (4)shall not commence banking business before the issue of a licenceunder section 5. Every advertisement, prospectus, notice or otherpublication issued by the company or proposed company before theissue of the licence shall be required to specify that it has not beenissued a licence to carry on banking business under the Act.

(9) A licence shall not be issued under section 5 to acompany formed and incorporated under the Companies Act, No.17of 1982 unless —

(a) the company is a public company;

(b) the Memorandum of Association of the companysets out as its primary object, the carrying on ofbanking business as defined in this Act; and

(c) the Memorandum of Association of the Companyrestricts the other forms of business the companymay carry on, if any, to any or all of the forms ofbusiness specified in Schedule II to this Act.

(10) (a) The Monetary Board may, at any time prior to theissue of a licence under section 5, conduct such

investigations as it may deem necessary to satisfyitself as to the suitability of the company orproposed company to be issued with a licence,having regard to the interests of the nationaleconomy, including the banking needs of Sri Lanka.

(b) At an investigation conducted under paragraph (a)the Monetary Board may require the applicant tosatisfy the Board on any matter relevant to thesuitability of the company or the proposed companyand in particular—

(i) the validity and acceptability of the documentsand particulars submitted by the applicant;

(ii) the financial status and history of the companyor the proposed company;

(iii) the financial standing, experience andsuitability of the Directors, Chief ExecutiveOfficer and such other officers of the companyperforming executive functions as may bedetermined by the Monetary Board or thepersons proposed to be appointed to suchpositions in the proposed company, as the casemay be;

(iv) of the adequacy of the capital of the companyor based on the information furnished by theapplicant on behalf of the proposed company,the ability of the proposed company to raiseadequate capital;

(v) of the ability of the company or the proposedcompany to cover all obligations and liabilitiesincurred in the conduct of business in SriLanka and to comply with the provisions ofthe Act;

(vi) the applicant’s compliance with the provisionsof the Act or any directions given under theAct in relation to the application for a licenceunder the Act.

(11) Any person who submits information or particulars in anapplication for a licence or in any other document submitted inconnection therewith or in the course of any inquiry or investigationconducted to ascertain the suitability of the company or theproposed company to be issued with a licence under this Act, whichto the knowledge of the person is false or misleading in anymaterial particular, shall be guilty of an offence under this Act.

4. (1) The Monetary Board may require any company orbody corporate incorporated outside Sri Lanka, which has appliedfor a licence under section 3, to undertake to remit to Sri Lanka,prior to the commencement of their business in Sri Lanka, a sum of

money, determined with the approval of the Minister, in UnitedStates Dollars, or its equivalent in any designated foreign currency.The amount so remitted may form part of the assigned capital ofsuch company or incorporated body and shall be kept as a depositwith the Central Bank or in such other manner as may bedetermined from time to time by the Monetary Board.

(2) The Monetary Board may, where such Board considers itnecessary or expedient to do so in the interest of national economy,from time to time, make further determinations as regards theremittance of money after the expiry of a period of six months fromthe date of the last of such determinations.

(3) A determination made under this section shall applyuniformly to all companies and bodies corporate incorporatd outsideSri Lanka which apply for a licence after each such determination.

5. (1) Where the Monetary Board is satisfied that a licencemay be issued to a company or a proposed company to carry onbanking business, it may, with the approval of the Minister, issue alicence to the company or proposed company to carry on bankingbusiness in Sri Lanka subject to such terms and conditions as maybe imposed by the Monetary Board.

(2) The licence issued under subsection (1) shall specify—

(a) whether it authorizes the company to carry ondomestic banking business or off-shore bankingbusiness or both such businesses;

(b) the place or places or the area within which suchbanking business may be carried on; and

(c) the terms and conditions subject to which suchlicence is issued.

(3) Every licensed commercial bank shall display a copy ofthe licence issued to it under subsection (1) in a conspicuous placeat i ts principal place of business in Sri Lanka and each of itsbranches.

6. Subject to the provisions of section 17, no licensedcommercial bank shall—

(a) carry on any banking business other than thebusiness specified in the licence; or

(b) carry on any other form of business other thanthose specified in Schedule II to this Act.

7. Nothing contained in the provisions of section 6 shall beconstrued so as to restrict the Bank of Ceylon or the People’s Bank,established under the Bank of Ceylon Ordinance (Chapter 397), thePeople’s Bank Act, No. 29 of 1961, respectively, and any RegionalRural Development Bank established under the Regional RuralDevelopment Bank Act, No. 15 of 1985, in the exercise of the

powers conferred on each such bank by and under the aforesaidstatutes applicable to each of such banks, respectively.

8. (1) Every licensed commercial bank shall pay to theCentral Bank an annual licence fee as may be determined by theMonetary Board, having regard to the different classes of bankingbusiness carried on by such bank.

(2) The Monetary Board shall inform each such licensedcommercial bank the amount payable as licence fee, and the mannerin which such fee shall be paid.

(3) Where a licence fee is determined in respect of classes ofbanking business such fee shall apply to all banks carrying on suchclasses of business.

9. (1) Where the Monetary Board is satisfied that anylicensed commercial bank has —

(a) failed to commence business within nine monthsof the issue of the licence under section 5; or

(b) failed to pay any debts incurred by it, on suchdebts becoming due; or

(c) had a petition or action for relief filed againstsuch licensed commerial bank, and has hadappointed in respect of such bank under anybankruptcy law or any other law which providesfor relief of debtors or which relates to debtors,a liquidator or receiver; or

(d) ceased to carry on banking business; or

(e) contravened any provisions of this Act or anydirection, order or other requirement imposedunder the Act; or

(f) furnished false, misleading or inaccurateinformation or documents to the MonetaryBoard or in the case of a proposed company theapplicant for the licence has furnished suchinformation or documents in connection with itsapplication for the licence; or

(g) carried on, or is carrying on, its business in amanner likely to be detrimental to the interestsof its depositors,

the Monetary Board may give notice that it wouldcancel the licence issued to such bank and shallcommunicate such notice to such licensedcommercial bank.

(2) A licensed commercial bank may tender objections inwriting to the Monetary Board against the notice of intendedcancellation under subsection (1), within fourteen days of the date

of receipt of such notice, giving reasons why the licence issued to itunder section 5 should not be so cancelled.

(3) The Monetary Board may, within thirty days from the lastdate for tendering objections under subsection (2), after consideringthe objections if any, tendered to it under that subsection and afterhearing the licensed commercial bank in support of its objections,either withdraw the notice given under subsection (1) with orwithout conditions or cancel the licence issued to the licensedcommercial bank, and shall notify the bank in writing accordingly.

(4) A licensed commercial bank aggrieved by a decision ofthe Monetary Board made under subsection (3) to impose conditionson the withdrawal of the notice given under subsection (1) or tocancel its licence, may within fourteen days of the date of receipt ofthe notification given under that subsection, appeal against suchdecision to the Court of Appeal.

(5) Until rules are made under Article 136 of the Constitutionrelating to appeals under this section, the rules made under thatArticle relating to the hearing of applications by way of revision tothe Court of Appeal, shall apply to every appeal made under thissection.

(6) The Court of Appeal may on appeal made to it undersubsection (4) confirm, reverse, modify or set aside the decisionagainst which the appeal is made and may make any other order asthe interests of justice may require.

(7) Without prejudice to subsection (1), the Monetary Boardmay, where it is satisfied that any licensed commercial bankincorporated outside Sri Lanka has had its licence or authority tooperate in the country in which such bank was incorporatedcancelled or withdrawn by the appropriate authority or regulatorybody of that country, cancel the licence issued to the bank underthis Part and shall notify the bank accordingly.

(8) (a) A cancellation of a licence of a licensed commercialbank under subsection (3) shall take effect—

(i) where the bank does not prefer an appealagainst such cancellation under subsection (4),on the expiration of the period for tenderingsuch appeal; or

(ii) where an appeal has been preferred against suchcancellation, on the confirmation of the decisionof the Monetary Board by the Court of Appealor the Supreme Court, as the case may be;

(b) A cancellation of a licence of a licensed commercialbank under subsection (7), shall take effect from thedate of the receipt by the bank of the notificationunder that subsection.

(9) Where a cancellation of a licence of a licensedcommercial bank has taken effect under paragraph (a) or paragraph(b) of subsection (8), the Monetary Board shall, as soon as possiblepublish once in the Gazette in Sinhala, Tamil and English languagesand once in a Sinhala, Tamil and English daily newspapercirculating in Sri Lanka, a notification of the cancellation of suchlicence.

10. (1) Where notice for the cancellation of a licence hasbeen issued by the Monetary Board under subsection (1) of section9, the Board may give directions to the licensed commercial bank—

(a) prohibiting it from dealing with or disposing of itsassets in any manner specified in such direction;

(b) prohibiting it from entering into any transaction orclass of transactions so specified; or

(c) prohibiting it from soliciting deposits.

(2) Whereas a licensed commercial bank has failed to complywith the directions issued under subsection (1) the Monetary Boardmay further direct—

(a) such bank to forthwith suspend its business within SriLanka, and, in the case of a bank incorporated orestablished in Sri Lanka, its business within andoutside Sri Lanka; and

(b) the Director of Bank Supervision to take charge of itsbusiness and of its books, records, and assets, and itshall be lawful for the Director of Bank Supervisionto take such steps as are necessary for him to complywith the directive of the Monetary Board.

(3) Where the Director of Bank Supervision takes charge ofall books, records and assets under subsection (2) and the MonetaryBoard withdraws the cancellation unconditionally, the MonetaryBoard shall direct the Director of Bank Supervision to deliverforthwith to such bank the books, records and assets taken into hiscustody.

(4) Notwithstanding anything in any written law for the timebeing in force, no action or proceedings may be instituted by anylicensed commercial bank in any court in respect of any directionsgiven bona fide under this section, and any loss or damage incurredor likely to be incurred or alleged to be incurred by reason of anysuch direction.

11. (1) Where a licence of a licensed commercial bank iscancelled, the Monetary Board shall direct the licensed commercialbank forthwith to suspend its business in Sri Lanka and, in the caseof a licensed commercial bank incorporated or established within SriLanka, the business both within and outside Sri Lanka, and shallalso direct the Director of Bank Supervision to take charge of its

business and its books, records and assets and to take such steps asmay be necessary to prevent the continuance of the business ofbanking by such bank. It shall be lawful for the Director of BankSupervision to take such action as he may deem necessary tocomply with the directive of the Monetary Board.

(2) Where the cancellation of a licence of a licensedcommercial bank incorporated or established within Sri Lanka by orunder any written law for the time being in force, has taken effectunder paragraph (a) of subsection (8) of section 9, proceedings forthe compulsory winding- up of the licensed commercial bank shallcommence in accordance with the provisions of Part VIII of thisAct.

(3) Where the cancellation of a licence of a licensedcommercial bank incorporated outside Sri Lanka has taken effectunder paragraph (a) or paragraph (b) of subsection (8) of section 9,the Director of Bank Supervision shall forthwith inform the headoffice of such bank to honour the written undertaking submittedunder paragraph (a) of subsection (2) of section 3 and take suchsteps as may be necessary to enforce such undertaking and to closedown the business of the bank in and with respect to Sri Lanka, inaccordance with the provisions of Part VIII of this Act.

(4) Notwithstanding the provisions of section 9 or any otherwritten law for the time being in force, the Monetary Board may, inany of the circumstances referred to in paragraphs (a) to (g) ofsubsection (1) of section 9 without proceeding to cancel the licenceissued to a licensed commercial bank in terms of section 9, makeorder which may include any one or more of the following:—

(a) directing the licensed commercial bank to suspendits business in Sri Lanka, and in the case of alicensed commercial bank incorporated orestablished within Sri Lanka, to immediatelysuspend its business outside Sri Lanka for suchperiod as is specified in such order subject to suchconditions as the Monetary Board may stipulate:

Provided that prior to such suspension, writtennotice shall be served on the licensed commercialbank, of the decision of the Monetary Board alongwith its reasons therefor, to suspend the business ofsuch bank. The bank shall also be afforded anopportunity of being heard on such matter eitherorally or in writing, within a period of time whichshall not be less than three working days as shallbe specified in such notice;

(b) requiring the licensed commercial bank which hasbeen required to suspend business under paragraph(a) to hand over all books, records and assets ofthat licensed commercial bank to the Director ofBank Supervision;

(c) requiring the licensed commercial bank to forthwithtake or refrain from taking any action or to do orrefrain from doing any act or thing as the Boardmay consider necessary in relation to the businessof such bank;

(d) appointing a fit and proper person to advise suchbank with regard to the proper conduct of thebusiness of such bank;

(e) restraining any director, manager or controller ofthe licensed commercial bank from carrying out anyfunction in or in relation to the bank and appointinga fit and proper person to carry out such functions,in or in relation to, such bank;

(f) for the assumption of control of, and for thecarrying on of the business of such bank by theMonetary Board or for delegating the control soassumed to another person in order to carry on thebusiness of the bank;

(g) for the re-organization of such bank, by arrangingfor the increase of its capital or reconstituting itsboard of directors or both such measures;

(h) providing for such arrangements as are necessaryfor the amalgamation of such bank with any otherlicensed commercial bank that consents to suchamalgamation; and

(i) vesting the business of the licensed commercialbank in another licensed commercial bank whichconsents to such vesting and for the provisions ofPart VII A to apply to such vesting, as if thelicensed commercial bank whose business is vestedis a defaulting bank and the licensed commercialbank in which the business is vested, is anacquiring bank:

Provided, however that any measures taken underthis section shall not preclude the Monetary Boardfrom subsequently proceeding under section 9where the Monetary Board is of the opinion that itis in the interest of the banking system to do so.

(5) Notice in writing of any measures taken under subsection(4) shall be given to the licensed commercial bank and to anydirector, manager or controller referred to in paragraph ( e) ofsubsection (4) and such measures shall become effective from thedate of the receipt of such notification or such other date as may bespecified in the notice.

11A. Nothing contained in sections 9, 10 and 11 of this Act,shall in any way affect the powers conferred on the Monetary Boardby section 30 of the Monetary Law Act.

12. (1) The written approval of the Monetary Board givenwith the concurrence of the Minister, shall be required—

(a) for a licensed commercial bank to open or close abranch, agency or office of such bank, in any part ofSri Lanka or to effect a change in the location of anyexisting place of business;

(b) for a licensed commercial bank incorporated orestablished within Sri Lanka by or under any writtenlaw to open or close a branch, agency, or office inany place outside Sri Lanka,

(c) for a licensed commercial bank to acquire the businessor part of the business of another licensed commercialbank or a licensed specialised bank or of any branchof another licensed commercial bank or of a branch ofa licensed specialised bank;

(d) for banks incorporated or established outside SriLanka to open a representative office or such otherplace of business within Sri Lanka.

(e) for the merger or consolidation of a licensedcommercial bank or a branch thereof with any otherlicensed commercial bank or a licensed specialisedbank.

(1A) An application for approval of an acquisitionunder paragraph (c) of subsection (1) or amerger or consolidation under paragraph (e) ofsubsection (1) shall include—

(a) a statement of the nature of the acquisitionor merger or consolidation, as the case maybe;

(b) a copy of the proposed agreement, if any,under which the acquisition or merger orconsolidation, as the case may be, is to beeffected; and

(c) such other particulars and documents asmay be prescribed.

(1B) An approval under paragraph (c) of subsection(1), or paragraph (e ) of subsection (1), orsubsection (1C) shall not be granted, unless theMonetary Board is satisfied that such acquisitionor merger or consolidation is in the interest ofpromotion of a safe, sound and stable bankingsystem, and the fair competition prevailing inthe banking industry. When granting approvalfor an acquisition under subsection (1C), to anindividual or a corporate body, the MonetaryBoard shall, in determining whether suchindividual or the directors of such corporatebody, as the case may be, are fit and proper

persons, have regard to the criteria set out insubsection (2) of section 42.

(1C) (a) An individual, partnership or corporatebody shall not, either directly or indirectlyor through a nominee or acting in concertwith any other individual, partnership orcorporate body, acquire a material interestin a licensed commercial bank incorporatedor established within Sri Lanka by or underany written law without the prior writtenapproval of the Monetary Board given withthe concurrence of the Minister.

(b) Without prejudice to the generality ofsubsection (2) of this section, approvalunder paragraph (a) of this subsection maybe granted subject to terms and conditionsas the Monetary Board may deem fit.

(c) A licensed commercial bank shall not enterin the register of members of the bank asthe holder of shares of the bank, the nameof any individual, partnership, corporatebody, or nominee who or which hascontravened the provisions of paragraph(a).

For the purpose of this subsection—

“acting in concert” means acting pursuant to anunderstanding (whether formal or informal) toactively co-operate in acquiring a materialinterest in a licensed commercial bank so asto obtain or consolidate, control of that bank.

“material interest” means the holding of overten per centum of the issued capital of alicensed commercial bank carrying votingrights.

(2) The approval under this section may be granted subject tosuch terms and conditions as may be specified by the MonetaryBoard with the concurrence of the Minister.

13. (1) The Monetary Board may, with the approval of theMinister, on a report by the Director of Bank Supervision, by ordermade in writing, withdraw the approval or vary the terms andconditions of an approval granted under section 12, including theclosure of a branch, agency or office of a licensed commercial bank.Notice of the decision of the Monetary Board shall becommunicated by the Director of Bank Supervision to such bankwhich shall carry out all the obligations and meet all the liabilitiesof the branch, agency or office.

(2) Any licensed commercial bank to whom notice has beenissued under subsection (1) may within thirty days of the date of

such order, tender objections in writing to the Monetary Boardgiving reasons why such approval should not be withdrawn or theterms and conditions varied.

(3) After the expiration of sixty days from the date of thenotice and after considering the objections placed before the Boardunder subsection (2), the Monetary Board shall, with the approval ofthe Minister—

(a) by order made in writing, cancel the notice ofwithdrawal or the variation unconditionally; or

(b) by order made in writing and published in theGazette, confirm the withdrawal or variation with orwithout modification.

(4) Where the order for the closure has been made undersubsection (1), the Monetary Board shall direct the Director of BankSupervision to take all steps as may appear necessary in thecircumstances, to satisfy himself that all persons who have depositedmoneys in that branch, agency or office are given the opportunity towithdraw such moneys expeditiously and to ensure that suchmeasures as would safeguard the interest of such depositors aretaken. It shall be lawful for the Director of Bank Supervision totake such steps accordingly.

13 A . (1) Notwithstanding the provisions contained inparagraph (a) of subsection (1) of section 12, the Deputy Governormay on, guidelines issued by the Monetary Board for such purpose,grant approval for the establishment of mobile banking units, subjectto such terms and conditions as he may determine, from time totime.

(2) The Deputy Governor may on a report of Director ofBank Supervision, by order made in writing withdraw the approvalgranted under subsection (1) or vary the terms and conditions ofsuch approval, and notice of the decision shall be communicated tothe relevant licensed commercial bank.

14. (1) Where the Governor of the Central Bank hasreasonable grounds to believe that any person is carrying on bankingbusiness in contravention of the provisions of this Act, the Governormay direct the Director of Bank Supervision or any other officer ofthe Central Bank to examine the books, accounts and records ofsuch person for the purpose of ascertaining whether such person hascontravened, or is contravening, any of the provisions of this Act.

(2) The Director of Bank Supervision or such other officer soauthorised by the Governor in terms of subsection (1) may requiresuch person or the bank to furnish to him such information or toproduce for inspection any books, minutes, accounts, cash,securities, vouchers, other documents and records as he mayconsider necessary to obtain for the purpose of such examination,and it shall he the duty of such person or bank to furnish suchinformation and to submit to such officer for examination such

books, minutes, accounts, cash, securities, vouchers, other documentsand records, as the case may be, when so required.

(3) Any person who fails to furnish such information or toproduce any books, minutes, accounts, cash, securities, vouchers,other documents and records when required to do so undersubsection (2) shall be guilty of an offence under this Act.

(4) Any refusal by any person or commercial bank to furnishsuch information or to submit such books, minutes, accounts, cash,securities, vouchers, other documents and records in contraventionof the provisions of subsection (2) shall be prima facie evidence ofsuch person or bank carrying on banking business without a licence.

14 A. A licensed commercial bank which is a company asdefined in section 449 of the Companies Act, No. 17 of 1982, shallnot alter its Memorandum of Association and the Articles ofAssociation, without the prior written approval of the MonetaryBoard.

15. The provisions of this Part shall not be construed to meanthat a licence under section 5, or approval under section 12, shall berequired for the Monetary Board or the Central Bank to exercise,perform or discharge the powers, duties or functions, in respect ofbanking business conferred on, or imposed on, or assigned to, theMonetary Board under the Monetary Law Act or any written law.

PART II

BANKING NAMES AND DESCRIPTIONS

16. (1) No company other than a licensed commercial bankor a licensed specialised bank shall, except with the prior writtenapproval of the Monetary Board, use as part of its name or itsdescription any of the words “ bank ”, “ banker ” or “ banking ”, orany of its derivatives or its transliterations, or their equivalent inany other language and no licensed commercial bank or a licensedspecialized bank shall carry on business in Sri Lanka unless it usesas part of its name at least one of such words:

Provided however, a licensed commercial bank or a licensedspecialised bank incorporated outside Sri Lanka which does not havethe word “ bank ”, “ banker ” or “ banking ” in any language in itsname may carry on business in Sri Lanka notwithstanding theomission of these words in its name.

(2) No firm, individual or group of individuals, shall, exceptwith the prior written approval of the Monetary Board, for thepurpose of carrying on any business, use a part of its or his nameor description any of the words “ bank ”, “ banker ” or “ banking ”or any of its derivatives, or its transliterations, or their equivalent inany other language.

(3) Nothing in this section shall apply—

(a) to a subsidiary of a licensed commercial bank or ofa licensed specialised bank established inaccordance with the provisions of this Act or anydirections given hereunder;

(b) to any association of licensed commercial banks orlicensed specialised banks formed for the protectionof their interests;

(c) to a trade union registered under the Trade UnionOrdinance (Chapter 138), which is an association orcombination of workers who are employees of abanking institution within the meaning of section127 of the Monetary Law Act, or of the CentralBank or of a licensed specialised bank;

(d) to an agency, institution, person or body of personswhich is a banking institution in terms of paragraph(b) or paragraph (d) of the definition of theexpression “banking institution” in section 127 ofthe Monetary Law Act;

(e) to the use of the words in the manner restrictedunder subsection (1) for the purpose ofincorporating or changing the name of a companyduring the period of validity of a letter ofProvisional Approval issued under section 3 orsection 76B;

(f) to the representative office of a commercial bankincorporated or established outside Sri Lanka.

17. (1) A licensed commercial bank incorporated orestablished in Sri Lanka shall not have as its subsidiary a companywhich is not a licensed commercial bank:

Provided however, such bank may, with the written permissionof the Monetary Board, have a subsidiary which carries on any oneor more of the following businesses:—

(a) carries on the business of providing training in anyone of the subjects relating to banking, accountancy,valuation, project appraisal and credit appraisal;

(b) carries on the business of engaging in hire purchasetransactions;

(c) carries on the business of providing medium and longterm credit for development;

(d) carries on the business of factory leasing andwarehousing;

(e) carries on the business of providing managementconsultancy services;

(f) becomes the subsidiary only by reason of a licensedcommercial bank having to acquire the share of acompany consequent to such licensed commercialbank capitalising the capital and the interest accruedthereon and which is unpaid by the company to thebank, on loans granted by the licensed commercialbank;

(g) carries on any form of busines which in the opinionof the Monetary Board is not inconsistent with thebusiness of banking and the provision of finance:

Provided, further that the provisions of this subsection shall notapply to a subsidiary formed before the appointed date by anylicensed commercial bank incorporated or established in Sri Lanka.

(2) A licensed commercial bank shall not accord to any of itssubsidiary companies, treatment which is more favourable than thetreatment accorded to other constituents of the bank, carrying on thesame business as any such subsidiary company.

(3) For the purposes of this Act a company shall, subject tothe provisions of subsection (4) of this section, be deemed to be asubsidiary of another if, and only if—

(i) that other company holds more than half in nominalvalue of its equity share capital; or

(ii) that other company is a shareholder of it andcontrols the composition of its board of directors; or

(iii) the first-mentioned company is a subsidiary of anycompany which is that other’s subsidiary.

(4) In determining whether one company is a subsidiary ofanother—

(a) any shares held or power exercisable by that otherin a fiduciary capacity shall be treated as not heldor exercisable by it;

(b) subject to the provisions of paragraphs (c) and (d),any shares held or power exercisable—

(i) by any person as a nominee for that otherexcept where that other is concerned only in afiduciary capacity; or

(ii) by, or by a nominee for, a subsidiary of thatother, not being a subsidiary which is concernedonly in a fiduciary capacity,

shall be treated as held or exercisable by that other;

(c) any shares held or power exercisable by any personby virtue of the provisions of any debentures of thefirst mentioned company or of a trust deed forsecuring the issue of such debentures shall bedisregarded;

(d) any shares held or power exercisable by, or by anominee of, that other or its subsidiary [not beingheld or exercisable as referred to in paragraph (c)]shall be treated as not held or exercisable by thatother, if the ordinary business of that other or itssubsidiary, as the case may be, includes the lendingof money, and the shares are held or power isexercisable as aforesaid by way of security, only forthe purposes of a transaction entered into in theordinary course of that business.

(5) For the purposes of this Act, a company shall be deemedto be another’s holding company if, and only if, that other is itssubsidiary.

(6) In this Part the expression “ equity share capital ” inrelation to a company, means its issued share capital excluding anypart thereof which, neither in respect of dividends nor as respectscapital, carries any right to participate beyond a specified amount ina distribution.

17 A . (1) subject to the provisions of subsection (2), alicensed commercial bank shall not acquire or hold shares in anycompany other than a listed public company, and—

(a) any share holding acquired by such bank shall not bein excess of such percentage of its capital funds asthe Monetary Board may determine from time totime; and

(b) the aggregate amount invested in the shares of listedpublic companies (excluding companies which aresubsidiaries of the bank) shall not exceed, suchpercentage of its capital funds as may be determinedfrom time to time by the Monetary Board;

Provided however a licensed commercial bank may, withoutexceeding the limits specified above, acquire shares in a publiccompany other than a listed company, if such acquisition becomesnecessary for the purpose of rehabilitating such company to make itfinancially viable.

(2) The provisions of subsection (1), shall not apply to—

(a) investment in a subsidiary company of such bankwhich is a licensed commercial bank;

(b) investments in any other subsidiary company of thebank acquired with the approval of the MonetaryBoard;

(c) any shareholding which the bank might acquire in thecourse of the satisfaction of any debt due to suchbank, or as a consequence of the underwriting of ashare issue:

Provided that where as a result of the acquisition ofthese shares the total investment of the bank exceeds

the percentage of capital funds as determined by theMonetary Board under subsection (1), the Bank shalldispose of such excess shares within two years orsuch longer period as may be determined by theMonetary Board, of the date of such acquisition;

(d) any acquisition or holding of shares in any companywhich in the opinion of the Monetary Board isestablished for the advancement and promotion ofhuman resources development and technologicaldevelopment in the banking and financial sectors;

(e) investments authorized by the Monetary Board.

(3) for the purpose of this section “ listed public company ”means any public company which has its securities listed or quotedin a stock exchange licensed under the Securities and ExchangeCommission Act, No. 37 of 1987.

PART III

CAPITAL REQUIREMENTS, RESERVE FUNDS AND MAINTENANCE

OF L IQUID ASSETS

18. Notwithstanding anything contained in any other writtenlaw, no licensed commercial bank shall, on or after the appointeddate, commence or carry on business in Sri Lanka unless it complieswith all the requirements specified in this Part.

*19. (1) Subject to the provisions of subsection (3), everylicensed commercial bank

(a) which has been issued with a licence prior to thedate of commencement of this section, shall at alltimes maintain an equity capital in an amount notless than twenty-five million rupees;

(b) which has been issued with a licence after the dateof commencement of this subsection, shall at alltimes maintain an equity capital in an amount notless than one hundred million rupees or such otheramount as the Monetary Board may, having regard tothe viability and stability of the banking system andthe interest of the national economy and with theconcurrence of the Minister, determine from time totime.

(2) “equity capital” shall mean—

(a) paid up capital if it is a licensed commercial bankincorporated or established in Sri Lanka by or underany written law;

(b) the amount assigned to such bank by the head office,if it is a licensed commercial bank incorporated orestablished outside Sri Lanka.

(3) (a) The Monetary Board may, having regard to thedeposit liabilities or to the total liabilities includingcontingent liabilities or to the total assets or to anyspecified category of assets of a bank, vary fromtime to time the amounts specified as the minimumamounts required to be maintained by a licensedcommercial bank as equity capital under subsection(1) of this section.

(b) For the purpose of computing the minimum requiredequity capital, when such amount is prescribed inreference to liabilities or assets, both capital andliabilities or assets shall be of such kind andcomputed in such manner as the Monetary Boardmay from time to time determine having regard tothe interest of national economy.

(c) The Monetary Board shall, in writing, communicateto all licensed commercial banks any variation madeby it in respect of the equity capital required to bemaintained by a licensed commercial bank.

(d) Where any licensed commercial bank is required bysuch variation to augment its equity capital, it shallupon application to the Monetary Board, be affordeda period of twelve months, or such longer period asmay be granted by the Monetary Board, in which tocomply with that requirement.

(4) In the case of a licensed commercial bank incorporated orestablished in Sri Lanka by or under any written law, the limit offoreign participation in the capital of such bank, shall at no timeexceed the limit, established from time to time, by the MonetaryBoard.

(5) A licensed commercial bank shall not reduce its equitycapital without the prior written approval of the Monetary Board.

(6) A licensed commercial bank shall not create any chargeupon any unpaid capital of such bank and any such charge createdin contravention of these provisions shall be null and void.

(7) (a) Every licensed commercial bank shall at all timesmaintain a capital adequacy ratio as may bedetermined by the Monetary Board, which shall indetermining such ratio to be maintained, as far aspracticable adopt the guidelines for capital adequacyset out by Bank for International Settlements inBasle.

(b) Any variation in the capital adequacy ratio referredto in paragraph (a) shall be communicated to everylicensed commercial bank by the Monetary Board in

writing, provided that every licensed commercialbank which is required by such variation to augmentits capital, shall be afforded a period of twelvemonths or such longer period as may be granted bythe Monetary Board, in which to comply with suchrequirement.

(9) Where the equity capital or capital funds of a licensedcommercial bank have become deficient in terms of the provisionsof the preceding subsections the Monetary Board may, grant areasonable period of time for the rectification of such deficiency.

20. (1) Every licensed commercial bank shall maintain areserve fund and shall, out of the net profits after the payment oftax of each year, before any dividend is declared or any profits aretransferred to the head office or elsewhere, transfer to such reservefund—

(a) a sum equivalent to not less than five per centum ofsuch profits until the amount of the said reserve fundis equal to fifty per centum of the paid-up or assignedcapital of such bank, as the case may be; and

(b) a further sum equivalent to not less than two percentum of such profits until the amount of the saidreserve fund is equal to the paid-up or assignedcapital of such bank as the case may be:

Provided, however, that an amount not less than twenty-fiveper centum of the net profits shall be utilised for setting off suchintangible assets as may be determined by the Monetary Board,before such profits are transferred to the reserve fund.

(2) The reserve fund of any licensed commercial bank shallnot be reduced nor impaired:

Provided, however, that the Monetary Board may, specifycircumstances in which the reserve fund may be reduced, and shallpermit a reduction when a transfer is made for the purpose ofincreasing the paid-up or assigned capital, as the case may be. TheMonetary Board shall permit an impairment of the reserve fundwhen it is the only means of preventing an impairment of paid-upor assigned capital, as the case may be, subject to the condition thatwithin a given period of time, the deficiency shall be rectified.

21. (1) Every licensed commercial bank shall maintainliquid assets in such amount as may from time to time bedetermined by the Monetary Board having regard to the nature ofthe business carried on by such bank, which shall not in a dailyaverage each month, be less than such percentage of the total of itsliabilities, less its liabilities to the Central Bank and to the shareholders, to the holders of non-redeemable debt instruments and itsliabilities on repurchase agreements in relation to treasury bills orsecurities issued or guaranteed by the Government of Sri Lanka, oron such other assets as determined by the Monetary Board.

Provided, however, the percentage determined by the MonetaryBoard shall not be less than twenty per centum and not more thanforty per centum of the total of its liabilities, less its liabilities tothe Central Bank and to the shareholders.

(2) The Director of Bank Supervision may, by notice inwriting, require every licensed commercial bank to furnish to himsuch return or returns as he may deem necessary for the purposes ofsatisfying himself that the provisions of subsection (1) have beencomplied with, and every licensed commercial bank so noticed, shallfurnish such return or returns as may be required.

(3) Any licensed commercial bank which fails to comply withthe provisions of subsection (1) shall, within such time as may bedetermined by the Monetary Board, pay to the Central Bank acharge on the amount of the deficiency calculated at such rate asmay be determined by the Monetary Board.

(4) Any licensed commercial bank which fails to comply withthe provisions of subsection (3) shall be guilty of an offence underthis Act.

22. No licensed commercial bank incorporated or establishedwithin Sri Lanka by or under any written law shall pay anydividend on its shares and no licensed commercial bank incorporatedoutside Sri Lanka shall transfer abroad any profits earned in SriLanka, until all its capitalised expenses, including preliminaryexpenses and other items of expenditure not represented by tangibleassets, have been completely written off.

PART IV

OFF-SHORE BANKING BUSINESS

23. Unless authorized under section 76D no off-shore bankingbusiness shall be carried on except by a commercial bank Licensedto carry on off-shore banking and such bank shall carry on itsbusiness in accordance with such off-shore banking schemeformulated by the Monetary Board:

Provided that the banks specified in Schedule I, which on theappointed date are carrying on off-shore banking business under the“ Foreign Currency Banking Scheme ” established by the MonetaryBoard shall be issued a licence in terms of section 5 enabling suchbanks to carry on off-shore banking business under this Part.

24. (1) All off-shore operation of a licensed commercialbank under this Part, shall be carried on by its off-shore unit, andsubject to the provisions of subsection (2), Parts III, V and VI ofthis Act, shall not apply in respect of such off-shore bankingbusiness.

(2) The Monetary Board may by notice published in theGazette declare, that all or any of the provisions contained in Parts

III, V and VI of this Act shall apply in respect of all off-shorebanking business of a licensed commercial bank in general or inrespect of its off-shore banking business with residents only.

25. The Monetary Board may, by order made with theapproval of the Minister, authorise an off-shore unit of a licensedcommercial bank subject to such terms and conditions as theMonetary Board may, with the approval of the Minister, impose,having regard to the interests of national economy, to carry on all orany of the following businesses:—

(a) accept savings, time and demand deposits from anynon-resident in any designated foreign currencyprovided that, in the case of time deposits the value ofsuch deposits shall not be less than ten thousandUnited States dollars or its equivalent in any otherdesignated foreign currency or such higher amount asmay be determined by the Monetary Board: andprovided that funds in any account maintained in anoff shore unit shall not be withdrawable by cheque;

(b) borrow any sum in a designated foreign currency fromany non-resident;

(c) extend accommodation to any non-resident in anydesignated foreign currency;

(d) engage in any transaction in any designate foreigncurrency with any other off-shore unit; and

(e) engage in any other transaction authorised by theMonetary Board with the approval of the Minister, inany designated foreign currency.

26. The Monetary Board may, with the approval of theMinister, by order authorise licensed commercial banks to engage inoff-shore banking business in any or all of the businesses specifiedunder section 25 with a resident, subject to such terms andconditions as the Monetary Board may specify with the approval ofthe Minister having regard to the interests of national economy.

27. Every licensed commercial bank shall, in respect of itsoff-shore unit, prepare—

(a) a balance sheet as at the last working day of eachfinancial year of such licensed commercial bank;

(b) a profit and loss account in respect of such year.

28. The Monetary Board may specify the form of the balancesheet and profit and loss account referred to in section 27 and thebalance sheet and profit and loss account shall be prepared in suchform as is specified.

29. (1) Subject to the provisions of subsection (2), theprovisions of Parts III, VI and VII of Chapter V of the MonetaryLaw Act shall not apply in respect of off-shore banking business ofa licensed commercial bank.

(2) The Monetary Board may, by notice published in theGazette, declare that all or any of the provisions of Parts III, VI,and VII of Chapter V of the Monetary Law Act (Chapter 422), shallapply in respect of the off-shore banking business of a licensedcommercial bank in general or in respect of its off-shore bankingbusiness with residents only.

30. (1) Every commercial bank engaged in off-shorebanking business, shall appoint annually, a qualified auditor to auditthe accounts of its off-shore unit and such auditor shall submit areport to such licensed commercial bank in respect of the accounts,balance sheet and profit and loss account of such off-shore unit. Theauditor shall state in his report whether in his opinion, the balancesheet and profit and loss account are full and fair and properlydrawn up and whether they exhibit a true and correct statement ofaffairs of the licensed commercial bank.

(2) A certified copy of the report shall be sent to theMonetary Board, and if the Monetary Board is of the opinion thatthe auditor has not discharged his duty to the best of his ability theBoard may, order the licensed commercial bank to appoint anotherauditor for the purpose of preparing a fresh report.

31. The Monetary Board may cause an examination of anyoff-shore unit to be made by officers duly, authorised by it, in thatbehalf, in consequence of the auditor’s report, or the auditor’sfailure to submit a report, or because of other relevant informationthat affords the Monetary Board reasonable grounds to believe thatthe off-shore unit is not in a sound financial condition or that it isengaging in fraudulent, unsafe or unsound banking practices or thatthe requirements of this Part have not been complied with in thecarrying on of its business.

32. Every off-shore banking unit shall maintain the books,minutes, accounts, cash securities, vouchers, other documents andrecords as may be determined by the Monetary Board, having regardto the nature of the business carried on by such off-shore unit.

33. (1) It shall be lawful for the Director of BankSupervision or any officer of the Department of Bank Supervisionor any officer authorised under section 31—

(a) to require any director, officer or employee of any off-shore unit to furnish him with such information as hemay consider necessary to obtain, for the purpose ofascertaining the true condition of the affairs of anyoff-shore unit;

(b) to require any such director, officer, or employee toproduce for inspection by him at such time as he mayspecify any books, minutes, accounts, cash securities,vouchers, other documents and records in thepossession of such director, officer or employeecontaining or likely to contain any such information.

(2) It shall be the duty of every director, officer or employeeof any off-shore unit to afford to the Director of Bank Supervisionor to any officer of his department or any officer authorised undersection 31 whenever required so to do, in terms of subsection (1),the fullest opportunity to examine books, minutes, accounts, cashsecurities, vouchers, other documents and records in his possessioncontaining or likely to contain any such information.

(3) If any books, minutes, accounts, cash securities, vouchers,other documents and records are not produced or information notfurnished in accordance with the provisions of subsection (2), theofficer so defaulting shall be guilty of an offence under this Act.

34. Subject to the provisions of this Part, the Monetary Boardmay, from time to time, call for information, reports and returns asit may deem necessary for the purposes of this Part and may publishinformation and data extracted therefrom which does not discloseparticulars of individual transactions.

34 B . (1) Every officer of a licensed commercial bankoperating a numbered account on behalf of a customer and everyperson, who by reason of his capacity or office, has any access tothe records, registers, correspondence or any other material of suchbank relating to such numbered account shall keep absolute secrecywith regard to the contents thereof, in the interests of the customerto whom the account relates.

(2) Where a licensed commercial bank has opened anumbered account on behalf of a customer, the identity of the ownerof the numbered account shall be absolutely inviolate and everyofficer of such licensed commercial bank and every other personreferred to in subsection (1) shall not give, divulge or reveal anyinformation whatsoever regarding tine name or identity of the ownerof such numbered account to any individual, corporation, bank,court, institution, entity, department, official, agent, representative ofthe Government of Sri Lanka or any other government or to anyother legal or natural person, judicial or military authority, unless—

(a) the owner of such numbered account gives hispermission so to do; or

(b) legal proceedings are instituted by, or against suchlicensed commercial bank by, or against, the owner ofsuch numbered account relating to a bankingtransaction arising from such numbered account; or

(c) he is required to do so—

(i) by any provision of any law giving effect to aninternational convention on narcotics or hijacking,in any criminal proceedings instituted under thatlaw, in any court;

(ii) by an order of the Supreme Court, made onapplication therefor, on the ground that moneys in

such account have been, or are being, used infurtherance of an act which constitutes an offenceunder the Prevention of Terrorism Act, No. 48 of1979.

(3) For the purpose of this section “ numbered account ”means an account opened with a licensed commercial bankauthorised by the Monetary Board under repealed section 34A, thatis identified only by a number, code, word or such other means aswas determined by the Monetary Board.

(4) Notwithstanding the repeal of Part IVA by the Banking(Amendment) Act, No. 33 of 1995, the holder of a numberedaccount shall, within a period of two years commencing from suchdate as may be determined by the Monetary Board by Notificationpublished in the Gazette , close such account and until the close ofthe account be entitled to operate that account: Provided however nofunds shall be credited to any such numbered account, save andexcept any sum that may be payable as interest on the moneysdeposited in such account. Where the owner of a numbered accountfails to close such account within the period specified, such accountshall, fro m and after the date of expiry of that period, cease toenjoy the facilities granted to it by virtue of it being a numberedaccount.

PART V

ACCOUNTS, AUDIT , INFORMATION AND INSPECTION

35. Every licensed commercial bank shall prepare at theexpiration of each financial year—

(a) a balance sheet as at the last working day of suchfinancial year; and

(b) a profit and loss account in respect of such year.

36. (1) The balance sheet of a licensed commercial bankshall set out the state of affairs of such bank as at the end of thefinancial year to which such balance sheet relates.

(2) There shall be shown in the balance sheet or in anystatement annexed thereto—

(a) capitalised expenses not represented by tangible assetsunder separate headings, so far as they are not writtenoff;

(b) the market value of investments;

(c) the method adopted to value fixed assets if there hadbeen any valuation of such assets during the financialyear;

(d) the aggregate amounts of advances after the provisionsfor bad and doubtful debts;

(e) any increase or decrease in the provision fordepreciation, renewals or diminution in the value offixed assets;

(f) cash flow statement;

(g) reserves, provisions and liabilities distinguishable fromeach other;

(h) except in the case of the first balance sheet after thecoming into force of this Part of this Act thecorresponding amounts at the end of the immediatelypreceding financial year for all items shown in thebalance sheet.

37. There shall be shown in the profit and loss account or inany statement annexed thereto—

(a) the amount charged to revenue by way of provisionfor depreciation, renewals or diminution in value offixed assets;

(b) the amount charged to revenue for Sri Lanka incometax and other Sri Lanka taxation on profits anddistinguishable from such accounts, the amounts, ofmaterial, set aside or proposed to be set aside forliabilities in respect of tax due in the current year oftaxation or a succeeding year;

(c) the aggregate amount of dividends paid or proposed tobe paid;

(d) the amount of remuneration of auditors;

(e) the amount charged to revenue representing theaggregate amount of the emoluments of directors;

(f) the amount set aside or proposed to be set aside to, orwithdrawn from, reserves;

(g) under separate headings, the profit or loss or theincome and expenses arising from transactions such asare not usually carried on by banking companies andare carried on owing to circumstances of anexceptional or non-recurrent nature or by a change inthe basis of accounting;

(h) except in the case of the first profit and loss accountafter the coming into force of this Part of this Act, thecorresponding amount at the end of the immediatelypreceding financial year for all items shown in theprofit and loss account.

38. (1) Every licensed commercial bank incorporated orestablished within Sri Lanka by or under any written law shalltransmit within five months after the close of its financial year tothe Director of Bank Supervision, and publish at least once within

that period in a Sinhala, Tamil and English daily newspapercirculating in Sri Lanka, its audited balance sheet as at the close ofthe financial year, and its profit and loss account for such financialyear in respect of its business in and outside Sri Lanka including itsoff-shore banking business and exhibit them in a conspicuous placeat each of its places of business until the balance sheet and profitand loss account for the succeeding financial year are prepared andexhibited.

(2) Every licensed commercial bank incorporated outside SriLanka shall transmit to the Director of Bank Supervision, withinfive months after the close of its financial year, its audited balancesheet as at the close of the financial year and its profit and lossaccount for such financial year in respect of its business in SriLanka including its off-shore banking business and shall publishsuch balance sheet and its profit and loss account at least once in aSinhala, Tamil and English daily newspaper circulating in Sri Lankawithin such time as may be required by the Director and shallexhibit them in a conspicuous place at each of its places of businessuntil the balance sheet and profit and loss account for thesucceeding financial year are prepared and exhibited.

(3) The Monetary Board may specify the form of the balancesheet and profit and loss account referred to in this Part includingany disclosure requirements to be made and where such form isspecified, the balance sheet and the profit and loss account of everylicensed commercial bank shall be prepared in such form as may bespecified.

(4) Every licensed commercial bank shall within six monthsof the date of closure of its financial year, exhibit in a conspicuousplace in each of its places of business the consolidated balance sheetas at the end of such financial year setting out the state of affairs ofsuch commercial bank and of its subsidiary companies and associatecompanies until the consolidated balance sheet for the succeedingfinancial year is prepared and exhibited.

(5) The provisions of subsection (3) and subsection (4) ofsection 17 and the provisions of paragraph (c) of subsection (1) ofsection 46, as the case may be, shall apply in determining for thepurpose of subsection (4) of this section, whether a company is asubsidiary company or an associate company of a licensedcommercial bank.

(1) The Monetary Board may having regard to theneed to ensure that experienced and competent qualified auditors areengaged in auditing the accounts of licensed commercial banks,issue guidelines to the Director of Bank Supervision who shallselect from time to time in accordance with such guidelines, suchnumber of qualified auditors to audit the accounts of licensedcommercial banks and transmit a list of such selected qualifiedauditors to all licensed commercial banks.

(2) It shall be the duty of all licensed commercial banks toselect their auditors for purpose of auditing its accounts from andout of the list transmitted under subsection (1).

39. (1) Every licensed commercial bank shall appointannually from and out of the list issued by the Director of BankSupervision under section 38 A, a qualified auditor to audit theaccounts of such bank. The duties of such auditor shall be—

(a) in the case of a licensed commercial bankincorporated or established within Sri Lanka by orunder any written law, to prepare a report in respectof the accounts, balance sheet and profit and lossaccount examined by him, to be submitted to each ofits shareholders; and

(b) in the case of a licensed commercial bankincorporated outside Sri Lanka, to submit a report toits head office in respect of the accounts, balancesheet and the profit and loss account examined byhim.

(2) Every such report, which shall be completed within threemonths of the end of the financial year, shall contain a statement bythe auditor as to whether in his opinion the balance sheet and profitand loss account contain a full and fair and properly drawn upstatement and whether they represent a true and correct statement ofthe bank’s affairs, and if the auditor has called for an explanation orany information from the officers or agents of such licensedcommercial bank whether such explanation or information issatisfactory.

(3) The report of the auditor made in accordance withsubsections (1) and (2) shall, in the case of a licensed commercialbank incorporated or established within Sri Lanka by or under anywritten law, be read together with the report of the Board ofDirectors of the licensed commercial bank at the annual generalmeeting of its share-holders, and, in the case of a licensedcommercial bank incorporated outside Sri Lanka, be transmitted tothe head office of such licensed commercial bank. A copy of suchreport shall be transmitted to the Director of Bank Supervision.Where the Director of Bank Supervision is not satisfied with thereport of the auditor, he may make a request to the Monetary Boardfor the appointment of a new auditor to submit a fresh report.

(3A) Notwithstanding the provisions of subsection (3), theDirector of Bank Supervision may, on receipt of the report referredto in that subsection, call upon the auditors to—

(a) submit such additional information in relation to theaudit, as the Monetary Board considers necessary;

(b) enlarge or extend the scope of the audit of thebusiness and affairs of the bank;

(c) carry out such other examination required by him orrecommend to the licensed commercial bank anyprocedure in respect of a particular matter; and

(d) submit a report on any of the matters referred to inparagraphs (b) and (c),

and the cost of such additional audit or such other work shall bemet by the Central Bank.

(4) If a licensed commercial bank fails to appoint an auditorunder subsection (1) or the Director of Bank Supervision has madea request to the Monetary Board in terms of subsection (3), theMonetary Board shall have the power to appoint an auditor for suchlicensed commercial bank.

(5) Every auditor appointed under subsection (1) or (4) shallhave a right of access at all times to the books, accounts andvouchers and all documents and records belonging to the licensedcommercial bank, which he considers necessary for the performanceof his duties, and he shall be entitled to require from the officers ofsuch bank such information and explanations as he thinks necessaryfor the performance and proper discharge of his duties and functionsas auditor.

(6) The remuneration of the auditor, whether appointed by thelicensed commercial bank or by the Monetary Board, shall be paidby the licensed commercial bank and, in the case of an auditorappointed by the Monetary Board under subsection (4), he shall bepaid such amount as may be determined by the Monetary Board.

(7) No person having an interest in any licensed commercialbank or any director, officer, employee, agent of such licensedcommercial bank shall be eligible for appointment as auditor for thatlicensed commercial bank. Any person appointed as auditor whoshall after such appointment acquire any interest in or become adirector, officer, employee or agent of such licensed commercialbank shall forthwith cease to act as such auditor.

(8) Nothing contained in this section shall apply to the auditof the accounts of any licensed commercial bank which is a publiccorporation.

40. Where any licensed commercial bank has, due tocircumstances beyond its control, failed to comply with theprovisions of section 35, or where an auditor appointed by suchlicensed commercial bank has, due to reasons beyond his control,failed to complete the audit report as specified, the Monetary Boardmay, on an application made by such licensed commercial bank,grant a reasonable period of time for compliance with the precedingprovisions of this Part.

41. (1) The Monetary Board shall, from time to time, causean examination of any licensed commercial bank or any of itssubsidiaries, to be made by an officer duly authorised by it,whenever it appears to the Board that such examination is necessary

or expedient in order to examine whether such licensed commercialbank is in a sound financial condition and whether the carrying onof business by the licensed commercial bank has been in accordancewith the provisions of this Act or any other written law.

(2) Every licensed commercial bank and any subsidiary ofsuch licensed commercial bank referred to in subsection (1) shallpermit the officer authorised by the Monetary Board, to inspect atany time as requested by such officer all books, minutes, accounts,cash securities, vouchers, other documents and records relating to itsbusiness and shall be required to furnish such informationconcerning its business as may be requested by such officer.

(3) If any books, minutes, accounts, cash, securities, vouchers,other documents and records are not produced or information notfurnished in accordance with the provisions of subsection (2) or ifany information furnished or item produced is false in any materialparticular the defaulting licensed commercial bank or subsidiary orboth, as the case may be, shall be guilty of an offence under thisAct.

PART VI

DISQUALIFICATION FOR APPOINTMENT AS D IRECTOR,SECRETARY, &C. OF LICENSED COMMERCIAL BANKS

42. (1) No person shall be appointed, elected or nominatedas a director of a licensed commercial bank or continue as adirector of such bank unless that person is a fit and proper personto hold office as a director of such bank and if he is not preventedfrom doing so by any provision of this Act or of any other writtenlaw.

(2) In determining whether a person would, for the purposesof subsection (1) be considered to be a fit and proper person, thefollowing matters shall be taken into consideration:—

(a) that such person possesses academic or professionalqualifications or effective experience in banking,finance, business or administration or of any otherrelevant discipline;

(b) that there is no finding of any regulatory orsupervisory authority, professional association, anyCommission of Inquiry, tribunal or other bodyestablished by law in Sri Lanka or abroad, to theeffect that such person has committed or has beenconnected with the commission of, any act whichinvolves fraud, deceit, dishonesty or any otherimproper conduct;

(c) that such person is not subject to an investigationor inquiry consequent upon being served withnotice of a charge involving fraud, deceit,

dishonesty or other similar criminal activity, by anyregulatory authority, supervisory authority,professional association, Commission of Inquiry,tribunal or other body established by law, in SriLanka or abroad;

(d) that such person has not been convicted by anyCourt in Sri Lanka or abroad in respect of a crimecommitted in connection with financial managementor of any offence involving moral turpitude;

(e) that such person is not an undischarged insolventnor has he been declared a bankrupt in Sri Lankaor abroad;

(f) that such person has not failed, to satisfy anyjudgement or order of any court whether in SriLanka or abroad, or to repay a debt;

(g) that such person has not been declared by a courtof competent jurisdiction in Sri Lanka or abroad, tobe of unsound mind;

(h) that such person has not been removed orsuspended by an order of a regulatory orsupervisory authority from serving as a director,Chief Executive Officer or other officer in any bankor financial institution or corporate body, in SriLanka or abroad;

(i) tor, Chief Executive officer or held any otherposition of authority in any bank or financialinstitution —

(i) whose license has been suspended orcancelled; or

(ii) which has been wound up or is being woundup, or which is being compulsorily liquidated.

(3) (a) A director or an employee of a licensed commercialbank shall not be appointed, elected or nominated asa director of another licensed commercial bank or alicensed specialised bank except where such licensedcommercial bank or such licensed specialised bank isa subsidiary company or an associate company of thefirst mentioned licensed commercial bank.

(b) An employee of a licensed commercial bank may beappointed, elected or nominated as a director of thatbank subject to the following conditions :—

(i) the number of employees appointed, elected ornominated as directors (hereinafter referred toas “executive directors”) shall not exceed one-third of the number of members of the Boardof Directors of the bank;

(ii) where employees are appointed, elected ornominated as executive directors one of themshall be the Chief Executive Officer of thebank and the others shall be such officers ofthe bank performing executive functions asmay be determined for the purposes of section44a;

(iii) a meeting of the Board of Directors of thebank shall not be duly constituted although thenumber of Directors required to constitute thequorum at such meeting is present unless morethan one half of the number of directorspresent at such meeting are directors who arenon-executive directors.

(4) Every licensed commercial bank shall notify the Directorof Bank Supervision in such form as may be determined by theDirector, the name, address and occupation of —

(a) each person proposed to be appointed, elected ornominated as a director of the bank, before suchappointment, election or nomination as the casemay be;

(b) each person appointed, elected or nominated as adirector of the bank, within fifteen days after suchappointment, election or nomination as the casemay be;

(c) any director of the bank, if the bank is aware thatsuch person is not a fit and proper person, or wheresuch director becomes otherwise ineligible to holdoffice as such director, within fifteen days of itsbecoming aware of such facts.

(5) The Director of Bank Supervision may, having regard tothe matters specified in subsections (1), (2) and (3), approve orrefuse to approve the proposed appointment, election or nominationas the case may be as a director of the licensed commercial bank ofthe person referred to in paragraph (a) of subsection (4) and shall,within thirty days after submission of the name of such personunder that subsection, notify the bank of such approval or refusal,giving reasons therefor. It shall be the duty of the bank tocommunicate such notification to the person to whom it relates.

(6) A person aggrieved by the refusal of the Director of BankSupervision under the provisions of subsection (5) to approve hisproposed appointment, election or nomination as the case may be, asa director of the relevant bank, may within fourteen days of the dateof receipt of the communication sent by the bank under subsection(5) tender written objections against such refusal to the MonetaryBoard. Upon receipt of such objections, the Monetary Board shallafter considering the reasons given by the Director of BankSupervision in his notification and the objections of the aggrieved

party, and such other matters which in its opinion merit inquiry,decide either to confirm the refusal made by the Director of BankSupervision or approve the proposed appointment, election ornomination as the case may be, of such person as a director of thebank.

(7) A licensed commercial bank shall not appoint, elect ornominate as a director of the bank, a person whose appointment,election or nomination as the case may be has not been approvedunder subsection (5) or subsection (6):

Provided that a person whose name has been submitted to theDirector of Bank Supervision for approval under subsection (5) maybe appointed, elected or nominated as the case may be as a directorof the bank at any time before the notification of the decision of theDirector under that subsection. Where however the Director refusesto grant such approval under that subsection and notifies the bankaccordingly and the bank notifies such person accordingly, theperson shall on the receipt of the notification by the bank, ceaseforthwith to hold office as a director of the bank subject to anydecision made by the Monetary Board under subsection (6).

(8) Where the Director of Bank Supervision, having regard tothe matters specified in subsections (1), (2) and (3) is satisfied atany time that a person appointed, elected or nominated as the casemay be as a director of a licensed commercial bank is not a fit andproper person or that he is otherwise ineligible for appointment,election or nomination as the case may be or that the election,appointment or nomination as the case may be of a person as adirector of a licensed commercial bank contravenes the provisions ofsubsection (3) or subsection (7) the Director shall submit a report tothe Monetary Board. The Board may, if it is satisfied onconsideration of the report and such other matters which in itsopinion merit inquiry, that the person is not a fit and proper personor the election, appointment or nomination as the case may be ofthe person contravenes the provisions of subsection (3) or subsection(7) —

(a) direct the bank in writing to remove such personfrom the office of director within such period asmay be specified in such direction, giving thereasons for such direction; and

(b) notify in writing the person whose removal isrequired under such direction, of such direction, acopy of which shall be annexed to suchnotification,

and the bank shall within the period specified in the directionremove such person from the office of the director and notify suchperson in writing of his removal from the office of director, andshall take such steps as are necessary to inform the shareholders ofthe bank and the Registrar of Companies of such removal. Theremoval of a director in accordance with the directions given underparagraph (a) shall take effect from the date of receipt by the

director of the notification of removal given by the bank,notwithstanding the provisions of any other law or the Articles ofAssociation of the bank.

(9) A licensed commercial bank which fails to comply withany direction given under paragraph (a) of subsection (8) within theperiod specified in such direction and a director who has beenserved with a notice under paragraph (b) of section (8) whocontinues to function as a director, shall each be guilty of anoffence and shall be liable on conviction after trial before aMagistrate to a fine of rupees five hundred thousand and shall —

(a) be liable in the case of the bank, to a further fineof rupees one hundred thousand, in respect of eachday the bank fails to comply with such directionafter such conviction; and

(b) be liable in the case of a director of the bank, to afurther fine of rupees one hundred thousand inrespect of each day such director continues asdirector after such conviction.

(10) Any person who is aggrieved by the removal of suchperson from the office of director of a licensed commercial bankunder subsection (8), may appeal in writing against such removal tothe Monetary Board and the Monetary Board shall after consideringthe appeal, either confirm such removal or issue new directions tothe bank to reappoint him to his former office as a director of suchbank.

(11) Where any written law, other than this Act, provides forthe appointment of a person as a director of a licensed commercialbank by virtue of an office the person holds, the precedingprovisions of this section shall not apply to the appointment of thatperson as a director of such bank.

(12) The responsibilities of the Board of Directors shallinclude the overseeing of the management of the affairs of theBank.

43. A licensed commercial bank shall appoint as its Secretary,a person who possesses such qualifications as may be prescribed fora secretary of a company under subsection (1) of section 176 of theCompanies Act, No. 17 of 1982 and on being appointed theSecretary, shall unless such person is already an employee of suchlicensed commercial bank, become an employee of that bank andshall not become an employee of any other institution so long assuch person continues to be employed as the Secretary of suchlicensed Commercial Bank.

44. (1) No person shall be appointed as Manager, Secretaryor other official of a licensed commercial bank and any personappointed as Manager, Secretary or other official of such bank shallbe removed from office if he—

(a) is a person, who having been declared insolvent or abankrupt under any law in Sri Lanka or in any othercountry, is an undischarged insolvent or bankrupt; or

(b) is serving or has served a sentence of imprisonmentimposed by any court in Sri Lanka or by any othercountry; or

(c) has been convicted of any act which is of a fraudulentor illegal character.

(2) No person who has been a director or has been a chiefexecutive officer of a licensed commercial bank which has beenwound up by an Order of court shall, without the written approvalof the Monetary Board, act as a director or chief executive officerof a licensed commercial bank.

(3) No licensed commercial bank shall employ or be managedby a managing agent other than an employee of such licensedcommercial bank.

44A. (1) The Chief Executive Officer and such other officersof a licensed commercial bank performing executive functions asmay be determined by the Monetary Board shall be fit and properpersons and the provisions of subsection (2) of section 42 shall,mutatis mutandis, apply in determining whether the Chief ExecutiveOfficer and such other officers performing executive functions arefit and proper persons.

(2) The provisions of subsections (5) (6), (8), (9) and (10) ofsection 42 shall apply to the Chief Executive Officer and officersperforming executive functions referred to in subsection (1) of thissection and to the licensed commercial bank of which such personis a Chief Executive Officer or an officer performing executivefunctions as they apply to a director of a licensed commercial bankand to the licensed commercial bank of which such person is adirector.

PART VII

CONTROL OVER LICENSED COMMERCIAL BANKS

45. (1) Where the Director of Bank Supervision is satisfiedthat a licensed commercial bank—

(a) is engaged in unsafe and unsound practices in thecarrying on of its business which is likely tojeopardise its obligations to its depositors or islikely to result in such bank being unable to meetits obligations; or

(b) has contravened or failed to comply with theprovisions of this Act or of any regulation,direction, order or other requirement made or givenunder this Act or has contravened or failed to

comply with any other written law which in theopinion of the Director of Bank Supervision relatesto banking or finance,

the Director of Bank Supervision may, subject to subsection (2)issue an order directing the licensed commercial bank,—

(i) to cease and desist from any such practice,contravention or failure;

(ii) to comply with the provisions of this Act or ofsuch other written law, or of any regulation,direction, order or other requirement made or givenunder this Act;

(iii) to take necessary action to correct the conditionsresulting from such practice, contravention orfailure,

within such period as may be specified in the order.

(2) An order issued under subsection (1) shall —

(a) specify the unsafe and unsound practice engaged inor the provisions of this Act or other written law orthe regulation, direction, order or other requirementmade or given under this Act that are contravenedor not complied with;

(b) be served personally on, or be sent by registeredpost to, the licensed commercial bank;

(c) take effect on the date of its service on the licensedcommercial bank, notwithstanding an appeal madeunder subsection (3), unless the Monetary Boardotherwise directs.

(3) Any licensed commercial bank aggrieved by an orderissued under subsection (1) may, before the expiration of thirty daysof the date of service of the order, appeal to the Monetary Boardand the Monetary Board shall, within thirty days of the date ofreceipt of the appeal confirm, vary or revoke such order.

(4) Without prejudice to anything contained in section 9, andnotwithstanding that an appeal has been tendered to the MonetaryBoard under subsection (3), a licensed commercial bank which failsto comply with an order under subsection (1) within the periodspecified in the order, shall be guilty of an offence under this Actand shall be liable on conviction upon trial by a Magistrate to a fineof one million rupees and to a further fine of one hundred thousandrupees for each day of non-compliance with the order after theconviction, provided that, where an appeal has been tendered undersubsection (3), proceedings shall not be instituted before aMagistrate until the decision of the Monetary Board is conveyed tothe licensed commercial bank.

46. (1) In order to ensure the soundness of the bankingsystem, the Monetary Board may issue directions to licensedcommercial banks or for reasons to be stated in writing to any oneor more of them regarding the manner in which any aspect of thebusiness of such bank or banks is to be conducted and withoutprejudice to the foregoing, may, also issue directions specifying—

(a) the class or classes of advances which may or maynot be made by such bank;

(b) the margins to be maintained in respect of securedadvances;

(c) the maximum amount of accommodation which havingregard to the equity capital, reserves and deposits ofsuch licensed commercial bank and other relevantconsiderations, as may be made by such bank —

(i) to any single company, public corporation, firm,association of persons or an individual; or

(ii) in the aggregate to—

(a) an individual, his close relations or to acompany or firm in which he has asubstantial interest;

(b) a company and one or more of thefollowing:—

(aa) its subsidiaries;

(bb) its holding company;

(cc) its associate company;

(dd) a subsidiary of its holding company; or

(ee )a company in which such company or itssubsidiary, or its holding company, or asubsidiary of its holding company, has asubstantial interest;

(d) the maximum percentage of the share capital in alicensed commercial bank incorporated in Sri Lanka—

(i) held by a company, an incorporated body, or anindividual;

(ii) held in the aggregate by—

(a) a company and one or more of thefollowing:-

(aa) its subsidiaries;

(bb) its holding company;

(cc) a subsidiary of its holding company; or

(dd) a company in which such company orits subsidiary, or its holding company, or

a subsidiary of its holding company hasa substantial interest; or

(b) an individual and one or more of thefollowing:—

(aa) his close relations;

(bb) a company in which he has a substantialinterest or in which his close relationhas a substantial interest;

(cc) the subsidiary of such company;

(dd) a holding company of such company;

(ee) a subsidiary of such company’s holdingcompany;

(ff) a company in which such company, orits subsidiary, or its holding company ora subsidiary of its holding company hasa substantial interest; or

(gg) an incorporated body other than acompany in which such individual or hisclose relation has a substantial interest;or

(b) companies in each of which an individual orcompany as the case may be, has eitherdirectly, indirectly or beneficially asubstantial interest or significant managementinterest.

For the purposes of this Act a company is deemed to be an“associate company” of another company where not less than twentyper centum and not more than fifty per centum of its shares are heldby that other company.

(2) A direction issued under subsection (1) shall have effectnotwithstanding that such direction will require a licensedcommercial bank to effect a change in the nature or amount of anyof its assets or liabilities, whether acquired or incurred before orafter the date of the coming into operation of this Act, provided thata licensed commercial bank which is required to so effect a change,is afforded a period of twelve months from the date of suchdirection or such longer period as may be granted by the MonetaryBoard in which to comply with that requirement.

(3) In order to comply with a direction issued to it underparagraph (d) of sub-section (1), a licensed commercial bank maydirect a person holding shares in such bank to reduce the number ofshares held by such person in such bank, whether such shares wereacquired by such person before or after the appointed date, withinsuch period as may be specified in such direction; and it shall bethe duty of such person to comply with such direction.

46A. The Monetary Board shall have the power to requireboth general and specific provisions relating to bad and doubtfuldebts, to be made by licensed commercial banks and it shall be theduty of all licensed commercial banks to conform with therequirement so imposed.

47. (1) The provisions of this section shall apply only tolicensed commercial banks carrying on domestic banking business.

(2) A licensed commercial bank shall not grantaccommodation for the purchase of its own shares nor grantaccommodation against the security of —

(a) its own shares;

(b) shares of companies which have a substantialinterest in it; or

(c) shares of companies in which the companiesreferred to in paragraph (b) have a substantialinterest:

Provided that nothing in this section shall be taken to prohibitthe provision by the licensed commercial bank, in accordance withany scheme for the time being in force, of money for the purchaseof or subscription for fully paid shares in the licensed commercialbank being a purchase or subscription by Trustees of or for sharesto be held by or for the benefit of employees of the l icensedcommercial bank:

Provided further that the amounts of money so provided andthe aggregate principal amount of such accomodation outstanding atany one time, shall not exceed the equivalent of ten percentum ofthe total nominal amount of the subscribed and paid up share capitalof the bank or ten percentum of the unimpaired capital funds of thebank, whichever is greater.

(3) A licensed commercial bank shall not grant anyaccommodation to any of its directors or to a close relation of suchdirector unless such accommodation is sanctioned at a meeting of itsBoard of Directors with not less than two-thirds of the number ofdirectors constituting the Board of Directors (other than the directorconcerned) voting in favour of such accommodation and, exceptwhere such accommodation is provided by the issue of a credit card,such accommodation is secured by such security as may from timeto time be approved by the Monetary Board.

(4) Accommodation granted by a licensed commercial bank toa director or to a close relation of such director shall not exceedsuch limit as may be approved by the Monetary Board from time totime by Order published in the Gazette.

(5) A licensed commercial bank shall not grant anyaccommodation to a concern in which any director of the licensedcommercial bank has a substantial interest, being an interestacquired either before or after the appointment as the director,unless such security as may from time to time be approved by theMonetary Board is given and such accommodation is sanctioned at ameeting of the Board of Directors of the licensed commercial bankby the votes of not less than two thirds of the number of itsdirectors other than the Director concerned.

(6) Where any accommodation has been granted by a licensedcommercial bank to a person or a close relation of a person or toany concern in which the person has a substantial interest and if theperson is a director of that licensed commercial bank on theappointed date or is appointed a director after the appointed date,steps shall be taken to obtain such security as may be approved forthat purpose by the Monetary Board, within one year from theappointed date or from the date of appointment as director,whichever is applicable:

Provided that the provisions of this section shall not apply to adirector who at the time of the grant of an accommodation, was anemployee of the bank and the accommodation was granted under ascheme applicable to the employees of such bank.

(7) Where such security has not been provided as specified insubsection (6), the licensed commercial bank shall take steps torecover any amount due on account of any accommodation togetherwith interest, if any, due thereon—

(a) within the period specified at the time of the grant ofaccommodation or at the expiry of a period of sixmonths of the termination of the period specified insubsection (6), whichever is earlier;

(b) where no period has been specified, at the expiry of aperiod of one year of the termination of the periodspecified in subsection (6):

Provided that the Monetary Board may, in any case,on an application in writing made to it by the licensedcommercial bank in that behalf, extend the period forthe recovery of the accommodation until a date, notbeyond the period of three years commencing fromthe expiry of six months specified in paragraph (a):

Provided further, that the provisions of this subsectionand of subsection (6) shall not apply if and when thedirector concerned vacates such office whether bydeath, retirement, resignation or otherwise.

(8) Where no security has been provided within the periodspecified in subsection (6), or the amount due has not been repaidin terms of subsection (7) in respect of an accommodation granted

to a director or to a concern in which the director has a substantialinterest, such director shall be deemed to have vacated office on theexpiry of the period specified in subsection (7).

(9) Every director of a licensed commercial bank, who is inany manner whatsoever, whether directly or indirectly, interested inany accommodation or proposed accommodation from that licensedcommercial bank, shall as soon as is practicable, declare the natureof his interest to the Board of Directors and the Secretary orManager of such licensed commercial bank shall cause thedeclaration to be circulated forthwith to all the directors.

(10) A director shall not take part in any deliberations ordecisions of the Board with regard to any business transacted orproposed to be transacted by a licensed commercial bank in whichthe director or a close relation of the director, or a concern in whichthe director has a substantial interest, is interested, and the directorshall withdraw from the meeting of the Board at which suchbusiness is discussed or transacted while the deliberation is inprogress or decision is being made.

(11) No accommodation granted by a licensed commercialbank under subsection (3) or subsection (5) or any part of suchaccommodation or any interest due thereon shall be remitted withoutthe prior approval of the Monetary Board and any remission withoutsuch approval shall be void and of no effect.

(11 A) Where any accommodation is granted by a licensedcommercial bank under subsection (3) or subsection (5) during thecourse of any financial year, such accommodation shall be disclosedin the accounts for that financial year and for each subsequentfinancial year till such accommodation has been repaid or settled infull.

(12) Any director who contravenes the provisions of sub-sections (9) and (10) shall be guilty of an offence under this Act.

(13) For the purpose of this section—

“ company ” shall not include a company incorporatedoutside Sri Lanka ;

“ director ” shall not include a director of a licensedcommercial bank incorporated outside Sri Lanka.

48. (1) Nothwithstanding anything contained in any otherwritten law or in any contract, no licensed commercial bank shalldirectly or indirectly deal in the buying or selling or bartering ofgoods, except in connection with the realisation of security given toor held by it, or engage in any trade, or buy, sell or barter goodsfor others, otherwise, than in connection with bills of exchangereceived for collection or negotiation or with such of its business asis referred to in Schedule II or in any other law or in the Bank ofCeylon Ordinance (Chapter 397) or in the People’s Bank Act,No. 29 of 1961, where the provisions of these enactments areapplicable.

(2) The provisions of the preceding subsection shall not applyto any such business as aforesaid, which was being carried on by abank on the appointed date:

Provided that the said business shall be completed before theexpiry of one year from the appointed date.

48A. A licensed commercial bank shall not purchase or in anyother way acquire any immovable property or any right therein,exceeding in the aggregate such percentage of its capital funds asmay be determined by the Monetary Board from time to time,except as are reasonably required for the purpose of conducting itsbanking business or of housing or providing amenities for its staff:

Provided this restriction shall not prevent the bank fromaccepting any immovable property as security for a debt and in theevent of default in payment of the debt, from holding suchimmovable property until its sale at the earliest opportunity.

49. Without the prior approval obtained in writing of theDirector of Bank Supervision, no licensed commercial bank shallsell, transfer, assign or dispose of any of its immovable assets belowthe market value of the assets or increase the valuation of the assetsas recorded in the books of the bank above the market value of theassets.

49A. Any licensed commercial bank which considers that itis, or is likely to be unable to meet its obligations or is about tobecome insolvent or is about to suspend payments due to depositorsand other creditors, shall forthwith inform the Director of BankSupervision of that fact.

PART VIIA

VESTING THE BANKING BUSINESS OF A L ICENSED

COMMERCIAL BANK

49B. (1) Whereupon a report made by the Director of BankSupervision, the Monetary Board is satisfied that any licensedcommercial bank is unable to carry on banking business in SriLanka, or is unable to meet the demands of its depositors and otherpersons who have had transactions with such licensed commercialbank (in this Part of this Act referred to as “ the defaulting bank ”)and that its continuance in business is likely to involve seriouseconomic loss to, and to adversely affect, the monetary andbanking system and the national economy, the Monetary Board may,notwithstanding the provisions of any other law to the contrary, byOrder published in the Gazette, vest the business carried on by adefaulting bank being a business which it is authorised to carry onby or under the Act or such part thereof as the Monetary Board maydetermine, in another licensed commercial bank (in this Part of thisAct referred to as the “ acquiring bank ”) which consents to suchvesting.

(2) For the purpose of subsection (1) the “ business carried onby a defaulting bank ” includes—

(a) all immovable and movable property owned by thedefaulting bank on, the day preceding the relevantdate (including cash balances, reserve funds,investments and deposits) ;

(b) all rights, powers, privileges, authorities and interestsarising in, or out of any property, movable orimmovable, owned by the defaulting bank on the daypreceding the relevant date;

(c) all the liabilities of the defaulting bank and subsistingon the day preceding the relevant date; and

(d) all books, accounts and documents relating orappertaining, to such undertaking in Sri Lanka.

49 C . No order under section 49 B shall be made by theMonetary Board unless—

(a) the Monetary Board is satisfied that the proposedacquiring bank, is capable of carrying on in acompetent manner the business of the defaultingbank proposed to be vested, and of meetingliabilities of the defaulting bank to its depositorsand creditors pertaining or relating to the businessproposed to be vested;

(b) the proposed acquiring bank agrees in writing tocomply with such terms and conditions as may bespecified by the Monetary Board relating to themanner in which—

(i) any existing assets of the defaulting bankpertaining or relating to the business proposedto be vested, are to be used and any existingliabilities of the defaulting bank pertaining orrelating to the business proposed to be vestedare to be met;

(ii) any payments due to a sovereign Governmentfrom the defaulting bank are to be made.

49D. With effect from the date of publication of the Orderunder section 49B in the Gazette, (in this Part of this Act referred toas the “ relevant date ”) vesting the business of the defaulting bankor part thereof in the acquiring bank—

(a) the acquiring bank shall have control and possessionof the vested business of the defaulting bank, andbecome the transferee of the vested business of suchdefaulting bank;

(b) the licence issued under this Act to the defaultingbank to carry on the business vested in the acquiring

bank shall be modified to the extent necessary toenable the defaulting bank to carry on such part ofits business as has not been vested in the acquiringbank;

(c) the acquiring bank shall comply with such terms andconditions as are agreed to by such bank underparagraph (b) of section 49 C and such otherdirections as the Monetary Board may give to suchbank under this Act; and

(d) the licence issued under this Act to the defaultingbank to carry on banking business, shall where bothdomestic and off-shore banking business of suchbank are vested in the acquiring bank, be deemed tobe cancelled.

49E. Notwithstanding anything to the contrary in this Act orany other written law, the liability of the acquiring bank to meet thedemands of any foreign currency depositor of the defaulting bank,in case of the foreign currency deposits of the defaulting bank notbeing made available to the acquiring bank, shall be only in respectof such depositors as agree to accept the terms and conditions ofany scheme for the grant of relief to such depositors, as may beformulated by the Monetary Board, upon a review of the business ofthe defaulting bank and only to the extent set out in such scheme:

Provided, however, that in the event of such foreign currencydeposits being made available to the acquiring bank or the acquiringbank recovering such foreign currency deposits or other assetsabroad of the defaulting bank, the Monetary Board shall have thepower to give directions to the acquiring bank with regard to thepayment to such foreign currency depositors, of the deposits somade available or deposits and other assets so recovered, and theacquiring bank shall comply with such directions.

49F. (1) For the purpose of ascertaining the value of thevested business of the defaulting bank on the day immediatelypreceding the relevant date, the Director of Bank Supervision shallcause an audit of such vested business to be conducted by aqualified auditor appointed by him with the approval of theMonetary Board.

(2) The auditor appointed under subsection (1) shall submit areport to the Director of Bank Supervision within three months fromthe date of his appointment and the Director of Bank Supervisionshall forward such report to the Monetary Board and the MonetaryBoard shall consider the report and if necessary, require the Auditorto furnish any further information, or explanations as it mayconsider necessary.

(3) The auditor appointed under subsection (1) shall examinethe accounts of the defaulting bank and ascertain the correctness ofthe balance sheet and furnish a report stating—

(a) whether he has or has not obtained all the informationand explanations required by him;

(b) whether the balance sheet and accounts referred to inthe report are properly drawn up so as to exhibit atrue and fair view of the defaulting bank’s affairs; and

(c) the value of the assets and liabilities of the vestedbusiness.

(4) the Monetary Board, after considering the report of theauditor, shall direct the acquiring bank to pay in such manner andwithin such time as it may specify the value of the vested businessto the defaulting bank or its liquidators or successors, as the casemay be.

(5) The payment required to be made to the defaulting bankin pursuance of a direction under subsection (4) and all paymentsrequired to be made to the auditor appointed under subsection (1),shall be made by the acquiring bank in accordance with such termsand conditions as may be determined by the Monetary Board.

49G. With effect from the relevant date—

(a) all contracts, deeds, bonds, agreements, powers ofattorney, grants of legal representation, and otherinstruments of whatever nature pertaining, or relatingto the vested business of the defaulting bank andsubsisting, or having effect on the day immediatelypreceding the relevant date, and to which thedefaulting bank is a party or which are in favour ofthe defaulting bank, shall be deemed with effectfrom the relevant date to be contracts, deeds, bonds,agreements, powers of attorney, grants of legalrepresentation or other instruments entered in to orgranted, as the case may be, by the acquiring bank;

(b) all actions and proceedings of whatever natureinstituted by or against the defaulting bank pertainingor relating to the vested business of the defaultingbank and pending on the day immediately precedingthe relevant date, shall be deemed with effect fromthe relevant date to be actions and proceedingsinstituted by or against the acquiring bank, and maybe continued or prosecuted accordingly;

(c) all such officers and servants of the defaulting bankas are connected with such part of the business ofthe defaulting bank as was vested or all the officersand servants of the defaulting bank where theentirety of the business of the bank is vested, as thecase may be, on the day immediately preceding therelevant date, who are not offered employment withthe acquiring bank, shall be entitled to the paymentof compensation.

49H. Where any officer or servant of the defaulting bank isentitled to be paid compensation, the acquiring bank shall determinethe amount of compensation that shall be paid in consultation withthe Commissioner of Labour and such determination shall bedeemed not to affect the right such officer or servant may haveunder any other written law.

49J. Any person who contravenes or fails to comply with anyprovision of this Part or term or condition imposed thereunder shallbe guilty of an offence under this Act.

49K. Nothing contained in the provisions of paragraph (c) ofsubsection (1) of section 12 shall apply, in relation to the vesting ofbanking business of a defaulting bank or part thereof, to anacquiring bank.

49 L. In this Part of this Act unless the context otherwiserequires—

“ value of the vested business ” means the value of theassets of the defaulting bank vested in the acquiringbank by virtue of an Order made under section 49 B

(excluding unrecoverable assets as determined by theauditor appointed under section 49F) less the value ofthe liabilities of the defaulting bank vested in theacquiring bank, by virtue of such Order;

“ vested business ” in relation to an acquiring bank or adefaulting bank, means the banking business of thedefaulting bank or part thereof, which is vested in suchacquiring bank by an Order under section 49B.

PART VIII

LIQUIDATION OF LICENSED COMMERCIAL BANKS INCORPORATED

WITHIN SRI LANKA AND CLOSURE OF BRANCHES OF LICENSED

COMMERCIAL BANKS INCORPORATED OUTSIDE SRI LANKA

50. The Director of Bank Supervision shall be appointed asthe liquidator for the purposes of this Part.

51. No voluntary liquidation of a licensed commercial bankincorporated or established in Sri Lanka by or under any written lawshall be effected without the prior authorisation of the MonetaryBoard obtained in writing. The authorisation shall be granted only ifit appears to the Monetary Board that—

(a) the licensed commercial bank is solvent and hassufficient liquid assets to repay its depositors andother creditors without delay; and

(b) the liquidation has been approved by the affirmativevote of the shareholders of at least three-fourths of theoutstanding shares entitled to vote at a meeting calledexpressly for this purpose:

Provided that if the liquidation is to be effected inwhole or in part through the sale of any of the assetsof the licensed commercial bank to, and theassumption of its deposit liabilities by, anotherlicensed commercial bank, the Monetary Board may,upon a finding of imminent danger of insolvency,waive the requirement for shareholder approval:

Provided further, that the provisions of paragraph (c)of subsection (1) of section 12 shall not apply to suchassumption of liabilities.

52. Where a licensed commercial bank has received theauthorisation of the Monetary Board to liquidate, such bank shall—

(a) immediately cease to carry on business, exercisingonly such powers as are necessary to effect an orderlyliquidation;

(b) repay sums of money due to its depositors and othercreditors;

(c) wind up all operations undertaken prior to the receiptof the authorisation.

53. Any licensed commercial bank which is subject tovoluntary liquidation shall, within thirty days of the receipt of theauthorisation referred to in section 51 cause a notice of voluntaryliquidation, to be sent by registered post to all depositors, to thecreditors, and persons otherwise entitled to the funds or propertyheld by such licensed commercial bank as a fiduciary, lessor of asafe deposit box or bailee. The Monetary Board shall specify theinformation to be included in the notice. The Monetary Board may,where it considers it expedient so to do, exempt the posting of suchnotice to specified persons upon a showing of reasonable causetherefor by such licensed commercial bank. The notice shall be keptdisplayed in a conspicuous place within the place of business of thelicensed commercial bank, and shall be given such other publicity asthe Monetary Board may direct.

54. The authorisation to go into voluntary liquidation shallnot prejudice the rights of a depositor or other creditor or owner topayment in full of his claim, and the rights on an owner of funds orother property held by the licensed commercial bank. All lawfulclaims shall be paid promptly and all funds and other property heldby the licensed commercial bank shall be returned to their rightfulowners within such maximum period as the Monetary Board maydetermine.

55. Where the Monetary Board is of the opinion that anylicensed commercial bank has discharged all its obligations asreferred to in section 54 the name of such bank shall be removedfrom the list of licensed commercial banks and the outstandingassets shall be distributed among its rightful owners in proportion totheir respective rights. No distributions shall be made until—

(a) all claims of depositors or other creditors or ownershave been paid and, in the case of disputed claims,before the licensed commercial bank has transmittedto the Central Bank sufficient funds to meet anyliability that may arise after a judicial decision;

(b) any funds payable to depositors, other creditors andowners who have not claimed them, have beentransmitted to the Central Bank;

(c) any other funds or property held by the licensedcommercial bank which could not be returned to therightful owner in accordance with the provisions ofthis section, have been dealt with in accordance withsection 72.

56. Where the Monetary Board is of the opinion that—

(a) the assets of licensed commercial bank whosevoluntary liquidation, it has authorised, will not besufficient for the full discharge of all its obligations;or

(b) the completion of voluntary liquidation is undulydelayed,

it shall forthwith take steps to revoke the licence issued to suchbank and commence proceedings for the compulsory liquidation ofsuch bank in conformity with the procedures set out hereunder.

57. When the cancellation of the licence of a licensedcommercial bank incorporated or established in Sri Lanka hasbecome final in terms of subsection (3) of section 9, the licensedcommercial bank shall forthwith suspend its business within andoutside Sri Lanka, and the Director of Bank Supervision shall directthat liquidation proceedings in accordance with the provisions ofthis Act be taken. As soon as possible after initiating the liquidationproceedings an inventory of the assets and contingent liabilities ofthe licensed commercial bank shall be made and a copy thereoftransmitted to the Monetary Board, which copy shall be available atthe office of the Monetary Board for examination by the partieshaving an interest in the business of such bank.

58. (1) The Director of Bank Supervision shall be vestedwith the full and exclusive power of management and control of theaffairs of any licensed commercial bank for the purpose ofcompulsory liquidation and shall have the power—

(a) to wind up its operations by the institution ofliquidation proceedings in Court;

(b) to stop or limit the payments of its obligations;

(c) to execute any instrument in the name of the licensedcommercial bank; and

(d) to initiate, defend and conduct in its name any action

Compulsory liquidation.

or proceedings to which the licensed commercial bankmay be a party.

(2) The Director of Bank Supervision may, engage theservices of any professionally qualified person to assist him inrelation to the excercise of the functions of the liquidator in acompulsory winding up of a licensed commercial bank.

59. Under liquidation proceedings—

(a) any term, statutory, contractual or otherwise, on theexpiration of which a claim or right of the licensedcommercial bank would expire or be extinguished,shall by the operation of this section, be extended bysix months from the date of the commencement of theproceedings;

(b) any attachment or lien, except a lien existing sixmonths prior to the date as specified in paragraph (a),shall be vacated, and no attachment or lien, except alien created by the Director of Bank Supervision, inthe application of the provisions of this Part, shallattach to, any property or assets of the licensedcommercial bank in liquidation;

(c) any transfer of any assets of the licensed commercialbank made after or in contemplation of its insolvencyshall be void.

60. (1) Within a period of six months from the date onwhich the cancellation of a licence becomes final, the Director ofBank Supervision may, subject to the provisions of any other lawfor the time being in force, terminate—

(a) any contract of employment entered into with suchbank;

(b) any contract for services to which such licensedcommercial bank was a party; or

(c) any obligation of the licensed commercial banksincluding its obligations, if any, as a lessee.

(2) A lessor who shall have received ninety days notice thatthe Director of Bank Supervision is exercising discretionary powersto terminate the lease shall have no claim for rent other than rentaccrued on the date of termination of the lease, nor for damages byreason of such termination.

61. As soon as possible after the cancellation of a licencebecomes final, the Director of Bank Supervision shall make a finaldistribution by taking such steps as are necessary to terminate allfunctions performed in a fiduciary capacity by the licensedcommercial bank and return all assets and property held by thelicensed commercial bank as a fiduciary to the owners thereof, andsettle its fiduciary accounts.

62. As soon as possible after the cancellation of a licencebecomes final, the Director of Bank Supervision shall dispatch byregistered post to all depositors, owners, other creditors, safe depositbox lessees, and the bailors of property held by the licensedcommercial bank, a statement of the nature and amount for whichtheir claim is shown in the licensed commercial bank’s books. Thestatement shall specify that any objections if any must be filed withthe Director of Bank Supervision before a specified date not laterthan sixty days from the issue thereof, and shall invite safe depositbox lessees and bailors to withdraw their property in person. TheDirector of Bank Supervision may, subject to confirmation by theMonetary Board, obtained prior to the commencement of the sixtyday period, exempt the dispatch of the statements by post tospecified persons upon the licensed commercial bank showingreasonable cause therefor.

63. (1) Any safe deposit box, the contents of which havenot been withdrawn before the date specified, shall be opened in themanner prescribed by the Director of Bank Supervision. Thecontents and any unclaimed property shall be held by the licensedcommercial bank as bailee, and—

(a) all monies shall, upon direction by the MonetaryBoard, be transferred to a special account in theCentral Bank;

(b) any article other than money shall, upon direction bythe Monetary Board, be referred to the Minister for adirection as to the method of disposal of the same.

(2) The money referred to in paragraph ( a) and articlesreferred to in paragraph ( b) shall be deemed to be abandonedproperty in terms of the provisions of Part IX, if the owner thereof,has, over a period of ten years from the date of deposit of suchmoney or articles, as the case may be, not evidenced an interest inthe same. The provisions of section 72 shall apply in respect ofsuch items as from the date of their transfer.

64. Within three months after the date specified in the noticefor filing of objections or such longer period as may be determinedby Monetary Board, the Director of Bank Supervision shall—

(a) reject any claim if he doubts the validity thereof;

(b) determine the amount, if any, owing to eachidentifiable depositor or other creditor and the priorityattaching to his claim under the provisions of this Act;

(c) prepare a Schedule of the scheme of work he proposesto take;

(d) notify each person whose claim has not been allowedin full, and publish once a week for three consecutiveweeks, a notice in three daily newspapers in theSinhala, Tamil and English languages, which containsan intimation of the date and place, where the

Schedule of the scheme of work he proposes to take,will be available for inspection. The date so intimated,shall be a date not sooner than thirty days from thedate of the third publication in the newspaper, uponwhich the Director of Bank Supervision will file theSchedule in Court.

65. Within twenty one days after filing of the schedulereferred to in paragraph (c) of section 64, any depositor creditor,shareholder or other interested person may file objections to anystep proposed to be taken. Any objections filed shall be consideredby the Court upon such notice to the Director of Bank Supervisionand interested parties as the Court may specify. If an objection issustained, the Court shall direct that an appropriate modification bemade to the Schedule. After filing the Schedule the Director ofBank Supervision may, from time to time, make partial distributionto the holders of claims which are undisputed or which have beenallowed by the Court, on condition that a proper reserve isestablished for the payment of disputed claims. As soon as possibleafter all objections have been decided upon, the Director of BankSupervision shall make the final distribution.

66. (1) The claims set out hereunder shall have priority asagainst the general assets of the licensed commercial bank in theorder indicated below:—

(a) necessary and reasonable expenses incurred by theliquidator in winding up;

(b) wages and salaries of officers and employees of thebank for the three month period immediatelypreceding the commencement of winding upproceedings;

(c) taxes, rates and deposits owed to the Government andlocal authorities by the licensed commercial bank;

(d) fees and assessments due to the Central Bank;

(e) funds deposited in any account with the licensedcommercial bank with interest accrued thereon, up toa limit of rupees twenty thousand in respect of anyaccount; and

(f) other deposits with interest if any, accrued thereon.

(2) After payment of all other claims filed, with interestthereon calculated at a rate to be fixed by the Director of BankSupervision, with the approval of the Court, any remaining claimswhich were not filed within the prescribed time shall be paid.

(3) If the amount available in respect of a particular categoryof claims is insufficient to provide payment in full, the said amountshall be distributed pro-rata among the parties of that claim.

67. Any assets remaining after all claims have been paid shallbe distributed among all the shareholders in proportion to theirparticipation.

68. Funds remaining unclaimed after the final distributionreferred to in section 61 is made, which are not subject to the otherprovisions under this Act, shall upon direction by the MonetaryBoard, be transferred to a special account in the Central Bank. TheMonetary Board may utilise such funds for the purposes as may bedetermined by the Monetary Board after consultation with theMinister. The funds shall be abandoned properly, in terms of Part IXof this Act, if the owner has not, within the ten years immediatelypreceding the date of the final distribution under section 61,evidenced any interest in the funds. Section 72 shall apply inrespect of such funds as from the time of their transfer under thissection.

69. Once all assets have been distributed in accordance withthe provisions of this Act, the Director of Bank Supervision shallrender an audited account to Court. Upon approval of the accountby Court, and where the Court makes an order to terminate theliquidation, the Monetary Board shall be relieved of any liability inconnection with the liquidation. The Director of Bank Supervisionshall proceed to terminate the judicial existence of the licensedcommercial bank concerned, in accordance with such provisions ofthe Companies Act, No. 17 of 1982, and applicable thereto, whichare not inconsistent with the provisions of this Act.

70. (1) When a licensed commercial bank incorporatedoutside Sri Lanka wishes to close down its business in Sri Lankathe approval of the Monetary Board for the closure shall be granted,subject to such terms and conditions as the Board may specify.Where approval is granted by the Board the affairs of the licensedcommercial bank in Sri Lanka shall be wound up in accordancewith the procedures set out in subsection (4).

(2) When a cancellation of the licence of a licensedcommercial bank incorporated outside Sri Lanka has been madefinal under subsection (3) of section 9, the licensed commercialbank shall terminate its business in Sri Lanka and its affairs shall bewound up in accordance with the provisions of subsection (4).

(3) When liquidation proceedings in respect of a licensedcommercial bank incorporated outside Sri Lanka are started at theplace where the head office is located, the Monetary Board shallorder the closure of the licensed commercial bank in Sri Lanka.

(4) When the business of the licensed commercial bank isclosed down under subsection (1) or (2) or (3), the licensedcommercial bank which is the subject of liquidation, shall retainonly such powers as are necessary to wind up its affairs within SriLanka, which shall be done expeditiously and in an orderly manner.The Director of Bank Supervision shall supervise the winding up

under subsection (1) or (2) or (3) of this section, in accordance withthe provisions of subsections (1) and (3) of section 11, take allmeasures necessary to ensure that no assets owned by the licensedcommercial bank, which is the subject of liquidation are removedfrom Sri Lanka until all obligations and liabilities incurred by suchbank, to which the undertaking referred to in paragraph ( c) ofsubsection 2 of section 3 relates, have been met in accordance withthe undertaking. The provisions of section 63 and 68 shall apply tothe winding up of the affairs under this section.

(5) Where the Monetary Board is of the opinion that thelicensed commercial bank has discharged all the obligations referredto in the preceding provisions of this section, the name of such bankshall be removed from the list of licensed commercial banks.

71. In the event of conflict or inconsistency between theprovisions of this Part of this Act and the provisions of theMonetary Law Act (Chapter 422) or the Companies Act, No. 17 of1982, the provisions of this Part shall prevail.

PART IX

ABANDONED PROPERTY

72. (1) In addition to the articles referred to in sections 63and 68 the articles enumerated in subsection (2) of this section, heldby a licensed commercial bank other than such articles so held byan offshore unit of a licensed commercial bank, shall be presumedto be abandoned if the owner has, within a period of ten yearsimmediately after the date of deposit, or payment of funds towardsthe purchase of shares or other interests, or issuing of instruments,or the date upon which funds held in a fiduciary capacity becamepayable, or capable of being distributed, or the expiration of theperiod for which the safe deposit box was rented, as the case maybe—

(a) not increased or decreased the amount of the depositor funds or presented the pass book or other recordfor the crediting of interest or dividends in respect ofthe articles enumerated in paragraphs (a) and (b) ofsubsection (2) of this section;

(b) not increased or decreased the principal or acceptedpayment of principal or income in respect of fundsheld in a fiduciary capacity;

(c) not had any correspondence with the licensedcommercial bank concerning such articles;

(d) not otherwise indicated an interest in the articles asevidenced by a memorandum concerning them by thelicensed commercial bank.

(2) The following shall be the articles referred to insubsection (1):—

(a) any general deposit (demand, savings or matured timedeposit) made in Sri Lanka with that licensedcommercial bank together with any interest ordividend thereon excluding any lawful charges;

(b) any funds paid in Sri Lanka towards the purchase ofshares or other interests in a licensed commercial banktogether with any interest or dividend, excluding anylawful charges;

(c) any sum payable on cheques or on writteninstruments, on which the licensed commercial bank isdirectly liable;

(d) any intangible personal property and any income orinterest thereon held in a fiduciary capacity for thebenefit of another person;

(e) any contents of a safe deposit box upon which therental period has expired and concerning which noticehas been sent by registered post to the last knownaddress of the lessee and to which the lessee hasfailed to respond within three years.

73. (1) Any licensed commercial bank holding anyabandoned property referred to in section 72, shall make a report tothe Monetary Board in such form as the Monetary Board maydetermine stating the nature of the articles held and in the case ofmoney, the amount of money.

(2) Notwithstanding anything in any other law, all moniesincluded in the report shall, if the Monetary Board directs, betransferred by the licensed commercial bank to a special account inthe Central Bank and may be utilised by the Monetary Board forsuch purposes as may be determined by the Monetary Board afterconsultation with the Minister.

(3) The articles included in the report that do not fall undersubsection (2) shall be referred by the Monetary Board to theMinister for such action as he shall prescribe.

74. Within thirty days from the submission of the reportrequired by subsection (1) of section 73, the licensed commercialbank shall publish a notice in the Sinhala, Tamil and English dailynewspapers stating the name of the owner and particulars concerningthe property and shall despatch, by registered post a notice to theowner to his last known address containing particulars concerningthe property, provided that the Monetary Board may exempt thelicensed commercial bank from the mailing of such notice upon thelicensed commercial bank showing reasonable cause therefor.

75. (1) Where any person furnishes proof to the satisfactionof the Monetary Board that moneys lying to the credit of an accountwhich was in his name or in the name of a person from whom hederives title, have been transferred to a special account in the

Central Bank under section 73, that person shall, subject to suchterms, conditions or restrictions as are imposed in respect of suchmoney by or under any written law, be entitled to the repayment ofsuch moneys by the Central Bank together with the interest payableon such moneys up to the date of such repayment, in accordancewith such rates and conditions as are applicable to the account tothe credit of which such money were lying before they weretransferred to the special account in the Central Bank.

76. Any licensed commercial bank which fails to file thereport or to pay or deliver property presumed to be abandoned asrequired by section 74 shall be guilty of an offence under this Act.

PART IXA

LICENSED SPECIALISED BANKS

76A. (1) From and after such date as may be determined bythe Minister by Order published in the Gazette , the business ofaccepting deposits of money and investing and lending such moneyshall not be carried on except by a company which has an equitycapital in an amount not less than fifty million rupees and under theauthority of a licence issued by the Monetary Board for suchpurpose under this Part of this Act:

Provided however, the requirement to obtain a licence shall notapply in respect of a company registered as a Finance Companyunder Finance Companies Act, No. 78 of 1988, a Co-operativeSociety registered under the Co-operative Societies Law, No. 5 of1972, a building society incorporated under the National HousingAct (Chapter 401) and to a company licensed as a licensedcommercial bank under the provisions of this Act and to anyorganisation established or registered under any written law, notbeing an organisation established primarily for the purpose ofmaking profit, which accepts deposits only from its registeredmembers and has obtained permission in writing from the MonetaryBoard to accept such deposits and to invest or lend the monies soaccepted.

(2) Where such company is a company incorporated outsideSri Lanka, no licence shall be issued under this Part of this Actunless such company has complied with the provisions of Part XIIIof the Companies Act, No. 17 of 1982.

(3) Notwithstanding the provisions of subsections (1) and (2)of this section and of section 76 B , all institutions specified inSchedule III of this Act, shall be issued a licence in accordance withthe provisions, of this Part of this Act on or after the datedetermined by the Minister under subsection (1).

(4) Any company carrying on business in contravention ofsubsection (1), shall be guilty of an offence under this Act.

(5) For the purposes of this section “ company ” shall havethe same meaning as defined in section 449 of the Companies Act,No. 17 of 1982 and includes a company duly incorporated outsideSri Lanka, or a body corporate formed in pursuance of any statuteof any foreign country, Royal Charter or letters patent and a bodycorporate established by or under any written law and shall notinclude a private company incorporated outside Sri Lanka; and“equity capital” shall have the same meaning as in subsection (2) ofsection 19 of this Act and for that purpose, the reference in thatsubsection to a licensed commercial bank shall be deemed to be areference to a licensed specialised bank.

76 B. The provisions of section 3 shall, mutatis mutandis ,apply in respect of an application made for a licence under this Partas they apply in respect of an application made under Part I and forthat purpose any reference to “banking business” in that sectionshall be deemed to be a reference to the business of acceptingdeposits of money and investing and lending such money, and anyreference to section 5 shall be deemed to be a reference to section76C.

76 C. The provisions of section 5 shall, mutatis mutandis ,apply to the issue of a licence under this Part as they apply to theissue of a licence under Part I and for that purpose any reference to“banking business” in that section shall be deemed to be a referenceto the business of accepting deposits of money and investing andlending such money.

76D. (1) Any company which has been issued with a licenceunder this Part shall be referred to as a “licensed specialised bank”.

(2) A licensed specialised bank may carry on such forms ofbusiness as are specified in Schedule IV of this Act subject to suchrestrictions expressly stipulated in the licence or as may be imposedby or under any written law.

(3) The Monetary Board may authorise a licensed specialisedbank which satisfies the requirements prescribed by regulationsmade by the Minister under section 82 to carry on off shore bankingbusiness in accordance with such off shore banking schemeformulated for licensed specialised banks by the Monetary Boardand where a licensed specialised bank is authorised to carry onoffshore banking business the provisions of Part IV shall, mutatismutandis, apply to such licensed specialised bank as they apply to alicensed commercial bank.

(4) A licensed specialised bank shall not carry on its businessin any place other than that specified in the licence except with theprior written approval of the Monetary Board.

(5) A licensed specialised bank carrying on business underthe authority of a licence issued under this Part shall be deemed notto act in contravention of section 2 of the Finance Companies Act,No. 78 of 1988.

(6) Every licensed specialised bank shall pay to the CentralBank an annual licence fee as may be determined by the MonetaryBoard and the Monetary Board may determine different licence feesfor different categories of licensed specialised banks.

76E. The Monetary Board shall keep and maintain inthe prescribed form a register of every institution licensed as alicensed specialised bank under this Part of this Act.

76F. (1) The provisions of section 9 shall, mutatis mutandis,apply in respect of a licensed specialised bank as they apply inrespect of a licensed commercial bank and for that purpose anyreference therein to a licensed commercial bank shall be deemed tobe a reference to a licensed specialised bank, and any referencetherein to section 5 shall be deemed to be a reference to section76C, and any reference therein to banking business shall be deemedto be a reference to the business of accepting deposits of money andinvesting and lending such money.

(2) Nothing contained in subsection (1) shall in any wayaffect the powers conferred on the Monetary Board or the Directorof Bank Supervision by section 76M.

76G. (1) A licensed specialized bank shall, at all times,maintain an equity capital of not less than fifty million rupees.

(2) A licensed specialised bank shall not reduce or impair itsequity capital or statutory reserves without the prior written approvalof the Monetary Board.

(3) For the purpose of this section—

(a) “ equity capital ” shall have the same meaning as insubsection (2) of section 19 of this Act; and

(b) “ statutory reserves ” means any reserve fundsmaintained by the licensed specialised bank inpursuance of a direction issued to it under this Part ofthis Act.

76H. The provisions of Part V and Part VI of this Act shall,mutatis mutandis, apply to a licensed specialised bank as they applyto a licensed commercial bank.

76J. (1) Notwithstanding the provisions of any other law,the Monetary Board may give directions to licensed specialisedbanks or to any category of licensed specialised banks, regarding themanner in which any aspect of the business of such banks is to beconducted and in particular—

(a) the maintenance of capital adequacy ratios by thelicensed specialised banks of such amounts as may bedetermined by the Monetary Board;

(b) the maintenance of the reserve fund of a licensedspecialised bank including its reduction or impairment;

(c) the terms and conditions under which deposits may beaccepted, the maximum rates of interest payable onsuch deposits and the maximum periods for whichdeposits may be accepted and the maximum amountwhich may be deposited with a licensed specialisedbank in the name of one person in one or moreaccounts;

(d) the terms and conditions under which any loan, creditfacility or any type of accommodation may be grantedby such banks, the maximum rates of interest thatmay be charged on such loans, credit facilities orother types of accommodation and the maximumperiods for which any such loan, credit facility orother type of accommodation may be granted;

(e) the maximum rates which may be paid to, or chargedby, such banks by way of commissions, discounts,fees or other receipts or payments whatsoever;

(f) the minimum initial payment a prospective hirershould make on any hire purchase agreement andspecific different initial payments for different classesof transactions; such minimum initial payment may beexpressed as a percentage of the value of the goodshired under such agreement;

(g) the terms and conditions under which investments maybe made by such banks;

(h) the maximum permissible maturities for loans, creditfacilities or other types of accommodation andinvestments made by such banks, and the nature andamount of the security that may be required orpermitted for various types of lending, credit andinvestment operations;

(i) the form and manner in which books of accounts orother records or documents are to be maintained bysuch banks;

(j) the exclusion from the income of licensed specialisedbanks in whole or in part, unpaid interest in respect ofloans granted, if such loans have become overdue;

(k) the minimum ratio which the liquid assets of suchbanks should bear to the total deposit liabilities ofsuch banks;

(l) the maintenance of cash balances by licensedspecialised banks with the Central Bank if so required

(m) conditions which should be applicable to withdrawalby depositors of deposits before maturity;

(n) prohibiting such banks from increasing the amount oftheir loans, credit facilities, other types ofaccommodation or investments;

(o) fixing limits to the rate at which the amount of anyloans, investments or accommodation made or grantedby them may be increased within specified periods;

(p) requiring the decrease of the amount of their loans,investments or accommodation to specified limitswithin a specified period;

(q) the maximum percentage of the share capital in alicensed specialised bank which may be held—

(i) by a company, an incorporated body, or anindividual;

(ii) in the aggregate by—

(a) a company and one or more of thefollowing:—

(aa) its subsidiary companies

(bb) its holding company;

(cc) a subsidiary company of its holdingcompany;

(dd) a company in which such company or itssubsidiary company, or its holdingcompany, or a subsidiary company of itsholding company has a substantialinterest; or

(b) an individual and one or more of thefollowing:—

(aa) his close relation;

(bb) a company in which he has a substantialinterest or in which his close relation hasa substantial interest;

(cc) the subsidiary company of such company;

(dd) a holding company of such company;

(ee) a subsidiary company of such company’sholding company;

(ff) a company in which such company or itssubsidiary company, or its holdingcompany has a substantial interest; or

(gg) an incorporated body other than acompany in which such individual or hisclose relation has a substantial interest:

(hh) companies in each of which an individualor a company as the case may be, haseither directly or indirectly a substantialinterest or a significant managementinterest.

Provided, however that a direction given under thisparagraph shall not require the reduction of the sharesof a person held in a licensed specialised bank on thedate of commencement of this Part of this Act,otherwise than on a requirement imposed on suchbank under the provisions of paragraph (d) ofsubsection (1) of section 76 K or on a shareholderunder the provisions of paragraph (d) of subsection (1)of section 76N;

(r) the margins to be maintained in respect of securedadvances;

(s) the terms and conditions relating to leasing agreementsbetween the licensed specialised bank and a lessee;

(t) restriction on the types of activities that may becarried on by licensed specialised banks.

(u) the limit of foreign participation in the capital of alicensed specialised bank incorporated or establishedin Sri Lanka.

(2) The maximum rates of interest fixed by any directionunder paragraphs (c) and (d) of subsection (1) shall, if sodetermined by the Monetary Board, apply in respect of any depositaccepted or in respect of any loan, credit facility or any otherfinancial accommodation granted, before the date of such direction:

Provided, however, that nothing in such direction shall—

(a) apply to any interest accrued before the date of suchdirection in respect of any such deposit or loan, creditfacility or other financial accommodation; or

(b) require the reduction of the rate of interest payable onany deposit accepted, or loan credit facility, orfinancial accommodation granted before the date ofsuch direction, if such reduction would constitute abreach of the contract or agreement relating to suchdeposit, loan, credit facility or other financialaccommodation, as the case may be.

(3) For the purposes of this Part of this Act, the MonetaryBoard may give directions where necessary to any particularlicensed specialised bank in particular on such matters as arespecified in subsection (1).

(4) The Monetary Board may, in its discretion, pay interest onany cash balance maintained by a licensed specialised bank in theCentral Bank in pursuance of a direction issued to it underparagraph (l) of subsection (1) at such rate as may be determined bythe Monetary Board.

(5) A licensed specialised bank which fails to act incompliance with a direction issued under this section or acts incontravention of such direction shall be guilty of an offence underthis Act.

76K. The provisions of section 45 shall, mutatis mutandis,apply in respect of licensed specialised banks as they apply inrespect of licensed commercial banks and for that purpose anyreference therein to a licensed commercial bank shall be deemed tobe a reference to a licensed specialised bank.

76L. (1) The Director of Bank Supervision may at any time,examine or authorise any officer of his department to examine, thebooks and accounts of any licensed specialised bank.

(2) The report on any such examination shall be furnished tothe Governor of the Central Bank by the Director of BankSupervision as soon as such examination is completed. The Directorof Bank Supervision may recover the costs of such examinationfrom the licensed specialised bank.

(3) It shall be lawful for the Director of Bank Supervision orany officer authorised by him—

(a) to administer, in accordance with the Oaths Ordinance,oaths or affirmations to any director, manager,secretary, employee or auditor of any licensedspecialised bank;

(b) to require any director, manager, secretary, employeeor auditor of any licensed specialised bank to furnishall such information relating to the affairs of the bank,as the Director of Bank Supervision or any officerauthorised by him may consider necessary toascertain, for the purpose of this Part of this Act.

(c) to require any director, manager, secretary, employeeor auditor of any licensed specialised bank to producefor inspection any books, records or document relatingto the affairs of the bank, in his possession orcustody, which is likely to contain any suchinformation;

(d) in any case where there is evidence ofmismanagement by a licensed specialised bank, torequire any director, manager or secretary of suchbank to submit the accounts of the bank for audit byan auditor authorised by the Director of BankSupervision and to require the bank to furnish such

information, or produce such books, records ordocuments and to pay such fees, as may be specifiedor authorised by the Director of Bank Supervision tosuch auditor.

(4) It shall be the duty of every director, manager, secretary,employee or any auditor of any licensed specialised bank to complywith any requirement imposed on him under this section and toafford to the Director of Bank Supervision or to any officerauthorised by him or to any auditor authorised by him underparagraph (d) of subsection (3), access to all books and records ofthat licensed specialised bank including its cash balances, assets andliabilities whenever requested to do so by the Director of BankSupervision.

(5) The Director of Bank Supervision may, where heconsiders it necessary to ascertain the true condition of the affairs ofa licensed specialised bank and to ascertain whether such bank iscarrying on business in a manner detrimental to its present or futuredepositors, by notice in writing require any person whom heconsiders to have information relating to the licensed specialisedbank, to furnish such information to him or to any officer authorisedby him or to any auditor authorised by him under paragraph (d) ofsubsection (3) or to attend in person before him or any officerauthorised by him at such place and at such date and time as maybe specified in such notice, so that the person may be examined onsuch matters as may be specified in such notice.

(6) For the purpose of ascertaining the true condition of theaffairs of the licensed specialised bank, the Director of BankSupervision may if he thinks it necessary for the purpose of anexamination under subsection (5), also examine the business of anycompany which is or has at any relevant time been—

(a) a holding company or subsidiary company of thelicensed specialised bank under examination;

(b) a subsidiary company of a holding company of thelicensed specialised bank;

(c) an associate company of that licensed specialisedbank,

and may exercise in relation to any such company, any of thepowers conferred on him by the preceding provisions of this section.

In this subsection “associate company” when used in relationto a licensed specialised bank, means a company in which thelicensed specialised bank holds ordinary shares equivalent to twentyper centum or more but less than fifty per centum of the paid upshare capital of the company.

(7) Any person who fails to comply with any requirementimposed on him by the Director of Bank Supervision undersubsections (5) or (6) shall be guilty of an offence under this Act.

76 M . (1) In any case where the Director of BankSupervision is satisfied after examination by himself or by anyofficer authorised by him of the affairs of a licensed specialisedbank, or upon information received from the bank, that it isinsolvent or is likely to become unable to meet the demands of itsdepositors or that its continuance in business is likely to involveloss to its depositors or creditors, the Director of Bank Supervisionshall make a report accordingly to the Governor of the Central Bankfor submission to the Monetary Board; and if such Board, uponreview of the facts and circumstances, is of opinion that actionshould be taken as hereinafter provided, the Monetary Board maymake an order directing the bank forthwith to suspend business anddirect the Director of Bank Supervision to take all measures as maybe necessary to prevent the continuation of business by such bank.Any person who obstructs the Director of Bank Supervision fromtaking such measures to prevent the continuation of business by thecompany shall be guilty of an offence under this Act.

(2) Notwithstanding anything in any other law, no action orproceeding may be instituted in any court for the purpose ofsecuring the review or revocation of any order made in good faithunder subsection (1) or in respect of any loss or damage incurred,or likely or alleged to be incurred by reason of such order.

(3) An order made by the Monetary Board under subsection(1) in respect of any licensed specialised bank shall cease to haveeffect upon the expiration of a period of six months from the dateon which it is made and it shall be the duty of the Monetary Boardas soon as practicable and in any event before the expiration ofsuch period—

(a) to make an order permitting the bank to resumebusiness, either unconditionally or subject to suchconditions as the Monetary Board may considernecessary in the public interest; or in the interest ofthe depositors and other creditors of the bank; or

(b) to cancel the licence issued to such licensedspecialised bank and—

(i) where the bank is incorporated or establishedwithin Sri Lanka by or under any written law,proceedings for the compulsory winding up ofthe bank shall commence and the provisions ofPart VIII shall, mutatis mutandis, apply to suchwinding up;

(ii) where the bank is incorporated outside SriLanka, the business of the bank authorised underthe licence issued under section 76 A shall becompulsorily closed down and its affairs shall bewound up and the provisions of Part VIII shall,mutatis mutandis, apply to such compulsoryclosure.

(4) A licensed specialised bank incorporated or establishedwithin Sri Lanka may be voluntarily wound up and the provisionsof Part VIII shall, mutatis mutandis , apply to such voluntarywinding up.

(5) A licensed specialised bank incorporated outside SriLanka may voluntarily close down its business authorised under thelicence issued under section 76A and the provisions of Part VIIIshall, mutatis mutandis, apply to such closure.

76N. (1) Notwithstanding the provisions of this Act or ofany other written law to the contrary or the Memorandum andArticles of Association of a licensed specialised bank, the MonetaryBoard may, where the business of a licensed specialised bank hasbeen suspended under subsection (1) of section 76(M);

(a) make such arrangements as it considers necessary forthe amalgamation of the licensed specialised bankwith another licensed specialised bank or any otherinstitution, with the consent of such other licensedspecialised bank or institution;

(b) re-organise such licensed specialised bank byincreasing its capital and arranging for newshareholders and by reconstituting its board ofdirectors; or

(c) re-construct the licensed specialised bank in any suchmanner as it considers to be in the interest ofdepositors, including the closing down of unviablesections of the business and re-organising themanagement;

(d) direct any shareholder of any licensed specialised bankto divest or transfer the ownership of the sharesowned by him, to a person nominated by theMonetary Board, on payment by such person ofcompensation determined as follows:—

(i) where such shares are quoted, at the market valuethereof; or

(ii) where such shares are not quoted, at a price to bedetermined by a valuer nominated by theMonetary Board.

(2) A shareholder who fails to comply with a direction givento him under paragraph (d) of subsection (1) shall be guilty of anoffence.

PART X

GENERAL

77. Every director, manager, officer or other person employedin the business of any licensed commercial bank or licensedspecialised bank shall observe strict secrecy in respect of all

transactions of the bank, its customers and the state of accounts ofany person and all matters relating thereto and shall not reveal anysuch matter except—

(a) when required to do so—

(i) by a court of law;

(ii) by the person to whom such matters relates;

(b) in the performance of the duties of the director,manager, officer or other person; or

(c) in order to comply with any of the provisions of thisAct or any other written law.

(2) Every director, manager, officer or person employed in thebusiness of a licensed commercial bank or licensed specialised bankshall before entering upon the duties, sign a declaration pledginghimself to observe strict secrecy in accordance with subsection (1).

(3) The provisions of subsections (1) and (2) shall notprohibit a bank from providing in good faith to another bank onrequest an opinion or reference relating to a customer in accordancewith customary banking practice.

78. No suit or prosecution shall lie against the MonetaryBoard or any member of the Monetary Board or any officer orservant of the Central Bank for any act which in good faith is doneor purported to be done by the Monetary Board or by any officer orservant of the Central Bank under this Act; or against any director,officer or employee of any licensed commercial bank or licensedspecialised bank for any act which in good faith is done orpurported to be done by him under this Act or on the direction ofthe Monetary Board.

79. (1) Any person who commits an offence undersubsection (5) of section 2, subsection (11) of section 3, subsection(3) of section 14, subsection (3) of section 33, subsection (3) ofsection 41 or subsection (12) of section 47 of this Act, shall beliable on conviction after summary trial before a Magistrate to afine not exceeding one million rupees or imprisonment of eitherdescription for a term not exceeding three years or to both such fineand imprisonment.

(2) Any person who contravenes the provisions of subsections(1) and (2) of section 16, subsection (1) of section 17 or section 77shall be guilty of an offence under this Act and shall be liable onconviction after summary trial before a Magistrate to a fine notexceeding one million rupees or to imprisonment of eitherdescription for a term not exceeding three years or to both such fineand imprisonment.

(3) Any person who commits an offence under this Act otherthan an offence referred to in subsection (1) or subsection (2) above,shall be liable on conviction after summary trial before a Magistrate,

unless where the punishment is otherwise provided for in this Act,to a fine not exceeding five hundred thousand rupees or toimprisonment of either description for a term not exceeding eighteenmonths or to both such fine and imprisonment.

(4) Any person who contravenes any provision of this Act orany order, direction, requirement, rule or regulation under this Act,other than those specified in subsection (2) or those that otherwiseconstitute an offence, shall be guilty of an offence under this Act,and shall be liable on conviction after summary trial before aMagistrate to a fine not exceeding five hundred thousand rupees orto imprisonment of either description for a term not exceedingeighteen months or to both such fine and imprisonment.

(5) In any proceedings against any person under subsection(2) for contravention of the provisions of section 77, it shall be adefence to prove that such person acted in good faith, believinghimself to be acting in the performance of his duties or under arequirement of law.

(6) In any proceedings against a director, manager, officer oran employee of a licensed commercial bank or a licensed specialisedbank for an offence under this Act it shall be a defence for thedirector, manager, officer or employee to establish that the offencewas committed without the knowledge of such director, manager,officer or employee or that such director, manager, officer oremployee exercised all due diligence to avoid the commission of theoffence.

79A. The Director of Bank Supervision may with the approvalof the Monetary Board and having regard to the circumstances inwhich an offence under this Act was committed, compound suchoffence for a sum of money not exceeding one million rupees.

(2) The compounding of any offence under this section shallhave the effect of an acquittal of the accused.

80. (1) Any person who, being a director, manager, officeror employee of a licensed commercial bank or licensed specialisedbank, as the case may be–

(a) fails to take all reasonable steps to secure complianceby the licensed commercial bank or licensedspecialised bank, as the case may be, with therequirements of that Act; or

(b) fails to comply with any direction issued by theMonetary Board under the provisions of this Act;

(c) fails to take all reasonable steps to secure thecorrectness of any statement submitted under theprovisions of this Act;

(d) wilfully makes a false entry or causes such an entryto be made in any book or record or in any report,

slip, document, or statement of the business, affairs,transactions, conditions, assets or liabilities oraccounts of such licensed commercial bank or licensedspecialised bank, as the case may be;

(e) wilfully omits to make an entry in any book or recordor in any report, slip, document, or statement of thebusiness, affairs, transactions, conditions, assets orliabilities or accounts of such licensed commercialbank or licensed specialised bank, as the case may be,or wilfully causes any such entry to be omitted; or

(f) wilfully alters, abstracts, conceals or destroys an entryin any book or record or in any report, slip,document, or statement of the business, affairs,transactions, conditions, assets or liabilities oraccounts of such licensed commercial bank or licensedspecialised bank, as the case may be, or wilfullycauses any such entry to be altered, abstracted,concealed or destroyed;

shall be guilty of an offence under this Act, and shall, on convictionafter summary trial by a magistrate be liable to a term ofimprisonment for a term not exceeding eighteen months or to a finenot exceeding one thousand rupees or to both such imprisonmentand fine.

(2) In any proceedings against a person under subsection (1)it shall be a defence to prove that he had reasonable grounds tobelieve that another person was charged with the duty of securingcompliance with the requirements of this Act or with the duty ofensuring that these statements were accurate and that such personwas competent and in a position to discharge that duty.

81. Where an offence under this Act is committed by a bodycorporate, every person, who at the time of the commission of theoffence was a director or an officer of the body corporate, shall bedeemed to be guilty of that offence unless he proves that theoffence was committed without his knowledge, or that he exercisedall due diligence to avoid the commission of such offence.

81A. Parliament shall have power by resolution passed in thatbehalf to amend Schedules II and IV to this Act.

82. (1) The Minister may make regulations in respect ofmatters required by this Act to be prescribed or in respect of whichregulations are authorised to be made.

(2) Every regulation made by the Minister shall be publishedin the Gazette and shall come into operation on the date of suchpublication or on such later date as may be specified in theregulation.

(3) Every regulation made by the Minister shall, as soon as isconvenient, after its publication in the Gazette, be brought beforeParliament for approval.

(4) Every regulation which is not so approved shall bedeemed to be rescinded as from the date of such disapproval butwithout prejudice to anything previously done thereunder.Notification of the date on which any regulation is deemed to berescinded shall be published in the Gazette.

82A. In the event of any conflict or inconsistency between theprovisions of this Act and the provisions of any other written law,the provisions of this Act shall prevail.

83. A licensed commercial bank which is granted a licence interms of section 5 shall be deemed to be—

(i) an approved credit agency for purposes of the TrustReceipt Ordinance (Chapter 85) and the Mortgage Act(Chapter 89);

(ii) an “ approved bank ” for purposes of the Finance ActNo. 65 of 1961.

83A. The provisions of the Pawn Brokers Ordinance (Chapter99) shall not apply to a licensed commercial bank and such bankmay carry on the business of pawn brokers subject to suchconditions as may be determined by the Monetary Board.

83B. A company incorporated outside Sri Lanka which hasbeen issued a licence under section 5 of this Act as a licensedcommercial bank shall, with effect from the date of issue of suchlicence, be deemed to be an exempted company for the purposes ofthe Companies (Special Provisions) Law, No. 19 of 1974.

83C. (1) No person shall directly or indirectly initiate, offer,promote, advertise, conduct, finance, manage or direct a Schemewhere a participant is required to contribute or pay money ormonetary value and the benefits earned by the participant are largelydependent on—

(a) increase in the number of participants in theScheme; or

(b) increase in the contributions made by theparticipants in the Scheme.

For the purpose of this subsection —

“money” means a monetary unit or a medium of exchange thatis issued, established, authorized or adopted by Sri Lanka ora foreign government; and

“monetary value” means a medium of exchange whether or notredeemable in money, including in the form of stored value,payment instrument or credit to account and shall alsoinclude gold coin and gold bullion.

(2) Any person who contravenes the provisions of subsection(1) shall be guilty of an offence and shall be liable on conviction

after summary trial before a Magistrate to imprisonment of eitherdescription for a term not exceeding three years or to a fine notexceeding rupees one million or to both such imprisonment and fine.Where the offence is committed wilfully or knowingly, or withknowledge that the act will cause damage or harm to any otherperson, to rigorous imprisonment for a term not less than threeyears and not more than five years and to a fine of rupees twomillion or twice the aggregate amount in Sri Lanka currencyrevealed or divulged to have been received from the participants inthe Scheme, whichever is higher.

(3) An officer of the Central Bank authorized in that behalfby the Governor, may, where information has been received thatthere has been or is likely to be a contravention of the provisions ofsubsection (1), conduct an investigation into such matter. In carryingout his duties under this section the authorised officer may,—

(a) enter and search any premises where he has reasonto believe that any acts relating to the commissionof the offence specified in subsection (1) are beingcommitted or any books or other records ordocuments relating to such acts are kept ormaintained at such place;

(b) call for further information or documents;

(c) examine any documents, books or records, includingrecords maintained in electronic form or computergenerated transcripts;

(d) obtain copies of any documents, books or recordsor computer generated transcripts or any partthereof,

for the purpose of ascertaing whether any person has contravened oris likely to contravene the provisions of subsection (1).

(4) Any person who obstructs or resists the authorised officerin the exercise of his powers under this section, shall be guilty ofan offence under this Act.

(5) Any person who fails to furnish any information withinhis knowledge, or any book or other record or documents orcomputer generated transcripts relating to such acts which are in hiscustody or possession, shall be guilty of an offence under this Act.

(6) In any prosecution for an offence under this section, theextracts from any books or other record or documents or computergenerated trascripts relating to such acts shall be admissible inevidence and shall be prima facie evidence of the facts statedtherein.

(7) The Central Bank shall provide any information,documents, books, records or computer generated transcriptsobtained in the course of an investigation conducted under

subsection (3) to the law enforcement authorities and shall co-operate with such authorities in the prosecution of a person forviolation of the provisions of subsection (1).

(8) Upon an application made to it by an officer of the Policeabove the rank of an Inspector of Police and upon satisfying itselfthat a prima facie case exists against a person for the violation ofthe provisions of subsection (1), the High Court of the WesternProvince established under Article 154P of the Constitution holdernin Colombo shall issue an exparte Order against the offenderprohibiting him from engaging in any act specified insubsection (1).

(9) The High Court may, upon application made in that behalfby the person on whom an order under subsection (8) has beenmade or by any other person adversely affected by such order, andupon hearing all parties as it may consider necessary, make orderrevoking the order made by it under subsection (8), or permit anyact prohibited under subsection (8) conditionally or unconditionally,if it is satisfied that such revocation or permission is necessary toavoid undue damage to legitimate business or the legitimate interestsof the applicant.

PART XI

REPEAL

84. The Monetary Law Act (Chapter 422) is hereby amendedby the repeal of sections 116A, 121A and 121B of that Act.

85. The Companies Act, No. 17 of 1982 is hereby amendedby the repeal of Part XIV of that Act.

PART XII

INTERPRETATION

86. In this Act, unless the context otherwise requires—

“ accommodation” means any loan, overdraft or advance orsuch other facility as may be determined by the MonetaryBoard or any commitment to grant any loan, overdraft oradvance or such other facility as may be determined by theMonetary Board, including a commitment to accept acontingent liability;

“ banking business ” means the business of receiving fundsfrom the public through the acceptance of money depositspayable upon demand by cheque, draft, order or otherwise,and the use of such funds either in whole or in part foradvances, investments or any other operation eitherauthorised by law or by customary banking practices;

“ capital funds ” means

(a) in the case of a licensed commercial bank the equitycapital and the reserve fund as provided for in section20 and includes reserves other than funds reserved forspecified purposes;

(b) in the case of a licensed specialised bank, the equitycapital and the reserve fund maintained pursuant todirections under subsection (1) of section 76 J andincludes reserves other than funds reserved for specifiedpurposes;

“ Central Bank ” means the Central Bank of Sri Lankaestablished under the Monetary Law Act, (Chapter 422);

“ close relation ” means spouse or dependant child;

“ company” means a company formed and registered under theCompanies Act, No. 17 of 1982 and any other bodyincorporated within or outside Sri Lanka;

“ concern ” means a company or firm;

“ designated foreign currency ” means a foreign currencydetermined as a designated foreign currency by the MonetaryBoard;

“ director ” means–

(a) in relation to a licensed commercial bank incorporated inSri Lanka, any person by whatever designation he maybe called, carrying out or empowered to carry outsubstantially the same functions in relation to thedirection of the licensed commercial bank as thosecarried out by a director of a company incorporatedunder the Companies Act;

(b) in relation to a licensed commercial bank incorporatedoutside Sri Lanka, any person by whatever designationhe may be called carrying out or empowered to carry outsubstantially the same functions in relation to thedirection of a licensed commercial bank as those carriedout by a director of a company incorporated under theCompanies Act and the person in Sri Lanka responsiblefor carrying out the functions of such licensedcommercial bank who shall be designated the principalauthorised agent or his alternate;

“ Director of Bank Supervision ” means the Head of theDepartment of Bank Supervision of the Central Bankestablished under the Monetary Law Act, (Chapter 422);

“ deposit ” includes a sum of money accepted from any personas a business on terms under which it will be repaid with orwithout interest or a premium, and either on demand or at afuture time or in circumstances agreed to by or on behalf of

the person making the payment and the person accepting it,provided that the persons accepting the money is a personwho in the usual course of business, lends money or makesavailable the use or the benefit of the money so accepted tothird parties and, also includes any sum of money acceptedas provided in paragraph (y) of Schedule II and paragraph(nn) of Schedule IV;

“ domestic banking business ” means any banking business thatis not subject to Part IV of this Act, dealing with off-shorebanking;

“ head office of a commercial bank ” means the place wherethe office of the Board of Directors of the commercial bankis located;

“ Finance Company ” means a company registered under theprovisions of the Finance Companies Act, No. 78 of 1988,as a Finance Company;

“ liquid assets ” means–

(a) cash;

(b) balances with licensed commercial banks;

(c) money at call in Sri Lanka;

(d) treasury bills and securities issued or guaranteed by theGovernment of Sri Lanka which have a maturity notexceeding one year;

(e) goods receipts;

(f) import and export bills;

(g) such other assets as may be determined by the MonetaryBoard;

“ local authority ” means any Municipal Council, UrbanCouncil or any Development Council and includes anyAuthority created and established by or under any law toexercise, perform and discharge, powers, duties, andfunctions corresponding to or similar to the powers, dutiesand functions, exercised, performed and discharged by anysuch Council;

“ Monetary Board ” means the Monetary Board of the CentralBank of Sri Lanka established under the Monetary Law Act,(Chapter 422);

“ non-resident ” means an individual, company, body corporateor other judicial person or any unincorporated body notincluded in the definition of “ resident ”;

“ place of business ” means any branch or office of a licensedcommercial bank in Sri Lanka including a mobile officeopen to the public;

“ public corporation ” means any corporation, board or otherbody which was or is established by or under any writtenlaw other than the Companies Ordinance, with funds orcapital wholly or partly provided by the Government by wayof grant, loan or otherwise;

“ qualified auditor ” means–

(a) an individual who, being a member of the Institute ofChartered Accountants of Sri Lanka or of any otherInstitute established by law, possesses a certificate topractise as an Accountant, issued by the Council of suchInstitute;

(b) a firm of Accountants each of the resident partners ofwhich, being a member of the Institute of CharteredAccountants of Sri Lanka or of any other Instituteestablished by law, possesses a certificate to practise asan Accountant, issued by the Council of such Institute;

“ resident ” means—

(a) a citizen of Sri Lanka residing in Sri Lanka;

(b) an individual who is not a citizen of Sri Lanka but whohas been in Sri Lanka for at least six months andcontinues or intends to be in Sri Lanka;

(c) a company incorporated in Sri Lanka, or a bodycorporate established under any written law or any firm,partnership or other organisation in Sri Lanka;

(d) a branch, subsidiary, affiliate, extension, office or anyother unit of a company or other judicial personestablished under the laws of any foreign country,operating in Sri Lanka;

“ substantial interest ” —

(a) in relation to a company, the holding of a beneficialinterest by another company or an individual or his closerelation, whether singly or taken together, in the sharesthereof, the paid up value of which exceeds ten percentum of the paid up capital of the company or theexistence of a guarantee or indemnity for a sum not lessthan ten per cent of the paid up capital given by anindividual or his close relation or by another companyon behalf of such company;

(b) in relation to a firm, the beneficial interest held thereinby an individual or his close relation, whether singly ortaken together, which represents more than ten percentum of the total capital subscribed by all partners ofthe firm or the existence of a guarantee or indemnity fora sum not less than ten per centum of that capital givenby an individual or the spouse, parent or child of theindividual on behalf of such firm.

(i) managing, selling and realising all property movable and immovable which may comeinto the possession of the company in satisfaction or part satisfaction of its claims;

(j) acquiring, holding and generally dealing with any property and any right, title orinterest in any property movable or immovable which may form the security or part ofthe security for any loans or advances or which may be connected with any suchsecurity;

(k) undertaking and executing trusts including functioning as a trustee of any Unit Trust;

(l) undertaking the administration of estates as executors, trustees or otherwise;

(m) taking or otherwise acquiring and holding shares in any other company;

(n) establishing and supporting or aiding in the establishment and support of associations,institutions, funds, trustees and conveniences calculated to benefit employees or ex-employees of the company or the dependants or connections of such persons, grantingpensions and allowances and making payments towards insurance, subscribing to orguaranteeing moneys for charitable or benevolent objects or for any exhibition or forany public, general or useful objects;

(r) doing all such other things as are incidental or conducive to the promotion oradvancement of the business of the company;

(s) the provision of management consultancy services and other technical support services;

(t) providing for the training in banking, accounting, valuation, project and creditappraisal and allied subjects;

(u) engaging in the business of hire-purchase services, factoring, leasing and warehousing;

(v) the business of pawn broking;

(w) entering into arrangements for a joint venture with any person or company forconducting a financial services enterprise or conducting any enterprise providingsupport services for the conduct of its business;

(a) accepting time and savings deposits and opening, maintaining and managing deposit,savings and other similar accounts excluding however the carrying on of bankingbusiness as defined in the Act.

(b) granting loans and advances or participating with other financial institutions ingranting loans or advances or participating with other financial institutions in grantingloans or advances to any enterprise engaged or about to engage in industry, agricultureor commerce or to any other enterprise;

(c) granting loans and advances by way of refinance of any loans or advances granted byfinancial institutions to industrial agricultural commercial and other enterprises;

(p) accepting, discounting, rediscounting, buying selling and dealing in bills of exchangepromissory notes, coupons, drafts, debentures, certificates scrip and other instrumentsand securities whether transferable or negotiable or not, of industrial, agricultural,commercial and other enterprises;

(q) promoting and introducing specialised financial products, services, packages andinstruments;

(r) providing money broking and margin trading facilities;

(s) assisting in the development of capital and money markets;

(t) undertaking trust functions including acting as managers of Unit Trust;

(u) borrowing or accepting deposits from the Government or of agencies or institutionsacting on behalf of the Government;

(v) acting as agents for and administering the funds of any statutory body, corporationor other institution;

(w) managing, supervising, controlling or participating in managing, supervising orcontrolling any industrial, agricultural, commercial or other undertaking of acustomer for the purpose of protecting the interest of the bank in any loan grantedby the bank;

(x) buying existing debts of organisations on a commercial basis and providing, interestswap facilities and interest arbitrate facilities;

(y) providing such services as technical, financial, management or administrative adviceand assistance to industrial, agricultural, commercial and other enterprises;

(z) assisting industrial, agricultural, commercial and other enterprises in financialrestructuring, amalgamations, reconstructions, takeovers and mergers.

(aa) undertaking portfolio management;

(bb) undertaking development projects, including pilot projects, in industry, agriculture,commerce and other fields;

(cc) buying, selling and dealing in bullion and specie and engaging in operations inexchange;

(dd) granting and issuing letters of credit and circular notes;

(ee) receiv ing, in considera t ion of the funct ions the banks may be performing,commissions, brokerage interest, remuneration or fees;

(ff) undertaking rehabilitation of sick industries;

(gg) setting up or assisting the setting up of the necessary organisation for selling ormarketing any product of any agricultural or industrial undertaking;

(hh) engaging in the construction of warehouses, godowns, stores and buildings requiredfor agricultural, industrial and commercial activities;

(ii) acquiring or purchasing any movable or immovable property, or any industrial,agricultural, commercial or other enterprise, and managing or arranging for themanagement of such property or enterprise and selling or otherwise disposing ofsuch property or enterprise;

(jj) purchasing, leasing, letting or hire, selling outright or selling on a hire purchasebasis warehouses, godowns, stores and buildings, machinery, equipment and othergoods;

(kk) investing moneys of the bank;

(ll) conducting surveys, studies and seminars in the field of economics, finance,development, management and other related fields;

(mm) conducting lotteries and prize competitions;

(nn) the acceptance of a sum of money in any manner or form from any person for afixed period of time for investment in a business venture of the bank on the basisthat profits or losses of the venture will be shared with the person from whom suchmoney is accepted in a manner determined at the time the money is accepted;

(oo) the purchase of goods, to be sold immediately upon purchase to a buyer on deferredpayment terms provided that the goods and their suppliers are specified by suchbuyer and the price at which such goods are sold to the buyer and the deferredpayment terms are determined at the time the bank agrees with the buyer to purchasethe said goods for sale to the buyer;

(pp) any other business which the Monetary Board may authorise a licensed specialisedbank to engage in.

*** Notwithstanding a conflict between the provisions of the principal enactment asamended by Act, No. 33 of 1995 and this Act and the provisions of any written law by orunder which any authority which is required to obtain a license under such principalenactment was established, all acts, decisions or things commenced under such written lawand pending and incomplete on the date of the coming into operation of this Act, may becarr ied on and completed as i f there had been no such amendment to the principalenactment.
