TERMS AND CONDITIONS APPLICABLE TO PURCHASE OF GENERAL PURPOSE COMMERCIAL INFORMATION TECHNOLOGY EQUIPMENT (SPECIAL ITEM 132-8)

1. MATERIALS AND WORKMANSHIPAll equipment furnished hereunder must be new and satisfactorily perform the function for which itis intended.

2. ORDERA written order, EDI (GSA Advantage! and FACNET), and credit card orders shall be the basis for purchase in accordance with the provisions of this contract. If time of delivery extends beyond theexpiration date of the contract, KYOCERA will be obligated to meet the delivery and installation dataspecified in the original order.Written orders, EDI orders, credit card orders or, in the case of BPA’s or BOA’s, telephone orders arepermissible and must be backed up with a facsimile copy of the order.

3. TRANSPORTATION OF EQUIPMENTFOB DESTINATION. -All prices shown in the Price List are based on F.O.B. destination to the 48

contiguous states and the District of Columbia.Prices are F.O.B. destination to the port of embarkation within the 48 contiguous states and WashingtonDC when the ultimate destination is within Zone 2 (Alaska and Hawaii). For Shipment to Alaska and/orHawaii, the Government can select one (1) of the two (2) following options, which must be clearly indi-cated on the purchase order:

a) The item will be shipped to the port of embarkation within the 48 contiguous states andWashington, DC as indicated on the purchase order. The Government will then be responsible forshipping the product from the designated port of embarkation to the using agency.

b) The item will be shipped to the using agency directly by KYOCERA. KYOCERA will prepay thefreight and bill the using agency the exact shipping cost. The Government purchase order willindicate that freight is to be prepaid by Kyocera and billed to the Government.

4. INSTALLATION AND TECHNICAL SERVICESa. INSTALLATION. KYOCERA will install the equipment and train Government personnel in the use ofsuch equipment. Maintenance of Equipment shall be available to the Government; such servicesare listed in the price schedule section.

b. On-site network installation assistance can be obtained on an open market basis through a separate contract from the local dealer.

c. OPERATING AND MAINTENANCE MANUALS. KYOCERA shall furnish the Government with one (1)copy of all operating and maintenance manuals relating to the equipment being purchased.

5. INSPECTION/ACCEPTANCEKYOCERA shall only tender for acceptance those items that conform to the requirements of this con-tract. The Government reserves the right to inspect or test any equipment that has been tendered foracceptance. The Government may require repair or replacement of nonconforming equipment at noincrease in contract price. The Government must exercise its post acceptance rights (1) within a rea-sonable time after the defect was discovered or should have been discovered; and (2) before any sub-stantial change occurs in the condition of the item, unless the change is due to the defect in the item.

6. WARRANTY - See specific models for full details regarding warranties.a. Unless specified otherwise in this contract, the KYOCERA standard commercial warranty as stat-ed in our commercial pricelist will apply to this contract.

b. The Kyocera warrants and implies that the items delivered hereunder are merchantable and fit foruse for the particular purpose described in this contract.

7. PURCHASE PRICE FOR ORDERED EQUIPMENTThe purchase price that the Government will be charged will be the Government purchase price ineffect at the time of order placement, or the Government purchase price in effect on the installationdate (or delivery date when installation is not applicable), whichever is less.

8. RESPONSIBILITIES OF THE CONTRACTORKyocera shall comply with all laws, ordinances, and regulations (Federal, State, City or otherwise)covering work of this character, and shall include all costs, if any, of such compliance in the pricesquoted in this offer.

9. TRADE-IN OF INFORMATION TECHNOLOGY EQUIPMENTWhen an agency determines that Information Technology equipment will be replaced, the agencyshall follow the contracting policies and procedures in the Federal Acquisition Regulation (FAR), thepolicies and procedures regarding disposition of information technology excess personal property inthe Federal Property Management Regulations (FPMR) (41 CFR 101-43.6), and the policies and proce-dures on exchange/sale contained in the FPMR (41 CFR part 101-46).

1. SERVICE AREASa. The maintenance and repair service rates listed herein are applicable to any ordering activity location within a 49 mile radius of the Contractor’s service points. If any additional charge is toapply because of the greater distance from the Contractor’s service locations, the mileage rate orother distance factor shall be negotiated at the Task Order level.

b. When repair services cannot be performed at the Government installation site, the repair serviceswill be performed at one of KYOCERA plant(s) listed below:

2. MAINTENANCE ORDERa. Agencies may use written orders, EDI orders, credit card orders, or BPAs, for ordering maintenanceunder this contract. KYOCERA shall confirm orders within fifteen (15) calendar days from the dateof receipt, except that confirmation of orders shall be considered automatic for renewals for main-tenance (Special Item Number 132-12). Automatic acceptance of order renewals for maintenanceservice shall apply for machines, which may have been discontinued from use for temporary periods of time not longer than 120 calendar days. If the order is not confirmed by KYOCERA as prescribed by this paragraph, the order shall be considered to be confirmed by the Contractor.

b. KYOCERA shall honor orders for maintenance for the duration of the contractperiod or a lessor peri-od of time, for the equipment shown in the pricelist. Maintenance service shall commence on a mutu-ally agreed upon date, which will be written into the maintenance order. Maintenance orders shallnot be made effective before the expiration of any applicable maintenance and parts guarantee/warranty period associated with the purchase of equipment. Orders for maintenance service shallnot extend beyond the end of the contract period.

c. Maintenance may be discontinued by the Government on thirty (30) calendar days written notice,or shorter notice when agreed to by KYOCERA; such notice to become effective thirty (30) calen-dar days from the date on the notification. However, the Government may extend the original dis-continuance date upon written notice to KYOCERA, provided that such notice is furnished at leastten (10) calendar days prior to the original discontinuance date.

d. Annual Funding. When annually appropriated funds are cited on a maintenance order, the periodof maintenance shall automatically expire on September 30th of the contract period, or at the endof the contract period, whichever occurs first. Renewal of a maintenance order citing the newappropriation shall be required, if maintenance is to continue during any remainder of the contractperiod.

e. Cross-year Funding Within Contract Period. Where an ordering office's specific appropriationauthority provides for funds in excess of a 12 month, fiscal year period, the ordering office mayplace an order under this schedule contract for a period up to the expiration of the contract period, notwithstanding the intervening fiscal years.

f. Ordering offices should notify KYOCERA in writing thirty (30) calendar days prior to the expiration of maintenance service, if maintenance is to be terminated at that time. Orders for continued maintenance will be required if maintenance is to be continued during the subsequent period.

3. REPAIR SERVICE AND REPAIR PARTS/SPARE PARTS ORDERSa. Agencies may use written orders, EDI orders, credit card orders, blanket purchase agreements(BPAs), or small order procedures for ordering repair service and/or repair parts/spare parts underthis contract. Orders for repair service shall not extend beyond the end of the contract period.

b. When repair service is ordered, only one chargeable repairman shall be dispatched to performrepair service, unless the ordering office agrees, in advance, that additional repair personnel arerequired to effect repairs.

4. LOSS OR DAMAGEWhen KYOCERA removes equipment to his establishment for repairs, KYOCERA shall be responsiblefor any damage or loss, from the time the equipment is removed from the Government installation,until the equipment is returned to such installation.

5. SCOPEa. KYOCERA shall provide maintenance for all equipment listed herein, as requested by theGovernment agency during the contract term. Repair service and repair parts/spare parts shall applyexclusively to the equipment types/models within the scope of this Information TechnologySchedule.

b. Equipment placed under maintenance service shall be in good operating condition.(1) In order to determine that the equipment is in good operating condition, the equipment shall be

subject to inspection by KYOCERA, without charge to the Government.(2) Costs of any repairs performed for the purpose of placing the equipment in good operating

condition shall be borne by KYOCERA, if the equipment was under KYOCERA DocumentSolutions America, Inc. guarantee/warranty or maintenance responsibility prior to the effectivedate of the maintenance order.

(3) If the equipment was not under KYOCERA responsibility, the costs necessary to place the equip-ment in proper operating condition are to be borne by the Government, in accordance with theprovisions of Special Item Number 132-12 (or outside the scope of this contract).

6. RESPONSIBILITIES OF THE GOVERNMENTa. Government personnel shall not perform maintenance or attempt repairs to equipment while suchequipment is under the purview of a maintenance order, unless agreed to by KYOCERA.

b. Subject to security regulations, the Government shall permit access to the equipment, which is tobe maintained or repaired.

7. RESPONSIBILITIES OF THE CONTRACTORFor equipment not covered by a maintenance contract or warranty, KYOCERA repair service person-nel shall complete repairs as soon as possible after notification by the Government that service isrequired. Within the service areas, this repair service should normally be done within 4 hours afternotification.

8. MAINTENANCE RATE PROVISIONSa. Regular HoursKYOCERA shall bear all costs of maintenance including labor, parts, and such other expenses asare necessary to keep equipment in good operating condition, provided that the required repairsare not occasioned by fault or negligence of the Government.The basic maintenance rates for each make and model of machine shall entitle the Government toremedial maintenance service during the period 8:00 a.m. to 5:00 p.m., Monday through Friday,exclusive of holidays observed at the Government location.

After Hours Service For Which Customer Had Contractual Service1) "After Hours" is defined as time beyond the daily equipment contract coverage. After HoursService is available in most areas as determined by KYOCERA local business practices

2) After Hours emergency unscheduled maintenance service or equipment covered by Full ServiceMaintenance will be invoiced at the then current Time and Materials labor rates, which may beincreased or decreased without notice.

3) Parts are not billable on any after hours emergency or preventive maintenance calls for thosecustomers who have contractual service. Preventive Maintenance performed after hours at theCustomer’s request will be billed at the then current Time and Materials rates, which may beincreased or decreased without notice. Preventive Maintenance performed during the weekendfor customers with contracted Weekend service Coverage is also available at the then currentTime and Materials rates.

b. Travel and Transportation1) If any charge is to apply over and above the regular maintenance rates because of distancebetween the Government location and KYOCERA service area, the basis of such a charge will be$125 per hour travel time and the first 30 minutes of labor.

2) Such additional charge, if any, will apply to each remedial maintenance request, and it will be limited to one round trip for each service call.

c. Quantity DiscountsQuantity discounts from listed maintenance service rates for multiple equipment owned and/orleased by a Government agency are indicated below:

9. REPAIR SERVICE RATE PROVISIONSa. Charges. Charges for repair service will include the labor charge, computed at the rates set forthbelow, for the time during which repairmen are actually engaged in work, and, when applicable,the charge for travel or transportation.

b. Multiple Machines. When repairs are ordered by a Government agency on two or more machineslocated in one or more buildings within walking distance of each other, the charges will be computed from the time the repairman commences work on the first machine, until the work iscompleted on the last machine. The time required to go from one machine to another, or from onebuilding to another, will be considered actual work performance, and chargeable to theGovernment, provided the time consumed in going between machines (or buildings) is reasonable.

c. TRAVEL OR TRANSPORTATION1) At The Contractor's Shopi. When equipment is returned to KYOCERA shop for adjustments or repairs which are not cov-ered by the guarantee/warranty provision, the cost of transportation, packing, etc., from theGovernment location to KYOCERA plant, and return to the Government location, shall be borneby the Government.

ii. The Government should not return defective equipment to KYOCERA for adjustments andrepairs or replacement without his prior consultation and instruction.
