Summary of Benefits for Home/Host Relocation

Benefit Description

Eligibility ◗ Current internal, full-time salaried employee who accepts an international assignment on a Home/Host package at the request of the Company

◗ Includes spouse/domestic partner (who qualifies under the company’s home country benefit plan or tax laws and whom you have entered into a legally binding domestic partner agreement) and dependent children (who are 18 years old or younger or who are 22 years old or younger and in full-time education) who relocate with you on assignment

◗ Benefits must be used within one year from your effective date of transfer

Travel ◗ Trips less than four (4) hours in duration are approved for Economy Class travel

◗ Trips in excess of four (4) hours in duration are approved for Business Class travel

Home Finding Trip ◗ One home finding trip to new location for up to seven (7) days for you and your spouse/partner

◗ On-the-ground support from Destination Services Provider

◗ Reimbursement for reasonable cost of travel, lodging, meals, laundry, telephone charges and car rental, if needed

◗ Child care fees not to exceed $100 USD per day

Cross-Cultural Training

◗ Up to two (2) days of cultural training to familiarize you, your spouse/partner and children (ages eight and above) with the culture and local customs in your assignment country

Language Training ◗ Up to 100 hours of lessons for employee

◗ Up to 50 hours for spouse/partner and children (ages 5 and above)

Final Travel ◗ One way travel for you, spouse/partner and children

Relocation Allowance ◗ Allowance equal to one month’s salary capped at $10,000 USD for miscellaneous expenses

Property Management

◗ Assistance for homeowners to rent out the primary residence while on assignment

Home Sale ◗ If you will not be returning to your home location, assistance with the sale of your home may be considered

◗ Approval of Vice President of Human Resources and Vice President of Global Mobility is required

Disposition of Home Country Automobile

◗ Assistance provided due to forced sale of automobile

◗ Maximum amount of compensation will be twenty percent (20%) of the market price or the actual loss amount, whichever is less

Transport of Automobile

◗ Up to $3,000 USD toward shipment of one automobile

Appliance Assistance ◗ If appliances are not customarily included in the host location and your appliance is not compatible with voltage, reimburse of up to $3,000 USD will be provided

Electronics Allowance ◗ One time per family, where the electrical current/voltage differs, reimburse of up to $2,500 USD will be provided

IntroductionInternational assignments create a valuable, career-enhancing opportunity for selected employees to grow professionally in different working environments. An international assignment will provide you with a one-of-a-kind forum to apply your knowledge, skills, and experience in areas that will enrich your professional career. PepsiCo wants your international assignment experience to be a rewarding professional and personal achievement. At the same time, you will be helping to achieve PepsiCo’s mission to be the world’s premier consumer products company focused on convenient foods and beverages.

Statement of Policy

The purpose of this document is to set forth and explain the relocation policy of PepsiCo, Inc., its divisions, subsidiaries and affiliates (the “Company”) to eligible internal, full-time salaried employees of the Company who accept an international assignment on a Home/Host Package at the request of the Company. The intent is to treat assignees fairly and equitably by providing financial assistance for many of the expenses associated with relocating.

Policy Objectives

This policy describes the assistance the Company will provide to help you with your relocation to the assignment location. This policy has been specifically designed to attract and support assignees in global service and to ease the transition into a new cultural environment. The Company’s objective is to ensure, to the extent possible, that the overall experience of working and living in a different culture is rewarding for you and your family.

The policy is also intended to:

◗ Minimize obstacles of relocation through support services and by reasonably reimbursing assignees with respect to move relocation-related expenses

◗ Establish impartial guidelines to support the consistent administration of the program and thus ensure equitable treatment for all Company international assignees

◗ Ensure the Company and its employees uphold the highest standards of business conduct by ensuring compliance with legal, work permit/visa obligations and tax requirements in the home and host locations

General InformationSection 1

Assignment Eligibility/Duration

This program applies to existing, full-time, salaried employees of the Company who are assigned temporarily at the Company’s request from their employment home country to work in another country on a Home/Host Package.

This policy does not apply to international-to-local moves, international unaccompanied assignments or relocations within one country.

Your eligible dependents that move with you to the assignment location are eligible for relocation assistance under this policy. Your eligible dependents consist of your legal spouse, domestic partner (who qualifies under the Company’s home country benefit plan or tax laws and with whom you have entered into a legally binding domestic partner agreement), and dependent children who relocate with you on assignment. Dependent children consist of your children, including stepchildren, who are 18 years old or younger, or who are 22 years old or younger and in full-time education.

In the event an additional member of your family/household is asked to accept an international assignment in the same location, only one set of relocation provisions will apply under this policy.

In order for the Company to initiate and cover your relocation expenses, you must have a fully executed Letter of Understanding indicating that you are eligible for relocation assistance.

Policy Interpretations/Changes

The Company maintains overall responsibility for the relocation policies and procedures. The policies are under constant review to ensure that changes in existing policies are responsive to:

◗ Competitive practice

◗ The Company’s business conditions

Although these policies have been designed to be as comprehensive as possible, the Company may change the policy to better meet the needs of assignees or to permit the Company to address diverse business and social environments and competitive practices.

Policy Administration

PepsiCo Inc.’s Global Relocation Department is responsible for the administration, interpretation and approval of this program and any interpretations and determinations made by the Global Relocation Department are final and binding on all relevant parties.

As there are numerous essential activities that must take place in the selection and preparation of international assignees and their families, the Company has developed a process to ensure that both company and personal needs are addressed in as timely and complete a manner as possible. The Company has selected and partnered with Cartus, an international relocation management company, to provide assistance to you.

You will be assigned a dedicated International Assignment Consultant (IAC) who will be your central point of coordination during the relocation process. All questions related to the interpretation, application, or administration of any of the provisions under this policy should be directed to your designated IAC.

The Company does not normally permit exceptions to policy. However, if a unique or exceptional circumstance arises, there is a formal process in place that must be followed in all instances. Any exception request must be submitted in writing and directed to your Cartus IAC. Your IAC will submit your request to Global Relocation. Any policy exceptions will require written approval by the Vice President of Human Resources and the Global Relocation Director. Verbal approvals will not be honored.

Reimbursement of Expenses

You will be reimbursed for reasonable, necessary and properly authorized expenses covered by this policy. You are expected to maintain expenses at a conservative level. The Company may, at its discretion, choose not to reimburse, in full or in part, any expense that is deemed unreasonable or excessive. Only expenses that are incurred as a direct result of the move are eligible for reimbursement. All requests for reimbursement must be submitted to Cartus as soon as possible. For expenses that will be directly reimbursed to you, Cartus will process your expense reimbursements when your completed relocation expense report and original receipts are received. You should expect reimbursement within seven (7) to ten (10) business days.

All dollar amounts stated in this policy are in U.S. dollars. Expenses not addressed in this policy and business-related expenses are not eligible for reimbursement under this policy. Use of your corporate credit card is not permitted for relocation expenses.

General InformationSection 1

Reimbursement of air travel will be limited to the actual cost of Economy Class fare for trips with durations less than four (4) hours. Trips with durations of four (4) hours or greater will be eligible for reimbursement at the actual cost of Business Class fare. Please note this policy will supersede any local/regional T & E policies.

Cartus is capable of wiring funds in multiple currencies; however, refer to your Cartus IAC for eligible currencies. To receive a wire, you must provide the Cartus Financial Control Team with your bank account information, including: bank name, address, telephone number, account number, routing number and IBAN number in Europe. The Company will cover the fees, if any, associated with wiring funds to your bank. For security purposes you will need to send your banking information to [email protected].

The use of your corporate credit card for relocation expenses is strictly prohibited.

Important: Reimbursement Notes ◗ You are required to submit all items eligible for reimbursement as soon as

possible. Submissions via the online expense report must be made within your one (1) year eligibility period and in no event later than February 15th of the year following the year in which you incurred the expense.

◗ Unless otherwise stated, all reimbursement payments will be made to you as soon as administratively practicable following your submission of the online expense report. In no event will payments be made later than March 15th of the year following the year in which you incurred the expense

◗ If your employment terminates for any reason, all relocation benefits will immediately cease, including but not limited to recurring benefits, tax assistance recalculations and allowances.

In certain circumstances you may be able to obtain a cash advance for certain relocation expenses through your Cartus IAC. Each advance must be cleared with your next request for reimbursement or by repayment in full within thirty (30) days, whichever is earlier.

Use the following steps for online submission of expenses:

Exchange Rates

The Company will not be responsible for any loss incurred as a result of changes in the value of currency. In terms of your expense reimbursements, Cartus will purchase funds from reputable financial institutions. You will be reimbursed the same amount as the currency you paid. Reimbursement in an alternative currency carries with it the risk of devaluation during the exchange.

Repayment Agreement

Moving an employee is a substantial investment by the Company. Therefore, if you voluntarily leave the Company or are terminated for gross or willful misconduct within one (1) year after your date of transfer or during your relocation, all payments by the Company under this policy will cease. Additionally, you will be required to repay all of the expenses incurred by the Company with respect to your relocation.

Tax Assistance

Tax treatment of relocation expenses and the tax impact of the activities addressed in this policy vary from country to country. Prior to your assignment with the Company, you are entitled to receive tax advice by the Company-designated tax provider.

Time Off for Relocating

At the discretion of your manager you may be granted up to three (3) days off in the home and host locations in order to address relocation-related issues. Please consult with your manager for approval.

Assignment TermsSection 2

General Assignment TermsAssignee—An employee of the Company who has been authorized to live and work outside of their home country or “country of origin” on a temporary assignment.

Company—PepsiCo, Inc. together with its divisions, subsidiaries and affiliates.

Eligible Dependents—Your legal spouse, domestic partner (who qualifies under the Company’s home country benefit plan or tax laws and with whom you have entered into a legally binding domestic partner agreement) and dependent children who relocate with you on assignment. Dependent children consist of your children, including stepchildren, who are 18 years old or younger or who are 22 years old or younger and in full-time education. Depending on host country immigration requirements, relocating domestic partners may be subject to immigration limitations.

Home Location or Home Country (point of origin)—The city and country agreed upon at the beginning of an international assignment. The designation of the home location is important, as it will determine the application of this policy for benefits such as shipment of household goods, travel to and from the assignment location, and terminations. Generally, the home location is the location in which the assignee was domiciled prior to the assignment.

Host Location or Host Country (assignment location)—The city and country to which the assignee will reside and work while on assignment.

International Assignment Consultant (“IAC”)—The consultant assigned by Cartus, PepsiCo’s designated international relocation management company, to work with the assignee and family from initiation of the assignment until the family is safely repatriated. The consultant provides relocation policy counseling and interpretation, makes arrangements for necessary briefings, and interacts with all necessary service providers during the term of the assignment.

Repatriation—Repatriation is the term used to describe the return of an assignee to his or her home country following completion of the international assignment or separation from the Company.

As you begin the pre-assignment process, there are a number of items that you should consider and initiate as early as possible. Some of these items include the following:

Online Resources—The Company encourages you to familiarize yourself with the relocation information available on www.mypepsico.com under the Pay, Benefits & Career, under Relocation, International or use the following link: https://www.mypepsico.com/eportal/site/eportalcom/paybenefitsandcareer/intlrelocation. Many helpful websites and links as well as policies and contacts are accessible on the site to support you throughout your transition.

Your Cartus IAC will provide you with information pertaining to the Cartus website, CartusOnline®. This website can be utilized to find valuable information regarding your destination location, your home sale guidelines, up-to-date move statuses and several checklists to help you prepare for your relocation. There are also activities and games for children to get them involved in the move. CartusOnline® is accessed through https://online.cartus.com (Note: you must be registered before you can gain access, please contact your Cartus IAC for assistance)

Items that should be excluded from shipping—There are specific items that the moving company will not ship. There are also items that the Company will not pay to ship and those that we recommend you carry in your possession. Lastly, there are some countries that do not allow some items to be shipped. Your Cartus IAC will review the guidelines and parameters surrounding your household goods shipment, which is further detailed in this policy

Home country automobile disposition—If you are considering selling/disposing of your home country automobile prior to departure, you should get started on this process as early as possible. The Company will provide some financial assistance as you dispose of your automobile, which will be explained later in the policy

Insurance—The Company suggests that you re-evaluate your personal insurance coverage prior to embarking on your international assignment. Any additional insurance premiums as a result of your assignment, or required changes in coverage, will be at your own expense

Passports, Visas, Work and Residency Permits

Depending on the assignment type and the origin and assignment locations, a work permit/visa and residence permit may be necessary before a non-citizen can live and work in the assignment country for an extended period of time. As a result, application of the work permit/visa must be initiated upon acceptance of the new assignment. It is critical that you provide all the required documentation as soon as possible. The work permit process may take six (6) weeks to six (6) months, or longer, depending on the host location regulations and requirements.

The work permit/visa is an endorsement added to a passport by a foreign embassy official denoting that the required credentials have been issued and the bearer is authorized to enter, live, and work in the country for a specified period of time. You are also responsible for ensuring that passports and travel documents for all family members are valid while living in the host location.

The Company will pay and/or reimburse for the cost of obtaining work permits and visas for you and your eligible dependents. Reimbursement of reasonable expenses associated with obtaining proper visa documentation includes: immunizations, insurance above and beyond normal coverage, transcript(s), certified copies of birth certificates, marriage licenses, divorce decrees, and visas. The Company will not cover expenses associated with obtaining passports for you or your accompanying family members.

Assistance in securing passports, visas, work and residence permits may be coordinated by the Company or your Cartus IAC. Your IAC will work with you and the immigration provider to assist in obtaining all proper work-related documentation and monitor expiration dates as appropriate. The Company does not assist or cover the expenses associated in obtaining work authorization documents for family members.

It is important to note that in many countries importation of household goods is not permitted until the proper visa/work permit has been granted. You should register with your Home Country Embassy as soon as arriving in the host location.

Depending upon the destination country, there may be many documentation requirements for passports, visas and work permits. Some materials that might be required are:

◗ Divorce papers

◗ Adoption papers

◗ Brief resume of education, job experience, etc.

◗ Passport photos (obtain a minimum of twelve (12) photos per family member that will be expatriating for future use with registrations, permits, licenses, etc.)

◗ Job description and/or a list of the types of services to be performed

It is also recommended that you prepare two (2) duplicate sets of this information, one (1) which can reside with a trusted colleague or family member, and another to carry with you to the assignment location.

* Certified copies are issued by the official authorities of the appropriate city, county, state, province, etc. and include a raised and/or multicolor seal or stamp of the official custodian of such records. Duplicated copies are not acceptable. Since these documents are not returned, it is a good idea when initially obtaining certified copies to request more than one (1) copy. Additional certified copies might also be required during your assignment period for visa renewal purposes.

Travel Arrangements

You are responsible for making your own travel arrangements, either through your own travel company or you may schedule travel through one of the Company’s primary travel agencies. If you are interested in having your airfare directly billed to the Company, this can only be accomplished through certain travel agencies. To pursue this option, contact your Cartus IAC who will need to authorize your move with the applicable travel agency.

If you are scheduling your travel personally, expenses should be charged to your personal credit card. The Company will reimburse all relocation-related travel expenses through Cartus. Do not charge these expenses to your corporate credit card.

Trips that are less than four (4) hours duration are approved for Economy Class travel. Trips in excess of four (4) hours duration are approved for Business Class travel. A trip is considered the complete time from origin to destination, regardless of interim stops or plane changes.

If car rental is applicable, cars should be rented through one of the Company’s preferred rental car providers in order for vehicle insurance to be included. If a Company-preferred rental car provider is unavailable, you are required to purchase the damage insurance. The Company will reimburse the insurance coverage.

Pre-Assignment/Home Finding Trip

Upon acceptance of your new assignment, you and your spouse/domestic partner will be eligible to take one (1) home finding trip to your new location for a maximum of seven (7) days. Reimbursement will include the reasonable cost of travel, lodging, meals, laundry, telephone charges and car rental, if needed. Children and other travelers will not be eligible for expense reimbursement. The Company will reimburse reasonable and documented childcare fees, not to exceed $100 USD (or local currency equivalent) per day. The Company will reimburse airfare expenses up to $700 USD (or local currency equivalent) if you wish to have a family member stay with young children in lieu of the babysitting expense.

Travel Accident Insurance is provided by the Company while you are traveling to locate a residence.

Your Cartus IAC will arrange for a professional Destination Services Provider to support you on the ground in your assignment country. This support will consist of area orientation, accompanying you and your spouse/domestic partner while house hunting, reviewing the lease, settling in support, providing you with a school overview, the location of medical facilities and shopping.

Fees associated with leasing suitable accommodations in the host country, including the cost of the agent’s fees, are covered by the Company. Additionally, an advance may be made to cover any deposit, key money or other required prepayments. These funds must be repaid, in full, upon termination of the lease.

Your lease agreement must be for a minimum of two (2) years and contain the diplomatic clause located in Appendix A. If local custom dictates shorter term leases, then review the situation with your Cartus IAC and seek approval from the Company prior to signing.

Due to the inherent temporary nature of an international assignment, employees must rent housing in the host location. A decision to purchase a home in the assignment location will result in immediate conversion of your pay package to that of a local employee, based entirely on host location pay policies and practices. In addition, the Company will not provide any assistance with the purchase or the subsequent sale of the property. This includes, but is not limited to, closing costs, agent’s fees or additional interim living coverage while buying or selling a home.

If circumstances beyond your control require you to move to a new residence within your current assignment location, you will receive additional home finding support to find another residence. You will also be reimbursed for packing and movement of your household goods. No assistance will be provided, however, if you voluntarily elect to change residences.

Cross-Cultural Training

To ensure that you and your family are familiar with the culture and local customs in your assignment country, the Company provides you and your accompanying family members with up to two (2) days of cross-cultural training. Arrangements for this service will be made by your Cartus IAC. You and your spouse/domestic partner are strongly encouraged to participate. Children aged eight (8) and above are also eligible for cross-cultural training. Training can be arranged in either home or host country.

This training will prepare you and your family for the cultural differences between your home and host locations and assists in building the skills needed for living day-to-day in the new environment. Through this training, you will learn about the host country’s history, typical business and social practices, current events and economics, housing and local customs. Keep in mind that cultural differences exist even where the same language is spoken.

Language Training

In order to ensure that you and your accompanying family members are able to effectively communicate in the language of the assignment country, the Company provides language lessons for your accompanying family members if deemed necessary. This training will be arranged through your Cartus IAC.

Maximum hours per person

Assignee 100 hours

Spouse/domestic partner and accompanying children(children age five and up)

50 hours each

Typically for the employee, your initial language training should begin prior to your arrival in the host country. Emphasis is placed on verbal and written communication skills and is generally provided through a total immersion program. For your family, emphasis is placed on conversational and spoken skills after arrival in the host country.

Final Trip Travel Guidelines

One-way travel, using the most direct route to the assignment location, is authorized for you and all eligible dependents during relocation. If any part of your trip lasts more than eight (8) hours, the Company will pay for a one-night stopover. Reimbursable stopover expenses include local hotel and meals for you and eligible dependents. Excess baggage up to 50 kilos and transportation to and from the airport is also reimbursed. Side trips to other locations are prohibited from reimbursement.

Travel Accident Insurance is provided by the Company while you are in transit from your old location to your new location.

Relocation Allowance

To assist you with miscellaneous expenses incurred as a direct result of the move, you will be granted an allowance equal to one (1) month’s base salary at the post transfer rate not to exceed a cap of $10,000 USD (or local currency equivalent). The allowance is designed to assist in covering incidental expenses not covered by the international assignment policy or that may be unique to your family. Expenses may include, but are not limited to the following:

Special clothing needs

You should initiate payment of your relocation allowance with your Cartus IAC within thirty (30) days of your effective transfer date. Failure to do so will render you ineligible to receive it. No receipts are required to substantiate this payment. If circumstances require you to move to a new residence within your current assignment location, you will not receive a second relocation allowance.

Home Country Support ServicesDisposition of Home Country Housing

The Company recognizes that the disposition of an assignee’s home country residence is a personal matter. For homeowners, the Company provides property management assistance or, in some cases, home sale assistance. For assignees who are renting in their home location, the Company provides lease cancellation assistance.

Property EligibilityFor the purposes of this program, an assignee’s home is defined as a single-family residence that is used as the principal and permanent residence of the assignee.

Specifically excluded are co-operative apartments, seasonal, vacation or second home properties, farms, houseboats, mobile homes, and any property used for commercial purposes or investment only, and/or any other real estate other than the home country primary residence.

HomeownerIf you own a home in your home country, the Company will provide you with reimbursement for the fees associated with property management while you are away on assignment. If you reside in a country where Cartus has approved property managers, you may use that service or elect to utilize an agent/service of your selection. If the Human Resources Vice President for the Region and the Vice President of Global Mobility determine that you will not return to your former location, then you may be approved for home sale assistance. This determination should be made during the offer process.

If you have been given a choice of property management or home sale assistance, you will be required to communicate your decision to your Cartus IAC within thirty (30) days of your assignment acceptance. Once you have entered into a program, you are not eligible to receive the other type of assistance. Should you not enter into a program within the thirty (30) day timeframe, you will be considered to have waived all rights to the property management or home sale assistance programs.

The homeowner programs are described in more detail below. The Company’s tax partner is available to discuss the tax implications of the various housing options.

Property ManagementYou may manage the home rental process independently or through the Company’s designated Property Management Firm, if available. This coverage is provided throughout your assignment as long as you continue to own the residence. The Company assumes no obligation to provide managed services outside of the countries where Cartus has an established program. The countries where Cartus provides Property Management services may be subject to change at no obligation to Cartus or the Company. Note: if you embark on consecutive assignments and you do not participate in property management during your first assignment, property management is not automatically authorized for any future assignments.

Any lease agreement you enter into on your home country residence must contain a sixty (60) day Diplomatic Clause enabling you to terminate the lease with proper notice. This provision will protect you and the Company when you repatriate. Note: if your family does not relocate at the same time as you, this service should be initiated within thirty (30) days of the date the last family member vacates the residence, or one year, whichever is earlier. If not, service is waived.

Self ManagedIf you manage the rental of the home independently, you will be reimbursed for payment of reasonable agent’s fee and legal fees associated with leasing and management of the property.

Reimbursement for mortgage interest, property taxes, homeowner’s insurance, and utilities will be provided for up to three (3) months if the home is vacant. In the event that the monthly rental income during tenant occupancy falls short of the actual monthly mortgage interest, insurance and property tax costs, the Company will reimburse the loss amount, not to exceed the amount of your Housing and Utilities Expense, if applicable. Submit all eligible expenses to Cartus for reimbursement.

Property Management Firm If you utilize the Company’s designated Property Management Firm, the selected firm will normally be responsible for obtaining and screening prospective tenants, collecting and disbursing all rental monies, accounting for all transactions and conducting regular property inspections. The fees for providing property management assistance are paid for by the Company; however, maintenance expenses are your responsibility.

Services provided to you by the Property Management Firm are described as follows:

Inspection—A local area representative will be selected by the Property Management Firm to accompany you on a final walk-through to document the condition of your home. Interior and exterior photos will be taken and a condition checklist will be completed. The inspection process is repeated with the tenant when a tenant occupies and departs the property.

In addition, the local representative will make quarterly inspections of your property to ensure that the tenants are keeping it maintained properly.

Mortgage Payments and Real Estate Taxes—The Property Management Firm will advance funds against your account for all mortgage and tax payments, or will invoice you directly for any outstanding balances.

Insurance—You will be responsible for maintaining adequate insurance coverage. A typical homeowner’s policy is invalid if the home is vacant for a period exceeding thirty (30) days. You may choose to provide insurance or, in certain locations, the Property Management Firm can arrange insurance coverage. If the Property Management Firm arranges insurance, funds will be advanced against your account or invoiced to you directly. If your insurance increases due to the property being vacant, the Company will reimburse you for the excess amount during the vacancy period.

Utilities—The Property Management Firm will advance funds against your account for payment of utilities unless you elect to retain that responsibility.

Home Maintenance and Repairs—The Property Management Firm will advance funds against your account for landscape maintenance. Landscape maintenance includes, but is not limited to, lawn mowing, leaf removal, snow removal, home winterization and pool service.

Cleaning—You must leave the house in clean, rentable condition. If necessary, the Property Management Firm will order professional cleaning upon your vacating the property and advance funds against your account for payment, or invoice you directly. The Property Management Firm will arrange to have the house professionally cleaned between tenants.

Attorney Fees—In the event a legal issue develops, the Property Management Firm will, upon your authorization, obtain legal counsel and advance funds against your account or invoice you directly for all fees and costs incurred. If you elect not to retain the legal assistance recommended by the Property Management Firm, you agree that the firm will have no further responsibility for the issue in question.

Vacancy—If your property cannot be leased for a period of time between tenants, the Company will cover the monthly mortgage interest, insurance, property taxes and utility charges for up to three (3) months.

Rental Income Loss/Gain—In the event that the monthly rental income during tenant occupancy falls short of the actual monthly mortgage interest, insurance and tax costs, the Company will reimburse the loss amount, not to exceed the amount of the Housing and Utility Expense.

The Company will not provide assistance for home sale or reimbursement of home selling closing costs, subsequent to one’s participation in the property management program. The employee is only entitled to one (1) program per residence regardless of the number of transfers or assignments.

Home Sale Assistance—EligibilityEligibility for home sale assistance is determined by the Vice President of Human Resources for the Region and the Vice President of Global Mobility. If you are eligible for home sale assistance, the primary residence must be sold within one (1) year of your transfer date in or to receive the benefit.

The Company will reimburse reasonable and customary sellers closing costs related to the sale of your home subject to country-specific limitation including:

◗ Brokerage commission earned by a licensed real estate broker

◗ Mortgage prepayment penalties, required by lender, not to exceed two percent (2%) of the mortgage amount

◗ Other selling expenses such as one (1) time statutory fees resulting from the transfer of property (including tax associated with transfer, municipality fees, document preparation and recording fees), title review and/or insurance, attorney/notary/solicitor fees consistent with local requirements

In addition, the Company will reimburse round trip airfare to attend the closing if needed and duplicate housing expenses up to 120 days. Duplicate housing expenses include mortgage interest (not mortgage principal), property taxes and insurance.

Renter—Lease CancellationIf you rent your primary residence in your home location, the Company will reimburse up to three (3) month’s rent to cancel your lease, if required by the lease agreement. The Company will not reimburse penalty or expenses incurred as a result of failure to provide the landlord with appropriate written notice of intent to vacate, damage to the property, or vacating condition requirements. Receipts (i.e., cashed checks, letters from the landlord) for eligible expenses must be submitted to Cartus for reimbursement.

If you are departing an international assignment location, you will be provided with Departure Services to assist you with meeting all of the requirements for breaking the lease in your host country. You or your spouse/domestic partner is required to participate in the final walk-through with the landlord. Failure to attend will deem you responsible for the landlord’s findings in the case of a dispute.

Upon repatriation to the home country as an active employee, your home assistance will be as follows:

You will be expected to return to your place of residence. No home sale assistance or home purchase assistance will be available in that location

Home Automobile AssistanceDisposition of Home Country Automobile(s)

Loss on SaleThe Company provides coverage to help minimize your financial exposure due to a forced automobile sale. Coverage is based on the difference between the selling price and the average “market price” for a comparably equipped vehicle of the same make and year. Your IAC will guide you as to what resources are acceptable to use in determining market price. In the U.S., U.K. and Australia, the market price will be the average of the wholesale and retail prices quoted in the “Used Car Guide.” In countries where no guide is available, the market price will be the average of Dealership Trade-In value and current advertised prices. All methods of determination will take into consideration the condition of the vehicle, mileage and amenities. You must collect proof of value, ownership, sale and payment when submitting this expense for reimbursement. Required documentation includes:

◗ Proof of car value: Copy of online, newspaper or dealership car valuation

◗ Proof of ownership: Copy of title, insurance or registration document

◗ Proof of sale: Bill of sale or receipt

Disposal of Leased CarThere are two (2) ways to dispose of a leased car. The first method is to turn in your car early and pay the penalty to the leasing company. The second is to purchase the car from the leasing company and then turn around and sell it. In either case, the Company will provide coverage to help you minimize your financial exposure. The Company assistance will be based upon the leasing company’s established selling price for the car. The maximum amount of Company reimbursement will be twenty percent (20%) of the leasing company’s established selling price.

Once you decide the method of disposal for your car, then you will need to submit proper documentation to your IAC to receive coverage. If you choose to pay the penalty and turn your car in early, you will need to obtain a selling price on the vehicle from the leasing company. The Company will use that selling price to determine the amount of assistance. In addition, you must submit a copy of the lease, documentation of the penalty and your proof of payment.

If you choose to purchase the car and then sell it, you will need to submit documentation of the purchase price (the leasing company’s established selling price), proof of payment, as well as proof of the sale. The proof of sale can be a copy of the buyer’s payment or documentation of payment from a financial institution. If you need an advance from the Company in order to pay off the lease, your IAC can assist you with an advance of funds. You will have thirty (30) days to repay the advance or submit your paperwork plus any funds owed to clear the advance.

Examples of Loss Coverage:

Relocation AssistanceTemporary Living Expenses

The Company will cover reasonable expenses associated with up to thirty (30) days of temporary living between the home and host location, at a Company-approved facility. Temporary living may be required as you vacate your residence in the home location and while awaiting the arrival of your household goods in the host location. This includes the cost of lodging, meals, rental car (if no company car or car allowance is provided), bi-weekly housekeeping and laundry while in temporary living. You may choose to rent furniture and stay in your new home in lieu of temporary living coverage. Non-move-related expenses will be the employee’s responsibility and business expenses should be handled through the Company’s T & E process. Your Cartus IAC can help clarify questions regarding eligible expenses.

Appliance Assistance

You should negotiate your lease to include all appliances. If appliances are not customarily included in the host location, and your appliances are not compatible with the voltage, then the Company may provide you with a reimbursement to acquire appropriate appliances. Receipts will be required for reimbursement. The assistance provided will be up to $3,000 USD (or local currency equivalent). Purchased appliances should be sold at the conclusion of the assignment and the proceeds should be returned to the Company. Please note that assistance will only be provided in locations where appliances are not commonly included in the rent for that location.

Electronics Assistance

If you are moving to a location where the electrical current/voltage differs from your home country, you are eligible for an electronics reimbursement one time only to offset expenses associated with the purchase of electronics. You will be reimbursed the actual cost of specific eligible electronics up to $2,500 USD (or local currency equivalent). Receipts will be required for reimbursement. Please note that personal computers are not covered by the Company.

Eligible electronics include:

New purchases must be adaptable to multiple currents so the appliances can be used in subsequent assignment locations. The Company will only assist with the purchase of electronics one (1) time per family.

Furniture Allowance

The Company may provide an allowance for the purchase of furniture in your assignment location in lieu of shipping your household goods from your home country. The allowance is based upon a portion of the savings realized from storing your belongings versus shipping them. In some cases, a savings may not exist. If you choose the furniture allowance, you will be permitted to store your furniture in the home location at the Company’s expense.

Any incremental shipping cost and applicable duties/customs will be your responsibility. In the event you are transferring to a new assignment, not returning to your point of origin, the Company will ship your purchased furniture and some stored furniture, if needed, not to exceed the existing policy limits.

Moving to AMEA (Africa, Middle East, Asia) RegionIf you are moving to the AMEA Region and you elect not to move your household effects, a Furniture Allowance will be provided in the amount of $10,000 USD. You will be allowed an air shipment for personal belongings up to a maximum of 2000 lbs. Partial shipments, or combining shipment and the allowance, will not be permitted. You will be provided storage for your household goods at your origin or home location for the duration of the assignment.

Household Goods Shipment

The Company will provide for the packing/unpacking, shipment, and delivery of allowable personal and household effects from the home country to the host location. At the host location, the moving company will assemble any goods that were disassembled for shipping purposes. The Company will not cover fees for the assembly of new furniture at the host location.

Move requests within the same host location and assignment term are not authorized. Any expenses associated with household transport after relocation into the host country will be your responsibility.

Please note that the work permit/visa must be approved before the transportation of household goods can be authorized.

Surface Shipment LimitationsMaximum shipping limits may vary based on family size.

You must ship the majority of your household goods by surface transportation, unless shipping by air can reduce your handling charges or temporary living expenses. Your Cartus IAC must review requests to ship by air. Alternatively, you and your family may take necessary items as excess baggage when you fly to your new location. Reasonable excess baggage charges up to 100kg per person will be reimbursed by the Company.

Import/Customs DutiesIn cases where import duties are assessed, the Company will pay any expenses levied on normal personal effects and household goods. Any duties on items included on the restricted items list will be your responsibility.

InsuranceThe Company will provide insurance, at replacement value, for all normal household goods while in transit and/or in permanent storage. If an item is damaged, the insurance company will determine if the item can be repaired. If the item cannot be repaired, a replacement will be made with material of like kind and quality. You are required to complete a valued inventory list prior to the move for items you consider to be of high value. You should be provided a specific form for these items.

Appliances or special wood furnishings do not store well and it’s recommended that you consider disposing of items with high depreciation or low value rather than storing these goods. Insurance on stored goods does not cover damage due to climatic conditions (e.g., heat and humidity). The cost of storage access while on assignment will be the assignee’s responsibility.

Returning from your Assignment

When your assignment is completed, you will be responsible for the cost of shipping any items that exceed the allowable volume or weight. The allowable volume or weight is ten percent (10%) higher than the original shipment volume and weight limits described above.

Household Pets

The Company provides a maximum reimbursement of $2,500 USD (or local currency equivalent) for the shipment of domestic household pets (i.e., dogs, cats) to the assignment location, as permitted by the host country. Should additional funds be necessary for the shipment of pets, the assignee is required to utilize the relocation allowance. The Company will not support shipment for pets other than dogs and cats.

You should be aware of customs, quarantine restrictions, and other requirements for bringing animals into the host country. Veterinary preparation and quarantine requirements will be at your expense. Check the quarantine regulations with the Moving Coordinator. Planning ahead can provide you with alternatives to costly quarantine at the host location.

Host Country Assistance Automobile—Loan for Purchase

The Company will provide you with one (1) interest-free loan to assist you in purchasing a personal car in your new location. The loan is available whether or not you are assigned a company car. The loan will be paid to you at the time of your actual car purchase. The loan amount provided cannot exceed $9,999 USD.

The loan will be repaid, in full, through bi-weekly payroll deductions over a two (2) year period. If you are transferred to another country location or terminate your employment before the end of the two (2) year period, the loan must be repaid or deducted from your pay, in full, prior to your departure.

Destination Transition Support & Spouse/Domestic Partner Job Search Assistance

Professional Service Firm The Company recognizes that you and your family may need assistance in transitioning into the new location and that the needs related to relocation vary with each individual. The service provides transition support as well as job search assistance for your spouse/partner through coaching, customized research and materials, as needed, by a personal consultant who provides ongoing support for up to one (1) year from your effective date of transfer.

If you are interested, your IAC would initiate the service at the time the move process begins and a pre-assessment call will be conducted by IMPACT Group to help you determine what assistance would be beneficial to you and your family.

Reimbursement OptionIf your spouse/partner does not elect to use the IMPACT Group for job search assistance, the Company will reimburse expenses associated with activities that facilitate entry into the job market or to stay current in his or her field of work up to a maximum amount of $2,500 USD.

The Company will provide you with school consulting services if you have a child in elementary school beginning at age 5 through grade twelve (12). Your Cartus IAC will initiate services with School Choice International. School Choice will provide three (3) hours of counseling with an independent educational consultant.

If you have a child with special needs, a more extensive service will be made available to you. When authorized, School Choice International provides assistance with selection and entrance into appropriate schools based on ability and need to re-enter home-based school systems.

This service does not provide reimbursement for tuition or related fees.

Compliance with Code Section 409AIt is the intention of the Company that any benefits or reimbursements provided under the Policy are exempt from section 409A of the U.S. Internal Revenue Code because (i) such benefits are not taxable to the employee, (ii) the Policy does not represent a legally binding right, or (iii) the benefit or reimbursement will be provided within 2 ½ months following the end of the year in which the expense was incurred.

However, with regard to any payment relating to tax preparation and assistance that would fit within the definition of the term “gross-up payment,” such payment shall comply with the requirements of Treas. Regulation § 1.409A-3(i)(1)(v) (or any successor provision) and shall be paid to or on behalf of the employee no later than the end of the taxable year following the employee’s taxable year in which the taxes were paid to the taxing authority. With respect to any other payment of tax costs, this Policy shall comply with Code section 409A and Treas. Reg. § 1.409A-3(i)(1)(iv) with regard to the requirements for reimbursements, as described below, to the extent applicable, for the period that an employee’s tax-equalization rights under this Policy exist.

To the extent any other reimbursements or in-kind benefits provided under the Policy are subject to Code section 409A, such reimbursements, payments, or in-kind benefits, will be provided by the Company in accordance with Code section 409A and Treas. Reg. § 1.409A-3(i)(1)(iv). Accordingly, the Company shall reimburse the employee for any such fees and expenses promptly upon delivery of reasonable documentation, provided, however, all invoices for reimbursement of fees and expenses must be submitted to the Company and paid by the end of the calendar year following the calendar year in which the fee or expense was incurred. The reimbursements made or benefits provided during one calendar year shall in no way affect the reimbursements made or benefits to be provided in any other year and the right to the reimbursements or benefits shall not be subject to liquidation or exchange for any other benefit.
