An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in theConsolidated Financial Statements. The procedures selected depend on the auditor's judgment including theassessment of the risks of material misstatement of the Consolidated Financial Statements, whether due tofraud or error. In making those risk assessments, the auditor considers internal control relevant to theentity's preparation and fair presentation of the Consolidated Financial Statements in order to design auditprocedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion onthe effectiveness of the entity's internal control. An audit also includes evaluating the appropriateness ofaccounting policies used and the reasonableness of accounting estimates made by management, as well asevaluating the overall presentation of the Consolidated Financial Statements.

We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for ouraudit opinion.

OpinionIn our opinion, the Consolidated Financial Statements presentfairly, in all material respects, the ConsolidatedFinancial Position of Dnet as at 30 June 2018 and (of) its financial performance and its cash flows for theyear then ended in accordance with International Financial Reporting Standards (IFRSs) and other applicableLaws and Regulations.

We also report that:

a) We have obtained all the information and explanations which to the best of our knowledge and beliefwere necessary for the purpose of our audit and made due verification thereof;

b) In our opinion, proper books of account as required by laws have been kept by Dnet so far as it appearedfrom our examination of those books; and

c) The Consolidated Statement of Financial Position and the Consolidated Statement of othercomprehensive income dealt with by the report are in agreement with the books of account.

Auditors' ResponsibilityOur responsibility is to express an opinion on these Consolidated Financial Statements based on our audit.We conducted our audit in accordance with International Standards on Auditing (ISAs). Those standardsrequire that we comply with ethical requirements and plan and perform the audit to obtain reasonableassurance about whether the Consolidated Financial Statements are free from material misstatement.

Management's Responsibility for the Financial StatementsManagement is responsible for the preparation and fair presentation of these Consolidated FinancialStatements in accordance with International Financial Reporting Standards (IFRSs), and for such internalcontrol as management determines is necessary to enable the preparation of Consolidated FinancialStatements that are free from material misstatement, whether due to fraud or error.

3.02 Property, plant & equipment and Intangible AssetsProperty, plant and equipment: Property, plant and equipment are shown at cost less accumulated depreciation.

Depreciation and AmortizationDepreciation on tangible are computed using "Straight Line method" at rates varying from 10% to 30% depending upon theuseful life of each asset. Depreciation on fixed assets addition has been charged according to policy of Accounting & FinanceManual. Depreciation was charged on items from the acquisition date.

3 Accounting polices

3.01 Basis of preparation of financial statementsThe Financial Statements of the organization have been drawn up on a going concern basis under the historical costconvention. Accrual basis of accounting has been followed in recording and reporting the transactions during the year.

2 Principal activitiesa) Conducting extensive empirical and social research to develop sustainable models for social change, improvement oflivelihood and empowerment of targeted population.b) Develop livelihood, educational and knowledge products and contents.c) Campaign and build mass awareness on social problems and issues of importance.d) Improving livelihood of woman through empowerment, better health, access to information etc.e) Ensuring citizens right through developing easy access to information.f) Using ICTas tool of empowerment of mass population and access to livelihood information.

Dnet pioneered in research/innovation of models and strategies using ICTas a primary tool to support and provide service tohard-to-reach population in isolated rural areas of Bangladesh. The models developed by Dnet for empowerment of differenttarget population in different sectors such as livelihood, health, education have proved to have excellent scalability andreplicability. Apart from that over the years Dnet also developed expertise in content development encompassing variousissues of aforementioned sectors. Multilateral collaborations with GO's, NGO's, development partners, donor agencies hasstrengthen the organization's ability to undertake large scale programs and ensure smooth execution. Dnet has a highly activework environment with group of motivated employees and an efficient administration who are dedicated towards the causethat the organization is serving.

1 BackgroundDnet a not-for-profit social enterprise, established in 2001 under the Registration # S-2601(14)/2001 dated August 08, 2001from the Registrar of Joint Stock Companies and Firms, Bangladesh. This is also registered with NGO Affairs Bureau,Bangladesh vide registration No # 1918, dated April 07, 2004, renewend on 17th July 2014 with a vision for a society whereinformation and knowledge facilitates all stakeholders participation in generation of wealth and its equitable distribution forpoverty alleviation. Dnet pioneered in research on using ICTas a primary means for alleviating poverty, empowerment throughminimizing the digital divide and access to information, civic participation, capacity development and employment generation.These endeavors have helped the organization to transcend the national boundary and become visible in the global context.Since inception Dnet has been trying to develop evidence based practical models that would harness the power of mobile, weband new technologies to ensure ernoowerrnent of rural nonulation.

3.06 Related party transaction

During the period Dnet made some transactions with Multimedia Content and Communication Limited, LifeChord Limited,Junctin Bangladesh Limited, Kite Bangaldesh Limited and lnfolady Social Enterprise Limited which are regarded as relatedparty to the organization. Detail of those transactions are as follows:

3.05 Basis of consolidationConsolidation has been done by adding together the line items of the financial statements of different projects and coreaccount. Any inter-project transactions have been properly eliminated during consolidation.

3.04 ProvisionAprovision is recognized if, as a result of past events, the organization has a present legal or constructive obligation that can beestimated reliably and it is probable that an outflow of economic benefits will be required to settle the obligation. Dnet madeprovision against various purpose such as audit fees, utility bill and telephone bill.

3.03 Accounting for grantsGrants are recognized as income in accordance with International Accounting Standard (lAS) 20, i. e. grant income isrecognized over the periods necessary to match them with the related costs ofthat periods.
